Addendum No. 2 The following information included in Addendum 2 contains additional information and/or clarification to the Request for Proposals (“RFP”). The following information is being disseminated via the Massport website: http://www.massport.com/business-with-massport/goods-and-services/rfps/detail/?id=351. The provisions set forth herein, whether of omission, addition, substitution or clarification, are to be included in and form a part of the Proposal submitted to the Authority. Addendum No. 2 includes the following:

Section A Additions and/or Changes to the RFP
1. Sections 1.5.2 Limitation on Ownership and Operation of Concession and Section 3.5.3a(3) Leasing Strategy and Concept Plan -- Revised as follows: For purposes of explanation, the limitation on ownership and operation contained in Sections 1.5.2 and 3.5.3(a)(3) limits the Concession Program Manager to owning and operating (i) up to 35% of total food and beverage Gross Receipts (as defined in the Draft Concession Lease Agreement); and (ii) no more than 40% of the overall Gross Receipts in the Concession Program. The Concession Program Manager must comply with both limitation requirements. In addition, the following language is being added to Sections 1.5.2 and 3.5.3(a)(3):
Any individual subtenant is limited to owning and operating (i) up to 35% of total food and beverage Gross Receipts; and (ii) no more than 40% of the overall Gross Receipts in the Concession Program.

Section C Questions & Answers
1. Section 1.5.6 refers to the Respondent requirement to submit a list of three (3) proposed “subtenants” for each location. However, Attachment B-3a requires that Respondents submit a list of three (3) proposed “concepts”. Please clarify. The Authority would like Respondent to identify both the concept and company that will be operating the unit. A revised Form B-3a is included in this Addendum which now includes the requirement for Respondents to include concept and company for each of the three proposed concepts.
2. In Section 1.5.2 (Limitation on Ownership…) it permits a single Concession Program Manager (CPM) to own up to 35 percent of the total F&B gross receipts or 40 percent of the overall gross receipts. Is this an “either/or” or “the greater of…” or “the lesser of…?” If it is “either/or,” and food service operators are limited to 35 percent of the food program, while retailers can own 40 percent of the overall program, it seems quite unfair as it would allow a retail-focused owner to operate a far larger quantity of the program. For purposes of explanation, the limitation on ownership and operation contained in Sections 1.5.2 and 3.5.3(a)(3) limits the Concession Program Manager to owning and operating (i) up to 35% of total food and beverage Gross Receipts (as defined in the Draft Concession Lease Agreement); and (ii) no more than 40% of the overall Gross Receipts in the Concession Program. The Concession Program Manager must comply with both limitation requirements. In addition, the following language is being added to Sections 1.5.2 and 3.5.3(a)(3):
Any individual subtenant is limited to owning and operating (i) up to 35% of total food and beverage Gross Receipts; and (ii) no more than 40% of the overall Gross Receipts in the Concession Program.
3. In a related question to the previous one, how do Joint Ventures count in the calculation of ownership for Section 1.5.2? If the CPM owns 49 percent of a JV, does the CPM’s ownership share include 49 percent of the gross receipts of the location, or, since the CPM is not controlling that concession location, does it not count against the ownership limits?
As stated in Section 2.15 of the RFP, joint venture partners of a joint venture Respondent are considered to be prime contractors regardless of the level of participation or ownership. If a Respondent is submitting a Proposal under a joint venture the Respondent is limited to owning and operating (i) up to 35% of total food and beverage Gross Receipts (as defined in the Draft Concession Lease Agreement); and (ii) no more than 40% of the overall Gross Receipts in the Concession Program. The Concession Program Manager must comply with both limitation requirements.
4. Given that two-year period previously mentioned, would the Authority consider allowing the selected CPM(s) to propose alternative operators to allow for changes in tastes or availability of operators? As stated in Section 1.5.6 of the RFP, the Concession Program Manager shall be required to secure and enter into a sublease with one of the three subtenants it proposed for those concession locations that are available to sublease within two (2) years of the Commencement Date (July 1, 2017). However, the Authority reserves its right to consider alternate subtenants/concepts at any time.
5. In Section 1.6.2, it states that the Authority will be involved in the selection process for CPM management staff. In such case, the Authority is excerpting substantial control of the contractor, who is not allowed to act independently in this key management area. While it is generally understood that the Authority will have approval rights over the General Manager, which is standard at most airports, we request that the Authority not be involved in the selection of all contractor personnel. Section 1.6.2 in the RFP remains unchanged.
6. Regarding Section 1.13, if you choose to award contracts for Terminals A and C separately, will those contracts expire on June 30, 2027 or will they go slightly longer so the selected CMP has a full 10-year term? Yes, if the Authority determines that it will execute more than one Concession Lease Agreement for the Concession Program, then each of those Concession Lease Agreements will be for a term of 10 years from the commencement date.
7. The required experience mentioned in Section 3.3 (concession program during the past 5 years) is different from that stated in Section 1.1.2 (10 years). Which is correct?
Section 1.1.2 contains the correct information. Section 3.3 (b) is replaced with the following: b. Complete Form B-2 – Operating Experience, listing all locations (to a
maximum of 10, but no fewer than 3, ranked in order of gross annual sales at which Respondent presently manages, operates or has developed, managed or operated a concession program during the last ten (10) years that demonstrate the Respondent’s ability to satisfy the minimum qualifications of this RFP. Provide the names, addresses and telephone numbers of the landlords or property managers for each of these operations who can verify the level of sales and experience.
8. In Section 3.3, one necessary qualification that seems to be unmentioned is a potential CPM’s ability to sublease/lease and manage large number of subcontractors. This is a very different skill than operating most (or all) concession locations in a development, particularly because the majority of the concessions will not be under the direct control of the CPM. You may wish to consider including a requirement that potential CPM’s discuss their experience, abilities, and methodologies for managing large numbers of subcontractors and subcontracts. In Section 1.1.2 of the RFP, the Authority states the minimum qualifications that Respondents shall have. The minimum require that Respondents have ten (10) or more years of continuous, comparable experience within the last (10) years in all of the following: development coordination, leasing, management and operation of three (3) or more multi-unit commercial retail projects in an airport or retail shopping center.
9. Will the selected CMP be permitted to collect a set amount from each operator for a joint marketing fund? If not, is it the Authority’s intention that the CMP pay for all marketing efforts for the concession program without reimbursement by the operators? As stated in Section 3.17 Marketing, Advertising and Promotion Plan, specifically question (d), Respondents shall “Include a projected budget (including statement of sources and uses) for a representative year. Explain how these expenses will be allocated to subtenants.” The Respondent shall propose to the Authority its plan for marketing the Concession Program including a proposed budget and source(s) of the budget.
10. One of the hottest trends in the industry right now is Internet ordering and concession delivery. There appears to be no mention of the use of technology to improve concession sales and revenue to the airport and to
the operators. Would the Authority consider including a requirement that, at minimum, the respondents discuss the use of technology to improve sales and revenue? I note that Section 3.7.1 (a) requires that respondents discuss technology in promotions/advertising. However, remote food and retail product ordering/delivery is not a short-term promotion or advertising effort which is expected to spur sales for a short period of time, and therefore should be considered separately. As stated in Section 1.1.1 of the RFP, The Authority has listed several goals for the Concession Program. The Authority’s expectation is that the Concession Program Manager will create an innovative Concession Program that will increase customer satisfaction and spending and will be responsive to the needs and desires of customers and shall provide excellent customer service. The Authority shall not specify how the Respondent will achieve these goals, it is up to the Respondent to determine how best to meet these goals.
11. Can proposals include the investment of capital outside of the concession spaces (for example, public circulation areas and the general interior environment) to improve the interior environment, overall passenger experience and increase the exposure and size of the concession spaces? If so, how will those elements be evaluated and scored against other proposals? As stated in Section 1.3 of the RFP, the Authority has designated approximately 180,000 square feet of Concession Premises, as identified on Attachment A-5, for the Concession Program. Respondents shall submit a Proposal based upon the Concession Premises detailed on Attachment A-5. However, as stated in Sections 1.17.2 and 2.3 of the RFP, if Respondent would like to propose any changes or additions to the Concession Program that are outside of the Concession Premises or Draft Concession Lease Agreement it should do so through an Addendum to its Proposal. Please note that the Authority reserves the right to accept or reject any items contained in Respondents addendum.
12. Can the proposer identify new concession space within the terminals and include such spaces in its overall development and financial proposal? If so, how will that additional space and the resulting additional income be evaluated and scored against other proposals? See response to Question 13. The Authority will determine if any proposed addendum meets the goals of the RFP but, reserves the right to accept or reject any items contained in Respondents addendum. The Authority’s staff will evaluate the Proposals received and determine, in its sole discretion, which Proposal(s) best serve the overall interests of the Authority, taking into account the categories of the RFP, including potential interviews with those Respondents
the Authority deems capable of being awarded a Concession Lease Agreement as a result of this RFP process.
13. Can the RFP be amended with a longer term to allow the Concession Program Manager to invest additional capital to deliver a holistic program and to allow several leasing cycles and various concession terms for its tenants? See response to Question 13.
14. Can the RFP be amended to allow alternative optional proposals encompassing broader development scope, additional capital, comprehensive digital integration, and longer concession term to amortize those costs and provide for several leasing cycles and various concession terms for its tenants? If so, will the evaluation and scoring methodology recognize the value of accretive options? See response to Question 13 & 14. The Authority’s staff will evaluate the Proposals received and determine, in its sole discretion, which Proposal(s) best serve the overall interests of the Authority, taking into account the categories of the RFP, including potential interviews with those Respondents the Authority deems capable of being awarded a Concession Lease Agreement as a result of this RFP process.
15. Can respondents schedule additional site visits? The Authority will not conduct additional site tours. However, Respondents may tour the landside locations and contract with any of the security companies at Logan to tour the airside locations. A list of the security companies is provided in Attachment A-20.
16. Will anticipated enplanement growth be provided by the Authority for the term of the Concession Contract and by Terminal? No, the Authority will not provide passenger enplanement projections.
17. Will the Authority allow for tenant sublease draft agreements to extend past the Respondents lease term? Yes, the Authority will consider approving subtenant agreements that may extend beyond the expiration date of the Concessions Lease Agreement given that the
commencement dates for certain sublease agreements may take effect following the Commencement Date of the Concessions Lease Agreement.
18. What are the current charges for item such as; CAM, marketing, utilities, hood/grease trap cleaning and customer service? The Authority does not control the charges for subtenant CAM, marketing or customer service. These charges are currently assessed by the existing concession developers under the Master Lease Agreements and passed through to the subtenants. Please refer to Attachment A-11 for the charges relating to the Grease Management Program. As outlined in Section 1.14.2, Respondents should contact National Grid for natural gas expenses. Further, for Water, Sewer and Fire Pipe utilities, the Authority is billed by the Boston Water and Sewer Commission (BWSC) and these costs are passed through to the tenants. Tenants are directly metered for their individual water usage. Respondents should contact the BWSC for a breakdown of current rates.
19. Will the Authority provide the tenant sq. footage, lease terms and sales for the new locations in the C Connector? Attachment A-5 Concession Premises contains the square footage for all concession units including those in the new locations in the Terminal C to E connector area. Further, as detailed in Section B of this Addendum, the Authority has provided in this Addendum the following information for 2016: Attachment A-21 – Existing Subtenant & Sublease Information for subtenants open and operating in 2016, Attachment A-22 – Concession Sales Information January – June 2016 and Attachment A-23 – Concession Gross Sales by Concept January – June 2016.
20. On page 1-5 of the RFP the Authority states that the additional 5,500 sq feet
of concessions space will be open to the public before the commencement of the Concessions Lease Agreement- will the Authority make public the new tenant lease agreements, i.e. term, concept sales etc.? The 5,400 square feet of additional concession space in Terminal E that is referenced in Section 1.3 of the RFP is part of the Authority’s A380 accommodation project. The future subtenant plan for the 5,400 square feet is currently under review by the Authority. Sublease agreements and/or amendments for this space have not been executed. Once the sublease agreements and/or amendment are executed between Airmall Boston, Inc. and
the applicable subtenant, the Authority will make them available on the Authority’s website at: http://www.massport.com/business-with-massport/goods-and-services/rfps/detail/?id=351
21. The Authority wants resumes for key staff. Which positions is the Authority considering key staff? The Authority considers the Resident General Manager and the Resident Terminal Manager positions to be key staff.
22. Will job descriptions be allowed in place of resumes? Yes, job descriptions will be permitted in place of resumes in Proposal responses.
23. Are locations being removed from the food courts to accommodate the new connectors? If so, when? The Authority continues to develop the Terminals to accommodate airline consolidations and expansions. At this point in time, the Authority does not have confirmed information to share relating to the removal of concessions spaces. As this information becomes available, the Authority will post it to the Authority’s website at: http://www.massport.com/business-with-massport/goods-and-services/rfps/detail/?id=351
24. Will full year of rental data be made available for the following tenants? AS2-A01 / 9, AS2-A05 / 13, AS2-A09 / 21, AM2-L-01 / 31, AM2-A02 / 29A, BA2-L03 / BA-L03, BB2-A03 / BR-02 – B, CC2-A39 / 52, CC2-A42 / 55A, CB2-A13 / 86, CA1-L01 / 64 The Authority has provided, in Attachments A-6, the 2015 Minimum Rent and Percentage Rent for all locations including those listed above. Please note, that in some cases, the subtenant opened mid-year and only paid Percentage Rent.
25. The Draft Concession Agreement (Exhibit C-1) is not included with the RFP documents; will the Authority be providing this draft agreement? The Draft Concession Lease Agreement, Attachment C-1, is not available at this time. The Authority will include the Draft Concession Lease Agreement in a future Addendum and will be post it on the Authority’s website at: http://www.massport.com/business-with-massport/goods-and-services/rfps/detail/?id=351
26. Will the Legal Seafood units be under the Concession Lease Agreement?
Or, managed directly by the Authority? No, the existing Legal Sea Foods, Legal Test Kitchen and Legal C Bar locations are not included in the Concession Premises and will not be included in the Concession Lease Agreement. Yes, the existing Legal Sea Foods, Legal Test Kitchen and Legal C Bar locations will be managed directly by the Authority upon the expiration of the Master Lease Agreements.
27. Does the Authority reserve the right for final selection of winning concept based on the three options offered for each space or does the proposer have the right to choose? The Authority will have the right to review and approve all proposed concepts.
28. Are there any restrictions on exclusive agreements between proposers and subtenants? The Authority currently does not restrict exclusivity agreements between parties.
29. Are ACDBE subcontractors exempt from the labor peace requirements of the RFP? No, ACDBE subcontractors are not exempt from the labor peace requirement.
30. If a proposal submitted by a master concessionaire requests an exemption from the labor peace requirements of the RFP for an ACDBE subcontractor, will Massport grant such an exemption? No, the Authority will not grant an exemption.

Labor Peace Agreement
Section 1.16 of the RFP describes Labor Peace Agreement requirements. The LPA is an agreement between Respondent and a relevant labor union involved in organizing activity with regard to concessions workers at the Airport.
The LPA requirement is contractual obligation that will be set forth in the Concession Lease
Agreement and future subleases.
Proposals require a certification signed by both the Respondent and the relevant labor organization certifying that Respondent and the labor organization have entered into an LPA (Form B-5a). If Respondent is unable to certify that it has such an LPA in place, Respondent shall certify its willingness to accept the terms and conditions of an LPA (of its choosing), between the labor organization and a Respondent responding to this RFP (Form B-5b).
The LPA is not, and does not require Respondents to enter into, a collective bargaining agreement, nor should the LPA requirement be construed as requiring Respondent to change terms and conditions of employment for its employees, recognize a labor organization as the bargaining representative for its employees, adopt any particular recognition process, or to enter into a collective bargaining agreement with a labor organization.

Authority Policy The Authority has established an Airport Concession Disadvantaged

Compliance
The Selected Respondent must comply with 49 CFR part 23 throughout the term of the agreement. The selected respondent: • Agrees to make good faith efforts to meet the ACDBE goal
throughout the term of the agreement • Agrees to submit a monthly report, in a form acceptable to the
Authority, describing total gross receipts and ACDBE gross receipts for each month of term and each year of the term
• Shall not terminate an ACDBE without the Authority’s prior written consent. In the event that an ACDBE is terminated, the selected respondent must make good faith efforts to replace the ACDBE with another ACDBE to perform the same estimated gross receipts.
ACDBE Proposal Requirements
ACDBE Participation – The selected Respondent shall make good faith efforts, as defined in Appendix A, 49CFR Part 26 to maintain a minimum 18.4% participation in accordance with Responder’s ACDBE Plan submitted to the Authority with its Proposal. Only firms certified by the Authority as ACDBEs can be counted toward the ACDBE participation goal. A firm applying for ACDBE certification cannot be counted toward the ACDBE participation goal until the certification process is complete. ACDBE List – List of potential ACDBE firms to be

Rejection of Proposals
The Authority is soliciting competitive Proposals pursuant to a determination that such a process best serves the interests of the Authority and the general public and not because of any legal requirement to do so. The Authority reserves the right to accept or to reject any or all proposals, for any reason, to withdraw this RFP at any time, to amend this RFP at any time prior to the Proposal deadline, to initiate negotiations with one or more Respondents, to modify or amend with the consent of the Respondent any proposal prior to acceptance, to waive any informality and to effect any agreement otherwise, to re-issue this RFP without change or modification thereto, to issue a subsequent RFP with terms and conditions that are substantially different than those set forth herein, or to cancel this RFP with or without issuing another RFP, all as the Authority in its sole judgment may deem to be in its best interest.
