This addendum is to: 1. Provide information on the Minimum Wage rate.

House and Senate negotiators have reached a compromise on a bill raising the minimum wage in Massachusetts. The bill filed Wednesday night by a six-member conference committee would increase the current $8-per-hour minimum wage by $3 over the next three years. The hourly minimum for the state’s lowest paid workers would go to $9 on Jan. 1, 2015, to $10 the following new year, and to $11 on Jan. 1, 2017.

In Addendum #1 we were unable to predict the outcome of the minimum wage debate for Massachusetts so, WHA stated that we would allow the awarded contractor to submit a Change Order to increase their rates by the same incremental amount as the state minimum wage. Since then the House and Senate have reached an agreement, so all contractors are responsible for figuring the changes into their PRICE PROPOSAL before the RFP is submitted. Each contractor must pay their employees one dollar ($1.00) above the State of Massachusetts Minimum Wage for each year. The WHA will NOT allow any change to the contractor’s Price Proposal after the submission of this RFP. All Price Proposal shall be submitted on the REVISED PRICE PROPOSAL from Addendum #2. All other terms and conditions of this contract remain unchanged. Please be sure to acknowledge this Addendum in paragraph B or your Price Proposal and Technical Proposal Cover Page. Q1. On page 41 (price proposal) the “foot patrol – premium” estimated hours are 150 for 52 weeks. Is that a typo, should it only be 150 hours for 1 week? Not 52? I read this as adding an additional 150 hours per week for the entire year, which equals an additional 7,800 hours @ a premium rate. I assume you only want us to add 150 hours of premium time for the entire year. A1. Yes, the TOTAL ANNUAL estimate # of Premium Rate hours should be 150. Please delete the amount of 52 from the PREMIUM RATE line item in your Price Proposal. PLEAES NOTE: a REVISED PRICE PROPOSAL is attached and all proposers should use this revised form. For any proposer submitting a proposal on the original Price Proposal form, the WHA shall recalculate your total for this line by deleting the “52” weeks and calculating your total with a “1” for one year total. Q1. The specifications call for a minimum wage of $9.00 per hour, what happens if Massachusetts passes a minimum wage rate higher than the $9.00 called for here?

A1. The WHA will allow the awarded proposer to submit a Change Order to increase their rates by the same increment as the increase(s) by the State on the effective date(s). For example, if the Mass Minimum Wage increases by $1.00 effective January 1, 2015, then the contractor will be allowed to increase all their wages by $1.00 effective Jan. 1, 2015. If the proposed change will take place over an extended period of time in several incremental changes (increase the Minimum Wage rate up to $10 over two years) over the life of this contract a change order will be allowed for each change.

Q2. Please expand on how the Apprentice Program works, does the WHA conduct CORI checks, what about Drug Testing, can the agency conduct their own checks on the candidates?

A2. WHA has a program called “A Better Life”. Current tenants apply to enter the program. The WHA conducts CORI checks before they are accepted into the program. The program helps these tenants obtain the skills and education needed to enter the work force. The program then tries to find or helps to find work compatible for each person’s skill and education level. The awarding company can/should conduct the same tests/checks for ABL applicants as they normally would with any other applicant apply for a job with their company.

Q3. Please clarify beginning on Page 10 of 42 – Part One – Technical Proposal:

1. Tab 3 looks like a repeat of Tab 1? 2. After Tab 3 comes Tab 2 again instead of Tab 4

• First page of Tab 1 shall be the Technical Proposal Cover Page identifying acknowledgement of all addendums. • Second page of Tab 1 shall be the Minimum Criteria Page with the “found on ___pg.” completed. • Third page of Tab 1 shall be the Comparative Criteria Page with the “found on __pg.” completed. • Letter of Transmittal must be signed by a company official authorized to bind the Proposer; Must identify all

parties to the proposal. Include the name, address, telephone number, and email address of the person(s) authorized to submit and discuss the proposal.

• The letter must clearly state the intention of the Proposer, if selected, to provide the services at the proposed prices and within the time specified in accordance with the terms and conditions specified in the proposal and this RFP document;

• The letter must indicate whether or not any of the parties to the proposal have been disbarred or otherwise prevented from participation in HUD funded projects, at any time.

• Do not include the dollar amount of your proposal in this section; this must be provided in the Price Proposal only, a separately sealed envelope. Technical proposals that contain any pricing information shall be deemed unresponsive and disqualified.

Tab 2 – Agency Qualifications

• Provide a general, brief description of the Proposer’s prior experience in providing security services;

• Include the number of years and locations that the Proposer has been in the business of operating security service with the current company name;

• Include the resumes of key individuals including managers and supervisors working on this proposal;

• Include copies of professional licenses.

Tab 3 – Plan of Service

Customer Service/Staff Support: Indicate the type of customer service plan to be implemented when a resident wants to communicate with your company regarding incidents at their site. Please state specifically that you have a customer service phone #, the hours the company is accessible for customer service calls and in what fashion would the company relay the complaint to the guard on duty.

Also, provide a statement that indicates that amount of lead time required by the Offeror to provide additional staffing.

Communication System: Indicate the type of communication system your company will use. Include what communication equipment the foot patrol guard and motor patrol guard will have throughout their shift. Also, indicate what system your company will implement to track when foot guards patrol the floors and when motor patrol guards reach different sites.

Staff Hiring, Training & Supervision: Provide a statement indicating what specific training each guard receives from your company during employment. Include the length of your training process, how often the training cycle is repeated and updated, what specific procedures are taught, names of videos used to train (if applicable), and whether training is based strictly at company headquarters or on-site as well.

Provide a statement of the type of supervision the guards will receive while on their shifts. Indicate the title of the supervisor, how many employees they would supervise during their shift, the method of supervising, and how often they would be at each guard’s site during one shift. Please indicate starting hourly rate of pay for guards. Describe the frequency and methods of performance evaluations for assigned security personnel.

The WHA is committed to the employment of eligible and qualified low-income residents within the City of Worcester. Include a marketing plan outlining positions that could target this population. Tab 4 – Experience With Other Contracts:

Provide a list of all contracts currently in effect, and for former clients that your company has provided services for in the past five years. Provide a statement that indicates how many security guards are currently on staff at each current contract location. Indicate any experience your company has in providing security services to other public housing agencies or other mixed-income residential developments. Include the number of years, experience, and the contact person’s name, address and telephone number. The WHA will select names at random to be interviewed. Please use WHA Reference Form (Appendix 6) in this package.

The Worcester Housing Authority (“WHA”) requests competitive sealed proposals from qualified Offerors to provide unarmed security services at various apartment buildings for elderly and disabled residents in the City of Worcester. The estimate for these services is approximately $195,000 per year. #14-07 Request For Proposals for Security Services at various WHA Sites

throughout the City of Worcester

I. DECISION TO USE COMPETITIVE SEALED PROPOSALS The Chief Procurement Officer has determined that in order to select the most advantageous proposal for Unarmed Security Services for the WHA, comparative judgments of technical factors, in addition to price, will be necessary. It is essential that WHA retain the services of a professional contractor with the appropriate experience to provide security services in accordance with the requirement described herein. The complexities involved with providing security services for a housing development the size of WHA makes the proposal process a clear choice.

II. INTRODUCTION

The WHA requests competitive sealed proposals from qualified Offerors to provide unarmed foot patrol security services to seven (7) WHA locations throughout the City of Worcester. The purpose of said security service will be for the benefit of the residents of the WHA. The contract period for these services is three years. III. RFP TERMS AND CONDITIONS All proposals must comply with the provisions of this Request For Proposals (RFP). If it becomes necessary to revise any part of this RFP, then the WHA will issue an Addendum. Any Addendum issued will be provided in writing and emailed and posted online to all prospective Proposers that have requested a copy of this RFP package. Any and all Addenda issued will be incorporated within the RFP by reference. All questions must be emailed to: [email protected] a minimum of 72 hours prior to the submittal date and time. All addendums shall be issued a minimum of 48 hours prior to the submittal date and time. The Chief Procurement Officer, or proposal review committee, will reject proposals that are incomplete, not properly endorsed or signed, or otherwise contrary to these instructions as being informal. Conditional proposals will not be accepted. The WHA reserves the right to rescind this RFP, if, in the judgment of the WHA, there are no proposals responsive to this request, or should funding availability be less than anticipated. The WHA is not required to award the maximum funding amount requested to any or all Proposers. The selected Proposer agrees to provide unarmed foot patrol and unarmed motor patrol services to the WHA for a three-year period as detailed in the Scope of Work and in accordance with the submitted proposal documents. The estimated cost of these services is approximately $195,000 per year. The WHA reserves the right to select the most advantageous proposal to the WHA, as deemed by the WHA to be in its best interests. Cost will not be the deciding factor in the selection process. Uniform criteria have been established and will be used to evaluate all proposals. A copy of these criteria is attached to this RFP for informational purposes. The WHA reserves the right to award the contract to the Proposer with the proposal that is the most responsible and responsive; taking into consideration both price and evaluation criteria as set forth herein. The WHA Board of Commissioners will have final approval of all recommendations.

The WHA will conduct committee interviews with the top three ranking Proposers. The WHA reserves the right to negotiate final contract award amounts with the successful Proposer. The WHA further reserves the right to modify or amend contract terms during the term of this contract, should the successful Proposer fail to meet contract obligations. If the selected finalist(s) fail(s) to enter into a contract within thirty (30) days following the funding award announcement, then the WHA reserves the right to award the contract to the next most advantageous Proposer. The Proposer will be required to indemnify and save harmless the WHA, for all damages to life and property that may occur due to his negligence or that of his employees, etc. during this contract. Commercial Liability Insurance: Proposer to supply the WHA with Certificates of Insurance covering Commercial Liability in an amount not less than $500,000 to any one person, and not less than $1,000,000 on account of one accident. Property Damage Insurance: Proposer to supply the WHA with Certificates of insurance covering property damage in an amount of not less than $500,000 for damages on account of one accident, and not less than $1,000,000 for damages on account of all accidents. Workers’ Compensation Insurance: The Proposer shall furnish the WHA with certificates showing that all of his employees who shall be connected with the work of this contract are protected under workman’s compensation insurance policies. It is understood and agreed that it shall be a material breach of any contract resulting from this proposal for the Proposer to engage in any practice which shall violate any provisions of Massachusetts General Laws, Chapter 151B, relative to discrimination in hiring, discharge, compensation, or terms, conditions or privileges of employment because of race, color, religious creed, national origin, sex, age, or ancestry. All proposals must be received at the WHA’s Purchasing Department, 69 Tacoma Street, Worcester, MA 01605 until the date and time specified. NO PROPOSALS WILL BE ACCEPTED AFTER THE TIME AND DATE SPECIFIED. III. SCOPE OF WORK

The WHA is seeking an outside Offeror to provide unarmed foot patrol security services to seven (7) WHA locations throughout the City of Worcester for a period of three (3) years. The following conditions shall apply for the scope of work of the Offeror. Contractor shall be paid a firm fixed rate, per the PRICE PROPOSAL, which shall include two rates:

1. Base Rate – Normal Business Hours 2. Premium Rate – Overtime/Holidays (contractors must complete Overtime/Holiday list – see Appendix 7)

a) Appearance of Guard

• Guard will wear uniform provided by Offeror. • Uniform will be clean, wrinkle-free, and professional. • Uniform will display proper security identification such as a badge or security logo. Guard will not wear a

jacket or sweater that will hide uniform or identification. • Guard will have proper hygiene. • Guard will not wear exposed jewelry such as earrings or nose rings. Finger rings will be permitted. • Guard will not wear sandals, or other recreational style shoes. Black shoes or boots will be preferred.

Black sneakers shall be allowed. • Guard will cover tattoos they may have. • Any changes to the above listed provisions shall be at the approval of the WHA prior to implementation.

b) Qualifications of Guard

• Offeror will only assign security guards who have at least one (1) year of experience as a security guard. • ALL guards must be C.O.R.I. cleared and verification will be sent to Director of Public Safety for record

keeping. • Offeror will provide the WHA with a list of names of personnel assigned to each project. • If there is a change in staffing and new personnel is assigned, the Offeror shall notify the WHA and

provide the name of the employee within three (3) working shifts of that employee. • The WHA reserves the right to reject the employment of security guard personnel assigned to the project.

The WHA shall not unreasonably withhold approval • Any changes to the above listed provisions shall be at the approval of the WHA prior to implementation.

c) Foot Patrol Duties of Guard

i. Entry Door Procedures • Guard will print full names of all visitors on the “Visitor Log Sheet”. • Where designated, guard will require visitors to show identification to enter building. • Guard will call tenants through buzzer system to receive permission for visitor to enter. • Guard will prepare detailed reports for any incidents occurring during their shift and submit to the WHA. • Guard will keep socializing with residents to a minimum and will not have friends, guests, or residents

congregate around their workstation. • Guard will not be tentative in enforcing WHA policies and procedures to ensure the safety of the residents

and building.

ii. Hallway and Other Exit Doors Procedures • Guard will conduct foot patrols of building hallways. • Guard will inspect all building exit doors to ensure that they are properly locked. • Guard will be tentative in addressing issues that arise during their patrol. • Guard will prepare detailed reports for any incidents occurring during their patrol and submit to the

WHA. • Guard will keep socializing with residents to a minimum during their patrol.

iii. Parking Lot Procedures • Guard will conduct patrols of parking lots and grounds. • Guard will inspect all vehicles in lot to ensure compliance with the WHA Parking Policy • Guard will contact their supervisors for permission before removing any vehicles from WHA properties

and or calling the towing company to remove illegally parked vehicles. • Guard will prepare detailed reports for any incidents occurring during their patrol and submit to the

WHA. • Guard will keep socializing with residents, friends, and guests to a minimum during their patrol.

d) SUPERVISION

• Supervision of assigned personnel shall be provided while guards are on duty on a daily basis at any WHA development, 7 days a week. Supervisors shall be available to the WHA Director of Public Safety.

• Supervisors shall conduct on-site inspections of assigned personnel at each site at least twice per week. • Supervisors shall have prior security experience, know and understand the operational aspect of the

security business, be an appropriate role model, and have an ability to teach, guide and direct effectively.

• Supervisors shall employ measurable performance criteria in their evaluation of employees. It is desirable to have supervisors emerge from within the ranks of those assigned to the contract. This achieves continuity and assures that experienced security guards are at the forefront of protecting WHA employees, clients and assets.

e) Communications System

• Offeror will institute a system whereby security personnel can communicate with “home base”, motor patrol and other guards throughout their shift.

• Offeror will provide mobile cellular telephones to security personnel during all shifts for emergency situations where guard may need to call police or fire department. Phones remain the property of the company, not the WHA.

• Any changes to the above listed provisions shall be at the approval of the WHA prior to implementation.

f) Customer Service/Meetings • Offeror will provide residents with a 24-hour hotline telephone number to report security concerns in their

building. If a call is received during duty hours, Offeror will dispatch guard on duty of call or have motor patrol handle complaint.

• Offeror will attend monthly crime watch meetings in the developments they supply services for to address any security concerns or questions.

• Offeror will regularly meet with WHA’s Director of Public Safety to address daily matters. • Offeror will meet with other WHA staff at request of the WHA.

g) Schedule • The Offeror will provide a total of 254 hours a week of foot patrol security. • The Offeror will provide 122 hours a week of foot patrol to Murray / Wellington Apts, 58 hours to

Pleasant Tower, 14 hours to Elm Park Tower, 22 hours to Belmont Tower, 10 hours to Lafayette Place, and 28 hours to Webster Square Towers.

• The guard will arrive to their designated building shift ten (10) minutes early to set up. • The Offeror will ensure that all shifts are filled and completed. If a guard is unable to make it to work,

the Offeror will have a replacement guard that meets the provisions mentioned in this proposal. • The Offeror will immediately remove a security guard from WHA’s schedule if the WHA has determined

that the guard poses a threat to the property or feels that the guard is unable to fulfill the duties of the contract.

• The Offeror will be asked to assume responsibility for additional duties (see paragraph j) relatively unrelated to, or independent of, their normal work schedule. The Offeror will provide such additional services at the Premium hourly rate. The Offeror will agree to fill the requested shifts as stated in their response to this RFP. If unable to provide the services as stated, the WHA will be credited for every hour not serviced at the premium rate until the Offeror is able to provide the services.

• The WHA reserves the right to revise the schedule at any time throughout the contract without reducing the amount of hours stipulated in this proposal.

• Any changes to the above listed provisions shall be at the approval of the WHA prior to implementation. • Please see Section VI, ‘Exhibit A’ for Foot Patrol Sites and Schedule.

h) Contractor Qualifications

• The Offeror must have been in business for at least five (5) years at the time of the proposal submission and cannot be disbarred or otherwise prevented from participation in HUD-funded projects.

• Offeror must be able to provide the necessary staffing for services by December 1, 2014. • The Offeror must be licensed to do business in the Commonwealth of Massachusetts.

i) Security Apprentice Program

• The WHA aims to break the persistent cycle of poverty and public housing reliance, as well as transform

the lives of its residents, by implementing a program with comprehensive wrap-around services that promote and sustain a strong and self-sufficient family. This program is called A Better Life (ABL). Within ABL, the WHA has created a Security Apprentice Training Program to assist resident participants in receiving the necessary training and tools to become a security officer.

• Offeror must be willing to employ an ABL Apprentice when a position becomes available within the contracted sites.

• At the request of the WHA, Offeror must be willing to replace an existing security guard with an ABL Apprentice within the contracted sites.

• The WHA will work with Offeror to ensure that ABL Apprentices meet all requirements for employment prior to hiring.

j) Additional related duties

• The Proposer will be asked to assume responsibility for additional shifts relatively related to their current duties, but independent of their normal work schedules. Some examples maybe: Fire Watch and Alarm Monitoring (problems with our fire alarms); Surveillance investigation (assisting the WHA Public Safety Dept.) The Proposer will provide such additional services at the Premium hourly rate, 2013 there was approximately 150 hours of additional services. The Proposer will agree to fill the requested shifts as stated in their response to this RFP. If unable to provide the services as stated, the WHA will be credited for every hour not serviced at the Premium rate until the Proposer is able to provide the services.

IV. PROPOSAL SUBMISSION REQUIREMENTS This section provides information concerning the form and required contents of proposals submitted in response to this RFP. All proposals must comply with the requirements of this section in order to be evaluated by the WHA. A mandatory pre-proposal conference is scheduled to be held at 10:00 AM on May 22, 2014 at 32 Great Brook Valley Avenue, Suite 6, Public Safety, Worcester, MA 01605. Proposals must be organized according to the following format and address each of the points detailed below.

WORCESTER HOUSING AUTHORITY AGREEMENT NO. 14-07

THIS AGREEMENT is entered into this day of , 2014 by and between the WORCESTER HOUSNG AUTHORITY, a body politic and corporate located in the City and County of Worcester, Commonwealth of Massachusetts, (hereinafter referred to as “WHA”) and hereinafter referred to as the “Operating Agency”)

This Agreement consists of four parts: Section A. General Provisions; Section B. Scope of Work/ Operational Plan (Attachment 1); Section C. Budget/Compensation; and Conditions Thereof (Attachment 2); Section D. All other referenced attachments (Attachment 3). WITNESSETH

WHEREAS, the WHA has been authorized by its Board of Commissioners to enter into contracts on behalf of the WHA and funded under federal and/or state funding sources as identified herein; and

WHEREAS, the WHA is undertaking certain activities pursuant to grant or other funding source requirements;

and WHEREAS, the WHA and the Operating Agency do mutually agree as follows:

Section A: General Provisions:

The Operating Agency agrees to:

1. Work Statement

All work to be performed as set forth in Section III. “Scope of Work” of this Agreement.

2. Term of Agreement

a. The Operating Agency’s performance of this Agreement shall extend from

December 1, 2014 through November 30, 2017 b. This period of performance may be amended, extended or renewed only by duly signed written agreement of the

parties.

3. Obligational Amount The WHA agrees to compensate the Operating Agency under this Agreement a total maximum obligation which shall not exceed ($ ) for full and satisfactory performance unless subsequently modified, in writing, by both parties.

4. Use of Funds

It is expressly agreed that funds received by the Operating Agency under this Agreement shall be accounted for separately and shall be used for activities described hereunder.

5. Cost Limitations

Funds will be made available by the WHA to the Operating Agency consistent with Section C, “Budget/Compensation; and Conditions Thereof “, which defines as costs which are necessary and reasonable for the proper and efficient performance of services under this Agreement.

6. Availability of Funds

a. This Agreement is contingent upon the receipt of funds and continued authorization for program/project activities and services. In the event that such become unavailable for any reason, or authorization for the activities described herein is withdrawn or otherwise modified, the WHA has the unilateral right and discretion to terminate this Agreement upon five (5) days written notice. In the event of such termination, the procedures outlined under clause 10 “Conditions of Termination”, herein, shall become operative. b. In the event that funds are reduced, or authorization for program/project activities modified, the WHA also retains the unilateral right and discretion to modify this Agreement pursuant to clause 7 “Reduction of Contract Obligational Amount”.

7. Reduction of Contract Obligational Amount

a. In the event funds to the WHA are reduced for any reason, the WHA may unilaterally reduce funding of this Agreement upon five (5) days written notice to the Operating Agency. A reduction of services commensurate with reduction of funding will be determined by the WHA. b. The WHA reserves the right to reduce the obligational amount under this Agreement in the event that expenditure of funds by the Operating Agency for eligible activities is at such a rate as to likely result in a surplus at the termination date of this Agreement.

8. Disallowed Funds

a. In the event that the expenses of the Operating Agency pursuant to this Agreement are disallowed by federal or state funding sources, the Operating Agency is responsible for the resulting loss. if any, sustained by said disallowance.

9. Termination of Agreement

a. Termination by the WHA i. Termination for Cause If the Operating Agency fails to perform in a timely and proper manner its obligations under this Agreement, or if the Operating Agency violates any of the terms, covenants and/or conditions of this Agreement, the WHA may

terminate this Agreement, in whole or in part, by giving five (5) days written notice of termination to the Operating Agency of said termination, specifying the reason(s) thereof. ii. Termination for Fraud This Agreement will be terminated immediately in the event of fraud or program abuse. iii. Termination for Convenience The WHA may terminate this Agreement, in whole or in part, when such termination is deemed to be in the best interest of the WHA. In such case, the WHA may terminate this Agreement by giving thirty (30) days written notice of termination. iv. Termination Due to Unavailability of Funds The WHA may terminate this Agreement, in whole or in part, upon five (5) days written notice of termination based upon funding availability as described in clause 6. b. Termination of Agreement by Operating Agency

1. In the event the WHA shall fail to fulfill its obligations under this Agreement, or in the event the WHA shall violate any of the terms, covenants and conditions of this Agreement, the Operating Agency shall, after an administrative hearing and determination that a breach exists, have the right to terminate this Agreement, by giving a thirty (30) day written notice of termination. 2. The administrative hearing shall be conducted by the WHA within fifteen (15) days of receipt of written hearing request.

10. Conditions of Termination a. In any and all cases of termination of Agreement, as described above, all records, documents, assets, property

and equipment purchased by the Operating Agency, on behalf of the WHA, with funds provided under this Agreement, shall at the option of the WHA become the property of the WHA. b. In case of termination, the Operating Agency shall be entitled to receive compensation for any work satisfactorily completed or shall be entitled to costs incurred to the date of termination. Such compensation shall be as described in Section C, “Conditions of Compensation”. c. The Operating Agency, in case of such termination, as outlined in Clause 7, shall not be relieved of liability to the WHA for damages sustained for personal injury, property damage and/or by virtue of any breach of the Agreement by the Operating Agency. d. Upon such termination, the WHA may withhold any payments to the Operating Agency for the purpose of set-off until such time as exact amount of damages to the WHA is determined.

11. Withholding of Payment

a. If the Operating Agency is found to be in non-compliance with any provision of this Agreement, the WHA will notify the Operating Agency in writing and the Operating Agency will be allowed fifteen (15) days to meet compliance requirements. b. If, after said fifteen (15) day period, the Operating Agency fails to comply, the WHA may reduce or withhold payment to the Operating Agency until such compliance is rendered.

12. Assurances

The Operating Agency accepts sole responsibility for ensuring that all activities undertaken pursuant to this Agreement comply with all applicable federal, state and local laws, rules and regulations.

13. Subcontracts

The Operating Agency shall not subcontract, assign or transfer any of the services provided under this Agreement without the prior written consent of the WHA.

14. Conflict of Interest

Issues of conflict of interest shall be resolved according to M.G.L. c. 268A and the requirements of any and all public funding source under this Agreement, whichever is more restrictive. It is the responsibility of the Operating Agency to ensure that all conflict of interest requirements are adhered to.

15. Reports and Record Keeping

a. The Operating Agency agrees to submit all written reports and financial invoices to the WHA as required and in accordance with all reporting formats provided and specified herein, if any.

b. The Operating Agency agrees to retain said reports, records and supporting documentation for six (6) years. or until such time any issues in an open audit are resolved.

c. The Operating Agency agrees to comply with Massachusetts Public Records Law, M.G.L. c. 66, and relevant federal and/or local statutes, rules or regulations, whichever is more restrictive, regarding record retention.

16. Indemnification

a. The Operating Agency shall indemnify and hold harmless the WHA, and its officers or agents, from any and all third party claims arising from activities under this Agreement as set forth in M.G.L. c. 258, § 2 as amended.

b. The Operating Agency will hold harmless the WHA for damages arising from negligence, violation of the federal/state funding authority requirements, and/or failure to secure required and necessary insurance.

c. The Operating Agency upon execution of this Agreement and throughout its term, unless otherwise provided by law shall procure workers’ compensation, fire, theft, casualty, extended coverage, personal liability, and any other pertinent insurance for the purpose of insuring property purchased with public funds under this Agreement; for the protection of personnel employed by the Operating Agency as a result of this Agreement; and for individuals participating in agency activities as a result of this Agreement.

1. Public Liability Insurance. The Operating Agency shall provide the WHA with Certificates of Insurance covering public liability in an amount not less than $500,000.00 for damages to one person and not less than $1 million per incident. 2. Property Damage Insurance. The Operating Agency shall provide the WHA with Certificates of Insurance covering property damage in an amount not less than $500,000.00 for one accident and not less than $1 million for all accidents. 3. Workers’ Compensation Insurance. The Operating Agency will furnish the WHA with Certificates of insurance covering all employees funded through this Agreement with the WHA, as being protected under the policy.

4. Upon execution of this Agreement, the Operating Agency shall submit copies of the Certificates of Insurance identifying the WHA as co-insured.

d. If the Operating Agency self-insures, as provided by the laws of the Commonwealth, the Operating Agency

will provide certification of the value of said self-insurance, as well as certification that coverage is extended for the protection of personnel, program participants and property purchased with funds under this Agreement. e. If the Operating Agency under Section C herein is required to procure fiduciary insurance, then the Operating Agency shall procure such fiduciary insurance from a responsible bonding company authorized to do business within the Commonwealth. The Operating Agency shall bond all personnel employed with financial responsibilities.

17. Copyright

No reports, maps or other documents produced in whole or in part under this Agreement shall be subject to a copyright, patent by or on behalf of the Operating Agency, unless the WHA is given unlimited license to use such copyright or patent.

18. Title to Equipment

a. Title to any equipment purchased with funds under this Agreement, and on behalf of the WHA, for its exclusive use, and valued over two hundred fifty dollars ($250.00) shall be retained by the WHA. At the termination of this Agreement, and any subsequent Agreement regarding the continuation of program services, the WHA may take possession of the equipment to ensure its continued use in activities fully compatible with the goals and mission of the WHA. b. The Operating Agency shall establish and keep current an inventory of all non-expendable supplies and equipment purchased by funds provided under this Agreement and on behalf of the WHA.

19. Personnel Procedures

a. Personnel employed by the Operating Agency under this Agreement shall not be considered employees of the WHA. b. The Operating Agency shall not discriminate against any qualified employee or applicant for employment because of race, national origin, age, sex, religion or physical or mental handicap. The Operating Agency agrees to comply with all applicable federal and state laws, rules and regulations prohibiting discrimination in employment.

20. Amendments

a. From time to time, either party to this Agreement may request changes in the scope of services, operational plan, conditions of compensation, budget or term of the Agreement. Such changes, which are mutually agreed upon by the WHA and the Operating Agency, must be incorporated into this Agreement by written amendment and duly executed by both parties.

b. In the event that federal or state policies or procedures governing this Agreement are modified during the period of performance as described under clause 2, such modification shall be incorporated into this Agreement by reference to same.

All advertising related to this Agreement, i.e. stationery, press releases, newspaper articles, pamphlets and flyers, must refer to the WHA as a funding source. Copies of such materials are to be sent to the WHA in advance of publication.

22. Severability

If any provision in this Agreement is determined to be illegal, unenforceable or void by a court of competent jurisdiction, then that provision shall be deemed severed from this Agreement. All other provisions of this Agreement shall continue in full force.

23. Governing Laws and Jurisdiction

The WHA and the Operating Agency do mutually agree that the laws of the Commonwealth of Massachusetts govern this Agreement, except as otherwise provided by federal law, rules and regulations with respect to federal funds. The parties further agree that jurisdiction over any dispute arising out of this Agreement shall be limited to any court of competent jurisdiction within the Commonwealth of Massachusetts.
