Currently, LA Represents is focused on addressing the legal needs of the community impacted by the public health pandemic. Specifically, this means helping vulnerable tenants, domestic violence victims, and low-income Angelenos with employment, consumer debt, and bankruptcy matters.

This new coalition includes organizations that LAPA has previously worked with, like Legal Aid Foundation of Los Angeles, Inner City Law Center, Public Counsel, Asian Americans Advancing Justice, Neighborhood Legal Services, and Bet Tzedek Legal Services. We’ll continue to be a pillar to lift up our community and provide the highest quality of service that LAPA is known for providing.

COVID-19 is having an increasingly disproportionate impact on the poor and communities of color in Los Angeles County. National unemployment claims follow similar trends.

Our work with L.A. Represents will start with assisting with small business loans applications and continue to expand into other areas as the needs of the community expand. This is significant, as “more and more, small business ownership is reflecting the diversity of the United States,” according to an Inc.com article: “ Are Small Businesses Really the Backbone of the Economy?” “As of 2012, 14.6 percent of small business owners were minorities, compared with 11.5 percent in 2007...This diversity is also reflected in the 36 percent women business owners, and the 9 percent of small businesses owned by veterans.” By working with L.A. Represents, we will directly assist those business owners who are most vulnerable to COVID-19 both physically and economically. These are businesses that enrich our community and contribute to LA’s diverse and vibrant culture.

Members of LAPA’s Executive Board recently met with the Chief Equity Officer for the Mayor’s COVD-19 response team, Capri Maddox, Esq., MPA Special Asst. City Attorney to City Attorney Mike Feuer. Ms. Maddox was recently appointed by Mayor Garcetti to serve as Executive Director of the City’s New Civil and Human Rights Department. During our conversation, she described LAPA as the little green leaf on her dying plant that gave her hope that together, we can flourish and grow. We look forward to growing alongside the City of Los Angeles and the coalition as well.

So, if you are the type of person that wants to make a difference; if you are the type of person that wants to help your community during this pandemic and economic recession impacting the most vulnerable in our community; if you are the person that saw what happened to Breonna Taylor, Ahmaud Arbery and George Floyd and it crushed your soul, then this is your call to action. Be the change that you want to see in this world. LAPA’s Pro Bono and Community Services Committee wants you. If you are not a member, please consider joining. To our current members, update your profile, email [email protected], and sign up today. This is your moment. Employers and employees will have to balance their risk tolerance and communication will be of vital importance as they work together to comply with best practices. While the world slowly adjusts to the “new normal,” those who are most flexible in adjusting to the changes will show the most resilience.

The Los Angeles Paralegal Association (LAPA) reflects the diverse nature of Southern California, and we strive to be as inclusive as possible. As an organization of legal professionals, we hold the ideals of equality and justice in the highest regard. The injustices experienced by the communities of Black, Indigenous, and People of Color are a stark reminder that equality and justice are ideas that have yet to reach fruition in this country. We, as a nation, must do better. LAPA stands in solidarity with the families and friends of George Floyd, Breonna Taylor, and Ahmaud Arbery. It is our sincerest desire to see justice is done as the law requires for their tragic deaths.

Diversity and inclusion are LAPA’s initiative for 2020. We hold firm in striving to be more inclusive and diverse to reflect the community that we serve and represent. Moreover, LAPA will continue to steadfastly advocate and create initiatives to prepare and support our paralegals.

National University Legal Education Courses Entirely Online

by Dr. Nancy Golden, Associate Faculty/Assistant Professor, College of Professional Studies, Department of Paralegal Studies, National University

National University is a Veteran funded, non-profit university with over 30 locations in California, one location in VA and one location in NV, that focuses on providing education to adult learners in a convenient and flexible one course per-month format. The University’s Paralegal Studies program prides itself in keeping abreast of technology and catering to the needs of the legal community. Until revised ABA Guidelines permitted paralegal programs to offer all of their classes online, National University’s students and instructors needed to meet at a physical classroom. However, beginning this year, the university began teaching classes in a hybrid format. Instructors were trained to teach online and to be sensitive to the individual student’s needs, while following the ABA Guidelines.

In light of the COVID-19 quarantine, National University will be adding a new entirely online element to its ABA-approved paralegal certificate curriculum beginning with the July 2020 classes. Classes are offered at substantially reduced rates. National University offers paralegal specialty certificates in litigation, corporations, and criminal law. If a student has earned their Associate’s or Bachelor’s degree, they may earn their certificate in as little as eight months.

Students will hear lectures and interact with faculty and each other using Zoom or Blackboard Collaborate. The lectures will be recorded to permit time-shifting or additional review. Students will still receive the same individual attention provided to their onsite peers because class sizes are smaller than most other programs and instructors will have enhanced availability via e-mail or online conference.

pan·dem·ic/pan ’demik/nouna means to stretch creatively in keeping your organization alive

by Doug Kuhn, ACP – LAPA Secretary

Here at the Los Angeles Paralegal Association we had several upcoming MCLE’s that were temporarily derailed by the COVID outbreak. Our most recent charitable event, “Run for Justice” (a 5K held at Dodger Stadium in conjunction with the Orange County Paralegal Association on Sunday, March 8) netted over $7,000 to benefit Public Counsel, the largest pro bono public interest law firm in the world. We were on track for a fully loaded calendar of events.

We were flying high and the year was definitely off to a great start. Sadly, just days later the roof caved in. Grocery stores were being cleaned out as panic buying gripped our city. It wasn’t “just the flu” as many thought; this was much more ominous than anyone had anticipated. As a non-profit, we became genuinely concerned about how we were going to survive this.

After the initial “what are we going to do” panic subsided, the most logical step was to take our services online. Barely one month after the 5K run our first topic was held over the internet, titled fittingly

“Employment Law Changes Due to the COVID-19 Pandemic”. In short order, we were on a roll. The following week we presented “Understanding the CARES Act and Determining What is Right for You and Your Business”. Other MCLEs that followed were “AI and the Law”, “Social Media Ethical Evidence Collection & Use”, and “Finding Assets and People”.

For these events registration was better than expected and we realized we could expand our services despite the enormous setback we were looking at.

In addition to the MCLEs being presented, we are conducting a virtual “happy hour” via Zoom. (Insert line about kicking myself for not having bought stock in them). These are held every Friday evening at 5:00 and are designed as a way for members to connect with each other. We recently had several individuals from the San Francisco, San Diego, and Sacramento paralegal associations join us where we were able to compare notes about how things were going in their region.

As we struggle to cope with this pandemic, we are consistently amazed at the resiliency of our members. Things will get back to normal eventually and the Los Angeles Paralegal Association will continue to provide innovative techniques to keep our members connected and educated. Conducting Remote DepositionFeaturing Leatt Gilboaby Francisco D. Gutierrez

The MCLE webinar, Conducting Remote Deposition, with Leatt Gilboa on May 21, 2020 was very informative and clarified the field of remote depositions during these unprecedented times. Ms. Gilboa explained to us the immense backlog and massive rise in litigation costs due to the novel COVID-19 pandemic which has many attorneys and paralegals running for the hills. The reason why many legal professionals are getting frustrated during these times is because of the uncharted waters we are all facing in our respective fields of law. Legal professionals that deal with depositions need to learn how to effectively use technology to their advantage while also learning about the ethical and legal implications technology will have us face. Ms. Gilboa, in the webinar, chatted with us on some ways to better manage cases during deposition meetings with opposing counsel and the judge.

She explicitly stated that the best virtual conferencing software company is Zoom. It is very easy to navigate, user friendly, and provides a variety of perks. Zoom offers a sharable link to the remote session in which the deposition will take place, making it easily accessible to all parties. The videographer, the person in charge of recording and monitoring the deposition from start to finish, will help set up the virtual deposition which is a service that Ms. Gilboa’s company, First Legal Depositions, offers.

Ms. Gilboa also shared with us other tools that First Legal offers attorneys and their support staff that will make remote depositions much easier for everyone, while keeping a record of everything going on. She explained that the Remote Videographers oversee the deposition recording both on and off record and sync transcripts to the video. They also provide a Remote Exhibit Management of all exhibits presented during the deposition. This includes either sharing your screen while on the Zoom conference or the reporter can print out the exhibits to mark or digitally physically mark them as they are conducted in in

person depositions. All these and more services like interpreting and Realtime Streaming can be offered by First Legal Depositions.

Some tips that Ms. Gilboa offered us were to share participants’ emails and electronic exhibits with the agency conducting the remote depositions early to assure that they are ready before the meeting and to arrange a pre-deposition testing with clients and witnesses before the actual meeting as well. The main concerns while conducting a deposition would be to speak clearly, do not cross talk, and refrain from side conversations that are not on the record. Ms. Gilboa was amazing in providing us with all this knowledge of conducting remote depositions efficiently and ethically. Thank you to her and to First Legal Depositions for their webinar and hope that you all join LAPA in other webinars to come! Francisco D. Gutierrez works as an Immigration Paralegal for the Law Office of Patricia Gittelson in the City of Van Nuys. Francisco has experience in removal defense litigation for asylum seekers, cancellation of removal, withholding of removal, U visas, Citizenship, and adjustment of status. He is also a commissioned notary public, a LAPA member, a paralegal member of the American Immigration Lawyers Association (AILA), and member of the National Association of Legal Assistant (NALA). Francisco is also a paralegal student, working toward his Associates Degree in Paralegal Studies and an Associates degree in Sociology from Mt. San Antonio College (Mt.SAC). Francisco is certified from the National Society of Legal Technology and is also studying to earn his E-Discovery and Litigation Support certification from Mt.SAC. He plans on continuing his education in sociology and his career in law. G

eDiscovery Q&AGuest speaker Allison Keane joined us for a “fireside chat” during our Tech Talk Tuesday program last month. Didn’t get a chance to attend? Don’t worry, we’ve recapped the conversation

below, including Allison’s insights on industry challenges, current trends and some tips for the audience on vendor selection!

About the Speaker

Allison Keane is an Enterprise Success Lead at Onna. She acts as a trusted advisor to her clients, helping plan and implement Onna’s software for eDiscovery, Compliance and more. Prior to Onna, Allison was leading a client onboarding team at software company Updater. Allison holds a BA in Communications from Fordham University.

What is your career background and experience?

I started with Onna a little over a year ago, but have worked in tech in different capacities since I graduated college. I started as a marketing intern-turned product assistant-turned onboarding manager and now, Enterprise Success Lead. In all of these roles, I’ve maintained a strong client focus.

Would you say that your experience with client-focused roles is a strength in the legal field?

Absolutely. Coming into the legal industry sounded like a scary thing (I admit I was nervous)—but experience with client challenges and needs can apply in any industry. Of course, I studied the eDiscovery process in depth, including the roles and responsibilities of counsel, paralegals, compliance officers and IT professionals. Being able to listen to a use case, knowing how your product can help the users, and then advising them on best practices is really important.

What are some common challenges you face working in legal tech?

I think we are at a point where there are constantly new forms of communication, workplace applications and unstructured data. Oftentimes, clients find themselves to be reactive rather than proactive, not only when it comes to immediate litigation, but also on the larger scale of data and information governance. This adds a sense of urgency and stress on those responsible for eDiscovery.

T E C H TA L K T U E S D AY H I G H L I G H T

What are some other trends that have made an impact on eDiscovery?

The modern workspace is digitizing. Teams across the globe are relying heavily on communication and collaboration tools, which means that there are growing amounts of data to govern. As data growth accelerates, this will have an impact on eDiscovery as legal teams have to search across increasingly large amounts of data. To make matters more complicated, we are also seeing new formats of data. Nontraditional ESI—such as videos, documents, gifs, message threads, shared files—is disrupting traditional workflows. Different applications also makes the data more scattered and unorganized. Long gone are the days of solely searching through an email inbox.

What kind of impact have you seen as a result of our current environment?

COVID-19 has further digitized our world. Not only are more people using communication & collaboration applications, they are also using them more frequently and consistently. Remote work has definitely caused enterprise data to grow and we’re seeing that the rapid adoption of workplace applications often means that company policies and retention plans aren’t necessarily defined in advance. This is posing new problems for legal teams in the eDiscovery field.

How does Onna fit into the eDiscovery space?

Onna is a data integration platform that integrates with cloud based applications like Slack, G-Suite, Jira, and Office 365. We centralize data from all of these different applications in one single repository - making scattered and unorganized data accessible, searchable. Onna’s open-ended Application Programming Interface (API) allows users to integrate their applications directly with the platform so they can preserve, discover, and control their data. From an eDiscovery standpoint, Onna saves legal teams major time and money by simultaneously extracting and processing information from multiple applications at once. In the case of non-traditional ESI, Onna’s processing engine is intelligent enough that it can cull it in its most defensible form and also recognize it and index it.

It sounds like integration might be a key piece. Could you elaborate on this further?

The ability to integrate with popular applications is key to solving modern enterprise problems. By centralizing different data sources into one single place, organizations are able to have more visibility and control of their data. In eDiscovery, gathering, organizing and analyzing the data is not an easy process. Every platform has its own unique challenges. Dealing with these one at a time can cost a paralegal or other legal professional weeks and months of tedious work. Successful integration platforms, like Onna, provide a solution to search across scattered data in one place and find the information relevant to litigation in a pinch.

How are you able to stay ahead of curve when it comes to new and evolving software and apps?

Staying on top of new technologies has a lot to do with embracing the velocity of change in technology. We know new technology will emerge faster with every piece of software built, so in addition to building direct APIs with these applications, we have built our own open API. This means that other companies can integrate with us. It can be a workplace application looking to build an integration directly into Onna or even our client looking to build a customized workflow. Our goal is to be a source of knowledge, truth, and insight, and that comes with a lot of diverse data management needs. So flexibility, customizability, and powerful technology is the way to serve enterprises both today and tomorrow.

What advice would you have for a paralegal who might be interested in legal tech?

Go for it! Explore your learning options in legal tech and how you can use it in your day to day activities. The legal field, just like any other industry, is in the direction of leveraging technology. Becoming familiar with the available technology will keep you ahead of the curve, whether you work in legal tech or not. In my opinion, this is really a subject matter adding to your arsenal. Plus, it’s an evolving, rapidly-changing topic, so it’s never “too late” to jump in!

Six Things All Social Media Influencer Contracts Should Contain

by Kathryn Marshburn

I’m sitting here reviewing an influencer contract for a music artist in regard to a brand sponsorship and thinking “why do influencer contracts vary so much from company to company and what are the key terms that should be in the contract?”

One of the most cringeworthy moments when reviewing an influencer contract is discovering a lack of concrete terms and the deliverables are not clearly defined. After 10 years of working with social media influencers, I’ve learned that creating a balance between the influencer and agency or brand, as it relates to clients’ marketing expectations is crucial, including reducing risk from a legal perspective.

I also decided to do some research on what some of the current trends and best practices in the social media influencer industry are in the case that you are involved in negotiating an influencer agreement.

6. Requirements Of The Influencer In Regard To FTC Guidelines

This of course is the most important portion of the contract, where the influencer aligns with and understands FTC requirements for brand deals. In particular, where to prominently place the #AD or #Sponsored hashtags. Nothing makes me more crazy when an influencer tries to convince a brand, marketing department or an agency into not using the FTC visual hashtag requirement. By adding the FTC link in the contract for influencer review and signature, it provides no error in the comprehension of what’s required.

5. Acknowledgment Of Brand Ethics

From research online, the industry also covets agreements that outline obligations such as refraining from and not allowing content links or references that promote race or gender discrimination, age, sexual notation, religious or other types of discrimination. Additionally, some companies will require no gambling, betting, excessive violence, no use of alcoholic beverages, tobacco, firearms, ammunition, weapons or require no promotion of sexual pedophile sites, pornography or vanity dating products. I have also seen contracts where there are no allowances for drugs or controlled substances, pharmaceutical products or services of the like in promotional posts and the list can go on depending on the brand.

4. Payment Terms That Reflect Industry Standards

Part of the job responsibility as a contract administrator for social media influencer contracts is to educate the brand on industry standard practices, policies and the effectiveness of campaigns when influencers create their own version of requested content. In exchange for payment, brands are able to capture an influencer’s fans.

One of the most prevalent errors in the contract terms includes payment terms where brands are trying to negotiate payment terms of 60 to 90 day payments after upload of content which is not Industry standard. 30 days after upload of content, on the primary platform, is industry-standard and we are starting to see companies that will procure payments 15 days after upload of content. However, more than 30 days is not acceptable as social media influencers are often contracted late in the marketing campaign process and are required to provide a very quick turnaround. The goal is to strive for a balance between expectations of the brand and expectations of the influencer.

3. Quality Content In A Timely Manner

The social media influencer should agree that the deliverable items shall meet specifications provided by the brand and should be agreed upon by both parties. Delivery of the items may be emailed, shared through dropbox, etc., and should be clearly defined including upload date of content that specifies which platforms are engaged for the primary content distribution. continued on page 17

2. Brand Should Have First Right Of Refusal On The Deliverable Item

Most influencers understand this policy as industry standard, but it’s always important to address this deal point clearly in the contract. The deliverable item that is mutually agreed upon for content and a time deadline that complies with the contract will be delivered in a timely manner. And under no circumstances will the social influencer modify the work in anyway without the express written approval of the brand.

1. Social Media Posting Schedules With Fines for Late Posts

I had the privilege of working for the largest beverage company in the world on a brand deal in the music industry. I was extremely impressed and have never seen anything like it since in regard to the posting schedule. The detailed schedule and care taken to outline the work to be done, must have taken extreme study sessions to understand the influencer’s nuances in posting style. For example, if the influencer was hired for a YouTube video upload, there was also a posting schedule for other platforms such as Twitter, Instagram and Snapchat to enhance the YouTube video upload’s effect and complement the marketing campaign.

This beverage company provided a schedule that was so well thought out and so personal for the influencer, that they added the emojis that the influencer uses on their personal platforms in the script, as well as suggested language that was very similar to the influencer’s form of speech and paid attention to the influencer’s posting schedule dates and times to align their script to reflect the same. The brand added the schedule as part of the contract in an Exhibit A.

They also added fines for missing the scheduled posting dates on non-primary platforms, as the entire deal was very lucrative for the influencer. I am not suggesting that every deal requires fines for not posting on time, but I do cringe when I hear an influencer complain about having to post or adding the proper hashtag when the influencer is getting paid. When it comes to larger monetary deals, it is possible to place fines to make sure that the campaign marketing and activation is maximized and aligns with the brand’s goals. The campaign I referenced above did go viral with 10 million plus views on YouTube and was exceptional for the brand and the influencer.

In conclusion, when influencer contracts are clear and easy to read with necessary FTC guidelines, the payment terms, and the posting schedule is detailed, which encourages the influencer to post more organically, it equals a very happy brand and successful campaign.

PRESIDING JUDGE KEVIN C. BRAZILE ORDERS MANDATORY USE OF A FACE COVERING/MASK IN ALL LOS ANGELES

COUNTY COURTHOUSES AND COURTROOMS

ANYONE REFUSING TO WEAR A MASK/FACE COVERING MAY BE DENIED SERVICES, ASKED TO LEAVE OR ESCORTED OUT BY LOS ANGELES COUNTY SHERIFF’S DEPUTIES

Presiding Judge Kevin C. Brazile today signed a General Order mandating facial coverings and social distancing requirements in all 38 Superior Court of Los Angeles County courthouses and courtrooms. “The Court must fulfill its statutory duties while safeguarding the well-being of the public it serves,” Presiding Judge Kevin C. Brazile said. “The Court has taken extensive measures to reduce the number of persons coming to its courthouses, including limiting the matters to be heard on any given day, spreading out the scheduling of cases, directing prospective jurors to courtrooms instead of jury assembly rooms, facilitating remote telephonic/video court transactions with the virtual Clerk’s Office, online and remote Self-Help services, remote mediations, teleworking employees, encouraging counsel and litigants to appear remotely, and implementing scheduled appointments for in-person transactions at the courthouse.” The Order allows individuals whose disabilities preclude them from wearing a mask to seek an exemption as a reasonable accommodation pursuant to the Americans with Disabilities Act (ADA) or Rule 1.100 of the California Rules of Court. Requests for an exemption to the Order may be directed to the ADA liaison at each courthouse. A list of liaisons is available at www.lacourt.org/ada/adahome.aspx. Under the Order:

SUPERIOR COURT OF LOS ANGELES COUNTY COURTHOUSES TO REOPEN TUESDAY, JUNE 2

Most of the Court’s 38 courthouses will reopen on Tuesday, June 2, to resume providing essential services. On Sunday, Presiding Judge Kevin C. Brazile ordered the courthouses closed today due to public safety concerns after the issuance of a countywide curfew which took effect at 6 p.m. on May 31, 2020. All courthouses will reopen to handle time-sensitive and essential functions except the following which have been closed for some time due to COVID-19-related service reductions: Beverly Hills, Bellflower, Catalina, Central Civil West, East Los Angeles, Santa Clarita and Spring Street. The Court plans to reopen its Clerk’s Office operations on June 15 with a revised service model that prioritizes telephonic and online services, and appointments to meet in person with court personnel, in order to achieve social distancing protocols. Hearings will resume gradually beginning June 22. Face masks and/or facial coverings will be mandatory and required for entry into any courthouse or courtroom by the general public or authorized persons. Since Presiding Judge Brazile released his March 17 General Order to scale back operations in the largest trial court in the country in alignment with State and County COVID-19 public health directives, the Court has implemented drastic changes to court operations. During this time, 473 of the Court’s 600 courtrooms, approximately 80 percent, have been closed. Check for updates on the Court’s website (www.lacourt.org) and Twitter page (@LASuperiorCourt).

Under attorney supervision, volunteers develop foundational legal skills, including learning to spot legal issues; to conduct telephone interviews with potential clients dealing with challenging, stressful situations; determining what information provided by the caller is relevant; and to begin to develop judgment of potential cases in a wide array of legal areas. Volunteering with Intake Services also provides first-hand knowledge of the landscape of legal services available in Los Angeles County and exposure to and understanding of the issues faced by the communities we serve. Commitment: 40+ hours. During the school year, we ask that volunteers commit to working in the Intake Center for 8-10 hours/week for 8-10 weeks. During certain periods, such as winter break, we may be able to accommodate schedules that include a higher number of hours per week for fewer weeks. Work must be completed during normal business hours (M-F, 9am-5pm). To Apply: Email [email protected] or call (323) 549-5839 with any questions. Spanish language skills are highly preferred, but not required.
