NOTICE FOR ANNUAL GENERAL MEETING(Under Article 28)

To: All the Members of the Federation:

Sub: 102 Annual General Meeting Friday, the 19th July, 2019 at 3.00 p.m. at K. L. N. Prasad Auditorium, Registered Office, Red Hills, Hyderabad

Notice is hereby given under Article 28 of the Articles of Association of the Federation that the 102 Annual General Meeting of The Federation of Telangana Chambers of Commerce and Industry (the ‘Federation’) will be held on day, date, time and venue mentioned above to transact the following business:

A. ORDINARY BUSINESS :

1. To receive, consider and adopt the Annual Report consisting of Managing Committee’s Report, Financial Statement, together with the Auditor’s Report and any other statement, as required by the Companies Act, 2013, and Rules made there under, of the Federation for the financial year ending 31st March, 2019

2. To announce the appointment of the President as per Articles 28(1)(b) and Senior Vice-President for the year as per Article 15(5) of the Articles of Association of the Federation

3. To elect members (15) of the Managing Committee from amongst the valid nominations received as per the Article 15(8) of the Articles of Association of the Federation

4. To appoint Statutory Auditors to Audit the Accounts of the Federation for the year 2019 – 2020 and to fix their remuneration.

B. ANY OTHER BUSINESS:

Any Member of the Federation may give Notice to the Secretary (I/c) not less than fourteen days (exclusive of the day on which the notice is given and the day of the meeting) prior to the date of the Annual General Meeting of any business that the Member desires to be considered at the Annual General Meeting, as per Article 28(2). All such Notices shall be circulated by the Secretary(I/c) to the Members at least seven days before the date of the Annual General Meeting.

Dear FTCCIates,It gives me great pleasure to present the 102 Annual Report of the Federation along with the Annual Accounts and the Auditor’s Report for the year 2018-19.

I was truly honored to head this 102 year old prestigious organization and it has been a very eventful year for us all. As the voice of Industry and Business in the States of Telangana and Andhra Pradesh since 1917, the Federation always strives to promote a diverse, vibrant and sustainable business community across the region. I made my best efforts to fulfill the objectives, and Mission and Vision of the Federation in my tenure as the office bearer in the last three years. As I now lay down my office of the President after completion of my tenure, I feel I can look back with the satisfaction of having done my best.

I take this opportunity to inform the members that the Federation has now taken a conscious decision to float two independent organizations to fulfill the needs and aspirations of industry and trade in Telangana and Andhra Pradesh. The decision was partly inspired by the political situation and more importantly, it was felt that the office bearers or the Managing Committee members were unable to take up the required activities in AP due to complete shifting of government to Amaravathi, the capital of AP. In the interests of the industry, trade and commerce of both the States, the name of FTAPCCI is now changed to FTCCI (Federation of Telangana Chambers of Commerce and Industry) and registration of FAPCCI (Federation of Andhra Pradesh Chambers of Commerce and Industry) is in progress.

The year 2018-19 was an eventful year not just for the Federation, bur for the country as a whole. The 17th Lok Sabha Elections have once again given mandate to NDA government to lead the country. Prime Minister Mr. Narendra Modi’s quote “we walk together, we move together, we think together, we resolve together, and together we take this country forward” had helped India to become fastest growing economy in the world. India’s

emergence as a global economic power is an outcome of globalization, digitization, favorable demographics and key reforms like GST, Insolvency and Bankruptcy Code and liberalization of FDI norms. India’s rank in global ‘ease of doing business’ jumped 23 levels in 2019 due to fundamental reforms introduced by the government.

The performance of Indian economy is phenomenal in certain areas and is improving its world rankings surpassing many countries. For instance India has retained its position as the third largest startup base in the world, and Asia’s most investment savvy economy. I must say that India is passing through a phase where rapid developments are taking place on technology and innovation side, young generation is willing to take risks and start their own industries and people, in general, are inclined towards spending more on goods and services in an effort to improve their living conditions.

As the GST journey progressed, there was a growing realization of its far-reaching impact. During the year, the Government adopted a refreshed and expeditious approach in addressing challenges faced by industry. The authorities have been quick to address public concerns by issuing a series of notifications, clarifications, press releases and FAQs, to resolve a wide range of issues. Its extensive use of social media, especially on Twitter, was unheard of till now. Furthermore, the Government has launched various web-based mobile applications to facilitate dissemination of information on a real-time basis. Several working groups have been formed to work on sector-specific issues. In addition, the GST Council has convened numerous meetings during the last one year to address industry’s concerns, and has to a large extent resolved issues. I am proud to say that most of the suggestions given by the Federation on E-way Bills system, Input tax credit, GST rates on various goods and services were considered and implemented by the Council.

In-Charge Finance Minister Sri Piyush Goyal in Lok Sabha on 1st February with a total outlay of Rs. 27.8 lakh crore. The salaried middle class got the biggest bonanza of full rebate on income tax on incomes of Rs. 5 lakh per annum benefitting 30 million tax payers, including small businesses. This is going to benefit the industry indirectly by raising the disposable income and increase in consumption.

A new pension scheme has been proposed to benefit at least 100 million unorganised labourers, providing an old-age pension of Rs 3,000 per month. I am glad that the government of India has taken care of social security for the workers in unorganized sector.

FTCCI welcomes the proposal of Mr. Suresh Prabhu, then Union Minister for Commerce and Industry to recognise the efforts of District Administration for improving the Ease of Doing Business at local level by presenting the Awards. We completely agree that the increase in economic growth rate at District level (Gross District Domestic Product GDDP) by 3% to 4% will lead to much higher increase in overall growth rate (GDP) of the economy.

The thrust given to the exports by the government of India by announcing the Agriculture Export Policy, Air Cargo Policy for export and import, allocation of Rs. 132 crore to remove as much human interference as possible to improve ease of doing business for exporters are going to help increase India’s share in world exports.

The Federation, in its endeavor to promote trade, invites the foreign delegations and during the year FTCCI hosted delegations from Indonesia, Italy, Korea, Russia, Somalia, Switzerland, and Bosnia. The mutual opportunities for trade and investment are explored and the participation of Telangana government representatives ensured that the visit of the delegations was fruitful.

The Federation has organized a seminar on “Business Opportunities with United Nations” to create awareness among the entrepreneurs the huge amount of business opportunities available with United Nations Organization and its Agencies like UNICEF, UNIDO, WHO, ILO, IAEA etc for the first time in the states of Telangana and Andhra Pradesh. I am pleased to inform that, sequent to the seminar, the United Nations Procurement Division has sent a Procurement Officer from New York to give two-day training program on how to identify the opportunities, how to register on UNGM, dos and don’ts

while participating in the Bidding to the officials of TSTS and IT Department, TSTPC, APEDB and FTCCI.

Low Employability of graduates in various fields like engineering, IT & C, management, pharmacy and other fields is one of the major problems faced by industry. Vocational training and skill development, in recent years, is making headway with the various measures taken by the State and Central governments.

The Federation has always been playing a proactive role in supporting the State governments and we are proud that two Telugu speaking states are leading the country in ‘Ease of Doing Business’. Telangana has so far attracted over Rs. 1.61 lakh crore investments after implementing TS-iPASS, the state’s new industrial policy which came into being in 2015. Nearly 10,000 new industries came to the State and more than 11 lakh new jobs were created in these four years, according to the latest report. The government has succeeded in making Telangana an attractive destination for investors with its business friendly policies. But there is long pending of release of incentives sanctioned to eligible industrial units that is affecting the financial health of the MSMEs in the State. The Federation has submitted representations to the government to arrange for release of pending incentive amounts and strengthen the MSME sector in the state. We request the government of Telangana to sanction Rs 2000 crore in the forthcoming budget for industrial promotion and also to include release of sanctioned incentives in the TS-iPASS system.

The state of Andhra Pradesh, with its industry friendly, sectoral policies attracted investors to the state in large numbers and many prestigious, international organizations started their operations in the state. AP has attracted over Rs. 823942 crore since 2015. More than 18500 new industries came to the state and almost 7.5 lakh jobs were created in the last four years. The Federation requests the new government to allocate Rs 1500 crore budget for industrial promotion in FY 2019-20

We are very proud that both Telugu speaking states have registered double digit growth and poised to become one of the top 5 industrially most advanced states of the country.

Hyderabad is getting set to become ‘Telangana Drone City’ and become a facilitation centre for private and government organizations seeking to use drones. Once the Drone Policy is finalised, Telangana state will have

another feather in its cap – i.e. it becomes first state in the country to have its own Drone Policy. The potential areas for applications of Drones are agriculture, energy, municipal administration, mining, irrigation and public safety. To develop the drone industry in the State, the draft policy proposes to provide 100 per cent reimbursement of SGST for seven years, 25 per cent investment subsidy, and other incentives.

The Federation, apart from conducting seminars and conferences is also conducting research to provide inputs to the government on the status of MSME sector. I am pleased to inform that FTCCI jointly with IMCI released a Report on “Current Practices and Challenges of MSMEs in pursuit of the Make in India Vision” and the report was received well by the department of industries and commerce, government of Telangana.

As a part of CSR activities, the members of Federation came forward and donated recyclable semi-cloth bags to Amrabad Tiger Reserve for collecting the garbage and protection of environment.

The Federation delegation called on the Hon’ble President of India Sri Ram Nath Kovind, at Rashtrapathi Nilayam, Bollaram, Secunderabad during Hon’ble President’s southern sojourn and discussed various issues relating to industrial development, more particularly on women empowerment. The Hon’ble President appreciated the work done by the Federation in safeguarding the interests of the industry and trade and advised to take up more activities towards empowerment of women and rural development.

FTCCI continued to have meaningful events, delegations and interactions on various issues. While I may not be able to cover all the happenings at the Federation in this short note, I would like to mention few activities that I believe would be of great interest to the members:

The Federation also hosted Luncheon Meeting with British Deputy High Commissioner at Visakhapatnam, had interactive meetings with Director General, Korea Trade Investment Promotion Agency (KOTRA), Indonesia, Russia, Bosnia, Somalia, Canada and Italy Foreign Delegations to enhance the trade opportunities for members.

We, at Federation, firmly believe that the growth and prosperity of its members is ultimately our growth and our mission fulfilled. I am very happy to note that the interaction between the Federation and the Government has increased manifolds and wish that this will be further strengthened in the years to come.

I would like to thank the Print and Electronic Media for their continuous and positive coverage of the activities and the efforts taken by the Federation towards betterment of trade and industry in the States.

I would like to place on record my sincere thanks for the support received from the Past-Presidents, Managing Committee Members, Chairmen/Co-Chairmen of various sub-committees, members of the committees, and secretariat staff.

As I demit my office, I pass on the baton to Mr. Karunendra Jasti, Senior Vice President, who will assume the charge as President after the AGM and carry on the Mission of the federation.

I assure the members that the Federation with renewed energy and focus will work towards putting Telangana in the forefront and I take this opportunity to appeal to all the members to work and participate actively in strengthening the Federation.

The Members of the Managing Committee have pleasure in presenting the 102nd Annual Report together withFinancial Statements for the financial year ended 31st March 2019.

FINANCIAL RESULTS

The Financial results of the FTCCI for the financial year under review are as follows:

The Federation has earned revenue from its operations of Rs. 23884084 during the financial year 2018 - 19 asagainst Rs. 25377861.during the previous year 2017-18.The surplus earned during the Financial Year 2018-19 is Rs. 8012925 as against Rs..9894178 in the previousyear 2017-18.FUTURE OUTLOOK & THE STATE OF THE FEDERATION AFFAIRSFTCCI is in the process of creating a new company in the State of Andhra Pradesh with a view to giveappropriate representation and to focus on the issues pertaining to industry, trade and commerce in the state ofAndhra Pradesh.FTCCI has signed an MoU with NALSAR University of Law, Shamirpet Campus, Hyderabad for setting up an ADRCentre to have (a) Arbitration Centre; (b) Mediation Centre (Commercial Disputes); (c) Mediation Centre (FamilyDisputes) and (d) to activate Mediation Centre (Consumer Disputes) in FTCCI.MATERIAL CHANGES AND COMMITMENTSA major renovation of toilets, waterproofing is taken up in Federation House and spent Rs. 1430689 towards therenovation , till the end of March, 2019.APPROPRIATIONSTransfer to reservesAn amount of Rs. 7740837 has been transferred to the Reserves being the profit earned during the Financial year2018-19.Dividend N.A.Share Capital N.A.

NUMBER OF MEETINGS OF THE MANAGING COMMITTEE

The Managing Committee duly met 12 times on 30/07/18, 10/08/18, 21/09/18, 26/10/18, 23/11/18, 21/12/18, 25/1/19,22/2/19, 9/3/19 and 30/03/19, 26/4/19 and 24/5/19 in respect of which meetings, proper notices were given and theproceedings were properly recorded and signed in the Minutes Book maintained for the purpose.

MANAGING COMMITTEE MEMBERS’ RESPONSIBILITY STATEMENT:

Pursuant to the requirement under Section 134 of the Companies Act, 2013 with respect to the Managing Committee Members’Responsibility Statement, it is hereby confirmed:

i. That in the preparation of the annual accounts for the financial year ended 31st March 2019, the applicable accountingstandards had been followed along with proper explanation relating to material departures.

ii. That the Managing Committee Members had selected such accounting policies and applied them consistently andmade judgments and estimates that were reasonable and prudent so as to give a true and fair view of the state ofaffairs of the Federation at the end of the financial year and of the profit or loss of the Federation for the year underreview.

iii. That the Managing Committee Members had taken proper and sufficient care for the maintenance of adequateaccounting records in accordance with the provisions of the Companies Act, 2013 for safeguarding the assets of theFederation and for preventing and detecting fraud and other irregularities;

iv. That the Managing Committee Members had prepared the accounts for the financial year ended 31st March 2019 ona ‘going concern’ basis.

v. The Managing Committee Members had devised proper systems to ensure compliance with the provisions of allapplicable laws and that such systems are adequate and operating efficiently.

AUDITORS

M/s Nataraja Iyer & Co., Chartered Accountants bearing Firm Registration Number 002413S Statutory Auditors of the Federation,who retire at the conclusion of the ensuing Annual General Meeting, have confirmed their eligibility and willingness to acceptoffice, if reappointed. The Federation has also received a confirmation from them under Section 139(1) of the Companies Act,2013.

There are no observations or adverse remarks made by auditors during the financial year 2018-2019.

CHARGES The Federation has not created any charge on its assets

FIXED DEPOSITS

The Federation has not accepted any fixed deposits during the year under review.

PARTICULARS OF LOANS, GUARANTEES OR INVESTMENTS UNDER SECTION 186: NIL

PARTICULARS OF CONTRACTS OR ARRANGEMENTS: Nil

INSURANCE: The Properties and assets of the Federation are adequately insured.

INTERNAL CONTROL:

The Federation has a proper and adequate system of internal control to ensure all the assets are safeguarded and protectedagainst loss from unauthorized use or disposition and the transactions are authorized, regarded and reported correctly.

The internal control is supplemented by an extensive program of monthly audits, review by management and procedures.The internal control is designed to ensure that the financial and other records are reliable for preparing financial statementsand other data, and for maintaining accountability of assets.

Normal forcible risks of the Federation’s Assets are adequately covered by comprehensive insurances

THE CONSERVATION OF ENERGY, TECHNOLOGY ABSORPTION, FOREIGN EXCHANGE EARNINGS AND OUTGO:

The Federation has taken adequate measures to conserve energy by continuous monitoring and effective use of energy,which is continuous process.

DISCLOSURE UNDER THE SEXUAL HARASSMENT OF WOMEN AT WORKPLACE (PREVENTION, PROHIBITION ANDREDRESSAL) ACT, 2013

The Federation has in place an Anti Sexual Harassment Policy in line with the requirements of The Sexual Harassment of Womenat the Workplace (Prevention, Prohibition & Redressal) Act, 2013. Internal Complaints Committee (ICC) has been set up toredress complaints received regarding sexual harassment. All employees (permanent, contractual, temporary, trainees) are coveredunder this policy.

The Management has not received any complaint of sexual harassment during the year 2018-19.

PERSONNEL

The Federation has enjoyed cordial relations with its employees during the year under review and the Managing Committeeappreciates all the employees across the cadres for their dedicated service, and looks forward to their continued support andhigher level of productivity for achieving the targets set for the future.

Sri Akhil Kumar Gawar, Director, TSFPS in his address said that the purpose of various Acts and Policies wastowards providing food security which means the very basic of the food. We do not have mechanism to handle lot ofproblems related to surplus of produce. He said there is a need to have change in approach of food security tosustainability towards nutrition. Dr. Vilas A. Tonapi, Director, Indian Institute of Millets in his address suggested thatpolicies to improve health require integration of nutrition needs with economic growth and development. CA ArunLuharuka, President, FTCCI in his Welcome Address said that Functional food is one of the most interesting areas ofresearch and innovation due to their relevance related to the increasing cost of healthcare, the steady increase in theexpectancy and the desire of older people for an improved quality of life in their later years. Conclave on Agri & Food Processors – 8th March, 2019 - FTCCI Surana Auditorium, Federation House

ASSOCHAM with the support of Ministry of Food Processing Industry, Govt. of India and FTCCI had organized theevent. Sri C. Parthasarathi, IAS., Principal Secretary, Agriculture & Co-operation Dept. Govt. of Telangana was theChief Guest. In his inaugural address he said that Agricultural sector plays a significant role in any economy andprovides food, raw material and employment opportunities to a large segment of the population. He said that theTelangana Govt. is working to increase the farmers income and land cultivation will also increase after completingKaleswaram Project. CA Arun Luharuka, President, FTCCI in his welcome address urged the Government ofTelangana to promote farmer groups and encourage them to set up food processing units in the State and provideinfrastructure facilities to preserve the products from farm gate to the Market. Bhasker Reddy, Chairman ofthe Committee, in his special address said that in terms of production, consumption and exports of processed food,India ranks 5th in the world and Food processing sector ranks 1st in terms of employment and number of industries inoperations and 3rd in terms of output. Sri R.B. Devanand, Addl. Director of Industries, Govt. of Telangana, Hyderabad said the Industrial Policy providesa framework which will stabilize and make existing industries more competitive and also attract and realize newinternational and national investments in the industrial sector. The focus is on manufacturing sector which createsemployment and adding value to their skills. Sri Arun Luharuka, President FTCCI welcoming the participants saidthat SMEs need to change the strategy of promoting their product and marketing and need to change the financial andmore importantly they need to upgrade the technology. The objective of the meeting was to create awareness among the pensioners about the recent Supreme Court orderon EPS Scheme with reference to higher wages. Sri A. Meeting on “Sustainable Development of SEZs with MSE-CDP – 25th January, 2019 - MSME-DI, Balanagar,Hyderabad

Sri D. Chandrasekhar, Addl. Industrial Adviser has narrated the activities of the MSME and the benefit of MSMEsschemes like NMCP, ISO, Cluster Development Programmes. He also explained about financial assistance/Reimbursement scheme to MSMEs for participation in domestic Exhibitions/Trade Fairs under NMCP Scheme. TheDeputy Director gave Presentation on Sustainable Development of SEZs with MS Enterprise Cluster DevelopmentProgramme. He explained that SEZs were recognized as growth engines for exports and MSMEs for economicdevelopment. Further he explained the benefits under SEZ scheme which provide duty free import and exports. SriKLN Murthy, Asst. Director explained about the Clusters.

FTCCI & IMCI: Release of the Report on “Current Practices and Challenges of MSMEs in Pursuit ofthe Make in India Vision” - 4th February, 2019 – NI-Msme

The IMCI, an institution of Management Consultants, along with FTCCI has done a survey on adoption of lateststrategies in key functional areas of MSMEs to understand the readiness of small Enterprises for the success ofMake in India. From the findings of the report, it is clear that one of the major barriers faced by MSMEs is the lackof enough finances and skilled man-power for adopting the latest production techniques and strategies. Sri JayeshRanjan, IAS, Principal Secretary, Inforamtion Technology, Electronics & Communications and Industries & CommerceDept., Govt of India released the report. He congratulated the FTCCI and IMCI and hoped that many such reportsshould come out in near future.

Mr.Ade Sukendar, Consul General of the Republic of Indonesia, Mumbai explored the opportunities in Indonesia andinvited the entrepreneurs to visit the 34th Annual Trade Expo scheduled to be held in Jakarta this October could serveas springboard. Mr. Ferry Jacob, Trade Attache, Embassy of the Republic of Indonesia, New Delhi gave a presentationon Trade Expo Indonesia happening from 16-20 October, 2019 at Jakarta and invited entrepreneurs to participate andexplore business opportunities. Mr. D. Rizky Novihamzah, Director, Indonesia Investment Promotion Centre (IIPC)said the Indonesian government had eased the process of the approvals for investors with an online submissionmechanism that aimed at integrating the licensing mechanism of 20 ministries. 4. A distinction between member and non-member fee for the events was made, so that members feel that theyare being offered with discount.

Telangana State Minimum Wages Advisory Board - 25th April, 2018

The Meeting was called to discuss the revision of Minimum Rates of Wages in 24 schedule employments by finalizingdraft notifications. The Employees’ representatives (Trade Unions’ representatives) unanimously recommended forrevision of wages to Rs 15535/- for unskilled workers in all the schedules. All the members of employers’ representativesunanimously said that the revision should be only on existing basic wage and not after adding VDA amount to theBasic Wage.

Telangana State Micro & Small Enterprises Facilitation Council (TSMSEFC) – 4th July, 2018

Arbitration Meeting with respect to M/s Vasant Technocrats Pvt Ltd Vs Simplex Infra Structures Ltd, was held on4th July, 2018. The case was about the release of retention amount of 5% of monthly R.A. bills held by Simplex InfraStructures Ltd. The claimant (M/s Vasant Technocrats Pvt Ltd) requested to pass an award for Rs. 19,71,277/- inwhich he claims Rs. 12,82,223/- as principal amount, and an interest of Rs. 5,97,567/-.Since the claimant has failed toproduce the document of completion of work & HMDA has not issued the certificate so far, the claim is rejected.Order is passed by the Council to this effect

Department officials presented the introduction of Regional Committee (EPF), Telangana state and performancehighlights of Telangana Zone for the year 2018-19.

Consultative Committee on IT Industry (CCITI) Meeting – 22nd November, 2018 & 2nd May, 2019 –Telangana Secretariat, Hyderabad

Applications received for allotment of land and release of various incentives i.e. for Conversion for Industrial PowerTariff, Reimbursement of Lease Rentals, Reimbursement of Telephone and Internet charges, Reimbursement ofRegistration Fee, Stamp duty and Transfer of property duty, Reimbursement of Exhibition rental fund, Interest ratesubsidy, Quality certification, Recruitment Assistance, Subsidy on Capital investment etc. for IT industry and declarationof IT Park status were considered and approved by the committee.

In the latest meeting held on 2nd May, 2019, the recent applications were scrutinized by the Sub-Committee of theCCITI headed by Sri Jayesh Ranjan, IAS, Principal Secretary, ITE&C, and Sri EV Narasimha Reddy, VC & MD.TSIIC Ltd. Definitive conclusions were drawn on the Applications for allotment of land / space, release of incentivessuch as Industrial Power Tariff rates, reimbursement of Lease Rentals, Telephone & Internet charges, RecruitmentAssistance, Interest Rate Subsidy etc. Wherever there was ambiguity, the issue was referred to another governmentbody for investigation and further action.

The matter of selecting of an agency and expenditure for creation and online maintenance of digitalized data base ofworkers/welfare fund contributors covered under AP Labour Welfare Board was discussed at the meeting held inJuly, 2018.

The matter of Employees Health scheme – Master Health Check up / Annual Heath Check up for employees of A.PLabour Welfare Board and their spouses on par with government employees, regularization of employees appointedon ad-hoc basis were discussed at the Meeting held on October, 2018.

Status of Release of Incentives and Budget Details:

As on 18th February 2019, total amount of Rs. 2,122.01 crore of sanctioned amounts towards power subsidy, PavalaVaddi, Investment Subsidy, Sales Tax, Stamp Duty, Land Cost, Land Conversion Charges, Mortgage Duty, Skill UpGradation was pending for release 22380 eligible units in the State belonging to General / SC/ST Category.

The Government of Telangana allocated Rs 1159.38 crore towards budget for industrial promotion for the year 2018-19 (Incl. of SC & ST) but LOC was issued to the extent of Rs. 282.64 Crore only. Another Rs 304.08 Crore forwhich BRO was issued towards industrial promotion were lapsed due to non issuance of LOC by the FinanceDepartment.

We would like to seek the extension for the due date availing of the InputTax Credit for the period July 2017 to March 2018 on the inward suppliesfor the taxpayers.

As per the provisions of the CGST Act Section 16, Sub-section 4., thebuyer of the goods or services or both can avail it “after the due date offurnishing of the return under section 39 for the month of Septemberfollowing the end of financial year to which such invoice or invoice relatingto such debit note pertains or furnishing of the relevant annual return,whichever is earlier.”

The input tax credit if not claimed before the due date for the filing of thereturns for the month of September 2018 which is 20th October 2018.

The same can be extended for the availing the credit for thefollowing reasons:

* This being the first year of the rollout of GST, many from the tradeand industry are not geared up for the same especially from theorganized sector and from Tier 2 & Tier 3 locations.

* For the taxpayers who have not filed the returns from July 2017 toMarch 2018, the due date for filing is 31st October 2018 for taxpayerhaving turnover less than Rs 150 Lacs and above Rs 150 Lacs notifiedwide notification numbers Notification No. 43/2018 – Central Taxdated 10th September 2018 and Notification No. 44/2018 – CentralTax dated 10th September 2018.

* As per provisions of Section 41 (1), the input tax credit is to be treatedon provisional basis till the supplier has made payment of the outputtax liability and in the Form GSTR – 2A it is not clear if the taxpayment is done by the supplier or not. This is creating challenges toavail the credit correctly.

* Taxpayers who are registered as input service distributor are not ableto file their returns Form GSTR – 6 the offline utility is having technicalglitches and online the system is not accepting as the volume of recordsis very high. As a result of it, they are not able to distribute the ITC toother divisions resulting then server cash loss and financial loss.

* The due date for the return filing of GST Returns for the taxpayerswho are notified No. 31/2018 – Central Tax dated the 06th August,2018 is 31st December 2018 and this will create challenges in availingITC as they cannot do reconciliation and as result if any debit orcredit notes are to be issued by the supplier cannot be accounted.

Till all the above challenges are addressed, the taxpayers cannot availthe complete input tax credit on their inward supplies of goods or servicesor both as result cannot claim the input tax credit.

We therefore request the Finance Minister to kindly issue a notificationunder relevant provisions of the Act to avail input tax credit after the duedate of filing of the returns for the month of September 2018.

Opinion

We have audited the standalone financial statements of the Federation of Telangana Chambers of Commerce andIndustry (Formerly the Federation of Telangana & AP Chambers of Commerce and Industry) (“the Federation”),which comprise the Balance Sheet as at 31st March 2019, and the statement of Income and Expenditure and statementof cash flows for the year then ended, and notes to the financial statements, including a summary of significantaccounting policies and other explanatory information.

In our opinion and to the best of our information and according to the explanations given to us, the aforesaid standalonefinancial statements give the information required by the Companies Act, 2013 in the manner so required and give atrue and fair view in conformity with the accounting principles generally accepted in India, of the state of affairs of theFederation as at March 31, 2019, and its excess of Income over Expenditure, and its cash flows for the year ended onthat date.

Basis for Opinion

We conducted our audit in accordance with the Standards on Auditing (SAs) specified under section 143(10) of theCompanies Act, 2013. Our responsibilities under those Standards are further described in the Auditor’s Responsibilitiesfor the Audit of the Financial Statements section of our report. Responsibilities of Management and Those Charged with Governance for the Standalone FinancialStatements

The Federation’s Managing Committee is responsible for the matters stated in section 134(5) of the Companies Act,2013 (“the Act”) with respect to the preparation of these standalone financial statements that give a true and fair viewof the financial position, financial performance, and cash flows of the Federation in accordance with the accountingprinciples generally accepted in India, including the accounting Standards specified under section 133 of the Act. Thisresponsibility also includes maintenance of adequate accounting records in accordance with the provisions of the Actfor safeguarding of the asscts of the Federation and for preventing and detecting frauds and other irregularities;selection and application of appropriate accounting policies; making judgments and estimates that are reasonable andprudent; and design, implementation and maintenance of adequate internal financial controls, that were operatingeffectively for ensuring the accuracy and completeness of the accounting records, relevant to the preparation andpresentation of the financial statements that give a true and fair view and are free from material misstatement,whether due to fraud or error.

In preparing the financial statements, the Managing Committee is responsible for assessing the Federation’s ability tocontinue as a going concern, disclosing, as applicable, matters related to going concern and using the going concernbasis of accounting unless the Managing Committee either intends to liquidate the Federation or to cease operations,or has no realistic alternative but to do so.

Those Managing Committee Members are also responsible for overseeing the Federation’s financial reporting process.

Auditor’s Responsibilities for the Audit of the Financial Statements

Our objectives are to obtain reasonable assurance about whether the financial statements as a whole are free frommaterial misstatement, whether due to fraud or error, and to issue an auditor’s report that includes our opinion.Reasonable assurance is a high level of assurance, but is not a guarantee that an audit conducted in accordance withSAs will always detect a material misstatement when it exists. � Identify and assess the risks of material misstatement of the financial statements, whether due to fraud or error,design and perform audit procedures responsive to those risks, and obtain audit evidence that is sufficient andappropriate to provide a basis for our opinion. The risk of not detecting a material misstatement resulting fromfraud is higher than for one resulting from error, as fraud may involve collusion, forgery, intentional omissions,misrepresentations, or the overide of internal control.

� Obtain an understanding of internal control relevant to the audit in order to design audit procedures that areappropriate in the circumstances. Under section 143(3)(i) of the Companies Act, 2013, we are also responsiblefor expressing our opinion on whether the company has adequate internal financial controls system in place andthe operating effectiveness of such controls.

� Evaluate the appropriateness of accounting policies used and the reasonableness of accounting estimates andrelated disclosures made by management.

� Conclude on the appropriateness of management’s use of the going concern basis of accounting and, based onthe audit evidence obtained, whether a material uncertainty exists related to events or conditions that may castsignificant doubt on the Federation’s ability to continue as a going concern. If we conclude that a material

Report on Other Legal and Regulatory Requirements

1) The Companies (Auditor’s Report) Order, 2016 (“the Order”), issued by the Central Government of India in termsof sub-section (11) of section 143 of the Companies Act, 2013 shall not apply to the Federation as per exemptionprovided under Clause 2(iii) of the order, hence separate statement on matters referred in para 3 of the order isnot furnished.

2) As required by Section 143(3) of the Act, we report that:

a) We have sought and obtained all the information and explanations which to the best of our knowledgeand belief were necessary for the purposes of our audit.

b) In our opinion, proper books of account as required by law have been kept by the Federation so far as itappears from our examination of those books.

c) The Balance Sheet, the Statement of Income and Expenditure, and the Cash Flow Statement dealt with by thisReport are in agreement with the books of account.

d) In our opinion, the aforesaid standalone financial statements comply with the Accounting Standards specifiedunder Section 133 of the Act, read with Rule 7 of the Companies (Accounts) Rules, 2014 except for subscriptionfrom members in arrears and employees leave encashment which are accounted on cash basis.

e) In our opinion considering nature of activity, size of operation and organisational structure of the entity, the Federationhas, in all material respects, an adequate internal financial controls system over financial reporting and suchinternal financial controls over financial reporting were operating effectively as at 31st March 2019, based on theinternal control over financial reporting criteria established by the Federation considering the essential componentsof internal control stated in the Guidance Note on Audit of Internal Financial Controls Over Financial Reportingissued by the Institute of Chartered Accountants of India

NOTE 17

A) SIGNIFICANT ACCOUNTING POLICIES

1) Method of Accounting: The financial statements have been prepared in accordance with Generally AcceptedAccounting Principles (GAAP) in India, the Accounting Standards as prescribed under Section 133 of TheCompanies Act, 2013 read with Rule 7 of (Accounts) Rules, 2014 and the relevant provisions of the CompaniesAct, 2013 and are based on the historical cost convention on accrual basis.

2) Use of Estimates: The preparation of the financial statements in conformity with Indian GAAP requiresmanagement to make estimates and assumptions that affect the reported balances of assets and liabilities anddisclosures relating to contingent assets and liabilities as at the date of the financial statements and reportedamounts of income and expenditure during the period.

Although the estimates are based upon management’s best knowledge of current events and actions, actualresults could differ from these estimates. Any revision in the estimates is recognized prospectively in the yearin which it arise.

3) Fixed Assets: Fixed Assets are stated at Cost of Acquisition or Construction less depreciation. Depreciationon Fixed Assets is provided on Straight Line Method based on useful life of the assets as prescribed inSchedule II to the Companies Act, 2013. The cost of Fixed Assets not ready for use is disclosed under CapitalWork in Progress.

4) Employee Benefits:

a. Group Gratuity: The Federation contributes to a Group Gratuity Policy with the Life Insurance Corporationof India for future payments of retirement gratuity to eligible employees other than consultants.

b. EDLI: The Federation contributes to an Employee Deposit Linked Insurance Scheme (EDLI) with theLife Insurance Corporation of India.

c. Provident Fund and ESI: The Federation contributes to Provident Fund and ESI at prescribed rates.

d. Leave Encashment: Leave encashment is recognized on Payment.

The above are charged to Statement of Income and Expenditure.

5) Revenue Recognition:

a. Membership Subscription:Membership subscription is accounted on cash basis except for advancesubscription received for ensuing years which is shown under other current liabilities as subscription receivedin advance.

b. Interest Income: Interest Income is recognized on time proportion basis taking into account the accruedamount certified by the bank.

c. Recognition of Sponsorships: Sponsorships for Seminars and Conferences from the Corporates/Donorsis recognized, where there is reasonable assurance that the Federation will comply with the conditionsattached to them and where such benefits have been earned by the Federation and it is reasonably certainthat ultimate collection of the sponsorship will be made.

6) Earnings per share: Earnings per share is not applicable as there are no shares issued by the Federation.

7) Provisions and Contingent Liabilities: A provision is recognized when the Federation has a present obligationas a result of past events i.e. it is probable that an outflow of resources will be required to settle the obligationin respect to which a reliable estimate can be made. Provisions are not discounted to its present value and are

determined based on best estimate required to settle the obligation at the balance sheet date. These arereviewed at each balance sheet date and adjusted to reflect the current best estimates.

A contingent liability is a potential liability that may occur, depending on an outcome of an uncertain futureevent. A contingent liability is recorded in the accounting records if the contingency is probable and the amountof the liability can be reasonably estimated. If both of these conditions are not met, the liability may be disclosedin the notes on Financial Statements.

8) Taxes: Provision for current taxes has been made on taxable income arising on service activity. Provision fordeferred tax has not been made as there is no variation between reported and taxable profit on account oftiming difference due to income tax exemption available on other income.

9) Accounting Standards to the extent applicable and relevant with reference to the transactions undertakenrequiring disclosures have been considered.

B) NOTES ON ACCOUNTS:

1) The Government of Andhra Pradesh in 1986 allotted the land admeasuring 2000 sq. yards situated at JubileeHills, Hyderabad, in lieu of the land that was earlier allotted to Federation by the Government. The said landwas under unauthorized occupation by the Jubilee Hills Corporative House Building Society and its Members.The Federation is contesting its legal right in various Courts.

2) Admission fee of Rs.6,95,286/- (Previous year Rs.7,50,364/-) and Life Membership Fee of Rs.5,62,500/-(Previous year Rs.1,89,000/-) collected during the year from the members is credited to General Reserve.

3) Subscriptions:a. Subscriptions of Rs.1,61,55,908/- (Previous year 1,61,38,664/-) shown in Statement of Income andExpenditure comprises of subscription for Current year of Rs.1,56,93,083/- (Previous year Rs.1,59,25,596/-)and Arrears of subscription of earlier years received during the year Rs.4,62,825/- (Previous year Rs.2,13,068/-).b. Rs.1,05,67,441/- (Previous year Rs.1,10,04,680/-) received during the current year towards futuresubscription has been shown as Subscriptions received in Advance and shown under other current liabilities.

4) The premium of Rs.10,08,689/- (Previous year Rs.2,83,368/-) on Group Gratuity Policy was considered asexpenditure.

5) The contribution of Rs.1,46,257/- (Previous Year Rs.1,17,848/-) towards EDLI with LIC was considered asexpenditure.

6) Additional information pursuant to the requirements of part II of Schedule III to the Companies Act, 2013- Nil.7) Capital commitment (net of advance) not provided for – NIL (Previous year Rs.NIL).8) Comparative figures of previous year have been regrouped wherever necessary.
