NOTICE is hereby given that the 47r. (Forty Seventh) ANNUAL GENERAL MEETING ("AGM") of the Members of MANGALAM DRUGS & ORGANICS LIMITED ("the Company") will be held on Friday. September 25, 2020 at 3:30 P.M. (1ST) through Video Conferenclng ("VC") / Other Audio Vlaual Means ("OAVM") to transact the business as detailed In the Notice of 47" AGM, which has been smelled to shareholders [whose e-mail addresses are registered with the Company / Depository Participant(s)] on Wednesday, September 2, 2020 along with the Annual Report for FY 2019-20. In view of the outbreak of the COVID-19 pandemic and in compliance with the provisions of the Ministry of Corporate Affairs (-MCA") General Circular No. 2012020 dated 5. May, 2020 read together with MCA General Circular Nos. 14/2020 & 17/2020 dated 8. April, 2020 and 18. April, 2020 respectively and Securities and Exchange Board of India Circular No. SEBI/HO/CFD/CMD1/CIR/P/2020/79 dated 12. May, 2020 (collectively referred to as 'Circulars') the 47" AGM of the Company will be held through VC/OAVM. Consequently, Physical attendance of the Members Is not required at the 47. AGM and attendance of the Members through VC/OAVM will be counted for the purpose of reckoning the quorum under section 103 of the Companies Mt, 2013. In compliance with the Circulars, the Company has sent the Notice of the 47. AGM & Annual Report for FY 2019-20 to the shareholders through email only and Notice and Annual Report has been made available on the Website of the Company at www.mangelerndruge.com and on the website of the Stock Exchanges where the Equity Shares of the Company am listed i.e. BSE Limited at anew bseindia cam and National Stock Exchange of India Limited at www.nseindia.com and on the website of the National Securities Depository Lim lted (NSDL) at ortriv.evotIng.nsdl.com. Members who have not yet registered their E-Mail ID are requested to get their E-Mail ID registered, in respect of shares held In electronic form with the Depository (through their Depository Participants) and In respect of shares held in physical form by writing to the Company at investoremengelerndrugs.com or Companys Registrar end Transfer Agent, Link Intim. Pursuant to provisions of Section 108 of the Companies Act, 2013 ('the MI") read together with Rule 20 of the Companies (Management end Administration) Rules, 2014, as amended from time to time, and Regulation 44 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 ('the Listing Regulations"), the Company offers the remote e-voting facility through National Securities Depository Limited (NSDL) to enable the Members to cast their votes by electronic means on all the resolutions set fonh in the Notice of 47" AGM.Additionally the Company le providing the facility of voting through emoting system during the 47. AGM. The details of remote e-voting are given hereunder: (a) The voting through electronic means shall commence on

Tuesday, September 22, 2020 et 09:00 A.M. (1ST) end shall ends on Th ursday, September 24, 2020 at 05:00 P.M. (1ST). The emoting module shall be disabled by NDSL thereafter. Voting through electronic means shall not be allowed beyond 5:00 P.M. (1ST) on Thursday, September 24, 2020;

(b) During this period, Members of the Company, holding shares either In physical form or In dematerialized form as on cut-off date of Friday, September 18, 2020, may cast their vote electronically (remote e-voting). Once Member casts vote one resolution, the Member is not be allowed to change it subsequently;

(c) Any person, who becomes a Member of the Company after sending the Notice of 47"AGM by email end holding shares as on the out-off date i.e. Friday, September 18, 2020, may obtain the login id end password by sending a request at evotingensdl.coln. However, If the person Is already registered with NSDL for remote e-voting then existing User ID and password can be used for casting vote;

(d) A person whose name Is recorded In the register of members or In register of beneficial owners maintained by the depositories as on the cut-off date i.e. Friday, September 18, 2020, only shall be entitled to avail the faintly of remote e-voting and e-voting during the 47" AGM.

(e) The Members who have already oast their vote through remote e-voting may also attend the 47. AGM through VC 1 OAVM fadlity but shall not be entitled to cast their vote again through the 6-voting system during 47. AGM.
