MEMORANDUM OF LEASE ASSIGNMENT AND ASSUMPTION

This MEMORANDUM OF LEASE ASSIGNMENT AND ASSUMPTION (this "Memorandum of Assignment") is entered into as of June 20, 2016, but effective as of March 1, 2016 (the "Effective Date"), by and between General Electric Credit Corporation of Tennessee, assignee of Signature Financial LLC ("Assignor"), and Wells Fargo Equipment Finance, Inc. ("Assignee"), with reference to the following:

1. Assignor, as lessor, and Carmeuse Lime, Inc., as Lessee, entered a Master Lease Agreement dated as of February 4, 2013 and Equipment Schedule No. 004 (collectively the "Lease"), whereby Lessor has agreed to lease to Lessee, and Lessee has agreed to lease from Lessor, one new Shuttlewagon model NVX5025; serial# 502513066 (the "Equipment).

2. A Memorandum of Lease Agreement dated as of October 18, 2013 was entered between Assignor and Lessee, which was recorded at the Surface Transportation Board under Recordation No. 31021 on December 27, 2013 at 3:49pm for the Equipment.

3. Pursuant ton Stock and Asset Purchase Agreement, dated as of October 13, 2015, as amended, supplemented or otherwise modified from time to time (the "SAPA"), between GE Capital Global Holdings, LLC, (as permitted assignee of General Electric Capital Corporation) and Wells Fargo Bank, N.A., Assignor assigned to Assignee, and Assignee assumed from Assignor all of Assignor's right, title and interest in, to and under the Lease and the Equipment.

4. This Memorandum of Assignment is being recorded with the Surface Transportation Board pursuant to 49 U.S.C. §l 130l(a) for the purpose of giving record notice and evldence of the Assignment of the Lease and Equipment pursuant to the SAP A.

5. This Memorandum of Assignment is effective as of the Effective Date and is subject to all terms. conditions, representation and warranties set forth in the SAPA.

6. This Memorandum of Assignment may be executed in any number of counterparts, each executed counterpart constituting an original but all together only one Memorandum of Assignment.
