Prospect Buyer acknowledges that all information furnished and/or received by Prospect Buyer is

provided by Seller and not verified in any way by Broker or its agents, and that Broker and its agents are

relying upon Seller for the accuracy and completeness of the information.

Prospect Buyer agrees that any information and documents received by Prospect Buyer will not be used

in any way to Seller’s or Broker’s detriment or liability, and Prospect Buyer agrees to indemnify and hold

Broker harmless from any claims or damages from its use and/or reliance thereon.

The provisions in this Notice shall also inure to the benefit of Broker’s agents. The information contained

in this Confidential Business Review is neither an offer to buy or sell.

Prospect Buyer is advised to seek professional advice when purchasing a business. Any offer by seller is

subject to change or withdrawal without notice.
