INDEPENDENT AUDITORS' REPORT

To: The Project's Management of Power Grid Improvement Project

Opinion

We have audited the accompanying financial statements of Power Grid Improvement Project ("theProject") as set out on pages 4 to 12, which comprise the statement of fund balance as at 31 December2016 and statement of receipts and disbursements for the year then ended, and the notes thereto ("the Rfinancial statements").

In our opinion, the accompanying financial statements are prepared, in all material respects, inaccordance with the accounting policies as described in Note 3 to the financial statements.

Basis for opinion

We conducted our audit in accordance with International Standards on Auditing (ISAs). Ourresponsibilities under those standards are further described in the Auditor's responsibilities for the auditof the financial statements section of our report. We are independent of the Project in accordance withthe International Ethics Standards Board for Accountants' Code of Ethics for Professional Accountants(IESBA Code) and the ethical requirements that are relevant to our audit of the statement ofexpenditures in Lao P.D.R, and we have fulfilled our ethical responsibilities in accordance with theserequirements and the IESBA Code. We believe that the audit evidence we have obtained is sufficientand appropriate to provide a basis for our opinion.

Emphasis of matter - basis of accounting and restriction on distribution and use

We draw attention to Note 3 to the financial statements which describes the accounting policies adoptedby the Project. These accounting policies are not intended to present the financial position, the results ofoperations and cash flows of the Project in accordance with international generally accepted accountingprinciples. As also disclosed in Note 2 to the financial statements, the financial statements are preparedto assist the Project's management in meeting the reporting requirements of its Donors. As a result, thefinancial statements may not be suitable for another purpose. Our report is intended solely for theinformation and use of the Project's management and its Donors, and should not be distributed to orused by other parties. Our opinion is not modified in respect of these matters.

Other matter

The financial statements of the Project for the period from 17 August 2015 to 31 December 2015 wereaudited by another audit firm whose auditor's report dated 15 August 2016 expressed an unmodifiedopinion on those financial statements.

Project management's responsibility for the financial statements

The Project's management is responsible for the preparation of the financial statements in accordancewith the accounting policies as described in Note 3 to the financial statements and for such internalcontrol as the management determines is necessary to enable the preparation of the financialstatements that are free from material misstatement, whether due to fraud or error.

Auditor's Responsibility for the audit of the financial statements

Our objectives are to obtain reasonable assurance about whether the financial statements as a wholeare free from material misstatement, whether due to fraud or error, and to issue an auditor's report thatincludes our opinion. Reasonable assurance is a high level of assurance, but is not a guarantee that anaudit conducted in accordance with ISAs will always detect a material misstatement when it exists.Misstatements can arise from fraud or error and are considered material if, individually or in theaggregate, they could reasonably be expected to influence the economic decisions of users taken on thebasis of these financial statements.

As part of an audit in accordance with ISAs, we exercise professional judgment and maintainprofessional skepticism throughout the audit. We also:

Identify and assess the risks of material misstatement of the financial statements, whether due tofraud or error, design and perform audit procedures responsive to those risks, and obtain auditevidence that is sufficient and appropriate to provide a basis for our opinion. The risk of not detectinga material misstatement resulting from fraud is higher than for one resulting from error, as fraud mayinvolve collusion, forgery, intentional omissions, misrepresentations, or the override of internalcontrol.

i Obtain an understanding of internal control relevant to the audit in order to design audit proceduresthat are appropriate in the circumstances, but not for the purpose of expressing an opinion on theeffectiveness of the Project's internal control.

i Evaluate the appropriateness of accounting policies used and the reasonableness of accountingestimates and related disclosures nagement.
