DEFINITION:Special Pricing is an additional discount from standard net pricing granted for a specific customer to be used on an identified project in a defined period of time, generally 90 days. Unless previously approved by Safco® , it will be for one purchase order and shipping to one location in a single shipment.

PURPOSE:Special Pricing is extended to our Dealers at the sole discretion of Safco primarily for the purposes of improving our price position in competitive situations. It is understood that the basis for Special Pricing consideration is information that is gathered from our Dealers and Sales Representatives as well as our historical data. To this extent, it is critical that the information supplied by our Dealers and Sales Representatives is complete, accurate and timely.

GUIDELINES:Requests will be considered on competitive projects of $20,000 list and above. Discretion will be employed for high quantities of lower list price items, or with a specific strategic objective in mind. Safco reserves the right to deny or award requests for Special Pricing at any time to any Dealer.

PROCEDURE:Safco processes Special Pricing requests on a first in, first out basis. Incomplete data will prevent us from processing the request and it will be returned to the Dealer or Sales Representative for completion prior to processing. We strive to provide fast responses to requests, and generally do so within 24 hours. Please allow more time, if possible. To request the Special Pricing Request Form, you may email your request to [email protected] or contact your Sales Representative.

The Special Pricing Request Form may be submitted electronically by emailing to [email protected], or faxed to us at the number on the form. Electronic submission is preferred whenever possible. In special circumstances such as when traveling, computer breakdown, etc., we will process requests via phone, provided all information is complete, in order to provide you the best service possible.

EXCLUSIONS:Special Pricing cannot be granted to Dealers solely for the purposes of improving margins in non-competitive circumstances, nor to place orders for stocked products. Once you have received the purchase order from your customer, Special Pricing requests for that project can no longer be processed. We reserve the right to request a copy of the purchase order from your customer for the purposes of confirming integrity of the process.

By requesting Special Pricing, Dealers and Sales Representatives confirm that they intend to, and will make reasonable efforts to sell the Safco products listed in the Special Pricing request to the named customer. If a Dealer or Sales Representative obtains Special Pricing for the purpose of competitively submitting an alternative competitive product to their customer, Special Pricing requests for that Dealer will be suspended indefinitely at Safco’s sole discretion.

ORDER SUBMISSION:In order for Special Pricing to be applied to the appropriate order, the order must reference the Bid Number supplied by Safco at the time of order placement. Failure to include the bid number will prevent Safco order entry from placing your order with the appropriate Special Pricing discount applied; standard discounts will then be used. Credits cannot be issued after Safco order entry has entered your order.

Our warranty pledges excellence in the quality of our products. It helps protect our customer’s investments and extends our continuing dedication to our customers after their initial investment.

LIMITED LIFETIME WARRANTY

Safco® warranty obligation: We pledge to repair or replace, at Safco’s option, any Safco product or component that is defective in material or workmanship for as long as you, the original purchaser, own it. This warranty is subject to the provisions below.

LIABILITY LIMITATIONS

The following listed parts, components and supplies are covered under warranty in accordance with the below schedule following the product purchase date.

Ten Years: Seating controls and cylinders, Rumba™, Cha-Cha™, electric height-adjustable table series laminates, and wood seating components. All parts (excluding motor) on the XR, ML, E and LT-Series Height-Adjustable Tables.

Seven Years: Motor on XR-Series Height-Adjustable Tables.

Five Years: Glides, casters, polymer-based components, seating upholstery (fabrics and leather), foam, armrests, chrome seating components, user-adjustable work surface mechanisms, laminates, veneer finishes and other covering materials, drawer glides, electrical components, Event Series, cabinets or mobile systems, components that are either moving parts or controls (guides that are in contact with moving parts), and motors on the ML-Series, E-Series, and LT-Series Height-Adjustable Tables.

Three Years: Outdoor Products (Entourage™, Evos™, Canmeleon™ and CoGo™ Product Lines), High Density 4-Post wire shelving and wire components, and electrical components.

One Year: Mogo Seat

WARRANTY SUBJECT TO EXCLUSIONS

Exclusions pertaining to this warranty are as follows but are not limited to:

• Normal wear and tear• Product or product components utilized with the intent to rent or lease• Freight damages: Safco is not liable for any product damages sustained during shipping or handling operations. Safco provides specific policies and requirements

regarding shipping and handling, and reserves the right to review and address product distribution matters separately.• Product negligence: A product is not considered defective due to misuse or improper installation. Safco products must be installed, used and maintained in

accordance with product instructions and warnings.• Alterations or attachments to the product that were not approved by Safco• All COM Fabric is not covered under this warranty• All corrugated products or components• Use of non-multiple shift products for multiple shifts

Safco’s warranty obligation is limited to normal use upon receipt of our products.

SEATING USAGE

Normal commercial usage for seating is defined as the equivalent of a single shift, forty (40) hour work week. To theextent that a seating product is used in a manner exceeding this, the applicable warranty period will be reduced in a pro-rata manner.

WARRANTY PROCEDURES

Please follow the warranty procedures described below:1. Once a defect has been discovered, the original purchaser must contact Safco® immediately (within 30 days of defect detection), in writing, with the serial

number(s) (if applicable), date code and model number from the product(s) in question.

2. Upon inspection of the product(s), Safco® will collect all relevant information necessary for review of the request.

3. Product replacement and replacement parts will be authorized by a Customer Care representative if acknowledged to be necessary under product warranty eligibility conditions.

SPECIFIC LIMITATIONS REGARDING COLOR VARIATIONS, FABRICS AND FINISHES

Natural products have varying grains and colors. Due to such natural variations occurring in materials such as wood and leather, these characteristics are not considered defects. Safco does not warrant the color-fastness or matching of colors, grains or textures of such materials. Materials supplied, selected or provided by the customer (COM) are not warranted.

Buyer is responsible for freight to and from factory on all warranty claims. Any description of the goods sold hereunder, including any reference to Buyer’s specifications and any description in catalogs, circulars and other written or digital material published by Safco is for the sole purpose of identifying goods and shall not create an express or implied warranty that the goods shall conform to such description.

THERE ARE NO OTHER WARRANTIES, AND SAFCO DISCLAIMS ALL IMPLIED WARRANTIES INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND FREEDOM FROM PATENT INFRINGEMENT. NO AGENT, EMPLOYEE OR REPRESENTATIVE OF SAFCO HAS ANY AUTHORITY TO BIND SAFCO TO ANY AFFIRMATION, REPRESENTATION OR WARRANTY EXCEPT AS STATED HEREIN.

SAFCO SHALL HAVE NO LIABILITY FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL OR SPECIAL DAMAGES OF ANY KIND. THESE LIMITATIONS ARE AGREED ALLOCATIONS OF RISK. UNDER NO CIRCUMSTANCES SHALL SAFCO’S LIABILITY WITH REGARD TO THE SALE OR USE OF THE PRODUCTS EXCEED THE PURCHASE PRICE PAID BY THE BUYER FOR THE PRODUCTS. TERMS AND CONDITIONS OF THIS WARRANTY ARE SUBJECT TO CHANGE WITHOUT NOTICE.

Sales Policies

Sales PoliciesCASH TERMS

1%-15 Net 30. For cash discount, remittance must be made 15 days following invoice date. Net amount due 30 days following invoice date.

FACTORY RETURNS

All merchandise requesting to be returned must first be approved and issued a Return Goods Authorization (RGA) number. Except for defective merchandise, all factory returns must be shipped freight prepaid and are subject to a 25% recartoning/restocking charge which includes any charges for outgoing freight paid by Safco®.

We are unable to accept returns of any items not in the original cartoning, broken cartons and non-standard merchandise or in unsaleable condition. Return authorization label must be attached to return carton. Returns must be made within one (1) year in resalable condition, and in original Safco cartons. All product must be returned within 30 days of return authorization date or RGA will be cancelled.

Mobile Aisle™, Custom Upholstered Seating, 4-Post Shelving, all high-density filing products and Mailflow Systems® products are considered custom and cannot be returned. Please contact Customer Care at [email protected] or 888-971-6225 to receive a Return Goods Authorization number to include on each of the cartons being returned.

ORDER CANCELLATION

Orders which have entered any stage of production cannot be cancelled. Requests for cancellation are not accepted until acknowledged by Safco. In the event cancellation is accepted by Safco Products, cancellation charges may apply and may be in the amount of the entire order.

FREIGHT DAMAGE

All shipments must be carefully inspected upon receipt by the assigned freight forwarder to ensure all items are in satisfactory condition before signing the bill of lading. If there is visible damage or shortage, it must be noted on the bill of lading. If not notated, we will be unable to file a claim with the carrier due to their policies. Visible damage or shortage must be reported within 24 hours of receipt of goods by the freight forwarder.

Photographic swatches have been provided to represent the many options you have when selecting a Safco product. Swatches should be used for reference only. We reserved the right to make changes in design and material, as well as discontinuance of parts and units when such action is deemed to be an improvement in design, function and/or construction.
