i . G E N E R A l T E R M S & C O N D i T i O N S

A. General. This Section I identifies general terms and conditions with respect to the purchase of certain products from Baxter . Each purchase is subject to additional terms and conditions specific to a particular type of purchaser, found in the appropriate annex to this Product Catalog document .

1 . Home Patient Accounts. Home patient account purchasers should refer to Annex A attached hereto for additional terms and conditions governing purchases with respect to this Product Catalog .

2 . Hospital and Center Accounts. Hospital and center account purchasers should refer to Annex B attached hereto for additional terms and conditions governing purchases with respect to this Product Catalog .

B. Selling Unit of Measure. Order quantities must be in the selling unit of measure indicated . Pack factors are noted for ease of ordering .

C. Purchase Orders.

1 . All orders, with the exception of warranty orders or EQUIPMENT service orders covered under a service agreement, require a purchase order, supply contract or credit card authorization .

2 . When using a purchase order form, only the listing and quantity of PRODUCTS, and the specific shipping instructions and information requested by the customer shall be applicable to Baxter . Any modifications regarding pricing, terms of sale, general ordering information, or any other terms or conditions shall not be effective unless accepted in advance and in writing by an authorized representative of Baxter .

3 . See ‘Ordering and Shipping Information’ (subsection A of the applicable Annex hereto) for more detail .

D. Credit Approval. All orders are subject to credit approval and acceptance at Baxter’s home office .

E. Delivery. Baxter shall use commercially reasonable efforts to fill orders, but Baxter shall not be liable for nonperformance or delays caused by a supply shortage of raw materials or components or finished goods, manufacturing problems, delivery or labor problems, acts of regulatory or other governmental or quasi-governmental entities, discontinuation of a product line, Acts of God, and unforeseen events or causes beyond its control . Customer agrees that in any and all such events, Baxter may allocate products among its customers without liability or other negative outcome with customer .

F. Acceptance of Delivery. Customer must count and visually inspect all orders received prior to acceptance of delivery from the carrier . Any exception must be noted at the time of delivery on the packing list accompanying the shipment, along with the carrier’s freight bill or bill of lading, and signed by the customer . The driver should countersign the packing list and the carrier’s freight bill or bill of lading . Baxter must be notified within two (2) business days of receipt of any delivery exception for credit eligibility consideration under Baxter’s Returned Goods Policy . See ‘Returned Goods Policy’ (Section II .B) for details and appropriate Baxter contact information .

G. Proof of Shipment. Please maintain Baxter’s invoice and packing list as your proof of shipment . Subject to availability and within thirty (30) days following the date of shipment, requests for additional documentation of shipment or delivery (i .e ., carrier delivery logs) are subject to a $40 service charge per shipment .

H. Expedited Processing & Delivery. When customer requires expedited order processing and delivery, customer is responsible for processing and delivery charges for all PRODUCTS .

i. Billing and Payment information. General billing and payment information is described in Section II below .

A. Billing and Payment information.

1 . Prices.

i . PRODUCTS are priced at the published amount indicated for the selling unit of measure indicated .

ii . EQUIPMENT service and separately billable PRODUCT processing and delivery charges are priced as described in the Product Catalog .

2 . Taxes. Published PRODUCT prices are exclusive of all taxes . Customer shall be responsible for payment of all applicable state and local sales, use, and/or gross receipt tax resulting from transactions with Baxter, regardless of legal liability for the tax .

3 . Invoices. Payment must be made within terms of sale as indicated on the invoice furnished by Baxter .

4 . Terms of Sale. Subject to credit approvals, standard payment terms are net 30 from the date on the invoice .

5 . Payment. Payment is to be made to the “remit to” address indicated on the invoice . Credit card payment is subject to an additional processing charge .

6 . Disputes. Only amounts that are validly disputed may be withheld from payment pending resolution . Any portion of an invoice not validly in dispute must be remitted within the terms of sale . All disputes must be submitted to Baxter Credit & Collections within thirty (30) days from the date of invoice . All disputes or rights are waived unless the customer’s complaint has been received by Baxter within such thirty (30) day period .

7 . Late Payment Charges. Any invoice not paid when due shall bear interest at the lesser of 18% per annum or the highest rate allowed by applicable law .

8 . Statements. Statements of account are issued monthly .

9 . Returned Checks. A fifty dollar ($50 .00) service charge will be assessed for returned checks .

10 . Electronic Data Interchange / e-Commerce Billing and Payment.

i . Electronic commerce can be an easy, automated way to send your invoice and payment . Baxter can help you get started and facilitate your transition to electronic invoicing and payment .

11 . Inquiries. Call 1-888-270-3189 .

B. Returned Goods Policy.

1 . General Requirements.

i . This policy applies to all PRODUCTS originally delivered to hospitals, centers or home patients unless otherwise indicated . See ‘Specific Return Situations’ below .

ii . PRODUCTS must be stored in accordance with the following Baxter storage requirement to be eligible for return or credit:

1 . Stored at the originally delivered site, in the original, unopened and undamaged carton or package .

2 . Stored in a sanitary manner .

3 . Stored to avoid liquid contamination .

4 . Stored at room temperature to avoid excessive heat or freezing (solution products with 2B, 5B, or 5M prefixes only) .

5 . For home patient account returns, verification of proper storage by both the patient or designee and Baxter personnel is required for credit .

iii . PRODUCTS provided at no charge are not eligible for credit .

iv . Prior notification to return PRODUCTS is required . Credit will not be issued without prior notification of the return . Baxter shall have no responsibility or liability for PRODUCTS returned without prior notification .

2 . Specific Return Situations.i . Damages or Shortages . Baxter must be notified of any shipping disputes within two (2) business days of receipt . Due to

the nature of Baxter’s PRODUCTS, the contents are subject to damage in transit to the customer . In an effort to minimize any delay in resolving a damage or shortage claim, all orders will be deemed counted and inspected prior to customer’s acceptance of delivery from the carrier . Any exception must be noted on customer’s copy of the carrier’s packing list and freight bill or bill of lading . The carrier should countersign the packing list and freight bill or bill of lading . The signed packing list and freight bill or bill of lading must be forwarded by the customer to Baxter Credit & Collections at the following address: Baxter Healthcare Corporation, One Baxter Parkway, Deerfield, IL 60015 .

ii . Shipped in Error by Baxter . Baxter must be notified of any shipping disputes within two (2) business days of receipt . PRODUCTS shipped in error by Baxter must be returned within thirty (30) days of shipment in order to qualify to receive 100% credit . Contact customer service to arrange for the removal/return of such PRODUCTS . DISPOSABLES and PARTS returned after thirty (30) business days of shipment shall be considered EXCESS STOCK (see subsection 3 below regarding ‘Excess DISPOSABLES and PARTS’) .

iii . Ordered in Error by Customer . Baxter must be notified of any shipping disputes within two (2) business days of shipment . PRODUCTS ordered in error by customer must be returned within thirty (30) days of shipment to qualify to receive credit . Any solutions returned from HOME PATIENTS will receive no credit . Customer is responsible for all costs and expenses incurred by Baxter related to the return of the PRODUCTS . DISPOSABLES and PARTS returned after thirty (30) business days of shipment shall be considered EXCESS STOCK (see subsection 3 below regarding ‘Excess DISPOSABLES and PARTS’) .

3 . Excess DISPOSABLES and PARTS.i . DISPOSABLES and PARTS not shipped in error, or not ordered in error, shall be considered EXCESS STOCK when

returned .

ii . Customer is responsible for all costs and expenses incurred by Baxter related to the return of EXCESS STOCK .

iii . DISPOSABLES and PARTS returned from a HOSPITAL OR CENTER will be credited at 50% .

iv . DISPOSABLES and PARTS will not be eligible for return or credit under the following circumstances:

1 . Returned after ninety (90) days from shipment .2 . Less than three (3) months remaining to expiration .3 . 5K or 5Q prefix .4 . All solutions returned from HOME PATIENTS .5 . Sold on a no return basis .

4 . Equipment.i . Purchased EQUIPMENT cannot be returned for credit unless shipped in error by Baxter or ordered in error by customer .

ii . Leased, rental, trade-in, or evaluation EQUIPMENT must be in the same condition as when shipped to customer, reasonable wear and tear excepted . Customer is responsible for all costs and expenses incurred by Baxter related to the returned EQUIPMENT .

iii . Customer must ensure EQUIPMENT is packed properly for return shipping .

iv . See ‘EQUIPMENT Rental Program’ (Section III) .

5 . Product Pick-Up and Return Requests.i . Baxter can arrange for pick-up of returned PRODUCTS . A ninety-five dollar ($95 .00) returned goods pick-up charge will

be applied, if applicable, against any credit due on DISPOSABLES returned . Any portion of the charge that is not covered by a returned goods credit will be invoiced separately . Baxter reserves the right to charge a pick-up fee for EQUIPMENT returns as well as a fee for pick-up appointments missed by the customer .

ii . HOSPITAL OR CENTER RETURNS

1 . DISPOSABLES: Call 1-888-229-0001 (option 1 (Hospitals) or option 4 (Centers)) or fax 1-888-229-0020 .2 . EQUIPMENT: Call 1-800-553-6898 (select 1 for English, then prompt 5, option 2) .3 . PARTS: Call 1-800-553-6898 (select 1 for English, then prompt 2, option 1) .

iii . HOME PATIENT RETURNS: Call 1-800-284-4060 or fax 1-800-666-8457 .

6 . Return Credit Inquiries.i . For DISPOSABLES and EQUIPMENT: Call 1-888-270-3189 .

i i i . E Q U i P M E N T R E N TA l P R O G R A MA. General. Baxter offers a monthly Rental Program for EQUIPMENT . The terms and conditions of the Rental Program are as follows .

1 . Terms and Conditions. All terms and conditions of the Product Catalog in effect during the Rental Program shall apply to the sales contract except to the extent such terms and conditions are inconsistent with the provisions of the Rental Program, in which event, the provisions of the Dialysis Products Purchase Agreement or other applicable sales document, if any, shall govern . Customer may not assign or otherwise transfer its rights or obligations under the Rental Program except with the prior written consent of Baxter .

B. Commencement and Monthly Fee.

1 . The Rental Program shall begin on the EQUIPMENT Effective Date (i .e ., the date that is five (5) days after the date of shipment), and shall continue until the EQUIPMENT is returned to Baxter . Customer may terminate the Rental Program at any time by giving notice to Baxter and returning the EQUIPMENT to Baxter . Rental Fees will be billed monthly . If the EQUIPMENT Effective Date is any day other than the first of the month, the first monthly rental fee shall be prorated . Thereafter, full monthly rental fees shall be due for each month through the month in which the EQUIPMENT is returned and the Rental Program terminates . Renter is responsible for all rental fees until such time as the EQUIPMENT is returned to Baxter .

2 . The Rental Program for Evaluator EQUIPMENT (i .e ., Equipment delivered to customer for evaluation purposes only) shall begin on the forty-fifth (45th) day after Baxter provides the first in-service for the Evaluator EQUIPMENT (such forty-fifth (45th) day being the “Evaluator Rental Commencement Date”) . Customer may terminate the Rental Program at any time by giving notice to Baxter and returning the Evaluator EQUIPMENT to Baxter . Rental Fees will be determined by Baxter and billed monthly . If the Evaluator Rental Commencement Date is any day other than the first of the month, the first monthly rental fee shall be prorated . Thereafter, full monthly rental fees shall be due for each month through the month the Evaluator EQUIPMENT is returned to Baxter and the Rental Program terminates . Customer is responsible for all rental fees until such time as the Evaluator EQUIPMENT is returned to Baxter .

C. Service Change. If the order is initially placed without service and later changed to add service, a pre-inspection of the EQUIPMENT by Baxter is required at the customer’s expense .

D. Warranties. Applicable warranties in Section IV extend to the Rental Program .

E. Customer Obligation. Customer shall use the EQUIPMENT only for the purposes and according to the instructions indicated in the labeling as well as those included with the EQUIPMENT . Customer shall not make modifications, alterations, or additions to the EQUIPMENT without prior written consent of Baxter . The EQUIPMENT shall remain personal property at all times regardless of how it is attached or installed . Baxter shall have the right, during normal business hours, to enter customer’s premises or any EQUIPMENT site to inspect the EQUIPMENT . Title to the EQUIPMENT remains with Baxter . During the Rental Program, customer assumes the risk of loss of, and has responsibility for, damage to the EQUIPMENT from any cause . Customer shall indemnify and hold Baxter harmless from any and all liability and expense, except to the extent directly caused by the sole negligence of Baxter, arising out of the selection, possession, operation, maintenance, delivery, or return of the EQUIPMENT . Such protection shall include, but not be limited to, claims for personal injury or death or property damage arising out of any act or omission of the customer or its patients . Such protection also shall include all costs and expenses, including without limitation attorneys’ fees incurred by Baxter, in connection with any suits or actions resulting from any such liability .

F. Default.

1 . The following shall constitute events of default:

i . Customer fails to pay monthly rental fee within the terms of sale stated on the invoice .

ii . Customer fails to perform any other of its obligations under the Rental Program and such failure continues for thirty (30) calendar days after Baxter gives customer written notice of such failure .

iii . A petition in bankruptcy is filed by the customer or the customer makes an assignment for the benefit of creditors, or consents to the appointment of a trustee or receiver, or a trustee or receiver is appointed by the customer for any part of the EQUIPMENT, or for a substantial part of the customer’s assets without its consent, and is not dismissed within a period of thirty (30) calendar days, or bankruptcy, reorganization, or insolvency proceedings are instituted against the customer and are not dismissed within thirty (30) calendar days thereafter .

2 . Upon the happening of any event of default, Baxter may, at its sole option, take immediate possession of any or all of the EQUIPMENT, and, for such purposes, enter upon the customer’s premises or site where the EQUIPMENT is located and remove it, without liability for so doing or require the customer, at its expense, to return the EQUIPMENT to Baxter as provided in the Returned Goods Policy in Section II .B .

i v. WA R R A N T i E SA. General Warranty

1 . PRODUCT warranties extend only to the original customer, and are not assignable or transferable .

2 . Baxter warrants that the PRODUCTS it manufactures shall be free from defects in material and workmanship when delivered to the original customer .

3 . Baxter warrants that the PRODUCTS it manufactures, when used in accordance with the directions on the labeling, are fit for the purposes and indications described in labeling .

4 . PRODUCTS distributed by Baxter are warranted by their manufacturer . More specific warranties may accompany these PRODUCTS .

5 . Unless the PRODUCT is used in accordance with its instructions, the PRODUCT warranties are void and of no effect .

6 . THERE ARE NO OTHER EXPRESSED OR IMPLIED WARRANTIES, INCLUDING ANY WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE . BAXTER SHALL NOT BE LIABLE FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES .

7 . Baxter’s sole obligation, and customer’s exclusive remedy for breach of any warranty, shall be, at Baxter’s option, to repair or replace the PRODUCT .

B. limitation to Warranty for Equipment. Baxter’s sole obligation and customer’s exclusive remedy shall be limited to repair or replacement, at Baxter’s option and expense, of the defective part or unit for a period of one hundred eighty (180) days, except for the HomeChoice or the HomeChoice Pro system which shall be for a period of ninety (90) days, following the date of initial delivery . Modifications, alterations, recalibrations, or abuse, and service by anyone other than a Baxter authorized representative may void the warranties . Preventative maintenance service made necessary by changes to the operating environment or operating parameters of any equipment are not covered under Baxter’s standard or extended warranties . These services can be purchased by calling 1-800-553-6898 (select 1 for English, prompt 5, option 3) . Requests for service or replacements outside of Baxter’s normal working hours will be subject to additional charges .

C. Warranty for Service and Parts. Parts and labor are subject to a ninety (90) day conditional warranty .

A. DiSPOSABlE(S) is defined as any product manufactured or sold by Baxter, other than EQUIPMENT or PARTS .

B. EQUiPMENT is defined as durable medical equipment or, what Baxter generally refers to in this catalog as devices, hardware, instruments and instrumentation, used primarily for dialysis, which is manufactured or sold by Baxter for its intended use .

C. PART(S) is defined as components manufactured or sold by Baxter for EQUIPMENT .

D. PRODUCT(S) is defined as DISPOSABLES, EQUIPMENT, PARTS or any combination thereof .

A. Ordering & Shipping information.

1 . Before shipping to home patients, Baxter requires a copy or facsimile of a prescription signed and dated by a physician, listing the product codes and quantities and the allowable refill period not to exceed one (1) year .

2 . Documentation Requests .

i . PRESCRIPTIONS: Subject to availability, upon request, Baxter shall provide copies of signed patient prescriptions . A $40 service charge per prescription shall apply .

ii . OTHER: Fulfillment of some documentation requests, subject to availability, may incur processing charges quoted by Baxter .

B. To Place an Order. Please call 1-800-284-4060 or fax 1-800-666-8457 .

C. lead Time. Baxter requires the following minimum lead time for order fulfillment processing . See ‘Expedited Order Processing Charge’ (subsection D .3 below) if less lead time is provided .

1 . DISPOSABLES. Five (5) business days lead time for DISPOSABLES orders .

2 . EQUIPMENT.

i . Five (5) business days lead time for Peritoneal Dialysis EQUIPMENT .

ii . Sixty (60) business days lead time for Hemodialysis and Acute Dialysis EQUIPMENT .

3 . TRAVEL ORDERS.

i . Fourteen (14) business days lead time for all continental U .S . destinations .

ii . Thirty (30) business days lead time for all Alaska and Hawaii destinations .

iii . Sixty (60) business days lead time for all international destinations .

iv . Saturdays, Sundays and annually identified Baxter holidays are not considered business days .

D. Order/Delivery Types.

1 . SCHEDULED.

i . Each home patient will receive a calendar indicating his or her twenty-eight (28) day schedule for ordering and delivery of PRODUCTS for a twelve (12) month period . Each calendar will indicate order, ship and delivery dates . Each DISPOSABLE order shipped according to this calendar is to be a SCHEDULED order . To avoid additional processing and delivery charges, SCHEDULED orders must be placed at least five (5) business days prior to the ship date noted on the calendar . Orders placed on the scheduled ship date are considered to be OFF SCHEDULE orders . (See below .)

ii . Baxter shall have the right to make modifications in DISPOSABLES order and delivery schedules, and the customer will not incur additional charges resulting solely from such modifications . If Baxter modifies a schedule, it will provide the home patient with a revised calendar reflecting the new twenty-eight (28) day schedule for a twelve (12) month period . Any order shipped according to the revised calendar (not a prior calendar) is a SCHEDULED order .

2 . OFF SCHEDULE. DISPOSABLES orders requiring delivery on a day other than a scheduled delivery day are considered OFF SCHEDULE and are subject to additional processing and delivery charges .

3 . EXPEDITED. PRODUCT(S) orders placed for delivery with less lead time than required (See ‘Lead Time’ (subsection C above)) are considered to be EXPEDITED orders and are subject to additional processing and delivery charges .

E. Order Processing and Delivery Charges.

1 . DISPOSABLES.

i . Published prices for DISPOSABLES include normal processing and delivery charges for SCHEDULED orders and deliveries .

ii . All DISPOSABLES orders subject to the Off Schedule Processing Charge, Expedited Order Processing Charge and Re-Delivery Charge policies must be approved by the customer prior to shipment except in the case of an emergency .

2 . Off Schedule Processing Charge.

i . Orders requiring OFF SCHEDULE delivery are subject to a $75 charge in addition to any applicable Expedited Order Charges .

ii . Exempt from this policy are travel orders, new patient orders, prescription change orders, usage change orders and orders necessitated by a significant, unplanned medical event involving a home patient .

4 . Home Hemodialysis Minimum Order Charge. Home hemodialysis orders totaling less than $250 will be assessed a minimum order charge of $40 .

5 . Re-delivery Charge. DISPOSABLES orders are subject to a $75 re-delivery charge in the event the customer is not available to accept a delivery for which Baxter has previously communicated the delivery date . This charge may be waived if changes to delivery arrangements are made in advance and agreed to by Baxter or if changes are necessitated by a significant, unplanned medical event involving a home patient .

6 . EQUIPMENT.

i . Published prices for EQUIPMENT exclude delivery, handling and installation . These charges are billed separately, if applicable .

ii . EQUIPMENT orders requiring expedited delivery at a customer’s request are subject to an expedited processing and delivery charge quoted at the time of order placement .

iii . EQUIPMENT orders requiring expedited processing, at a customer’s request, after business hours or on weekends/holidays are subject to a $125 fee PLUS delivery charges quoted by Baxter .

Extraneal (icodextrin) Peritoneal Dialysis (PD) solution is indicated for a single daily exchange for the long (8 to16 hour) dwell during Continuous Ambulatory Peritoneal Dialysis (CAPD) or Automated Peritoneal Dialysis (APD) for the management of End-Stage Renal Disease (ESRD). Extraneal is also indicated to improve (compared to 4.25% dextrose) long-dwell ultrafiltration and clearance of creatinine and urea nitrogen in patients with high-average or greater transport characteristics, as defined using the Peritoneal Equilibration Test (PET).

Important Risk Information EXtRANEAL (icodextrin) Peritoneal Dialysis (PD) SolutionDangerous Drug-Device InteractionOnly use glucose-specific monitors and test strips to measure blood glucose levels in patients using Extraneal (icodextrin) PD Solution. Blood glucose monitoring devices using glucose dehydrogenase pyrroloquinolinequinone (GDH-PQQ) or glucose-dye-oxidoreductase (GDO)-based methods must not be used. Use of GDH-PQQ or GDO-based glucose monitors and test strips has resulted in falsely elevated glucose readings due to the presence of maltose and has led patients or health care providers to withhold treatment of hypoglycemia or to administer insulin inappropriately. Both of these situations have resulted in unrecognized hypoglycemia, which has led to loss of consciousness, coma, permanent neurological damage, and death. Plasma levels of Extraneal and its metabolites return to baseline within approximately 14 days following cessation of Extraneal administration. Therefore falsely elevated glucose levels may be measured up to two weeks following cessation of Extraneal therapy when GDH-PQQ or GDO-based blood glucose monitors and test strips are used. Because GDH-PQQ and GDO-based blood glucose monitors may be used in hospital settings, it is important that the health care providers of peritoneal dialysis patients using Extraneal carefully review the product information of the blood glucose testing system, including that of test strips, to determine if the system is appropriate for use with Extraneal (icodextrin) PD Solution. To avoid improper insulin administration, educate patients to alert health care providers of this interaction whenever they are admitted to the hospital.
