Terms of delivery and payment

1. Lead time

We wish to supply our customers with fresh produced material.

We have classified our products in 4 groups, according to the time we need to get them produced. Please refer to the following table:

material will leave our works within 4 working days

material will leave our works within 7 to 8 working days

material will leave our works within 12 working days

material will be produced only on demand and eventually for a minimum order quantity and will leave our works within 2 to 3 weeks.

2. Our list prices do not include transport costs to the customer.

3. Delivery to third parties will not be carried out!

4. Quartz sands, tools and accessories are excluded from the calculation of the order quantity for discount schemes or other arrangements.

5. The costs of special services such as Express deliveries, hoist, crane, etc. - if they occur - will be charged additionally - and are not included in the carriage free deliveries.

6. Orders with special colours and special services (eg vehicle with lift) may be exposed to extended delivery times.

7. Product colours: KEMPER SYSTEM colours are approximate RAL colours. An absolute RAL match cannot be guaranteed. Colour variations in differ-ent batches of the same product have also to be taken into account!

8. Not listed items are either no longer available or only available on special order at an additional cost and for minimum quantities. For these items we cannot guarantee short delivery times.

9. We guarantee the storage life of our products as mentioned on the corresponding labels. Products have to be stored properly.

10. It applies our general conditions of sale and delivery terms as well as KEMPER SYSTEM GmbH & Co. KG general terms of business.

I. general The following General Terms & Conditions of Sale and Delivery are integral components of the con-

tract of sale. "Seller" shall refer to KEMPER SYSTEM GmbH & Co. KG, Vellmar, and "Buyer" shall refer to its customers.

General terms and conditions of purchase, or other limitations, of the Buyer that contradict or differ from these General Terms and Conditions will not be recognised unless the Seller has explicitly agreed to them in writing in a specific case. Incoterms become part of the contract by separate arrangement.

II. Quotations, orders1. Quotations of the Seller are subject to change without notice in respect of price, quantity, delivery

time and availability.2. All information, statements or price quotes provided orally, by phone or electronically are non-

binding and require confirmation in writing to become effective.

III. Pricing1. The prices of the Seller applicable at the time of delivery shall be invoiced plus statutory value

added tax.2. Should the Seller increase its prices in the interval between conclusion of the contract and delivery,

the Buyer shall be entitled to withdraw from the contract within a period of two weeks of notice of the price increase, unless the price increase is based solely on an increase in freight tariffs. This right of withdrawal does not apply to long-term supply contracts (continuous obligation contracts).

3. The prices of the Seller are, where not otherwise agreed, ex works plus statutory value added tax including packaging costs and excluding customs duty or other incidental charges or taxes, irrespec-tive of kind. Waybill stamp charges, rail siding charges and carriage are payable by the Buyer. In the event of an increase in wage, material or raw material costs, costs of manufacture or transport, etc., the Seller shall be entitled to charge the prices applicable on the day of delivery. This does not apply if the agreed supplies of goods and services are to be furnished within four months of conclusion of the contract.

IV. Payment1. Unless agreed otherwise in a specific case, a 2% discount will be granted for payments received

within 14 days of the invoice date unless the Buyer has other outstanding invoices; the invoice amount is due without deduction within 30 days of the invoice date. If payment is not received within 30 days the Buyer shall be deemed to be in default without the Seller being required to provide any further notification or action, e.g. written reminders.

2. The Buyer can only offset with an undisputed or legally established claim. A Buyer who is a merchant within the meaning of the HGB (German Commercial Code) or entrepreneur in the sense of Section 14 of the BGB (German Civil Code) has no right of retention. The rights as laid down in Section 320 BGB are however maintained as long as and provided the Seller has not fulfilled its obligations to provide a replacement or remedy as a result of a defect.

V. delivery1. To the extent a specific delivery time has not been expressly agreed in writing, statements regarding

a delivery time are to be understood as referring to an expected time of delivery. In the event we are late in making a delivery, legal lights shall only accrue to the Buyer if it has granted the us a further grace period of four weeks and this period has passed without delivery being made.

2. In the event of a delay in delivery the Buyer and the Seller are entitled to withdraw from the contract. Claims for damage shall be expressly excluded in this case.

3. The Seller shall only be liable for failing to make punctual delivery in the event of a fault on the part of the Seller or its vicarious agents.

The Seller shall not be held liable for delays caused by its suppliers as these are not the Seller's vicari-ous agents.

4. In the event of a delay in delivery, the Buyer is obligated to state without delay whether it still wishes the delivery to be made or whether it wishes to withdraw from the contract.

VI. Packaging Packaging materials will only be taken back if this has been expressly agreed. Otherwise, the Seller

shall not be required to take back packaging if it engages a suitable company for disposal as set out in the latest version of the Verpackungsverordnung (German Packaging Ordinance). In this case, the Buyer is obligated to keep the packaging material ready and to hand over such packaging to the disposal company upon collection. Where it is agreed that the Buyer waives its right to return the packaging on payment of a lump sum for disposal costs, it is obligated to hand over the used packag-ing to a recognised disposal company that can guarantee proper disposal as set out in the provisions of the Verpackungsverordnung.

VII. dispatch and insurance1. The risk of destruction, loss or damage to the goods/supply of materials passes to the Buyer when the

goods are transferred to the forwarding and freight agent. The provisions of section 447 BGB (Ger-man Civil Code) apply to all deliveries.

2. The goods shall only be insured against transport damage and breakages if this is expressly requested by the Buyer. In such cases the Buyer is responsible for all costs incurred.

VIII. Retention of title1. Title to the goods passes to the Buyer only when it has discharged all of its obligations arising from

the business relationship with the Seller, including subsidiary claims, claims for compensation or the honouring of cheques and bills of exchange. The retention of title shall also remain in effect if individual claims of the Seller have been included in a current account and the balance of this account has been netted and acknowledged.

2. If the Buyer defaults on discharge of its obligations to the Seller, the Seller shall be entitled to demand surrender of the conditional goods from the Buyer without granting a grace period and without withdrawing from the contract. Taking back the conditional goods shall not constitute with-drawal from the contract unless the Seller explicitly declares this in writing. If the Seller withdraws from the contract, it can demand appropriate remuneration for the period during which it permitted the Buyer to use the goods.

3. In the event that the conditional goods are processed and made into new products, the Buyer shall be deemed to have effected such conversion on behalf of the Seller without thereby acquiring any claims on the Seller. The conditional title of the Seller therefore extends to the new products resulting from the conversion. If the conditional goods are processed together with goods that are the property of a third party, or the conditional goods are mixed or combined with goods that are the property of a third party, the Seller shall acquire joint title to the products resulting from this in the ratio of the invoice value of the conditional goods to the invoice value of the goods owned by the third party. If the combining or mixing is done with a primary product owned by the Buyer, the Buyer assigns in advance its legal title to the new product or object to the Seller.

4. The Buyer is obliged to keep the conditional goods for the Seller with due care, to service and repair these goods at its own expense, and to insure them at its expense against loss, theft and damage up to an extent which may reasonably be expected of a prudent businessman. By accepting these Terms & Conditions the Buyer assigns in advance to the Seller any claims which may accrue to it under the insurance policies.

5. Provided the Buyer properly discharges its obligations to the Seller, it shall have the right to dispose of the conditional goods in the normal course of business. This shall not apply, however, if and where a non-assignment agreement is made with the Buyer and its customers in respect of the right to the sales price. The Buyer shall not have the right to pledge, chattel mortgage or otherwise encumber the goods to which the Seller retains title. When reselling the goods, the Buyer shall make the passing of the title subject to full payment of the goods by its customers.

6. By accepting these Terms & Conditions, the Buyer assigns to the Seller in advance all claims arising from resale of the conditional goods together with all incidental rights and security interests includ-ing bills of exchange and cheques so as to provide the Seller with security for all claims it has in relation to the Buyer arising from the business relationship. If conditional goods together with other items are sold at a single price, the assignment shall be limited to the portion of the value of the

Seller's invoice for the conditional goods included in the sale. If goods are sold in which the Seller has a joint ownership share in accordance with paragraph 3 above, the assignment shall be limited to that part of the claim that corresponds to the joint ownership share of the Seller. If the Buyer uses the conditional goods for processing a third party's product on a contract basis, in accepting these Condi-tions it assigns in advance its contractual claim on the third party to the Seller in order to provide it with security for its claim. As long as the Buyer duly meets its liabilities to the Seller, it may collect claims from a resale or from contract processing himself. It shall not have the right to assign or pledge such claims.

7. If the Seller believes its claims to be at risk, the Buyer shall at Seller's request inform its customers of the assignment and give the Seller all the necessary information and documents. The Buyer shall notify the Seller without delay of any acts of third parties aimed at seizing the conditional goods or appropriating claims assigned to it.

IX. Claims for damage1. No claims for damage - including those of a non-contractual nature - shall be lodged by the Buyer

in the case of any minor breach of duty by the Seller, its executive staff or other assistants or agents, unless such breach involves a duty that is essential for achieving the purpose of the contract.

2. In the case of any indirect loss or any loss not foreseeable at the time of conclusion of the contract, the Seller shall solely be liable for gross negligence on the part of the Seller itself or a member of its executive staff.

3. The above limitations shall not apply to damage to life, limb or health. However, this shall not affect the applicability of compelling statutory liability regulations such as liability on undertaking a guaran-tee or product liability law.

X. Notification of defects1. The Seller is only liable for defects within the meaning of Section 434 BGB (German Civil Code) subject

to the following condition: the Buyer must immediately examine the received goods for quantity and condition. The Seller must be notified of obvious defects in writing immediately. In case of mutual trading transactions, the duties of the Buyer concerning examination and lodging of complaints as set out in Section 377 HGB (German Commercial Code) shall apply.

2. If the Buyer discovers defects to the goods, they must be kept intact, i.e. they may not be separated, resold or processed.

3. The Buyer is obliged to make the defective goods or a sample thereof available to the Seller for the purpose of examination of the complaint. In the event of culpable rejection, liability shall be forfeited.

4. In the event of legitimate complaints, the Seller shall be entitled to define the nature of supple-mentary performance (replacement delivery, cure) taking the nature of the defect and the Buyer's legitimate interests into account.

5. The Buyer shall notify the Seller without delay in the event of a warranty claim arising with a cus-tomer.

XI. Buyer's rights in the event of defects1. Warranty claims made by the Buyer shall only entitle the Buyer to supplementary performance. If the

supplementary performance of the Seller is also defective, the Buyer may reduce the purchase price or opt to withdraw from the contract. Claims for damages as defined in Section IX shall remain unaf-fected by the above. Claims made by the Buyer due to expenses incurred as a result of supplementary performance, in particular transport, travel, labour and material costs, shall be excluded where such expenses have been increased by the fact that the item was subsequently transported to a location other than the premises of the Buyer, unless the goods were supplied to this location in line with their intended use.

2. The claims under a right of recourse in accordance with the regulations on the purchase of consumer goods shall remain unaffected in the event of recourse to the warranty by the Buyer following a suc-cessful claim against the latter on the basis of the provisions governing the purchase of a consumer good. Section IX shall apply to any claim for damages.

3. The Buyer must inform the Seller without delay of any recourse claim within the supply chain. Claims under a statutory right of recourse by the Buyer against the Seller shall not apply with respect to arrangements entered into by the Buyer with its customer over and above statutory warranty claims.

4. Any guarantee agreement must be made in writing. A statement of guarantee shall only be effective if it describes the content of the guarantee and the duration and physical scope of guarantee protec-tion in sufficient detail.

XII. Periods of limitation In the event that the goods supplied by the Seller are faulty then both sides bindingly agree to a war-

ranty period of two years.

XIII. Qualities of the goods, technical support, use and processing1. The qualities of the goods shall as a general rule only include the specification and properties as

stated in the product descriptions, specifications and labelling of the Seller at the time of conclusion of the contract.

2. Technical advice provided by the Seller verbally, in writing or by way of trials is given in good faith. This advice shall not release the Buyer from the obligation to test the products supplied by the Seller as to their suitability for the intended processes and uses. The application, use and processing of the products are beyond the Seller's control and are therefore entirely the Buyer's responsibility.

XIV. Other rights of withdrawal, contractual penalties and compensation1. The Seller is entitled to withdraw from the contract by providing written notice if the Buyer has

provided incorrect details about its person or creditworthiness or has failed to make the agreed pay-ments, or insolvency proceedings have been initiated or filed in relation to the Buyer's assets. Should the Seller make use of its legal or contractual right to withdraw from this contract then the Seller shall be entitled to claim for all damages resulting from the withdrawal as well as charging the Buyer a flat fee of 25 per cent of the order value to cover costs incurred, depreciation in value, fees for the right to use the goods / materials and compensation for all damages incurred by the non-contractual use of the goods. The Seller shall be entitled to charge the full invoice amount for goods that have been made to order.

2. The Seller shall be entitled to demand compensation if the Buyer is in breach of duty or cancels the contract unless otherwise agreed in writing or stated in these Terms & Conditions. Lump sum com-pensation of at least 25 per cent of the order total is deemed to have been agreed. Notwithstanding the foregoing lump sum compensation, the Seller reserves the right to assert a claim for specific compensation and damages; the Buyer shall be entitled to furnish proof that the damage was lower.

XV. Place of jurisdiction and applicable law1. Provided that the Buyer is a merchant, a legal entity under public law or special fund under public

law, the place of jurisdiction for deliveries and payments (including actions on cheques and bills of exchange) and any disputes arising under or in connection with this contract is Kassel, Germany. The Seller is reserves the right to take legal action against the Buyer at the Buyer's legal domicile.

2. All legal relationships between the parties are governed by the laws of the Federal Republic of Germany subject to the exclusion of the United Nations Convention on Contracts for the International Sale of Goods (CISG - Vienna Convention) dated 11 April 1980.

XVI. Final clauses1. If any of the foregoing provisions is unenforceable or invalid, this shall have no effect on the validity

of all remaining provisions. Any invalid provision shall be replaced with a valid provision that reflects the intent of the remaining provisions.

2. Any changes of or amendments to these Terms and Conditions must be in writing.

This document is a translation of the German original. In case of contradictory interpretation of theEnglish and German version, the German text shall prevail.
