HONEYWELL INTEGRATED SECURITY

Honeywell offers the PW-Series Modular Control Systemas an advanced, fully integrated access control hardwarearchitecture capable of providing solutions for largeenterprise applications. The Intelligent Controller familyconsists of the PW-6000, PW-5000 and PW-3000. ThePW-6000 is the latest platform to be introduced withembedded Ethernet and a Web server for configuring thehardware attributes of the controller. Because the newPW-6000 Intelligent Controller is designed to operatewithout the need for a PC, it makes assessments ofaccess control events independently of a PC or othercontrolling devices.

The PW-6000 Intelligent Controller can also beconnected to a host computer for system configuration,alarm monitoring, and direct control using direct serialcommunication, dial-up modem, or TCP/IP networkconnection.Freescale ColdFire 5282 processor has 32MB RAM and 16 MB flash with integrated Ethernet forfaster downloads and less configuration time. EmbeddedWeb server for configuring key hardware attributespreviously selected by other methods, which allows forfaster integration, start up, and troubleshooting.

Honeywell Onsite Services offer great value to our customers. Our highly trained staff of Regional Technical Managers (RTMs) can offer two different forms of onsite services:

• Onsite Services Troubleshooting Assistance- If a project encounters a problem that requires manufacturerassistance, a Honeywell RTM may be dispatched to the job site after an assessment is made by a Honeywell InsideTechnical Support Specialist and the customer. Please refer to the pricing summary for current rates.

• Planned Onsite Commissioning- RTMs are available to visit an end user site or customer location to assist withsystem commissioning, training, troubleshooting, diagnostics, consulting, and advanced level programming. Our systemcommissioning service is designed to assist the Integrator with the process of turning over a complete SecurityManagement System project using Honeywell products. Honeywell assumes that installation is essentially complete prior to an on-site visit by Honeywell. Although the Honeywell RTM performs primarily system-specific tasks, we also offer theflexibility to cover items outside of our normal scope of services. This allows us to provide custom solutions that best meetthe needs of each customer.

A typical onsite commissioning is three to six days. and can be scheduled by contacting Customer Service at (800) 323-4576.

We have an automated call distribution system to streamline and audit customer interactions. When you call us for technical support at (800) 323-4576 the ACD ensures that you are connected with the appropriate service and support resource the first time. Our technical support personnel will identify you by one of four identification numbers:

Dealer ID – tells us what Dealership you represent and your priority in the call queue.

Site ID – identifies your job site and whether the site has a Software Support Agreement or an unresolved incident reported for the site. This ID is also linked with the Dealer ID.

Training ID – indicates your level of training and routes you to the appropriate Technical Support Specialist based on your level of product knowledge. This ID is also linked with the Dealer ID.

Incident ID - informs us that you are calling about an unresolved incident, and forwards the information regarding the incident to the next available Technical Support Specialist.

The Honeywell Integrated Security Dealer Service Certification Program

(DSCP) is setting a new standard in the security industry. The program

assures a consistently high level of dealer support and service to our end

users. The DSCP sustains and enhances this level of service and provides

several benefits that clearly distinguish a dealer’s service level and portfolio

from those of the competition.

To apply for the Dealer Service Certification program, the applicant must be an existing Pro-Watch® dealer in good standing. If theapplicant qualifies, they should complete the self-assessment form. If the minimum point requirement is met, e-mail or fax thecompleted self-assessment form to:

UL294Underwriter’s Laboratories (UL) 294 standard for Access Control Units applies to the construction, performance and operation ofsystems intended to regulate or control entry into an area, or access to the use of a device (or devices) by electrical, electronic ormechanical means. This standard defines the performance level required for all systems receiving the UL294 Listing. Honeywell hasthree systems that have received the UL294 rating.

Ordering a UL294 SystemWhen ordering a UL294 Listed Control System, please be aware of the following requirements necessary to meet UL294 Listing:

• Any equipment installed with the UL294 system must be UL Listed and tested by UL for compatibility with the Access Control panels.

• Equipment must be installed in a Honeywell UL294 Listed enclosure, even when enclosures are offered as an option. For example: The PW-5000 can be ordered without enclosure, but it must be installed in a UL294 Access Control Subassembly Listed enclosure to retain the UL294 listing.

• Equipment must be installed according to the specifications outlined in the listed unit’s installation guide.

UL1076Underwriter’s Laboratories (UL) 1076 standard for Proprietary Burglar Alarms applies to the construction, performance andoperation of equipment intended for use in proprietary burglar alarm units and systems used to protect against burglary. These products are normally intended for indoor use.

A proprietary burglar alarm system as referred to by these requirements is a system in which alarm initiating circuits and devices areinstalled at a property and are connected directly or indirectly to constantly monitored receiving equipment at a central supervisingstation. The central supervising station is located at the protected property and intended for operation by personnel responsible tothe owner of the protected property. The protected property may consist of a single property or of noncontiguous properties undera single ownership. The system is arranged so that a predetermined change in the alarm initiating circuits or devices automaticallycauses transmission of an alarm signal over a supervised signaling channel to the central supervising station.

The PW-Series is certified as compliant with the specifications of the Advanced Encryption Standard (AES) for FIPS 197implementations and Recommendations for Block Cipher Modes of Operation (SP800-38A 2001 ED), as identified by the NationalInstitute of Standards and Technology (NIST) and the Communications Security Establishment (CSE). The PW Series performs AESin Electronic Codebook and Cipher Block Chaining modes of operation to encrypt and decrypt using 128 bit keys.

1. HIS has been notified within such period by return of anyalleged defective Product free and clear of all liens andencumbrances to HIS or its authorized Dealer at any of theaddresses specified herein.

2. Transportation is prepaid.

3. The Product has not been abused, misused or improperlymaintained and/or repaired during such period; and suchdefect has not been caused by ordinary wear and tear;

and such defect is not a result of misuse, voltagesurges/brownouts, lightning, water damage/flooding, fire,explosion, earthquakes, tornadoes, acts of aggressions/waror similar phenomenon; and accessories used as integral toHIS systems have been approved by HIS (e.g., coax,batteries, etc.).

Computer hardware supplied with Pro-Watch® systemsreceives next day on-site hardware support through the thirdparty vendor for three years starting from the actual ship datefrom HIS.

In the case of a hardware failure for equipment that is beyondthe three-year warranty period, the authorized Dealer can

contact the vendor to arrange on-site repair service or “carry-in”service to the closest repair center. All charges will be billeddirectly to the Dealer or end-user. Advanced Replacement or Repair & Return Service for this hardware is not available from HIS.

HIS transfers any third party warranty covering correspondingproducts to the Dealer “AS IS”. Most of these warrantiesrequire return of damaged or defective product to depot.Please contact Customer Service for details at (800) 323-4576.

Incoming and outgoing freight charges, including specialpacking, handling, customs and broker fees, are not included in warranty coverage.

Unless otherwise designated by the Dealer, shipments will be routed by the most expeditious and reasonable method. Freight charges will be prepaid and added to the invoice.

All product is shipped FOB factory and becomes the Dealer’sproperty when it passes into the hands of the transportationcompany.

Important Notice: Claims for damages sustained during transitmust be promptly filed with the delivery carrier. Claims forshortages must be filed with HIS within ten days of receipt.

SOFTWARE LICENSE AGREEMENT

All software is sold with a limited warranty, as more fully setforth in the Software License Agreement. All software/firmwaresales are final. No credits will be issued. In the event of adefective device or software media, the Dealer will be requestedto return the defective device or media for evaluation.Alternatively, a new purchase order can be processed and a credit issued upon return of the defective media or device.HIS’s sole obligation shall be to make available all publishedmodifications that correct program problems within one (1) year

from the date of purchase, provided that the Dealer/End-userhas submitted the required “Schedule A” document.

THE FOREGOING WARRANTY IS IN LIEU OF ALLWARRANTIES, EXPRESSED OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OFMERCHANTABILITY AND FITNESS OR CONSEQUENTIALDAMAGES EVEN IF HIS HAS BEEN ADVISED OF THEPOSSIBILITY OF SUCH DAMAGES.

SOFTWARE WARRANTY POLICY

HIS offers services for a wide variety of standard products. At times, our product is integrated into more complex systemsand occasionally modifications or adaptations are made for usewith other manufacturers’ equipment. In some cases, such asOriginal Equipment Manufacturers (OEM), HIS provides designservice. However, our basic function is that of a manufacturer.HIS is neither staffed nor organized to provide design servicesbeyond normal application engineering support, nor can wemake custom adaptations or modifications. The operatingprograms and software designs that are part of our systems areproprietary and represent both a major capital investment and a

valuable accumulation of unique knowledge gained throughyears of experience in the security industry. Our softwaresource code and protocol are not for sale, nor are theflowcharts, diagrams, or internal documentation about oursoftware available.

The HIS product warranty covers systems comprised of HISsoftware and components. Any modifications or integration of other components not supplied by HIS void or limit thewarranty.

SERVICE LIMITATION POLICY

All HIS software/firmware programs are copyrighted. The Authorized Dealer/End-user is granted a nonexclusive and nontransferablelicense to use the programs and data. Each license to use this copyrighted material is granted for a single computer system and onlyafter completing and returning a “Schedule A” (software registration) form to HIS. This also applies to all updates from one HISsoftware product to another. This does not apply to firmware sales or updates.

This service option is for all warranty and non-warranty repairs,outside of the ninety-day DOA policy. This option allows ourDealers to obtain a refurbished unit in advance of returning thedefective equipment. This option is for the unit only - no cables,enclosures, connectors, etc. will be shipped. The Dealer mustcontact Customer Service with a purchase order number, theend-users name, the mode of transportation, any specialhandling requirements, the type of unit required, and a thoroughproblem description of the defective unit to be returned.Customer Service will issue an RMA number, which must bemarked on the outside box when returning the defective

equipment. Failure to reference the RMA number will result in the box(es) being refused at our dock and returned to theDealer, at the Dealer’s expense.

Advance replacements are shipped with a ninety-day warrantyfrom ship date.

It is the Dealer’s obligation to return defective product to HISwithin ninety calendar days from the shipment date of thereplacement product. Credits will not be issued for late returns.

NOTE: Occasional circumstances, such as physical inventoryor holiday shutdowns, may prolong shipping schedules.Customer Service will attempt to advise the Dealer if such a situation exists.

Rates are based on normal repairs and do not include repairsdue to deliberate abuse, misuse or physical damage caused bybreakage, fire, lightning or similar phenomena.

This service option is for all warranty and non-warranty repairs,outside of the ninety-day DOA policy.

The Dealer must contact Customer Service with a purchaseorder number, the end-user’s name, the mode oftransportation, any special handling requirements, the type

of unit required, and a thorough problem description of thedefective unit to be repaired. ADVANCE REPLACEMENT POLICY

Customer Service maintains a service stock of most HIS products. Subject to availability, we will ship replacement products:

• Same-day service for orders received before 12:00 Noon, CST.• Next-day service orders received after 12:00 Noon, CST.

INVOICE AND POLICY PAYMENTTerms are thirty (30) days net from the invoice date and are subject to HIS Credit Department approval. All payments are acceptedin U.S. currency only. Prices are subject to change without prior notice. Accounts that are outstanding for thirty days or more areconsidered overdue and, at the Credit Department’s discretion, may be subject to interest, sanctions or other actions as appropriateto the maximum extent permitted by law or 1.5% per month, whichever is lower.

Manual Credit Card OrdersHIS accepts credit card payments in advance provided that the customer’s written authorization is on file. When writtenauthorization is not on file, we will fax the customer a creditcard control form granting HIS authorization to charge thecustomer’s specified credit card. Receipt of the completed and signed control form allows HIS customer servicerepresentatives to process credit card transactions uponcustomer request.

Customer Claim PolicyClaims for price adjustments must be submitted to HIS withinthirty days from date of the invoice in question. Claims forshortages or incorrectly filled orders must be made within ten days after receipt of shipment.

The Dealer must promptly file claims for damages incurredduring transit with the delivery carrier.

Who Is SupportedHIS sells to and supports an authorized network of HIS Integrators exclusively; it is not our policy to assist the end user (site) directly. An authorized HIS Integrator must be involved in all support calls unless an agreement is reached in advance with HIS management.

Getting HelpMost support calls can be resolved quickly. Integrators can reduce time to problem resolution by gathering as much information aspossible in advance. When you call for support, our Automated Call Distribution (ACD) system will prompt you for your product type. For best service, please follow the guidelines below:

1. Be at the site in question with all needed material at hand. It is imperative that you call from the affected site. Your presence at the site enables the HIS-TS engineer to gather all necessary information, run diagnostics, and/or explore solutions. Commonlyneeded tools (e.g., common hand tools, cables, volt/ohm meter, laptop or other PC), backups and all HIS original software andmanuals should be readily available.

2. Listen carefully to the ACD telephone menu options and messages to receive support on your product. If you leave amessage, please give us your telephone number and your preferred callback time. We cannot guarantee that we will return the call during that time, but we will make every effort to do so.

3. Communicate your experience. Feel free to ask questions or have the HIS-TS engineer slow down, explain, or repeat. You willincrease your understanding and may also learn something that will help you solve future problems.

4. Be specific. Try to explain your problem as precisely as possible. It can be quite difficult to diagnose and troubleshoot a problemover the phone with incomplete information. If you get an error message on your screen, write it down before calling.

5. Use the Internet. Over the years we have compiled a large amount of information about HIS hardware and software issues, much of which is made available at www.honeywellintegrated.com If you have Internet access, we suggest that you browse the information online before you call, because it is possible that some or all of your questions can be answered via the Website. In addition, many of our products are directly integrated with others, and much of the support we provide is actually common information about operating systems, communications, etc. Sites such as www.microsoft.com can offer additional sources of relevant information about product instructions, options, and troubleshooting.

• Use e-mail. If you have e-mail capability, we encourage you to send an e-mail to [email protected]. When you send e-mail with a detailed description of your problem, an HIS-TS engineer can research your problem before responding. If you would like a telephone response, please remember to include the appropriate telephone number. Additionally, if a specific time is needed for support, you may request an appointment and the HIS-TS engineer who calls you will confirm the time. Please send an appointment request with:

• Description of the product or system affected• The nature of the problem• The site name• The site ID number (if available)• Preferred callback times

HIS must confirm the appointment via email or telephone for the appointment to be valid. We will offer at least a 15-minuteappointment window, after which the appointment will be cancelled and must be rescheduled.

6. We want to help, and appreciate your patience. Due to high call volumes at any particular time, our entire technical supportteam may be on the telephone. During these occasions, we appreciate your patience and want to assure you that an HIS-TS engineer will be with you as quickly as possible. If it becomes necessary to leave a message for our technical support team, please include the following information in your message:

• Your name (please spell it out)• The end-user or site name (please spell it out)• The exact location of the site (street address, city, state)• Your phone number with area code• Times available at this number• A brief description of your problem• The site ID number (if you have one)

On occasion, problems both simple and complex may give rise to frustration and concern. Our experienced technical support teamunderstands this and shares in our customers’ concerns. Please know that they will do their best to diagnose and resolve theproblem as quickly as possible. As time is always a critical factor in these instances, we respectfully ask that our customers, while in contact with our technical support team, focus on resolving the issue at hand and refrain from engaging in any behavior thatcould delay problem diagnosis and resolution. More extreme cases may require a technical support engineer to suspend a technicalsupport call until a further course of action can be determined with the engineer’s supervisor. HIS supervisors reserve the right toimmediately terminate any call as a result of inappropriate language or behavior.

In order to ensure appropriate response times, HIS-TS prioritizes all requests according to their urgency and severity. For example,service requests involving partial or complete system failures are given a higher priority than requests for new software or hardwareinstallations. Immediate resolution of service requests is always a desirable outcome for HIS as well as for our customers.

The following defines service-request priorities which cannot be immediately resolved over the telephone. When necessary, thepriorities are discussed and assigned during the initial telephone call so that callers will understand the proposed course of action. On occasion, the problem may take longer to resolve than desired; in those cases, the HIS-TS staff will ensure that callers areapprised of the problem status. The site attendant will also be contacted and informed of the estimated time required to resolve the issue. In all cases HIS-TS staff will notify the caller or Integrator representative when the problem has been resolved.

• Priority 1 - Problems affecting multiple sites or causing a cessation of function of an entire system. An HIS-TS engineer will attend to the issue and begin working on the problem upon receipt of the call. HIS-TS will notify key internaltechnical personnel, including senior engineers and technical support managers, of problem status until the issue is resolved or adefinite timeframe for resolution can be determined. Examples include: Host computer hardware failure, a major HIS applicationfailure, or failure of an entire system where persons are locked in or out of areas or able to gain access to areas without any security.

• Priority 2 - Problems causing a partial failure of systems. An HIS-TS engineer will attempt to resolve the issue as soon as the call is received. HIS-TS will notify the individual of the status ofthe problem until the issue is resolved or the timeframe required for resolution can be defined. If the problem is successfully resolvedremotely, the HIS-TS engineer will notify the individual, Integrator or site when this has occurred. Examples include: Failure of HISequipment, loss of connection to a system, or PC-based application failure when use of the application is the primary function butpersons are still able to gain access to appropriate areas with full or partial security.

• Priority 3 - Problems preventing the successful and timely completion of work or new installations.

• Priority 4 - Problems interfering with work in progress but not resulting in complete stoppage of work.

• Priority 5 – Scheduling an appointment to perform requested services. The timeframe for scheduling these requests will be negotiated between HIS-TS and the requester. Examples of a Priority 5 event include upgrading a system, installing software not required for performance of daily functions, and system moves orchanges. HIS-TS will notify the individual of the status of the problem at an agreed frequency until the service is completed.

AFTER-HOURS EMERGENCY STANDBY SUPPORT

After-hours emergency support is available by calling theemergency support numbers listed on the support contract forthe given site. The customer will receive a return call within onehour. If a remote dial-in support session is required, theconnection will be made within two hours.

Non-emergency, scheduled, or other Priority 4 or 5 requests toHIS-TS may also be submitted using e-mail. E-mail is checkedat least once per hour during normal business hours.

Calls to HIS-TS are logged in a call-tracking database system.We regularly monitor all logged problems and discussions areheld to analyze support trends and additional needs. In cases

where a problem has not been appropriately resolved in areasonable or established timeframe, additional discussions and troubleshooting sessions are held to develop andimplement the correct solution. Request monitoring is apowerful tool for tracking trends for and ensuring thatappropriate staff and technology are accessible to callers.

For all emergencies, the telephone should be used as theprimary means of notification. Because e-mail transmissionscan be delayed or not received for reasons beyond our control,please only use e-mail as a secondary means to confirminformation exchanged over the telephone.

Honeywell Integrated Security offers after-hours emergencystandby support to our customers for the entire Pro-Watchsoftware suite. This level of support is automatically available for sites covered under a current Software Support Agreement(SSA). To inquire about the broad range of benefits offeredunder the HIS SSA program, please contact your HIS salesrepresentative for more information about after-hours support.

Emergency Standby Support is defined as technical supportfor emergency situations that occur outside of normal HIStechnical support hours, which run from 7:00am to 7:00pmCentral Time, Monday through Friday. These hours excludeweekday holidays.For the purposes of the HIS emergency standby support policy,“emergency” is defined as the following:

• A critical system is non-functional. Critical systems includesecurity system application servers, database servers andbadging workstations where functional badging is crucial to immediate business continuity.• The security system is non-operational, denying access tocritical buildings. Non-emergency after-hours work must be scheduled 72 hoursin advance and approved by HIS senior technical supportmanagement.

Additional charges may beincurred for non-emergency after-hours support, and supportmay be deferred based on degree of severity or priority until thenext calendar or business day.• Remote dial-in diagnostics on UNIX or Linux based systems.• Assistance with basic programming techniques.• For Windows systems, dial-in assistance with training andcustomization utilizing Symantec PCAnywhere© (supported PCsmust have PCAnywhere Host installed and configured as wellas a modem and active phone line). A Software Support Agreement (SSA) is site-specific and isnon-transferable.

Current-Software Support PolicyHIS-TS offers a wide range of computer software and pursuesan active research program to evaluate new versions ofsoftware for functionality and compatibility with HIS products.Typically, current versions of evaluated software are installed on computer equipment. However, we acknowledge that allcustomers may not wish to upgrade to the latest softwareversions. Consequently, some troubleshooting and assistance

may be provided for older software until a formal decisionhas been made to discontinue this support.

Supported FirmwareSubject to change, all firmware deemed “Year 2000 Ready” and above is supported by HIS-TS.

Supported TechnologyHIS-TS maintains a list of computer hardware, computersoftware, operating systems and network software that arecurrently installed and maintained by department staff. Thislisting is updated on a quarterly basis after new products havebeen thoroughly evaluated and approved by HIS-TS. Olderhardware is removed from the list either when parts can nolonger be obtained (or can no longer be obtained at areasonable price) or when current software does not operate on older equipment. A product is removed from the list whenthe vendor no longer supports it, the older version is notcompatible with current versions, the product does not supportcurrent import or export protocols, or the product does notreadily integrate with more commonly used, current productversions. Users are expected to upgrade to new versions ofsoftware within 12 months from the date on which HIS-TSmoves the new version to the list of supported products.Customers will be notified before any hardware or software isremoved from the supported products list to allow them to planfor product or systems replacement.

WHAT WE DO NOT SUPPORT

PROBLEM EVENTS NOT SUPPORTED• The problem event occurs at a site that is neither under

warranty nor a service agreement.

• Hardware failure.We will try to help you identify sources of failure, and may makesuggestions, but we are not equipped to repair hardware overthe telephone or in person.

• Deleted, overwritten or corrupted software or firmware.We will try our best to help recover your system but we arelimited by the quality and age of your backups.

• Deficient site technician skills and training.Installing, configuring, operating and servicing HIS products canbe technically complex tasks that require an appropriate level oftraining and experience. Based on the high volume of incomingcalls normally received, please understand that our technicalsupport team does not have the time to conduct basic trainingin concepts such as communications and wiring troubleshooting, mouse and keyboard usage, operating systemnavigation, or data entry.

• Unapproved modifications to software.HIS-TS engineers are trained to support HIS products asprovided by HIS. However, we cannot support softwaremodifications that have not been approved by HIS.

• Other events beyond the control of HIS.HIS-TS does not provide or support non-HIS products, such as locks, motion detectors, or door contacts, nor are we ableto support customer-provided services or equipment such asnetworks or computers. We will not provide assistance whenthe caller does not possess required passwords, securityaccess or privileges. HIS-TS has no “back door” access tosystems and will not provide any passwords (even defaultpasswords) at any time. Additionally, HIS-TS is not responsiblefor dispatching Integrators to address site needs. If the currentIntegrator is unavailable or is rejected by the end-user, the HISsales department will gladly assist with the search for a qualifiedHIS Integrator.

PROBLEM EVENTS NOT SUPPORTED• Installation of Non-Honeywell Integrated

Security products.HIS-TS does not support installation, configuration, andmaintenance of non-HIS products if they are not approved or required by HIS. Additionally, HIS makes no performanceguarantees for products or systems that conflict with anysoftware other than the operating system and supportedservice packs. HIS system support is predicated upon priorremoval of conflicting software.

To receive full support, customer systems must use standardhardware and software configurations approved by HIS-TS. In some cases, if a customer chooses to employ configurationsthat are not recommended by HIS, the customer and HIS mustnegotiate support for these configurations. HIS-TS reserves theright to recommend outside vendor support for certainconfigurations. In cases where an emergency requires HIS-TSsupport for non-standard configurations, HIS reserves the rightto bill the dealer or end user for support time. HIS-TS willnegotiate billing with the dealer or end user prior to performingany emergency support.

Honeywell Integrated Security (HIS) offers free telephone technical support to Integrator technicians who have received HIScertification training, or to sites covered under the original warranty. Hourly rates for support that does not meet the aboverequirements are listed below.

SERVICES NOT PROVIDEDMany of the service requests fielded by HIS-TS must beresolved by other entities. In these cases, HIS will try to assistin providing timely resolution. Examples of these situationsinclude support for systems not developed by HIS and/orsystems that are not directly supported by HIS.

While it is the Integrator’s responsibility to determine andprioritize the need for technical support from HIS, the followingservices will not be provided by HIS-TS, as they generally fallunder the jurisdiction of the technical support staff of theIntegrator or outside vendor:

• Hardware installation, communication and new computer setups.

• Operating system installation.

• Network interface installation.HIS-TS can assist the local technical staff in this function but will not assume local responsibility.

• Desktop support and training.Questions regarding the use of non-HIS software, whether ornot such software is part of the HIS standard system, must be handled by Integrator staff or outside vendor trainers. HIS-TS can provide guidance on selecting and obtainingappropriate training.

• Purchasing hardware, software or licenses.Except for bundled systems (systems sold pre-installed on aPC) HIS-TS is not responsible for procuring necessary licensesfor all installed software, including the operating system, and forordering computer hardware and peripherals. HIS-TS may,however, provide purchasing recommendations and will consultwith the HIS Integrator technical staff as necessary.

• Coding creation and maintenance of any type.This includes creation of macros or databases, mail merge,Web page development, etc., unless authorized via separateagreement.

• Deletion of Data.It is the policy of HIS-TS to never delete any type ofunrecoverable data on any system, except at the specificwritten request of both the Integrator and end user (owner) of the system. This includes, but is not limited to, databases,programming, alarms (active, pending, not cleared orotherwise), and operating system components. HIS-TS,however, can provide data-deletion procedures to the party or parties responsible for the systems.

Exceptions may be made for disaster recovery or major systemupgrades, but all parties (including HIS-TS management) mustbe in full agreement in order for HIS to proceed with any datadeletion. HIS will not accept responsibility for any lost datashould any data deletion take place.

• Scheduling (including shipping) all Integrator warranty/repair work.

• Installation and configuration of local printers.

• Physical installation of network printers or computerhardware.

• Customizing systems.Any custom configuration or custom software installation mustbe handled by the HIS Integrator staff or outside contractors.

• Backing up systems.

• Removing viruses.

• Reconfiguring systems in the event of a critical error.

• Basic, non-HIS specific trouble-shooting.The Integrator shall perform any type of work that is common to the electronic access control industry, includinghard-wire communications, telecommunications, electrical, and relay logic. HIS does not provide training for these skillsand techniques.

1. Preliminary Definitions

1.1 “Confidential Information” shall mean any information, technical data, trade secrets, know-how or ideas, including, without limitation, that which relates to business operations, products, services, customers, markets, research, inventions, processes, designs, drawings, engineering, marketing or finances of the disclosing party, which Confidential Information is intended to be treated as confidential, as determined by its nature and content. In the case of disclosure in non-documentary form made orally or by visual inspection, such disclosure shall be deemed to be part of the Confidential Information of the disclosing party if the receiving party is apprised of the nature thereof prior to its receipt, or if the information disclosed would be reasonably understoodby the receiving party to be confidential as determined by its nature and content. Without granting any right or license, each disclosing party agrees that Confidential Information does not include information, technology, trade secrets, know-how or ideas that the receiving party can demonstrate by written evidence: (i) was in the public domain at the time it was disclosed to the receiving party through no fault or breach of this Agreement by the receiving party; (ii) was known by the receiving party at the time of disclosure by the disclosing party; (iii) was independently developed by the receiving party without use of or access to the disclosing party’s Confidential Information or becomes known to the receiving party from a source other than the disclosing party without breach of this Agreement by the receiving party; (iv) was disclosed by the receiving party with the prior written approval of the disclosing party; (v) was disclosed by the disclosing party to a third party without restrictions similar to those contained in this Agreement; (vi) was disclosed pursuant to the order or requirement of a court, administrative agency or other governmental body, as provided in this Agreement.

1.2 “Documentation” means the users’ manual and other documentation that is associated with the Programs (as defined below) and that is made available by Vendor.

1.3 “Error” means (i) a failure of the Programs (as defined below) to conform to and operate in accordance with the Documentation, or (ii) any defect or limitation in the Software which would render it unsuitable for use.

1.4 “Person” shall be construed broadly and shall include an individual, a partnership, a corporation, a limited liability company, an association, a joint stock company, a trust, a joint venture, an unincorporated organization, any federal, state, local or foreign government or any court, tribunal, administrative agency, commission or other governmental or regulatory authority or agency, domestic, foreign or supranational.

1.5 “Programs” means the computer software program(s) as described on Schedule A hereto.

2. License Scope

2.1 Grant of License. Vendor hereby grants to Licensee, and Licensee accepts, on the terms and conditions set forth herein, a nonexclusive, nontransferable, royalty-free right and license, terminable as set forth in Section 4, and subject to the limitations set forth herein, to sublicense the Software to one sublicensee. Licensee may sublicense the Software only in accordance with the terms of this Agreement. The Programs may only be installed and used at sublicensee’s office located at ___ 4 (and as set forth in Schedule A hereto) and may be installed on up to ___ 5 servers of sublicensee at said location.

2.2 Copying of the Software. Licensee acknowledges that even though the Software is included in Vendor’s Confidential Informationand subject to the non-disclosure obligations set forth in Section 9.3, Licensee may make one (1) backup/archival copy of the Programs and Documentation in any machine-readable or printed form only in support of the licensed use of the Software. Licensee may also make backup or archival copies of the Software on tape in the ordinary course of Licensee’s business for archival purposes only.

2.3 Restrictions. Licensee shall not, directly or indirectly, (i) sell, lease, redistribute or transfer the Software except as provided by this Agreement; (ii) modify, translate, reverse engineer, decompile, disassemble, create derivative works based on, or sublicense the Software; (iii) rent or lease any rights in the Software in any form to any Person; (iv) use the Software for the benefit of any third parties (e.g. in an ASP, outsourcing or service bureau relationship) or in any other way other than in its intended manner;

(v) remove any proprietary notice, labels or marks on the Software; or (vi) disable or circumvent any access control or related device, process or procedure established with respect to the Software.

2.4 Proprietary Information; Reserved Rights. This Agreement does not transfer title or any ownership right or interest in the Software to Licensee. Licensee acknowledges that Vendor and its licensors own the Software, and that it contains, embodies and is based on patented or patentable inventions, trade secrets, copyrights and other intellectual property rights owned by Vendor and its licensors. Licensee’s rights with respect to the Software are limited to the terms and conditions in this Agreement. Any references in this Agreement to the “purchase” of Software shall mean obtaining a license to use the Software, and any references to “sale” or “selling” of Software shall mean the granting of a license to use the Software.

3. Fees

In consideration of Vendor’s performance hereunder, Licensee will pay the fees set forth on Schedule A.

4. Term and Termination

4.1 Term of License. The term of license granted pursuant to Section 2 of this Agreement shall commence upon the date first written above and continue in perpetuity unless and until this Agreement is terminated pursuant to the provisions of Section 4.2 of this Agreement.

4.2 Termination of License. Vendor may terminate this Agreement and all license of Software granted hereunder, at any time in the event that Licensee is in breach of any of the terms of this Agreement. In such event, all of Licensee’s rights to use the Software shall terminate. Any license of Software hereunder may also be terminated by Licensee destroying the Software together with all copies, modifications, and merged portions in any form.

Honeywell shall license software to Dealer pursuant to the Software License Agreement attached hereto. This SOFTWARE LICENSE AGREEMENT (this “Agreement”) is made and entered into this ___ day of _____, 200_, by and between[Name of Company] , a [name of state] corporation (“Licensee”), located at [address] , and Honeywell International Inc., a Delawarecorporation, acting through the Honeywell Access Systems business of its Security group, (“Vendor”), with an office at 135 WestForest Hill Avenue, Oak Creek, Wisconsin 53154.

5. Warranties

5.1. Authority. Vendor hereby represents and warrants that it is either the sole owner of all right, title, and interest in and to, or is authorized to license to Licensee, the Software and that it is authorized to enter into this Agreement.

5.2. Product Warranty. Vendor further represents and warrants to Licensee that for a period of twelve (12) months from the date of shipment of the Programs (the “Software Warranty Period”) the Software, if unmodified by Licensee, shall be free from Errors when properly used and operated in accordance with the Documentation. Vendor’s entire liability and Licensee’s exclusive remedyunder this warranty shall be that Vendor will promptly, to the extent possible during Regular Telephone Hours (as hereinafter defined), correct, provide a workaround for or replace malfunctions in the Programs, at Vendor’s cost and expense, provided that written notice itemizing the Errors is given by Licensee to Vendor during the Software Warranty Period (such support in response to written notice, “Warranty Support”). Vendor further represents and warrants that: (a) to its knowledge, the Software and its media shall contain no computer instructions or inappropriate functions whose purpose is to disrupt, damage or interfere with Licensee’s use of or access to the Software or its data, programs or computer or telecommunications facilities, except for any key required to access and/or operate the Software; and (b) unless expressly authorized in writing by Licensee, the Software shall not contain (i) any mechanism which electronically notifies Vendor of any fact or event, nor (ii) any node lock, time-out, logic bomb or other function, implemented by any means, which may restrict Licensee’s use of or access to the Software or any other programs, data or equipment, except for any key required to access and/or operate the Software.

5.3. Warranty Support Services. Vendor shall provide Licensee with Warranty Support, which shall consist only of prompt technical support for the use and operation of the Programs from 7:00 AM to 7:00 PM Central Standard Time, Monday through Friday, excluding Vendor’s holidays (“Regular Telephone Hours”). Outside of Regular Telephone Hours, Vendor makes no guarantee of the availability of technical support or response times under Warranty Support. If available, technical support during times other than during Regular Telephone Hours may be provided by Vendor to Licensee for additional fees for labor and materials.

5.4. EXCEPT AS SPECIFIED HEREIN, VENDOR MAKES NO WARRANTIES, EXPRESS OR IMPLIED, WITH RESPECT TO THE SOFTWARE, THE SOFTWARE IS PROVIDED "AS IS," AND VENDOR DISCLAIMS ALL OTHER WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, ANY WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.

6. Intellectual Property Indemnification

6.1 Vendor shall defend Licensee from and indemnify Licensee against any claim, loss, damage or expense (including reasonable court costs and attorney’s fees) awarded against Licensee by a court of competent jurisdiction, that has determined that Licensee’s use of the Software, in strict compliance with the terms of this Agreement, infringes the valid United States patent, copyright, trademark or proprietary right of a third party in effect as of the date of this Agreement, provided that Licensee notifies Vendor at such time as it is apprised of any such third-party claim and agrees to give full and complete authority, information and assistance (at Vendor’s expense) for the defense and disposition of such claim. Vendor shall not be responsible for any compromise made by Licensee or its agents without Vendor’s consent.

6.2 If a claim is made or if Vendor believes that a claim is likely, Vendor may, at its option, and at its expense, (i) obtain for Licenseethe right to continue using the Software, (ii) modify the Software so that it is non-infringing, (iii) replace the Software with afunctionally equivalent, non-infringing product, or (iv) recover the Software and terminate Licensee’s license by paying Licensee theremaining value of the Software then held by Licensee (determined by reference to a five (5) year, straight-line amortization formulaapplied from the date of delivery of the Software).

6.3 Vendor shall not be obligated to defend or otherwise be liable under this Section 6 to the extent such infringement would nothave occurred but for (a) compliance with Licensee’s specifications, (b) use or modification of the Software in accordance with suchspecifications, (c) use or combination of the Software with items not provided by Vendor, (d) use of other than the latest unmodifiedversion released by Vendor of the Software or (e) any modification of the Software other than a modification by Vendor whichbecomes part of the Software.

6.4 THESE INTELLECTUAL PROPERTY INDEMNIFICATION PROVISIONS CONSTITUTE VENDOR’S SOLE LIABILITY, AND LICENSEE’S SOLE RECOURSE AND EXCLUSIVE REMEDY, IN THE EVENT OF ANY INFRINGEMENT OR OTHER VIOLATION OF INTELLECTUAL PROPERTY RIGHTS.

7. Limitation Liability

IN NO EVENT SHALL VENDOR’S AGGREGATE LIABILITY (INCLUDING, BUT NOT LIMITED TO, LIABILITY FOR NEGLIGENCE, STRICT LIABILITY, BREACH OF CONTRACT, MISREPRESENTATION AND OTHER CONTRACT OR TORT CLAIMS) ARISING FROM OR RELATED TO THIS AGREEMENT OR THE SOFTWARE, EXCEED THE AMOUNT OF FEES PAID TO VENDOR UNDER THIS AGREEMENT. NEITHER PARTY SHALL BE LIABLE FOR ANY INCIDENTAL, CONSEQUENTIAL, INDIRECT, PUNITIVE, SPECIAL OR EXEMPLARY DAMAGES (INCLUDING, WITHOUT LIMITATION, ANY AND ALL DAMAGES FROM BUSINESS INTERRUPTION, LOSS OF PROFITS OR REVENUE, COST OF CAPITAL OR LOSS OF USE OF ANY PROPERTY OR CAPITAL) WITH RESPECT TO, ARISING OUT OF, OR IN CONNECTION WITH, THIS AGREEMENT EVEN IF LICENSEEOR VENDOR HAS BEEN APPRISED OF THE LIKELIHOOD OF, OR IS OTHERWISE AWARE OF, THE POSSIBILITY OF SUCH DAMAGES OCCURRING.

THE EXPRESS WARRANTIES SET FORTH IN SECTION 5 OF THIS AGREEMENT ARE IN LIEU OF ALL OTHER WARRANTIES, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING BUT NOT LIMITED TO ANY IMPLIED OR OTHER WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. LICENSEE ACKNOWLEDGES AND AGREES THAT THE SOFTWARE IS DESIGNED TO BE A TOOL TO ASSIST LICENSEE; VENDOR MAKES NO WARRANTY THAT THE SOFTWARE WILL OPERATE ERROR-FREE APART FROM THE LIMITED 12 MONTH WARRANTY SET FORTH IN SECTION 5.2, AND VENDOR MAKES NO WARRANTY THAT THE SOFTWARE WILL OPERATE FREE OF ANY SECURITY DEFECTS OR IN AN UNINTERRUPTED MANNER.

8. License Assignability

Any assignment made without the prior written consent of Vendor shall be void ab initio. If Licensee is allowed to assign its license to the Software hereunder, Licensee must either transfer all copies, whether in printed or machine-readable form, to the same party who the Agreement is assigned to, or destroy any copies not transferred.

9. General Terms

9.1 Governing Law. This Agreement shall be governed by and construed in accordance with the laws of the State of New York without giving effect to the principles of conflicts of law. The provisions of the Uniform Computer Information Transactions Act, if enacted and however designated, are excluded and shall not apply to this Agreement or any transactions hereunder.

9.2 Forum. Any action or proceeding brought by either party against the other party arising out of or related to this Agreement shall be brought exclusively in a state or federal court of competent jurisdiction located in New York, New York.

9.3 Non-Disclosure and Non-Use. Each party will maintain in confidence all Confidential Information of the other party and will not use such Confidential Information except as expressly permitted herein. Each party will take all reasonable measures to maintain the confidentiality of the other party’s Confidential Information, but in no event less than the measures it uses to protect its own Confidential Information. Each party will limit the disclosure of such Confidential Information to those of its employees and advisors with a bona fide need to access such Confidential Information, provided that all such employees and advisors are bound by a written non-disclosure agreement that contains restrictions at least as protective as those set forth herein. Each party furtheragrees not to (i) use the other party’s Confidential Information for any purpose other than the exercise of its rights and obligations under this Agreement, or (ii) derive any commercial benefit (either direct or indirect) from such Confidential Information, except as contemplated by this Agreement. Each party understands and agrees that the other party will suffer irreparable harm in the event that the receiving party of Confidential Information breaches any of its obligations under this Section 9.3 and that monetary damages will be inadequate to compensate the non-breaching party for such breach. In the event of a breach or threatened breach of any of the provisions of this Section 9.3, in addition to and not in limitation of any other rights, remedies or damages available to it at law or in equity, shall be entitled to obtain a temporary restraining order, preliminary injunction and/or permanent injunction in order to prevent or to restrain any such breach by the other party.

9.4 Survival. The provisions of Sections 2.4, 7, 8 and 9 of this Agreement shall survive acceptance, and payment under, and termination of, this Agreement.

9.5 Notices. Any notice or other communication required or permitted to be given hereunder shall be given in writing and delivered in person, mailed or delivered by recognized courier service, properly addressed and stamped with the required postage, to the intended recipient at its address specified below and shall be deemed effective upon receipt. Either party may from time to time change its address by giving the other party notice of the change in accordance with this section.

9.6 Force Majeure. Neither of the parties shall be deemed to be in default of, or to have breached, any provision of this Agreement as a result of any delay, failure in performance or interruption of service, resulting directly or indirectly from acts of God, acts of civil or military authorities, civil disturbances, terrorism, wars, declared or not, other armed conflicts, strikes or other labor disputes, fires, transportation contingencies, laws, regulations, quarantines, acts or orders of any government or agency or official thereof, other catastrophes, the inability or refusal by third party suppliers to provide Vendor parts, services, manuals or other information necessary to the services to be performed by Vendor under this Agreement, government embargoes, blockades, seizure or freeze of assets or any other similar occurrences beyond such party’s reasonable control. In every case, the delay or failure in performance or interruption of service must be without the fault or negligence of the party claiming excusable delay, and the party claiming excusable delay must promptly notify the other party of such delay. Performance time under this Agreement shall be considered extended for a period of time equivalent to the time lost because of any delay which is excusable under this Section 9.6; provided, however, that if any such delay continues for a period of more than 60 days, the party not claiming excusable delay shall have the option of terminating this Agreement upon written notice to the party claiming excusable delay.

9.7 Entire Agreement; Amendments. This Agreement and any exhibits hereto contain all of the agreements between the parties hereto with respect to the transactions contemplated hereby and supersede all prior agreements or understanding among the parties with respect thereto. This Agreement shall not be altered or otherwise amended except pursuant to any instrumentin writing signed by each party hereto, except that any party may waive any obligation owed to it by another party under this Agreement.

9.8 Waiver. The failure of either party to enforce at any time any of the provisions of this Agreement shall not be construed to be a waiver of any provisions hereunder nor shall any such failure prejudice the right of such party to enforcement hereunder.

9.9 Severability. If any provision of this Agreement is determined by an arbitrator or court of competent jurisdiction to be illegal, invalid or unenforceable for any reason, then such provision shall be deemed stricken for the purpose of the dispute in question, but only to the extent necessary to make the remaining portion of the provision legal, valid and enforceable, if possible, and all other provisions of this Agreement shall remain in full force and effect. The parties agree, in the circumstances referred to in this clause, to attempt to substitute for any illegal, invalid or unenforceable provision a valid and enforceable provision which achieves to the greatest extent possible the same effect as would have been achieved by the illegal, invalid or unenforceable provision.

9.10 Counterparts and Facsimile Execution. This Agreement may be executed in two or more counterparts, all of which shall be considered one and the same agreement and shall become effective when one or more counterparts have been signed by each of the parties and delivered to the other party, it being understood that all parties need not sign the same counterpart. Any counterpart or other signature hereupon delivered by facsimile shall be deemed for all purposes to constitute good and valid execution and delivery of this Agreement by such party.

9.11 Export Compliance. Licensee shall be responsible for compliance without limitation with all local laws and regulations applicable to the installation, use, import, export and re-export of the Software. Licensee shall comply with all applicable export control laws and regulations of the country having proper jurisdiction and, in particular, the United States, for any software shipped from the United States, and shall obtain all necessary export and re-export licenses in connection with any subsequent export, re-export, transfer and use of all products, technology and software delivered under this Agreement.

9.12 Incorporation of Exhibits. The Exhibits identified in this Agreement are incorporated herein by reference and made a part hereof. All terms used but not defined in the Exhibits shall have the meanings assigned to them in this Agreement.

9.13 Headings. Section number and descriptive headings are for convenience only and shall not control or affect in any way the meaning or construction of any provision of this Agreement.

Service and support play an important role in the success of our business. To

ensure our customers receive accurate and reliable information, your call may be

monitored by the Honeywell Integrated Security (HIS) management team so HIS

can continue to provide the highest level of service and support in the industry.

By purchasing and accepting HIS products (“Products”), Dealer/Integrator agrees

to the following Terms and Conditions of Sale:

1. Ordering

A Dealer may place an order by faxing a purchase order to the Honeywell Integrated Security (HIS) Customer Servicedepartment that specifies the part number, quantity, desireddelivery date, shipping method, and location to which Productshould be shipped.

HIS reserves the right to refuse any purchase order, and is notbound to honor it, unless a paper copy via fax or mail has beenreceived at the Oak Creek, Wisconsin location. Purchase orderswill be governed by the terms of this Agreement and mustspecify: (1) HIS Product part number, including a generaldescription of the Product; (2) requested delivery dates; (3)applicable price; (4) quantity; (5) location to which the Productis to be shipped; and (6) location to which invoices will be sentfor payment. Purchase orders are subject to acceptance byHIS. HIS's acknowledgment of purchase order receipt will notconstitute acceptance. Any additional terms or terms conflictingwith the terms of this Agreement will not apply unlessspecifically set forth in a separate written agreement betweenthe parties.

Orders received without a requested shipping date will bescheduled for shipment according to current HIS productionschedule. Payments are accepted in U.S. currency only.Exceptions to this policy are handled on an individual basis.Prices are subject to change without notice. Special (spec) or custom (cust) order items that cannot be cancelled with our suppliers are subject to a l00% cancellation charge. A minimum order of 25 is required on stock card items. Call for a quotation and minimum requirements on non-stock cards(i.e. custom/special cards).

2. Delivery and Shipping

Products will be delivered F.O.B. from their shipping point. HISwill schedule delivery in accordance with its standard lead timeunless (i) Dealer’s Order requests a later delivery date; or (ii) HISagrees in writing to a separate delivery date. If HIS prepays

transportation charges, Dealer will reimburse HIS upon receiptof an invoice for those charges. Title will pass to Dealer whenHIS places Product at the disposal of Dealer at HIS’s facility.HIS reserves the right to quote additional charges for anyspecial routing, packing, labeling, handling or insurancerequested by Dealer.

Orders will be assigned estimated ship dates based on productavailability and the date HIS receives and accepts the order.HIS shall make every reasonable effort to meet delivery datequoted or acknowledged. However, HIS will not be liable for its failure to meet such dates. Orders that cannot be shippedwithin 90 days may be cancelled.

Except for payment obligations, neither party will be liable tothe other for any failure to meet its obligations due to any causebeyond the non-performing party's reasonable control. If theinability to perform continues for longer than 90 days, eitherparty may terminate this Agreement by providing written noticeto the other party and Dealer will pay HIS for Products deliveredand services performed prior to termination. Force majeureevents may include but are not limited to: (1) governmentembargoes, (2) blockades, (3) seizure or freeze of assets, (4)delays or refusals to grant an export license or the suspensionor revocation thereof, (5) any other acts of any government thatwould limit the ability for contract performance, (6) fires,earthquakes, floods, severe weather conditions, (7) any otheracts of God, (8) quarantines or regional medical crisis’s, (9)labor strikes or lockouts, (10) riots, strife, insurrection, civildisobedience, armed conflict, terrorism or war, declared or not(or impending threat of any of the foregoing, if such threat mightreasonably be expected to cause injury to people or property),and (11) shortages or inability to obtain materials orcomponents.

If a force majeure event causes a delay, then the date ofperformance will be extended by the period of time that thenon-performing party is actually delayed or for any other periodas the parties may agree in writing.

HONEYWELL TERMS AND CONDITIONS OF SALES

The Dealer’s receipt of ordered Products shall constitute awaiver on any claims for delay.

In the event that Dealer requests a guaranteed ship date HISreserves the right to add to the purchase price, subject toDealer’s approval, expenses which increase the costs ofproduction, (i.e., freight charges, overtime expenses, etc). HIS reserves the right to make shipments of complete orders in advance of the ship dates specified and partial orderswithout prior approval from Dealer. Claims for delays inshipment, shortage and damage must be initiated by Dealerwith the carrier.

3. Freight

Risk of loss or damage to the Product shall pass to the Dealerupon tender of delivery F.O.B. at HIS’ facility, except that asecurity interest in the Products or any replacement shallremain with HIS, regardless of mode of attachment to realty or other property, until full payment has been made therefore.Dealer shall do all things and acts necessary to perfect andmaintain said security interest and shall protect HIS’ interest byadequately insuring the Products against loss or damage fromany cause and HIS shall be named as an additional insured.Dealer shall provide HIS with certificates of insurance coverage.Claims for shortages and damages en-route must be promptlyfiled with the delivery carrier by the Dealer.

Shipments will be routed by the most expeditious andreasonable method. Freight charges will be prepaid and addedto the invoice. Use of carriers other than HIS’ preferred carrier(s)may be subject to additional handling charges to the Dealer.All freight charges, including warranty shipments, are theDealer’s responsibility.

4. Payment Terms

Standard domestic terms are 2% discount if paid within ten (10) days, or NET thirty (30) days from the invoice date. Termsfor international sales may require Letters of Credit rather thanopen credit terms subject to HIS Credit Department approval.All claims and/or disputes concerning billing issues anddiscrepancies must be submitted to HIS for considerationwithin thirty (30) days from invoice date. Otherwise, all billingsare considered final after 30 days.

Payment is due 30 calendar days from date of invoice.Payments must be made in U.S. currency. If Dealer isdelinquent in its payment obligation to HIS, HIS may upon

written notice to Dealer stop work and withhold futureshipments until all delinquent amounts and late interest, if any,are paid. Additionally HIS may at its option: i) repossessProducts for which payment has not been made; ii) chargeinterest on delinquent amounts at a rate of 1.5% per month or the maximum rate permitted by law, whichever is lower, foreach month or part thereof; iii) recover all costs of collectionincluding, but not limited to, reasonable attorneys' fees; iv)combine any of the above rights and remedies as may bepermitted by applicable law. These remedies are in addition toall other remedies available at law or in equity. This "Payments"clause will survive expiration or any termination of thisAgreement. HIS may re-evaluate Dealer's credit standing at alltimes. If HIS reasonably determines in its sole discretion thatDealer fails to qualify for the above payment terms at any time,then HIS may without notice to Dealer modify or withdrawcredit terms including, but not limited to, requiring advancepayment, C.O.D., guarantees or other security.

Orders exceeding $50,000 and/or orders involving customproducts, will generally require progress payment terms duewith an order at the time of shipment, and net 30 days aftershipment. HIS reserves the right to change the credit terms at any time, when, in HIS opinion, Dealer’s financial condition or previous payment record so warrants.

5. Taxes

HIS’s pricing excludes all taxes (including but not limited to,sales, use, excise, value-added, and other similar taxes), dutiesand charges. Dealer is responsible for all such taxes, duties andcharges resulting from this Agreement or as a result of HIS’sperformance hereunder, whether now or hereafter imposed,levied, collected, withheld, or assessed. If HIS is required toimpose, levy, collect, withhold or assess any such taxes, dutiesor charges on any transaction under this Agreement, then inaddition to the purchase price, HIS will invoice Dealer for suchtaxes, duties, and charges unless at the time of orderplacement Dealer furnishes HIS with an exemption certificate or other documentation sufficient to verify exemption from suchtaxes, duties or charges. This clause will survive expiration orany termination of this Agreement.

HIS will accept a valid exemption certificate from the Dealer, ifapplicable. If an exemption certificate previously accepted by HISis not recognized by the governmental taxing authority involved,Dealer agrees to promptly reimburse HIS for any taxes coveredby such exemption certificate which HIS is required to pay.

6. Claims

Claims for price adjustment must be submitted to HISCustomer Service Department within thirty (30) days from dateof invoice in question. Claims for shortages, or incorrectly filledorders, must be made within ten (10) days after receipt ofshipment.

7. Credits

Credits will be issued for material that is resalable, brand new,and unopened in its original box. Items that cannot be returnedinclude Computers, Digital Video Recorders (DVR), dyesublimation printers and special order cards.

Orders that are accepted for return within forty-five (45) daysafter shipment are subject to a minimum 15% restockingcharge. Orders that are accepted for return between forty-five(45) and ninety (90) days after shipment are subject to aminimum 40% restocking charge.

No returns will be accepted for credit later than ninety (90) daysafter shipment.

8. Limitation of Liability, Indemnification

IN NO EVENT WILL HIS BE LIABLE FOR ANY INCIDENTALDAMAGES, CONSEQUENTIAL DAMAGES, SPECIALDAMAGES, INDIRECT DAMAGES, LOSS OF PROFITS, LOSSOF REVENUES, OR LOSS OF USE, EVEN IF INFORMED OFTHE POSSIBILITY OF SUCH DAMAGES. HIS'S LIABILITY FORDAMAGES ARISING OUT OF OR RELATED TO THISAGREEMENT SHALL IN NO CASE EXCEED THE CONTRACTPRICE FOR THE SPECIFIC PRODUCT THAT GIVES RISE TOTHE BREACH. TO THE EXTENT PERMITTED BY APPLICABLELAW, THESE LIMITATIONS AND EXCLUSIONS WILL APPLYREGARDLESS OF WHETHER LIABILITY ARISES FROMBREACH OF CONTRACT, WARRANTY, TORT (INCLUDINGBUT NOT LIMITED TO NEGLIGENCE), BY OPERATION OFLAW, OR OTHERWISE.

Dealer shall indemnify, defend, and hold HIS harmless from andagainst all claims, demands, losses and liability arising out ofdamage to property or injury to persons occasioned by or inconnection with the acts or omissions of Dealer and its agentsand employees, in the performance of this Agreement and fromand against all claims, demands, losses and liability for costs offees, including reasonable attorneys’ fees, in connectiontherewith.

9. Product Design

HIS reserves the right to discontinue the manufacturing of anyof the Products, to make any design changes or to addimprovements to the Products at any time without prior noticeto the Dealer, provided that HIS shall not be required hereby tochange Products previously sold. No part of this paragraph willbe deemed to affect the obligation of HIS to fill orderspreviously accepted.

10. Software License, Warranty and Service

HIS shall license software to Dealer pursuant to the SoftwareLicense Agreement attached hereto. (See Section 2).

11. Export

Dealer is responsible for compliance with all import and exportcontrol laws and regulations. Dealer will obtain import, export,and re-export approvals and licenses required for Products,transfers, services and technical data delivered and will retaindocumentation evidencing compliance with those laws andregulations.

HIS will not be liable to Dealer for any failure to provideProducts, services, transfers or technical data as a result of government actions that impact HIS's ability to perform,including:

(1) The failure to provide or the cancellation of export or re-export licenses;

(2) Any subsequent interpretation of applicable import, transfer,export or re-export law or regulation after the date of any orderor commitment that has a material adverse effect on HIS'sperformance; or

(3) Delays due to Dealer’s failure to follow applicable import,export, transfer, or re-export laws and regulations.If Dealer designates the freight forwarder for export shipmentsfrom the United States, then Dealer's freight forwarder willexport on Dealer's behalf and Dealer will be responsible for anyfailure of Dealer's freight forwarder to comply with all applicableexport requirements. HIS will provide Dealer's designatedfreight forwarder with required commodity information.

Honeywell Integrated Security warrants its material andworkmanship free from defects for a period of 12 months from the date of original shipment to Dealer. Satisfaction of this warranty shall be limited to repair or replacement ofmaterial that is defective or becomes defective under normal use.

Return/Repairs: Defective warranty material must be returnedto HIS's factory for repair or replacement. At HIS's discretion,the material will be repaired and returned or replaced.

Advancements: The prompt replacement of damaged ordefective material under warranty prior to its return. HIS willinvoice the Dealer for replacement material and subsequentlyissue credit upon receipt of the returned material. The Dealermust issue HIS a purchase order prior to shipment ofreplacement material.

Test Fees: Any Product received by HIS that is tested anddetermined to be in good working condition, will be returned to the customer along with a testing fee that will be billed to the customer’s account. The purchase order number that wassupplied to HIS for the advance replacement Products will be used for the billing of this testing fee. The testing fee will not berefundable. In addition, the customer will not receive the creditfor the return of the defective Products and will be expected to pay for the replacement Products that were shipped as anadvancement.

PC On-site Warranty: All PC systems that are sold include a one (1) year on site warranty for hardware related issues. Our PC vendor will provide troubleshooting over the phone with either Dealer or end-user to determine the extent of theproblems before dispatching service personnel.

Extended PC System Warranties: Additional maintenanceagreements can be purchased to extend the warranty and/orextend the type of coverage for our PC systems in timeincrements of one (1) year. These additional warranties can be purchased directly from the PC vendor.

Extended Warranties: OmniProx and OmniSmart productshave limited lifetime warranty. HID has extended its limitedwarranty to lifetime coverage on all of its products. HIS willhonor HID’s warranty for all new items purchased on or afterJanuary 1, 2006.

Freight charges for warranty material are the responsibility of the Dealer.

HIS’s warranty shall not extend to any material which isdetermined to be defective as a result of misuse, improperstorage, incorrect installation, operation or maintenance,alteration, modification, accident, acts of God, natural disaster,or unusual deterioration of the material due to physicalenvironments in excess of the limits set forth in materialmanuals. (Refer to section above on Warranty.)

14. Use of Trademarks

During the term of this Agreement or any extension thereof,Customer may use the trade name of HIS or any of HIS’strademarks, insignias, logos, or proprietary marks in connectionwith Dealer’s sales, advertisements, and promotions of theProducts. Dealer acknowledges that these trademarks andlogos are valuable assets of HIS and Dealer’s use of suchproprietary marks shall be in accordance with HIS’s directionand policies. Dealer specifically disclaims any right in any of theproprietary marks and shall not use the proprietary marks aspart of the business name of Dealer.

15. Promotional Expenses

HIS will furnish to Dealer, at no cost, reasonable quantities ofcatalogs and other sales promotional literature regarding theProducts. See the literature section in this price book for alisting of available promotional pieces. At the request of Dealer,HIS will provide technical and/or sales training seminars forDealer’s and personnel, provided that such seminars can bescheduled within the time and travel schedules of HIS’spersonnel. Consult factory for seminar and training fees.

13. Acceptance, Return Merchandise Authorization (RMA)

0 - 45 Days 15% Restocking Fee

46 - 90 Days 40% Restocking Fee

Unless other acceptance criteria has been agreed to by theparties, Dealer will inspect Products within a reasonable periodafter delivery not to exceed 30 calendar days. Products will bepresumed accepted unless HIS receives written notice ofrejection explaining the basis for rejection within the sametimeframe. HIS will have a reasonable opportunity to repair orreplace rejected Products, at its option. HIS assumes shippingcosts in an amount not to exceed normal surface shippingcharges to HIS's designated facility for the return of properlyrejected Products. Following initial delivery, the party initiatingshipment will bear the risk of loss or damage to Products intransit. If HIS reasonably determines that rejection wasimproper, Dealer will be responsible for all expenses caused by the improper rejection.

No material will be accepted for return to HIS’s warehouse orfactory without an RMA number, also referred to as a ReturnAuthorization Credit (RAC) number.

Dealer will need to provide the following information to obtain a RMA number:

A. Model number and serial number of the unit.B. Original purchase order number or sales order.C. If available, the shipment date of the unit (from packing list).D. A new purchase order number.E. Symptoms of the defective unit.F. Technical call reference number (for products in warranty).G. Method of shipment.H. Type of RMA required (advance replacement,

repair/return or credit).

Upon receipt of a Dealer RMA request for either credit or repairof material, HIS agrees to either issue an RMA number or, perwritten Dealer request, provide Dealer with a written explanationfor its refusal to issue the RMA within thirty (30) days of therequest date. Unauthorized returns will be refused and returnedto the shipper at the Dealer’s expense.

An RMA number is valid for a period of ninety (90) days fromthe date of issue. After ninety (90) days, the RMA number willbe voided.

An RMA number will not be issued for special order or custommaterial, except for warranty repair claims.

Customer Service Restocking FeesAll products returned for credit is subject to a restocking fee as follows*:

Any product over 90 days cannot be returned.All products returned for credit must be in new condition withthe original packaging and box.Any product sent back without an RMA will be refused.*All computers (includes DVR’s), badging printers, special ordercards and readers (includes customer specific formats/keys orproducts with BPCS status 40) cannot be returned. 16. Federal Communications Communications (FCC) Registration

HIS warrants that each of the products is registered under andcomplies with Part 68 of the Federal communicationsCommission’s Rules and Regulations, including, but not limitedto, all labeling and customer instruction requirements.

17. Infringement

HIS will defend any suit against the Dealer arising out of anyactual or alleged patent or copyright infringement of a validUnited States patent or copyright, to the extent based on theProduct as delivered by HIS, and indemnify for any finaljudgment assessed against Dealer resulting from such suitprovided that Dealer notifies HIS at such time as it is apprisedof the third-party claim, and agrees to give sole and completeauthority, information and assistance (at HIS’s expense) for thedefense and disposition of the claim. HIS will not be responsiblefor any compromise or settlement made without HIS’s consent.

HIS will have no obligation or liability with respect to: (a)Products provided pursuant to Dealer's designs, drawings ormanufacturing specifications; (b) Products used other than fortheir ordinary purpose; (c) claims of infringement resulting fromcombining any Product furnished hereunder with any article notfurnished by HIS; (d) use of other than the latest version ofsoftware Product released by HIS; or (e) any modification of the Product other than a modification by HIS.

Further, Dealer agrees to indemnify and defend HIS to the sameextent and subject to the same restrictions set forth in HIS'sobligations to Dealer as set forth in this "Indemnities AgainstPatent and Copyright Infringement" section for any suit againstHIS based upon a claim of infringement resulting from (a), (b),(c), (d) or (e) of the preceding paragraph.

Because HIS has exclusive control of resolving infringementclaims hereunder, in no event will HIS be liable for Dealer'sattorney fees or costs.

If a claim is made or if HIS believes that a claim is likely, HISmay, at its option, and at its expense, (i) procure for Dealer theright to continue using the Product; (ii) replace or modify theProduct so that it becomes non-infringing; or (iii) accept returnof the Product or terminate Dealer’s license to use the infringingProduct and grant Dealer a credit for the purchase price orlicense fee paid for such product, less a reasonable

depreciation for use, damage, and obsolescence. Further, HISmay cease shipping infringing Products without being in breachof this Agreement.

Any liability of HIS under this "Indemnities Against Patent andCopyright Infringement" is subject to the provisions of the"Limitations of Liability" section of this Agreement.

This "Indemnities Against Patent and Copyright Infringement"section states the parties’ entire liability, sole recourse and their exclusive remedies with respect to infringement. All otherwarranties against infringement of any intellectual propertyrights, statutory, express or implied are hereby disclaimed.

All software, drawings, diagrams, specifications, catalogs,literature, manuals and other materials furnished by HIS relationto the design, use and service of the Products shall remainconfidential and shall constitute proprietary rights of HIS andDealer agrees to treat such information as confidential. Dealershall acquire no rights in the design of the Products or therelated materials except to use such information solely for thepurpose of and only during the time it sells the Products. Dealershall not copy the design of any of the Products or use orcause to be used any Product design or related materials for itsown benefit or for the benefit of any other party. The covenantscontained in this section shall remain effective throughout theterm of the Agreement and thereafter unless specifically waivedby HIS in writing.

18. Relationship of Parties

HIS is an independent contractor and not the agent oremployee of Dealer. All persons employed or retained by HIS in connection with the performance of its obligations hereunderwill be its employees or those of its subcontractors or vendors,as the case may be, and not the employee or agent of theDealer in any respect. Nothing contained in this Agreementshall create any contractual relationship between Dealer and the subcontractors. This Agreement does not in any way createthe relationship of joint venture, partnership, or principal andagent between HIS and Dealer. Neither party shall have thepower or ability to pledge the credit of the other nor to bind the other or to contract in the name of or create a liabilityagainst the other in any way for any purpose.

19. Non-Assignability

Neither party shall assign this agreement or its rights andobligations hereunder except with the prior written consent ofthe other party, which shall not be unreasonably withheld ordelayed. Either party may assign this agreement in connectionwith the sale or transfer of all or substantially all of the assets ofthe business to which it pertains. Any attempt to assign ordelegate in violation of this clause shall be void.

20. General Provisions

A. This Agreement will be governed by the laws of the State of New York without regard to conflicts of law principles. HISand Dealer expressly agree to exclude from this Agreement theUnited Nations Convention on Contracts for the InternationalSale of Goods, 1980, and any successor thereto. The Federaland State courts within the State of New York will haveexclusive jurisdiction to adjudicate any dispute arising out of or related to this Agreement.

B. Remedies: Nonexclusive - Except as set forth herein, no remedy conferred by any specific provision of these terms is intended to be exclusive of any other remedy and each andevery remedy shall be accumulative and shall be in addition to every other remedy given here under or now or hereinafterexisting in law, or in equity, or by statute, or by otherwise. The election of one or more remedies by either party shall not constitute a waiver of the right to pursue other availableremedies.

C. Enforcement of Agreement – In the event of litigationrelating to this transaction, the prevailing party shall be entitledto recover its attorney’s fees associated with that litigation plusprejudgment interest at the legal rate computed from the dateof the filing of such litigation.

D. Entire Agreement - This Agreement contains the entireagreement between the parties with respect to the subjectmatter hereof and supersedes any prior representations oragreements, oral or written, and all other communicationsbetween the parties relating to the subject matter hereof. This Agreement will not be varied except by an instrument inwriting subsequently executed by an authorized representativeof each party.

E. Severability - In the event any provision of this Agreement is determined to be illegal, invalid, or unenforceable, the validityand enforceability of the remaining provisions of this Agreementwill not be affected and, in lieu of such illegal, invalid, orunenforceable provision, there will be added as part of this

Agreement one or more provisions as similar in terms as maybe legal, valid and enforceable under applicable law.

F. Survival – All provisions of this Agreement which by theirnature should apply beyond the term of this Agreement willremain force after the expiration or any termination of thisAgreement.

G. Waiver – The failure of either party to enforce at any timeany of the provisions of this Agreement shall not be construedto be a continuing waiver of any provisions hereunder nor shallany such failure prejudice the right of such party to take anyaction in the future to enforce any provisions hereunder.

21. Conflicting Terms

HIS rejects any terms or conditions stated by Dealer orcontained in Dealer’s purchase documents or correspondence.

22. Fire Safety and Liability Notice

HIS hereby notifies installer that card readers should never beconnected to any critical entry, exit door, barrier, elevator orgate without providing customers with an alternative exit inaccordance with all fire and life safety codes pertinent to theinstallation. These fire and safety codes vary from city to cityand approval from local fire officials must be obtained wheneverusing an electronic product to control a door or other barrier.Use of egress buttons, for example, may be illegal in somecities. In most applications, single action exit without priorknowledge of what to do is a life safety requirement. (Alwaysmake certain that any required approvals are obtained inwriting. Do not accept verbal approvals, as they are not valid)HIS also never recommends using it's products for use as aprimary warning or monitoring system. Primary warning ormonitoring systems should always meet local fire and safetycode requirements. The installer must also test the system on a regular basis by instructing the end user in appropriate dailytesting procedures. Failure to test a system regularly couldmake installer liable for damage to end.
