Group Chairman’s Message

My Dear Colleagues,

As we bid goodbye to a year gone by and warmly welcome the year 2010, I am delighted to be part of a strong ‘Team GMR’ that has grown by yet another year.

We have moved from being an Indian to a multi-national organisation with a wide global footprint of our International Business Division. This message of mine will reach my colleagues based as far west as the UK and as far east as Indonesia, as far north as Canada and as far south as South Africa. This diversity is a welcome development.

The year 2009 was a challenging year for the global economy and for us as well. The double whammy of economic meltdown and swine flu hit airline passenger traffic very hard and our Airport Sector had to move fast to minimize its effect. Value for Money initiatives and speedy project implementation were given added focus and we came out stronger than before. Istanbul Sahiba Gökçen International airport was inaugurated much ahead of schedule and it is seeing rapid increase in passenger traffic. Hyderabad airport won wide recognition and several awards to be recognized as the best airport in the world in the 5-15 million passengers per annum category. Delhi’s brand new T3 terminal construction is moving ahead on schedule despite several challenges.

Urban infrastructure development around our 2 Indian airports has been going on with several leading global players expressing keen interest to join hands with us. We are enthused to build a world-class airport city around Hyderabad airport and a central business district around Delhi airport, of a scale and class that India has not seen before. We are confident of setting yet another global benchmark in this Sector. In spite of recession badly impacting the SEZ sector in 2009, due to the strategic call taken to continue with land procurement, we became one of the very few large format SEZ players in the country.

The Highways team completed 6 projects making us the largest private operator in India. We have also been given highest rating by the government of India for certain category of

projects. The team has been working hard to evolve its business model rapidly to stay ahead of intense competition. We came out victorious in 3 projects this year. This Sector is going to see rapid acceleration in size of opportunities, with competition heating up even more.

The economic downturn had its opportunities to offer and our Energy Sector acquired the 800 MW Island Power of Singapore and 600 MW Emco Power in India’s state of Maharashtra, both of which are in the development stage. We started making significant movement in our maiden 300 MW hydro project on the Alaknanda river in the foothills of the Himalayas and some important strides in positioning ourselves strongly as a private player in the nuclear energy sector in India. Our pipeline of over 7000 MW in this Sector is looking strong with a balanced fuel mix and a multi-country presence. Our Indian projects have encountered a few delays and several challenges with the external environment changing rapidly e. g. Indian visa restrictions for Chinese workers, land acquisition, coal availability etc. The year 2010 will be another important period for the Energy team to overcome these challenges.

You will be happy to know that our other businesses also made notable progress this year. GMR Sports that owns the Delhi Daredevils cricket team made a remarkable financial turnaround with wonderful on-field performance. Our Agri Business has projects on hand to grow to a critical mass next year, despite multiple constraints of India’s highly regulated environment around sugar, molasses and power.

Our Corporate Services have also taken many initiatives to keep pace with our growth and our challenges. Our emphasis on investor relationship, employee engagement, training & development, performance management and IT implementation has borne tangible results. Banks and financial institutions have maintained strong faith in us, we are making significant investment in leadership development and succession planning and SAP and other automation & communication tools have been rolled out successfully across the organization.

GMR Varalakshmi Foundation won us significant recognition this year as well. Our unique CSR model has attracted the attention of the Indian government which is seriously considering giving corporations greater credit for CSR activities beyond tax breaks.

Friends, GMR Group remains a young organization. Resting on our laurels is not part of our DNA. We have to achieve much more and I am sure, the year 2010 will be full of challenges and surprises for us all.

Thomas Edison had said “Vision without execution is hallucination”. Year 2010 will have to be another year of execution excellence

- increasing revenue stream and cash flow in all our operating assets as global and Indian economy are witnessing an encouraging upswing.

At the same time, we have to remain sharply focussed on achieving few important milestones:

Commission the Delhi T3 terminal by July 2010

Achieve financial closure of 1320 MW Chhattisgarh, 300 MW Alaknanda and 1320 MW Shahdol and 800 MW Singapore projects

Achieve commercially viable coal and gas supply assurance

Make on-the-ground progress in property development around our 2 Indian airports

Integrate SAP across all locations into a single instance

As our business grows, it will be essential for us to step up our institution building processes as well.

Irrespective of the pressures of business, governance demands your attention and it starts from the top. I urge GHB members, CEOs and COOs to make sure that processes and systems are followed all the time, short-cuts are not tolerated and transparent practices are encouraged.

For your processes and systems to be more effective and efficient, framework for business excellence is crucial. It is everyone’s business, not just that of Group Corporate Development. Adequate investment in time and effort will be essential for it to get ingrained in our culture.

Profit, planet and people are precious ingredients of sustainable business . While you have taken important strides towards cash flow focus, carbon footprint reduction and CSR, you must drive strategy for sustainability across all your businesses even more strongly as a responsible individual.

Finally, my dear colleagues, I am reminded of a stanza from the Upanishad, the ancient Indian text:

You are what your deep, driving desire is

What your desire is, so is your will

What your will is, so is your deed

What your deed is, so is your destiny.

On this note, I wish you and your families a wonderful New Year 2010!!

Best regards,

G M Rao

To make the journey easy and comfortable for the passengers, DIAL has taken several

measures such as setting up new check-in counters, baggage belts and hassle free x-ray scanners. The Security Hold Area (SHA) has also been realigned and can accomodate more than 600 passengers.

The X-ray screening of Registered Baggage as well as Terminal Operations at the Haj Terminal during the journey has always been a challenging task. GMR Group notches highest points in Govt. of India’s technical evaluation for road projects

GMR Group has emerged as the No. 1 road developer in the country amongst 49 companies, in the technical and financial evaluation conducted by the Ministry of Road Transport and Highways. The evaluation was conducted to arrive at a scoring tally of highway developers based on their financial and technical competencies and merit.

The score card is expected to help the government in identifying and selecting the preferred bidders to execute the development of selected sections of the National Highways on PPP model under the NHDP phase – IV programme. Around 58 projects worth Rs. 70,000 Crores have been identified for development under the scheme.

Several domestic and international companies submitted their applications for the technical and financial evaluation. GMR Group was however adjudged the No. 1 company scoring 16,174 points based on its previous track record of completing four road projects on schedule and other parameters.

The evaluation process is expected to address duplication of efforts, (namely conducting the feasibility studies during each bidding process), eliminate inconsistencies and expedite the assessment process.

GMR Group bags its first road project in Karnataka and the 3rd in this Financial Year

Close on the heels of GMR Group bagging the Hyderabad-Vijayawada and Chennai ORR road projects, the company won its third NHAI project on a Build, Operate, Transfer (toll) basis through the international competitive bidding route. The Group staved off stiff competition to win the 4 laning of NH-13 from Hungund-Hospet in the state of Karnataka.

This is the ninth road project of the Group and its very first in the state of Karnataka. The BOT project measuring a distance of 99.054 on NH-13 km entails design, construction, development, finance and operation of the 4 and 6 lanes for an estimated cost of Rs. 946 crores. GMR Group and Oriental Structural Engineers Pvt. Ltd.

Commenting on the significance of the project, Mr. O Bangaru Raju, Managing Director of GMR Highways Private Limited and Director of GMR Infrastructure Limited said, “the project will ease traffic congestion and provide a tremendous boost to trade and commerce in the state. Apart from reduction in travel time, this development is expected to improve safety levels for travelers since it will be built as per world-class specifications.”

GMR Group had entered the highways business in 2001 by winning two projects with benchmark annuity offer. It has even received an early completion bonus from the NHAI for completing the Tambaram-Tindivanam project in Tamilnadu ahead of schedule. Today, the Group has a balanced portfolio of three annuity and three toll projects (toll operations for two projects have already commenced) totaling 420 kms across the length and breadth of the country. All six projects have been completed as per schedule including the Tindivanam – Ulundurpet project which will commence toll operations shortly.

The group has received letter of award on 27th May 2009. The Concession Agreement for the project was signed on 9th October 2009 and the financial closure for the projects needs to be achieved in 6 months time. Construction of the project highway needs to be completed in 30 months time after financial closure. Punj Lloyd and GIL - EPC division will be the EPC contractors for the project.

Books on wheels

GMRVF has devised an innovative idea to make books accessible to villagers of Ramdurg, Sankili and Haliyal where the Group’s sugar factories are located. Books are stored in a trunk fastened to the passenger seat of a cycle and pedalled to locations where villagers congregate. The cycle typically carries a wide collection of books and magazines. It costs only Rs. 1, 500/- to start such a library. The Foundation is currently running four such mobile libraries in and around Haliyal and Ramdurg.

The cyclist not only lends out books, but also narrates stories, organizes games for children, reads out excerpts from religious books every Saturday.

GMRVF records show a 45% increase in the readership in these areas, in the last 2 years.
