Preferred Vendor Agreement – Rev 6-2017 ERA Neubauer Real Estate, Inc. Preferred Vendor Agreement Once approved as a preferred vender of ERA Neubauer Real Estate, Inc., your contact information will be provided to our property management staff and licensed Realtors and will be posted on our website. This preferred relationship is subject to the following terms and conditions: Ethics and Standards of Practice: Our firm manages properties under lease and represents owners of properties being offered for sale or lease. As an Accredited Management Organization (AMO) of the Institute or Real Estate Management (IREM), ERA Neubauer Real Estate, Inc., subscribes to a strict a Code of Ethics and high Standards of Practice. Accordingly, our vendors may not provide any special premiums, enticements, or kickbacks to any member of Neubauer Real Estate, Inc., staff or Realtors in exchange for our business. All we ask is that you provide our clients with professional quality and timely service at a fair and competitive price. Insurance: To keep current all liability and workman’s compensation insurance information and license renewal data, (if applicable), provide appropriate documentation certifying Neubauer Real Estate, Inc., as an additional insured under the liability policy or provide written notification if insurance is terminated or changed. Vendor selection: From time to time Neubauer Real Estate, Inc. may require a competitive bid or more than estimate for work and vender selection may be made by property care specialist or our client, based upon pricing and quality of work. Indemnification: Vendor shall hold harmless and indemnify Neubauer Real Estate, Inc., its employees, agents or clients as the result of any claims arising from services provided to Neubauer Real Estate, Inc., its agents or its clients. Communication: As a representative of the property management team, Vendor agrees to communicate to the management team at Neubauer Real Estate, Inc., any significant issues or anticipated problems expected from any contracted work, any unsafe or unusual condition, or damages observed while at the property which should be addressed. Invoices and Payment: All invoices for work completed by vender must be submitted to Neubauer Real Estate, Inc., (preferably by email) with an invoice number, the corresponding AppFolio work order number and property address. Invoices must be submitted within 45 days after completion of work. Based on a 30-day rent payment cycle, Neubauer Real Estate, Inc. shall have a minimum of 30 days to issue payment for any invoices and reserves the right to inspect any and all work completed before completing payment. ____________________________ ______________________________ Vendor Signature For Neubauer Real Estate, Inc. We will notify you if there is anything else we need for approval. Please provide the following required items: ✓ Liability Insurance: A copy of your Certificate of insurance which names ERA

Neubauer Real Estate, Inc., as an additional insured for liability purposes. (Mailing Address 740 South Tyndall Parkway, Panama City, FL 32404).

✓ Workman's Compensation Insurance: Please provide proof of your active policy if the law requires you to carry it.

✓ Licenses: If you are required to have state or local licenses, please provide a copy of each.

✓ Vendor Indemnity Statement: Please review the sign the Vender Indemnity Statement.

✓ IRS Form W-9 : Please complete the form with your name as it appears on your federal tax return.

✓ A signed Direct Deposit form. (Please note, names of business entity must match on all forms)
