Policy guidelines for sale of material through E-Retailers Page 1 of 21 FY2019-20 1.0 1.1 Preamble: In line with the GoI initiative of Digital India and Start Up India/ Stand Up India, RINL is desirous to appoint E-retailers for sale of steel materials of RINL, VSP. The appointment of E-retailers (hereinafter referred as E-Retailer) shall be exclusively for the purpose of online sales through a website by the E-retailer/s. 1.2 1.3 In order to realize the maximum potential in this segment, RINL prefers to have a strong network of E-retailers in place covering large geographical area of the country. Sales through E-Retailer ship shall be given highest priority. 2.0 2.1 E-Retailer: E-retailer: An E-Retailer appointed by RINL/VSP shall purchase material for online sale through their website. In other words the E-retailer should own a website with option of receiving payment online and displaying RINL Products for online sale to consumer / buyer. 2.2 The operation, maintenance, renewal and security etc., of the web site shall be the sole responsibility of the owner of the web site. 2.3 On-Line sale: Any sale of RINL/VSP material made to the consumer/ buyer through the website of the e-retailer. For the purpose of monitoring of “e-sales” through e- retailer/s, the access of the e-retailer/site/URL has to be provided to RINL/VSP. 3.0 3.1 Location of E-Retailers: RINL is desirous to increase its market share in E-Retail segment by permitting the E-Retailers to operate on pan-India basis by lifting the materials from any of the stockyards of RINL/VSP located throughout the country. 1.0 1.1

Preamble: In line with the GoI initiative of Digital India and Start Up India/ Stand Up India, RINL is desirous to appoint E-retailers for sale of steel materials of RINL, VSP. The appointment of E-retailers (hereinafter referred as E-Retailer) shall be exclusively for the purpose of online sales through a website by the E-retailer/s.

In order to realize the maximum potential in this segment, RINL prefers to have a strong network of E-retailers in place covering large geographical area of the country. Sales through E-Retailer ship shall be given highest priority.

2.0 2.1

E-Retailer: E-retailer: An E-Retailer appointed by RINL/VSP shall purchase material for online sale through their website. In other words the E-retailer should own a website with option of receiving payment online and displaying RINL Products for online sale to consumer / buyer.

2.2 The operation, maintenance, renewal and security etc., of the web site shall be the sole responsibility of the owner of the web site.

2.3 On-Line sale: Any sale of RINL/VSP material made to the consumer/ buyer through the website of the e-retailer. For the purpose of monitoring of “e-sales” through e-retailer/s, the access of the e-retailer/site/URL has to be provided to RINL/VSP.

3.0 3.1

Location of E-Retailers: RINL is desirous to increase its market share in E-Retail segment by permitting the E-Retailers to operate on pan-India basis by lifting the materials from any of the stockyards of RINL/VSP located throughout the country. RINL reserve its right to appoint E-Retailers only for specified area/territory.

3.2 E-Retailers may choose to operate in a territory (geographically) wherever they can carry out online sales and provide service to the customers by extending deliveries.

3.3 E-Retailer if necessary may maintain a warehouse of suitable area in the location of his operations.

3.4 E-Retailer if necessary may maintain additional warehouse facilities for operational convenience in case of multiple outlets.

4.0 4.1

Products covered: TMT Rebar, Structural, Rounds & WRCs of all grades and sizes will be sold to E-Retailers for making online sales through their website considering the requirement of the target segment

5.0 5.1

Method of Selection of E-Retailer: HQ Sales / Region are required to take necessary action for registration of E-Retailers, in Grades D and F.

5.2

The process of appointment of E-Retailers should be done through website / open advertisement, once in a year with the approval of D(C). Web/Open Advertisement for appointment of new E-Retailers shall be taken up once in a year at the beginning of the financial year specifying additional number of E-Retailers proposed to be registered. Regions will process for Web/Open Advertisement for appointment of new E-Retailers.

5.3 The existing CAs, CSAs, DLDs, RDs or Handling Contractors of RINL are not eligible for appointment as E-Retailer.

5.4 The detailed format for advertisement, instructions to the applicant, format of application are placed at Annexures-I, II & III respectively. Agreement format Evaluation sheet, and Evaluation criteria are placed at Annexures-IV, V & VII respectively.

5.5 Applications for E-Retailers shall be evaluated on a 10 point scale consisting of attributes like website with facility for receiving online payments, sales turnover as certified by Chartered Accountants (CA), financial capabilities as certified by the Banker, experience in the field of steel/ cement business and any other criteria, which the company considers necessary to take into account while evaluation of the application. The minimum qualifying score for all categories is brought out at annexure-VII. Preference to applicants belonging to SC/ST& OBC (including state BC) shall be given.

5.6 The applicants in the order of the scale (from higher to lower) obtained by them shall be considered for registration in the branch. In case of two or more applicants scoring identical marks, preference order shall be 1.SC/ST 2.OBC and 3.General. In case of two or more applicants of same caste category scoring identical marks, higher sales turnover will be given preference.

5.7 After going through the selection process, the successful applicant will be issued a letter of appointment indicating the validity period of the E-Retailership. The E-retailer will also be issued a letter on reappointment confirming the validity period.

5.8 RINL reserve the right to sell any of its product within such jurisdiction directly or through other means and ways

6.0 6.1

Period of Registration: The E-Retailers shall be registered for one financial year. The E-Retailers who have successfully performed shall be considered for renewal, as per the prevailing guideline. The E-Retailers, who have failed to perform in any year shall be required to apply for registration afresh through web/open advertisement.

6.2 The E-Retailers are required to furnish Security Deposit before registration / reappointment as following:

7.0 7.1

Purchase Price by E-Retailer: The price chargeable for the material being purchased by the E-Retailer shall be the respective RINL’s ex-stockyard /ex-plant price from where the E-Retailers lift the

material along with applicable GST. Any other levies applicable on the date of delivery shall also be charged extra. The prices for E-Retailers shall be declared by RINL/VSP pricing cell.

7.2 The E-Retailer is entitled for quantity based incentives announced by HQ-RINL/VSP from time to time and shall be same for all E-Retailers. The quantity bases incentives shall be based on lifting of material by E-Retailer on PAN India Basis.

7.3 The E-Retailer has to make payment in advance unless otherwise specified and the payment can be made by DD/PO/ RTGS/NEFT/Cheque* payable locally at the Branch Office location. * Extending Cheque facility shall be as per prevailing policy in this regard.

8.0 8.1

Selling Price by E-Retailer: The selling price of E-Retailer shall not exceed Rs 1200/-PMT, over the SO stage price for E- Retailer of the of the Branch/HQ from where the E-Retailer purchase material for the respective products, duly adjusted for freight expenses from the Branch/HQ stockyard to the Customer place. The E-Retailer shall give a declaration to this effect to the controlling HQ/Region once in a quarter. However, the local levis like GST, Octroi and any charges towards interest or credit, transport to customer (for more than 50KM) etc shall be extra, as applicable. The billing shall specifically indicate the break-up of such additional charges if any. In case the E-Retailer is found to have violated the same, then the registration is liable to be cancelled summarily.

9.0 9.1

Performance For successful performance of E-Retailership, the E-Retailer should fulfill the following conditions: A minimum of 75% of the Annual Base quantity of the grade for which E-Retailer is registered should be lifted during the year.

In case of E-Retailers registered under “D” or “F” grade during a year, pro-rata quantity (Monthly basis) shall be considered for arriving at Base quantity.

9.2 E-Retailers shall lift the material consistently in each quarter to achieve the annual commitment. In case of any shortfall in lifting in any quarter, RINL shall not be responsible for any issue of material to fulfill E-Retailers annual minimum quantity.

9.3 In case of failure to perform as mentioned at Clause No. 9.1 above, the SD shall be forfeited immediately at the end of the financial year. Upon fresh appointment through web/open advertisement, SD has to be submitted afresh. In case of forfeiture, GST shall be applicable on Security Deposit. The Security Deposit , duly grossed up with GST is indicated above. RINL shall issue tax invoice in favor of the E-Retailer for such recovery/forfeiture. In case, the statutory obligations in GST rules undergo changes/modification, the same shall be applied.

10.0 10.1.

Quality: RINL shall provide test certificate for the materials supplied to the E-Retailer.

10.2 The Quality complaints, if any shall be settled as per the Quality complaint procedure in vogue.

11.0 11.1

Availability of Material E-Retailer shall be given access to RINL CRM portal.

11.2 All Sr. Branch Manager shall be uploading the material available for sale to E-Retailers on the CRM portal.

11.3 The material availability uploaded by the all Sr. Branch Managers of BSOs shall be visible to E-Retailers to display in their website and book the orders.

11.4 E- Retailer shall be booking the order and confirming to the Sr. BM of concerned Branch. The material shall be kept aside for maximum 5 days for issue of SO & Delivery by Branch.

12.0 12.1

Other Information: The Designated officer at Marketing HQ /RO shall review the performance of the E-Retailers monthly, at the end of every quarter and submit a consolidated report to HOD (Mktg).

12.2 RINL may, at its sole discretion can cancel the registration of E-Retailer giving a notice of 15 days, in the event of adverse repeated customer feedback, and any other aspect considered detrimental to the interests of RINL.

12.3 Also, if at any point of time during the process of registration or after registration, it is found that any of the declarations given by the applicant/E-Retailer is found to be incorrect or false; the registration is liable to be cancelled summarily and EMD shall be forfeited.

12.4 The applicant/ E-Retailers, whose registration has been cancelled, shall not be allowed to participate in any of the selection process of RINL for sales outlets for a period of One year from the date of cancellation of registration.

Annexure –II

Instructions to the Applicant. 1. The applicant shall carefully go through the application format, Terms &

Conditions and fully understand the terms and conditions governing their

registration as RINL’s E-Retailer. 2. The applicant/s shall acquaint himself/herself/themselves about the

operations to be done by meeting the Designated Officer in Mktg Dept/Corporate Office. The applicant/s also to visit the stockyard and

acquaint himself/herself/themselves with the location and working of RINL stockyard from where materials will normally be delivered. The Applicant by

the very act of applying will be deemed to have fully understood the terms and conditions governing their registration and also familiarized themselves with the location of Branch and stockyard at the time of submission of their

application.

3. The details shall be filled in as per the format and the documentary proof is to be attached wherever applicable. The claim made in the application and the documents submitted along with the application shall only be

considered. No additional documents or claims shall be entertained later. The caste certificate forms issued by Central/State governments are

acceptable. State BC certificates are also acceptable for OBC category.

4. The application form shall be deposited in the box provided for at Marketing

Office, Corporate Office, Vizag within the indicated date & time. No application shall be accepted beyond the specified date and time.

5. Incomplete applications, applications not accompanied by the required

documents, and conditional applications are summarily rejected.

6. RINL will not be responsible for any delay, loss or non-receipt of application

by post etc. Applications received by Fax, E-mail, Telegram/Telex etc., will not be considered.

7. The applications for E-Retailers shall be evaluated on various attributes like owning website with online facility for receiving payment, sales turnover as

certified by CA, financial capabilities as certified by the Banker, experience in the field of steel/ cement and any other criteria, which the RINL/VSP considers necessary to take into account while evaluation of the application.

8. Assessment made by RINL shall be final & binding. RINL reserves the right

to accept or reject any and or all applications without assigning any reason whatsoever.

3.0 Committed off-take of materials from RINL: 3.1 The E-Retailer can purchase the materials as per his requirement, from RINL,

subject to the availability.

3.2 The E-Retailer if necessary may plan his purchase and place the indent on RINL so that the material is available with the E-Retailer for servicing customer / consumer placing online orders.

3.3 The terms and conditions of sale to E-Retailer shall be as per the standard terms in the Quotation and the Sales Order issued by RINL. For detailed terms and conditions of Quotation and Sales Order visit our website www.vizagsteel.com/ Marketing/Terms & Conditions.

4.0 Period of Registration: 4.1 The E-Retailers shall be registered for one financial year. The E-Retailers who

products, duly adjusted for freight expenses from the Branch/HQ stockyard to the Customer place. The E-Retailer shall give a declaration to this effect to the controlling HQ/Region once in a quarter. However, the local levis like ST/VAT/GST, Octroi and any charges towards interest or credit, transport to customer (for more than 50KM) etc shall be extra, as applicable. The billing shall specifically indicate the break-up of such additional charges if any. In case the E-Retailer is found to have violated the same, then the registration is liable to be cancelled summarily.

7.0 Performance:

7.1 The E-Retailers shall be registered for one financial year. The E-Retailers who have successfully performed shall be considered for renewal, as per the prevailing guideline. The E-Retailers, who have failed to perform, shall be required to apply for registration afresh through web/open advertisement.

7.2 For successful performance of E-Retailership, the E-Retailer should fulfill the following conditions: A minimum of 75% of the Base quantity of the grade for which E-Retailer is registered should be lifted during the year.

In case of E-Retailers registered under “D” or “F” grade during a year, pro-rata quantity (Monthly basis) shall be considered for arriving at Base quantity.

7.3 E-Retailers shall lift the material consistently in each quarter to achieve the annual

commitment. In case of any shortfall in lifting in any quarter, RINL shall not be responsible for any issue of material to fulfil E-Retailers annual minimum quantity.

7.4 In case of failure to perform as mentioned at Clause No. 7.2 above, the SD shall be

forfeited immediately at the end of the financial year. Upon fresh appointment through web/open advertisement, SD has to be submitted afresh. In case of forfeiture, GST shall be applicable on Security Deposit. The Security Deposit, duly grossed up with GST is indicated above. RINL shall issue tax invoice in favor of the E-Retailer for such recovery/forfeiture. In case, the statutory obligations in GST rules undergo changes/modification, the same shall be applied.

8.0 Quality:

8.1 RINL shall provide test certificate for the materials supplied to the E-Retailer.

8.2 The Quality complaints, if any shall be settled as per the Quality complaint procedure in vogue.

9.0 Availability of Material: 9.1 E-Retailer shall be given access to RINL CRM portal. 9.2 All Sr. Branch Manager shall be uploading the material available for sale to E-Retailers

on the CRM portal. 9.3 The material availability uploaded by the all Sr. Branch Managers of BSOs shall be

visible to E-Retailers to display in their website and book the orders. 9.4 E- Retailer shall be booking the order and confirming to the Sr. BM of concerned

Branch. The material shall be kept aside for maximum 5 days for issue of SO & Delivery by Branch.

10.0 Cancellation Clause:

RINL may at its discretion, cancel the registration of E-Retailer giving a notice of 15 days, in the event of adverse and repeated customer feedback.

11.0 Arbitration Clause:

All disputes or differences whatsoever arising between parties out of or relating to the construction, meaning and operation or effect of this agreement or breach thereof shall be settled by arbitration in accordance with the rules of arbitration of the Indian Council of Arbitration and the award made in pursuance thereof shall be binding on the parties. Annexure V

Procedure for registration of E-Retailer

1. In case of requirement, an open advertisement/ through RINL website (www.vizagsteel.com) shall be issued announcing the scheme.

2. The last date upto which application form shall be available for downloading

from the web site and the last date for submission of completed application

forms shall be prescribed in the advertisement. A copy of the advertisement shall be displayed in the Notice Board of the Regional Offices, Branch Offices

and Stockyards.

3. The eligibility criteria: E-Retailer should own a website with an option of receiving payment / booking order online and displaying RINL Products for making online sale to consumer / buyer.

Applicant without owning a website and not having above facility will be summarily rejected.

4. Preference to be accorded to SC/ST & OBC shall be mentioned in the advertisement for wide publicity. (BC certificates issued by state Govt.

authorities are also acceptable for OBC category.). 5. The prescribed format of application, Instructions to applicants and

agreement format are at Annexure III, Annexure II and Annexure IV respectively.

6. The applications for E-retailer shall be evaluated as detailed per the

evaluation procedure.

7. A committee at HQ Marketing (Mktg Executive-E-6 & above, Fin Executive-

E-3 & above)/ RO (Mktg-E-6 & above, Fin-E-3) shall evaluate the application based on the declarations / documents submitted. The committee shall include one member from IT Department for evaluation of Quality of Web

Platform and allocate points.

8. On completion of evaluation and allocation of points, the committee shall submit its recommendation.

9. Based on the recommendation from the Committee, HOD (Mktg.) shall approve the proposal.

10. LOI shall be issued to the E-Retailer in duplicate by the designated officer

at Marketing HQ / RO. A copy of the LOI shall be returned by the E-Retailer

duly endorsed by the authorized signatory of the E-retailer, as confirmation of acceptance of Registration within 15 days from the date of LOI along with

applicable SD

11. The E-Retailer will be issued a letter of appointment indicating the validity

period of the E-Retailer ship based on which RINL will enter into an agreement with registered E-Retailer before commencing the operations of

the E-Retailer.

Annexure -VII Evaluation criteria of application for E-Retailer “D” &”F”

The committee shall consider only the claim made in the application and the documents submitted along with the application. No additional documents or claims shall be entertained by the committee at any stage of the evaluation.

1. The details at the top of the evaluation form, and the Name of the applicant shall be filled up

with the relevant information.

2. The status of the applicant, shall be mentioned as claimed by the applicant, and shall be recorded in the evaluation sheet after verification of details and found to be correct.

3. The category of the applicant shall be mentioned after satisfying themselves based on the

credentials and verification of documents.

a. If the status of applicant is individual/Proprietor, the category will be the same as

that of the individual/Proprietor

b. If the status of applicant is partnership firm/co-op society, the category shall be same as the common category for all the partners/members of the society. In case of

different categories of partners, the firm to be placed in General Category.

c. All other types of firms shall be considered in General Category.
