OFFICIAL RULES

NO PURCHASE NECESSARY TO ENTER OR WIN. THE PROMOTION IS OPEN TOLEGAL RESIDENTS OF THE UNITED STATES WHO ARE AT LEAST 18 YEARS OF AGEOR OLDER ON AUGUST 1, 2011. VOID WHERE PROHIBITED BY LAW. BY ENTERINGTHIS PROMOTION, YOU REPRESENT THAT YOU HAVE READ AND ACCEPTED ALLTERMS, CONDITIONS AND POLICIES ON THE OFFICIAL POWER RANGERSemPOWER FACEBOOK PAGE (LOCATED AThttp://www.facebook.com/powerrangersempower?sk=info) AND THESE OFFICIAL RULES.

1) PROMOTION PERIOD: The Power Rangers em POWER Recipe Cookbook Promotion(the Promotion) shall commence on 12:00AM, August 1, 2011 and shall continue until12:00 AM, August 31, 2011 (the Promotion Period) in the United States of America.

2) ELIGIBILITY: TO BE ELIGIBLE TO WIN, YOU MUST BE A LEGAL RESIDENT

OF THE UNITED STATES (INCLUDING ALL 50 STATES AND THE DISTRICT OFCOLUMBIA) AND AT LEAST 18 YEARS OF AGE OR OLDER ON AUGUST 1,2011. The officers, directors and employees of SCG Power Rangers LLC (theSponsor), its parent companies, subsidiaries and affiliated companies, advertising,

promotional and judging agencies, persons engaged in the development, production ordistribution of materials for this Promotion (collectively, the Promotion Parties), a ndthe immediate family members (grandparent, parent, child, sibling, and spouse of each)of and/or persons living in the same household as such individuals (whether related ornot) are not eligible to participate. Internet access is necessary to participate. Proof ofage, identity, and eligibility must be furnished to Sponsor upon request. All applicableFederal, State, and local laws and regulations apply. Void where prohibited. By

participating, entrant agrees to abide by these Official Rules and the decisions of theSponsor, which are final and binding in all respects.

3) HOW TO ENTER: NO PURCHASE IS NECESSARY TO ENTER OR WIN, and noentry fee, payment or proof-of-purchase is necessary to participate in the Promotion. Toenter the Promotion, submit recipes and photos of your best Ranger Recipes to theOfficial Power Rangers emPOWER Facebook page (located athttp://www.facebook.com/powerrangersempower ) during the Promotion Period. Youagree that Sponsor may publish any and all submitted recipes and photos to various blogsites affiliated with Power Rangers. The best recipes submitted will be included in a freedigital download Ranger Recipe Cookbook. As part of the Promotion entry process,

entrants will be required to indicate that they have read, accept, and agree to be bound byall terms, conditions and policies on the official Power Rangers emPOWER Facebook page and these Official Rules. Limit: one (1) entry per person. No other attemptedmethod of entry will be accepted. Sponsor will not verify or acknowledge receipt ofentries. All entries submitted become the sole property of Sponsor and will not bereturned. Incomplete entries are void. Sponsor is not responsible for entries that are lost,late, misdirected, incomplete, incomprehensible, illegible, damaged, undeliverable ordelayed.

All potential winners are subject to verification by the Sponsor, whose decision is finaland binding in all matters related to the Promotion and compliance with these OfficialRules. An entrant is not a winner of any Prize, even if the Promotion should so indicate,unless and until entrants eligibility has been verified and entrant has b een notified that

verification is complete. Sponsor will not accept other evidence of winning in lieu of itsvalidation process.

4) PRIZES & APPROXIMATE RETAIL VALUE (ARV): Each regular prize offeredconsists of each winner having his/her recipe included in a free digital download RangerRecipe Cookbook (the Prize) (ARV $0.00).

Entrants are not eligible to win more than one (1) Prize. ARV of the Prize: $0.00. Prizesare awarded as is with no warranty or guarantee, either express or implied bySponsor. Prizes are not transferable, redeemable for cash or substitutable except bySponsor, who reserves the right to substitute a Prize (or portion thereof) of comparable or

greater value, at its sole discretion. All taxes, related to the Prize, including income taxes,are the sole responsibility of the individual winner. Any depictions of Prizes are forillustrative purposes only. All Prize details not covered by these Official Rules are atSponsors sole discretion. All dates and times are subject to change in the event oftechnical issues affecting the Facebook website, entry process and selection process, inSponsors sole discretion.

5) METHOD OF AWARDING PRIZES: Prize winners will be selected by a panel of expert judges. Entry in the Promotion does not constitute entry into any other promotion, contestor sweepstakes. All decisions of Sponsor regarding the Promotion and/or the applicationof these Official Rules are final and binding.

6) NOTIFICATION AND PRIZE FULFILLMENT: Sponsor will notify the Prize winners by contacting them via their Facebook profile page. If any potential Prize winner does notrespond within ten (10) days from the time the potential winner is announced, any such

potential winner will forfeit his or her Prize and an alternate potential winner may beselected at Sponsors sole discretion.

7) PUBLICITY. Except where prohibited, participation in the Promotion constitutes consentto Sponsors use and publication of winners name, photograph (including, withoutlimitation, the Promotion entry), likeness, hometown and state for promotional,advertising or publicity purposes in any media without further payment, right of review,approval or consideration. Except where prohibited, participation in the Promotioncons titutes entrants (his/her parent/legal guardian in the event that entrant is a resident ofa jurisdiction that deems him/her to be a minor) consent to Sponsors use of entrantsPromotion entry for promotional, advertising or publicity purposes in any media withoutfurther payment, right of review, approval or consideration.

8) CONDUCT: By entering into this Promotion, entrants agree to be bound by these OfficialRules and the decisions of the Sponsor and the Promotion Parties, which shall be final

and binding in all respects. Failure to comply with these Official Rules may result indisqualification. By entering into this Promotion you also affirm, represent and warrantthat you own or have the necessary licenses, right, consents, and permissions to use andexploit any entry that you submit. You further agree that any entry you submit to thePromotion will not contain any third party copyrighted material, or material that is

subject to other third party proprietary rights, unless you have previously obtained permission from the rightful owner of the material or you are otherwise legally entitled tosubmit such material. Sponsor reserves the right, at its sole discretion, to disqualify anyindividual: (a) suspected of tampering with the entry process or the operation of thePromotion; (b) acting in any manner deemed by the Sponsor to be in violation of theOfficial Rules; (c) acting in any manner deemed by the Sponsor to constituteunsportsmanlike or disruptive behavior, or with intent to annoy, abuse, threaten or harassany other person or entity. CAUTION: ANY ATTEMPT BY AN ENTRANT OR ANYOTHER INDIVIDUAL TO DELIBERATELY UNDERMINE THE LEGITIMATEOPERATION OF THIS PROMOTION OR TO DELIBERATELY DAMAGE ANYWEBSITE IS A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD

SUCH AN ATTEMPT BE MADE, THE SPONSOR RESERVES THE RIGHT TOSEEK DAMAGES AND COSTS (INCLUDING WITHOUT LIMITATION,ATTORNEYS FEES) FROM ANY SUCH PERSON TO THE FULLEST EXTENTPERMITTED BY LAW. Sponsor reserves the right to cancel or modify the Promotion iffraud, technical failures or any other factor beyond its reasonable control impairs theintegrity of the Promotion, as determined by Sponsor in its sole discretion. In such event,Sponsor reserves the right to award the Prizes at random from among the eligible entriesreceived up to the time of the impairment. The Sponsor and the Promotion Parties are notresponsible for any injury or damage to the entrants or any other persons computer orother device related to, or resulting from, participation or downloading of any materialsin this Promotion.

9) DISCLAIMER/LIMITATIONS OF LIABILITY: The Sponsor and the Promotion Partiesassume no responsibility or liability for (a) any incorrect or inaccurate entry information;(b) any unauthorized access to, or theft, destruction or alteration of entries at any point inthe operation of this Promotion. If, for any reason, the Promotion is not able to runthrough completion then the Sponsor reserves the right, in its sole discretion, to cancel,terminate, modify or suspend the Promotion in whole or in part, without liability to theentrants or third parties.

ALL ENTRANTS (THEIR PARENTS/LEGAL GUARDIANS IF RESIDENTS OF AJURISDICTION THAT DEEMS THEM TO BE MINORS), AS A CONDITION OFENTRY INTO THE PROMOTION, AGREE TO INDEMNIFY, RELEASE, ANDHOLD HARMLESS, THE SPONSOR, ITS PARENT COMPANY, SUBSIDIARIESAND AFFILIATED COMPANIES, REPRESENTATIVES, AGENTS, EMPLOYEES,AND THE PROMOTION PARTIES FROM AND AGAINST ANY AND ALLLIABILITY, LOSS, CLAIMS, DEMANDS OR ACTIONS OF ANY KINDWHATSOEVER FOR INJURIES, DAMAGES, OR LOSSES TO PERSONS ORPROPERTY WHICH MAY BE SUSTAINED IN CONNECTION WITH: (A)ACCESSING THE PROMOTION FACEBOOK PAGE; (B) SUBMITTING ANENTRY OR OTHERWISE PARTICIPATING IN ANY ASPECT OF THE

PROMOTION; (C) THE RECEIPT, ACCEPTANCE, OWNERSHIP OR USE, MISUSE,OR LOSS OF ANY PRIZE AWARDED; OR (D) ANY TYPOGRAPHICAL OROTHER ERROR IN THESE OFFICIAL RULES OR THE ANNOUNCEMENT OF THEOFFERING OF THE PRIZE. SPONSOR MAKES NO WARRANTY, GUARANTEE,OR REPRESENTATION OF ANY KIND CONCERNING ANY PRIZE AND

SPONSOR SPECIFICALLY DISCLAIMS ANY IMPLIED WARRANTY OFMERCHANTIBILITY, WARRANTY OF FITNESS, AND ANY OTHER IMPLIEDWARRANTY.

10) DISPUTE RESOLUTION/CHOICE OF LAW: Except where prohibited, entrants (their parents/legal guardians if residents of a jurisdiction that deems them to be minors) agreethat: (1) any and all disputes, claims, and causes of action arising out of or connectedwith this Promotion, or any Prize awarded, or the determination of the winners, shall beresolved individually, without resort to any form of class action, and exclusively byarbitration pursuant to the Rules of the American Arbitration Association, then effective,and (2) any and all claims, judgments and awards shall be limited to actual out-of-pocketcosts incurred, including costs associated with entering this Promotion but in no eventattorneys fees or expert witness fees; and (3) under no circumstances will entrant be

permitted to obtain awards for and entrant hereby waives all rights to claim punitive,incidental and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwiseincreased. If entrant cannot be bound to arbitration according to local laws, all disputes,claims, and causes of action shall be resolved individually, without resort to any form ofclass action, in an action in a State or Federal court located in Los Angeles, California.All issues and questions concerning the construction, validity, interpretation andenforceability of these Official Rules, or the rights and obligations of entrant and/orSponsor in connection with the Promotion, shall be governed by, and construed inaccordance with, the laws of the State of California, without regard for conflicts of lawdoctrine of any jurisdiction. The invalidity or unenforceability of any provision of theseOfficial Rules shall not affect the validity or enforceability of any other provision so longas the general intent of these Official Rules remains in effect. In the event that any such

provision is determined to be invalid or otherwise unenforceable, these Official Rulesshall be construed in accordance with their terms as if the invalid or unenforceable

provision was not contained therein.
