SECTION I. INSTRUCTIONS TO APPLICANTS

A. General

1. Scope of Application 1.1 in connection with the Invitation forPrequalification

indicated in Section II, Prequalification Data Sheet(PDS), the Employer, as defined in the PDS,issues this Prequalification Document (PQD) toapplicants interested in bidding for the worksdescribed in Section V, Scope of Works. Thename and identification of the contract is providedin the PDS.

2. Source of Funds 2.1 The Project is to be financed by local commercialbanks with

debt to equity ratio of 80:20 as per policy

guidelines of Government of Pakistan fordevelopment of private sector power projects.

3. Corrupt Practices 3.1 The Employer requires that Bidders/Contractorsmust

observe the highest standard of ethics during theprocurement and execution of the contracts. Inpursuit of this policy, the Employer;

(a) Defines, for the purposes of this provision, the

terms set forth below as follows:

(i) "corrupt practice" means the offering,giving, receiving, or soliciting of anything of 

value to influence the action of a public

official in the procurement process or in

contract execution; and

(ii) "fraudulent practice" means a

misrepresentation or omission of facts in

order to influence a procurement process

or the execution of a contract; and

(iii) "collusive practice" means a scheme orarrangement between two or more

bidders, with or without the knowledge of 

the Employer, designed to establish bid

prices at artificial, non-competitive levels;

and

(iv) "coercive practice" means harming or

threatening to harm, directly or indirectly,

persons or their property to influence their

participation in the procurement process or

affect the execution of a contract; and

(b) Will reject a proposal for award if it determines

that the Bidder recommended for award has

directly or through an agent engaged in corrupt,

fraudulent, collusive or coercive practices in

competing for the named contracts; and

(c) will declare a firm ineligible, either indefinitely or

for a stated period of time, to be awarded a

contract, if it at any time determines that the

firm has directly or through an agent engaged

in corrupt, fraudulent, collusive or coercive

practices in competing for, or in executing, a

contract.

4. Eligible Applicants 4.1 An Applicant shall be a private, public orgovernment

owned legal entity, subject to ITA 4.6, or anycombination of them in the form of association(s)including Joint Venture (JV) with the formal intent,as evidenced by a letter of intent to enter into anagreement or under an existing agreement. In thecase of a JV, unless otherwise specified in thePDS, (i) all parties shall be jointly and severallyliable, (ii) there shall be limit on the number of partners as specified in PDS, and (iii) JV shallnominate a representative who shall have theauthority to conduct all business for and on

behalf of any and all the partners of the JV duringthe prequalification process.

4.2 The eligibility criteria listed in this Clause 4 shallapply to the Applicant, including the partiesconstituting the Applicant, i.e., its proposedpartners, subcontractors or suppliers for anypart of the Contract including related services.

4.3 An Applicant and all parties constituting theApplicant shall have the nationality of anycountry except those with which the Islamic

Republic of Pakistan has no commercial relationas a result of official regulation. An Applicant shallbe deemed to have the nationality of a country if the Applicant is a citizen, or-is constituted,incorporated or registered and operates inconformity with the provisions of the laws of thatcountry.

  This criterion shall also apply to thedetermination of the nationality of proposedsubcontractors or suppliers for any part of theContract including related services.

4.4 Applicants and all parties constituting the

Applicant shall not have a conflict of interest.Applicants shall be considered to have a conflictof interest, if they participated as a consultant inthe preparation of the design or technicalspecifications of the works that are the subject

of this prequalification. Where a firm, or a firmfrom the same economic or financial group, inaddition to consulting, also has the capability tomanufacture or supply goods or to constructworks, that firm, or a firm from the sameeconomic or financial group, cannot normally bea supplier of goods or works, if it providedconsulting services for the contractcorresponding to this prequalification, unless itcan be demonstrated that there is not asignificant degree of common ownership,influence or control.

4.5 An Applicant shall submit only one application inthe sameprequalification process, either individually as anApplicant or as a partner of a joint venture. NoApplicant can be a subcontractor whilesubmitting an application individually or as apartner of a joint venture in the sameprequalification process. A Subcontractor in anyapplication may participate in more than oneapplication, but only in that capacity. AnApplicant who-submits, or participates in, morethan one application, will cause all theapplications in which the Applicant hasparticipated to be disqualified.

4.6 An Applicant that is under a declaration of ineligibility by theEmployer in accordance with ITA 3, at the date of submission of the application or thereafter, shallbe disqualified.

4.7 Pakistan, Azad Jammu & Kashmir and GilgitBallistan Government-owned entities shall be

eligible only if they can establish that they arelegally and financially autonomous, and operate'under commercial law, and that they are notdependent agencies of the Employer.

4.8 Applicants shall not be under execution of a Bid-SecuringDeclaration in the Employer's country.

4.9 Applicants shall provide such evidence of theircontinued eligibility satisfactory to the Employer,as the Employer shall reasonably request.

5. Eligible Goods and 5.1 All goods and related services to be supplied

under theRelated Services Contract shall not have as their country of origin,

any country with which the Islamic Republic of Pakistan has no commercial relation as a result of official regulation.

B. Contents of the Prequalification Document

6. Sections of 6.1 The document for the prequalification of ApplicantsPrequalification (hereinafter "prequalification document") consistsof parts 1Documents and 2 which comprise all the sections indicated

below, and should be read in conjunction withany Addenda issued in accordance with ITA 8

6.2 The "Invitation for Prequalification Applications"issued by the Employer is not part of theprequalification document.

6.3 The Employer accepts no responsibility for thecompleteness of the prequalification documentand its addenda unless they were obtaineddirectly from the Employer.

6.4 The Applicant is expected to examine ail

instructions, forms, and terms in thePrequalification Document and to furnish all

information or documentation required by the

Prequalification Document.

7. Clarification of Pre- 7.1 A prospective Applicant requiring any clarificationof the

qualification Document prequalification Document shall contact the

Employer in writing at the Employer's address

indicated in the PDS. The Employer will respond

in writing to any request for clarification

provided that such request is received no laterthan fourteen (14) days prior to the deadline for

submission of applications. The Employer shall

forward copies of its response to all applicants

who have acquired the prequalification document

directly from the Employer including a

description of the inquiry but without identifying

its source. Should the Employer deem itnecessary to amend the prequalification

document as a result of a clarification, it shall do

so following the procedure under ITA 8 and in

accordance with the provisions of ITA 17.2.

8. Amendment of Pre- 8.1 At any time prior to deadline for submission of applicationsqualification Documents the Employer may amend the Pre-qualification

Document by issuing addenda.

8.2 Any addendum issued shall be part of thePrequalificationDocument and shall be communicated in writingto all whohave obtained the Prequalification Documentfrom theEmployer.

8.3 To give prospective Applicants reasonable timeto take an addendum into account in preparingtheir applications, the Employer may, at its

discretion, extend the deadline for thesubmission of applications.

C. Preparation of Applications

9. Cost of Application 9.1 The Applicant shall bear all costs associated withthe

preparation and submission of its application. TheEmployer will in no case be responsible or liablefor those "costs, regardless of the conduct oroutcome of the prequalification process.

10. Language of 10.1 The application as well as all correspondence andApplication documents relating to the prequalification

exchanged by the Applicant and the Employer,shall be written in the language specified in thePDS. Supporting documents and printed literaturethat are part of the application may be in anotherlanguage, provided they are accompanied by anaccurate translation of the relevant passages inthe language specified in the PDS, in which case,for purposes of interpretation of the application,the translation shall govern.

11. Documents 11.1 The application shall comprise the following.Comprising

 The Application (a) Application Submission Form in accordance withITA 12.

(b) Documentary evidence establishing theapplicant’s

Eligibility to prequalify, in accordance with ITA 13.(c) Documentary evidence establishing the

Applicant's

qualifications, in accordance with ITA 14;

(d) written confirmation authorizing the

signatory of the

application to commit the Applicant in

accordance with

ITA Sub-Clause 15.3; and

(e) any other document required as specified in the

PDS.

12. Application 12.1 The Applicant shall prepare an ApplicationSubmission

Submission Form Form using the form furnished in Section IV,Application Forms. This Form must be completedwithout any alteration to its format.

13. Documents 13.1 To establish its eligibility in accordance with ITA 4,the

Establishing the Applicant shall complete the eligibilitydeclarations in the

Eligibility of the Application Submission Form and Forms ELI(eligibility) 1.1

Applicant and 1.2 included in Section IV, Application Forms.

14. Documents 14.1 To establish its qualifications to perform thecontract(s) in

Establishing the accordance with Section III, QualificationCriteria and

Qualifications Requirements, the Applicant shall providethe information

of the Applicant information and Information Forms included inSection IV, Application Forms.

15. Signing of the 15.1 The Applicant shall prepare one original of the documents

Application and No. of comprising the application as described inITA 11 and clearly

Copies mark it “ORIGINAL”. The original of theapplication shall be typed or written in indelibleink and shall be signed by a person dulyauthorized to sign on behalf of the Applicant.

15.2 The Applicant shall submit copies of the signed

original

application, in the number specified in the PDS,

and clearly

mark them "COPY". In the event of any

discrepancybetween the original and the copies, the original

shall

prevail.

15.3 The requirement regarding the legal instrument

evidencing

the authorization to represent and sign on behalf 

of the

Applicant shall be as specified in PDS.

Application

submitted by a JV shall include an undertaking

signed by all

Partners:

a) Stating that all Partners shall be jointly and

severally liable, and

b) nominating a representative who shall have

the authority to conduct all business for and

on behalf of any and all the partners of the JV

during the pre-qualification process and in the

event the JV is prequalified, during the bidding

process and in the event the JV is awarded the

Contract during Contract execution.

D. Submission of Applications

16. Sealing and 16.1 The Applicant shall enclose the original and thecopies of the

Identification of application in a sealed envelope that shall;Applications a) bear the name and address of the

Applicant;

b) be addressed to the Employer, inaccordance with ITA 17.1 and

c) bear the specific identification of thisprequalification process indicated in thePDS 1.1

16.2 The Employer will accept no responsibility for notprocessing any envelope that was deliveredunsealed or not identified as required.

17. Deadline for 17.1 Applicants may always submit their applicationsby mail (not

Submission of e mail) or by hand. Applications shall bereceived by the

Applications Employer at the address and no later than thedeadline indicated in the PDS.

17.2 The Employer may, at its discretion, extend thedeadline for the submission of applications by

amending the Prequalification Document inaccordance with ITA 8, in which case all rights andobligations of the Employer and the Applicantssubject to the previous deadline shall thereafterbe subject to the deadline as extended.

18. Late 18.1 Any application received by the Employer afterthe deadline

Applications for submission of applications prescribed in ITA 17for any

reason will be returned unopened to theApplicant.

19. Opening of 19.1 The Employer shall prepare a record of theopening of 

Applications applications that shall include as a minimum thename and address of the Applicants.

E. Procedures for Evaluation of Applications

20. Confidentiality 20.1 Information relating to the evaluation of applications, and

Recommendation for prequalification shall not bedisclosed to Applicants or any other persons notofficially concerned with such process until thenotification of prequalification is made to allApplicants.

20.2 From the deadline for submission of applicationsto the time of notification of the results of theprequalification in accordance with ITA 28, anyApplicant that wishes to contact the Employer onany matter related to the prequalification process,may do so but only in writing.

21. Clarification of 21.1 To assist in the evaluation of applications,the Employer mayApplications at its discretion ask any Applicant for a

clarification of its application which shall besubmitted within a stated reasonable period of time. Any request for clarification and allclarifications shall be in writing.

21.2 If an Applicant does not provide clarifications of the information requested by the date and timeset in the Employer’s request for clarification, its

application maybe rejected.

22. Responsiveness 22.1 The Employer may reject any applicationwhich is not

of Applications responsive to the requirements of thePrequalification Documents.

 

23. Domestic 23.1 if so indicated in the PDS a 7 ½ percent margin of priceBidder Price Preference preference for qualifying domestic bidders shall

apply in bid evaluation. On the basis of information submitted by Applicants and availableat the time of notification, the Employer willinform pre-qualified Applicants of their apparenteligibility to qualify for the domestic bidder pricepreference (subject to subsequent confirmation atbid evaluation, in accordance with Sub-Clause23.2)

23.2 A domestic bidder is one that meets the followingcriteria;

a) for an individual firm;i) is registered with Pakistan

Engineering Council.ii) has more than 51 percent ownership

by Pakistani nationals.iii) does not subcontract more than 10

percent of the contract price,excluding provisional sums, toforeign contractors.

b) for a joint venture (JV) of domestic firmsi) individual member firms shall satisfy

(a) (i) and (a)(ii) above.ii) the JV shall not subcontract more

than 10 percent of the contractprice, excluding provisional sums, toforeign firms.

c) for a joint Venture (JV) of domestic andforeign firms

i) Individual domestic member firmssatisfy the criteria stated in (a)(i)and (a)(ii) above.

ii) Individual foreign firms areregistered with Pakistan EngineeringCouncil.

iii) Total proportional participation of domestic firms in the JV is 51percent or greater.

iv) The JV shall not subcontract morethan 10 percent of the contractprice, excluding provision sums, to

foreign firms.

24. Specialist 24.1 Applicants planning to subcontract any of the keyactivities

Sub-Contractors indicated in Section III. Qualification Criteria andRequirements shall specify the activity (ies) orparts of the works to be subcontracted in the

Application Submission Form. Applicants shallclearly identify the proposed specialistsubcontractors in Forms ELI-1.2 and EXP(experience) – 4.2(b) in Section IV. Such proposedspecialist subcontractor(s) shall meet thecorresponding qualification requirementsspecified in Section III, Qualification Criteria andRequirements.

24.2 At this time, the Employer does not intend toexecute certain specific parts of the works bysubcontractors selected in advance by the

Employer (Nominated Subcontractors) unlessotherwise stated in the PDS.

F. Evaluation of Applications and Pre-qualification of Applicants

25. Evaluation of 25.1 The Employer shall use all the factors,methods, criteria andApplications requirements defined in Section III, Qualification

Criteria and Requirements to evaluate thequalifications of the Applicants. The Employerreserves the right to waive minor deviations in thequalification criteria if they do not materiallyaffect the capability of an Applicant to performthe contract.

25.2 Only the qualifications of subcontractors thathave beenidentified in the application may be considered intheevaluation of an Application. However, thegeneralexperience and financial resources of 

subcontractors maynot be added to those of the Applicant forpurposes of  Prequalification of the Applicant.

25.3 In case of multiple contracts, the Employer shall

prequalify

each Applicant for the maximum number and

types of  

contracts for which the Applicant meets the

appropriate

aggregate requirements of such contracts, asspecified in

26. Employer’s 26.1 The Employer reserves the right to accept or

reject anyRight to Accept Or applications and to annul the prequalification

process andReject Applications reject all applications at any time, without thereby

incurring any liability to Applicants.

27. Prequalification 27.1 All applicants whose applications have metor exceeded

Of Applicants (“passed”) the specified threshold requirementswill to the exclusion of all others, be pre-qualifiedby the Employer.

28. Notification of 28.1 Once the Employer has completed theevaluation of the

Prequalification applications it shall notify all applicants in writingof the names of those applicants who have beenprequalified.

29. Invitation to Bid 29.1 After the notification of the results of theprequalification

the Employer shall invite bids from all theApplicants that have been prequalified. Thecontractors prequalified through this process

shall be eligible to participate in internationalcompetitive bidding for EPC/Turnkey Contract of 4.8 MW Riali-II Hydropower Project on GhoriwalaNullah, Neelam Valley Distt. Muzafarabad AJ&K.

 The employer has the discretion to exclude anyprequalified contractor from bidding process.

30. Changes in 30.1 Any change in the structure or formation of anApplicant

Qualifications after being prequalified in accordance with ITA 27and

of Applicants invited for bidding shall be subject to written

approval of the Employer prior to the deadline forsubmission of bids, Such approval shall be denied if as a consequence of the change the Applicant nolonger substantially meets the qualification criteriaset forth in Section III, Qualification Criteria andRequirements, or if in the opinion of the Employer,a substantial reduction in competition may result,or if a new Partner that had not been pre-qualifiedas an Applicant is added to a pre-qualifiedApplicant. Any such changes shall be submitted tothe Employer not later than 14 days before thedeadline for submission of bids.

ITA 1.1 The name, identification and number of the tentative contract isContract No. RHPP-II/ICB-01.

ITA 2.1 The name of the Project is;EPC/Turnkey Contract for 4.8 MW Riali-II HydropowerProject on Ghoriwala Nullah, Neelam Valley Distt.Muzafarabad AJ & K 

ITA 4.1 i) Copy of Joint Venture agreement should be provided with theApplication.

ii) Composition of the Joint Venture should be such that the leadpartner has a minimum of 51% share. In case of a JV lead by aforeign firm, the share of the local firm(s) shall not be less than30 percent.

1. DESCRIPTION OF THE WORKS

1.1 Riali-II Hydropower Project

Ghoriwala Katha is a right bank tributary of Neelum River with its confluence about

10 kms upstream of Muzaffarabad. The nullah has its origin in the glaciers lying at

an altitude of about 3800 masl. From its source to confluence with Neelum River, it

descends down to an altitude of about 750 masl. This steep drop in nullah bedoffers promising prospects of hydropower development downstream of Rajpayyan

village.

 The area was initially studied by HEPO (WAPDA) in collaboration with GTZ and a

project site with an installed capacity of 3.0 MW was identified in the upper

reaches of the nullah. Subsequently, the lower reaches of the nullah were also

studied by a team of Korean experts who proposed layout for a 5 MW project

downstream of Bagh Bridge. This site was taken up in Private sector and an Letter

Of Interest (LOI) to carry out the feasibility study was issued to M/S Sachal

Engineering Works (Pvt) Limited, Islamabad in 2001. In Fulfillment of their

obligations under this LOI, a feasibility study was conducted by M/S PakistanEngineering Consultants -PES (Pvt.) Limited, Lahore & Engineering Consultants

International-ECIL (Pvt.) Limited, Karachi on behalf of the Sponsors. The feasibility

study report established design parameters and layout of a 4.9 MW project, which

was submitted to AJK PPC.

 The feasibility study was further reviewed by M/S Renewable Energy Consultants-

RENCON in 2009. Based on the studies carried out, it was decided that the

development of 4.8 MW (net at site conditions) Power Plant is economically

feasible and M/S DESIGNMEN Consulting Engineers was contracted for preparation

of detailed design and EPC/Turnkey Bidding Documents for development of the

project under the proposed Power Purchase Agreement, which would be executed

between the Project Company and Peshawar Electric Supply Company (PESCO) or

any other buyer for a period of 25 to 30 years.

 The Project is ideally located to help improve the electricity service and reliability

in the region.

Environmental impact assessment studies (EIA) have been conducted by the

consultants and Environmental Mitigation Plan has been prepared for

implementation of the proposed project. The project is expected to have immense

positive social impacts as the Project will provide job opportunities to the people of 

the area.

 The detailed technical specifications shall only be issued to Pre-Qualified Firms

interested to take part in bidding process for preparation of bids at next stage;

however salient features are described hereinafter for giving a tentative concept

of the scope of works.

1.2 Works under the contract

  The proposed structure for the hydropower project includes design andconstruction of different civil structures Hydro Mechanical and Electricalequipments.

 The proposed design and construction works under the Contract No. RHPP-II/ICB-01will include, but not limited to the following.

2. Construction Period

 The tendering and award phase for construction works is expected to start in April -May 2012 and likely to be completely by August 2012, while the contract is

expected to commence from September 2012. The duration of the constructionwork is 24 months.

3. Site and other Data

Location of the Project 

 The accessible length of valley formed by Ghoriwala Katha is about 16 kms. The

road distance from Muzaffarabad city to the mouth of valley at the right bank of Neelum River is about 10 kms. A metalled road branches off just after the RCCBridge on Kulsair Nullah from the Neelum valley road located on the right bank of Neelum River. This road passes through Ghori village enroute to Rajpayyan village.

 The project layout is in the lower reaches of the valley with power house nearSteel trusses bridge on Ghoriwala Katha about 250 meters upstream of itsconfluence with Neelum River along its right bank. Power house site is about 10kms from Muzaffarabad City. The diversion weir is located about 350 metersupstream of Bagh Bridge on Ghori-Rajpayyan road. The road distance up to intakefrom main road is about 5 kms.

3.1 Topography and Geology The project site has topography typical of the region with steep slope and greenterraces along with torrential drains falling at places. Information available in thisoffice about the topography and geology of the area shall be shared throughbidding documents. However, the applicants are advised to visit the area of theproject as indicated on the project location map (figure-1) to acquaint themselveswith the site conditions.

In its 16 kms of stretch, the Ghoriwallah Nullah descends from an elevation of 3800 masl (12000 ft) to 750 masl (2500 ft) approx. at its confluence with NeelumRiver. The average slope of the Ghoriwallah katha bed is 9% and the catchmentarea is about 90 Km2 (35 miles2).

3.2 Climate

 The project area lies within a mountainous region with surrounding peaks rising ashigh as 4000 meters. The regional climatic pattern is largely influenced by thistopography that acts as barriers between the region and Central Asia to the Northand main parts of Sub-Continent to the East. The project area is characterized bymild summers and cold winters. The summer Monsoons (July-Sept) caused byEasterly disturbance rarely penetrate beyond Makra and Ganja mountains nearMuzaffarabad and Punjal ranges of the Kashmir valley. Most of the Westerndisturbance (Dec–Apr) causes significant precipitation in winters and its intensitygradually decreases beyond Muzaffarabad and Rawalakote

 The climate of the area surrounding the project is generally cold and dry. Summer

starts from March and continuous up to September. The mean annual precipitationof Muzaffarabad is 1550 mm. The temperature varies between 3 C to 38 C during⁰ ⁰  winter and summer seasons.

3.3 Language

Kashmiri is the local language and people generally well understand and speak thenational language Urdu, English is also spoken and understood among literates.

3.4 Religion

Islam is the religion of most of the people living in the area.

3.5 Currency

 The currency is Pak Rupee

3.6 Availability of Labour

Skilled and unskilled labour is not easily available.

3.7 Availability of Material

Construction materials are locally available in the surrounding area of theproposed project site. However good quality sand and fine aggregate as well ascement and reinforcement steel will have to be procured from Lawrencepur,Margala and Rawalpindi/Islamabad respectively.

3.8 Availability of Construction Equipment/Plants

Excavators, vehicles, compressors, mixers, vibrators and generators can beprocured locally within Pakistan, Alternatively, the equipment may be hired fromvarious contractors/rental firms locally and down country.

3.9 Bidding DocumentsBidding Documents for the contractors shall be based on the STANDARD FORM OFBIDDING DOCUMENTS (EPC/TURNKEY CONTRACT First Edition July, 2010 published
