With Matt Damon and Lenny Kravitz choosing to live there and the likes of Gwen Stefani and Beyonce Knowles holidaying there, Miami is definitely the land of the beautiful people, and you cannot help but be attracted to this ultra-glam destination. After spending a few hectic days at Florida favorite, Walt Disney World, the luxury and sophistication of Miami was a welcome relief. Bordered by the Atlantic Ocean, Miami is all turquoise waters, blue skies and beautiful buildings. With Cuba just 100 miles across the water the Latin feel is ever present and contributes to the buzzing and cosmopolitan vibe of the city. After checking in at my city centre base I was keen to get out and explore this eclectic culture.

SOUTH BEACH Stay at the five-star Loews Miami Beach Hotel; one of South Beach’s premiere luxury hotels. With views of the Atlantic, the hotel is slap bang in the fashionable Art Deco District and the buzzing South Beach is right on your doorstep. In terms of location alone this is the hotel to stay at and despite being so central, once you’re inside, the Loews cocoons you with its palatial splendour. Loews covers 900feet of oceanfront and despite its size the design has been worked to fit in with the Art Deco

architecture of the area. Special but unusual features in the Loews Miami Beach include a popcorn machine and ‘Dive-In’ movies at the pool area. Other special touches include 300-thread count bed linens, Bloom toiletries and an ‘Ultimate Doeskin’ robe. While in South Beach I couldn’t resist a peak at the Versace mansion, apparently the most photographed building in Miami. Although it’s now a private club, tourists still flock to photograph the steps where the legendary fashion designer, Gianni Versace was gunned down in 1997. Being so close to Cuba, Miami is a gateway to Latin America and the Hispanic culture is obvious. I took a trip out to Little Havana, which, as the name suggests, is a little Cuban enclave. The vibe here is completely different to the cool street scene of South Beach. The sound of salsa permeates the streets and the smell of tobacco wafts through the air as old women sit and chat in doorways. Bizarrely this almost feels like the real Miami, with most of its residents having settled here back in the 1950s, following Fidel Castro’s coup. I couldn’t come to Miami without sampling its legend-ary beaches. Water surrounds Miami and the beach stretches ten blocks so you can safely bag yourself a spot. It’s worth going for the people watching opportuni-ties alone, which range from the beautiful to the ridiculous.

DOWNTOWN MIAMI Downtown Miami offers a completely different experi-ence to South Beach. Located on Brickell Key, the five-star Mandarin Oriental is a far cry from the craziness of South Beach, and the stunning views from my balcony more than compensate for the out-of-town location. Downtown Miami pulsates with activity and provides a fantastic mix of commercial, cultural and leisure pursuits, alongside a mix of ethnicities and glamour, which makes for interesting exploration.

Dear All

Welcome to the first edition of In Perspective, an annual round up of articles from our IP team.

The expansion of the global market, particularly through the internet, means that intellectual property

law has had to develop at an increasingly fast pace over the past few years. Businesses are investing

a significant amount of time and money establishing an online presence and there has been a huge

increase in online digital content. The use of the internet to sell goods and distribute online digital content

can be a threat to IP rights holders as well as an opportunity for exploitation. As a result of the growth

of the internet and digital technology, the industry has had to react to ensure that the right balance is

found to protect the rights of brand and content owners and consumers alike. Brand and content owners

need to be able to prevent unauthorised use of their intellectual property rights but without obstructing

innovation and growth.

In an attempt to keep up with the fast pace of the digital age, intellectual property law has seen some

major developments over the past year. There have been a number of ground-breaking cases both

in the UK and in Europe, especially in relation to copyright and internet service provider (ISP)/online

market operator liability. We have been at the forefront of advising our clients on many of the issues

raised in these cases. In the last few months we have also acted for Eli Lilly in the first patent case in the

Supreme Court. Highlights in intellectual property law from the past year include:

• L’Oreal v eBay - this case has tightened up the liability of online marketplace operators and

strengthened brand owners’ rights.

• Lucasfilm v Ainsworth - the first IP decision delivered by the Supreme Court on the widely publicised

Star Wars case which held that there is no copyright in 3D props (in this case the Storm Trooper

helmets), even though the same props do attract copyright protection under US law. As a result of

this case, claims for foreign copyright infringement can now be dealt with by the English courts.

• Twentieth Century Fox v BT (“Newzbin 2”) - this decision means copyright owners may now be able

to force ISPs to block its customers from accessing infringing material (in this case copyright in films

and television programmes).

• Interflora v M&S - this significant case on keyword advertising means that there are circumstances

when a brand owner can prevent a competitor from using its trade marks as a keyword to trigger a

sponsored link to rival products and services.

• Newspaper Licensing Agency v Meltwater – the Court of Appeal held that headlines and weblinks

taken from the newspapers’ websites are protected by copyright.

The past twelve months has also generated a strong body of writing from our team on a number of the

cases mentioned above. Unfortunately not all of which can be reprinted here, however, we have included

a few of the highlights for you.

In the absence of a unified European patent system, parties in multi-jurisdictional disputes often try strengthening their strategic position by forum shopping and hence exploiting the differences both in procedural and material law that still exist between jurisdictions. One common strategy employed by patentees is to take advantage of the bifurcated German system, where infringement and validity proceedings are heard by different Courts.

Provided that there is a Germany wide infringing act, a patentee has a choice of twelve regional Courts in which to bring an infringement action. Some of those Courts, in particular Düsseldorf and Mannheim, are likely to hand down a first instance decision within a year and sometimes as quickly as five to six months. In contrast, the Defendant in a patent infringement action only has one forum in which to bring parallel nullity (invalidity) proceedings: the Federal Patents Court in Munich. Due to the fact that all nullity actions are heard in this Court, the caseload is significant and a first instance nullity decision can take around two years.

The German Courts apply a very high hurdle when considering whether to stay an infringement action pending the outcome of a parallel nullity case. Because a patent is an examined right, a stay will generally only be granted if there is a very high likelihood that the patent in suit will be invalidated. In practice, that requirement means a strong nullity attack based on a new, not previously examined piece of anticipatory prior art. Consequently, there is a very high risk of an infringement finding up to a year (or longer) before a decision on the validity of the patent in suit.

A first instance infringement decision is not final while the nullity case and/or an appeal in the infringement case is pending. An injunction can therefore only be enforced by depositing a security bond. This is nonetheless a formidable weapon, in particular in high value disputes in quick moving consumer markets. The damage caused can be irrecoverable even if the injunction is lifted later on.

In contrast, patent proceedings in the UK consider infringement and validity in the same action. Since the introduction of the so-called streamlined procedure, bringing a UK nullity action has often been used to balance an infringement action in Germany. However, there is inevitably a time delay involved in responding to German infringement proceedings by commencing a UK invalidity action, and the German Courts, in particular Mannheim, have been speeding up their first instance infringement proceedings. Hence such a strategy is likely to still leave a Defendant at a significant time lag disadvantage.

In HTC Europe Co Ltd v Apple Inc, HTC was faced with exactly this kind of scenario. Apple had brought patent infringement proceedings against HTC in two German courts: Munich (the “Munich Action”) and Manheim (the “Manheim Action”). HTC countered the German infringement cases with both German nullity proceedings and a parallel UK revocation action (the “UK Action”) in respect of the UK equivalents to the German patents in suit. However, HTC clearly faced the risk that both of these actions would be decided after the Munich Action and, in particular, the Mannheim Action.

Fearing the risk of an injunction in Germany, HTC proceeded to apply for the UK Action to be expedited. HTC hoped to obtain an early UK judgment on validity which it could then present in the Mannheim and Munich Actions to sway the Courts to stay the infringement proceedings.

HTC applied for a higher degree of expedition in respect of the patent in suit in the Mannheim Action. According to HTC, that action could be scheduled as early as January or February 2012 with a judgment some four to six weeks later. In contrast the Munich Action was likely to take place later in 2012.

Whilst the Mr Justice Arnold granted some degree of expedition to the UK Action, he did not go as far as granting a super-expedited trial. He confirmed that a relevant factor could be the fact that an English decision

The UK Courts have, in the recent decision of HTC Europe Co Ltd v Apple Inc, opened the possibility of super-expedited patent proceedings as a vehicle to attempt to assist an application to stay parallel German infringement proceedings pending the outcome of German invalidity proceedings.

on validity might be of assistance to a party in parallel German infringement proceedings. Such consideration was not, however, the only factor to be considered and had not been treated in previous cases as a particularly strong or important factor.

Mr Justice Arnold concluded that good administration of justice required the UK Action to consider all patents in suit at the same time, including the equivalent to the patent in suit in the Mannheim Action. There was an unavoidable minimum technical and legal complexity which the parties needed to address. Granting super-expedited proceedings in respect of the patent in suit in the Mannheim Action, such that the trial would take place as soon as January 2012, would put undue pressure and prejudice on Apple. Other factors which the Judge considered included the fact that no timetable had yet been set in the Manheim Action, and that the judgment in that action was not expected until some four to six weeks after the trial. Further, the Judge took into account that HTC would possibly be able to make an application to delay or suspend any injunction resulting from the Mannheim Action once the High Court’s Judgment becomes available.

In summary, whilst applications for super-expedited proceedings will be considered by the UK Courts, the

greater the degree of expedition sought, the stronger the applicant’s case will have to be. Given that the applicant will have to overcome persuasive arguments of good administration of justice and prejudice, it is likely that only simple technical cases concerning a single patent in suit will be successful.

It is, however, important to remember that even if a case has a good chance of being super-expedited in the UK, it will only be worthwhile if the application to stay the German infringement proceedings is successful. Given that, for the time being, patents remain national rights, a parallel UK decision will only ever have persuasive character in German Courts; however that persuasive character may be sufficient to tip the balance in favour of a stay of the German infringement proceedings.

Nonetheless, the route of super-expedited patent proceedings is well worth exploring, as is the alternative of pre-emptive revocation proceedings, as the potential commercial benefit to the alleged infringer of such successful proceedings could be significant.

Copyright Tribunal

CSC made an application to the Tribunal under s.126 of the Copyright, Designs and Patents Act 1988 (CDPA), claiming that the 20% figure was unreasonably high, putting forward a rate of 8% instead. This was the first case relating to music videos to be dealt with in the Tribunal, which was left to determine the level of royalty which was, in accordance with s.126, “reasonable in the circumstances”. While s.129 of the CDPA states that, in making such a determination, the Tribunal should consider relevant “comparators” (i.e. other licences granted in similar circumstances), s.135 imposes an obligation on the Tribunal to have regard to “all relevant factors” in making its decision. In light of these obligations, the Tribunal considered a broad range of issues in coming to its decision that a 12.5% royalty rate, pro-rated based on a formula different to that agreed between the parties, was “reasonable in the circumstances”.

(i) The 2003 Licence and “Non-Precedential” Licences

VPL argued that the previous unsigned 2003 Licence with a royalty rate of 20% was a “strong and compelling comparator”, pursuant to s.129 of the CDPA. However, the Tribunal disagreed, stating that the licence was intended to be a temporary arrangement and not a “concluded agreement, freely entered into” by CSC. Moreover, the Tribunal considered a host of other licences entered into with VPL, however these too were rejected for achieving only “short-term, interim legitimacy without necessarily, ongoing finality”.

(ii) Justification for the 20% Rate

VPL argued that the 20% royalty rate was a well-established industry standard. The Tribunal rejected this argument too on the basis that the 20% rate was more “aspirational”, an “imposition” on licensees and could not therefore be a “tariff”.

(iii) The Radio Comparison

CSC argued that the licences granted by PPL (VPL’s sister-organisation, a collecting society for sound recordings) to radio stations would be appropriate comparators since music drives both music television and commercial radio and have a similar audience and therefore the rates applied to radio licences (ranging between 2-5%) should be applied to music video licences. The Tribunal however disagreed, and stated that although VPL’s demand for 20%, being four times the upper commercial radio rate, was “unreasonable”, it reiterated that music videos were a “genre of entertainment independent of others…[and] obviously worth more than commercial radio music as a licensing commodity” and therefore the royalty rate should be set above the 8% starting point.

(iv) The “Pop-Promo Effect”

The Tribunal recognised that although the original function of music videos was purely promotional (i.e. “pop-promos”), today music videos are “self-standing offerings of audio-visual entertainment”. Although VPL argued that in light of this shift, the promotional value of music videos was now redundant, the Tribunal held that the “pop-promo effect” was still significant, and should therefore serve to reduce the royalty rate levied on broadcasters.

(v) Changes in the market

Another factor given weight by the Tribunal was how the market was rapidly changing; “advertisers are increasingly switching from buying television airtime to alternative methods of advertising”, particularly the internet, as a result of which, broadcasters were “suffering declining advertising revenues”, and ultimately, “this change will be reflected in the royalty again being reduced”.

The Tribunal’s “Diminished Window”

Having rejected the 2003 Licence and various non-precedential licences as comparators, the Tribunal determined that taking the radio comparison, the “pop-promo effect” and the “changing market” into account, a “diminished window” of royalty rate was to be fixed between 10-15%. Having set the “diminished window”, the Tribunal then considered various other licences in “fine-tuning” the “diminished window” to a “reasonable royalty rate” of a pro-rated 12.5%.

High Court overrules decision of Copyright Tribunal relating to royalty rates for music video broadcastsEntertainment Law Review - January 2011

Introduction

Music videos: are they promotional marketing tools or offerings of audio-visual entertainment in their own right? Does the balance in terms of financial reward lie with the broadcasters which give airtime to these “advertisements” or with the copyright owners which provide the “entertainment”?

These are questions which both the Copyright Tribunal (the Tribunal) and High Court (the Court) have had to grapple with recently (CSC Media Group Limited v Video Performance Limited [2010] EWHC 2094). In a case relating to what the appropriate royalty rate paid by television broadcasters to licensors for music videos should be, on appeal, the Court remitted the issue back to the Tribunal on the basis that the Tribunal had applied a defective two-stage test in determining a figure of 12.5%.

With the music industry currently riddled with issues of piracy and broadcasters suffering huge drops in advertising revenues, there is a lot at stake for the respective players in the music industry pending this rehearing.

Background

CSC Media Group Limited (CS”) is a television broadcaster which operates a number of music television channels, including Chart Show TV, The Vault, Scuzz, Flaunt and Bliss.

Video Performance Limited (VPL) is a collecting society, which collects royalties in relation to the use of music videos, on behalf of the copyright owners. It licences broadcasts of its music video repertoire to music television channels, most commonly in return for a royalty calculated by reference to the gross revenue that is to be received by a licensee in respect of the broadcast of the television channel, pro-rated by reference to the broadcaster’s use of VPL’s repertoire.

The Dispute

CSC had been licensed by VPL since 2002 under the terms of a written licence agreement (the 2003 Licence) which provided for the payment to VPL of a pro-rated fee based on the headline rate of 20% of gross revenue, together with a non-refundable annual advance. That licence was never signed, and expired in 2005. Since then CSC has been licensed under the terms of a letter of extension, the purpose of which was to give the parties three months within which to negotiate new terms.

The High Court has recently criticised a Copyright Tribunal decision to reduce the royalty rate for the broadcast of music videos. The case will now be re-heard by the Copyright Tribunal, a decision that will be awaited by broadcasters and licensors as potentially having a significant impact on their revenues.

Defences

An IP owner can defend an unjustified threats action by showing that the threats were justified, in that the acts complained of were actually infringements of the IP right. Special care should be taken when alleging infringement of pending applications to register an IP right because this defence will not apply if the application has still not been granted by the time the court considers the threat.Furthermore, this defence does not apply to threats for infringement of registered trade marks and registered designs if the claimant proves that the IP right is invalid. This contrasts with patent legislation which provides that the patent owner can rely on this defence of justification if, at the time of making the threat, the patent owner did not know or had no reason to suspect that the patent was invalid in a particular respect.

It is also a defence in respect of an alleged patent infringement for the person making the threat to prove that he used his best endeavours, without success, to discover the identity of the person who imported the patented product for disposal or who used the patented process provided that the person making the threats notified the alleged infringer before or at the time of making the threats, identifying the endeavours used.

Remedies

• The claimant in an unjustified threats action may seek:

• • A declaration that the threats lacked justification;• • Damages in respect of any loss which the claimant

has sustained by the threats; and• • An injunction to prevent further threats.

Practical steps

Although IP rights owners should be aware of the unjustified threats legislation, this should not discourage them from threatening to issue proceedings where there is a genuine claim.

IP rights owners who wish to take action, therefore, have the following options:

Send a mere notification that the IP right exists. The advantage with this is that it cannot be used as a basis for an unjustified threats action. The disadvantages are that the recipient may see it as a sign of weakness that the IP rights owner feels they may be at risk of an unjustified threats action if any threats were made, and there will not be any opportunity to obtain undertakings from the alleged infringer.

Send a cease and desist letter and draft undertakings which are drafted within the exceptions. The pros and cons of this approach are similar to a mere notification, although this has the added advantage that at least some undertakings may be forthcoming from the alleged infringer.

Make the allegations in the course of “without prejudice” communications with the alleged infringer which are genuinely aimed at settling the dispute. The concern with this approach is that, if negotiations fail, the alleged infringer may argue that the communication is not privileged and seek to rely on it to form the basis of an unjustified threats action.

Limit the allegations of infringement to IP rights which are not covered by threats legislation, such as passing off and misuse of confidential information. This approach, coupled with allegations of infringement of IP rights covered by threats legislation, but drafted within the exceptions, could prove a safe route for cautious IP owners who wish to avoid a threats action.

Make a full allegation of infringement, covering all acts, including secondary infringements not covered by the exceptions. This approach risks an unjustified threats action, but such actions are rarely brought, particularly in cases where the threat can be justified.

Incur the expense of actually issuing proceedings and threaten to serve the proceedings if the Defendant does not comply with your demands. This avoids the possibility of an unjustified threats action because proceedings have already been issued when the threat is made.

We would recommend sending a letter in the form of the penultimate bulletpoint seeking broad undertakings in the majority of occasions. We will advise you on the approach we consider is most appropriate for your case.

Professor Hargreaves was, in particular, asked to look at what the UK could learn from the US’s “fair use” rules, which cover circumstances when copyrighted material may be used without the rights holders’ express permission. He advises that importing fair use wholesale is unlikely to be legally feasible in the UK, given the UK’s obligations under European law. Instead, the UK can achieve many of the benefits of fair use (which is more flexible and less rights owner friendly than the European approach), through adopting copyright exceptions already permitted under European law.

Key Recommendations:

1. Copyright Licensing

The UK should create the world’s first “Digital Copyright Exchange”, to be implemented by the end of 2012. By this, Professor Hargreaves envisages a digital market place, akin to a “one stop online copyright shop” whereby licences in copyright content can be readily bought and sold. It is anticipated that a Digital Copyright Exchange would help centralise and simplify the process, making it more automated, faster and cheaper. However, the target of a 2012 implementation date is regarded by many as overly ambitious, given that it will take significant time, resource and commitment from rights holders to ensure that the relevant rights to the relevant works are recorded accurately within the Exchange, and to enable any kind of efficient licensing solution. Other questions such as who will fund and police the Exchange, and how restrictions on licences will be recorded, will also need to be considered.

The UK should also support moves by the European Commission to establish a framework for cross border copyright licensing in the EU with a common code of practice for copyright collecting societies to ensure that they operate in a way that is consistent with the further development of efficient, open markets.

2. Orphan Works

Legislation should be introduced to permit access to “orphan works” (i.e. works where the copyright holder cannot be traced). Often, where one of potentially many copyright owners of a particular work cannot be located, they are effectively holding the interests of others to ransom because, without their consent, it is an offence to exploit that work commercially.

A work should only be treated as an orphan work if it cannot be found by a search on the proposed Digital Copyright Exchange databases.

Professor Hargreaves advocates the establishment of an extended collective licensing system for mass licensing of orphan works, and a clearance procedure for use of such works. The proposal will allow organisations such as the BBC and BFI to use copyrighted archive material that would previously not have been permitted to be shown because of doubts about ownership.

3. Copyright Exceptions

Perhaps the most important idea in the report is that the UK should take advantage of all the EU sanctioned exceptions to copyright, bringing our law more into line internationally with more progressive copyright regimes.

Specific proposals include allowing exceptions for:

- copying for private purposes, such as shifting music from a laptop to an mp3 player. Making “format shifting” legal is one solution proposed to bring the UK’s regime up to date with current patterns of media consumption, clarifying an area of legal uncertainty for consumers - copying which does not conflict with the core aims of copyright - for example, data mining or search engine web-page crawling and indexing, which involve the - copying of content so that online service providers can analyse and enable access to information copying material for use in parody. The report cites recent parody “Newport State of Mind” (based upon “Empire State of Mind”, by Jay-Z) which resulted in action by the producers, EMI, and the video’s removal from YouTube. Under US “fair use” exceptions, parodies are often permitted which explains why previous parodies of the same song in the US have attracted less attention.

After six months of review, Professor Ian Hargreaves’ much anticipated report “Digital Opportunity - A Review of Intellectual Property and Growth” was finally published on May 18th 2011. The report was commissioned in November 2010 by Prime Minister David Cameron, amid concerns that the UK’s IP system, and particularly copyright law, has not kept pace with digital developments and, accordingly, is unfit for the internet age.

The 5ft 6in singer is looking at scripts for various blockbuster movies and he has promised to help the 6ft 3in world heavyweight champ land his own starring role.

A source revealed: “David wants to get into acting and was asking Justin for advice.

“Despite being only 17, Justin has got some huge clout in LA and he’s told David he’ll hook him up with the right people.”

David Haye vs Ricky Gervais, Justin Bieber and Dizzee Racal is on Sky1 on Tuesday at 9pm.

the sack. The Desperate Housewives star told me he only sleeps with fi t babes – even if they’re crap in bed.

■TINIE lost his Tempah yesterday when bungling British Airways left

performance almost didn’t go ahead after the airline forgot to put his gear on the plane.

It’s bad enough losing a bag on holiday but god knows how they forgot to load half of Tinie’s set.

Letting rip Tinie, real name, Patrick Okogwu, tweeted: “Bloody BA have ended up leaving Half Our Glasto Equipment in Zurich! Soo P****d Right now. This aint the 1st time! Executive club my a**e!!”

Luckily for Tinie and his thousands of fans the Frisky star managed to borrow what he needed from other artists to make it on to the Pyramid Stage for 5pm.

★ SEX On Fire foursome Kings Of Leon constructed

their own mini-bar backstage at their London Hyde Park gig this week.

The US rockers had the swanky bar set up, complete with leather couches, so they could knock back tequila with VIP chums Paul Weller and Taylor Momsen.

The caners – whose new fl y-on-the-wall fi lm Talihina Sky is released this weekend – got through 250 bottles of Patron tequila over two nights.

They then loaded another 36 bottles of sauce on to

their tour bus as they left.

★ GLEE’s Chris Colfer is desperate to get Princesses Eugenie and

Beatrice to enroll at McKinley High.Chris, who plays Kurt Hummel,

★ THE Only Way Is Essex hunk Mark Wright is struggling to
