this Recommendation, viewed in its entirety, constitutes a reasonable resolution of all issues in this

In addition, the adoption of this Recommendation will eliminate the need for the
Commission and the parties to expend significant resources in litigstinn nt this proceeding, and
eliminate the possibility of, and any need for, rehearing or appeals of the Commission's final order

Establishino Pole UseA Before the CATV operator shall make use of any of the poles of the Cooperative under

The CATV operator shaH furnish the Cooperativedetailed construcdon plans and drawings for each pole line, together with necessary maps,indicating specificagy the poise of the Cooperative, the number and character of the attachmentsto be placed on such poles, and rearrangemenis of the Cooperative's fixtures and equipmentnecessary for the attachment, any relocahon or replacements or exisang poies, and any aooiuonal
poles that CATV intends to install.
The Cooperative shati, on the basis of such detailed constructmn plans and drawings,
submit to the CATV operator a cast estimate (including overhead and less salvage value ofmaterials) of ag changes that may be required in each such pole line. Upon wntten nodce by theCATV operator to the Cooperafive that the cost estimate is approved, the Cooperative shall
proceed with necessary changes in pole lines covered by cost esbmate, Upon completion of ag
changes, the CATV operator shall have the right hereunder to make attachments in accordancewkh th t rme f tho onr licotinn nf thw mriff The cATv operator shall, at tlis own exDense. makeattachments in such manner as not io interfere with the service of the Cooperative.

Rights-of-way.
Mern tenance of Poles. Attachments and Qoeration.A Whenever right-of-way considerations or public regulations make relocation of a pae,
or poles necessary, such relocation shall be made by the Ccoperative at Its own expense, exceptthat each party shall bear the cost cf transferring its own attachments.
B Whenever it is necessary to replace or relocate an attachment, the Cooperative shall,
before making such replacemenl or relocation, give forty-eight (48) hours notice (except in casesof emergency) to the CATV operator, specifying in said notice the time of such proposedreplacement or relocation, and the CA IV operator shall, at the time so speafied, transfer its
attachments to the new or relocated pole. Should the CATV operator fail to transfer ils

payment of any setgement or Judgment therefore, by reason of (a) injuries or deaths to persons,

A. If the Cooperative desires at any time to abandon any pole to which CATV operator hasattachments, it shad give the cATv operator notice in wriang to that effect at least thirty (30) daysprior to the date on which it intends to abandon such pole. It, at the expiration of said period, theCooperative shall have no attachments on such pole, but the CATV operator shall not haveremoved BH of its attachments therefrom, such pole shall thereupon become the property of theCATV operator, and the CATV operator shaH save harmless the Cooperative from ail obligation,liabddv damaoes. cost. Bxoenses or charoes incurred thereaffen and shall oav the Coooerabve forsuch pole an amount equal to the Cooperative's depreciated cost thereof. The Cooperative shall
further evidence transfer lo the CATV operator of title to the pole by means of a bill of sais.

forbidden by municipal cr other publtc authorities or by prcperiy owners, the permit governing theuse of such pale or poles shall immediately terminate and the CATV operator shall remove itsfacilities from the af/ected pole or poles at once. No refund of any rental will be due on account of
any removal resulbng from such forbidden use.
Pavment of Taxes;Each party shall pay alf taxes and assessments iawfugy levied on its own property upon said
attached poles, and the taxes and the assessments which are levied on said property shall be paid

require a deposit keeping with 607 KAR S006, Section 7.

operator where the sdength or conditions of said anchors cannot be readgy idenbffwi by visual

Whenever it is necessary to replace or relocate an attachment, the Cooperative shall,before making such replacement or relocation, give fortnight (48) hours notice {except in casesof emergency) to the CATV operator, specifying in said notice the time of such proposedreplacement or relocation, and ihe CATV operator shall, at the ume so specified, transfer its
attachments to the new or relocated pole. Should the CATV operator fail to transfer itsattachments to the new or relocated pole at the time specified for such transfer of attachments,ths cccnerabve mav elect to do such work and the CATV ocerator shell oav the CocDerative thecost thereof

Cable Television Attachment TariffAbandonment:
A. If the Cooperative desires at any time to abandon any pole to which CATV opmator hasattachments, it shall give the CATV operator nogce in wdigng to that effect at least thirty (30) daysprior to the date on whiCh it intends to abandon auth pole. If, at thn expiration of said pcriod, theCooperative shall have no attachments on such pole, but the CATV operator shall not haveremoved all of its attachments therefrom, such pole shall thereupon become the property of theCATV operator, snd the GATI/ operator shag save harmless the Cooperative from all obligation,I'ability, damages, cost, expenses or charges incurred thereaffler, and shall pay the Cooperative forsum poie an amount squat mme aooperauve s oepremaleo cost mersot. Ine booperasve snasfurther evidence transfer to the CATV operalor of title to the pole by means of a bill'of safe.
B. The CATV operator may at any time abandon the use of the attached pale by giving duenotice thereof in writing to the Cooperative and by removing therefrom any and all attachments itmay have thereon. The CATV operator shall in such case pay to the Coopers'.ive the full rental forsaid pole for the then current billing penod.
Riohts of Others:Upcn nObce from the Cooperative to the CATV operator that the use of anV pole or poles is
forbidden by municipal or other public authorities or by property owners, the permit governing theuse of such pole or poles shall immediately terminate and the CATV operator shall remove itsfacilities fram the affeoted pole or poles at once. No refund of any rental will be due on amount ofany removal resulting from such forbidden use.
Pavment of Taxes:Each party shall pay ag taxes and assessments lswlugy levied on its own property upon sahf
attached poles, and the taxes and the assessments which are levied on said property shall be paid
by the owner thereo'., but any tsx fee, or charge levied on the Cooperative's poles solely becauseof thei uee by the CATV epemter eh*a be paid by tne CATV operator.
Bond or CeDositor Performance:A. The CATV operator shall furnish bond or ssttsfac!Oiy evidence of contractual insurance
coverage for the purposes hereinafter spemfied in the amount of Twenty-five thousand dollars(S25,0DC.OD), until such time ea the CATV operator shall occupy trrenty-Tve hundred (2500) perseof the Cooperative and thereafter the amount thereof shall be increased to increments of Onethousand dollars (31,000.00),for each one hundred (100) poles (or fraction thereof) occupied bythe CATV operator, evidence of which shall be presented to the Cooperative fifteen {15)days priorto beginning construction. Such bond or insurance shall contain the provision that it shall not be
