Plaza Viva stands for reliable weather protection for your favourite outdoor space. It is incredibly wind-resistant and integrates subtly into the overall look of the building. Not forgetting its practical use on facades that don’t have enough load-bearing capacity to mount a folding arm awning. Technical innovations such as the optional adjustable telescopic post, the OptiStretch version, integrated LED lighting and gear handle operated Valance Plus leave almost nothing to be desired.

The Valance Plus is elegantly inte-grated into the Plaza Viva’s drop profile. It provides privacy and glare protection even with a low-lying sun.• Can only be operated by gear

The tried and tested tension system is used with the Plaza Viva and the new flat rope is used. This is ex-tremely resilient and rolls up more consistently than conventional round tension ropes. The result is an all round better positioned and tensioned fabric.

Compensation joint and floating bearing
The optional telescopic post can be really easily lowered on one side using the gear handle providing an awning pitch of 4° and fully cranked down post so that rain drains off reliably.
When lowering the top part of the post using the gear handle, it reduc-es the load on the construction and it remains inherently stable. The wall bracket with floating bearing and compensation joint on the up-per part of the post ensure that the entire awning adapts perfectly to the pitch.

Important information Please note:• The telescopic post should ideally
always be moved into the highest or lowest position as it can only be locked in place there. If it is moved to a position in between it may lower of its own accord because there is no locking in place.
• The unit may only be extended and retracted if the telescopic post is set at the highest point
• The mounting of telescopic posts on both sides is not recommended as this would cancel out the bene-fit. It would then only be guaran-teed that rain would drain off reliably from a pitch of 14° again.
• 2 telescopic posts are also unsuit-able for protection against the low-lying sun as lowering be-tween 150 to 350 mm does not offer sufficient protection. The Valance Plus is ideal for this.

Gear handle position
A fabric support roller fitted below the fabric as standard with a projec-tion > 4000 mm. With locations exposed to winds we recommend using additional fabric roller supports (option). The fabric support rollers can be retrofitted at any time without too much effort.
With the Valance Plus option the fabric support roller (from a projec-tion > 4000 mm) is fitted above the fabric as standard.

Valance Plus option – privacy and sun protection from the front
The gear handle operated vertical sun protection is integrated elegantly into the Plaza Viva drop profile.• Glare protection and privacy pro-
tection up to a maximum valance height of 210 cm
• Only possible with gear drive, only extend and retract the Valance Plus with the telescopic post cranked up
• Valance Plus use up to a Plaza Viva pitch of 4° to 20°.
• Not possible in combination with integrated LED lighting

Screw foundation 4When fixing the posts into soil/earth they are an alternative to conventional foundation fixing. The post length as mentioned on the mounting sheet is increased by the floor level (X).
Post fixation on concrete floor slabs 1The standard configura-tion is the installation of the Plaza Viva with post plates on a given (or exist-ing) concrete floor. The finished cut length of the post is always indi-cated on the assembly sheet.
Bucket foundation 2Posts are securely fitted into a strong non moving base. The concrete is pured and set at the end of the installation, which simplifies the alignment of the posts.
Deep-seated foundation 3The easy and flexible screw attachment on a 700 (w) x 800 (h) x 700 (d) mm screw foundation is carried out like the stand-ard fixation (item 1). The reference height for the crank position as well as for the post height is always TEFF.

The hallmark of weinor magic colours is its vibrant patterns and high-stretch polyester which re-tracts to its original smooth state in warm conditions (weinor Memory- Effekt®).
Important:For textile sun protection: creases occur during manufacture and folding the awning fabrics. At the same time surface effects can occur in the crease, particularly in the case of light colours which appear darker against light. Folds in the hem, seam and fabric lengths occur where there are multiple layers of the woven fabric and different rolling thicknesses on the fabric roller. The re-sulting fabric tension can cause waviness (e.g. honeycomb or fish bone patterns). In principle, these effects occur to varying degrees in almost all awning fabrics. Creases and folds do not detract from the value and usability of an
awning. Awnings and conservatory awnings are sun protection devices which should be retracted when it is raining or windy. Wet fabric creases more easily and as far as possible should only be retracted after drying out (please take care in strong winds and avoid pooling).Depending on the frame colour ordered, we deliver all small parts, as well as gear handles and gear boxes for equipment with gear handle drive, in black (similar to RAL 9005), white (similar to RAL 9016), or in grey (similar to weinor 7319).

General terms of delivery and payment
be given as to the exact time of de-livery. Delivery dates are deemed to have been met as soon as we have indicated that the consignments are ready for dispatch.
6.2. Adherence to our obligation to deliver shall be subject to the cus-tomer meeting his/her obligations on time and in the due and proper manner as well as to the customer’s obligation to cooperate. Failure to meet the above shall result in the delivery date being extended by a reasonable amount of time. Delays in delivery at our company or our supplier’s plant which are the result of force majeure or other events beyond our control – especially strikes, lockouts, government inter-vention, riots, effects of war or acts of terror – shall entitle us to post-pone delivery by a reasonable amount of time or to withdraw from the contract. Should it prove impossible for us or our supplier to deliver or provide the service, both we and our supplier shall also be released from our obligation to de-liver or provide the service. In the event of a delay or should it be im-possible to provide the service, we shall inform the customer without delay.
6.3. Unless otherwise agreed contractu-ally in writing, and provided that it is reasonable for the customer, we shall be entitled to provide partial deliveries and partial performance.
6.4. Call-off orders, or the specification of individual partial deliveries, are, as far as possible, to be made at equal intervals, in equal quantities, and in enough time to enable due and proper manufacture and deliv-ery. Should the consignments not be called off or specified at all or not in good time, we shall be enti-tled to withdraw from the contract if the set deadline has not been met.
6.5. Should a written agreement be-tween us and the customer specify that the goods are subject to in-spection under specific conditions, the acceptance of the goods shall take place at our works. All the costs relating to the acceptance – provided that these relate to the deployment of our staff, our mate-rial and our equipment – shall be borne by us, while all travel and accommodation expenses for the person in charge of acceptance shall be borne by the customer. Should the customer fail to accept the goods for reasons within his/her control or due to any fault on his/her part, the goods shall be deemed to have been supplied in the due and proper manner upon their leaving our works.
7. Transfer of risk – Shipping/ packaging
7.1. Unless otherwise stated in the order confirmation, delivery of the goods shall be “ex works”. Our works are located in Cologne and Möckern (Germany). It is also here-by expressly agreed by the two par-ties that the Incoterm Code EXW (2010 version) shall apply.
7.2. All risks shall be transferred to the customer as soon as the goods leave our works in Cologne or Möckern. This shall equally apply when the goods are carried by our own vehicles or when we agree to take on or perform other services, most notably shipping costs or de-livery. We are under no obligation to unload the goods on behalf of the customer.
7.3. Should shipment or acceptance of the goods be delayed or not per-formed due to circumstances be-yond the control of the customer, all risks shall be transferred to the customer as soon as the customer has been notified that the goods are ready for shipment and deliv-ery. Should shipment be delayed due to or at the request of the cus-tomer, we shall store the goods at the expense and risk of the custom-er. In this instance, notification that the goods are ready for shipment
shall be equivalent to having shipped the goods.
7.4. Should we consent to the goods being returned, the customer shall bear all risks until the goods reach our works.
7.5. Should the customer request a spe-cific form of packaging, we accept no liability for the suitability of such packaging for the chosen method of delivery.
7.6. We will accept the return of trans-port and all other packaging mate-rials, as defined under the packag-ing regulations at the place of per-formance, to our works (Cologne and Möckern), after use at no charge if no other arrangements have been made. The transport costs for the return transport of the used packaging and other packag-ing materials to our works in Co-logne and Möckern shall be borne by the customer. Lattice boxes and pallets are our property and will be taken back by us at the delivery location.
7.7. On request, we will obtain trans-portation insurance, at the cus-tomer’s expense, to cover the consignment.
8. Retention of title8.1. All the deliveries made by us are
subject to retention of title. The property shall not pass on to the customer until the complete settle-ment of all open demands resulting from the mutual business relation-ship including interest and costs.
8.2. Should the goods subject to reten-tion of title be attached to any real estate by the customer to the ex-tent that they become an integral part of the property, the customer hereby transfers to us the corre-sponding, highest priority part of the claims against his client and/or the building owner together with all ancillary rights in the amount of all monies owed to us by the cus-tomer. In the event of resale, the customer shall transfer to us his/her claims against the purchaser for the same amount.
8.3. In the course of normal business, the customer shall, however, be entitled to dispose of the goods subject to retention of title and to collect the purchase price. Said en-titlement shall expire, should the customer be in arrears with pay-ments to us. In this instance, we shall be entitled to collect all the items we have already delivered. The customer hereby consents to our taking such action. The custom-er shall not be entitled to pledge or to assign by way of security the goods subject to retention of title. Should the goods subject to reten-tion of title be pledged or our rights encroached upon by any other form of third-party action, the customer must inform us with-out delay by registered mail. Any costs incurred by us as a result of our suffering enforcement or other prejudices shall be reimbursed by the customer.
8.4. The customer undertakes to obtain adequate insurance cover for the goods subject to retention of title. The customer hereby transfers to us any claims arising from such insur-ance.
8.5. At the request of the ordering par-ty, we undertake to release any securities to which we are entitled, provided the current value of our securities exceeds the claims which are to be secured by more than 10%. The decision on which securi-ties are to be released shall be at our sole discretion.
9. Assembly, assembly instructions and base/awnings and wind class, filiform corrosion and pre-anodisation
9.1. Unless otherwise agreed in writing, the assembly of the supplied goods shall not form part of the contract with the customer. The assembly work is to be carried out by our customer at his/her own risk. On
1. Scope of application 1.1. Our General Terms of Delivery and
Payment (Terms and Conditions of Business) apply exclusively to all contractual relations involving weinor and a business (customer). No terms and conditions which contradict our Terms and Condi-tions of Business, or any terms and conditions of the customer which deviate from the same, shall be ac-cepted unless confirmed expressly by us in writing. Our Terms and Conditions of Business also apply should we deliver to the customer knowing that the customer’s Terms and Conditions of Business differ from our own.
1.2. All agreements reached between ourselves and the customer aimed at fulfilling the contract drawn up between the contracting parties are to be recorded in this contract.
1.3. In addition to these Terms and Conditions of Business, the “Guide Line for the Estimation of Manufac-turer’s Information on Awning Fabrics”, excerpts of which are printed in the price list made avail-able prior to the conclusion of the contract, shall also apply.
2. Offer/drawing up of contract2.1. Our offers and all details given in
price lists, brochures, on websites, etc. are to be understood as being without commitment unless other-wise stated in the confirmation of order.
2.2. The customer’s order shall repre-sent a binding offer which we may accept in the space of two weeks of receipt by sending a written confir-mation of the order or, in the case of orders for awning fabrics, by supplying the goods in as far as our customer does not specify a longer term of acceptance.
2.3. None of the customer’s rights arising from the contract are trans-ferable.
3. Prices and price adjustments 3.1. Unless otherwise provided for in
the order confirmation, our prices shall be based on the price lists valid on the day of the order con-firmation.
3.2. Price adjustments shall be permissi-ble should more than four months pass between concluding the con-tract and the agreed date of deliv-ery. Should either wage levels or the cost of materials change after this and before the date of delivery, we shall be entitled to adjust the price in line with any increases or decreases in costs. The customer shall only be entitled to withdraw from the contract should the price rise by more than 5%.
3.3. Our prices are ex works and do not include the cost of freight, postage, packaging, insurance or any other shipping costs.
3.4. Our prices are exclusive of value- added tax at the current rate; this is to be paid at the rate applicable on the day of invoicing and will be shown in the invoice separately.
4. Terms of payment and failure to pay, payment in advance/ collateral, credit insurance, compensation and possessory lien
4.1. Payments for standard orders (phone/fax orders, etc.) which are settled in the space of 3 days using a SEPA Business-to-Business Direct Debit Mandate shall be subject to a 4% cash discount. The deadline for the pre-notification is hereby short-ened to 2 days. Any costs incurred due to the mandate being reversed or not being honoured shall be borne by the customer provided
that the reversal or failure to hon-our the mandate was not caused by ourselves. Payments effected within 10 days of date of invoice shall be subject to a 3% discount. Orders placed via the E-Shop are subject to a 5% discount provided that pay-ment is settled within 3 days using a SEPA Business-to-Business Direct Debit Mandate; a 4% discount shall apply to payments made within 10 days using a SEPA Business-to- Business Direct Debit Mandate. The terms and conditions agreed above for the pre-notification deadline and the costs for not honouring the mandate shall apply accordingly.
Invoices settled after the initial 10 days from date of invoice and with-in the period stated on the invoice are to be paid net and in full within 30 days of the date of invoice. If a SEPA Business-to-Business Direct Debit Mandate is issued but is re-versed or not honoured for reasons beyond our control, the corre-sponding invoice amount shall be-come due with immediate effect.
4.2. Should the deadline for payment be exceeded, we shall be entitled to charge interest on arrears amounting to 9 percent per an-num. The customer shall be entitled to prove that, in individual cases, either no loss or damage or a lower loss or damage has occurred. In the case of payment default, we shall not be obliged to accept orders from the customer. We shall be entitled to require payment in ad-vance or collateral before carrying out pending deliveries. This not only applies in the event of pay-ment default but also if there is a significant deterioration or consid-erable risk in the customer’s finan-cial circumstances so that the de-mand for payment of the purchase price is at risk due to the customer’s lack of financial capacity. A lack of financial capacity must be assumed, among other things, if there is suf-ficient information from a credit insurer or credit agency (e.g. credit reform). Payment in advance and collateral can also be demanded if enforcement proceedings have already been initiated against the customer.
4.3. The customer shall not be entitled to offset outstanding payments with counterclaims unless these are legally adjudicated (res judicata), are undisputed or have been ac-cepted by us. The customer shall furthermore only be entitled to re-fuse performance until coun-ter-performance has been effected if the counterclaim is founded on the same contractual relationship.
4.4. Should the customer fall into ar-rears with payments, we shall be entitled to retain up to half of the customer’s valid or agreed rebates and to set these off against the most overdue payment claims in such a way that the principal claim is settled first, followed by the interest due and then the costs incurred.
5. Consent to electronic invoicing We shall be entitled to issue invoic-
es electronically. Our customer hereby expressly consents to receiv-ing invoices electronically.
6. Delivery and call dates; acceptance of delivery
6.1. Delivery dates are only approxi-mate dates. Agreements relating to delivery dates are not fixed delivery dates unless these have been ex-pressly confirmed as such by us in writing. Should a fixed delivery date be agreed, no guarantees can

General terms of delivery and payment
for damages for loss of income. Liability in the event of careless in-fringement of a material contractu-al obligation (cardinal obligation) shall be limited to the amount of foreseeable damage typical for the contract in question. Furthermore, we shall be liable in accordance with the statutory provisions to the extent that the customer should claim for any damages which are based on wilful intent or gross neg-ligence on our part, including wil-ful intent or gross negligence on the part of our representatives or agents. Liability for culpable loss of life, limb or health shall remain un-affected; this shall also apply to any mandatory liability arising from the product liability law. The above shall also apply to the reimburse-ment of expenses. The exclusion of liability shall equally not apply to any assumed guarantees or any guaranteed characteristics should a defect covered by either of these give rise to a claim for which we are liable. All claims resulting from re-course against the manufacturer or the supplier shall also remain un-affected.
10.5. No warranty is given for damage resulting from the following: un-suitable or improper usage; faulty assembly by the customer or a third party; non-adherence to our oper-ating and service instructions; arbi-trary changes to the products; re-placement of parts or use of con-sumables not in compliance with the original specifications; replace-ment of materials; normal wear and tear; filiform corrosion, to the extent that we had not been asked to pre-anodise the parts in ques-tion or done so; faulty or negligent operation; inappropriate fuels; in-adequate construction work; un-suitable base; chemical, elec-tro-chemical or electrical factors in-sofar as these are beyond our control; improper adjustment or corrective maintenance work car-ried out by the customer or a third party without our prior consent.
10.6. No claims arising from faulty partial deliveries shall be applied to the other remaining partial deliveries.
10.7. The limitation period for claims based on defects shall be 24 months from the transfer of risk. In all other respects, the statutory war-ranty conditions shall apply.
11. Patents Should a third party claim against
the customer or the customer him/herself claim for an infringement of his/her industrial property rights regarding the delivered products, the customer undertakes to inform us of this immediately. We shall be entitled but not obliged to con-duct, at our own expense, all nego-tiations relating to an out-of-court or court settlement and/or legal action covering the infringement of industrial property rights relat-ing to the delivered products. The customer shall be obliged to assist us and to transfer the relevant powers of attorney. No liability for damage arising from infringements of patents shall be accepted.
12. Images, photographs, drawings12.1. If and to the extent that we pro-
vide a customer with images, pho-tographs or drawings which the then uses, for example, on the in-ternet, or in leaflets, brochures or similar advertising media, the cus-tomer shall be obliged to indicate the origin/authorship of such im-ages, photographs or drawings, for example by adding a remark below or on the image, photo or drawing such as “Copyright weinor” or the corresponding symbol © in con-junction with the company name weinor. If we have included a year, this must also be added after the reference to our copyright. If we provide images, photographs or drawings to which we do not own the copyright but merely the right
to use such images, photographs or drawings, we shall make this known to the customer. The use of such items shall be at our customer’s risk.
12.2. The images, photographs or draw-ings to which we own the copy-right shall remain weinor’s proper-ty. Such materials will only be pro-vided to the customer on a loan basis and may only be duplicated, reproduced, copied, stored or passed on to third parties as part of the business relations with weinor and for the purpose of advertising our products in the corresponding manner. The images, photographs or drawings may not be edited or otherwise amended – whether through photocomposition, mon-tages, electronic tools or any other forms – without our written con-sent. This especially applies to digi-tal graphical materials. The copying or redrawing, reconstruction or re-taking of photographs is equally not permitted without our written consent.
12.3. If and to the extent that the customer provides us with images, photographs or drawings, the customer hereby warrants that no third-party copyrights to such images, photographs or drawings are affected in any way, and hereby releases us from any and all costs and damage claims which may arise due to an infringement of copyrights to the images, photo-graphs or drawings which the customer provides.
13. Place of fulfilment/court of jurisdiction/choice of law
13.1. Unless otherwise provided for under this contract, the place of fulfilment and payment shall be our registered offices in Cologne, Germany.
13.2. If the customer is a business person, the court of jurisdiction shall be our registered offices in Cologne, Germany.
13.3. The laws of the Federal Republic of Germany shall apply, to the exclu-sion of the EU Sales Convention.
14. Final provisions Any amendments and additions to
this agreement shall only apply if made in writing. For its part, the re-quirement to have all agreements in writing may only be waived by written agreement. These new terms and conditions of delivery and payment supersede all previ-ous versions.

request, we shall also assist our cus-tomer through training courses or other assistance. The provision of such assistance shall not imply any changes to the customer’s obliga-tion to carry out the assembly work him/herself.
9.2. Our assembly instructions and our verbal or written advice on using our products are intended to pro-vide the customer with information on the best possible use of our products and services. They are not intended to release the customer from his/her duty of due diligence to ascertain whether our goods and services are suitable for the in-tended purpose. This applies espe-cially to information about the de-sign and quantity of the required brackets and testing the load bear-ing capacity, as well as the nature of the assembly base, and the dis-closure of such information to us when placing the order. Should the customer not provide any details about the brackets or the assembly base when placing his/her order, we shall supply brackets of a design and in a quantity suitable for instal-lation on concrete with a covering of up to 20 cm (non-pressure-resist-ant base) for wind resistance cate-gory 2. Consequently, should it not be possible to use the product as set out in the agreement because of inadequate or inaccurate informa-tion being provided by the custom-er, we shall only be liable should we or our employees have acted with intent or gross negligence.
9.3. Given the complexity of the inter-action between building materials, tools and fastening elements, we recommend that customers inform and assure themselves of the spe-cific building conditions, especially static conditions, at the site in ques-tion. This applies especially to test-ing the load bearing capacity and the nature of the assembly base. Since we never carry out any instal-lation work for the customer and only supply the goods to a custom-er’s order, we accept no liability in this regard.
9.4. Our awnings comply with the re-quirements of wind resistance cate-gory 2. This presupposes that the awning is installed by our customer in a proper manner not otherwise involving any technical defects. At the same time, this presupposes that the awning is installed using the type and quantity of brackets recommended by the manufactur-er, that the strength of the dowels prescribed by the manufacturer has been taken into account during the installation work and that the manufacturer’s instructions con-cerning dowels are followed during assembly.
9.5. Unless otherwise agreed in writing, awnings delivered by us are de-signed for fitting with a revision appliance accessible from the out-side. If the awning is affixed to the cladding in such a way that the re-vision cannot be attached from the outside, we shall, in the event that the awning has defects, not be liable for costs connected to the opening up and sealing of the clad-ding associated with the removal of defects of the awning delivered. This shall also apply in a case of warranty claim. The customer must inform the final customer of the need for a revision appliance to be manufactured which is accessible from the outside.
9.6. Important information on filiform corrosion (= growth of traces of fibrous corrosion under painted surfaces which, under certain con-ditions, may be brought about by the moisture and electrolyte con-tent in the atmosphere, e.g. in coastal areas): The customer is hereby advised that, based on the best available technology, filiform corrosion in powder-coated alu-minium parts/other painted com-ponents can only be reduced if the long sections have undergone an
anodisation process. This does not apply to small parts. The pre-anodi-sation does not mean that the in-spection of whether our product is resistant to a maritime climate can be dispensed with. This also applies to excessive sanding.
The utilisation risk shall be borne by the customer.
10. Warranty/obligation of inspection and of notification of defects in writing/compensation for damage
10.1. Variations in colour, design, etc. which are normal in the trade are not defects. The same applies to deviations in our products from samples or patterns. We warrant that the products are free from manufacturing defects and defects in the material and that any assem-bly work insofar as it is, in excep-tional cases, carried out by our-selves or by a company instructed by us, shall be carried out properly. However, we give no guarantees that the design and make-up of the ordered items comply with the pro-visions under public law for the intended purpose.
10.2. Upon delivery, the goods should be inspected immediately to ensure that they are as ordered and should be checked for defects. Such checks must be carried out at the latest on our customer’s premises. Should the customer arrange for delivery to be made to a third-party loca-tion, e.g. the customer’s home, all risks arising from direct delivery shall pass to the customer as soon as the consignment has left the supplier’s works. Faults must be re-ported to us in writing without de-lay and received by us no later than 8 days after delivery. Faults which only appear during the period of guarantee shall be subject to the same procedure and period of notice. The period of notice shall commence on the day the defect occurs. Failure on the part of the customer to comply with the obli-gation to examine and to lodge a complaint about faults shall invali-date the warranty.
10.3. In the event of improper delivery, providing that the customer has fulfilled his/her obligation of in-spection and of notifying defects in writing, as set out in Section 377 HGB (German Commercial Code), we shall be liable as follows: Should there be a defect in the purchased item, we shall, at our discretion, be entitled to rectify the defect or to supply a fault-free product (reme-dy). We shall only be liable if the defect is substantial. Should either or both types of remedy be impos-sible or unreasonable, we shall be entitled to refuse to provide a rem-edy. We shall also be entitled to refuse to provide a remedy so long as the customer fails to make pay-ments corresponding to the fault-free portion of the service. Should remedy be impossible or ineffec-tive, the customer has the option of reducing the purchase price to an appropriate level or of withdraw-ing from the agreement as provid-ed for in law. This shall apply espe-cially to any culpable delay of or refusal to provide a remedy as well as to cases where a remedy has failed a second time. In addition to the above, reference is made to the special conditions for awning fab-rics which are also part of our con-tractual relationship.
10.4. Notwithstanding any agreements to the contrary below, no other customer claims shall be accepted irrespective of the legal basis (espe-cially claims for damages arising from an infringement of ancillary obligations under the contract; un-lawful acts, or any other tortious liability and claims for reimburse-ment of expenses, with the excep-tion of those set out in Sect. 439 Para. 2 BGB (German Civil Code)). This applies especially to claims for damages not directly related to the purchased item as well as to claims W
