REQUIREMENTS TO BECOME A PERSONAL OR PREMIER CUSTOMER OF CAYMAN NATIONAL BANK LTD.

If you reside in the Cayman Islands, we recommend that you visit us and arrange to speak with a Personal or Premier Banking Relationship Manager1, who will give you a brief overview of Cayman National Bank and the full range of financial products and services we provide. Our Relationship Manager will assist you in determining which of our products and services best meet your needs and guide you through the account opening process. You will receive an account opening package containing the application forms, which can be completed by you at the time of your visit, or you can return with the completed forms and additional required documents (refer to the attached Account Opening Documentation checklist) at a later date.

If you do not wish to complete the application forms that are available on-line, we invite you to phone (345) 949-4655 and arrange to speak with a Personal or Premier Banking Relationship Manager, who will answer any questions you may have and arrange to forward an account opening package to you. Simply complete the application forms, and return them to us with the additional required documents included on the attached Account Opening Documentation checklist.

Please note that any identification and address confirmation documents you mail to us must be certified, notarized, or, in the case of some address confirmation, originals. If your documents do not meet these criteria, it will delay the account opening process.

JOINT ACCOUNT AGREEMENT - DEPOSIT ACCOUNTS

1. The undersigned hereby authorize Cayman National Bank Ltd. (Hereinafter "Cayman National") to:

a. Open an account(s) in the joint names of the undersigned and to honour all cheques drawn on the account signed by * of the undersigned or the survivor (s), not withstanding that the debiting of any such cheques to the account (s) should cause it/them to be overdrawn or any existing overdraft in the account to be increased thereby, and the undersigned hereby agree that any liability incurred hereunder shall be joint and several.

b. Place to the credit of the account(s) carried on the books of Cayman National in the joint names of the undersigned and subject to withdrawal by *

The proceeds of any cheques, promissory notes, bank and express money orders or other orders for the payment of money, bonds, debentures, coupons of other securities (hereinafter referred to as Instruments), signed or drawn payable to or the property of the undersigned or any of them, including instruments which may be deposited or delivered to Cayman National by any person for the credit of the undersigned or any one of them.

2. It is understood that all monies now or hereafter from time to time deposited in the said account shall belong to the survivor(s) in the event of the death of the other(s) while such deposits continue.

The undersigned authorize the bank to permit * of the undersigned in the name of and/or on behalf of the undersigned, and in the name of and on behalf of the survivor (s) of the undersigned, to a. Draw, sign, accept and endorse promissory notes, notwithstanding that the debiting of such promissory notes to the account should cause it to be overdrawn or any existing overdraft to be increased thereby, and the undersigned hereby agree that any liability incurred hereunder shall be joint and several.

b. Withdraw any of all securities, bills, coupons or other property in the hands of Cayman National for account of the undersigned, including any box or boxes and their contents.

c .Negotiate for and take loans, overdrafts or otherwise with or without security.

d. Pledge and deposit any species of security for the repayment of such loans or overdrafts.

All securities, bills, coupons, boxes and their contents and other property now or hereafter from time to time deposited with Cayman National for account of the undersigned as aforesaid, shall, subject to any lien mortgage or charge which Cayman National may have thereon, belong to the survivor(s) absolutely in the event of the death of either/any of the undersigned.

INDEMNITY IN RESPECT OF TELEPHONE, TELEX, FAX OR EMAIL INSTRUCTIONS

To: Cayman National Bank Ltd. (Hereinafter "Cayman National") 1. There exists between us an agreement/agreements governing the operation of the account(s) held with

Cayman National and/or the facilities and other banking arrangements/services offered by Cayman National, the operation of which is/are authorized in accordance with the terms thereof (the "Mandate").

2. For the convenience of the undersigned, Cayman National is requested to rely upon and is hereby authorized to act upon any communications, whether by way of telephone, telex, fax or email transmission given by the undersigned or purportedly given by the undersigned to Cayman National to operate the Mandate (" Unauthenticated Instructions")

3. In consideration of Cayman National agreeing to act upon the unauthenticated instructions of the undersigned by

a. Waives all and any claims that the undersigned might other wise have had against Cayman National on account of Cayman National not having acted or having acted wrongly or mistakenly in accordance with any Unauthenticated Instructions for whatever reason;

b. Authorizes Cayman National to debit any account in the name of the undersigned with such sum as shall have been authorized by any Unauthenticated Instructions; and

c. Indemnifies and keeps Cayman National indemnified and saves harmless and releases and forever discharges Cayman National from and against all actions, claims, costs, demand, damages, expenses, losses and liabilities incurred or sustained by Cayman National of whatsoever nature or howsoever arising which may be brought against Cayman National either solely, jointly or with others or by way of third party actions or otherwise, or that Cayman National may suffer, incur or sustain as a result of Cayman National not having acted or having acted wrongly or mistakenly in accordance with any Unauthenticated Instructions for whatever reason.

4. It is further agreed by the undersigned that the terms of Unauthenticated Instructions:

a. Shall not alter any terms of The Mandate; and

b. Shall be regarded as a request to Cayman National and not an obligation upon Cayman National to act in any manner whatsoever.

5. In the event of any dispute between Cayman National and the undersigned as to the substance and/or true meaning and effect of any Unauthorized Instructions, Cayman National's interpretation in connection therewith shall be deemed conclusive.

Where more than one party signs this Waiver and Indemnity, the liability of each such party hereunder shall be joint and several and every agreement and undertaking on the part of the undersigned shall be construed accordingly. The release or discharge by Cayman National or otherwise of any or more of the undersigned from liability hereunder shall not release, discharge or otherwise affect the liability of the remaining parties thereto.

This Waiver and Indemnity sets out the entire agreement between us relative to the undersigned's request that Cayman National act upon Unauthenticated Instructions. None of the parties hereto is bound by any representations, collateral agreements or conditions relative thereto which are not embodied therein.

This Waiver and Indemnity shall inure and extend to Cayman National's benefit and that of Cayman National's successor or assigns. It shall be binding upon the undersigned's heirs, administrators, executors, legal representatives, successors and assigns.

CLIENT AGREEMENT AND DISCLOSURE STATEMENT

"Account" means a personal deposit Account that the Client has in his/her/their name(s). "Cayman National" means Cayman National Bank Ltd. "Branch" means the branch of Cayman National where the account is held. "Client" means any or all of the account holders for personal banking accounts or any other account other than a personal account used for business.

"Personal Client" means the account holder of a personal account. "Debit Card" means Cayman National debit card issued to a client. "Overdraft Limit" means the overdraft limit that Cayman National has set for an account at the

client's request.

AGREEMENT

1. General: This Client Agreement and Disclosure Statement apply to each and any account. It replaces the "General Regulations and Conditions for conducting Business with Cayman National Bank Ltd".

If a transaction is made on an Account, it will mean that the Client has received and read this Client Agreement and Disclosure Statement. It will also mean that the Client has read, understands and agrees with the contents of this Agreement and Disclosure Statement.

2. Use: The Account may be used for personal banking needs. A newly opened Account will not be used until Cayman National authorizes the Client to do so. The Client hereby declares that all credits to the Client's account(s) are and will be beneficially owned by the Client

3. Service Prices: The Client must pay for all service prices that apply to an Account, as set out in the Disclosure Statement. These service prices will be charged to the Client's Account(s).

4. Overdrafts: Cayman National may set an Overdraft Limit for an Account and may change it periodically. Cayman National will advise the Client in writing what the Overdraft Limit is, when it is set or changed.

The Client agrees not to overdraw an Account beyond its Overdraft Limit. Cayman National may refuse to honour a withdrawal request made against the Account or to pay a cheque or other payment if there are insufficient available funds including the Overdraft Limit in the Account to honour the withdrawal request or to pay a cheque or other payment order. Cayman National may refuse to do so even if Cayman National has previously honoured withdrawal requests against the Account previously paid cheques or other payment orders that resulted in the Overdraft being exceeded or an increase in the amount by which that Overdraft Limit was exceeded.

5. To Accounts: The Client may make transactions on an Account at any Branch of Cayman National in the Cayman Islands as may be permitted from time to time. However,

a. If a Personal Client has a Cayman National Bank debit card, the Personal Client may also make transactions on an Account at other places subject to the Personal Client's agreement with Cayman National governing the use of the Personal Client's debit card (and personal identification number if required) and

b. If the Client has arranged for Account access through devices such as Cayman Global or Cayman in Touch, Cayman National will permit the Client to also make transactions on an Account at other places through those devices, subject to the Client's agreement(s) with Cayman National governing the use of those devices.

6. Survivorship: If the Personal Client is more than one individual, the Account will be joint with right of survivorship.

7. Foreign currency accounts: The Client assumes, with respect to the said Account, full and complete responsibility and liability for any decrease due to taxes or depreciation in the value of funds credited to the said Account (which may be deposited by Cayman National in the name of Cayman National with such depository and in such place as Cayman National may in its absolute discretion select) and the unavailability of such funds due to restrictions on convertibility, requisitions, involuntary transfers, distortions of any character, exercise of military or usurped powers or other causes beyond the control of Cayman National.

8. Agency: The Client may appoint an attorney to act for the Client in respect of an account. However Cayman National may refuse to honour any Account Transaction made by the attorney if his appointment has not been made in accordance with Cayman National's procedures. The Client may find out what these procedures are by writing to Cayman National.

9. Hold on Funds: Cayman National has the right to hold any cheque, instrument or other item deposited to an Account, and to defer the Client's right to withdraw funds represented by such a deposit, until Cayman National receives payment for the cheque, instrument or other item. Cayman National also has the right to refuse to accept a deposit to an Account.

10. Adjustments: Cayman National may debit an Account at any time if a cheque, instrument or other item is dishonoured or not paid for any reason whatsoever. The Client waives presentment for payment, notice of dishonour, protest and notice of protest on all cheques, instruments and other items requiring such action.

11. Account Verification: The Client must examine promptly all account statements for an Account and each entry and balance recorded in them.

The Client must notify Cayman National in writing of any errors, omissions or objections to the statement, entries and balances for an Account within 30 days from each Account statement date.

The C l ient must a lso not i fy Cayman Nat iona l immediately upon becoming aware of a forgery and /or upon having reason to suspect that a document was forged pertaining to the Client's Account.

If the Client does not notify Cayman National as required, Cayman National is entitled to treat the above statements entries and balances as complete, correct and binding on the Client and Cayman National will be released from all claims by the Client in respect of those statements, entries and balance.

12. Use of Account as Collateral: The Client may not give anyone other than Cayman National a security interest in any funds in an Account, whether by assignment, hypothec, transfer or otherwise.

13. Application of Funds: Cayman National may apply the funds on deposit in an Account against any debt or obligation the Client or anyone if the Account is joint owed to Cayman National without notice to the client.

14. Changes in Disclosure Statement: Cayman National may change the interest rates, service prices and operating conditions set out in the Disclosure Statement for an Account periodically. Cayman National wil l notify the Client in the way provided in the Disclosure Statement. If the Client uses an Account or has funds on deposit in an Account after the effective date of a change, it will mean that the Client has agreed to the change.

15. Changes to Agreement: Cayman National may change this Client Agreement from time to time. The Client will be given at least 30 days prior written notice of each change. If the Client uses an Account or has funds on deposit in the Account after the effective date of the change, it will mean that the Client has agreed to the change.

16. Service Agreement: Any service that Cayman National provides to the Client other than described herein will be provided in accordance with a separate service agreement or similar document.

17. Telephone, Telex, Fax or Email Instructions: The terms of the "Indemnity in Respect of Telephone, Telex, Fax or Email Instructions" signed by the Client will apply.

18. Communications: Cayman National will send Account Statements, where applicable, and all other communications about an Account and the Client Agreement to the Client by ordinary mail, directed to the Client's address last appearing on Cayman National's records. The Client will send all communications about an account and this Client Agreement to Cayman National at the Branch where the Account is maintained.

19. Joint Accounts: The terms and conditions of the Joint Account Agreement signed by the Client will apply.

20. Legal and Tax Advice: The client acknowledges that Cayman National is not qualified to advise on legal or tax matters. The Client furthermore represents to Cayman National that legal and tax advice has been taken from professionals on taxes and legal matters affecting the Client and the Client's Account in all jurisdictions where the Client may be subject to the laws of such jurisdictions.

21. Collection and Use of Information: Cayman National may collect credit and other information about the Cl ient f rom any source, and may use th is information to establish and maintain a banking relationship with the Client. Cayman National may give credit or other financial related information about the Client to other members of the Cayman National Group and other persons for the purpose of offering their products and services to the Client and commercial and consumer reporting agencies and, at the request of the Client, to persons with whom the Client has or may have financial or other business dealings.

22. Account Closure: Cayman National will close an Account if the Client asks Cayman National to do so. Any funds deposited in a personal joint Account the Client asks to close may only be withdrawn by cheque or other withdrawal signed in accordance with the terms of the Joint Account Agreement.

Cayman National may close an account if the Client does not conduct it in accordance with this Disclosure Statement and the general law. Payment of funds for a personal joint Account closed by Cayman National will be made to all account holders jointly.

23. Client Indemnity: The Client hereby indemnifies Cayman National against any and all legal fees and/or expenses that Cayman National, in its absolute discretion, may incur in obtaining any advice and/or in taking any action to recover any sum due from the Client to Cayman National and/or in relation to any matter arising out of and/or in connection with this Client Agreement. Cayman National is entitled to deduct from any Account of the Client any such legal fees and expenses upon incurring such legal fees and expenses.

24. Governing Law: This Client Agreement shall be governed by and construed in accordance with the laws of the Cayman Islands and the client hereby submits to the jurisdiction of the courts of the Cayman Islands on any matter relating to this Agreement.

DISCLOSURE STATEMENT

1. General: This Disclosure Statement applies to each Account the Client has with Cayman National. 2. Notification of Changes: Cayman National will notify the Client of changes in interest rates, service prices and other operating conditions set out in this Disclosure Statement for an Account as outlined below:

a. Service Prices: Cayman National will notify the Client of changes in the service prices applicable to an Account annually, including new service prices:

i. By written notices displayed in the Branches, ii. By written messages on any Account Statement, and iii. By written messages on our website www.caymannational.com and via Cayman Global

b. Other Operating Conditions: Cayman National will notify the Client of changes in the operating conditions applicable to an Account and the interest rate applied to an account overdraft in the way set out above.

3. Currency of Payment: Unless otherwise stated in this Disclosure Statement, the service prices and interest that apply to an Account are payable in the currency in which the Account is maintained. 4. Problems & Concerns: If the Client has a complaint about an Account, or the disclosure or manner of calculating overdraft interest in respect of an Account, the Client may write to the Branch Manager where the Account is held. 5. Service Fees Brochure: The service fees brochure and interest rates for an Account accompanying this Disclosure Statement applies to each Account the client has with Cayman National. This brochure forms part of this Disclosure Statement.
