MetropolitanCommunityCollege(MCC),apubliccommunitycollegedistrictandpoliticalsubdivisionoftheStateofMissourilocatedinKansasCity,Missouri,extendsaninvitationtoqualifiedproviderswiththenecessaryresourcesandexperiencetosubmitproposalstoeffectrepairsorreplacementsonHVACequipmentonanemergencybasis.AttachisalistofcurrentequipmentinplaceatallMCClocations.Wearecurrentlyreviewingreplacementofsomeoftheolderequipment.MCCexpectstocontractwithtwoorthreevendorsforthison‐callservice.Theawardedbidder(s)willbeexpectedtorespondtoanemergencycallwithinonehourbyphoneorotherdirectcommunications.Repairsorplansforreplacementwillbeexpectedtocommencewithin2(two)hours.WeekendsorHolidaysmaybeneededtocompletetheserepairs.Wecannotpredictwhichitemswillneedtoberepairedorwhichwillneedtobereplaced.Inthepast12monthsMCChasseenover$350,000inemergencyHVACrepairsandreplacements.BidderQualifications

Services thatare tobeprovidedshallbeperformedbyqualifiedand trainedservicepersonnel thataredirectlyemployedbytheServiceCompany.Subcontractingportionsofservicesrequestedinthisspecificationshallnotbeallowedwithoutpriorconsent.

ScopeofWork

EmergencymaintenanceservicesshallbeprovidedbytheServiceCompanyonallequipmentandassociateddevices related to theHVAC systems, especially those listedon the equipment list. The servicewill includerepairlaborandpartsorunitreplacement,forallsystemsandequipmentthathavefailedandneedtobeputbackintoservicewithashortturnaround.1. The successful bidder (Contractor) must repair, replace and inspect component and systems in accord

withmanufacturer’sinstructionsforthefollowing: HVACComponents,SystemsandEquipment Freezers ChilledWaterCoolingSystems Boilers

The list of manufacturers to be servicedmay include but not limited to: Carrier, Trane, York, Lennox,McQuay,Marley,Caldor,Century,Kewanee,Deschamps,Dunham‐Bush,Burnham,KramerandBallySeries

2. The Contractor shall recommend replacement equipment and provide installation services of newequipmentuponrequest.

3. Repair and Replacement estimates shall be provided by the contracted vendor at no additional charge.

MCCreservestherighttodetermineiftherepairsand/orworkshallproceed

4. MCCreservestherighttobidprojectsseparatelyatanytimeduringthetermofthiscontractandanyofitsextension

5. TheContractormustprovideStandardWarranty.Submitwithyourbidresponse,theStandardWarranty

Obligation.

6. TheContractorshallbeavailableforserviceseven(7)daysaweek,twenty‐four(24)hoursperday.

7. The Contractor shall verbally confirm the initial request for emergency service within one (1) hour ofnotificationandshallhaveaqualifiedservicetechnicianonthejobsitewithintwo(2)hoursoftheoriginalnotification. In the event repairs cannot be completedwithin the initial response, the Contractor shallmakeeveryefforttoprovidelimitedrepairtoallowforeffectivefunctioningofthesystemuntilcompleterestorationcanbemade.

8. TheContractorshallconducttheworkinamannerthatwilleliminatehazardstopersonsandpropertyinthearea. Areasunderconstructionshallbemarkedwithtemporarybarricades,ribbonorothermethodsnecessarytoprovidesafetywarningtothepublic.

9. The Contractor shall remove from the premises and properly dispose of all waste material and debrisresulting from allwork. The Contractor shall keep packaging,waste and debris picked up as theworkprogresses.

10. Hourlycharges,ifapplicable,aretobeginwhentheservicetechnicianarrivesatthejobsiteorreportstotheappropriate campus superintendent. TheContractor shall not commenceanyworkuntil thepropercampusfacilitypersonnelhasbeennotified.TheContractorwillnotbeallowedtraveltime.

11. Prior tocommencinganywork, theContractormayberequired toprovidea “Not toexceedworkordercost estimate”. The estimate shall be reviewed and approved by the campus Superintendent or theDirectorofFacilities.Thisestimatemayberequiredonworkconsidered“New”and/or“Repair”atMCC’sdiscretion.TheestimatemaybeoralorwrittenatMCC’sdiscretionanddoesnotnegatetherequirementfortimeandmaterialstobedetailedonsubmittedinvoices.

12. TheContractorshallberesponsibleforproviding,maintainingandtransportingallnecessaryandcustomaryequipment,toolsandfuelneededtofulfillthecontract.InnoeventshallMCCberesponsibleforanydamagestoanyoftheContractor’sequipmentorclothinglost,damage,destroyedorstolen.

ForContractswithTheJuniorCollegeDistrictofMetropolitanKansasCity,MissouriakaMetropolitanCommunityCollege,apubliccommunitycollegedistrictandpoliticalsubdivisionoftheStateofMissouri(“MCC”).PursuanttoMissouriRevisedStatute285.530,allbusinessentitiesawardedanycontractinexcessoffivethousanddollars ($5,000)withaMissouripolitical subdivisionmust, asa condition to theawardofanysuchcontract,beenrolled and participate in a federal work authorization program with respect to the employees working inconnectionwith the contracted servicesbeingprovided,or tobeprovided, toMCC (to theextentallowedbyE‐Verify). In addition, the business entity must affirm the same through sworn affidavit and provision ofdocumentation. GeneralTermsandConditions

1. Contract Documents. This Bid Request, these General Terms and Conditions, Contractor’sResponseForm,includingwithoutlimitationanycompletedformsrequiredbyContractorundertheBidRequest,andMCC’s Notice of Award letter shall form a binding agreement and shall bemade a part of any Agreement(“Agreement” or “Contract”) executed between MCC and the winning Contractor regarding the subject matterherein.

2. Governing Law. Any Contract issued as a result of this Bid Request shall be constructed inaccordancewiththelawsofthestateofMissouri.

3. SovereignImmunity.MCC,duetoitsstatusasapoliticalsubdivisionofthestateofMissourianditsentitlementtosovereignimmunity,isunabletoacceptcontractprovisionsthatrequiretheindemnificationofothers. Any indemnity language in proposed terms and conditions will be modified to conform to languageacceptabletoMCC.

4. Compensation.

4.1. Fees. Unless otherwise stated in the Bid Request, MCC agrees to pay all undisputedamountswithinthirty(30)daysofreceiptofaproperly itemizedinvoice. TheContractoragreesthatnoother payment of any kind shall be due for services provided hereunder. Any services that causeContractor to so exceed this amount without a proper contract amendment or addendum shall beperformedatContractor’ssoleriskandliabilityandMCCshallhavenoobligationstherefore.

4.2. Performance. No payment made under any Agreement shall be proof of satisfactoryperformanceoftheAgreement,eitherinwholeorinpart,andnopaymentshallbeconstruedasacceptanceofdeficientorunsatisfactoryservice.

5. RulesandRegulations. Contractor covenants and agrees that Contractor shall observe allMCCpolicies and procedures, as well as all rules, regulations, and security requirements concerning the safety ofpersonsandproperty.

6. Non‐Discrimination. MCC is an equal opportunity/affirmative action employer. If applicable,Contractor,inperformingtheworkrequiredbytheAgreement,agreestocomplywiththeapplicableprovisionofExecutive Order 11246 issued by the President of the United States, September 24, 1965, and the applicableprovisionsoftheVietnamEraVeteransReadjustmentAssistanceActof1974andtheRehabilitationActof1974,allasamended,andtocomplywiththeRulesandRegulationsissuedthereunder,assetforthat41CFR§10.1‐4(a),and41CFR§60‐250. Contractoragreesnottodiscriminateagainstanyemployeeorapplicant foremploymentbecause of race, color, religion, age, sex, sexual orientation, gender identity, disability, national origin, veteranstatusoranyotherstatusprotectedbyapplicablelaw.ThisContractorandsubcontractorshallalsoabidebythe requirements of 41 CFR § 60‐300.5(a), and 41 CFR § 60‐741.5(a). These regulations prohibitdiscriminationagainstqualifiedprotectedveteransandqualifiedindividualsonthebasisofdisabilityandrequire affirmative action by covered prime contractors and subcontractors to employ and advance inemploymentqualifiedprotectedveteransandindividualswithdisabilities.

7. Compliance with Laws. Contractor represents and warrants that Contractor shall observe,perform, and complywith all federal, state, and local laws, ordinances, rules, regulations, and all amendmentstheretowhich inanymannermayaffect theoperationsandactivitiesundertakenbyContractorpursuant to theAgreement.

8. Employee Eligibility Verification. If a contract will exceed $5,000, Bidder shall execute andsubmitanaffidavit,inaformprescribedbyMCCandincludedinthisBidRequest,affirmingthatBidderdoesnotknowingly employ any person in connectionwith the contracted serviceswho does not have the legal right orauthorization under federal law towork in the United States as defined in 8U.S.C. §1324a(h)(3). 9. OSHA10‐REQUIREDSAFETYTRAINING.TheConstructionSafetyTrainingAct,Section292.675RSMo,requiresallcontractorsandsubcontractorswhoenterintocontractswithpublicbodiesforconstructionofpublicworks to train theiron‐siteemployees regarding thepotentialhazards theymayencounter.The trainingmay be accomplished by providing a standard OSHA 10‐hour construction program (taught by an OSHA‐authorized instructor) or a similar program approved by the Division of Labor Standards. On‐site employeesinclude:

i. workersdirectlyengagedinconstructionattheprojectsite;ii. workers at nearby or adjacent facilities used by the contractor or subcontractor for

construction;iii. workersengaged in the transportationofmaterials, fuelorequipment fromoneplaceon the

siteofconstructiontoanotherplaceon‐site;andiv. drivers who deliver materials, fuel, or equipment to the site if they assist in loading or

unloadingthedeliveryvehicleonceattheprojectsite,orengageinanyotherworkatthesite.On‐siteemployeeswhohavenotcompletedrequiredsafetytrainingwithin60daysofbeginningworkonaprojectatthelatestmustberemovedfromtheprojectandtheemployerwillbesubjecttopenaltiesasdescribedintheAct.

10. NoDebarment. Contractorrepresentsthat it isnotdebarredorsuspendedfromdoingbusinesswith the federal government and/or any state government, and shall notify MCC if it becomes debarred orsuspendedduringtheTermoftheAgreement.

11. ImmigrationLawCompliance.Contractorcertifiesandagreesthat:i. Contractordoesnotknowinglyorintentionallyemployindividualswhoareineligibletoworkin

theUnitedStatesinviolationofanyfederalorapplicablestateorlocallaws;ii. Any Contractor employee assigned to perform services under this Agreement has satisfied

federal I‐9requirementsand, to thebestofContractor'sknowledge is lawfullypresent in theUnitedStates;

iii. Contractor does not have any knowledge that any Contractor employee assigned to performservicesunderthisAgreementisineligibletoworkintheUnitedStates;

iv. ContractorisenrolledinandparticipatesinafederalworkauthorizationprogramasrequiredbyMissourilaw,RSMo295.525and.530;

v. ContractorwillimmediatelynotifyOwnerofanyinvestigationorlegalproceedinginvolvingthefederal or state government or of any requests by the U.S. Immigration and CustomsEnforcementtoinspectContractor'sI‐9orotheremploymentrecords;

vi. ContractoragreestoindemnifyOwnerforanyfines,legalfees,orothercostsincurredbecauseofinvestigationsintothestatusofContractor'semployeesorwhetherContractor'semployeesareauthorizedtoworkintheUnitedStates;and

12. Termination. ShouldMCC become dissatisfied with the Contractor’s products and/or services,MCC shall give notice to the Contractor and Contractor shall have (10) days to remedy the issue(s). ShouldContractornotsatisfactorilyremedytheissue(s),MCCshallissuealettertoterminatetheAgreement.Saidletterwillprovidetheeffectivedateofterminationbutinnocasewilltheeffectivedateofterminationbelessthanthirty(30)days.TheMCCreservestherighttoterminatetheAgreementwithoutcausebygivingtheContractorwrittennoticeof its intent to terminateat least thirty(30)daysbeforetheterminationdatesetout in thenotice. In theeventofsuchtermination,MCCshallonlybeliableforpaymentofservicesdeliveredpriortotheterminationdate.

13. Appropriations. MCCisapoliticalsubdivisionofthestateofMissouriandassuchcannotcreate

indebtednessinanyoneyearabovewhatitcanpayoutoftheannualincomeofsaidyear.ShouldMCCdetermineithasnotreceivedadequateappropriationsbudgetallocationsincometoenableittomeetthetermsofthisContract,MCCreservestherighttocancel thisContractwitha30days’notice. Multi‐yeartermandsupplycontractsandleasesandtheexerciseofoptionstorenewaresubjecttoannualappropriations.

14. ConstructionBondsandPrevailingWages.

14.1. PrevailingWages. If these specifications or any contract require prevailing wage, theContractor shall pay no less than the prevailing hourly rate of wages to all workmen performingworkundertheAgreementasfoundbytheDepartmentofLaborandIndustrialRelationoftheStateofMissouriin the applicable Wage Determination Order effective as of the date of bidding of this Project for thelocationoftheProject. Contractorshall followandenforceallrequirementsofthePrevailingWageLaw.ToensureContractor’scompliancewiththeforegoing:

i. ContractorandallsubcontractorsshallsubmitcertifiedpayrollrecordstotheMCC.ii. Beforemakingfinalpayment,ContractorandallsubcontractorsshallsubmitanAffidavittothe

MCCstatingtheyfullycompliedwiththeprevailingwagelaw.iii. Contractor shall forfeit as apenalty toMCC ten (10)dollars for eachworkmanemployed for

eachcalendarday,orportionthereof,ifsuchworkmanispaidlessthanthesaidstipulatedratesforanyworkdoneunder theAgreement,bysuchworkmanoranysubcontractorundersuchworkman.

iv. Contractor'sbondsshall includesuchprovisionsaswillguaranteethefaithfulperformanceoftheprevailingwageclauseasprovidedbycontract.

v. Contractorrecordsshallbeinspectedperiodicallyandwhencomplaintsaremadepertainingtothewagepaidallworkmenperformingthework.

vi. Beforefinalpaymentismadeonthecontractanaffidavitmustbefiledbythecontractorstatingthathehasfullycompliedwiththeprevailingwagelaw.

14.2. Performance&PaymentBonds.IfthesespecificationssorequireandwhentheContract

Sumexceeds$25,000,theContractorshallprocureandfurnishaPerformancebondandaPaymentbondintheformpreparedbytheOwner.Eachbondshallbeintheamountequaltoonehundredpercent(100%)oftheContractSum,aswellasadjustmentstotheContractSum.ThePerformanceBondshallsecureandguarantee Contractor’s faithful performance of this Contract, including but not limited to Contractor’sobligation to correctdefects after finalpaymenthasbeenmadeas requiredby theContractDocuments.The Payment Bond shall secure and guarantee payment of all persons performing labor on the Projectunder this Contract and furnishingmaterials in connectionwith this Contract. These Bonds shall be ineffect through the Duration of the Contract plus the Warranty Period as required by the ContractDocuments.PricesquotedfortheScopeofWorkinthisBidRequestshallincludethecostoftheseBonds.

15. Confidential Information. As used herein, "Confidential Information" will mean any ideas,strategies,plans,purposes,and/oragendasthatMCCmayseektoadvance,anyreportsandinformationgeneratedby Contractor, and educational and/or other confidential information related to students (Information). BothduringthetermoftheAgreementandthereafter,Contractorcovenantsandagrees(i)toholdsuchinformationintrust and confidence and to exercise diligence in protecting and safeguarding such information, aswell as anyotherinformationprotectedfrompublicdisclosurebyfederalorstatelaworbythepoliciesorproceduresofMCC,(ii)thatContractorwillnotknowinglyusetheInformation,directlyorindirectly,forContractor’sownbenefit,orfor thebenefitofanother,but insteadwillusesuch informationonly for thepurposescontemplatedhereunder,(iii)thatContractorwillnotdiscloseanyconfidentialinformationtoanythirdparty,exceptasmayberequiredinthecourseofperformingservices forMCChereunderorby law,(iv) thataccess to theeducationrecordsofanystudentshallbeincompliancewiththeFamilyEducationalRightsandPrivacyAct,and(v)thatContractornotbe

deemed a spokesperson for MCC in anymanner for the purpose of disseminating any information hereunder,excepting such information that is related to the Purpose and content and format for dissemination of suchinformation is mutually agreed to by the parties. Notwithstanding the foregoing, Contractor's obligations ofconfidentialitywill not include information that (i) at the timeofdisclosurewas in thepublicdomain, (ii) aftersuchdisclosure,immediatelybecomesgenerallyavailabletothepublicotherthanthroughanyactoromissionofContractor,and(iii) isrequiredtobedisclosedbyacourtofcompetent jurisdiction,providedthatpriorwrittennoticeofsuchdisclosureisfurnishedtoMCCinatimelymannerinordertoaffordMCCtheopportunitytoseekaprotective order against such disclosure and the disclosure is strictly limited to the information that the courtrequires. Afterexpirationor terminationof theAgreement,Contractormust returnall confidential informationgiven to or generated by him hereunder within five (5) days of MCC's written request. Contractor agrees thatContractorwillcomplywithMCC'sinstructionsregardingthereturnordispositionofitsconfidentialinformation,includinganycopiesorreproductions.

16. RemediesforDisclosure.Contractorunderstandsandagreesthatanyunauthorizeddisclosureoruse of any confidential information as provided under this article may result in MCC seeking injunctive relief.ContractoragreestogivepromptnoticetoMCCofanyunauthorizeddisclosure,use,ormisappropriationofanyconfidentialinformationandtakeallstepsasrequestedbyMCCtolimit,stop,orotherwiseremedythedisclosure,use,ormisappropriationofanyconfidentialinformation.AllstepstakenbyContractorrelatingtoremedyshallbeatitssoleexpense.

17. Warranty. The Contractor expressly warrants that all equipment, products, materials, suppliesand/or servicesprovided shall: a)basedonamanner consistentwith thehighestdegreeof care, diligence, andskill;b)conformtoeachandeveryspecification,drawing,sampleorotherdescriptionfurnishedtooradoptedbyMCC;c)befitandsufficientforthepurposeexpressedintheBID;d)bemerchantable;e)beofgoodmaterialsandworkmanship;and f)be free fromdefect foraperiodofoneyearafteracceptanceofeachproject. Ifsoftware isapplicable to BID specifications, Contractor represents andwarrants that, upon delivery and installation of theSoftware and for the duration of the Agreement, the Software shall conform in all material respects to theapplicableSpecifications.ContractorrepresentsandwarrantsthattheDocumentationfurnishedbyContractortoMCCwillincludecomplete,accurateandcurrentdescriptionsoftheSoftware’sfunctionality,features,terminologyandoperationaswellasformats,tablesanddictionariesfordataandfilesnecessaryfortheSoftware’soperation,and trainingasprovided forherein. Contractorrepresentsandwarrants that ithas fullpowerandauthority togranttherightsgrantedtoMCCwithrespecttotheProductswithouttheconsentofanythirdpartyorsuchconsenthas been obtained and that the Products furnished hereunder will not infringe or violate any copyright, tradesecret,trademark,patentorotherintellectualpropertyrightsofanythirdparty;andthereisnolitigationpendingagainst Licensor or its licensorswhichwould limit, restrict or preventMCC’s use of the Products. Contractor’sobligation and liability, and MCC’s remedy, with respect to any breach of the foregoing warranty shall be forContractor to provide at no charge to MCC the services required tomake the Software operate as warranted;however, if inContractor’sreasonable judgment,repairorreplacementisnotpossibleorpracticable,Contractorshall refund toMCC the total amount of fees paid for the Software and related Professional Services under theAgreement.

18. Inventions, Patents, and Copyrights. The Contractor shall pay for all royalties, license fees,patentorinventionrights,orcopyrightsanddefendallsuitsorclaimsforinfringementsofanypatentorinventionrights, or copyrights involved in the items furnishedhereunder. TheContractor shall defend, protect, andholdharmless MCC, its officers, agents, servants, and employees against all suits of law or in equity resulting frompatent andor copyright infringement concerning the contractor’sperformanceorproductsproducedunder thetermsofthecontract. CopyrightsforanyitemdevelopedforMCCshallbethepropertyofMCCandinureto itsbenefitandtheContractorshallexecutesuchdocumentsasMCCmayrequirefortheperfectionthereof.

19. LiabilityRequirements.

19.1. Insurance. Contractoragreestomaintainthefollowinginsurancethroughoutthetermofthe Agreement: a) workers’ compensation and employer’s liability for its employees in amounts asrequiredbyMissouri law;b)automobile insurance, to includeuninsuredandunderinsuredmotorists, in

the minimum amounts of $1,000,000 per occurrence and $2,000,000 in the aggregate; and c) generalliabilityintheamountsof$1,000,000peroccurrenceand$2,000,000intheaggregate,whichshallincludestudents,participants,volunteers,propertydamage,andcontractuallyassumedliabilityandnameMCCasanadditional insured. Upontheexecutionof theAgreement,Contractoragrees toprovideMCCproofofinsurancewhichshallincludethestipulationshereunderandstatethatsuchcoveragewillnotbecancelledwithout thirty (30) days written notice. Failure to so provide or maintain any insurance as requestedhereunderwillnotrelieveitofanycontractualobligationorresponsibilityherein.

19.2. Indemnification. Contractor shall indemnify, defend, and hold MCC, MCC’s trustees,

officers,employees,agents,andrepresentativesharmlessagainstanyandallclaims,demands,suits,costs,judgments,orotherformsofliability,actualorclaimed,includingreasonableattorneys’fees,forinjuryordamagetopersonsorlossordamagetopropertyoccurringorallegedlyoccurringinconnectionwithanyaction, inaction, or conduct committed by Contractor or by Contractor’s officers, directors, employees,students,volunteers,agents,orrepresentativesduringthetermoftheAgreement.

19.3. NoWaiver. The foregoingprovisions shall not bedeemeda relinquishmentorwaiver of

any kind of applicable limitations of liability provided or available to MCC under applicable Missourigovernmentalimmunitieslaw.

20. Tobacco‐FreePolicy.ContractoragreestostrictlyabidebyMCC’stobacco‐freepolicy,meaningall

typesofsmokingandsmokelesstobaccoproductsareprohibited.Atalltimes,MCCshallhavetherighttoenforcesuchpolicypursuanttothetermsoftheAgreementandunderlaw.

21. Powers and Authority. Neither party may sign any document, perform any act, or make anycommitmentnorundertakingonbehalfoftheotherpartywithoutsuchotherparty’sexpresswrittenconsent.

22. SuccessorsandAssignments. TheAgreement shall not be assignedby eitherpartywithout thepriorwrittenconsentoftheotherpartyandunlessspecificallystatedtothecontraryinanywrittenconsenttoanassignment, no assignment will release or discharge the assignor from any duty or responsibility under theAgreement.

23. Assignment of Services. It is understood the Contractor shall not assign or subcontract the

services in the Agreement without the written consent of MCC, and subject to MCC’s approval of saidsubcontractor’sexpertisetocompletetheassignedportionoftheservices.ContractoragreestoindemnifyMCCforanycostsand/orexpenses,inwholeorinpart,thataredueanysubcontractorsorsuppliersforservicesprovidedundertheAgreement.

24. Independent Contractor. The parties agree the terms of the Agreement do not constitute aformationofapartnership, jointventure,employer‐employee,orotherrelationshipandno formofagencyexistbetween the parties. The Contractor represents and warrants that it is now and shall remain a separate andindependent entity from MCC. Accordingly, no employee, contractor, subcontractor, supplier, agent, orrepresentative of Contractor shall be deemed to be the employee, contractor, subcontractor, supplier agent, orrepresentative ofMCC. Contractor shall have on filewithMCC prior to services being performed a Request forTaxpayerIdentificationNumberandCertificationform(W‐9).Contractorshallbesolelyresponsibleforanyactsoromissions of its employees, aswell as payment of all invoice tax, FICA, FUTA, and other tax liabilities for saidemployees,andagreestoindemnifyMCCinaccordancewiththeindemnificationprovisionsundertheAgreement.

25. ForceMajeure. Neither party shall be liable for damages or have the right to terminate the

Agreementforanydelayordefaultinperformanceifthedelayordefaultisduetoconditionsbeyondtheircontrol.Suchconditionsinclude,butarenotlimitedto,anactofGod,governmentrestriction,oranyothercausebeyondthereasonablecontrolof thepartyobligatedtoperformandwhichcannotbeovercomebyreasonablediligenceandwithoutunusualexpense.

26. Severability.Ifforanyreason,anyterm,covenant,orconditionhereofshallbedeterminedtobe

invalidorunenforceable,theremainderoftheprovisionshereinshallremaininfullforceandeffectandshallnotbeaffectedthereby.

27. Survival. All representations, warranties, and indemnifications made herein shall surviveterminationorcancellationoftheAgreement.

28. NoThirdPartyBeneficiaryRights.Nothirdpartymayenforceorrelyuponanyobligationof,or

theexerciseoforfailuretoexerciseanyrightof,MCCorContractorintheAgreement.NothingintheAgreement,whetherexpressorimplied,isintendedtocreateanyrightsorremediesonanythirdpartybeneficiary.

29. Remedies. All rights and remedies of the parties, in law or equity, are cumulative andmay be

exercisedconcurrentlyorseparately.Theexerciseofone(1)remedywillnotbeanelectionofthatremedytotheexclusionofotherremedies.

30. Non‐Waivers. Nodelayoromissionby theparties in exercisingany rightunder theAgreementshalloperateasawaiverofthatoranyotherright.Awaiverorconsentgivenbyapartyonanyoneoccasionshallbeeffectiveonlyinthatinstanceandshallnotbeconstruedasabarorwaiverofanyrightonanyotheroccasion.

31. EntireAgreement. TheContractDocumentsconstitute theentireagreementandunderstandingbetweenthepartiesandsupersedesalloffers,negotiations,discussions,andotheragreements,withrespecttothesubjectherein,andmaynotbeamendedexceptbythemutualwrittenagreementoftheparties.

32. Execution. TheAgreementmaybeexecuted in counterparts,which together constituteoneand

thesameAgreement.IfapartysendsasignedcopyoftheAgreementviadigitaltransmission,suchpartywill,uponrequestbytheotherparty,provideanoriginallysignedcopyoftheAgreement.NomemberorofficerofMCCincurspersonal liabilityby the execution ordefault of theAgreement. MISSOURI WAGE AND LABOR STANDARDS

A. It is the statutory policy of the State of Missouri “that a wage of no less than the prevailing hourly rate of wages for work of a similar character in the locality in which the work is performed, shall be paid to all workmen employed by or on behalf of any public body engaging in public works exclusive of maintenance work.” Section 290.220.RSMo. Because of the strict penalties prescribed for the failure to comply with the procedure required by law in order to effectuate this policy, the following is suggested as a primary “check off list” to be used by every person charged with any responsibility under the law before taking off on any public works project.

B. The prevailing hourly rate of wages in this locality for each type of workman needed to execute the contract and also the general prevailing rate for legal holiday and overtime work, all as determined by the Division of Labor Standards. See attached exhibit.

C. The Contractor shall forfeit as a penalty to the College on whose behalf the contract is awarded, ten (10) dollars for each workman employed for each calendar day, or portion thereof, such workman is paid less than the said stipulated rates for any work done under said contract, by him or any subcontractor under him.

D. Contractor’s bonds shall include such provisions as will guarantee the faithful performance of the prevailing wage clause as provided by contract.

E. Contractor records shall be inspected periodically and when complaints are made pertaining to the wage paid all workmen employed in the construction of the public works.

F. All contractors and each subcontractor engaged in any work shall submit certified copies of their weekly payrolls to the contracting body for work performed on the project.

G. Before final payment is made on the contract an affidavit must be filed by the contractor stating that he has fully complied.

Emergency HVAC Services Agreement

This Emergency HVAC Services Agreement (Agreement) is entered into by and between the Junior College District of Metropolitan Kansas City, Missouri, a public community college district and political subdivision of the State of Missouri, a/k/a Metropolitan Community College (MCC), with a principal address of 3200 Broadway, Kansas City, Missouri 64111, and ______________________________ a Kansas corporation (“Contractor” or “vendor”), with a principal address of ________________________________________.

Contractor is in the business of providing HVAC services and has submitted a written proposal in response (Contractor’s Response) to MCC’s Bid Request No. 15-7101-C1R2 Emergency HVAC Repairs or Replacements, dated October 20, 2015 (BID), collectively incorporated herein by reference.

MCC desires to retain Contractor as an independent contractor and not as an employee or agent, to perform emergency HVAC repair and/or replace Services, and the Contractor represents and warrants to MCC that it has demonstrated a high degree of experience, training, and proficiency in its conduct of various prior and similar functions, that it has the required expertise and resources and that it is technically and professionally capable of performing the obligations under this Agreement. Contractor further represents that it shall provide adequate personnel, trained in proper HVAC preventative maintenance methods, and techniques to properly and satisfactorily maintain all equipment and associated devises related to MCC’s HVAC systems.

The Contractor assures MCC that its trained service personnel are directly employed by Contractor and are properly licensed. Further, Contractor assures MCC that any services subcontracted hereunder shall be with MCC’s prior written consent, and such subcontractor’s trained service personnel shall be properly licensed and directly employed by said subcontractor.

In consideration of the foregoing, and the mutual covenants and agreements contained in this Agreement, the parties hereby agree as follows:

1. Qualified Personnel. The Parties agree that Contractor may subcontract the Plumbing and Electrical services hereunder. Contractor and its subcontractors shall maintain proper staffing levels of its employees in order to provide and fully execute HVAC Services in the time and manner provided for in this Agreement:

1. Scope of Services. Contractor agrees to maintain proper staffing levels of its employees in order to provide emergency HVAC Services in the time and manner provided for in the BID, Contractor’s Response, and this Agreement. Contractor shall submit a written proposal for each scope of work requested by MCC. Contractor shall perform each scope of services as detailed in a mutual written agreement between the parties in the form of a Work Order similar to Exhibit A, attached hereto and incorporated herein.

2. Prevailing Wages. Contractor shall pay no less than the prevailing hourly rate of wages to all workmen performing work under this Agreement as found by the Department of Labor and Industrial Relation of the State of Missouri in the applicable Wage Determination Order effective as of the date of bidding of this Project for the location of the Project. Contractor shall follow and enforce all requirements of the Prevailing Wage Law. The Contractor and all subcontractors shall submit certified payroll records to the Owner. Before making final payment, the Contractor and all subcontractors shall submit an Affidavit to the Owner stating they fully complied with the prevailing wage law.

3. Term. The term of this Agreement shall be from November 20, 2015, through November 19, 2016. This Agreement may be renewed for two (2) additional one (1) year period, upon the mutual written agreement of the parties. Pricing increases for any renewal period will be limited to the CPI or five percent (5%), whichever is lesser.

4. Performance Bond. If applicable, prior to delivery of any services, Contractor shall furnish to MCC a performance bond in an amount to be determined by MCC.

5. Termination. Should MCC become dissatisfied with the vendor’s products and/or services, MCC shall give notice to the vendor and vendor shall have thirty (30) days to remedy the issue(s). Should vendor not satisfactorily remedy the issue(s), MCC shall issue a letter to terminate vendor. Said letter will provide the effective date of termination but in no case will the effective date of termination be less than thirty (30) days. MCC may terminate the contract for convenience at any time by giving notice to vendor of its intent to terminate at least sixty (60) days prior to the effective date of termination. In the event of termination, MCC will be liable only for payment of the products or services delivered prior to the termination date.

6. Payment.

6.1. MCC agrees to pay all undisputed amounts within thirty (30) days of receipt of a properly itemized monthly invoice.

6.2. Contractor understands and agrees that its annual compensation under this Agreement shall not exceed $__________________. Contractor has the sole responsibility to monitor its total invoice billings under this Agreement. Should Contractor provide any HVAC Services without the express written authorization of MCC which may cause the total compensation under this Agreement to exceed the total compensation in amount referenced above, Contractor shall be deemed to have performed such HVAC Services at Contractor’s sole expense, risk and liability and MCC shall have no obligation to compensate Contractor for such HVAC Services.

6.3. Contractor agrees to indemnify MCC for any costs and/or expenses, in whole or in part,

that are due any subcontractors or suppliers for services provided under this Agreement.

6.4. No payment made under this Agreement shall be proof of satisfactory performance of this Agreement, either in whole or in part, and no payment shall be construed as acceptance of deficient or unsatisfactory service.

7. Confidential Information. Contractor acknowledges that it, its employees, assigns, contractors, and subcontractors may, through the performance of this Agreement, have access to confidential information of MCC, its employees, staff, contractors, students, and/or tenants of the MCC’s buildings. Contractor covenants and agrees that it and its employees, assigns, contractors, and subcontractors shall not disclose any such confidential information or any other information protected from public disclosure by federal or state law in any manner, either directly or indirectly, and that it and its employees, assigns, contractors, and subcontractors will protect such information and treat it as strictly confidential. This provision will continue to be effective after the termination of this Agreement.

8. Disclosure of Proprietary Information. A Contractor may restrict the disclosure of software codes, records relating to the configuration of computer components and/or the operation thereof, and intellectual property in which it has a proprietary interest but only if such information is defined as a "closed" record under Missouri law, including, but not limited to, one or more subsections of Section 610-021, R.S.Mo. In order for any such information or record to be closed, each page of each such document must include in at least sixteen (16) point bold font the words “Proprietary Information.” After either a contract is executed pursuant to the BID or all proposals are rejected, if access to documents so marked is requested under the Missouri Sunshine Law, MCC will notify the Contractor(s) of the request, and it shall be the burden of each Contractor to establish that the Contractor's documents are exempt from disclosure by law as aforesaid. If the Contractor shall not cooperate with MCC after notice as provided herein, MCC may, in its sole discretion, disclose the Contractor's documents/records/information to the requester without liability to the Contractor for any such disclosure under any theory of common or statutory law. Notwithstanding the foregoing, in response to a formal request for information, MCC reserves the right to release any documents, records and/or information which MCC determines is a public record subject to disclosure pursuant to the Missouri Sunshine Law.

9. Insurance. Contractor agrees to maintain the following insurance throughout the term of this Agreement: a) workers’ compensation and employer’s liability for its employees in amounts as required by Missouri law; b) automobile insurance, to include uninsured and underinsured motorists, in the minimum amounts of $1,000,000 per occurrence and $2,000,000 in the aggregate; and c) general liability in the amounts of $1,000,000 per occurrence and $2,000,000 in the aggregate, which shall include students, participants, volunteers, property damage, and contractually assumed liability and name MCC as an additional insured. Upon the execution of this Agreement, Contractor agrees to provide MCC proof of insurance which shall include the stipulations hereunder and state that such coverage will not be cancelled without thirty (30) days written notice. Failure to so provide or maintain any insurance as requested hereunder will not relieve it of any contractual obligation or responsibility herein. The foregoing provisions shall not be deemed a relinquishment or waiver of any kind of applicable limitations of liability provided or available to MCC under applicable Missouri governmental immunities law.

10. Indemnification.

10.1. Contractor agrees to indemnify, defend and hold harmless MCC, its Board of Trustees, agents, directors, officers, employees, students, invitees and representatives from any and all claims, judgments, penalties, fines, suits, administrative proceedings, losses, damages, expenses, fees (including attorney fees), costs, judgments or liability including statutory liability and liability under workers’ compensation laws that may be asserted against Contractor, its agents, employees, Employees, assigns, contractors, subcontractors, invitees, or representatives arising out of any act or failure to act by Contractor or its Employees in connection with the performance of the HVAC Services.

10.2. Contractor shall give written notice to MCC of the assertion of any such claim or the

commencement of any litigation for which indemnification is sought within thirty (30) days of the claim notice or of litigation commencement; MCC shall cooperate with Contractor, at Contractor’s sole cost and expense in the defense of such claim or litigation; however, Contractor may not enter into any settlement or release that does not include a complete release of MCC from all liability with respect thereto, or that imposes any liability, obligation or restriction on MCC without the prior written consent of MCC.

10.3. Contractor releases MCC from any and all liability or responsibility to Contractor or anyone claiming through or under Contractor by way of subrogation or otherwise for any loss or damage to equipment or property covered by insurance then in force.

10.4. The foregoing provisions shall not be deemed a relinquishment or waiver of any kind of

applicable limitations of liability provided or available to MCC under any applicable state or federal governmental immunities law, are subject to Missouri law and not inconsistent with sovereign immunity, and this indemnification shall survive the termination of this Agreement.

11. Force Majeure. If performance of this Agreement or any obligation under this Agreement is

prevented, restricted, or interfered with by causes beyond either party’s reasonable control (Force Majeure), and if the party unable to carry out its obligations gives the other party prompt written notice of such event, then the obligations of the party invoking this provisions shall be suspended to the extent necessary by such event. The term Force Majeure shall include, without limitation, acts of God, fire, explosion, vandalism, storm or other similar occurrences, orders or acts of military or civil authority, or by national emergencies, insurrections, riots, wars, strikes, lock-outs, or work stoppages. In the event of a Force Majeure event, either party may give the party written notice thereof within five (5) days of the discovery thereof; said notifying party shall take all steps reasonably necessary under the circumstances to mitigate the effects of the force majeure event; provided, however, that in the event a Force Majeure event as described in this section extends for a period in excess of thirty (30) days, either party may immediately terminate this Agreement.

12. Notice. All notices or communications required or permitted under this Agreement shall be in writing and sent by certified mail, return receipt requested or via overnight courier to the respective addresses listed above or to such other address as one party may later be furnished by written notice from the other party. Legal notices to MCC shall be sent to the attention of the Chief of Staff, Kathy Walter-Mack.

13. Non-Discrimination. Contractor agrees that it will comply with all federal and state laws

pertaining to equal employment opportunity, and will not discriminate against any person on the basis of race, color, religion, national origin, sex, sexual orientation, age, veteran status, physical or mental disability, or other protected class status.

14. Severability. If any provision of this Agreement shall be held to be invalid or unenforceable for

any reason, the remaining provisions will continue to be valid and enforceable. 15. Waiver. The failure of either party to enforce any provision of this Agreement shall not be

construed as a waiver or limitation of that party’s right to subsequently enforce and compel strict compliance with every provision of this Agreement.

16. Remedies. All rights and remedies of the parties, in law or equity, are cumulative and may be

exercised concurrently or separately. The exercise of one (1) remedy will not be an election of that remedy to the exclusion of other remedies.

17. Successors and Assignments. This Agreement shall not be assigned by either party without the prior written consent of the other party. Should the Agreement be assigned by consent, unless specifically stated to the contrary in said written consent to such assignment, no assignment will release or discharge the assignor from any duty or responsibility under this Agreement.

18. Powers and Authority. Neither party may sign any document, perform any act, make any

commitment nor undertaking on behalf of the other party without such other party’s express written consent. 19. No Agency. Nothing in this Agreement shall create an agency, partnership, or joint venture

between MCC and Lessee. 20. Tobacco-Free Policy. Lessee agrees to strictly abide by MCC’s tobacco-free policy, meaning

all types of smoking and smokeless tobacco products are prohibited. At all times, MCC shall have the right to enforce such policy pursuant to the terms of this Agreement and under law.

21. Compliance with Laws. During the performance of its obligations under this Agreement,

Contractor agrees to comply with and perform the HVAC Services hereunder in strict accordance with all applicable federal, state, county, city, and local laws, including without limitation, all codes, ordinances, resolutions, standards and policies, as now existing or hereafter adopted or amended. Contractor further agrees to comply with the policies and procedures of MCC, as now existing or hereafter adopted or amended.

22. Governing Law. This Agreement is governed by and constructed in accordance with the laws

of the state of Missouri. 23. Entire Agreement. This Agreement constitutes the entire agreement and understanding

between the parties with respect to the subject matter hereto and supersedes all offers, negotiations, discussions, and other agreements that occurred prior to the date of the execution of this written Agreement. Any amendments to this Agreement must be in writing and executed by both parties.

24. Execution. This Agreement may be executed in counterparts, which together constitute one

and the same Agreement. If a party sends a signed copy of this Agreement via digital transmission, such party will, upon request by the other party, provide an originally signed copy of this Agreement. No member or officer of MCC incurs personal liability by the execution or default of this Agreement. All such liability is released by Lessee as a condition of and consideration of the execution of this Agreement.

1. Scope of Services. Contractor agrees to provide professional design, environmental, geotechnical, and materials testing services for the Project as described in this Work Order and as further detailed in Attachment 1, Contractor’s Proposal.

2. Time of Commencement and Period of Service. Contractor’s services shall begin immediately upon execution of this Work Order, and shall be performed as expeditiously as is consistent with professional skill and care and the orderly progress of the Project. The Schedule, which may be modified by mutual agreement, is attached as part of Attachment 1, Contractor’s Proposal.
