Payment and Milestone Schedules
General Explanation of a Milestone starting with Submission of Design Documentation
The Prime Contractor shall submit Design Documentation to the Employer for approval in accordance
with this Clause, the Particular Specification and the agreed Submittals Schedule.
Within 30 days of the date of signing of the Contract the Contractor shall prepare in consultation withthe Employer and submit to the Employer for approval a schedule (in this Clause referred to as theSubmittals Schedule) that shall contain:
i) A summary description of the several designs and drawings required to be prepared by the
Prime Contractor in connection with the Execution of the Works; and
ii) In relation to each design and drawing, or each group or category of designs and drawings as
may be agreed between the Employer and the Prime Contractor, a programme showing the
dates for submission thereof to the Employer and the periods within that the Prime
Contractor proposes that the Employer should be required to respond to the relevant designs
or drawings submitted by the Prime Contractor, that periods shall allow for the requirements
of Clause ???. The programme shall be structured to attain the Milestones, Access Dates,Key Dates and the Key Date for Revenue Service.
The principle is the same for the construction of the Prime Contract Works as can be seen from the procedures
for payment detailed below.
1 CONTRACT PRICE
1.1 NATURE OF CONTRACT PRICE
1.1.1 The Prime Contract Price is a fixed price lump sum amount that covers all amounts due tothe Prime Contractor for the Execution of the Works required in connection with the PrimeContract Works. This is a fixed price lump sum contract. The Prime Contractoracknowledges and agrees that it has satisfied itself completely that the Prime Contract
Price includes adequate provision for all the items required for the Execution of the Worksand all things necessary for the proper Execution of the Works in order to meet and/orfulfil the object, obligations, responsibilities and liabilities set in Clause ???.
1.1.2 The Prime Contractor acknowledges and agrees that it has included in the Prime ContractPrice for all and any such items and that no extra payment will be allowed for any reasonexcept as expressly provided herein.
1.1.3 The Prime Contract Price is not subject to re-measurement or fluctuation and neither is tobe adjusted by reason of the actual quantities of work executed being more or less than theestimated quantities used in the calculation of the Prime Contract Price.
2 BREAKDOWN OF PRIME CONTRACT PRICE
2.1 The Prime Contract Price is payable to the Prime Contractor in accordance with the
provisions of Appendix 4. The breakdown of the price must be detailed in:a) Cost Centres for each part of the Prime Contract Works,b) Cost Centre shown as a percentile of the Prime Contract Price,c) The Cost Centre Breakdown,d) A milestone breakdown of each Cost Centre and also shown as a percentile of the Cost
Breakdown, andc) A set of Key dates for each Cost Centre and for respective parts of practical completion.
2.2 Monthly Statements
On the first day of each calendar month following receipt by the Prime Contractor the Instruction to
Commence the Prime Contractor shall submit to the Employer a statement relating to the previouscalendar month. These statements shall conform to the requirements of Appendix 4 (why Appendix
4? There are other Appendices that will precede this).

2.3 Interim Certificate
The Employer shall within 14 days of receiving the statements under Clauses 14.6 (to be expanded)and if it is satisfied that the estimated amounts to that the Prime Contractor considers itself entitled are
properly due to the Prime Contractor and that the Prime Contractor has duly performed all itsobligations under the Prime Contract that are required to have been performed by it at the date of suchapplication, issue a progress certificate as provided in Appendix 4 approving for payment andcertifying amounts due to the Prime Contractor in respect of the amounts claimed to be due. If theEmployer is not satisfied as regards any of the matters aforesaid, the Employer may to the extent thatthe Employer is not so satisfied reject the statements of the Prime Contractor but without prejudice tothe right of or the Prime Contractor to re-submit such statement at a later date. The Employer may, inany certificate, make amendments or modifications to previously issued certificates on the groundsthat such certificates contained errors or to reflect any changes to the Interim Payment Schedules.
2.4 Payments
It is a condition precedent to the Employers obligation to make the first payment (including payment
Advance Payment Works) to the Prime Contractor that the Employer has issued an Instruction to
Commence and has received:-i) The Performance Bonds required pursuant to Clause 4.2;ii) The Parent Company Guarantees required pursuant to Particular Conditions, if any, Clause
4.2;iii) The programme required by Clause 8.3 (to be expanded by the Employers requirements) in
a form approved by the Employer;iv) Copies of the cover notes relating to the insurances to be effected by the Prime Contractor
pursuant to Clause 18 (as may be expanded); andv) The price breakdown referred to in Clause 14.4 (to be expanded-Appendix 4) in form and
substance satisfactory to the Employer.
It is a condition precedent to the making of the Advance Payment (if any) to the Prime Contractor that
the Employer has received the Advance Payment Bonds required by Clause14.2.
Within 14 days of the date of issue by the Employer of such interim payment certificate under Clause14.6 (see Appendix 4) or within 28 days of the date of submission of the statements of the PrimeContractor under Clause 2.2 above provided that the Employer is satisfied with and/or does not rejectsuch statements, whichever is the later, the Employer shall pay to the Prime Contractor the amountstated as due in such interim payment certificate, such amount shall have taken due account ofretention as provided by Clause 2.6 below.
2.5 Final Account
Not later than six weeks after the expiry of the Defects Correction Period the Prime Contractor shallsubmit to the Employer a statement of final account with supporting documentation showing in detail
the value in accordance with the Prime Contract of the work done in accordance with the PrimeContract. Within three months after receipt of these final accounts and of all information reasonably
required for their verification the Employer shall issue final certificates to the Prime Contractorstating the amount that in its opinion is finally due (if any) under the Prime Contract up to the expiryof the Defects Correction Period and after giving credit to the Employer for all sums previously paidby the Employer.
These certificates shall, save in the case of fraud or dishonesty relating to or affecting any matter dealtwith in the certificates, be conclusive evidence as to the value of the part of the Works in questionunless any proceedings arising out of the Prime Contract shall have been commenced by either party
before the final certificates have been issued or within one month thereafter.
2.6 Retention

The amount of retentions to be made pursuant to Clause 0 shall be a sum equal to 10% of the amountdue in each monthly certificate to the Prime Contractor in respect of all Cost Centres other than Cost
Centres (refer to Appendix 4) up to a limit of 5% of the Prime Contract Price. In the event that thePrime Contract Price is amended then sufficient retentions shall be made from further monthly
certificates due to the Prime Contractor to ensure that the Employer continues to have a retentionequal to 5% of the amended Prime Contract Price in its hands.
2.7 Release of Retentions
The retention deducted from interim payments made to the Prime Contractor shall be released by theEmployer to the Prime Contractor in the following amounts and at the following times:
Within 21 days after the issue of a Taking-Over Certificate in respect the Works pursuant to Clause10 a sum equal to one half of the retention money deducted under Clause 2.4 from payments made tothe Prime Contractor at the date of issue of such certificate;
Within 21 days after the issue of the Defects Correction Certificates and provided that the Prime
Contractor has delivered all documentation required under Clause 9 (to be expanded to include Sub-
Contract Warranties, Test Certificates, Licences, training manuals, As-Build Drawings etc.) 42.5percentile of the retention money deducted under Clause 2.4, provided always that if at such timethere remains to be executed by the Prime Contractor any outstanding work referred to under Clause10 (to be expanded) or any works ordered during such period pursuant to Clause 11 or if there is anyother dispute or difference between the Prime Contractor and the Employer the Employer shall beentitled to withhold payments until the completion of such works of so much of the retention moneyas shall in the opinion of the Employer represent the cost of the works so remaining to be executed orthe amount of the liability of the Prime Contractor in respect of such dispute or difference.
The Employer shall retain 7.5 percentile of the retention money deducted under Clause 2.6 until thecompletion of the Prime Contractors operational assistance obligations described in Clause (to bewritten in or reference to the Employers Requirements). This portion of the retention money shall be
released to the Prime Contractor within 21 days after the completion of such obligations.
If different Defects Correction Periods, become applicable to different parts of the Contract Works,pursuant to Clause (to be considered and where applicable included), the expression expiry of theDefects Correction Period shall for the purposes of Clause 11 be deemed to mean the expiry of thelatest of such periods in respect of the Contract Works.
2.8 Interest on Overdue Payments
If the Employer fails to make due payment in accordance with Clauses 2.4 above and, if applicable,Particular Conditions of Contract, it shall pay to the Prime Contractor interest upon any payment
overdue thereunder at the Prime Contract Interest Rate.
2.9 InvoicingAll payments due and payable to the Prime Contractor under this Prime Contract shall be made by the
Employer to the specified Bank account or separate bank accounts of the Japanese-Affiliated PrimeContractor (as notified in writing from time to time by them) according to their separate invoicessubmitted to the Employer, specifying the relevant amounts to be paid to each of them.

APPENDIX 4
PAYMENT
1 General
1.1 The Employer shall pay part of the Prime Contract Price to the Prime Contractor as indicated in the
summary of schedule of Contract Prices in this Appendix 4.
1.2 The Employer shall pay the Construction Price to the Prime Contractor as indicated in the summary of
schedule of Contract Prices in this Appendix 4.
1.3 Payments shall be made separately as provided in Particular Conditions of Contract Clause 14 (to be
developed).
1.4 The total of part of the Prime Contract Price and the Prime Construction Price shall be the total amount
to be paid to the Consortium Members for executing and completing the Works and for performing all
other obligations under the Contract, save only as such prices may be amended by entitlements
determined under the Contract.
2 Part of the Prime Contract Price
2.1 Cost Centres: Part of the Prime Contract Price is divided into Cost Centres that are shown on theschedule of Contract Prices in this Appendix 4. The Prices should be recognised by civil, architectural
and M&E works (whether Elevated and Depot or Just Underground)
2.2 Advance Payment
2.2.1 The Employer shall make an advance payment of [ ] (being [ ]% of part of the Prime Contract Price)
to the Prime Contractor within [28] days of having received from the Supplier the advance payment
guarantee referred to in Clause 4.2 of the Conditions of Contract.
2.2.2 All interim monthly progress payments in respect of the Cost Centres shall be subject to a deduction of
10 percentile of the amount in Clause 2.2.1 here above starting from month 6 until the amount of the
advance payment has been repaid.
2.3 Payment
2.3.1 Payment in respect of all Cost Centres except Cost Centre 14 (Operational Support if applicable) and
Cost Centre 15 (Optional Equipment, if any) shall be made pursuant to the interim payment schedules
and the milestone schedules in respect of the relevant Cost Centres.
2.3.2 The Works are divided into fifteen Cost Centres (or what is agreed to suit the Key Dates) that are named
in accordance with their scopes of work. The schedule of Contract Prices included with this Appendix 4
provides a general preliminary breakdown of the work under each Cost Centre. The sum of the prices for
part of the Prime Contract within each Cost Centre are the Cost Centre values that are used together with
the interim payment schedules for the calculation of monthly payment certificates.
2.3.3 The Cost Centre values shall be exclusive of Value Added Tax that shall be added to payments at the rate
in force under the Laws of Vietnam from time to time. The scope and extent of the Works are determined
from the Contract as a whole and shall not be limited in any manner by the descriptions in the scheduleof Contract Prices.
2.3.4 The milestone schedule lists milestone objectives for work under each cost centre that the Prime
Contractor must achieve by the due dates shown. The milestone schedule may be amended from time to
time to ensure that the work to be achieved under each Milestone and the due date reflect the Works
Programme that is current at the time. The purpose of the milestone schedule is for the Employer to
maintain reasonable control over the payments to the Prime Contractor in relation to the value of work
done. The first Milestone in each Cost Centre shall occur within three months of the commencement of
payment under that Cost Centre and further Milestones shall be spaced no more than five months apart
until the value of interim payments in the Cost Centre has reached 95%. For Cost Centre No 1
Preliminaries, Milestones shall be selected from other Cost Centres such that the requirements for
milestone control of payments are met.

2.3.5 Interim payment schedules set out the percentage of each Cost Centre value that the Prime Contractor
shall be entitled to in each calendar month of the Contract. The entitlement to payment and the interim
payment schedules shall commence in the first calendar month following the month in that the
Instruction to Commence is given. The start, completion and rate of payment under each Cost Centre
shall reflect the value of work done under each Cost Centre as may be determined by examination of the
Works Programme current from time to time.
2.3.6 The interim payment schedules and milestone schedules are included in this Appendix 4.
2.3.7 If by reason of an Employer's Variation (Clause 13), acceleration of the Contract Works (Clause to be
considered), the grant of an extension of time (Clause 8.4) or a suspension of the Works (Clause 8.8), the
Prime Contractor considers that the percentages in the interim payment schedules relevant to it and/or the
relative values of the Cost Centres relevant to it no longer reflect the revised programme, it may submit
proposals to the Employer for the revision of the percentages in the interim payment schedules and/or the
values stated in the Cost Centres to take account of such Employer's Variation, acceleration, extension of
time or suspension. In preparing such proposals the Prime Contractor shall ensure that the level of
overall payment in any month does not exceed the level of overall payment determined from the Cost
Centre.
2.3.8 If the Employer agrees with such proposals it shall, following review thereof, revise the percentages in
the interim payment schedules or the values of the Cost Centres accordingly.
2.3.9 Each application for payment made by the Prime Contractor pursuant to Clause 14 shall state the amount
claimed and shall set out the value according to the Cost Centres and the interim payment schedules (as
most recently revised) together with any further amounts claimed pursuant to Clause 13. The Employer
shall in accordance with the provisions of Clause 14 (to be expanded) review, and subject to the
provisions of Clause 2.3.13 of this Appendix 4 and of Clause 14, certify for payment the amount due to
the Prime Contractor.
2.3.10Interim payments shall be made in accordance with percentages of the value of the current Cost Centres
as given in the current interim payment schedules and schedule of Contract Prices, subject to the
achievement of any Milestones relating to progress for the month applied for.
2.3.11If any Milestone is not achieved by the due date (or any revised date substituted therefor in accordance
with the provisions of the Contract) then the Employer shall not in any interim payment certificate issued
after the current due date for achieving that Milestone certify or include the payment relating to the
achievement of that Milestone that would have been due in accordance with the interim payment
schedule until such time as the Milestone is actually achieved.
Provided that if the Milestone is achieved not later than 14 days within the calendar month in that the
Milestone is due as aforementioned, then the provisions of this Clause 2.3.11 of this Appendix shall not
apply.
The withholding of payment in any interim certificate under this Clause 2.3.11 is in addition to and not in
substitution for any other rights and remedies of the Employer under the Contract or at law.
In addition, if and to the extent that the failure to meet any Milestone by the due date therefor has
resulted in the Employer incurring additional expenses (but excluding for this purpose interest costs and
disruption costs as contemplated under Clause 8 then the Employer may certify the amount of such
expenses and this certified amount shall be deducted by the Employer from the amount of payments to be
made to the Prime Contractor on achievement of the Milestone in question.
2.3.12If the Prime Contractor fails to achieve any Milestone the procedures set out below shall apply:
i) Payments relating to the Cost Centre to that the relevant Milestone relates shall be suspended at
the interim payment schedule percentage (or any amended percentage pursuant to Clauses 2.3.8
and 2.3.13 of this Appendix 4) applicable to the month prior to the month in that the Milestone
was due to have been achieved;
ii) Payments so suspended shall be resumed by being included in the next application for interim
payment made after the Milestone is achieved, at the percentage shown in the interim payment
schedule for the month in that that Milestone was due to have been achieved.

2.3.13If the Prime Contractor has failed to meet a Milestone for more than three consecutive months, the Prime
Contractor may request that the Employer, in addition to performing any review or revision referred to in
Clause 2.3.8 of this Appendix 4, carry out a review of the relevant interim payment schedule.
The Supplier shall include with its request both a revised milestone schedule and a revised programme
for the Works each reflecting the sequence and schedule required for the Prime Contractor to complete
the Works, including the delayed milestone activity, by the Key Date for Revenue Service, (as extendedpursuant to Clause 33).
If, upon review of the Prime Contractor submitted documentation, the Employer considers it appropriate,
the Employer may prepare revised interim payment schedules and revised milestone schedules to
properly reflect the progress of the Works already made and thereafter anticipated to be made.
3 The Prime Construction Price
3.1 Cost Centres: The Prime Construction Price is divided into Cost Centres that are shown on the attached
schedule of Contract Prices.
3.2 Payment
3.2.1 Payment in respect of all Cost Centres except Cost Centre 14 (Operational Support where applicable) and
Cost Centre 15 (Optional Equipment where applicable) shall be made pursuant to the interim paymentschedule and the milestone schedules in respect of the relevant Cost Centres.
3.2.2 The Works are divided in to fifteen Cost Centres that are named in accordance with their scope of work.

work under each Cost Centre. The sum of the prices for the Prime Contractor within each Cost Centre

3.2.7 Acceleration of the Works (Clause to be considered under Particular Conditions - I presume there may be
no provision?), the grant of an extension of time (Clause 8.4) or a suspension of the Contract Works
(Clause 8.8), the Prime Contractor considers that the percentages in the interim payment schedules
relevant to it and/or the relative values of the Cost Centres relevant to it no longer reflect the revised
programme, it may submit proposals to the Employer for the revision of the percentages in the interim
payment schedules and/or the values stated in the Cost Centres to take account of such Employer's
Variation, acceleration, extension of time or suspension. In preparing such proposals the PrimeContractor shall ensure that the level of overall payment in any month does not exceed the level of
overall payment determined from the Cost Centre.

3.2.8 If the Employer agrees with such proposals it shall, following review thereof, revise the percentages in
the interim payment schedules or the values of the Cost Centres accordingly.
3.2.9 Each application for payment made by the Prime Contractor pursuant to Clause 14.3 shall state the
amount claimed and shall set out the value according to the Cost Centres and the interim payment
schedules (as most recently revised) together with any further amounts claimed pursuant to Clause 13.
The Employer shall in accordance with the provisions of Clause 14.3 review, and subject to theprovisions of Clause 3.2.13 of this Appendix 4, certify for payment the amount due to the Prime
Contractor.
3.2.10Interim payments shall be made in accordance with percentages of the value of the current Cost Centres
as given in the current interim payment schedule and schedule of Contract Prices, subject to the
achievement of any Milestones relating to progress for the month applied for.
3.2.11If any Milestone is not achieved by the due date (or any revised date substituted therefor in accordance
with the provisions of the Prime Contract) then the Employer shall not in any interim payment certificate
issued after the current due date for achieving that Milestone certify or include the payment relating to
the achievement of that Milestone that would have been due in accordance with the interim payment
schedule until such time as the Milestone is actually achieved.
Provided that if the Milestone is achieved not later than 14 days within the calendar month in that theMilestone is due as aforementioned, then the provisions of this Clause 3.2.11 of this Appendix 4 shall not
apply.
The withholding of payment in any interim certificate under this Clause 3.2.11 is in addition to and not in
substitution for any other rights and remedies of the Employer under the Prime Contract or at law.
In addition, if and to the extent that the failure to meet any Milestone by the due date therefor has
resulted in the Employer incurring additional expenses (but excluding for this purpose interest costs and
disruption costs as contemplated under Clauses 2 &13) then the Employer may certify the amount of
such expenses and this certified amount shall be deducted by the Employer from the amount of payments
to be made to the Prime Contractor on achievement of the Milestone in question.
3.2.12If the Prime Contractor fails to achieve any Milestone the procedures set out below shall apply:
i) Payments relating to the Cost Centre to that the relevant Milestone relates shall be suspended at
the interim payment schedule percentage (or any amended percentage pursuant to Clause 3.2.8
and 3.2.13 of this Appendix 4) applicable to the month prior to the month in that the Milestone
was due to have been achieved;
ii) Payments so suspended shall be resumed by being included in the next application for interim
payment made after the Milestone is achieved, at the percentage shown in the interim payment
schedule for the month in that that Milestone was due to have been achieved.
3.2.13If the Prime Contractor has failed to meet a Milestone for more than three consecutive months, the Prime
Contractor may request that the Employer, in addition to performing any review or revision referred to in
Clause 3.2.8 of this Appendix 4, carry out a review of the relevant interim payment schedule.
The Prime Contractor shall include with its request both a revised milestone schedule and a revised
