MISSION STATEMENT

The mission of the Parsippany-Troy Hills Township School District, in partnership

Public Comments

In an effort to align our meeting practices with those of the Township and to insure an orderly

meeting, effective this evening the following guidelines must be adhered to for all of those who

wish to speak during the public comment section of tonight’s meeting and all future meetings:

1. Each person must sign in and will have three minutes to speak to the Board.

2. Each person must address the presiding officer.

3. Each person must recognize the authority of the presiding officer and end his or her

comments at the end of three minutes.

4. After everyone who wishes to speak has had that opportunity to do so, a person may

speak one more time to the Board for one minute.

5. Please note that we have included copies of Board of Education Bylaw 0167 – Public

Participation in Board Meeting which detail the Board’s expectations and guidelines for

18. Maternity Leaves of Absence MATERNITY

BE IT RESOLVED that the Board approve the maternity leaves of absence

as indicated below:

Employee #40508, Teacher at Eastlake Elementary School, has requested

an unpaid childcare leave of absence on or about August 31, 2017 through

November 22, 2017 pursuant to the Family Leave Act, and under the terms

of the PTHEA Agreement she is also requesting an unpaid childcare leave

of absence from November 27, 2017 through December 7, 2017.

Employee #40547, Teacher at Eastlake Elementary School, has requested

a maternity leave of absence on or about August 31, 2017 through Septem-

ber 7, 2017 utilizing her accumulated sick leave. Pursuant to the Family

will serve as the districts K-12 Assessment Management and Analytics Plat-

form for the 2017-2018 school year, not to exceed $73,206.00.

37. Qualified Purchasing Agent QUALIFIED

PURCHASING AGENT

BE IT RESOLVED, that the Parsippany-Troy Hills Board of Education ap-

prove the appointment of a District Purchasing Agent for the school year

2017-2018.

WHEREAS, N.J.S.A. 18A:18A-3 provides that contracts that do not annu-

ally exceed in the aggregate, the bid threshold (currently at $40,000), may

be awarded by the purchasing agent without advertising for bids when so

authorized by Board Resolution, and

WHEREAS, N.J.S.A. 18A:18A-37, provides that all contracts that are in

the aggregate less than 15% of the bid threshold may be awarded by the

purchasing agent without soliciting competitive quotations, if so authorized

by Board Resolution,

NOW THEREFORE BE IT RESOLVED, that Parsippany-Troy Hills Board

of Education, pursuant to the status cited above, hereby appoints Robin C.

Tedesco, Business Administrator/Board Secretary as its duly authorized

purchasing agent and the purchasing agent is duly assigned the authority,

responsibility and accountability for the purchasing activity of the Parsip-

pany-Troy Hills Board of Education, to prepare advertising for bids, to re-

ceive bids for the provision or performance of goods and services on behalf

of the Board, to award contract in the name of the Board as provided in this

Resolution and to conduct any activity as may be necessary or appropriate

to the purchasing function of the Board, and

BE IT FURTHER RESOLVED, that Robin C. Tedesco, Business Admin-

istrator/Business Administrator is hereby authorized to award contracts on

behalf of the Parsippany-Troy Hills Board of Education that are, in the ag-

gregate, less than 15% of the bid threshold (currently $6,000) without so-

liciting competitive quotations; and

BE IT FURTHER RESOLVED, that Robin C. Tedesco, Business Admin-

39. Lease Purchase LEASE PURCHASE

RESOLUTION OF THE BOARD OF EDUCATION OF THE TOWNSHIP

OF PARSIPPANY-TROY HILLS, IN THE COUNTY OF MORRIS, NEW

JERSEY APPOINTING A LESSOR RELATING TO THE LEASE

PURCHASE OF VARIOUS EQUIPMENT IN AN AMOUNT NOT TO

EXCEED $1,000,000, AND DETERMINING RELATED MATTERS IN

CONNECTION THEREWITH

The Board of Education of the (the "Board") seeks to acquire various (the

“Project”); and

WHEREAS, The Board of Education of the Township of Parsippany-Troy

Hills in the County of Morris, New Jersey (the "Board") seeks to acquire

transportation and maintenance vehicles and instructional equipment and

undertake various improvements (the “Project”) at a cost not to exceed

$1,000,000; and

WHEREAS, the Board intends to finance such Project through a tax-exempt,

lease purchase financing in an aggregate amount not exceeding $1,00,000 (the

“Lease Purchase Financing”); and

WHEREAS, the Board sought bids for such Lease Purchase Financing; and

WHEREAS, the Board, on May 31, 2017, received bids for the Lease

Purchase Financing; and

WHEREAS, the bid of US Bancorp Government Leasing & Finance, Inc.

(“US Banc”) was the most advantageous bid to the Board; and

WHEREAS, the Board seeks to execute a lease purchase agreement (the

"Lease") for the Lease Purchase Financing with US Banc in its capacity as

lessor and in accordance with its bid as set forth below; and

WHEREAS, the Board desires to set forth the basic financial terms to be

incorporated into the Lease and authorize the preparation, the execution and

the delivery of the Lease and certain other agreements necessary or incidental

to the transactions contemplated thereby;

NOW, THEREFORE, BE IT RESOLVED BY THE BOARD OF

EDUCATION THE TOWNSHIP OF PARSIPPANY-TROY HILLS IN THE

COUNTY OF MORRIS, NEW JERSEY, as follows:

SECTION 1. The Board hereby approves to finance the acquisition and

installation of the Project and other related costs and hereby awards the

financing to US Banc (as defined above). The interest rate per annum, the

principal maturities and the other terms of the financing shall be as described

in the Lease and shall be consistent with the bid submitted by US Banc on

May 31, 2017 (the “Bid”). In accordance with the Bid the interest rate shall

be 1.762% or as indexed in the Bid.

SECTION 2. The Board hereby authorizes (i) the execution and the delivery

of the Lease and other related documents, including an Escrow Agreement,

and (ii) the performance by the Board of its obligations under the Lease and

the Escrow Agreement, both to be dated the date of respective closing. The

Board further authorizes and directs the Board President (or in every instance

where the Board President is authorized to execute a document under this

Resolution the same such authority shall also be given to the Vice President),

and the Business Administrator or Assistant Business Administrator to

approve any non-material changes, additions or deletions to the Lease and the

Escrow Agreement as may be necessary in the judgment of the Board's Bond

Counsel. The Lease sets forth, among other things, the lease payments of the

Board and their respective amounts. In all respects, the Lease shall be

consistent with the terms of this Resolution.

SECTION 3. In exchange for its authorization and execution of the Lease,

the Board will receive an aggregate amount not to exceed $1,000,000, which

will be used to finance the Project and other related costs. Lease payments

under the Lease may occur on one or more dates, provided that the final lease

payment shall not extend beyond five (5) years from the date of the Lease.

SECTION 4. The Board President and the Business Administrator and

Assistant Business Administrator are hereby authorized and directed to

execute and to deliver on behalf of the Board each of the agreements referred

to in Section 2 of this Resolution and such other agreements and certificates

as may be necessary to complete the transaction contemplated by the Lease

and the Board President and Business Administrator and Assistant Business

Administrator are hereby authorized and directed to take, on behalf of the

Board, such other actions as shall be necessary and appropriate to accomplish

the lease purchase financing of the Project in accordance with the terms of the

Lease and this Resolution and pursuant to the terms of the agreements and the

instruments authorized to be prepared hereby and to accomplish the

performance of the obligations of the Board in respect thereof.

SECTION 5. The Board hereby covenants that it will comply with any

conditions subsequently imposed by the Internal Revenue Code of 1986, as

amended (the "Code"), in order to preserve the exemption from taxation of

interest on the Lease, including, if necessary, the requirement to rebate all net

investment earnings on the gross proceeds above the yield on the Lease. The

Lease will be designated as "qualified tax-exempt obligations" for purposes of

section 265(b)(3)(B)(ii) of the Code.

SECTION 6. This Resolution shall take effect immediately upon its

adoption.

2464 GIFTED AND TALENTED PUPILS

The Board of Education recognizes its responsibility to identify gifted and talented pupils within the school district and to provide these pupils appropriate instructional adaptations and services. To that end, the Board directs each such pupil in the school district be identified and offered an appropriate educational program and services.

For purposes ofthis policy, gifted and talented pupils will be defined as those exceptionally able pupils who possess or demonstrate high levels of abilities, in one or more content areas, when compared to their chronological peers in the district and who require modification of their educational program if they are to achieve in accordance with their capabilities.

The Board will develop appropriate curricular and instructional modifications to be used for gifted and talented pupils indicating content, process, products and learning environments.

The Superintendent will develop procedures, using multiple measures, for an ongoing identification process and appropriate educational challenges for gifted and talented pupils initiated in Kindergarten FIRST GRADE and reviewed annually through grade twelve. The identification methodology will be developmentally appropriate, non-discriminatory and related to the programs and services offered by the district. These procedures will be reviewed annually.

The educational program offered to gifted and talented pupils will encourage and challenge them in the specific areas of their abilities, but will not replace the basic instructional program of the various grades of this district. The program offered to a gifted and talented pupil may be infused into the pupil's regular instructional program, provided that a written description of the infusion has been prepared and filed in the pupil's record.

Programs for the gifted and talented will be periodically evaluated for their continuing efficacy and adjusted accordingly.

The parent(s) or legal guardian(s) of any pupil identified as gifted or talented shall be consulted regarding any program designed to address the pupil's particular needs.

R 2464 GIFTED AND TALENTED PUPILS

A. Identification and Selection

1. Classroom teachers will be familiar with the criteria for identifying gifted andtalented pupils and will be alert to pupils who exhibit those criteria. Theidentification methodology will be developmentally appropriate, non­discriminatory, and related to the programs and services offered by the district.

2. The teachers in the GRO or honors program will implement the studentidentification process. The review will include consideration of intelligenceratings, classroom achievements, the results of standardized testing, and teachingstaff member observation reports, and rating scales.

B. Program

1. When a pupil has been identified as gifted or talented, the gifted and talentedteacher will confer with the pupil's parent(s) or legal guardian(s) on the goals ofthe pupil's program and secure the parent(s) or legal guardian(s) cooperation andpermission for the pupil's participation in the program.

2. The enrichment needs of gifted and talented pupils can be met through a widevariety of activities and teaching strategies. Appropriate curricular andinstructional modifications will be developed for gifted pupils and the programwill address appropriate content, process, products and learning environment.

3. Each pupil's program will seek to involve the pupil in all subject areas that canprovide growth and stimulation in higher cognitive processes such asinterpretation, extrapolation, translation, application, analysis, synthesis, andevaluation.

4. No enrichment program will replace the basic instructional program appropriateto the pupil's grade level.

5. The enriched educational program for a gifted and talented pupil may consist of aout-of-class sessions with the gifted and talented teacher.

6. A classroom teacher may provide for the needs of gifted and talented pupils by:

b. Integrating multiple disciplines into the study area,

c. Allowing for in-depth learning of a topic selected by the pupil within thestudy area,

d. Developing the pupil's independent and self-directed study skills,

e. Developing research skills and methods,

f. Integrating higher level thinking skills into the curriculum,

g. Focusing on open-ended tasks THAT ARE ROOTED IN PROJECT

BASED LEARNING

h. Differentiating content process and/or learning products,

i. Encouraging the development of self-understanding, and

J. Encouraging self-appraisal and evaluation.

C. Exit Procedures

1. Each pupil identified as gifted and talented will be assessed annually for thecontinuing appropriateness of his/her enriched program. Assessment will include:

a. Interviews with the pupil, the pupil's parent(s) or legal guardian(s), andteaching staff members educationally responsible for the pupil,

b. Review of the pupil's file, including relevant NORMED test results, and

c. Review of the pupil's work in the preceding school year.

2. The program will be revised as required to meet the pupil's needs and interests.

3. The pupil may be withdrawn from the gifted and talented program when:

a. The pupil's academic record indicates a decline in performance,

b. The pupil wishes to withdraw and his/her parent(s) or legal guardian(s)consents to withdrawal, or

c. The pupil's parent( s) or legal guardian( s) requests withdrawal.

4. A decision to withdraw a pupil from the gifted and talented program will be madeby the pupil's classroom teacher, the gifted and talented teacher, the Principal, thepupil's parent(s) or legal guardian(s), and, where appropriate, the pupil.

The underlying attitude in dealing with the issue related to children in the gifted program and who miss regular class work is one of professional discretion. When addressing the issue, the following should be considered:

1. If the class work is basically a "practice" activity (repetition of skills which weretaught previously), and if the student has demonstrated skills associated with theactivity, the student need not make up the work.

2. If the class work is preparatory (activities associated with a lesson to be taught thefollowing day), the student should be expected to do the assignment. However,the teacher needs to convey the purpose of the assignment to the student and makeadjustments according to child's needs.

3. Pertinent aspects of the work should be reviewed during one-to-one conferencesbetween the student and teacher.

4. A buddy system should be employed to bring the gifted child up to date as to whatwent on during the time he/she was out of class.

5. Students have a responsibility to check assignments with the teacher before orafter each gifted/talented class.

6. The student should be involved in the decision as to whether he/she needs to makeup the missed work.

7. If the classroom work is part of an extended assignment or integrated activity, thestudent should be expected to complete the activities according to an announcedtime line. Most certainly, if the work is part of a collaborative effort, the studentshould be doing his/her assignment as his/her fair share of the group effort.

8. If it is ascertained that the student has an extraordinary amount of homework, thework the student needs to make up should be adjusted accordingly, or the time forcompletion of the work extended. PERIODICALLY, GRO TEACHERS

SHOULD CONFER WITH THE CLASSROOM TEACHER TO ENSURE

THIS ADJUSTMENT.

As much as possible, the fear of negative consequences should not dominate the issue. Since children differ as to their ability to learn, teachers should employ differentiated make up assignments as a way to have students realize that, indeed, the teacher has individualized instruction. All class work has a purpose. However, when dealing with a particular student, the missed class work can take on all the aspects of an individual prescription which is adjusted according to the academic skills of an individual student.

7435 ALCOHOLIC BEVERAGES ON SCHOOL PREMISES

The knowing possession, without legal authority, or knowing consumption of any alcoholic beverage by any person on school premises is a disorderly persons offense.

The Board of Education prohibits the possession and consumption of an alcoholic beverage, without the e*press written permission of the Superintendent, by any person in any school building and on school property or at any school sponsored activity.

The Board will report to law enforcement officials and prosecute as appropriate any person who violates law and this policy, except that any pupil who possesses or uses or is under the influence of alcohol on school premises or at any school sponsored activity will be treated in accordance with law and Policy Nos. 3218, 4218, and 5530.

School district employees who violate this policy or are present on school premises or at any school sponsored activity while under the influence of alcohol will be subject to discipline, which may include dismissal or certification of tenure charges, as appropriate.

8505 LOCAL WELLNESS POLICY/NUTRIENT STANDARDS FOR MEALS AND OTHER FOODS

The Board of Education recognizes child and adolescent obesity has become a major health concern in the United States. The Healthy, Hunger Free Kids Act of 2010 (HHFKA), funds child nutrition programs and establishes required nutrition standards for school lunch and breakfast programs. In accordance with the requirements of the HHFKA each school in the district shall implement this Wellness Policy that includes goals for nutrition promotion, nutrition education, physical activity, and other school-based activities that promote student wellness.

The Principal or a School Wellness Policy Coordinator designated by the Principal will be

responsible to ensure the school complies with the requirements in this Policy. The

Superintendent of Schools will designate a District Wellness Policy Coordinator who will

have the authority and responsibility to ensure each school in the district complies with the

requirements outlined in this Policy.

A. Wellness Policy Goals

The goals as outlined below shall apply to each school in the district.

1. Goals for Nutrition Promotion - The following activities will be coordinated ineach school in the district:

a. Age-appropriate posters will be posted on the walls where food andbeverages are served to students highlighting and encouraging the value ofgood nutrition.

b. The school lunch program will have promotional days during the schoolyear where at least one new nutritional alternative menu item will befeatured as part of the menu pattern meal component. The food servicestaff members will promote this nutritional alternative during meal servicewith posters, flyers, and/or hand-outs regarding the nutritional menu itemalternative.

c. The Principal or School Wellness Policy Coordinator desigaee' willencourage food products that meet the nutrition standards of the HHFKAwhen used as an incentive or reward for student accomplishments, club oractivity achievements, and/or success in competitions within the school.

d. Food service staff, in consultation with the Principal or School Wellness

Policy Coordinator desigaee, will coordinate obtaining student input onmenu planning that will include taste testing of new nutritional food,satisfaction surveys, and other activities that will promote nutritionawareness.

e. Food service staff will place the healthier food items in the service linewhere students are more likely to choose them.

f. Parents will be provided the nutritional standards of the HHFKA andencourage parents to pack lunches and snacks that meet the HHFKAnutritional standards.

2. Goals for Nutrition Education - The following activities will be coordinated ineach school in the district:

a. The Principal or School Wellness Policy Coordinator will ensure eachstudent receives at least one presentation per school year that promotesgood nutrition and nutrition education. These presentations may beprovided through classroom visits from school staff members trained innutrition, school-wide or group assembly programs, during health/physicaleducation classes during the school year, or any other presentationmanner. This requirement may be provided as part of nutrition educationprovided to students as part of the district's curriculum.

b. The Principal or desigaee School Wellness Policy Coordinator will postthe nutritional guidelines of the HHFKA in the area of the school buildingwhere food and beverages are served.

3. Goals for Physical Activity

[This section (3.a.) shall be included for districts with elementary schools.

a. The following activities will be coordinated in each elementary school inthe district:

(1) All students shall receive health/physical education under thesupervision of a properly certified teaching staff member asrequired by the New Jersey Department of Education.

(2) The Principal or designee will ensure there is age-appropriateequipment and supplies available during recess time for students toparticipate in physical activities.

(3) Students will be encouraged by school staff members supervisingstudent recess time to participate in some type of physical activity,which may include, but not be limited to: walking; playing gamesthat require physical activity, such as kick ball, volleyball,baseball, basketball, etc.; rope jumping; and/or using playgroundequipment.

( 4) The Principal will encourage classroom teachers to incorporatebrief, physical activity breaks into the school day to establish anenvironment that promotes regular physical activity throughout theschool day.

(2) The Board of Education may offer middle school studentsopportunities to participate in after-school intramural and/orinterscholastic team activities coordinated and under thesupervision of school staff members.

(1) Be comprised of a the Principal or designee, at least onehealth/physical education teacher, a school nurse, at least twoparents, at least two students, and at least one food service staffmember representing all school levels in the district, and the

District Wellness Policy Coordinator-;; and

(2) Meet at least four times per year to establish goals for and

The school district will celebrate a School Wellness Week, as determinedby the Superintendent of Schools, where schools will have specialactivities throughout the week to promote nutrition and physical activity.These special activities will be planned and coordinated by each school'sPrincipal and/or School Wellness Policy Coordinator Committee.

d. The Principal and/or School Wellness Policy Coordinator willencourage fund-raising activities that promote physical activity such aswalk-a-thons, teacher-student activity competitions, family activity nights,and school dances.

5. Annual School Progress Report

a. The goals for nutrition promotion, nutrition education, physical activity,and other school-based activities that promote student wellness shall beevaluated annually by the Principal or designee of each school and theschool's School Wellness Policy Coordinator Committee in an AnnualSchool Progress Report provided to the Superintendent of Schools beforeMay 1 June 30.

b. The Annual School Progress Report shall present the extent to which eachschool is in compliance with this Policy, the progress made in attaining thegoals of this Policy, any recommended changes to this Policy, and anaction plan for the following school year to achieve the school's annualgoals and objectives.

6. Annual District Summary Progress Report

a. Upon receiving the Annual School Progress Report from each school, theSuperintendent or designee District Wellness Policy Coordinator willcompile an Annual District Summary Progress Report to be presented tothe Superintendent and Board of Education at a public meeting beforeMay 30 the beginning of the current school year. The public will beprovided an opportunity to review and comment on the Annual DistrictSummary Progress Report at the Board meeting.

b. Revisions to this Policy will be recommended by the Superintendent ordesignee to be approved by the Board of Education before September 30of each school year.

7. Additional Wellness Policy Goals

a. Nothing in this Policy shall prevent an individual school in the districtfrom developing and implementing additional activities, approved by theSuperintendent or designee, to those required in this Policy.

B. Nutrition Guidelines for All Foods and Beverages

1. The Board of Education requires each school in the district to comply with theFederal school meal nutrition standards and the Ssmart Ssnacks in accordancewith the requirements HHFKA. The nutritional standards shall apply to all foodsand beverages sold in each school in the district as part of the menu pattern meal,a la carte, in school stores, snack bars, or vending machines. The .feet:lrequirements for any food or beverages sold in schools must meet a range ofcalorie and nutrient requirements as outlined in the HHFKA and a smart snack

calculator shall be on file in each school for each product sold.

2. The school district will comply with the HHFKA beverage requirements andbeverage portion requirements for each appropriate grade level elementary,middle, and seeondary sehools. Each school will make potable water available tochildren at no charge in the place where breakfast, lunch, and afterschool snacksare served during meal service.

3. On-campus fundraisers involving food or beverage items must meet the SmartSnack standards of the HHFKA. The nutrition standards of the HHFKA do notapply to non-school hours, weekends, and off-campus fundraising events. TheUnited States Department of Agriculture defines school day as starting frommidnight to thirty minutes after the end of the school day. Fundraisers involvingthe sale of food or beverages must be pre-approved by submitted to the Principalor designee and the or designee District Wellness Policy Coordinator ferappro11al.

4. The Board of Education will permit food in the school that is not sold tostudents to be brought into school by parents, students, or staff members forclassroom activities, parties, or snacks, or other food provided to students asan incentive. Any occasion where food is brought into the school for suchpurposes must be approved by the Principal or designee, who will ensuresafeguards are in place to protect students who may have a food or relatedallergy.]

C. District Coordinator

The Superintendent or designee shall be the sehool distriet offieial responsible to ensureeaeh sehool in the distriet eomplies v,ith the requirements as outlined in this Poliey.

1. The District Wellness Policy Coordinator shall be available to consult withschool-based administrators, staff members, and the School Wellness PolicyCoordinator(s) on the district's Wellness Policy.

2. The District Wellness Policy Coordinator shall also be responsible to ensureparents, students, representatives of the school food authority, teachers ofphysical education, school health professionals, the Board of Education,school administrators, and the general public are permitted to participate inthe development, implementation, review, and update of this Wellness Policy.

3. The District Wellness Policy Coordinator shall be responsible to inform andupdate the public (including parents, students, and others in the community)about the content, implementation, updates and implementation status of thedistrict's Wellness Policy through the district's website, school publications,and/or other school communications made available to the public.

a. The information and update shall provide as much information aspossible about the school nutrition environment, including a summaryof the events and activities related to the Wellness Policyimplementation in the school district.

D. Wellness Policy Assessment

1. The District Wellness Policy Coordinator will prepare an assessment of thedistrict's Wellness Policy in accordance with the requirements of the UnitedStates and New Jersey Departments of Agriculture on the extent to which theschool(s) in the district are in compliance with the district's Wellness Policy,the extent to which the district's Wellness Policy compares to model schoolwellness policies, and a description of the progress made in attaining thegoals outlined in the district's Wellness Policy.

2. The District Wellness Policy Coordinator will present this assessment to theBoard of Education at a public Board meeting, make such assessmentavailable to the public, and recommend any updates to the Policyaccordingly.

E. Records

1. The District Wellness Policy Coordinator shall ensure records are maintained todocument compliance with the requirements of the District Wellness Policy.Such records will include, but not be limited to:

a. The Board-approved Wellness Policy;

b. Documentation demonstrating the Policy has been made available to

the public;

c. Documentation of the efforts made in the school district to review and

update the Policy;

ADDENDUM TO EXTEND AGREEMENT

This is an Addendum to an Agreement between S4Teachers LLC, d/b/a Source4Teachers, a

Delaware limited liability company (the “Company”) located at 800 North Kings Highway, Suite 405,

Cherry Hill, New Jersey 08034 and the Parsippany-Troy Hills School Board of Education (the

“District”).

Whereas, the District and the Company entered into an Agreement whereby Company is to provide

substitute staffing to fill positions at the request of the District for a period ending June 30, 2017;

Whereas, District and Company are desirous of extending the term of the Agreement through June 30,

2018 with the provisions set forth below;

Now, Therefore, be it agreed between the parties, as follows:

1. The Term of the Agreement, as reflected in Paragraph 7, is hereby extended from July 1, 2017 through

June 30, 2018;

2. Effective July 1, 2017, Addendum “A” to the Agreement, Pricing, is amended as per the attached

revised Addendum “A”;

3. This Agreement will automatically renew for additional one (1) year periods unless either party provides

written notice of termination at least ninety days prior to the end of the fiscal school year.

4. Except as specifically and explicitly set forth herein, all other terms of the Agreement shall remain in

full force and effect.

IN WITNESS WHEREOF, the parties have executed this Agreement on the date first set forth below.
