2.WARRANTIES:A.PROVENPRODUCERS:Aprovenproducerisafemalewhichhasalreadyhadacria.Provenproducerswillbeconsideredtobefertile.Therearenoexpressedorimpliedwarrantiesforprovenproducers.B.NEWBORNCRIAS:Therearenoexpressedorimpliedwarrantiesfornewborncriassoldwiththeirdams.C.BREDMAIDENS:Abredmaidenisafemalewhichhasnotyethadacriaandisdeterminedtobepregnant.Ifthecriaisnotbornaliveorfailstosurviveto24hours,theBuyerwillreceiveabreedingatnochargetoamaleownedexclusivelybytheSeller.BuyermustnotifySellerwithin48hoursofstill-birth/deathofcria,andBuyermustusethebreedingwithin6monthsfromthedateofstill-birth/deathofcria.Thisbreedingisnon-transferrabletoanyotheralpaca.Birthofalivecriawhichsurvives24hoursfrombirthshallbeconsideredfulfillmentofthewarranty,andatwhichpointthewarrantyends.Therearenootherexpressedorimpliedwarrantiesforbredmaidens.D.MAIDENFEMALES:Youngfemalessoldasindividuallotsareguaranteedtohavetheabilitytobecomepregnantbythetimetheyreach30monthsofageandtogivebirthtoalivecria.EachofthesefemalesissoldwithacomplimentaryfirstbreedingtoamaleownedexclusivelybytheSeller,attheSeller’sfarm.Thefemalemustbedeliveredtoseller’sfarmforbreedingbeforethefemalereaches24monthsofage.ThefemalemayNOThavebeenbredorbeenexposedtoanyothermalepriortodeliverytotheSeller.Shouldthebuyerfailtodeliverthefemaleassetforthabove,oriffemalehasbeenbred/exposedtoamalenotownedbytheseller,allwarrantieseitherimpliedorexpressarevoid,andnofreebreedingwillbegiven.Ifthecriaisnotbornalive,thebuyerwillreceiveabreedingatnochargetoamaleownedexclusivelybytheSeller.Thisbreedingisnon-transferrabletoanyotheralpaca.Birthofalivecriawhichsurvives24hoursfrombirthshallbeconsideredfulfillmentofthewarranty,andatwhichpointthewarrantyends.E.PROVENMALES:Aprovenmaleisamalewhichhassettledafemaleorwhichhasbeentestedfertile.Provenmaleswillbeconsideredtobefertile.Therearenoexpressedorimpliedwarrantiesforprovenmales.F.YOUNGMALES:Youngmaleshavebeencheckedbyaveterinarianandhavebeenfoundtohaveanatomicallynormalreproductiveorgans.Youngmalesarewar-rantedtohavetheabilitytoimpregnateafemalebythetimethemaleis40monthsofage.Warrantyshallbeconsideredfulfilledwiththefirstconfirmedimpregnationofafemale,atwhichpointwarrantyends.G.WithrespecttoYoungFemalesandYoungMales,SellermustbenotifiedinwritingbytheBuyer’sveterinarianofanyclaimedabnormalitywithinoneyearofsale.Sellerwill,atSeller’soption,either:(1)replacethealpacawithanalpacaofequalquality,(2)givetheBuyercredittowardthepurchasefromSellerofanotheralpacaofthesameordifferentsexinanamountequaltothetotalamountofthepurchasepriceor(3)givearefundofthepurchasepricepaidattheauction.AllalpacaspurchasedmustbeshornannuallybythefirstdayofMay.Allalpacasmustbecaredforinamannerconsistentwithgenerallyacceptedindustrypractice.FailurebytheBuyertodoeitheroftheabovewillvoidallwarrantieseitherexpressorimpliedEXCEPTASEXPRESSLYSTATEDABOVE,SELLERMAKESNOWARRANTYOFMERCHANTABILITYANDNOWARRANTYOFFITNESSFORANYPARTICULARPURPOSE,NORDOESSELLERMAKEANYWARRANTYEXPRESSORIMPLIEDOFANYNATUREWHATSOEVERWITHRESPECTTOTHEANIMALSINTHISSALE.TheforegoingisthefullextentoftheresponsibilityoftheSeller,andbywayofillustrationandnotlimitation,innoeventshalltheSellerbeliableforincidentalorconsequentialdamages,orforanychangesorexpensesofanynatureincurredwithoutSeller’swrittenpermission.3.TERMS:Termsarecashandpaymentinfull,orwithtermsapprovedbySeller.PaymentmustbemadetotheCashierimmediatelyfollowingpurchase;personalchecksaretobepayabletoCELEBRITYSALES.Sellerreservestherighttorequireacertifiedcheckassettlementbeforereleasingtheanimal.A.AllalpacasbeingfinancedmusthaveproofofinsurancebeforetheBuyertakespossession,namingtheSellerasLossPayee.Buyermustmaintainmortalityinsuranceontheanimalintheamountofremainingbalanceuntilpaidinfullwiththesellernamedasthelosspayee.B.Anyincomegeneratedbytheanimalinoutsidebreedingsorsalesofoffspringshallbepaidinfulltothesellerandappliedfirsttointerestandthentowardtheremainingprincipalbalance.C.IntheeventthescheduledpaymentonafinancedalpacaisnotreceivedbySellerwithin10daysoftheduedate,Buyeragreestopayapenaltypaymentof$250perlatepayment.AdditionallyBuyeragreesthattheywillpaya$250servicechargeonanyNSFchecks.Shouldanypaymentbecome30daysormorepastdue,thisnoteshallbeconsideredtobeindefault,andBuyeragreesthattheinterestrateonthispromissory
