office at Pandit Deen Dayal Upadhyay, Urja Bhavan, 5-A, Nelson Mandela Marg, Vasant Kunj, NewDelhi- I 10070 and one of its office named as ONGC (lDT, Dehradun), Kaulagarh Road, Dehradun-248195, (here in after referred to as "ONCC" which expression shall unless repugnant to the contextor meaning thereof include all its successors, administrators, executors and assignees) of the FirstPart-v.

Indian Institute of Technology Roorkee and having it registered office at Roorkee-247667,(hereinafterreferred to as "llT-Roorkee" which expression shall unless repugnant to the context or meaning thereofinclude all its successors, administrators, executors and assignees) of the Second Party.
The First pafty and Second Party hereafter being collectively referred to as the "Parties" and
individually as the "Party";
Whereas IlT-Roorkee has represented to ONGC (lDT, Dehradun) that it has capability in undertakingthe oDevelopment of polymer/triopolymerviscosifier (like Xanthan gum) for temperature stabilityup to 250'C for use in drilling fluid' and has submitted a Project Proposal appended to thisAGREEMENT as Annexure-l
AND
Whereas, IIT-Roorkee represents that it has the necessary experience and expertise for carrying but and
agrees to undertake R&D Project entitled "Development of polymer/biopolymer viscosifier (likeXanthan gum) for temperature stability up to 2500C for use in drilling fluid" in collaboration withONGC (lDT, Dehradun) as defined in this ACREEMENT
AND
Whereas, ONGC (lDT, Dehradun) desires that, IlT-Roorkee should undertake the assignedCollaborative R&D Project more explicitly defined in the sections below in this AGREEMENT.
AND
Whereas, IlT-Roorkee agrees to provide all the necessary facilities to the Principal Investigator (PI) ofthe project to perform the Collaborative R&D Project as defined in this AGREEMENT.
Now therefore it is agreed by and between the parties as under:

1.0 DEFINITIONS
Unless inconsistent with or otherwise indicated by the context, the following terms stipulatedin this AGREEMENT shall have the meaning as defined hereunder.AGREEMENT: This AGREEMENT together with the Schedules, Parts, Annexure and
Appendices attached hereto and will include any modifications, amendments or alterationsthereof as agreed between the parties fronr time to time.MEMORANDUM OF COLLABORATION (MOC):The Memorandum of Collaboration(MOC) between ONGC (lDT, Dehradun) and Indian Institutes of Technology-Roorkee signedon lOtl' January 2018THEMATIC RESEARCH AREA (TRA): The jointly identified areas of Research matchingthe ONGC needs and expertise available with IITs as defined in the MOC.PROGRAM ADVISORY COMMITTEE (PAC): Apex body having members from ONGCand IITs as defined in the MOC to review the activities of the program and recommend release
of funds. The composition and functions of PAC are described in the MOC.THEMATIC RESEARCH COMMITTEE (TRC): The nodal body for all research and
related activities in the respective Thematic Area represented by ONGC and IITs as defined in
the MOC.The composition and functions of TRC are described in the MOC.PRINCIPAL INVESTGATOR (PI): The person or persons who may be appointed /nominated by IlT-Roorkee; who shall be responsible for the overall execution of Project Workas defined in this AGREE,MENT.CO-PRINCIPAL INVESTIGATOR(S) (Co-PI): The person or persons who may be
appointed I nominated by IlT-Roorkee, if deemed necessary, to assist PI in the overall executionof Project Work, as defined in this AGREEMENT.PROJECT CO-ORDINATOR (PC): The First Person Responsible designated by Institute ofDrilling Technology to interact, monitor / review the Project Work carried out by PrincipalInvestigator and his/her Project Team.
1.9 RESEARCH FELLOW: Persons with requisite qualifications appointed by IlT-Roorkeespecifically for this project work to carry out research under 'ONGC Scholar Program' definedin the MOC. The Research Fellows will get fellowship in accordance with the remunerationmentioned in this AGREEMENT.
1.10 PROJECT PERSONNEL: Persons with requisite qualifications appointed by IlT-Roorkee,for engagement in this research project, for technical help in execution of the Project Work. TheProject Personnel will get remuneration in accordance with this AGRE,EMENT.
1.11 PROJECT WORK: Shallmean overall mutually agreed scope of work which is given in thisAGREEMENT and also defined in the Project proposal at Annexure-I relating to theCollaborative R&D work to be performed by IIT-Roorkee jointiy with ONGC (lDT, Dehradun).
l.l2 DESIGN: "Design" shall include an industrial design, drawing sand iayouts.1.13 INTELLECTUAL PROPERTY: Includes patent, copyright, design, trade secret and property
in discoveries, inventions, improvements, designs, data or information and materials created inpursuance of the research/technology development activities under the project whether or notsuch intellectual property will be capable of patent, copyright or similar infringement protection
or recognition and includes knowledge and information described as Confidential under thisAGREEMENT.

Approval of the Project Work and the financial support by ONGC (lDT, Dehradun) is for this
pioject and the amount received by llT-Roorkee shall be exclusively spent for the project
woik/activities undertaken in terms of this AGREEMENT and within the approved time
duration. IlT-Roorkee is not permitted to seek or utilize funds from any other organization
(government, semi-government, autonomous and private bodies) for this project approved by
iistitute of Drilling technology, except in cases, where a project is approved for joint funding
with/by trnstitute of Drilling TechnologyIlT-Roorkee will be responsible for expenditure incurred on the project and shall maintain
separate accounts and records for the project to be implemented under this AGREEMENT.
Ail payments will be made by ONGC (lDT, Dehradun) to IlT-Roorkee by Electronic clearing
system (ECSY RTGS/NEFT.IiT-Roorkee is required to inform ONGC (lDT, Dehradun) if they are recognized as a R&D
institute, which is eligible for exemption from Tax Deduction at Source (TDS) and is also
required to produce financial year wise certificates from the competent Tax Authority in this
regard. Normally, TDS rules shatl be applicable in respectof all payments made by Institute
oin1.illing Technology, unless IlT-Roorkee is able to produce in advance applicable Tax
Exernption Certificate towards such receipts, issued by competent Tax Authorities. It will be
the soie responsibility of IlT-Roorkee to inform ONGC (lDT, Dehradun) in advance about
availing of tax Exemption and also to ensure timely submission of Tax Exemption Certificate
to rece."ive full payment of amount of the instalments. In case of delay in submission ofcertificate and consequent delay in release of payments, ONGC (lDT, Dehradun) will not be
responsible for any delay in implementation schedule of the project on account of such delays.
If no prior ,"qu.rt is received, ONGC (lDT, Dehradun),will deduct TDS as per applicable
rates. in case IIT-Roorkee is desirous of receiving the amount of instalment from ONGC (lDT,
Dehradun) without aly TDS deduction and it expects delay in receiving the Tax Exemption
ceftificate from conceined Tax authority, it should provide funds for the project work from its
own resources in the interirn period and ensure that project work is not hampered. In case the
Tax Exemption certificate is not provided by IIT Roorkee their payment shall be
released after deduction of TDS and they shall be liable to provide fund utilisation
certificate for the full amount including the amount of TDS.
IIT-Roorkee will submit the request for release of milestone based payment, in the prescribed
format (Annexure-lV of this AGREEMENT) along with the progress report and the latest
statement of expenditure in the prescribed format including Committed Expenditure, duly
audited by external auditorAll rnilestone based payments will be released by ONGC (lDT, Dehradun) only after the
satisfactory completion of each previous milestone-wise tasks/goals by IlT-Roorkee and their
acceptance by ONCC (lDT, Dehradun). The next milestone based payment will be released
onlyafter receipt of documents on utilization of funds released under previous payment
and other related documents as per prescribed format (Annexure-Vl). In case ofprocurement of equipment for the project, instalment will be paid by ONGC (lDT, Dehradun),
after completion of ull p."-p.o"urement actions, as per laid down procedures of IlT-Roorkee
for such procurement and submission of invoice and sanction order for the purchase ofequipmeni as supporting document for release of instalment. The Pl/institute will submit
details of the item, quantity, price and delivery schedule. Whenever, the delivery period is
over, the PI should confirm receipt of equipment, its commissioning and the extent of payment
(full or paft payment) made. In case, the equipment delivery period, for which instalment has

been released, is not over before the next milestone based instalment becomes due, the PI mustconfirm giving requisite details and justifications. Any delay in delivery or commissioning ofthe equipment or release of payments for equipment must be explained with fulljustificationwhile making request for next instalment. In all cases, the required financia! documents must
be audited as per clause 6.7 of the AGREEMENT.6.9 On cornpletion of all steps relating to the purchase of capital equipment, the equipment must
be entered into asset register to be maintained by IIT-Roorkee for this project.
6.10 lf a request for release of milestone based instalment is made in second quarter of the financialyear, the PI should enclose the audited statement of the accounts along with the UtilizationCertificate for the previous financial year duly audited by external auditor in the prescribed
format (Annexure-V and VI of this AGREEMENT).6.ll On completion of the Projectand submission of the final reportand other related documents
etc. IIT-Roorkee shall render the final audited accounts/ statement of expenditure in theprescribed format (Annexure-V of this AGREEMENT), duly certified by authorised
representative of the University/Head of Institute/Organisation for release of the finalinstalment by ONGC (lDT, Dehradun).
6.12 IIT Roorkee is allowed to utilise funds under different heads of expenditure as
earmarked and detailed in Clause 6.1 above and any cross utilisation of funds from onehead to other should be avoided. In case such cross utilisation is absolutely necessary itshould be done with the approval of the competent authority i.e. Head IDT, ONGC. Anyunspent amount left with IIT-Roorkee will be immediately returned by way of credit throughECS/RTGS/NEFT to the SBI account of tDT - ONGC. IDT Bank Account No.:10392853355 and IFSC CODE: S8IN0001576 payable at Dehradun, but not later than 30
days of acceptance of finalaudited utilization certificate by ONGC.6.13 On completion of the project, IlT-Roorkee shall submit full details of Assets acquired under
the project utilising ONGC (lDT, Dehradun) funds in the prescribed format (Annexure-VlI ofthis AGREEMENT) and copies of sanction orders and invoices of all Assets, along with Finalaudited Statement of Accounts (Annexure-V of this AGREEMENT).
6.14 In case llT-Roorkee is not in a position to implement or complete the project due to validreasons accepted by ONGC (lDT, Dehradun) it should, forthwith, refund to ONGC (lDT,Dehradun) the total funds received by it or balance, thereof.
6.15 ONGC (lDT, Dehradun) and its authorised representatives shall have the right of access to the
books and accounts of IlT-Roorkee maintained in respect of this project and funds received
from ONGC (lDT, Dehradun). IlT-Roorkee will provide all assistance to the ONGC (lDT,Dehradun) team to inspect the books of accounts and give suitable reply to theirobservations/findings in atime bound manner. All corrective actions required, if any, in thisregard will be implemented by the PI and llT-Roorkee.
7,O RESPONSIBILITIES AND ACTIVITIES7.1 llT-Roorkee shall undertake to perform the Project Work under this AGREEMENT with all
reasonable skill, diligence and care in accordance with prudent scientific practice to the
satisfaction of tnstitute of Drilling Technology and accept full responsibility for the satisfactoryquality of such services as performed by them.
7.2 As per the project proposal, Dr. Yuvraj Singh Negi, Professor, Department of,Polymer and
Process Engineering of llT-Roorkee shall be the Principal Investigator who shall be leading and

the project, in accordance with laid down procedure for recruitment followed by llT-Roorkee'

for full/part duration of the project, are to be treatei as project personnel of IlT-Roorkee and will
be governed by the Administrative rules of llT-Roorkee. They are not to be treated as employees
of the ONGC (lDT', Dehradun) under any circumstances and ONGC (lDT' Dehradun) will have
no liability, whatsoever, for the Project Personnel, during and after completion of the project
duration.7.10 For the expeditious implementation of the project work, IlT-Roorkee will provide full support
to the PI in the pro""r, of selection and appointment of project personnel/staff and shall make
payment to them in accordance with the guidelines given in this AGREEMENT'
7.11 llT-Roorkee shall not engage or sub-contract or assign the technical work or studies
concerning the project, either wholly or in part to any other institute/organization or any
third party without prior permission in writing from, ONGC, IDT, Dehradun' ln case' it is
considered necessary in the interest of the Project work, the PI will request to ONGC (lDT'
Dehradun) in writing giving full justification including its financial and IPR implications'
However,mereapplyingforpermissiontosub-contractthesaidprojectwork/studieswillnotamount to grant of permission and ONGC (lDT, Dehradun) reserves the right to disagree to such
request for any sub-contracting or consultancy'
7.12 Either party shall not assign this agreement without prior written consent of other party'

8.0 REVTEW OF PROGRESS & SUBMISSION OF REPORTS8.1 The Principal Investigator (PI) or in his absence the Co-Pl will regularly submit to ONGC (lDT,
Dehradun) quarterly progress reports (two hard copies and one copy in electronic format) in the
prescribed format (Annexure-ll of this AGREEMENT). The report among other things willinclude physical and financial status including but not limited to (a) Project Work accomplished
against the set targets (b) reasons for the short fall, if any, and proposed remedial measures (c)
oiher scientific achievements made during the period, (d) publications, (e) placement ofmanpower, (f) procurement of equipment etc. and (g) planned targets for the next month.
B.Z ONGC (lDT, Dehradun) will regularly review the progress of the work through visits to IIT-Roorkee or by inviting the Pl to ONGC (lDT, Dehradun) facilities/office. ONGC (lDT,
Dehradun) may, if considered neiessary by ONGC (lDT, Dehradun) depute a team pf experts
to review the progress of the project. IlT-Roorkee shall extend all required facilities and fullsupport for such visits to facilitate effective monitoring and implementation of the project. The
travel budget of the project wilt include cost towards visits of the PI and others for attending
such review meetings. No extra fund will be provided by ONGC (lDT, Dehradun) for such
visits.8.3 ONGC (lDT, Dehradun) will provide a copy of the report on the review of the project to the PI,
for implementation. The Pt and IlT-Roorkee will take into account the suggestions made by the
reviewing team on mid-term correctionslmodifications in the project work, while formulating
necessary corrective/remedial actions for implementation, subject to feasibility ofimplementation of such suggestions/actions within the approved project budget. PI will provide
action taken repoft to ONGC (lDT, Dehradun) on the report of review of the project.
8.4 On completion of the project, the PI will submit a draft'Project Completion Report' on the
work done under the project for review to Institute of Drilling Technology, Dehradun.
Comments/suggestions, if any, will be incorporated by the PI as appropriate and thereafter, 5
copies of the final consolidated 'Project Completion Report' will be submitted to ONGC
1tOf, Dehradun) in the prescribed format (Ahnexure-lll of the AGREEMENT)" One copy in
electronic form will also be submitted to ONGC (lDT, Dehradun).
B.S The 'Project Completion Repoft' must include full details of objectives and work plan for the
project, work/studies undertaken by PI/llT-Roorkee, as per the approved objectives/work plan,
discussions & inferences of the results of the research, outcome of project and achievements,
all relevant technical details/specifications/process flow diagrams, working drawings for
designing of the systems/equipment for further work on demonstration/scale up, as the case may
be, along with inventory of required materials, specifications etc. All items covered under the
head "deliverables" of the project must be covered in this report.
9.0 TECHNOLOGY TRANSFER9.1 At the completion of the Project Work, the developed technology shall be transferred to
Institute of Drilling Technology, Dehradun /ONCC and ONGC group of companies or any
agency to be specified by the Institute of Drilling Technology, Dehradun for Demonstration
and/ or fi eld applic ationl commercialization'g.2 IlT-Roorkee shall also provide samples of all the used chemicals optimised for the process
and other detailed information on the process to Institute of Drilling Technology, Dehradun
for safe deposition and preservation for protection of tPR and subsequent use.
1O.O OWNERSHIP OF IMMOVABLE & MOVABLE ASSETS
10.1 For permanent, semi-permanent assets acquired solely or mainly out of the project budget, an
audited record in the form of a register in the prescribed format (Annexure-Vll of this

immovable property acquired out of the funds; and (b) movable property of capital nature, IIT-

10.4 In order to facilitate the continued usage of infrastructure, by students and researchers at IIT-
Roorkee, created under ONGC-PAN-ll-T initiative, the capital items/ equipment procured under
the ONGC-pan-llT Collaborative Research Program may be retained by the IlT-Roorkee,
however, ONGC (IDT, Dehradun) reserves the right to call back the equipment at any
point of time at its discretion. oNcc will have no liability whatsoever after completion of the
project towards the procured items and the services of the infrastructure so created will be made
available on priority to ONGC (lDT, Dehradun) in future at no cost'
10.S If the Capital equipment/other assets are allowed to be retained by the IlT-Roorkee, after
completion of the project, IIT-Roorkee, will give an undertaking to maintain the assets from its

13.0 RETURN OF DATA, LITERATURE AND DOCUMENTSThe data, literature and documents supplied by ONGC (IDT, Dehradun), to the IIT-Roorkee, during the course of the Project will always remain tljr p-ro-perty of ONGC_(IDT,
Dehradun), undthe same shall be handed over to ONGC (IDT, Dehradun), immediately
after the submission of final report. ONGC (lDT, Dehradun), may, at any time during the
execution of the AGREEMENT demand return of the data, literature and documents, not
withstanding whether project Work has been completed or not IlT-Roorkee shall be obliged to
return the same immediately on demand of Institute of Drilling Technology, Dehradun, without
reiaining a copy.,14.0 TERMINATION
This agreement will automatically be terminated after the expiry of period of Project unless
t4.lextended otherwise by the parties.The AGREEMENT may be terminated at any time by mutual agreement between the parties.
Unspent money on the date of termination after deduction of committed expenses shall be
retuined to Institute of Drilling Technology, Dehradun by the llT-Roorkee. The committed
expenses shall mean the payment to be made by Institute of Drilling Technology,.Dehradun to
IIT-Roorkee for the works iompleted and accepted by ONGC till the date of termination.
SURVML OF TERMS: Clause 9, 10, ll, 12, 13, 16,19 and 20 of this AGREEENT shall
survive the termination of this AGREEMENT.FORCE MAJEUREIn the event of either party being rendered unable by Force Majeure to perform.any obligation
required to be performed 6y them under the AGREEMENT, the relative obligation of the party
affected by such Force Majbure shall be suspended for the period during whigh such cause lasts.
The term iFor". Majeure""as employed heriin shall mean acts of God, including but not limited
to War, Civil Riots, Fire directly aifecting the performance of the AGREEMENT, Flood and
Acts and Regulations of government.
Upon tlre o"Jrr."n"" of such cause and upon its-termination, the party alleging that it has been
re-ndered unable as aforesaid thereby, shail notify the other party in writing, the beginning ofthe cause amounting to Force Majeure as also the ending of the said clause by giving notice

APPLICABLE LAW AND JURISDICTIONThe AGREEMENT, including all matters connected with this AGREEMENT shall be governed
by the Indian law both subslantive and procedural, for the time being in force and shall be
subject to the exclusive jurisdiction of Indian Courts at Dehradun.
COiMPLIANCE WITH LAWS: IlT-Roorkee shall perform the duties under this
AGREEMENT and undertake the Project Work and its related activities in due compliance with
all applicable laws in India, along with rules and regulations, if any, of. duly constituted
Covernmental Authorities in Indiaind shall obtain, if applicable, any such licenses, consents,
registrations and other governmental approvals, etc., if ^any,
required by laws in India in
co-nnection with this AGREEMENT and-for the conduct of the Project Work. The parties shall

CMD, ONGC.Except as otherwise provided elsewhere in the contract, if any dispute, difference, question or
disagreement arises between the parties hereto or their respective representatives or assignees,
at ariy time, in connection with construction, meaning, operation . effect, interpretation of the
contract or breach thereof, which parties are unable to settle mutually, the same shall be referred
to Arbitration as provided hereunder.
2O.I ARBITRATION2AJ.l In ttre event of any dispute or difference relating to the interpretation and application of the
provisions of the contiacts, such dispute or difference shall be referred by either party.for
Arbitration to the sole Arbitrator in the Department of Public Enterprises to be nominated by
the Secretary to the Government of India in-charge of the Department of Public Enterprises.
The Arbitrjion and Conciliation Act, 1996 shalI not be applicable to arbitration under this
clause. The award of the Arbitrator shall be binding upon the parties to the dispute, provided,
however, any party aggrieved by such award may make a further reference for setting aside

& Justice, Government of India. Upon such reference the dispute shall be decided by the Law

22,0 NOTICES AND ADDRESSES:For the purposes of this AGREEMENT, the addresses of the parties will be as follows and allcorrespondence and notices in relations to the present Agreement sent to the parties at the
