BAPS approached BAYVP in March 2007 as a follow up to our letter of Interest.

This opened a channel of communication between BAYVP and BAPS

BAPS revealed property was appraised at 5.5 million in 2006.

BAYVP felt that it was an opportunity that can be considered at that point.

Series of informal meetings between key members of BAYVP and BAPS.

BAYVP signed a letter of intent after some initial consultations to acquire the property for $5.175 million

• Sell Mountain View property– Based on discussion with real estate experts; the property can be sold

conservatively at $2.5 million.– We will get $1.0 million that can be used towards a down payment.

• Use existing funds/Pledges to collect– $400,000

• Collect additional $600,000 in CASH donations Loan

• Estimated amount - $3.2 million– BAPS has offered to introduce us to their financers and contacts.
