Dated: April 1st, 2012Dear Jaiwant Mhatre,Further to your continued employment with us, we are pleased to offer you the following salary for the position of Manager Big Wheels Motoring Cafe (BWM) Store in our Company.

The terms and conditions of your employment with Outdoor Travel and Sports Gear Pvt. Ltd. are governed by the provisions in the following pages.

PARTICULARS OF TERMS OF EMPLOYMENT

1.Employer:Outdoor Travel and Sports Gear Pvt. Ltd.2.Place of Employment:

Your place of employment will be primarily Talegaon Dabhade, Pune. You will be expected to travel to other parts of India for work purposes. 3.Commencement Date for the salary:1st April, 20124.Job Title:Manager BWM Store.5. Job Description: Your major job responsibilities include:

a. Handling of all operations in the Mumbai office.

b. Infrastructure

c. All other activities that fall under general management.d. Maintenance of Day to Day Accounts

e. General Office Administration to ensure smooth running of business

f. Problem solving and dealing with customer grievances and complaints, by phone, email and in person.

g. Ensuring timely delivery and receipt of important information while at the timemaintaining confidentiality.

h. Updating of Websites on a daily basis

i. Establish, maintain, and update files, databases, records, and other documents; developand maintain data, and perform routine analyses and calculations in the processing of datafor recurring internal reports.

j. Filing and Maintenance of Purchase and Sales Invoices and Reports

k. Handling Petty Cash

l. Tracking expenditures

m. Preparing reports and presentations

n. Up keep of Stock in Stores across the country

o. Any other work that needs to be done in order to ensure smooth working of the business.

Duties:

You will be employed with the title of Senior Executive Administration and Inventory Management and will render all reasonable duties expected of the said position. During the term of this agreement, you will devote your full abilities to the performance of your duties, and agree to comply with reasonable policies and standards of Outdoor Travel and Sports Gear Pvt. Ltd. (OTSGPL).

Reports:

You will provide OTSGPL with any reports that are deemed necessary, including periodic summaries of your work-related activities and accomplishments.6.Remuneration and Benefits:Your salary is structured as given below:

Particulars / Salary (p.m.) 7,700

Basic + Dearness Allowance 6,750

- Main Component (Basic) 5,980

- Fixed Incentive (DA) 770

Conveyance Allowance 800

House Rental Allowance -

Medical Re - imbursement -

Special Allowance - Cell Phone 150

Total Salary 7,700

* Taxes as applicable shall be deducted at source.8.Leave: You will be entitled to 12 days leave per annum, which includes sick leave and is cumulative in nature. Please find details in the attached detailed leave policy.9.Termination of Employment:This is an agreement for employment at will. Either party can terminate this agreement for employment by giving one months written notice to the other or compensation in lieu thereof. Should your termination be due to willful misconduct or non-performance, OTSGPL need not provide you with any advance notice and compensation.

11.Variation of Terms:Future alterations in the relevant particulars in this agreement will be notified to you in writing within one month of such alterations.

12.Confidentiality Agreement: During the terms of your employment, you will have access to certain proprietary information including customer prospect lists, projects, pricing, customer project details and needs, design, trade secrets, research and development, and other confidential information of both, OTSGPL and its vendors / customers. You will hold in trust and not disclose to any party, directly or indirectly, during your employment with OTSGPL and thereafter, such confidential information. You confirm and undertake not to make use of or disclose any data, information and other particulars, which were supplied to you or gathered otherwise in the course of your assignments for the benefit for anyone other than OTSGPL. Further you declare that you have no copyright nor do you claim any copyright or other rights of any nature whatsoever in and to the said assignments.13.Non-competition and non-solicitation: You agree that during the period of your employment hereunder and for one year following the termination of your employment for any reason, you shall not, directly or indirectly, provide marketing and administration services for any of OTSGPLs clients (except as directed by OTSGPL). You further agree that you will not solicit or entertain offers from any of the existing clients of OTSGPL, whether for yourself or on behalf of any other entity, or in any manner attempt to induce any of the clients of OTSGPL to withdraw their business from OTSGPL.

14.Unique nature of agreement: The rights conveyed by this employment agreement are of unique and special nature. Any violation of this agreement will result in immediate and irreparable harm to OTSGPL and in the event of any actual or threatened breach or violation of any of the provisions of this agreement; OTSGPL will be entitled as a matter of right to an injunction or a decree of specific performance from any court of competent jurisdiction. You waive the right to assert the defense that such a breach or violation can be compensated adequately in damages in an action at law. Nothing in this agreement will be construed as prohibiting OTSGPL from pursuing any other remedies at law or in equity available to it for such a breach or threatened violation. Should OTSGPL prevail in any action brought under this agreement, you agree to indemnify OTSGPL for all legal fees and costs incurred by OTSGPL in its efforts to recover damages from you due to your breach of any covenant under this agreement. Upon the instance of a dispute, OTSGPL will nominate an arbitrator acceptable to both the parties and the decision of the arbitrator will be binding on both the parties. Should the dispute need reference to a court of law, the same will be referred to the courts in Mumbai and the Indian laws will be applicable.

An additional copy of this letter is enclosed, and we request that you affix your signature below and return the said copy as confirmation of your agreement and acceptance with the above terms, on or before Commencement Date (April 01, 2012).
