When the General Conditions apply to a specific contract, modifications of or deviations from them must be agreed in writing. The object(s) to be supplied under these conditions is (are) hereinafter referred to as the Product. PRODUCT INFORMATION 2. All information and data contained in product brochures and price lists are binding only to the extent that they are by reference expressly included in the contract. DRAWINGS AND DESCRIPTIONS 3. All drawings and technical documents relating to the Product or its manufacture submitted by one party to the other, prior or subsequent to the formation of the contract, shall remain the property of the submitting party. Drawings, technical documents or other technical information received by one party shall not, without the consent of the other party, be used for any other purpose than erection, commissioning, operation or maintenance of the Product. They may not, without the consent of the submitting party, otherwise be used or copied, reproduced, transmitted or communicated to a third party. 4. At the start of the period referred to in Clause 23 the Supplier shall, if so requested by the Purchaser, free of charge provide information and drawings which are necessary to permit the Purchaser to erect, commission, operate and maintain the Product. Such information and drawings shall be supplied in the number of copies agreed upon or at least one copy of each. The Supplier shall not be obliged to provide manufacturing drawings for the Product or spare parts. ACCEPTANCE TESTS 5. Acceptance tests provided for in the contract shall, unless otherwise agreed, be carried out at the place of manufacture during normal working hours. If the contract does not specify the technical requirements, the tests shall be carried out in accordance with general practice in the appropriate branch of industry concerned in the country of manufacture. 6. The Supplier shall notify the Purchaser of the acceptance tests in sufficient time to permit the Purchaser to be represented at the tests. If the Purchaser is not represented, the test report shall be sent to the Purchaser and shall be accepted as accurate. 7. If the acceptance tests show the Product not to be in accordance with the contract, the Supplier shall without delay remedy any deficiencies in order to ensure that the Product complies with the contract. New tests shall then be carried out at the Purchaser’s request, unless the deficiency was insignificant. 8. The Supplier shall bear all costs for acceptance tests carried out at the place of manufacture. The Purchaser shall however bear all traveling and living expenses for his representatives in connection with such tests. DELIVERY PASSING OF RISK 9. Any agreed trade term shall be construed in accordance with the INCOTERMS in force at the formation of the contract. If no trade term is specifically agreed the delivery shall be Ex works (EXW). If, in the case of delivery Ex works, the Supplier, at the request of the Purchaser, undertakes to send the Product to its destination, the risk will pass not later than when the Product is handed over to the first carrier. PREAMBLE

1. TheseGeneralConditionsshallapplywhenthepartiesagreeinwritingorotherwisethereto.WhentheGeneralConditionsapplytoaspecificcontract,modificationsofordeviationsfromthemmustbeagreedinwriting.

Theobject(s)tobesuppliedundertheseconditions is(are)hereinafterreferredtoastheProduct.

PRODUCT INFORMATION

2. Allinformationanddatacontainedinproductbrochuresandpricelistsarebindingonlytotheextentthattheyarebyreferenceexpresslyincludedinthecontract.

DRAWINGS AND DESCRIPTIONS

3. All drawings and technical documents relating to theProduct or its manufacture submitted by one party tothe other, prior or subsequent to the formation of thecontract, shall remain the property of the submittingparty.

Drawings, technical documents or other technicalinformation received by one party shall not, withoutthe consent of the other party, be used for any otherpurpose than erection, commissioning, operation ormaintenanceoftheProduct.Theymaynot,withouttheconsentofthesubmittingparty,otherwisebeusedorcopied,reproduced,transmittedorcommunicatedtoathirdparty.

4. At the start of the period referred to in Clause 23 theSupplier shall, if so requested by the Purchaser, freeofchargeprovide informationanddrawingswhicharenecessarytopermitthePurchasertoerect,commission,operate and maintain the Product. Such informationanddrawingsshallbesuppliedinthenumberofcopiesagreeduponoratleastonecopyofeach.TheSuppliershallnotbeobligedtoprovidemanufacturingdrawingsfortheProductorspareparts.

ACCEPTANCE TESTS

5. Acceptance tests provided for in the contract shall,unless otherwise agreed, be carried out at the placeof manufacture during normal working hours. If thecontract does not specify the technical requirements,thetestsshallbecarriedoutinaccordancewithgeneralpracticeintheappropriatebranchofindustryconcernedinthecountryofmanufacture.

6. TheSuppliershallnotifythePurchaseroftheacceptancetests in sufficient time to permit the Purchaser tobe represented at the tests. If the Purchaser is notrepresented, the test report shall be sent to thePurchaserandshallbeacceptedasaccurate.

7. If the acceptance tests show the Product not to be inaccordancewiththecontract,theSuppliershallwithoutdelay remedy any deficiencies in order to ensure thattheProductcomplieswiththecontract.NewtestsshallthenbecarriedoutatthePurchaser’srequest,unlessthedeficiencywasinsignificant.

8. The Supplier shall bear all costs for acceptance testscarriedoutattheplaceofmanufacture.ThePurchasershallhoweverbearalltravelingandlivingexpensesforhisrepresentativesinconnectionwithsuchtests.

DELIVERY PASSING OF RISK

9. Anyagreedtradetermshallbeconstruedinaccordancewith the INCOTERMS in force at the formation of thecontract. If no trade term is specifically agreed thedeliveryshallbeExworks(EXW).

TIME FOR DELIVERY DELAY

10. Iftheparties,insteadofspecifyingthedatefordelivery,havespecifiedaperiodoftimeontheexpiryofwhichdeliveryshalltakeplace,suchperiodshallstarttorunonthedatewhentheSupplierreceivesthePurchaser’sorderorthedateofformationofthecontract,whicheveristhelater.

11. If the Supplier anticipates that he will not be able todeliver the Product at the time for delivery, he shallforthwithnotifythePurchaserthereofinwriting,statingthereason,and,ifpossible,thetimewhendeliverycanbeexpected.

12.Ifdelayindeliveryiscausedbyanyofthecircumstancesmentioned in Clause 39 or by an act or omission onthe part of the Purchaser, including suspension underClauses20or42,thetimefordeliveryshallbeextendedby

a period which is reasonable having regard to all thecircumstances in the case. This provision appliesregardlessofwhether the reason for thedelayoccursbeforeoraftertheagreedtimefordelivery.

13. IftheProductisnotdeliveredatthetimefordelivery(asdefinedinClauses10and12),thePurchaserisentitledtoliquidateddamagesfromthedateonwhichdeliveryshouldhavetakenplace.

Theliquidateddamagesshallbepayableatarateof0.5percentofthepurchasepriceforeachcompletedweekofdelay.The liquidateddamagesshallnotexceed7.5percentofthepurchaseprice.

If only part of the Product is delayed, the liquidateddamagesshallbecalculatedonthatpartofthepurchasepricewhichisattributabletosuchpartoftheProductascannotinconsequenceofthedelaybeusedasintendedbytheparties.

TheliquidateddamagesbecomedueatthePurchaser’swritten demand but not before delivery has beencompleted or the contract is terminated under Clause14.

The Purchaser shall forfeit his right to liquidateddamagesifhehasnotlodgedaclaimforsuchdamageswithinsixmonthsafterthetimewhendeliveryshouldhavetakenplace.

14. If the delay in delivery is such that the Purchaser isentitledtomaximumliquidateddamagesunderClause13andiftheProductisstillnotdelivered,thePurchasermayinwritingdemanddeliverywithinafinalreasonableperiodwhichshallnotbelessthanoneweek.

IftheSupplierdoesnotdeliverwithinsuchfinalperiodand this is not due to any circumstance for which thePurchaser is responsible, then the Purchaser may bynoticeinwritingtotheSupplierterminatethecontractin respect of such part of the Product as cannot inconsequenceoftheSupplier’sfailuretodeliverbeusedasintendedbytheparties.

If the Purchaser terminates the contract he shall beentitledtocompensationforthelosshehassufferedasaresultoftheSupplier’sdelay.Thetotalcompensation,including the liquidated damages which are payableunder Clause 13, shall not exceed 15 per cent of thatpartof thepurchasepricewhich isattributabletothepartof theProduct in respectofwhichthecontract isterminated.

15. Liquidated damages under Clause 13 and terminationofthecontractwithlimitedcompensationunderClause14 are the only remedies available to the Purchaserin case of delay on the part of the Supplier. All otherclaimsagainst theSupplierbasedonsuchdelayshallbeexcluded,exceptwheretheSupplierhasbeenguiltyofgrossnegligence.

In these conditions gross negligence shall mean anact or omission implying either a failure to pay dueregardtoseriousconsequences,whichaconscientioussupplierwouldnormallyforeseeaslikelytoensue,oradeliberatedisregardoftheconsequencesofsuchactoromission.

16. If the Purchaser anticipates that he will be unable toacceptdeliveryoftheProductatthedeliverytime,heshallforthwithnotifytheSupplierthereofstatingthereason,and,ifpossible,thetimewhenhewillbeabletoacceptdelivery.

IfthePurchaserfailstoacceptdeliveryatthedeliverytimeheshallneverthelesspayanypartofthepurchasepricewhichbecomesdueondeliveryasifdeliveryhadtaken place. The Supplier shall arrange for storage ofthe Product at the risk and expense of the Purchaser.The Supplier shall also, if the Purchaser so requires,insuretheProductatthePurchaser’sexpense.

17. UnlessthePurchaser’sfailuretoacceptdeliveryisduetoanysuchcircumstanceasmentionedinClause39,theSuppliermaybynoticeinwritingrequirethePurchasertoacceptdeliverywithinafinalreasonableperiod.

If, for any reason for which the Supplier is notresponsible, the Purchaser fails to accept deliverywithinsuchperiod,theSuppliermaybynoticeinwritingterminatethecontractinwholeorinpart.TheSupplier

shall thenbeentitled tocompensation for the losshehassufferedbyreasonofthePurchaser’sdefault.ThecompensationshallnotexceedthatpartofthepurchasepricewhichisattributabletothatpartoftheProductinrespectofwhichthecontractisterminated.

PAYMENT

18. Unless otherwise agreed, the purchase price shall bepaid with one third at the formation of the contractandonethirdwhentheSuppliernotifiesthePurchaserthattheProduct,ortheessentialpartofit,isreadyfordelivery.FinalpaymentshallbemadewhentheProductisdelivered.

19. Whateverthemeansofpaymentused,paymentshallnotbedeemedtohavebeeneffectedbeforetheSupplier’saccounthasbeenfullyandirrevocablycredited.

20. IfthePurchaserfailstopaybythestipulateddate,theSupplier shall be entitled to interest from the day onwhichpaymentwasdue.Therateofinterestshallbeasagreedbetweentheparties.Ifthepartiesfailtoagreeontherateofinterest,itshallbe12percentperannum.

In case of late payment the Supplier may, afterhaving notified the Purchaser in writing, suspend hisperformanceofthecontractuntilhereceivespayment.

If the Purchaser has not paid the amount due withinthreemonthstheSuppliershallbeentitledtoterminatethe contract by notice in writing to the Purchaser andtoclaimcompensationforthelosshehasincurred.Thecompensation shall not exceed the agreed purchaseprice.

RESERVATION OF TITLE

21. TheProductshall remain thepropertyof theSupplieruntil paid for in full to the extent that such retentionof property is valid under the applicable law. ThePurchaser shall at the request of the Supplier assisthim in taking any measures necessary to protect theSupplier’stitletotheProductinthecountryconcerned.

TheretentionoftitleshallnotaffectthepassingofriskunderClause9.

LIABILITY FOR DEFECTS

22. Pursuant to the provisions of Clauses 23-37 inclusive,the Supplier shall remedy any defect resulting fromfaultydesign,materialsorworkmanship.

23. The Supplier’s liability is limited to defects which

appearwithinaperiodofoneyearfromdelivery.IfthedailyuseoftheProductexceedsthatwhichisagreed,thisperiodshallbereducedproportionately.

24. When a defect in a part of the Product has beenremedied,theSuppliershallbeliablefordefectsintherepaired or replaced part under the same terms andconditions as those applicable to the original Productforaperiodofoneyear.FortheremainingpartsoftheProduct the period mentioned in Clause 23 shall beextended only by a period equal to the period duringwhichtheProducthasbeenoutofoperationasaresultofthedefect.

25. The Purchaser shall without undue delay notify theSupplierofanydefectwhichappears.SuchnoticeshallundernocircumstancesbegivenlaterthantwoweeksaftertheexpiryoftheperiodgiveninClause23.

Wherethedefectissuchthatitmaycausedamage,thenoticeshallbegivenimmediately.

Thenoticeshallcontainadescriptionofthedefect. IfthePurchaserdoesnotnotifytheSupplierofadefect

withinthetime-limitssetforthinthisClause,heshalllosehisrighttohavethedefectremedied.

26. OnreceiptofthenoticeinwritingunderClause25theSuppliershall remedy thedefectwithoutunduedelayand at his own cost as stipulated in Clauses 22-37inclusive.

RepairshallbecarriedoutattheplacewheretheProductislocatedunlesstheSupplierdeemsitappropriatethatthedefectivepartortheProductisreturnedtohimforrepairorreplacement.

The Supplier is obliged to carry out dismantlingand reinstallation of the part if this requires specialknowledge. Ifsuchspecialknowledge isnot required,the Supplier has fulfilled his obligations in respect ofthe defect when he delivers to the Purchaser a dulyrepairedorreplacedpart.

27. IfthePurchaserhasgivensuchnoticeasmentionedinClause25,andnodefectisfoundforwhichtheSupplierisliable,theSuppliershallbeentitledtocompensationforthecostshehasincurredasaresultofthenotice.

28. The Purchaser shall at his own expense arrange forany dismantling and reassembly of equipment otherthantheProduct,totheextentthatthisisnecessarytoremedythedefect.

29. Unless otherwise agreed, necessary transport of theProductand/orpartsthereoftoandfromtheSupplierinconnectionwiththeremedyingofdefects forwhichtheSupplierisliableshallbeattheriskandexpenseoftheSupplier.ThePurchasershallfollowtheSupplier’sinstructionsregardingsuchtransport.

30. Unlessotherwiseagreed,thePurchasershallbearanyadditional costs which the Supplier incurs for repair,dismantling, installation and transport as a result ofthe Product being located in a place other than thedestinationstatedinthecontractor-ifnodestinationisstated-theplaceofdelivery.

31. DefectivepartswhichhavebeenreplacedshallbemadeavailabletotheSupplierandshallbehisproperty.

32. If,withinareasonabletime,theSupplierdoesnotfulfillhis obligations under Clause 26, the Purchaser may,bywrittennotice,fixafinaltimeforcompletionoftheSupplier’sobligations.

IftheSupplierfailstofulfillhisobligationswithinsuchfinal time, the Purchaser may himself undertake oremploya thirdparty toundertakenecessary remedialworksattheriskandexpenseoftheSupplier.

WheresuccessfulremedialworkshavebeenundertakenbythePurchaserorathirdparty,reimbursementbytheSupplierofreasonablecostsincurredbythePurchasershallbeinfullsettlementoftheSupplier’sliabilitiesforthesaiddefect.

33. Wherethedefecthasnotbeensuccessfullyremedied,

a) thePurchaserisentitledtoareductionofthepurchaseprice in proportion to the reduced value of theProduct,providedthatundernocircumstanceshallsuchreductionexceed15percentofthepurchaseprice,or

b) wherethedefectissosubstantialastosignificantlydeprivethePurchaserofthebenefitofthecontract,thePurchasermayterminatethecontractbywrittennoticetotheSupplier.ThePurchaseristhenentitledtocompensationforthelosshehassuffereduptoamaximumof15percentofthepurchaseprice.

34. The Supplier is not liable for defects arising outof materials provided by, or a design stipulated orspecifiedbythePurchaser.

35. The Supplier is liable only for defects which appearunder the conditions of operation provided for in thecontractandunderproperuseoftheProduct.

The Supplier’s liability does not cover defects whicharecausedbyfaultymaintenance,incorrecterectionorfaultyrepairbythePurchaser,orbyalterationscarriedout without the Supplier’s consent in writing. FinallytheSupplier’sliabilitydoesnotcovernormalwearandtearordeterioration.

36. Notwithstanding the provisions of Clauses 22-35 theSuppliershallnotbeliablefordefectsinanypartoftheProductformorethantwoyearsfromthebeginningoftheperiodgiveninClause23.

37. SaveasstipulatedinClauses22-36,theSuppliershallnot be liable for defects. This applies to any loss thedefect may cause including loss of production, lossof profit and other indirect loss. This limitation of theSupplier’sliabilityshallnotapplyifhehasbeenguiltyofgrossnegligenceasdefinedinClause15.

DIVISION OF LIABILITY FOR DAMAGE CAUSED BY THE PRODUCT

38. The Supplier shall not be liable for any damage toproperty caused by the Product after it has beendelivered and whilst it is in the possession of thePurchaser. Nor shall the Supplier be liable for anydamagetoproductsmanufacturedbythePurchaser,orto products of which the Purchaser’s products form apart.

IftheSupplierincursliabilitytowardsanythirdpartyforsuchdamagetopropertyasdescribedintheprecedingparagraph, thePurchasershall indemnify,defendandholdtheSupplierharmless.

If a claim for damage as described in this Clause islodged by a third party against one of the parties,the latter party shall forthwith inform the other partythereofinwriting.

The Supplier and the Purchaser shall be mutuallyobligedtoletthemselvesbesummonedtothecourtorarbitraltribunalexaminingclaimsfordamageslodgedagainstoneof themonthebasisofdamageallegedlycausedbytheProduct.

The limitation of the Supplier’s liability in the firstparagraph of this Clause shall not apply where theSupplierhasbeenguiltyofgrossnegligenceasdefinedinClause15.

FORCE MAJEURE

39. Either party shall be entitled to suspend performanceofhisobligationsunderthecontracttotheextentthatsuch performance is impeded or made unreasonably

onerous by any of the following circumstances:industrialdisputesandanyothercircumstancebeyondthe control of the parties such as fire, war (whetherdeclared or not), extensive military mobilization,insurrection,requisition,seizure,embargo,restrictionsintheuseofpoweranddefectsordelaysindeliveriesby sub-contractors caused by any such circumstancesreferredtointhisClause.

A circumstance referred to in this Clause which hadoccurred prior to the formation of the contract shallgive a right to suspension only if its effect on theperformance of the contract could not be foreseen atthetimeoftheformationofthecontract.

40. ThepartyclaimingtobeaffectedbyForceMajeureshallnotify the other party in writing without delay on theinterventionandonthecessationofsuchcircumstance.

IfForceMajeurepreventsthePurchaserfromfulfillinghis obligations, he shall compensate the Supplierfor expenses incurred in securing and protecting theProduct.

41. RegardlessofwhatmightotherwisefollowfromtheseGeneral Conditions, either party shall be entitled toterminatethecontractbynoticeinwritingtotheotherpartyifperformanceofthecontractissuspendedunderClause39formorethansixmonths.

ANTICIPATED NON-PERFORMANCE

42. Notwithstanding other provisions in these conditionsregarding suspension, each party shall be entitledto suspend the performance of his obligations underthe contract, where it is clear from the circumstancesthat the other party will not be able to perform hisobligations.Apartysuspendinghisperformanceofthecontractshallforthwithnotifytheotherpartythereofinwriting.

CONSEQUENTIAL LOSSES

43. Save as elsewhere stated in these conditions thereshall be no liability for either party towards the otherpartyforlossofproduction,lossofprofit,lossofuse,lossofcontractsorforanyconsequential,economicorindirectlosswhatsoever.

DISPUTES AND APPLICABLE LAW

44. Alldisputesarisinginconnectionwiththecontractshallbe finally settled under the Rules of Conciliation andArbitration of the International Chamber of Commerceby one or more arbitrators appointed in accordancewith the said rules, supplemented as necessary bythe procedural rules of the law of the country of theSupplier’s place of business most closely connectedwiththecontract.

45. ThecontractshallbegovernedbythesubstantivelawofthecountryoftheSupplier’splaceofbusinessmostcloselyconnectedwiththecontract.
