CONTRACT FOR OPENING, CLEANING, REPAIRS AND TESTING OF HEAT EXCHANGERS & CONDENSERS ETC. AT DUU, SWSU AND ARU IN DHDS, FR

Please arrange to provide necessary Skilled Manpower services, expert Full-time Supervision, Transportation, Materials, Tools & Tackles, Equipment, etc. to carry out Opening, Cleaning, Hydro-Blasting, Mechanical Repairs and Testing etc. (as required) of various Heat Exchangers and Condensers at DUU, SWSU and ARU in DHDS, FR during DHDS Shutdown tentatively scheduled in November 2009.

SCOPE OF JOB:

1 Scope of Lump Sum Job:Following 12 nos. exchangers are to be opened, hydro blast cleaned, inspected and hydro-tested as per details given in Item B2 of the unit rates section:1. 71-E-01 A/B 2. 71-E-7 3. 72-E-1 A/B4. 72–E-2 A/B5. 72-E-3 A/B6. 74-E-17. 74-E-48. 74-E-571E03A exchanger to be opened for inspection tube bundle to be pulled out and necessary hydro testing (Job to be done as per details given in Item B2 except that hydro-blasting is not required and tube bundle need not be brought to ground) needs to be done.16 exchangers (71E02ABCD, 71E03BC, 71E04ABCDEFGH & 71E05AB) in the list shall only be hydro-tested (Shell test only). However, if any exchanger fails the hydro test then it shall be opened by the vendor and necessary repairs shall be done as per unit rates, however extra time shall be given for the same.14 nos AFCs (73AFC03AB, 73AFC04AB, 71E12ABCDEFGH & 71E13AB) are to be hydro tested. Incase there is any plug leak the same needs to be replaced. Re-hydro test shall be paid extra as per relevant Item E.

General scope for hydro-testing:1. Blind all the nozzles and Hydro-test the coolers as per the specified test pressures. Offer for inspection

and obtain clearance. In case of any tube leaks, agency shall make necessary arrangement to identify the leaking tube. Plug the leaky tube from both ends as per standard procedure. Hydro test the cooler again and obtain Inspection clearance

2. The test pressures are indicated in the table above. However vendor to take the approval of the same from HPCL Inspection prior to pressurizing the vessel.

3. Ensure that the Pressure Gauges used are of nearly twice the given hydro test pressure. During hydro test, minimum of Two Pressure Gauges are required at specified locations

4. Ensure that the pressure gauges used have been calibrated and tested. Hydro-testing is liable to be rejected due to error/absence of Calibration Certificates of Pressure Gauges used for the job.

5. Use motorized pressurizing pumps to pressurize the cooler6. Maintain all the checklists given by operations, process and Inspection. 7. Remove all blinds and all temporary connections provided for testing.8. Make up all the flanges with new gaskets after completion of all jobs. Gaskets to be put in presence of

maintenance, inspection and operations to ensure proper gasket in the flanges.9. Provide all necessary assistance to Operations Department for nitrogen pressure testing of and

steaming operations. During this operation, check for any leaks and carry out hot bolting.10. Clean up the equipment area of trash and loose material and obtain Operations clearance.11. During steam test / nitrogen test /Hydrogen Test of the equipment, check for any leaks and carry out

hot bolting.12. Any other minor repairs/cleaning required but required for the full completion of the turnaround jobs on

the above mentioned vessels will have to be carried out by the vendor at no additional cost

The entire job above form part of Lump Sum job which is firm and vendor to quote separately of the same.

In case of any hydro test failure or due to other reasons if more equipment is to be opened then the same shall be done as per the unit rates given in the order. Extra time as mutually agreed by HPCL & Vendor shall be given for any extra job arised.

2 Unit Rates Section

Item - A: Without Pulling out the Tube Bundle

After receiving the valid permit, Vendor to carry out necessary spading / despading as per advice of concerned HPCL Supervisor-in-charge. HPCL will carry out the necessary flushing and steaming of the Exchanger, Condenser etc., as required. However vendor has to provide necessary assistance like providing temporary hose / rigid connections etc. as advised by concerned HPCL Supervisor-in-charge and this shall be in the Scope of Job of Vendor.

If required and as advised by HPCL Supervisor, Vendor to disconnect/remove the connecting Piping / remove (including cutting if required) the structural members to facilitate the removal of exchanger components. No additional payment will be made by HPCL for disconnecting of Piping. However, for removal & reinstallation of structures and Piping, payment shall be made separately as per relevant Line Item Rate in PO.After receiving the valid permit, as per advice of concerned HPCL Supervisor-in-charge, Vendor shall drop the required exchanger components (Tube Bundle pulling is not included in this scope of job). Also, if and as advised by HPCL Supervisor, Vendor shall clean the Tubes internally at location, clean the relevant exchanger components from inside, out side & offer for inspection.

Necessary arrangement for transporting the exchanger components, which needs to be repaired as per inspection reports or as advised by concerned HPCL Supervisor, to HPCL FR Mechanical Shop or at any other location inside the refinery premises for necessary repairs. Vendor shall put proper tag on each exchanger component for identification.

Transportation of the new exchanger components which needs to be replaced as per advice of HPCL concerned supervisor, from Maintenance Planning Yard or any other location inside the HPCL refinery premises is in vendor’s scope of job and no additional payment will be made by HPCL. Transportation of component to/from FR workshop is also included in vendor’s scope.

If required, HPCL shall carry out necessary repairs (involving fabrication, welding etc.) of Exchanger components.

As advised by HPCL Supervisor, vendor shall carry out various Test(s) (like Ring Test, Tube Test, Final Test) at the required Test Pressure.

In case of Ring Test, servicing of Test Ring & Transportation of Test Ring from respective location to Exchanger & back to its location is in vendor’s Scope of job.

Plugging of leaky tubes during the Ring Test is in vendor’s scope of job. Necessary exchanger tube plugs will be supplied by HPCL as a free issue material.

In case of any roll leak, carry out re-rolling of Tubes. Payment for the same shall be made separately as per relevant Rates in PO.

Vendor shall offer the various Test(s) to concerned HPCL authorities like HPCL Inspection etc. as per advice of concerned HPCL Supervisor-in-charge. All necessary Gaskets & fasteners will be supplied by HPCL as a free issue material.

After getting clearance from concerned HPCL Supervisor-in-charge, Vendor shall reconnect the necessary piping / reinstall structural members etc. However, any welding required for structural member reinstallation shall be paid separately as per relevant Line Item Rate in PO.

As per advice of concerned HPCL Supervisor-in-charge, carry out necessary Spading / Despading and install the appropriate gaskets etc. for commissioning of the Equipment.As per advise of HPCL Supervisor, Vendor to carry out the repeat Ring Test / Tube Test / Final Test if Exchanger fails during testing and Vendor shall be paid additionally for carrying out repeat test, if any in case the failure is due to any reason other than leaks through the Flange Joints or welding joints which Vendor attended during the job execution, additional Payment shall be made as per relevant Rate in PO. However, payment for repeated Final Test will be considered only if the Final Test is repeated due to leakage through weld seam/Bleeders/Vents etc. (not attended by Vendor) and consequently Exchanger parts are removed for corrective action.

Payment will be made on Inch Dia basis and Shell ID shall be considered for the Purpose of determining the Inch Dia.

Note: Test Pressures for all the above Tests for particular Equipment will be as advised by HPCL Inspection / Maintenance Supervisor in-Charge.

Shot Blasting of Exchanger Components, if required for the job, will be arranged by HPCL separately. However necessary manpower assistance for to & fro transportation of the components to shot blasting yard, inside the HPCL Refinery premises, is in Vendor’s scope of job and no additional Payment shall be made for the same.

Item – B-1: With Partial Pulling out the Tube BundleItem – B-2: With Complete Pulling out the Tube Bundle

After receiving the valid permit, Vendor to carry out necessary spading / despading as per advice of concerned HPCL Supervisor-in-charge. HPCL will carry out the necessary flushing and steaming of the Exchanger, Condenser etc., as required. However vendor has to provide necessary assistance like providing temporary hose / rigid connections etc. as advised by concerned HPCL Supervisor-in-charge and this shall be in the Scope of job of Vendor.

If required and as advised by HPCL Supervisor, Vendor to disconnect/remove the connecting piping / remove (including cutting if required) the structural members to facilitate the removal of exchanger components. After receiving the valid permit, as per advice of concerned HPCL Supervisor-in-charge, Vendor shall drop the required Exchanger components. Also, if and as advised by HPCL Supervisor, Vendor shall clean the exchanger components from inside, out side & offer for inspection.

As per advice of HPCL Supervisor, vendor shall have to partially pull out the Tube Bundle / completely pull out the tube bundle assembly from the exchanger shell. Wherever due to site conditions, where in position complete Tube bundle pull out is not possible, vendor has to drop the complete exchanger to the ground level and shall remove the tube bundle assembly. HPCL will not make any additional payment for such exchangers.

If Vendor has to remove the exchanger shell for the purpose of replacement or for some other purpose as per HPCL Supervisor’s advice, it will be paid separately as per relevant Rate in PO. However it will not be paid wherever due to site condition complete exchanger to be brought down for the purpose of exchanger testing.

Vendor shall remove / break the associated insulation / gunnite lining existing on the Shell support etc. as required for removal of shell. The vendor shall loosen / cut the bolts connecting the shell to the foundation / shell of other exchanger without damaging the foundation / foundation bolts. If required, repair the foundation / foundation bolts for installation of new equipment. Vendor shall not remove / break associated insulation / gunnite lining existing on the shell to be re-installed again.

Vendor shall fabricate all necessary jigs & fixtures for Pulling out the Tube Bundles. HPCL will provide necessary structural material required to fabricate the Jigs/Fixtures as free issue material. However all necessary fabrication is in vendor’s scope.

Use only Nylon / Fabric Slings of required capacity for lifting the Exchanger Tube Bundles to avoid the damage on Tube bundles.

Vendor shall use Half Rings, of required capacity, to Hold the Stationary Tube Sheet while Bundle Pulling / Pushing operation. Supply of Half Ring is in vendor’s scope of job.

Take proper care while removing the tube bundle so that the tubes should not get damaged. If any tube will get damage due to mishandling during the Tube bundle Pulling / Pushing operation or during the transportation, it should be rectified to the satisfaction of HPCL Authorities by Vendor free of cost to HPCL.

If required and as per advise of concerned HPCL Supervisor-in-charge, Vendor shall arrange for to & fro transportation of Exchanger Tube bundle to FR Mechanical shop or at any other location inside the HPCL refinery premises, for carrying out the Partial / Full Re tubing of the Exchanger tube bundle.

Make necessary arrangement for transporting the exchanger components, which needs to be repaired as per inspection reports or as advised by concerned HPCL Supervisor, to HPCL FR Mechanical Shop or at any other location inside the refinery premises for necessary repairs. Vendor shall put proper tag on Each Exchanger Components for identification.

Transportation of the new exchanger components which needs to be replaced as per advice of HPCL concerned supervisor, from Maintenance Planning Yard or any other location inside the HPCL refinery premises is in vendor’s scope of job and no additional payment will be made by HPCL. Transportation of component to/from FR workshop is also included in vendor’s scope.

Vendor shall carry out necessary cleaning of the tube bundle by hydro blasting at 20000 PSI pressure.

After necessary clearances vendor shall insert the exchanger tube bundle in the Exchanger shell, using proper gaskets.

As advised by HPCL Supervisor, vendor shall carry out various Test(s) at the required Test Pressure.

In case of Ring Test, servicing of Test Ring & Transportation of Test Ring from respective location to Exchanger & back to its location is in vendor’s Scope of job.

Shot Blasting of Exchanger Components, if required for the job, will be arranged by HPCL separately. However necessary manpower assistance for to & fro transportation of the components to shot blasting yard, inside the HPCL Refinery premises, is in Vendor’s scope of job and no additional Payment shall be made for the same.

Item- C: Dropping and Reinstallation of Components for replacement After receiving the valid permit, if and as advised by HPCL Supervisor, Vendor shall have to replace component(s) and carry out relevant tests thereafter. Vendor to carry out necessary spading / despading as per advice of concerned HPCL Supervisor-in-charge. HPCL will carry out the necessary flushing and steaming of the Exchanger, Cooler, Condenser etc., as required. However vendor has to provide necessary assistance like providing temporary hose / rigid connections etc. as advised by concerned HPCL Supervisor-in-charge and this shall be in the Scope of Job of Vendor.

Vendor shall open the required component(s) like cover plate, shell cover, FTS cover etc. but except Channel & Shell & replace the same with new one / old one thoroughly cleaned and Okayed by HPCL authority.

All Test(s) required to be carried out shall be carried out by Vendor. Payment for the test(s) shall be made as per relevant PO line item.

As per advice of concerned HPCL Supervisor-in-charge, carry out necessary Spading / Despading and install the appropriate gaskets etc. for commissioning of the Equipment.As per advice of concerned HPCL Supervisor-in-charge, Vendor shall carry out the necessary hot bolting after commissioning of the exchanger.

Payment will be made on Inch Dia basis and Shell ID shall be considered for the Purpose of determining the Inch Dia of each component dropped and reinstalled.It may be clearly noted that this item will not be payable if Item A or Item B-1 or Item B-2 is executed.

Item- D: Exchanger Tube Rolling

As per advice of concerned HPCL Supervisor-in-charge, Vendor shall clean the leaky / marked tube end to be rolled.

Vendor shall carry out the necessary Tube expansion by means of rolling the tube end, to arrest the leak. Vendor shall use Pneumatic or Hand Rolling machine. Supply of Rolling Machine will be in vendor’s scope of job.

Vendor have to carry out the tube rolling jobs at Unit (in position), HPCL work shop or at exchanger yard in side the HPCL Refinery premises.

Payment will be made per Tube End basis for all the tube metallurgy of all the gauges.

Item – E: Repeat Test

As per advise of HPCL Supervisor, Vendor shall carry out the repeat Ring Test / Tube Test / Final Test if Exchanger fails during testing and Vendor shall be paid additionally for carrying out repeat test, if any in case the failure is due to any reason other than leaks through the Flange Joints or welding joints which Vendor attended during the job execution. Additional Payment shall be made as per relevant Rate in PO. However, payment for repeated Final Test will be considered only if the Final Test is repeated due to leakage through weld seam/Bleeders/Vents etc. (not attended by Vendor) and consequently Exchanger parts are removed for corrective action.

Item F: Fabrication and Fixing of Anode Plate

As per advice of concerned HPCL Supervisor-in-charge, Vendor shall cut and remove old Anode Plate from the Channel Cover.

Fabricate and fix (tack weld) new Anode Plate to the existing / new Channel Cover as per Drawing / Specification. Necessary material required for fabrication of the Anode Plate will be supplied by HPCL as Free-Issue Material. Item H: Removal & Reinstallation of Pipelines:

In case of removal of Exchanger Components (for replacement etc,) and removal of complete Exchanger, if required and as advised by HPCL Supervisor, Vendor shall have to remove some Pipelines by de-Bolting. In case removal of line requires hot/cold cutting, the same shall be arranged by HPCL Separately.

If and as advised by HPCL Supervisor, Vendor shall have to install blind flanges on the open ends of the existing Pipelines. This shall be in vendors scope of the job and no separate payment shall be made for the same.

After completion of the job, vendor shall reinstall the line by Bolting as advised by the concerned HPCL Supervisor.

Vendor will be paid for removal and reinstallation of line on Inch Meter basis. This Rate is inclusive of Bolting/de-Bolting and no separate payment will be made for the same. However, in case of only removal or reinstallation (as per HPCL Supervisor’s advise), 50% payment will be made. This shall be arrived at by Quantity Adjustment.

Item I: Removal & Reinstallation of Structural:

In case of removal of Exchanger Components (for replacement etc,) and removal of complete Exchanger, if required and as advised by HPCL Supervisor, Vendor shall have to remove some Structures by hot/cold cutting etc. as per site condition.

After completion of the job, vendor shall reinstall by welding etc. the structure (old/new) as advised by the concerned HPCL Supervisor.

Vendor will be paid for removal and reinstallation of Structure on MT basis. However, in case of only removal or reinstallation (as per HPCL Supervisor’s advise), 50% payment will be made. This shall be arrived at by Quantity Adjustment.

Item J: Removal and Reinstallation of complete Exchanger

If and as advised by HPCL Supervisor, to facilitate replacement of shell of an exchanger, vendor shall have to carry out the job of removal of other complete Exchanger down to ground level etc. and reinstallation of complete Exchanger (i.e. opening of the exchanger may or may not be involved). In such cases, all activities like removal of insulation / breaking of associated gunnite lining existing on the Shell support etc. as required to facilitate removal of exchanger shall be in vendor’s scope of the job. The vendor shall loosen / cut the bolts connecting the shell to the foundation / shell of other exchanger without damaging the foundation / foundation bolts. If required, repair the foundation / foundation bolts for installation of new equipment. Vendor shall not remove / break associated insulation / gunnite lining existing on the exchanger to be re-installed.

As advised by HPCL Supervisor, any removal and reinstallation of pipelines (by debolting) for removal & reinstallation of the complete Exchanger shall be paid separately as per relevant line Item. However, any spading / despading required for this job shall not be paid separately. Also, any component replacement and

testing etc. if required to be done for the removed exchanger shall be paid separately as per relevant Line Item Rate in PO.

If and as advised by HPCL Supervisor, Vendor shall have to install blind flanges on the open ends of the existing Pipelines. This shall be in Vendors scope of the job and no separate payment shall be made for the same.

As advised by HPCL Supervisor, removal & reinstallation of any structural member shall be paid separately as per relevant line Item.

For this item, Payment will be made on Inch Dia basis and Shell ID shall be considered for the Purpose of determining the Inch Dia.

Item k: Removal and Reinstallation of AFC Plugs

Remove the AFC plugs carefully with unscrewing and after cleaning reinstall the same or new plug as advised with new soft iron gaskets. Payment shall be made on per plug basis.

Item l: Hydroblasting of Exchanger/ AFC tubes

Carryout hydro blasting of exchanger or air fin cooler tubes on per tube basis. The hydro-blasting is to be done at 20000 PSI. In cases where the exchanger/ AFC cannot be taken to the blasting yard then in-situ blasting needs to be done.

Proper care and necessary safety precaution to be taken for hydro blasting activity

HPCL's SCOPE OF SUPPLY:

1) HPCL will provide new / repaired Exchanger Components, Exchanger Gaskets, Gasket Sheets, Teflon Tape, Plugs, Packing materials, Bolts & Nuts, Cotton Rags, Plates / Pipes / Structural / Pipe Fittings, Plugs, Plug gaskets as Free issue Materials.

2) Refinery Air for cleaning of Exchanger Components & Tube Rolling.

3) Water for Hydro testing purpose shall be provided by HPCL. However, arrangement for using Water from the nearest supply point shall be made by Vendor.

4) Slip Blinds, Air / Water / Steam Hoses / Test Rings will be issued on Loan basis. Vendor to collect these materials from the issuing locations and return them after use.

5) Necessary Wooden Blocks for keeping the Exchanger Tube Bundle, from FR Tool room / other issuing location inside the Refinery premises on loan basis. Vendor to collect these materials from the issuing locations and return them after use.

6) 24 Volts Electrical Power supply point for illumination of Hand Lamps will be provided.

7) Power for hydro blasting machines may be provided by HPCL at the rate of Rs 10 per KWHr. The machine rated power x 24 hrs shall be billed for a day.

1) Necessary Equipment, Tools & Tackles, Materials (both Consumables and non-Consumables, as required for execution of jobs, unless specifically mentioned in HPCL’s Scope of supply) , Shop facilities, Manpower, Supervision, Transportation, etc.

2) Welding Machines, Cables, Cutting Sets, Grinding Machines, Pneumatic Concrete breaking Tool, Motorised Pump, Pressure Gauges, Welding Electrodes (of HPCL approved make only, as per ANNEXURE-WE), Gas, Diesel, Lube Oil, Grinding Wheels, etc. and any other Equipment, Tools required for execution of job, along with required transportation arrangements.

3) Fire Hoses, Couplings and suitable Adapters, as described in HSE conditions while carrying out Hot Work.

4) Required metallic Scaffolding Materials like Metallic Scaffolding Pipes, Clamps, Pins, Planks, U-Clamps, Ladder arrangements etc. Safety Nets, Double Lifeline Safety Belts and other Personnel Protective Gears (as per HSE requirements) for all Workers engaged for Scaffolding jobs.

5) 24 Volts Hand Lamps, with sufficient Cables and portable Flame-proof Junction Box.Welding Machines, Diesel Air Compressor and Vehicles plying inside Refinery should be fitted with approved Spark Arrestors at their Engine exhaust. All Gas cutting Sets should be equipped with Flash-back Arrestors. Electrical Grinders to be used in the Plant areas should have ELCB.

6) Supply of required Tools like Chain-Pulley Blocks, Slings, D'Shackles, Ropes, Derrick Poles, Nylon Belts for holding bundles, Half Rings, eye-bolts etc. and Aluminium Ladders, Rope Ladders, Safety Belts, etc. as required to carry out the jobs.

7) Vendor shall arrange for transport to & fro from refinery premises and inside the refinery premises for carrying the radiography source to various locations

8) Vendor shall arrange for Hydra, truck, fork lift and cranes required for execution of jobs in the Contract.

9) Diesel or electric hydro-blasting machines capable of cleaning at 20000 – 25000 psi.

10) Hydraulic torque wrenches required for the job. Rolling Machine along with necessary rollers.

11) Tarpaulin required for cordoning in the Unit area.

12) All material, Equipment & Services required for Carrying out component replacement, hydro testing, rolling etc.

13) All safety equipment such as helmets, safety shoes, face masks, safety belts, goggles, as protective equipment, hand gloves, and all required safety appliances to ensure safe working inside the Refinery.

14)All other things required for carrying out the jobs and not mentioned in HPCL's Scope of Supply. Minimum requirement for equipment mobilization as mentioned in the Notes to Vendor has to be met.

NOTES TO VENDOR:

1) DHDS Shutdown is scheduled tentatively in first week of November 2009. However the PO shall be valid till JUNE 2009.

2) It may be noted that Financial Limit specified in the Tender is indicative only and may or may not be consumed fully, depending upon Plant requirements. Also, HPCL reserves right to split the specified Financial Limit across Vendors, as deemed fit while finalization of the Order(s).

3) After getting LOI / PO (whichever is earlier), Vendor shall meet immediately concerned Mechanical Maintenance Section and mobilize their adequate services as per advise of concerned HPCL Supervisor-in-charge.

4)Pre-Outage activities wherever possible as per advise of concerned HPCL Supervisor-in-charge shall be completed before commencement of Outage, if required by working on Round the clock basis. However during the Outage Period, Vendor has to work on round the clock basis and on all holidays & Sundays etc.

5) Commissioning: Vendor shall de-blind and make up all the flanges with new gaskets after completion of all jobs. Gaskets to be put in presence of Maintenance, Inspection and Operations to ensure proper gasket in the flanges. Provide steam hose / temporary hose connections wherever required. Vendor shall mobilize sufficient number of workers to carry out de-blinding, attending final check lists, hot bolting, tightening of all equipment / piping flanges, attending all leakages etc. for unit start up, in each shift depending on the plan.

6) Entire job will be subjected to stage-wise Inspection and Approval by HPCL MI / PAD / Operation. All arrangements and materials required for stage-wise inspection and as instructed by HPCL Inspection / PAD / Operation are in Vendor's scope. Vendor will have to co-ordinate with HPCL Inspection, PAD and Maintenance Sections to expedite completion of the jobs. Vendor to take up jobs as per the priority set from time to time by HPCL Maintenance Engineer. Vendor shall also maintain proper Documentation / Record keeping, etc. for all jobs.

7) Vendor to use Hydraulic torque wrenches for tightening of all flanges so as to ensure zero leakage during pressure testing. For bolt sizes 7/8” and below manual torque wrenches shall be permissible.

8) Hydro blasting of tube bundle and components shall be done at a minimum pressure of 20000 PSI. Vendor to mobilize necessary equipment for the same. Vendor to specify the requirement of power in the technical bids in case required.

9) Vendor will be required to maintain Good Housekeeping during and after completion of every job, until satisfactorily accepted by HPCL. Vendor shall collect back all Debris / Scrap generated from the Work Site and dump at designated places inside the Refinery, as instructed by the HPCL Supervisor.

10) In case of GHK not being done by the Vendor on daily basis, HPCL reserves right to make alternate arrangements for necessary GHK of the areas. In such case, all additional and incidental Costs incurred by HPCL would be deducted from Vendor’s running Bills.

11) Vendor should be in a position to carry out jobs simultaneously at several locations as per the requirement and instruction of HPCL Supervisor(s).

12) Total job shall be carried out in a manner not to hinder any near-by activities. Please note that any hindrance caused by other Vendors in the area shall not qualify for acceptance of delay in job execution.

13) To and fro transportation of Materials (FIM / Loan) issues, return from / to Warehouse, Planning Yards, Tool Rooms to / from Site is in Vendor’s Scope of work.

14) Material Reconciliation: Vendor shall maintain Records of all FIMs received from HPCL and used for the jobs. Vendor to return balance materials to the issuing location and certified Material Return Ticket should be enclosed along with Delivery Challan to the concerned HPCL Engineer. Material Reconciliation Statement, duly signed by Vendor and certified by HPCL Engineer, should be attached to the Delivery Challan.

15) Vendor shall ensure minimum wastage of materials. Deduction will be made if any material is not accounted for. All reusable material shall be serviced / reconditioned and reused.

16) Vendor shall return all materials taken on Loan basis (like Slip Blinds etc.) and obtain clearance of the issuing Tool Room, without which no payment can be processed.

17) Vendor to ensure that the Welders are appropriately certified by HPCL Inspection Section well in advance.

18) Removal of insulation / fireproofing over the flanges etc., if any, required to facilitate removal of bolts etc. is included as a part of the job.

19) After satisfactory completion of all jobs, Vendor shall obtain clearance from the concerned HPCL Maintenance Supervisor for certification of Delivery Challan and processing of payment.

20) For jobs done on pro-rata basis or percentage of the actual quoted Rate for Specification corresponding to the PO Line, calculation of Amount payable will be arrived at by Quantity Adjustment against the respective PO Line Item.

21) Job acquaintance: Vendor shall acquaint itself thoroughly with the job scope before submitting the Tender. All clarification regarding job scope and conditions of Contracts shall be obtained before submitting the quotation. The interpretation of the job scope and conditions of Contract by HPCL shall be final and binding on the vendor.

22) Mobilisation: Following minimum mobilization is required:1. Crane 40MT 100Ft Boom – 1 no.2. Truck 10MT – 1 no.3. Fork Lift 3MT – 1 no.4. Hydro blasting Machine Suitable for blasting at 20000 PSI – 1 no.5. Hydraulic Torque crew with equipment (during box up period) – 2 nos

23) Scaffolding erection and dismantling etc. wherever required for any of the jobs given below shall be in Vendor’s scope of the job and no separate payment shall be made for the same. For Scaffolding details, please Refer “Attachment SC”.

24) At any stage of work, if progress of the job is found unsatisfactory, HPCL reserves the right to carry out remaining portion of the job by hiring services of other Agencies to meet the job completion schedule and back charge the cost so incurred to Vendor's account.

25) If and as per instruction of concerned HPCL Supervisor-in-charge, vendor does not carry out any of the tests mentioned in the Scope of job, Payment will be deducted towards the tests as per rates mentioned against Item “Repeat Test”. Such deductions, if any, shall be paid by quantity adjustment.

26) Vendor shall keep the necessary standby crew for attending to leaks / Hot Bolting of Exchangers, if any during commissioning of Exchangers for a period of about 3 days or as advised by concerned HPCL Supervisor-in-charge.

27) If any of the Test fails due to leak from any of the Flanges opened and buttoned up by the Vendor, repeat Test(s) will have to be carried out by Vendor till the Test is passed, at no extra cost to HPCL.

28) All Bolts & Nuts shall be serviced, segregated and stored properly for re-use. Wherever necessary, Vendor shall cut WR Asbestos Gaskets of Exchangers as a part of the job from the material issued by HPCL. Hot/Cold cutting of Nut-Bolts during stripping of the Exchanger Components, removal of Shell from the foundation and cutting of Stud Bar to the required Stud size during re-assembly of Exchangers, etc. are included in scope of the job.

29) Repairs of Roll leak, if required, shall be carried out by the vendor under the relevant unit rates. However, pressurising/ de-pressurising the Shell side for detection of Roll leak shall be carried out by the Vendor, which will not be treated as a Repeat Test.

30) Vendor must take utmost care while handling the Tube Bundles so as not to cause any damage to the Tubes.

31) Reaming for unplugging of Exchanger Tubes is included in scope of the job. Reaming operation shall be carefully done so as not to cause any damage to the Exchanger Tubes.

32) Vendor shall keep dismantled parts of Exchangers in such a manner not to obstruct any Crane and Forklift movement.

33) Vendor, in consultation with the concerned HPCL Supervisor in-Charge, shall maintain a comprehensive Check-List for every Exchanger testing job taken up, to record job/testing details and various stage-wise approval obtained for the job. Such Check-List shall be submitted along with the Delivery Challan for the job.

34) Testing of lifting tackles: All hoisting equipment, tools and tackles like Hydra, slings etc shall have valid documents certifying that mandatory Inspection of the same has been carried out by a Government approved agency and they have been found to be in sound condition for using safely on the job. Copies of all such Certificates shall be submitted to HPCL’s safety Department and clearance obtained by the agency before the equipments are used inside the Refinery. Only tested and certified equipment shall be used by the agency.

35) Rigging Activities: All precautions shall be taken and a clear-cut plan formulated before taking up any rigging activity. Area around the rigging job shall be demarcated with Zebra tape and all precautions taken before starting any rigging activity.As advised by HPCL Supervisor, vendor shall carry out and complete the jobs at the earliest.

36) Passivation requirements: Only 71E02ABCD in the DHDS block needs to be passivated with a neutralizing solution (soda ash solution). Vendor is expected to apply this solution manually by hand application or spraying and do Hydro blasting / Hydro testing of the equipment will also have to be carried out using the soda ash solution. Passivation is considered within the scope of job and no payment shall be made extra for the same. HPCL will provide passivated water temporary piping/ transportation arrangement has to be made by the vendor.

Delivery & LD Clause: All the jobs awarded are to be completed within 10 days from the date of site clearance. In case the vendor fails to complete the job in specified time liquidated damages at the rate of 1% per day shall be levied to a maximum of 5% of the executed contract value.The delivery period shall be extended suitably incase the job increases beyond the specified scope in the lump sum part as mutually agreed by HPCL & vendor. In case the delivery period is extended due to reasons attributable to vendor no extra claim shall be entertained for the same.

GENERAL NOTESEntry of all Workmen inside the Refinery shall be guided by the rules and regulations prevailing at HPCL from time to time. Vendor shall arrange necessary Gate Entry Passes for all manpower in advance, duly completing all security formalities. PENALTIES FOR NON-COMPLIANCE OF SAFETY SYSTEMS & PROCEDURES: In order to ensure 100% compliance of Safety related rules & regulations, following Penalties will be imposed on the Person(s) found to be not adhering to Work Permit conditions inside the Refinery Premises:

Unauthorized Road closure / blockage Rs.200/-Please note that in case of any non-compliance/deviations to Work Permit conditions and/or Safety rules is found, applicable Penalty Clause would be exercised. This will result in stoppage of the job and Work Permit & Gate Pass will be taken from Vendor's Supervisor. HPCL will prepare a non-compliance Report on the same and Work Permit/Gate Pass will be returned back (for re-starting the job) only after ensuring complete compliance of the above Safety requirements.Jobs shall be carried out in a manner not to cause any damage to the surroundings. Vendor at his own cost shall make good any damages, if caused while carrying out the jobs. Vendor shall arrange adequate & skilled Manpower and Supervisor. Manpower deployed by Vendor should be experienced in similar type of jobs. All Equipment, Tools & Tackles used should be of appropriate Type and Size and approved by the competent authority for its Safe working limit. All Equipment and materials (both Consumables and non-Consumables) shall be brought inside the Refinery with proper Gate Entry only and proper Records shall be maintained. These Gate Entry Records will be referred to while taking out the materials after completion of the jobs, failing which such materials will not be permitted to be taken out.Vendor to mobilize Manpower and other resources to carry out pre-outage activities, wherever possible and as advised by the concerned HPCL Supervisor. Depending upon the quantum of jobs, Vendor should be in a position to arrange sufficient Manpower and other resources to carry out the given jobs on rush basis and will have to take up multiple jobs simultaneously at the same time.Vendor must not exceed the overall Financial Limit specified in the Purchase Order. Vendor should maintain proper Records of the quantum of jobs completed and the Financial Limit consumed on job item basis and should report the same to the concerned HPCL Supervisor. If Financial Limit is likely to exceed to cope up with the recommended jobs, Vendor shall bring the same to the notice of HPCL Supervisor / Area Manager as well as T&D Section well in advance. Under no circumstances Vendor shall undertake such additional job without requisite amendment of the PO.In case of controversy, HPCL's decision will be final and binding on the Vendor. Any minor changes in the scope of work required for completion of jobs shall be carried out by the Vendor at no extra cost to HPCL. HPCL material, if required to be taken out of Refinery premises for any work shall be permitted only if Bank Guarantee of equivalent amount is submitted by the Vendor.

SAFE ERECTION OF SCAFFOLDING AND LADDERS

Scaffolding is applicable to all jobs done at an elevation of above 2 Meters, where permanent Platform/Railing is not provided and where Scaffolding & Ladder shall be used. This procedure contains detailed precautions to be observed while erecting and using Scaffolding/Ladder.

Tubular Scaffoldings are an assembly consisting of Tubes, which serve as Posts, Bearers, Braces, Ties and Runners, a Base supporting the Posts and special Couplers, which serve to connect the Uprights and to join various members of Scaffolding.

Specifications and Procedures of Scaffolding erection

All Scaffold components shall conform to relevant Indian Standard, IS:4014 (for Steel Tubular), IS:3696 (Part-1). They shall be maintained in good condition. Damaged or deteriorated components shall not be used. Tube shall be free of cracks, surface flaws and other defects. Also, Tubes shall be straight. All tubes should be maintained in good condition and regularly inspected.

Fittings should be regularly examined. Moving parts should be regularly lubricated for easy movement.

Metallic Planks shall only be used and Timber or Aluminum Scaffolding shall not be used in the Refinery. The Planks of Scaffold should overhang not less than 6" but not more than 12" on either end. They should be securely fastened on both ends and laid tight.

All elevated Structures/Working Platform areas should be guarded on all sides. All Platforms shall be provided with Guardrails, Toe-Boards and means of access. Planks shall be

secured from movement by Metal Wire or Clamp. Nylon or other Combustible materials should not be used.

Scaffolds should be designed to support at least 4 times the anticipated Weight of Men and Materials. Ensure that all Scaffolds are plumb and level at all times. Manila/Cotton Ropes should not be used for erecting Scaffolds.

stand should be carefully examined. Loose Soil or backfilled Ground shall be avoided to support load of the Scaffold. Sole Plates of at least 9" x 1½" (230mm x 40mm) cross-section are required to spread the Load on Earth, made-up Ground, Asphalted surface, etc.

Standards/Posts shall be pitched on the Base Plates and Sole Plates or Sleepers. Standards shall not be spaced more than 2 Meters Longitudinally and 1.2 Meters Transversely.

Joints in Standards should not occur in the same lift. Joints should be arranged so that they occur as near as possible to a Ledger/Runner. All Standards shall be Vertical.

Ledgers/Runners shall be securely fixed to the Standards with Double or Universal Load-bearing Couplers and shall be Horizontal. Joints in Ledgers should be staggered, i.e. Joints in adjacent Ledgers should not occur in the same bay. It is desirable that these Joints be made with Sleeve Couplers. If Joint Pins are used, they should be placed at about ¼ th to 1/3

rd the Span between the Standards and not at the mid-Span.

Ledgers shall be started not beyond 150mm of the Base/Foundation of Standard. Maximum Vertical Spacing between the Ledger should not exceed 1.8 Meters.

Transverse Bracing, forming a ‘X’ across Width of the Scaffolding, shall be installed at the Scaffold ends at least at every 3rd Set of Posts Horizontally (measured from only One end) and every 4 th

Runner Vertically. All Scaffolding shall be effectively tied to an adjacent Structure to prevent any movement of Scaffold

either towards or away from the Structure. Maximum Vertical Spacing of Ties shall not exceed 4 Meters. Supports for Scaffold Planks shall be spaced with due regard to the nature of Platform and the load it

will bear. Maximum distances between Supports for Scaffold Planks/Boards should not exceed 5 Feet.

Except on Deck bordering the curved surface of a Cylindrical or Spherical Structure, Boards shall be laid flush wherever possible.

Planks shall be laid with no opening of more than 1“ between the adjacent Boards or Scaffold members.

All Platforms shall be kept free from unnecessary obstructions and from materials, rubbish and projecting Nails. Platforms, which have become slippery with Oil or other substance, shall be immediately replaced.

Working Platforms, from which Persons or material could fall a distance exceeding 6 Feet, shall be provided with Guards. This should consist of top-Rail, mid-Rail and Toe-Board. The Toe-Board shall be of minimum 6 Inches Height and secured in position by Toe-Board Clips or other means, while the mid-Rail and the top-Rail shall be at Heights of 2 Feet and 4 Feet respectively.

Guardrails and Toe-Boards shall be fitted to inside of the Standards to prevent any outward movement.

If Guardrails and Toe-Boards are removed for movement of materials, e.g. Heat Exchanger jobs, they shall be restored as soon as practicable.

Where Scaffolds are erected above Walkways or work areas, Space between the Toe-Board and Railing should be screened.

A safe and convenient means of access should be provided to the Platform level. Means of access may be a Portable Ladder, Fixed Ladder, Ramp or Runway or Stairway. Do not climb on the cross braces.

Do not use Ladders or makeshift Devices on top of Scaffoldings to increase the Height. Access to a working Platform can be best achieved by providing a separate Ladder Tower or

Cantilevered Access Platform so as not to obstruct the Platform and to minimize the possibility of Persons falling through gap in the Guardrail or Deck (refer Figure 01). If this is not practical, top Handrail should be hinged or a hinged Short Bar provided at the access point.

Scaffolding shall be erected, altered and dismantled by experienced Workmen working under the direction of a competent Supervisor.

Procedure for erection & dismantling should be such that an unstable condition is not reached at any point of time. Progress should be symmetrical to prevent any load imbalance.

All Scaffolders shall wear Safety Harness with Double Lanyard. When changing positions they shall secure the 2nd Lifeline before unhooking and re-hooking the 1st Lifeline.

Scaffolding Couplers should be tightened with proper Tools. Scaffolding materials and other objects shall not be dropped, thrown, tipped or shot from Heights. Drop area shall be barricaded.

Bracings and Ladders shall be constructed as the Scaffolding progress. During dismantling, no Component, which endangers stability of the remaining Structure, shall be

removed. Procedure of dismantling shall be orderly & planned and should proceed generally from the top in Horizontal sections. Components shall be lowered hand-to-hand in an orderly fashion or

brought down by Crane, Pulley or other suitable means. Dismantled Scaffold materials shall be lowered to the Ground and not stored on the Scaffold.

To protect Persons working below from falling material as well as Persons working above from falling down, Safety Nets should be deployed wherever practicable. For protection from falling objects, Safety Nets should be deployed at 10 Feet elevation. For protection of Person falling down, Safety Net should be deployed in such a way that fall is not more than 20 Feet. The nets should cover falling distance below work area and at least 1.8 Meters Width.

During the erection stage of any Scaffolding, Warning Notice with the wording “Scaffolding incomplete – Do not use” should be fixed to the Scaffolding at all access points. This warning will be in the form of a painted Board. Also, in the event of any doubt concerning the integrity of a particular Scaffolding, “Scaffolding incomplete – Do not use” Boards shall be put.

After erection, but before use of Scaffolding, the erected Scaffolding shall be inspected and approved by the Scaffolding Supervisor. The certified Scaffolding shall then be handed over to the Maintenance for use. Once erected, the Scaffolding shall be inspected every Week. The Checklist given in this Attachment (refer APPENDIX) shall be used for their audit. When the completed Scaffolding is handed over for use, it is the responsibility of User to ensure its correct and safe use.

The Status Board with the wording “Scaffolding Complete, Safe For Use" should be displayed when the Scaffolding is ready for use. Tags shall be displayed near access points at Eye level.

No portion of the Scaffold should be utilized unless that portion is fully decked, braced, tied, demarcated and certified.

Scaffolding materials such as Tubular, Plank, Clamp, etc. shall be inspected annually by the Scaffolding Supervisor, to ensure they are free from defects. The inspected lot of material shall be painted on the edges with different colors for ease of identification.

All Workers engaged in Scaffolding erection/dismantling shall use Safety Belt/Harness, with Double Lifeline. One Harness of the Safety Belt shall always be anchored to the firm support.

All Platforms shall be provided with Guardrails, mid-Rails and Toe-Boards. A Ladder of proper Length shall be provided for the job to be done. If it is used as a means of access

or as a working place, it shall rise to a Height of at least 3'6" (1.07 Meters) above the landing place or above the highest Rung to be reached by the Feet of the Person, using the Ladder. Ladders shall be examined before use for missing, broken, loose or damaged Rungs and Splinters.

Wooden Ladders shall not be used. Where a Ladder is carried single-handed, the front end should be kept high enough to clear Person's

Head and special care taken at corners and blind spots. The Stiles of a Ladder shall be equally supported on a firm level surface. Boxes, Bricks, Barrels, etc.

shall not be used as a means of support and under no circumstances shall Wedges or other loose material be used as Packing.

Ladders shall not be supported on their Rungs and Rungs shall not be used to support Scaffold Boards.

Ladders shall be set 1' (300mm) out of each 4' (1.210 Meters) of Height, i.e. at an angle of 75 Degrees to the Horizontal. Where extension Ladders are used fully extended, minimum overlap of sections shall be Four Rungs. Splicing or Lashing Ladders together to obtain an extension will not be permitted.

Both Stiles of a Ladder shall be evenly supported and securely lashed to prevent any movement. Where Lashing at the upper resting place is impossible, a Person shall be stationed at the Foot to

control a Ladder not more than 20' (6 Meters) in Height. Where there is possibility of a Ladder being struck by moving Vehicles, a Person should be placed on

guard or space at the Base of the Ladder fenced off. Similarly if a Ladder is erected close to a Door, the Door should be locked, shut or secured in the open position with a Man on guard.

Ladder Landing places or Platforms are required at every 30' (9.140 Meters) of Height and shall be provided with Guardrails and Toe-Boards. Holes in Platforms through which Ladders pass shall be as small as practicable.

Tools and Materials should not be carried by the Persons ascending or descending Ladders, except that Tools may be carried in Pockets or special Belts, provided they do not impair movement.

A Person working on or from a Ladder must always have both Feet on the Rungs and a secure handhold. If the work to be done necessitates the use of both Hands, Safety Belts should be used. Only One Person should be on a Ladder at a time.

Ladder shall extend 3' to 4' above the point of Landing and topmost 3 Rungs shall not be used. The following practices shall be followed when placing Ladders:

o Ladder is checked visually for defects before every use.o Place a Ladder so that the Horizontal distance from the Base to the Vertical Plane of the support

is approximately ¼th the Ladder Length between Supports which is considered as the safe angle.

o Ladder shall not be used as a work base. It is to be used only as access to Height.o Ladders shall not be used in a Horizontal position as Runways or Scaffoldings.o Top of the Ladder shall be fixed to stable support and tied securely with a strong Rope.o Ladders shall not be placed in front of a Door that opens toward the Ladder, unless the Door is

locked, blocked or guarded.o Ladders shall not be placed against a Window Pane or Sash.o Portable Ladder shall be placed so that both side Rails have secure Footing. Provide solid

Footing on soft ground to prevent the Ladder from sinking.o The Ladders’ Feet shall be placed on a substantial and level Base, not on movable objects.o The ladders shall never be leaned against unsafe backing, such as loose Boxes or Barrels.o Extend the Ladder side-Rails at least 3’ above the Top Landing.o Ladders shall not be placed close to live Electric Wiring or against any operational Piping (Acid,

Chemical, Sprinkler System, etc.) where damage may occur. The following safe practices shall be observed when ascending or descending Ladders:

o Hold on with both Hands when going up or down. If material must be handled, raise or lower it with a Rope either before going down or after climbing to the desired level.

o Always face the Ladder when ascending or descending. Never slide down a Ladder.o Be sure that Shoes are not greasy, muddy or slippery before you climb. Do not climb higher than

the 3rd Rung from the Top on Straight or Extension Ladders or the 2nd Tread from the Top on Step Ladders.

o Do not use makeshift Ladders, such as Cleats fastened across a single Rail.o Be sure that a Step Ladder is fully open and the Divider locked before you start to climb it.o Before using a Ladder, inspect it for defects. Never use a defective Ladder. Tag or mark it so that

it will be repaired or destroyed. If a Ladder is to be discarded, cut it in half immediately to prevent any re-use.

o Do not splice short Ladders together. They are designed for use in their original Lengths and are not strong enough for use in greater Lengths. Also, most Splicing methods, particularly “on-the-job” methods are not safe.

o Keep Ladders clean and free from Dirt and Grease, which might conceal defects.o Do not use Ladders during a strong Wind, except in emergency and only when they are securely

tied. Do not leave placed Ladders unattended, especially outdoors, unless they are anchored at the Top

and Bottom. Ladders shall be allowed inside some Vessels having specific metal or lining only after proper

approval. The Fixed Ladders shall be used with suitable Fall Arrestors, if Cage Guards are not provided.

Platforms are not required when such devices are used. Fall Arrestors allow a Climber to attach his Safety Belt to a Sliding Fixture that travels along a Carrier Rail. The Traveling Fixture will lock and suspend a Man even if he loses his grasp. Generally, such Devices are preferable to Cage Guards.

All Portable Ladders shall be equipped with non-slip Bases or bottom of the Ladders be held, tied or securely anchored to prevent any Slipping. For Cylindrical objects, like Poles and Columns, it is preferred to have a Chain replacing the Top Rung to prevent sliding sideways. Alternately, a Rope Lashing to tie the Top of the Ladder to the Pipeline or other object being worked on shall be done.

The following safe practices shall be followed while using Roof-top Ladders:o Work on fragile Roof shall be carried out with the help of appropriate Roof Ladders only.o Prior to use, the Ladders shall be inspected thoroughly.o Persons working on fragile Roofs shall be familiar with the use of Roof Ladder.o Life Rope shall be used in addition to Safety Belts, in case of Pipe Rack and Roof Top jobs.

Means of access shall be kept free from any obstruction.o The area shall be cleaned and cleared off after the job is completed.

General Terms & Conditions Pertaining To Health, Safety & Environment

1 COMPLIANCE WITH STATUTORY REQUIREMENT: Consultants, Contractors or other Third Parties in the Refinery shall abide bya The Safety regulation of the Refinery, as mentioned in the Fire & Safety regulations (latest revision).b All requirements under the Factories Act 1948 and the rules framed there under in the Maharashtra Factory Rules 1963, including all amendments thereto.c All requirements of Worker Compensation Act & ESIS Act, including all amendments thereto.d Applicable Environment regulation in force and also the Systems and Procedures in the Refinery related to Environment.2 QUALIFICATION AND EXPERIENCE OF MANPOWER TO BE DEPLOYEDa Contractor shall deploy only experienced and qualified Supervisors and Workman.b Contractor’s Skilled Workmen like Riggers, Scaffolds, Welders, Fitters, Crane Operators, their specialized Equipment Operators like Welding machine, Power Generators, etc. must have sufficient past experience and skill on the relevant jobs. The Electricians to be deployed must have valid Wireman Licence.c All workmen must be capable of following instructions and training.3 HEALTH ASSURANCE/AGEa Contractors to ensure that all their Workmen are medically fit for the job they are deployed, especially for the Workmen who are deployed in high risk jobs like working in confined space, working at Height, working under Water, etc.b Age: No one below 18 Years or more than 58 Years will be employed in the Refinery.4 NORMAL TIMINGS FOR WORKa Duty timings for the Contractor Employees shall be in Two Shifts; Day Shift being from 8 AM to 8 PM, Night Shift would be from 8 PM to 8 AM of the next Day.5 TRAININGa Training in Fire & Safety is mandatory for all Contractors’ Supervisors.b Training of Contractors’ Supervisori Supervisor in-Charge of the Contractor who has ultimate responsibility for their work in the Refinery must undergo a One Day comprehensive Safety Familiarisation Program.ii This Program will be conducted by HPCL Fire & Safety Department at the Fire Station Training Hall and the schedule will be notified well in advance.iii On completion of the Program, a certificate of Attendance will be issued to each Participant, which will be required for supervision of the Hot Work.iv Passing Certificate issued to the Supervisor will remain valid for a Period of One Year.c Workers' Trainingi It is obligatory that Contractors’ Supervisor who is trained by Safety Department conduct spot training for his Workers. ii Additionally, Contract Workmen will have to undergo training on "Safety in Refinery" on the spot.6 OBLIGATION TO FOLLOW WORK PERMIT SYSTEMa Do not carry out any work without valid Work Permit issued by the authorised person in the Refinery as per Work Permit System.b Comply with all the Fire/Safety/Excavation/Radiography Permit conditions specified in the Permit and clearances given from time to time.c Display Permit at Worksite for random checking by the Refinery Officials.7 REQUIREMENTS OF SUPERVISIONa Contractor will not carry out any work without having Supervisor at site. If it is required to work simultaneously in more than one location under the same Contract, One Supervisor must be deployed at each of the locations. If a Supervisor has to leave his Site for any reason, he must stop the Site activities for that Period of Time.b For Hot Work Permit, the Supervisor must have a valid Training Certificate from the Refinery Safety Department.c Contractor must provide at least one full-time Safety Supervisor when the Contractor has engaged manpower in excess of 100 in Contract activities in the Refinery. If the manpower is less than 100, on-site Safety co-ordination responsibilities shall be assumed by any one of the Contractor's other Supervisory Staff. In both the cases, Contractor must specify in writing the Name of such person to the HPCL Engineer in-Charge and Manager-Safety.d Contractors whose Safety Records are not satisfactory will be viewed seriously and necessary action (viz. cancellation of Registration/Contracts) shall be taken against him.8 USE OF PERSONAL PROTECTIVE EQUIPMENTa All Supervisors and Workmen of the Contractor must wear the following Personal Protective Equipment (PPE) without which permission to work will be denied. The Contractor should provide basic PPEs to all Supervisors and Workmen.b Basic requirements for all jobs are -i Hard Hat (Safety Helmet)

ELCB will be provided in all Circuits.f Cable shall be provided with Armoured Cover which is bounded with Earth Conductor, Metallic covering and shall be Electrically & Mechanically continuous throughout and is efficiently protected against corrosion.g Cable shall be effectively protected from Mechanical damage. It should be supported at frequent intervals in such a manner so as to prevent damage to Cable Switchgear and all terminal Cable Joint & connection to Apparatus shall be totally enclosed.h All Apparatus shall be maintained reasonably free from Dirt and Moisture & shall be kept free of obstruction.i Area where Grinding is going on should be cordoned and only authorized entry to be provided. No other work shall be carried out near the grinding area.j Stand-by Person of Electrical (Employee/Contractor) will be provided.k Ensure Tower/Equipment is 100% earthed.l Personal Safety PVC Hand Gloves is used which are electrically non-conductive.m Ensure that the Electrical Equipment do not touch the Shell of Equipment.n After ensuring all above conditions job can be taken up with a valid Work Permit.10 FIRE EXTINGUISHER & FIRE HOSEa Contractor shall provide Fire Hoses with Nozzle & Fire Extinguishers of his own. If he is executing jobs in the Refinery, following Specifications should be adhered to:b Fire Hose: Fire Hose should be of 63mm/38mm diameter and minimum 15 Metre long, seamless Canvas/synthetic Fibre woven jacketed, rubberized fabric reinforced Rubber lined Hose bearing IS: 636-1988 mark, Type-A. The Fire Hose should have Gun Metal instantaneous type 2½" Male & 2½" Female Couplings bearing IS: 903 marks. The Couplings should be riveted & doubly wounded with heavy-duty Copper Wire to the Hose at both ends.c Nozzle: The Nozzle to be used with Fire Hose should be of ‘Branch Pipe, Universal’ type as per IS: 2871-1983. It should be provided with 2½" Female Instantaneous Couplings, as per IS: 903 (as nozzle with Male Coupling will necessitate use of double Female Coupling).d Fire Extinguisher: The Fire extinguisher should be of ‘10 Kgs. capacity DCP Extinguisher’ bearing IS marks. It should be upright operated and Cartridge type.11 HAZARD COMMUNICATIONa In the event of any Contractor Employee spot a Fire or any serious hazard in the Refinery premises, he shall dial Telephone Extension 6666, identify himself and report location of the Fire when Fire Station Operator is on line. He shall wait until the Fire Operator repeats the Fire message and location is confirmed.b Pill Box communication can also be used by the Contractor Workmen.c The Contractor must ensure that each one of his Employees clearly understand this Fire Communication requirement, i.e. in case of Fire Siren is sounded they should assemble at designated location near FR Yard Office and at the South of FR Boiler House. The Contractor while providing on-the-job training may ensure this.12 INJURY NOTIFICATION & INVESTIGATIONa Report to HPCL Supervisor on the job, any injury sustained by any of Employees or any near miss or hazardous/dangerous incident at the Worksite within the Refinery premises. Hiding any accident or near miss would be viewed as serious misconduct.b Arrange to provide First Aid immediately to injured Employee.c Keep and maintain proper records of all such incidents in respect of his personnel/Worksite.d Submit to Engineer-in-charge a First Information Report within 4 Hours of the incident.e Arrange to immediately investigate the incident and furnish within 24 Hours a written Investigation Report to HPCL Refinery Safety Department.13 REQUIREMENT OF HOUSEKEEPINGa Contractor must ensure the highest standard of housekeeping in his areas of work on a daily basis. All unsatisfactory housekeeping will earn negative rating, which will attract penal action like cancellation of Registration/Contract.

14 DISPLAY BOARDS AT SITEa Contractor must provide and maintain at his Worksite an appropriate Display Board, displaying information as per HPCL "Work Site Display Board" specification.15 PARTICIPATION IN SAFETY ACTIVITIESa Contractor must attend all scheduled Safety Meetings as would be intimated to him by HPCL Engineer in-Charge. Contractor also must ensure that all his Employees participate in Safety promotional activities organized by the Refinery.16 POLICE VERIFICATIONa Contractor who engages Labourer for his jobs in the Refinery must submit Police Verification of Antecedents of Labourers engaged by him.b Note :i Every Person other than HPCL Employee or a Casual Visitor entering the Refinery would be governed by the above conditions.ii The term ‘Supervisor’ would mean any Person who oversees the works of a group of Workmen. All other Persons will be considered as ‘Workmen’.iii HPCL Fire & Safety Department Personnel will also check adherence to terms of contract. Violation of any of the above conditions of Safety would attract penal actions including termination of the Contract/Registration.iv Meticulous adherence to these requirements would be checked by HPCL Engineer in-Charge during & on conclusion of the work and in a Dossier of the Contractor, this performance would be given adequate weighage at the time of renewal of Registration.

Guidelines For Determining The Medical Fitness For Contractor Employees

Free from Physical defect or abnormality, congenital, or acquired, likely to interfere with the efficient performance of duties.c. No evidence of mal-development - Physical or Mental.d. Joints and Locomotor functions are within the normal limits.e. Height and weight: Standard Height and Weight, so long as relaxation does not impede performance of the job.f. Chest: Acceptable chest measurement at full expiration will be 79 Cms, (relaxable by 5 Cms.) and minimum expansion of 4 Cms. This is not applicable to Female Candidates.g. The Candidates’ Eyes will be tested and the result of the tests recorded. The Candidates' Eyes will be subject to a general examination directed to detect any disease or abnormality. The Candidate will be rejected if he/she suffers from morbid condition of Eyes, Eyelids of contiguous structures of such a nature as would render him/her unfit for service at the time of appointment or at a future Date.h. The Owner means the Hindustan Petroleum Corporation Limited (HPCL), incorporated in India, having its Registered office at Petroleum House, 17, Jamshedji Tata Road, Mumbai – 400 020 and Refinery at Mahul, Mumbai or their successors or assignees.The Vendor means the person or the persons, firm or company, whose tender has been accepted by The Owner and includes the Vendor’s legal heirs, representative, successor (s) and permitted assignees.

Terms & conditionsa) This is only a Price enquiry and not a commitment from us. EMD is not applicable for this tender,

unless the applicability and the amount of EMD is specified in the main tender enquiry. b) Your offers should be submitted in a sealed envelope. The Tender Enquiry No and the Due Date, must

be written CLEARLY on the envelope. c) The offers received by fax/ telegram/ e-mail etc will not be considered. Any letters sent by fax/

telegram/ e-mail offering discounts, quoting prices etc also will not be considered.d) The offers should be addressed to ‘GM-Materials’ and should be submitted in the Bid-box of Refinery

k) Price preference : Price preference shall be considered for units registered with NSIC, as per the prevailing government guidelines, rules & regulations, as applicable.

l) Purchase preference : Purchase preference shall be considered for Public Sector Enterprise as per the prevailing government guidelines, rules & regulations, as applicable.

m) The participating vendors, may witness the opening of un-priced bids (in case of 2-bid tenders) and the bids (in case of single-bid system), at the schedule date and time, mentioned in the tender enquiry / due date extension letters. In case of 2-bis tenders, intimation will be sent subsequently, to the techno-commercially acceptable vendors, intimating them the date of opening of priced bids.

n) Grievance Redressal : There is a Grievance Redressal Mechanism in our Corporation for vendors, participating in the tender, the details of which are available on our website www.hindustanpetroleum.com.

o) The prices, quoted by you, should be firm till completion of the supply, failing which your will be rejected.

Terms of business

The term ‘Purchaser’ means ‘Hindustan Petroleum Corporation Limited’. The term ‘Hindustan Petroleum Corporation Limited’ means & includes successors and assignees.

a) The term ‘Seller’ means the Vendor, firm or company, whose offer has been accepted by the ‘Purchaser’. The term ‘Seller’ includes Seller’s legal heirs, representative, successor (s) and permitted assignees.

b) The ‘Seller’ warrants that, use or sale of the materials specified herein, will not subject the ‘Purchaser’ to changes or patent infringement.

c) The ‘Seller’ further agrees to hold the ‘Purchaser’ harmless of any or all results of such charges.d) The materials supplied must not be in excess of the quantities ordered, must be of the required quality

and must meet the specifications given by the ‘Purchaser’ fully, failing which the materials will be returned at Seller’s expenses.

e) Materials should be shipped by the ‘Seller’, in such form that the total freight charges are minimum, keeping in mind, that the delivery in excellent conditions is of prime importance.

f) The ‘Purchaser’ reserves the right to suspend despatch of the materials, covered by the Purchase Order, in the event of strike, accidents or other contingencies beyond the Purchaser’s control.

g) Our warehouse is open, to receive materials, on all working days, between 8.00 AM to 4.30 PM. No goods will be accepted after 4.30 PM.

h) Please quote your Excise Registration Nos, Sales Tax / TIN No, on all copies of your invoices.i) If the materials ordered, are not delivered by the ‘Seller’ within the delivery date specified in the

Purchase Order, the ‘Purchaser’ may cancel the Purchase Order without prejudice. The costs and expenses, if any, resulting from the cancellation of the Purchase Order, shall be to the Seller’s account.

*****ARBITRATION CLAUSE

(a) All disputes and differences of whatsoever nature, whether existing or which shall at any time arise between the parties hereto touching or concerning the agreement, meaning, operation or effect thereof or to the rights and liabilities of the parties or arising out of or in relation thereto whether during or after completion of the contract or whether before after determination, foreclosure, termination or breach of the agreement (other than those in respect of which the decision of any person is, by the contract, expressed to be final and binding) shall, after written notice by either party to the agreement to the other of them and to the Appointing Authority hereinafter mentioned, be referred for adjudication to the Sole Arbitrator to be appointed as hereinafter provided.

(b) The appointing authority shall either himself act as the Sole Arbitrator or nominate some officer/retired officer of Hindustan Petroleum Corporation Limited (referred to as owner or HPCL) or a retired officer of any other Government Company in the oil sector of the rank of Chief Manager & above or any retired officer of the Central Government not below the rank of a Director, to act as the Sole Arbitrator to adjudicate the disputes and differences between the parties. The contractor/vendor shall not be entitled to raise any objection to the appointment of such person as the Sole Arbitrator on the ground that the said person is/was an officer and/or shareholder of the owner, another Govt. Company or the Central Government or that he/she has to deal or had dealt with the matter to which the contract relates or that in the course of his/her duties, he/she has/had expressed views on all or any of the matters in dispute or difference.

(c) In the event of the Arbitrator to whom the matter is referred to, does not accept the appointment, or is unable or unwilling to act or resigns or vacates his office for any reasons whatsoever, the Appointing Authority aforesaid, shall nominate another person as aforesaid, to act as the Sole Arbitrator.

(d) Such another person nominated as the Sole Arbitrator shall be entitled to proceed with the arbitration from the stage at which it was left by his predecessor. It is expressly agreed between the parties that no person other than the Appointing Authority or a person nominated by the Appointing Authority as aforesaid, shall act as an Arbitrator. The failure on the part of the Appointing Authority to make an appointment on time shall only give rise to a right to a Contractor to get such an appointment made and not to have any other person appointed as the Sole Arbitrator.

(e) The Award of the Sole Arbitrator shall be final and binding on the parties to the Agreement.(f) The work under the Contract shall, however, continue during the Arbitration proceedings and

no payment due or payable to the concerned party shall be withheld (except to the extent disputed) on account of initiation, commencement or pendency of such proceedings.

(g) The Arbitrator may give a composite or separate Award(s) in respect of each dispute or difference referred to him and may also make interim award(s) if necessary.

(h) The fees of the Arbitrator and expenses of arbitration, if any, shall be borne equally by the parties unless the Sole Arbitrator otherwise directs in his award with reasons. The lumpsum fees of the Arbitrator shall be Rs 40,000/- per case, for transportation contracts and Rs 60,000/- for Engineering contracts and if the sole Arbitrator completes the arbitration including his award, within 5 months of accepting his appointment, he shall be paid Rs 10,000/- additionally as bonus. Reasonable actual expenses for stenographer, etc will be reimbursed. Fees shall be paid stagewise, i.e. 25% on acceptance, 25% on completion of pleadings/documentation, 25% on completion of arguments and balance on receipt of award by the parties..

(i) Subject to the aforesaid, the provisions of the Arbitration and Conciliation Act, 1996 or any statutory modification or re-enactment thereof and the rules made thereunder, shall apply to the Arbitration proceedings under this Clause.

(j) The Contract shall be governed by and constructed according to the laws in force in India. The parties hereby submit to the exclusive jurisdiction of the Courts situated at Mumbai for all purposes. The Arbitration shall be held at Mumbai and conducted in English language.

(k) The Appointing Authority is the Functional Director of Hindustan Petroleum Corporation Limited.

Note: In case of your non-acceptance of the Arbitration clause, your offer is liable to be rejected.

CANCELLATION / RISK PURCHASE CLAUSEThe Owner reserves the right to cancel the Purchase Order or any part thereof and shall be entitled to rescind the contract, wholly or partially, in a written notice to the vendor if:

(1) The Vendor fails to comply with the terms of this Purchase Order.(2) The Vendor fails to deliver the goods on time and / or replace the rejected goods promptly.(3) The Vendor becomes bankrupt or goes into liquidation.(4) The Vendor makes a general assignment for the benefit of creditors.(5) A receiver is appointed for any of the properties owned by the vendor.

Upon receipt of the said cancellation notice, the Vendor shall discontinue all work on the Purchase Order and matters connected with it. The Owner, in the event, will be entitled to procure the requirement in the open market and recover the excess payment over the Vendor’s agreed price, if any, from the Vendor, reserving to itself the right to forfeit the security deposit, if any, made by the vendor against the contract.The Vendor is aware that the said goods are required by the Owner for the ultimate purpose of materials production and that non delivery may cause loss of production and consequently loss of profit to the Owner. In this event of the Owner exercising the option to claim damages for non-delivery, other than by way of difference between the market price and the contract price, the Vendor shall pay to the Owner the fair compensation to be agreed upon between the Owner and the Vendor.The provision of this clause shall not prejudice the right of the Owner from invoking the provisions of the Price Reduction clause as aforesaid.

terms & conditions stipulated therein.b) All the columns of the 4-page format for 'Commercial Terms & Conditions' duly filled in and

all the 4 pages duly signed & stamped by you, as your acceptance to the terms & conditions stipulated therein.

c) Technical and commercial deviations, if any.d) Integrity Pact (in case attached with the tender), duly signed & stamped by you.

Note: A. No rates should be mentioned in the un-priced bid. In case any rates are found

in the un-priced bids or your offer is submitted under single-bid, your offer will not be considered for opening.
