OVERVIEW Starting April 1, 2015 through November 30, 2015, customers who purchase a minimum of 150 seats of eligible
Office 365 SKUs will qualify for an investment toward their Office 365 deployment. During the offer period, qualified
customers can chose to either:
(1) On premise deployment of Enterprise Voice or Online deployment of Skype for Business meetings; OR
(2) Cloud deployment of Office 365 Enterprise Voice or Audio Conferencing in the Cloud upon SKU
availability at a future date. Customers purchasing Office 365 E5 or Cloud PBX SKUs will qualify for the
FY16 Cloud PBX Adoption Offer as of December 1, 2015.
Customers must purchase at least 150 eligible seats to qualify for funds. Funds will be paid out at $15/seat for up to
1000 seats and $5 per seat for 1001+ seats with a maximum of $60,000 per customer. Funds will be paid out at
$15/seat for 150-1000 seats and $5 per seat above 1000 seats with a maximum of $60,000 per customer. The Office
365 Buy Now E4 Offer is available to customers purchasing net new seats during the offer timeframe. Net new
purchases of SKUs of Office 365 E4 Suites (including G SKU equivalents and paid EDU SKUs) are eligible for this
investment. This offer is available to all commercial and government customers in all countries where Office 365 is
available through the following Licensing programs: EA/EAS, EES, Open, OEES, Open Value, Open Value
Subscription, OV-ES, MPSA, AOS, MOSP and Cloud Solution Providers (CSP).
The funding is at the customer agreement level, based upon the number of qualified SKUs purchased, not based
upon the number of workloads deployed. Payment milestones include 15% active seat usage on the purchased
seats during the offer timeframe, within 18 months of the purchase date. This investment is paid directly to the
Silver or Gold Communications Compentency Partner that deploys the qualified seats or to Microsoft Consulting
Services.
Customers that have received funding under the FY13 EA Offer, FY14 Deployment Offer or customers that are
eligible for the FY15 Adoption Offer may also be eligible to receive funding from the Buy Now E4 Offer.

OFFER RULES: CUSTOMER ELIGIBILITY, GENERAL QUESTIONS
Which customers are eligible? ↑
All new or existing Office 365 customers who purchase a minimum of 150 seats of the eligible O365 SKUs are
eligible for this offer on seats sold through the following Licensing programs: EA/EAS, EES, Open, Open Value, Open
Value Subscription, MPSA, AOS, MOSP and CSP. This includes all commercial, government and paid education
accounts in all countries where Office 365 is available.
When are the relevant dates for the offer? ↑
The offer runs from April 1, 2015 through November 30th, 2015.
Is there a minimum purchase required to qualify for the offer? ↑
Yes. Customers must purchase at least 150 net new seats of select Office 365 SKUs (Office 365 E4 Suites [including G
SKU equivalents and paid EDU SKUs]) to be eligible for this offer. The minimum may be met through any purchased
combination of the eligible SKUs.
What are the payout amounts for this offer? ↑
$15 per seat for up to 1000 seats, then
$5 per seat above 1000 seats (with a maximum payment of $60,000 per customer)
Are customers that have deployed Office 365 eligible for this offer? ↑
Yes. Customers that have received funding under a previous O365 Offers may still be eligible to receive funding
under this Offer. They just need to purchase 150 or more net new seats of eligible SKUs during the Offer timeframe.
Are customers that purchased Office 365 but not deployed eligible for the offer? ↑
Yes, existing Office 365 customers who purchase 150+ new seats of eligible SKUs during the eligibility period may
be eligible for this offer.
Are Add-on SKUs eligible for this offer? ↑
Both full USL and the new Add-on versions of the eligible SKUs qualify for this offer. There is no difference in offer
criteria.
Are Syndication sales eligible for this offer? ↑
Yes. Purchases made through the Syndication channel are eligible for this offer.
Are purchases made through Cloud Solution Providers (CSP) eligibile for this offer? ↑
Yes. Purchases of qualifying CSP SKUs are eligible for this offer with all other terms and conditions applying.

Yes, the customers that deploy via a partner’s datacenter will be eligible for this offer.
Are public sector customers eligible for the deployment investment? ↑
In general, yes. However, some countries do not allow this type of benefit. Consult your local LCA. Public Sector
customers in the United States will need to sign an amendment. Please contact your US Licensing Specialist for
more information.
Are Government Community Cloud purchases eligible? ↑
Yes. Government Community Cloud purchases qualify for this offer.
Are Office 365 Academic purchases eligible for this offer? ↑
This offer is eligible for paid Academic purchases. Free academic SKUs do not qualify for the offer.
Are Office 365 Charity purchases eligible for this offer? ↑
No. This offer is not applicable to Office 365 Charity customers.
Are Office 365 licenses sold through EA Transitions or added through the Office 365 ProPlus Software
Assurance Transition SKU eligible for this offer? ↑
Renewal transitions (net new Office 365 customers coming from SA), are eligible for Deployment Funding. Please
note, if they elect to take the Deployment Funding they will not be eligible for the “Transition Grant”. This offer only
applies to net new qualifying Office 365 licenses purchased during the offer period. Please see the eligible SKU list
below for qualifying SKUs.
Mid-term transition customers will continue to follow the standard policy where they will be eligible for the
“Transition Grant” but not Deployment Funding.
Are other “paid transition” SKUs eligible for this offer? ↑
Yes, as long as the customer has purchased the eligible “paid transition” SKUs, they will be eligible for deployment
funding. Customers that use $0 transition SKUs are not eligible for funding as they are able to leverage the free float
transition period.
Are Office 365 seats added through the FY13 EA Offer, FY14 Deployment Offer, FY14 Large Customer
Tier program or FY15 Adoption Offer eligible for the Buy Now E4 Offer? ↑
Yes. Any customer that purchases eligible net new seats during the Offer timeframe will be eligible for this Offer.
Are “K” SKUs included in this offer? ↑
No. “K” SKUS are not included in this offer because there are no on-premise equivalent SKUs for “K”.

How long will the deployment benefit last? ↑
Seats must be fully deployed within 18 months after the initial, qualifying promo SKU purchase date or before the
end of the customer’s current eligible EA term, whichever comes earlier. Deployment benefits are only applicable
towards the promo licenses that are purchased during the promotional period.
Do seats need to be deployed within the promo offering time period? ↑
No. In order to take advantage of the deployment investment, the seats need to be deployed within 18 months of
the initial purchase of the promo SKUs or before the end of the customer’s current eligible agreement term,
whichever comes earlier.
Will these eligible customers have the opportunity to work with the Microsoft Onboarding Center? ↑
The Microosft Onboarding Center does not get involved with on-premise deployments. If the customer chooses to
deploy in the Cloud, there may be an opportunity for Microsoft Onboarding support.
Can my customer use the deployment investment funds if their agreement expires less than 18 months
after the qualifying purchase? ↑
The customer can use their deployment investment funds up to 18 months after purchasing the eligible seats, even
into a new agreement, as long as they also purchase eligible seats on the renewal via an early commitment executed
before the end of the offer period. The amount of deployment investment funds available to the customer will be
calculated based on the quantity of eligible seats purchased on the current agreement by November 30, 2015.
Can customers with seats added before the offer period leverage this offer? ↑
This offer is available to new and exisiting Office 365 customers for qualified net new seats purchased between April
1, 2015 and November 30, 2015.
What if a customer commits to qualified seats before April 1, 2015 but the invoice date is not until
April 1, 2015 or later. Can they receive funds? ↑
Yes, the funding is tied to when Microsoft recognizes revenue so if the invoice date occurs during the offer time
period, then the customer is eligible for funds.
PRICING AND TRANSACTING
Pricing
What are the prices for the eligible SKUs? ↑
This offer is based on the purchase of eligible Office 365 SKUs available on the price list. There are no promotional
SKUs or price discounts associated with this offer.
What if my customer purchases A3 or A4 and has the SKUs discounted to $0? Are they eligible for the
offer? ↑
No. Microsoft must receive payment for eligible SKUs in order to qualify for the offer.

Transacting
Is a special amendment required for this offer? ↑
Only US Public Sector Customers may need to sign an amendment that they can get from their US Licensing
Specialist. For other remaining customers, there is no special amendment to leverage at the time of sale. Terms and
conditions of this offer will be posted prior to the April 1, 2015 launch. Customer’s participation in the offer indicates
acceptance of these terms.
DEPLOYMENT INVESTMENT
How do the deployment investment funds work? ↑
The deployment investment is available for: O365 E4 Suites (including G SKU equivalents and paid EDU SKUs).
Customers must order a minimum of 150 seats of any combination of the qualifying SKUs.
For customers that purchase 150-1000 seats, they will earn $15 per seat. Customers that purchase over 1000 seats
will earn an additional $5 per seat above the 1000 seat purchase. For a maximum payout of $60,000 USD.
Investments are paid directly to a qualified Silver or Gold Communications Competency or MCS after the seats are
fully deployed. Payment can occur after Microsoft verifies 15% active seat usage and all other terms of the offer
have been met.
In order to take advantage of the Adoption investment, does the partner have to secure Offer funds in
an approved Purchase Order before they may begin to deliver the Adoption services paid for by this
Offer?
Yes. A FastTrack Site funding request must be submitted and, if approved, an approved Purchase Order
communicated to the partner before work is to begin. MS Procurement Policy mandates an approved Purchase
Order must be in place before any fee-based work is to commence. Per this Offer’s controls and compliance rules,
no POs will be processed in ATF scenarios.
What SKUs qualify for the deployment investment? ↑
Net new purchases of Office 365 E4 Suites, Enterprise Cloud E4 SKUs (including G SKU equivalents and paid EDU
SKUs) are eligible for the deployment investment. See the SKU list included in the Appendix of this document.
What does the customer have to do to receive deployment investment funds? ↑
The deployment investment is paid directly to the Silver or Gold Communications Competency Partner or MCS. In
order for the Partner or MCS to receive payment, the customer will have to take various actions, including
purchasing eligible SKUs, contracting a Silver or Gold Communications Competency Partner or MCS, and signing in
and using the service. Fifteen percent of the eligible SKUS need to be in active use in order for the Silver or Gold
Communications Competency Partner or MCS to receive funding.
Per the Offer’s terms and conditions, Microsoft will confirm active use of every seat prior to approving payment to a
Partner. Microsoft will reject Partner investment requests where no active use is found on the customer’s tenant ID.
Lync Enterprise Voice (On-Premise) active seat usage will be confirmed via a PowerShell script the partner will run
and submit results to Microsoft at the time of invoice.

How is “active use” defined? ↑
Active use is defined by eligible workload:
Lync Enterprise Voice (On-Premise): Customer’s employees are placing or receiving at least 1 audio/video call
(P2P or PTSN) or attending a Lync meeting in a month
Skype for Business Online / Office 365: Customer’s employees are signing in and scheduling or attending
online meetings
• Audio Conferencing in the Cloud – active use will be defined upon SKU availability at future date. This workload
now qualifies for the FY16 Cloud PBX Adoption Offer as of December 1, 2015.
• Voice in the Cloud – active use will be defined upon SKU availability at future date. This workload now qualifies
for the FY16 Cloud PBX Adoption Offer as of December 1, 2015.
How is active seat usage determined for Lync Enterprise Voice On-Premise?
The Partner will run a PowerShell script and send the results to Microsoft at the time of invoice.
Do all 150 seats have to be the same SKU? ↑
No. As long as 150 total eligible seats are purchased in any combination of the eligible SKUs, within the offer period,
the customer will meet the minimum seat purchase for the deployment investment.
Does the customer have to purchase 150 seats all at once to qualify for the deployment investment? ↑
The customer will qualify so long as 150 total eligible seats are purchased between April 1, 2015 and November 30,
2015 regardless of how many transactions are made to reach that total.
Are funds available for each new enrollment? ↑
Yes, funds are available at the agreement level.
Are funds available for each new tenant in a multi-tenant environment? ↑
No, funds are allocated for only one tenant. For instances where multiple tenants are required under a single Top
Parent ID for separate entities with separate IT departments, the offer will be available for each tenant.
Can the funds be used on more than one workload? ↑
Yes, the customer can choose more than one workload. Payment will be made based on 15% of net new seats
purchased during the Offer timeframe deployed on one eligible workload.
What if a customer bought 150 Midsize SKUs in May 2014 but wants to upgrade to E4 now. Do they
qualify? ↑
Mid-term transition customers will continue to follow the standard policy where they will be eligible for the
“Transition Grant” but not deployment funding.

What if my customer commits to purchase SKUs before April 1, 2015 but their agreement effective
date isn’t until April 1, 2015 or later. Will they qualify for funding? ↑
Yes. The revenue must be recognized during the offer time period and the service must not start until the offer
period time in order for the customer to be eligible for funding. The revenue recognition is tied to the agreement
effective date
How long will the deployment benefit last? ↑
Seats must be fully deployed within 18 months after the date of the initial qualifying purchase or before the end of
the customer’s current eligible agreement term, whichever comes earlier. Deployment benefits are only applicable
towards the licenses that are purchased during the offer period.
If an agreement is scheduled to expire during the 18 month period, the eligible offer SKUs must be renewed in
order for the funding to continue. The deployment funds may still be used on a renewed agreement after the
expiration of the current agreement if the customer has purchased eligible SKUs on both the current and renewed
agreements. The amount of deployment investment funds available to the customer will be calculated based on the
quantity of eligible seats purchased on the current agreement by November 30, 2015. The maximum time to use the
deployment investment funds is still 18 months from the initial qualifying purchase.
Do seats need to be deployed within the offer period (by November 30, 2015)? ↑
No. In order to take advantage of the deployment investment, the seats need to be deployed within 18 months of
the initial purchase of the offer SKUs or before the end of the customer’s current eligible agreement term, whichever
comes earlier.
Can customers use the deployment investment fund for both Cloud Vantage and deployment? ↑
No. Deployment funds cannot be used for Cloud Vantage.
How do partners become eligible for the deployment investment? ↑
MCS and Silver or Gold Communications Competency Partners are eligible to participate.
If the customer chooses Partner funds, how do they get those funds? ↑
The Silver or Gold Communications Competency Partner will need to request the funds via the FastTrack Portal.
What are some reasons a PO cannot be initiated? ↑
Partner is not an approved MS Supplier. If a PO cannot be initiated because the Parnter Is not an approved
MS Supplier, the PMO will provide guidance to the Partner on how to become an MS Supplier and/or work
to facilitate one-time payment arrangements on behalf of the project.
Partner’s MS Supplier status has lapsed and/or become inactive. If the PMO cannot initiate a PO because
the MS Supplier status has lapsed or become inactive, the partner must work with their local MS AP
HelpDesk to regain credentials. The PMO will provide guidance on which HelpDesk to contact when this
situation occurs.
Partner is not set up as an MS Supplier in the project’s Service Location. If the PMO cannot initiate a PO
because the Partner is not mapped to provide services in the Service Location indicated for the project, the

partner must work with their local MS AP HelpDesk to extend their profile to include the Service Location in
question. The PMO will provide guidance on which HelpDesk to contact when this situation occurs.
What are some reasons an invoice may be declined? ↑
There are fewer than 15% Active seats found per the Customer Domain Name provided and on the
approved O365 workloads
The invoice is an interim invoice. As a reminder, the offer invoicing policy includes only one invoice it to be
submitted at the time the project is complete and must be in full.
The invoice is not submitted in the MS Invoicing System and/or DMS against a valid PO
If the deployment partner begins work but the engagement ends before payment is received, will
Microsoft pay for the work performed? ↑
Payment will be made only if all requirements of the offer are met, including the completion and verification of
milestones. If these requirements are not met completely and before either 18 months after the customer’s
qualifying purchase or the end of the customer’s current agreement term, whichever is earlier, deployment
investment payments will not be made.
Can the Buy E4 Now offer funds be used in conjunction with the FY16 Cloud PBX Adoption Offer
funds?
The Buy E4 Now offer funds are only for SKUs purchased during the offer time frame (April 1, 2015 through
November, 30, 2015). If a customer makes an eligible SKU purchase under the terms and conditions of the FY16
Cloud PBX Adoption Offer, which launches on December 1, 2015, they may qualify for partner funding to drive
Cloud PBX deployment.
