ThebriefdetailofthescopeofthisRFPisasfollowing:

1)The Bank intends to procure a solution forthe installation,commissioning,Integration and maintenance ofNPA ManagementSolution (ETL & ProcessManagement)from empanelled service providers ProjectrefHO:IT:KD:1397dated 16th February,2021 various documents/communications exchangedduringtenderprocessforaperiodof4years.

2)Inthisregard,atwo-envelopebiddingProcedure(TechnicalBidandPriceBid)inseparateenvelopeswillbeadopted.Thetechnicallycompleteandcommerciallycompetitivebidsshallbesubmittedintwopartsviz.qualifyingandTechnicalBid–PartA andPriceBid– PartBinseparatesealedcover. TheBidsshouldbedeliveredtotheaddressmentionedbelow withacknowledgementduesoastoreachbefore15.00hoursonorbefore02.03.2021.IfthelastdayofsubmissionofbidisdeclaredholidayunderNegotiableInstrumentsActbytheGovernmentsubsequenttotheissuanceofRFP,thenextworkingdaywillbedeemedtobethelastdateofsubmissionoftheBid.Thebids,whicharereceivedaftertheabovementioneddateandtime,areliabletoberejectedatthediscretionoftheBankwithoutgivinganyreason.

AvendorwhoisempanelledunderRFPrefHO:IT:AKA:0273dated:8thJuly2020,relatedcorrigendum & various communications during tenderprocess and submitting theproposalinresponsetothisRFPoftheBankshallhereinafterbereferredtoas“Bidder”.

1.1Thisdocumentismeantfortheexclusivepurposeofbidding asperthetermsconditionsandspecificationsindicatedandshallnotbetransferred,reproducedorotherwiseusedforpurposesotherthanforwhichitisspecificallyissued.

2.1.3.Pricebidshallbesubmittedasmentionedbelow:

2.1.3.1 ThepricescheduleshallbesubmittedinPriceBidonly.

2.1.3.2 ThepricescheduleshallbefurnishedasperthisRFP,specificallywithreferencetoscopeofworkasperRFPrefHO:IT:KD:1397dated:16thFebruary2021andrelatedvariouscommunicationsduringtenderprocess.

2.1.3.3 Price shallinclude allcharges,duties,levies,license fees,road permits,regulatory/Govt.Chargesetc.inconnectionwithsupply,delivery,installation,maintenance of productatsite including AMC,incidentalservices andcommissioning.However,GSTwillbepaidextra.Thechargestowardssupply,installation, commissioning, integration, acceptance and servicesregulatory/govt.charges,duties,AMCetc.,shouldbeincludedinthechargesanditshouldnotbequotedseparately.Otherwise,thebidisliableforrejectionatthediscretionofthebank.

2.1.3.4 Noescalationinpricequotedispermittedforanyreasonwhatsoever.Pricesquotedmustbefirm tillthecompleteexecutionofthecontract.Anybenefitofdownward movement of prices in future in the industry for similarproduct/servicesshouldbepassedontothebank.

2.1.3.5 IfPricesquotedbothinfiguresaswellasinwordshaveanydiscrepancybetweentheratesgiveninfiguresandinwords,theratesgiveninwordswillbeconsidered.

2.1.3.6 PricemustbequotedinIndianRupeesonly.

2.1.3.7 Theratesquotedbythebiddersshallbeuniform acrossthecountryforalllocations.

2.1.3.8 Thebiddershallnotomititemsorleaveblankagainstpriceofanitem,instead,thebiddershallindicate‘Nil’or“includedinitem----”explicitly.

2.1.3.9 Thepricebidshallbeasperthebillofmaterial(Annexure-D(c))requiredtomeettheterms&conditionsandspecificationsoftheRFP.

2.1.3.10 Thepricebidshallcontaincompletebillofmaterialwiththepricesindicateditem-wiseinhardcopyalongwithsoftcopyinCD.Howeverifanydiscrepanciesisfoundintheratesbetweensoftandhardcopyofpricebid,thehardcopyrateswillprevail.Pricebidsoftcopyinform ofdigitallysignedExcelfileandHardCopyofthe same file dulysigned bythe authorized signatoryshould beprovided.Digitalsignature should be ofthe authorized signatory ofthe bidder's

organization.Acertificate/declarationinthisregardshouldbeprovidedalongwiththebiddingdocuments.

2.1.4.ThecostofpreparingresponsetothisRFPwillbetheresponsibilityofthebidderandtheBankwillnotbeliableforanycostsincurredbythebidder.

2.2. QualifyingTechnicalbidandPriceBidshallbesubmittedinEnglishLanguage,inTWOseparatesealedenvelopes,superscribing“QUALIFYING&TECHNICALBID-PARTAagainstRefNo.HO:IT:KD:1397Dated16.02.2021”.

2.3. TheBiddershalltakecareofsubmittingtheBidproperlyfiledsothatthepapersarenotloose.Thebiddershallsubmitthebidinsuitablecapacityofthefilesuchthatthepapersdonotbulgeoutandtearduringscrutiny.

2.4. TheBidsshouldbedeliveredtotheaddressmentionedaboveinclause1.1abovewithacknowledgementduesoastoreachbefore15.00hoursonorbefore02.03.2021 ortheamended/extendeddateaspublicizedthroughthewebsite.IfthelastdayofsubmissionofbidisdeclaredholidayunderNIActbytheGovernmentsubsequenttotheissuanceofRFP,thenextworkingdaywillbedeemedtobethelastdateofsubmissionoftheBid.Thebids,whicharereceivedaftertheabovementioneddateandtime,areliabletoberejectedatthediscretionoftheBank.

2.5. 2.9 Thebiddermustsubmitadetailedstatementoffactsandprofileoftheircompanyincludingyearofcommencementofbusiness,Internetsitedetails,name&titleoftheauthorizedsignatory,contactnumbersande-mailaddress.

2.10 Ifthebidderisofferingsolutions/productsfrom otherOEMs/principals,asrequiredinthisRFP,theyshalldetailtheresponsibilitiesofthepartiesinvolved.Thebiddershouldsubmitaletterofundertakingfrom OEMs/principalsmentioningtheirconsentandassuranceforsatisfactoryperformanceoftheproject,alongwiththeQualifying&TechnicalBid–PartA.

2.11 TheBiddershallsubmitanownershipcertificatedulysignedbytheauthorizedofficial,alongwiththeQualifying&Technicalbid,alsomentioningthatchangeinownershipisnotanticipatedintheproposedperiodofcontract.Ifanysuchchangeisanticipated,

2.12 Thebidder̀sauthorizedsignatoryshallauthenticatebysignatureandsealoneachpageoftheBidincludingbrochures/pamphlet/write-upetc.Bidswitherasure/overwriting/cuttingareliabletoberejected.Ifrequired,thecorrectionscanbemadebyscoringoutentriesandwritingafresh.Theauthorizedsignatoryshallauthenticateeachcorrection.Wherevercertification/undertaking is submitted,the biddershallaffixsignaturewithname,title/designationandsealinadditiontopage-wiseauthentication.

2.13 TheBiddermaymodifyorwithdraw itsBidaftertheBid’ssubmission,providedthatwrittennoticeofthemodification,includingsubstitutionorwithdrawaloftheBids,isreceivedbytheBank,priortothedeadlineprescribedforsubmissionofBids.

2.14 TheBidder’smodificationorwithdrawalnoticeshallbeprepared,sealed,markedanddispatched.WithdrawalnoticemayalsobesentbyFax,butfollowedbyasignedconfirmationcopy,postmarkednolaterthanthedeadlineforsubmissionofBids

2.15 NoBidmaybemodifiedafterthedeadlineforsubmissionofBids.

2.16 Itistobeunderstoodclearlybythebiddersthattheselectionprocessrequiresthem tohaveadequateexpertiseintheproposedtechnology.Thebankevaluatingtheproposedsolution willalso consider the competence and capability of the bidders inimplementationandsupportservices.

2.17 ThebidsreceivedandacceptedwillbeevaluatedbytheBanktoascertainthebestandlowestbidintheinterestoftheBank.However,theBankdoesnotbinditselftoacceptthelowestoranyBidandreservestherighttorejectanyorallbidsatanypointoftimepriortotheorderwithoutassigninganyreasonswhatsoever.Thebankreservestherighttore-tenderwithoutassigninganyreasonswhatsoever.Thebankshallnotincuranyliabilitytotheaffectedbidder(s)onaccountofsuchrejection.Bankshallnotbeobligedtoinform theaffectedbidder(s),thegroundsfortheBank'srejection.TheBankreservestherighttomodifyanyterms,conditionsandspecificationsoftheRFPandBankreservestherighttoobtainrevisedpricebidsfrom thebidderswithregardtochangeinRFPclauses.TheBankreservestherighttoacceptanybidinwholeorinpart.

2.18 TheprocessofPriceAnnouncementshallbeasunder:

a.Afterprocessingallthequotesreceivedfrom allempaneledbiddersafteropeningofthepricebid,theperiodforevaluationofpricebidsmaybeextendedasperprocessingtime.

b.Bidderswhofailtoquoteforallthelocationswillbedisqualified.

c.Theresultwillbedisclosedbydisplayingtheconsolidatedpricesreceivedbyallthebidders.

d.DuringthePriceannouncementprocess,notmorethan2(two)representativesfromeachbidderwillbeentertained.

4.Broadscopeofwork

1.NPADataRepositoryshouldbecreatedbyintegrating,transformingandanalyzingdatafrom varioussourcesystemsoftheBank.ProposedNPADataRepositorymustdeliverstrategicandoperationalanalyticsthroughouttheorganizationsothatuserscanaccessasinglesourceofconsistent,centralized,integrateddata.NPAdatarepositoryshouldactasacentralrepositoryofNPAandassetsrelateddatawhichwillbeasingleversionoftruth.Itshouldstoregranuallevelofdataandthesummarizeddata.

2.AlltheSolutionsshouldbedeployedintheBank’sDC/DRSetup.ThepublicCloudbasedsolutionsshouldnotbeproposedunderthisRFPandifproposed,willnotbeconsidered.

3.Ata minimum,the new solutions should effectively and efficiently manageoperationsandsecuritypostureoftheBankbypreparingforandrespondingtocyberrisks/threats,facilitatebusinesscontinuityandrecoveryfrom cyber-attacks/incidents.

4.InlinetoScope,theimplementationshallbedonebybidder,thebiddershalldobacktobacktie-upswithmethodologyforthesame.

5.Theproposedsolutionsshallbetightlyintegratedwithallexistingsetupandnewinfrastructure/AssetsoftheBank.Theselectedbiddershallsupply,implementandmaintaintheseITTools/SolutionsforBank’sITInfrastructureforaperiodof3years.

6.Thebiddershallberesponsibleforre-installation,relocation,configuration/Re-configuration/Tuning ofnew/existing hardware/software foroperationalandfailovertestingofSoftware

7.Biddershallberesponsibleforinstallation,maintenanceandconfigurationoftheDatabase.AnyDBrelatedtechnicalissues/vulnerabilitieshastobetakencarebytheBidder

8.The biddershallbe responsibleforgeneration and submission ofnecessarydocumentsrequiredduringvariousphasesofprojectviz.planning,installation,commissioning,rollout,acceptancetesting,projectdiagramsandotherreportsetc.AllsuchdocumentsshallcommenceonlyafterthesameisapprovedbyBank.

6.CompletionPeriod

Completionperiodforcommissioningandallotheractivitiesshallbewithin8weeksofissuingPurchaseOrder.

7.Maintenancesupport

Maintenanceandsupportofthesoftwareshallbestrictlymaintainedasperbelowdescription:

DefectLiabilityPeriodof1yearafterUATsign-off.Warrantyperiodfor1yearwillcomeaftercompletionofDefectLiabilityPeriod.

TheSupplierwarrantsthattheproductssuppliedundertheContractareofthemostrecentversionandthattheyincorporateallrecentimprovementsindesignand/orfeatures.TheSupplierfurtherwarrantsthatalltheProductssuppliedunderthisContractshallhavenodefect,arisingfrom designorfrom anyactofomissionoftheSupplierthatmay develop undernormaluse ofthe supplied products in theconditionsprevailinginIndia.Professionallyqualifiedpersonnel,whohaveexpertiseinsystem softwaresuppliedbythevendor,willprovidetheseservices.

TheSuppliershallcomplywiththeperformanceguaranteesspecifiedundertheContract.If,forreasonsattributabletotheSupplier,theseguaranteesarenotattainedinwholeorinpart,theSuppliershallmakesuchchanges,modificationsand/oradditionstotheProductsoranypartthereofasmaybenecessaryinordertoattainthecontractualguaranteesspecifiedintheContractatitsowncostandexpenseandtocarryoutfurtherperformancetests.

TheBankshallpromptlynotifytheSupplierinwritingofanyclaimsarisingunderthisAnnualMaintenanceContract.

Uponreceiptofsuchnotice,theSuppliershallwithallreasonablespeed,repairorreplacethedefectiveproductsorpartthereofwithoutcosttotheBank.

IftheSupplier,havingbeennotified,failstoremedythedefect(s)withinthe4hours’timedurationfrom theincident,theBankmayproceedtotakesuchremedialactionasmaybenecessary,attheSupplier’sriskandexpenseandwithoutprejudicetoanyotherrights,whichtheBankmayhaveagainstthesupplierundertheContract.TheBankshallalsoimposepenaltyasmentionedinclauseforsuchdefectsinthesolutionasperClause4.18.

PleaserefertoClause3forrelatedscopeandClause4.18fordetailsofuptimerequiredbytheBank.

AMCforSystem Software/off-the-shelfSoftwarewillbeprovidedtotheBankasperthegeneralconditionsofsaleofsuchsoftware.

Themaximum responsetimeforamaintenancecomplaintfrom thesiteofreportingshallnotexceed2(two)hours.

TheSuppliershallensurethatfaultsandfailuresintimatedbytheBankasabovearesetrightwithin4hoursofbeinginformedofthesame.

Thebiddershallensurere-deploymentofNPAManagementSolution(ETL&ProcessManagement)atcentralorremotesitesoratendpointsaspartofmaintenanceonly.Noadditionalchargesshallbepayableforre-designing/re-deploymentofsolutionatanyorallendpointsincludingDCandDRsitesoftheBank.AllactivitiespertainingtocontinuityofthesolutionshallbeensuredbythebidderaspartofAMCwithoutanyextracosttotheBank.

VAPTpointstobemitigatedasandwhenreported.

Training:

Foreachmodule/database/middlewareandthirdpartyutilitiesinstalled,theSupplierisrequiredtotrainthedesignatedBank’stechnicalteam inallaspectslikeresourcemanagement of software, storage allocation, backup management, backupreconciliationand end-userpersonnelto enablethem to effectivelyoperateandperform administrationofthetotalsystem.Thebiddershallconductthetrainingwithoutanyadditionalcost.TheSupplierisalsorequiredtoconductmandatorytrainingforcustomizations/databasemanagementwithcompletecertificationfortheadministrators/personnelspecifiedbytheBankwithoutanyadditionalcost.

Theabovetraininghastobeconductedwithin3monthsofsignoffandistobeprovidedeveryyeartotheBankteam.

8.LiquidatedDamages(LD)

Incaseofdelayindelivery&implementationofNPAManagementSolution(ETL&ProcessManagement)underthescopeofthisRFP:

IftheSupplierfailstodeliveranyoralloftheproductsand/orsystemsand/orservicessolutionswithinthetimeperiod(s)specifiedintheDeliverySchedulei.e.within8weeksfrom thedateofPurchaseOrder,theBankshall,withoutprejudicetoitsotherremediesundertheContract,deductfrom theContractPrice,asliquidateddamages,asum equivalentto0.5percentperweekorpartthereofofContractPricesubjecttomaximum deductionof10% ofthetotalcontractvalueorunperformedservicesforeachweekorpartthereofofdelay,untilactualdelivery,installationorperformance as perrelated clauses mentioned in RFP.Once the maximumdeductionisreached,theBankmayconsiderterminationoftheContractatitsdiscretion.

9.ServiceLevelAgreement(SLA)Termsandconditions

ThesuccessfulbidderisboundtocomplytheServiceLevelsasdescribed

below-

i. Thesuccessfulbiddershallhavetoenterinto“ServiceLevelsAgreement”

havingalltermsandconditionsofthisRFPtomaintainuptimeandprovidethe

servicesupportandonsitesupportduringtheentirecontractperiod.

ii. Both thebidderand OEM willbetotallyresponsibleforthemaintenance,

configurationandfaultfreeoperationsofsuppliedinfrastructurei.e.hardware,

softwareanditsmaintenanceduringthewarrantyandpostwarranty(AMC/ATS

period)period.

iii. Anytechnicalglitch/issue in installed infrastructure ofthe solution (i.e.

hardwareandsoftware,OS/DBetc.)shouldbeattendedonpriorityandshould

becoveredunderwarranty/AMC.

iv. Thebidderhastomaintainaguaranteedminimum uptimeof99.90% forall

systems/solutionssuppliedunderthisRFPtoavoidanybusinessdisruption

duetobreakdownofsystem ordegradedperformanceimpactingbusinessor

unavailabilityofdata.Thecalculationofuptimewillbeonamonthlybasis.

v. Theissue/breakdownmessagemaybecommunicatedbytheBankteam by

vi. Forpenaltycalculation,thetotaltimeelapsedbetweentheintimationofbreak

down messagefrom Bankside to the vendorand receiptofrectification

vii. Duringthewarrantyperiod,thepenaltywillbedeductedinquarterlyFMS&AMC

payment.Incase,BankisunabletoadjustpenaltyinFMSpayment,theBankat

itsdiscretionmayinvokethePerformanceBankGuarantee(PBG)for10%of

individualorderissuedtodeductthepenaltyamount.

viii. Postwarrantyperiod,thepenaltywillbedeductedinquarterlyFMS/AMC/ATS

payment.In case,theBankisunableto adjustpenaltyin FMS/AMC/ATS

payment,the Bank atits discretion may invoke the Performance Bank

Guarantee(PBG)for10% ofindividualorderissuedtodeductthepenalty

amount.

ix. Ifthesupportservicesisnotprovided on 24*7 basisand/orsatisfactory

servicesarenotprovided,theBankwithitsdiscretionmayrejecttheproposal/

terminatethecontract,withoutassigninganyreason.

x. The bidderis required to mandatorily conductquarterly preventive and

breakdownmaintenanceactivitiestoensure(withoutanyimpactondaytoday

operations)tomaintainuptimeof99.90% uptimeonmonthlybasiscovering

24*7*365days.

xi. Apartfrom maintaininguptimeof99.90%,foranybreakdown/malfunctioning

ofhardwareandit’sanyofthecomponentsoraccessoriesoranysystem

softwareissueetc.,theresolutiontimeismentionedbelow:-

prejudicetoanyotherrights,whichtheBankmayhaveagainstthesupplierunder

theContract.

xv. ThebiddershouldcomplywiththesecurityandauditstandardsoftheBankand

variousregulatoryguidelines.Forthis,thebiddershouldapplynew patches

relatedtoOS/firmware&BIOSupdatesetc.,withoutanyadditionalcosttothe

bank,duringthecontractperiod.

xvi. Forallissuesrelatedtoinstalledinfrastructure,RCA(RootCauseAnalysis)tobe

providedbytherespectiveOEM within3workingdays.Thedelayinsubmission

willleadtopenalty@ Rs.200/day.

ResponseTime:Maximum ResponseTimeforRemedialMaintenanceundertheCONTRACT

ismeasuredinelapsedcoveragehoursfrom thetimeaservicerequestisreceivedtothe
