FOODPREPARATIONIfpreparedtoanappropriatesize,nearlyanyfoodworkswithObi.Optimally,¼”by¼”(6mmX6mm)oraboutthesizeofapeaworksbest.However,upto¾”by¾”(9mmX9mm)oraboutthesizeofaraspberryshouldalsowork.

Foranoptimalexperience,alwaysfilltheBowlsuptotheMaxFillLine.

CustomerInspection:UponCustomer’sreceiptofshipment,CustomershallimmediatelyinspecttheGoods.UnlessCustomerprovidesDESīNwithwrittennoticeofanyclaimforshortagesoforpatentdefectsintheGoodswithinfive(5)daysafterreceiptofshipment,suchGoodsshallbedeemedfinallyinspected,checkedandacceptedbyCustomerandinfullcompliancewiththeseStandardTermsofSale.

5. Delivery/Packaging:

a. DESīNshallusereasonablecommercialeffortstomakedeliveryofGoodsorperformserviceswithinthetimerequestedonCustomer’sPurchaseOrder. DESīNshalluseitsowndiscretioninchoiceofcarrierandmethodofpacking. DESīNhasnoobligationtoobtaininsuranceforCustomercoveringGoodsintransittoCustomer.

b. Prices statedarebasedonDESīN’s standardpackaging. Packagingwill be standard commercial packagingandacceptable to thecommercialcarrier.

6. CancellationandReturns: OnlyunopenedandunusedGoodscanbereturnedtoDESīNforarefundoftheCustomer’spurchaseprice,providedCustomerreturnssuchGoodstoDESīNwithin14daysafterthedateofshipmenttoCustomer.Allreturnsmustbepostmarkedbythefourteenthday. CustomerisresponsibleforallshippingcoststoreturnanyGoods. Priortoissuinganyrefund,DESīNreservestherighttoinspectall returnedGoodstodeterminewhethersuchGoodsremainunopenedandunused. NootherreturnsofGoodsshallbeacceptedwithoutthepriorwrittenapprovalofDESīN. DESīNmayexcludespecialordersfromthis14-dayreturnpolicy ifdoneso inwritingpriortoacceptingCustomer’sorder.7. Force Majeure: DESīN will not be liable or otherwise responsible for any damage, loss, fault, or expenses arising out of delays inmanufacturing,shipmentorothernon-performanceofanyPurchaseOrdercausedorimposedby:strikes,fires,disasters,riots,actsofnature;intervention of government, war or threat of war, acts of terrorism, conditions similar to war, sanctions, blockades, embargoes; acts ofCustomer;shortagesoflabor,fuel,power,materials,supplies,transportation,ormanufacturingfacilities;governmentalaction,subcontractordelayoranyothercause,conditionorcircumstancebeyondDESīN’sreasonablecontrol(collectively,“ForceMajeure”).Ifthereisadelayornonperformancedue toForceMajeure, thenDESīNmay,at itsoption,andwithout liability, revokealloranyportionsof itsacceptanceofCustomer’sPurchaseOrderand/orextendanydateuponwhichanyperformancethereunderisdue.

8. LimitedWarranty/DisclaimerofWarranties:ThepartiesexpresslyagreethatCustomer’ssoleandexclusiveremedyagainstDESīNshallbefor the repair and replacement of defectiveGoods as provided herein. THEWARRANTIES SET FORTHBELOWARE IN LIEUOFALLOTHERWARRANTIES,EXPRESSORIMPLIED,INCLUDINGTHOSEOFMERCHANTABILITYORFITNESSFORAPARTICULARPURPOSE,ALLOFWHICHAREEXPRESSLY DISCLAIMED. NO AFFIRMATION OF DESiN, BY WORDS OR ACTION, OTHER THAN AS SET FORTH IN THIS SECTION, NOR ANYADDITIONAL WARRANTIES, EXPRESS OR IMPLIED, MADE BY DESīN TO CONSUMER PURCHASERS OF THE GOODS SHALL CONSTITUTE AWARRANTYHEREUNDER. DESīN’swarrantydoesnotapply toanyGoodsthathavebeensubjectedtomisuse,mishandling,misapplication,neglect(includingbutnotlimitedtoimpropermaintenance),accident,improperinstallation,modification(includingbutnotlimitedtouseofunauthorizedpartsorattachments),oradjustmentorrepairperformedbyanyoneotherthanDESīNoroneofDESīN’sauthorizedagents.InnoeventshallDESīNberesponsibleforthequalityorperformanceofanygoodsmanufacturedbyotherparties;suchGoodsshallcarryonlythewarrantyofthemanufacturer.

Exceptasotherwisesetforthbelow,anyclaimbyCustomerwithreferencetotheGoodssoldpursuanttothePurchaseOrdershallbedeemedwaivedbytheCustomerunlesssubmittedinwritingtoDESīNwithintheearlierof(i)five(5)daysfollowingthedateCustomerdiscovered,orbyreasonable inspection should have discovered, any claimedbreachof the foregoingwarranty, or (ii) thirty (30) days following the date ofshipment.Anylegaldisputeforbreachoftheforegoingwarrantyshallbeinitiatedwithinone(1)yearfromthedatetheallegedbreachwasdiscoveredorshouldhavebeendiscovered,whicheveroccursfirst.

SubjecttotheprovisionsoftheseStandardTermsofSale,theLimitedWarrantythatappliestoallGoodssoldisasfollows:SEELIMITEDWARRANTY.

9. Limitation of Liability: DESĪNWILL IN NO EVENT BE LIABLE FOR ANY CONSEQUENTIAL, SPECIAL, INCIDENTAL, INDIRECT, PAIN ANDSUFFERING,ORPUNITIVEDAMAGESTOANYPERSON,WHETHERBASEDUPONBREACHOFWARRANTY,NEGLIGENCE,STRICTLIABILITY,TORT,BREACHOFCONTRACTORANYOTHERTHEORY,REGARDLESSOFWHETHERTHEREPLACEMENTORREFUNDREMEDYSETFORTHABOVEFAILSOFITSESSENTIALPURPOSEORFORANYOTHERREASONWHATSOEVER.“CONSEQUENTIALDAMAGES”FORPURPOSESHEREOFSHALLINCLUDE,WITHOUT LIMITATION, LOSSOFUSE, INCOMEORPROFIT,OR LOSSES SUSTAINEDAS THERESULTOF INJURY (INCLUDINGDEATH) TOANYPERSONORLOSSORDAMAGETOPROPERTY(INCLUDING,WITHOUTLIMITATION,PROPERTYHANDLEDORPROCESSEDBYTHEUSEOFTHEGOODS).10. SafetyInformation:DESīNhassuppliedormadeavailabletoCustomercertaininformationrelatingtosafetyconditionsandproceduresconcerning theGoods,andCustomeracknowledges receipt thereofand furtheracknowledges that ithas reviewedandunderstandssame.CustomeragreestoabidebyallsafetyproceduresandwarningsprovidedbyDESīN,andfurtheragreestousetheGoodsonlyinconformitywiththeinstructionsprovidedandtheintendeduse(s)oftheGoods.11. Trademarks:ThepurchaseofGoodsfromDESīNdoesnotentitleCustomertouse,register,orotherwiseidentifyCustomeroritsbusinesswiththename,trademark,servicemarkorotheridentityofDESīNorthenameObiorits likenesswithoutexpresswrittenpermissionfromDESīN.AllsuchmarksandgoodwillassociatedwithsuchmarksremainthesoleandexclusivepropertyofDESīN.12. Taxes:UnlessotherwisespecificallyprovidedonthefaceofanyPurchaseOrder,thepricefortheGoodspurchaseddoesnotincludesales,use,exciseorsimilartaxes,whethertariffs,duties,specialassessments.Theamountofanysuchtaxes,tariffs,dutiesandspecialassessmentsapplicabletotheGoodsshallbepaidbyCustomerinthesamemannerandwiththesameeffectasiforiginallyincludedinthepurchaseprice.13. AdditionalCharges: IfsubstituteoradditionalGoods,orrepairparts,arepurchasedbyCustomerfromDESīN,theprovisionsoftheseStandardTermsofSaleshallbeapplicabletosuchpurchase,thesameasifsuchsubstituteoradditionalGoodsorrepairpartshadbeenoriginallypurchasedhereunder.14. EntireAgreement:TheseStandardTermsofSale,togetherwiththetermsandconditionscontainedonthefacesideofDESīN’sinvoiceorquotation,constitutetheentireagreementbetweenDESīNandCustomerwithrespecttothematterscontainedtherein,andsupersedesallprior oral or written representations, proposals, correspondence, discussions, negotiations and agreements. No course of prior dealings,acceptanceoracquiescenceinacourseofperformanceandnousageofthetradeshallberelevanttosupplement,explainormodifyanytermscontainedherein.Allrepresentations,promises,warrantiesorstatementsbyanagentoremployeeofDESīNthatdifferinanywayfromthetermsandconditionshereofshallbegivennoeffectorforce.Nowaiveroralterationoftermsherein,includinganyaddedordifferenttermsidentifiedonanyinvoice,quotation,orPurchaseOrder,shallbebindingunlessinwritingsignedbyanexecutiveofficerofDESīN.15. Priority:IntheeventofanyinconsistencyamongtheprovisionsintheseStandardTermsofSaleorthePurchaseOrder,precedenceshallbegivenfirsttotheseStandardTermsofSale,andsecond,tothespecialtermsandconditionscontainedonthefaceofthePurchaseOrderandaccepted,inwriting,byDESīN.16. GoverningLaw:ThesaleofGoodspursuanttothePurchaseOrdershallbesubjecttoandconstruedinaccordancewiththelawsoftheStateofMichigan,UnitedStatesofAmerica,applicabletocontractsmadeandperformedintheStateofMichiganwithoutgivingeffecttoanychoiceorconflictoflawprovisionorrule(whetheroftheStateofMichiganoranyotherjurisdiction)thatwouldcausetheapplicationofthelawsofanyjurisdictionotherthantheStateofMichigan.Exclusivejurisdictionandvenueforanyactionarisingbetweenthepartieswithrespectto theGoodsshall lie in theCourtsofOaklandCounty,Michiganor in federalcourtssituated in theEasternDistrictofMichigan (SouthernDivision)iffederalcourtjurisdictionisinvoked.Thepartiesirrevocablyconsentandsubmittothepersonaljurisdictionofsaidcourtsandagreenottochallengeorassertanydefensetotheexclusivejurisdictionandvenueofsaidcourtsincluding,withoutlimitation,forumnonconveniens.Customer andDESīN agree that, notwithstanding these exclusive jurisdiction and venueprovisions, theparties intend tobeboundby themandatoryarbitrationclausearticulatedintheseStandardTermsofSale. ThepartiesherebyexcludetheapplicationoftheUnitedNationsConventiononContractsfortheInternationalSaleofGoods.

17. Severability:IfanyprovisionoftheseStandardTermsofSaleisdeemedinvalidorunenforceablebyanycourtofcompetentjurisdictionorunderanystatute,regulation,ordinance,executiveagreementorotherruleoflaw,suchprovisionshallbedeletedormodified,attheelectionofCustomerandDESiN,butonlytotheextentnecessarytocomplywithsuchruling,statute,regulation,ordinance,agreementorrule,andtheremainingprovisionsoftheseStandardTermsofSaleandthePurchaseOrdershallremaininfullforceandeffect.18. Non-Waiver: Nochange,modificationorwaiverofanyprovisionof theseStandardTermsofSaleshallbevalidorbindingunless it isacceptedinwriting,byDESīN.AwaiverbyeitherpartyofanybreachorfailuretoenforceanytermorconditionoftheseStandardTermsofSaleshallnotinanywayaffect,limitorwaivesuchparty’srightatanytimetoenforcestrictcompliancewiththatoranyothertermorconditionoftheseStandardTermsofSale.19. Binding/Non-Assignment:Thiscontractshallbebindinguponandshallinuretothebenefitofthesuccessors,andpermittedassignsofCustomerandDESīN,provided,however, thatCustomermaynot assignanyportionof its rightsordelegateanyportionof itsobligationshereunder or under any PurchaseOrderwithout in each instance obtainingDESīN’s priorwritten consent. Any attempted assignment byCustomerorassignmentbyCustomerofthiscontractwithoutDESīN’spriorwrittenconsentisvoid.20. DESīN’sPerformanceExcusedUponCustomer’sBreach:InadditiontotherightsandremediesconferreduponDESīNbylaworinequity,DESīNshallnotberequiredtoproceedwiththefulfillmentofanyPurchaseOrderortheperformanceofanycontractifCustomerisindefaultintheperformanceofanyorderorcontractwithDESiN,andincasesofdoubtastoCustomer’sfinancialresponsibility,shipmentsunderthisordermaybesuspendedorsentsightdraftwithbillofladingattachedbyDESiN.Additionally,inthecaseofsubsequentordersor,inthecaseofopenPurchaseOrders,DESīNisnotrequiredtoproceedwiththefulfillmentofanysubsequentorderorperformsuchopenPurchaseOrderifCustomerisinbreachwithregardtoanypriorfulfilledorders,including,withoutlimitation,non-payment.21. Binding Arbitration: Any controversy or claim arising out of or relating to the Goods, these Standard Terms of Sale, or any relatedagreementbetweenCustomerandDESīNshallbesettledbybindingarbitrationinaccordancewiththefollowingprovisions:

a. TheagreementofthepartiestoarbitratecoversalldisputesofeverykindrelatingtoorarisingoutoftheseStandardTermsofSaleandthegoods,aswellasanyclaimbasedontortoranyothercausesofactionrelatingtothetransactionscontemplatedbyoftheseStandardTermsofSale,suchasclaimsbasedonanallegationoffraudormisrepresentationandclaimsbasedonafederalorstatestatute.Inaddition,thearbitratorsselectedaccordingtoproceduressetforthbelowshalldeterminethearbitrabilityofanymatterbroughttothem,andtheirdecisionshallbefinalandbindingontheparties

b. TheforumforthearbitrationshallbeOaklandCounty,Michigan(USA).

c. ThegoverninglawforthearbitrationshallbethelawsoftheStateofMichigan,asmorefullyprovidedforinthe“GoverningLaw”sectionoftheseStandardTermsofSale.

d. Thereshallbethreearbitrators,unlessthepartiesareabletoagreeonasinglearbitrator.Intheabsenceofsuchanagreementwithin10daysaftertheinitiationofanarbitrationproceeding,eachpartyshallselectonearbitrator,andthosetwoarbitratorsshallthenselect,within10days,athirdarbitrator.Ifthosetwoarbitratorsareunabletoselectathirdarbitratorwithinthat10-dayperiod,athirdarbitratorshallbeappointedthroughtheArbitratorSelectionProcessfacilitatedthroughtheAmericanArbitrationAssociation.Thedecisioninwritingofatleasttwoofthethreearbitratorsshallbefinalandbindingontheparties.

e. TherulesofarbitrationshallbetheConsumerArbitrationRulesoftheAmericanArbitrationAssociation,asmodifiedbyanyotherinstructionsthatthepartiesmayagreeonatthetime,exceptthateachpartyshallhavetherighttoconductdiscoveryinanymannerandtotheextentauthorizedbytheFederalRulesofCivilProcedureasinterpretedbythefederalcourts.IfthereisanyconflictbetweenthoserulesandtheprovisionsofthisSection21,theprovisionsofthisSectionshallprevail.

f. Thearbitrators’decisionshallprovideareasonedbasisfortheresolutionofeachdisputeandforanyaward.Thearbitratorsshallnothavethepowertoawarddamagesinconnectionwithanydisputeinexcessofactualcompensatorydamagesandshallnotmultiplyactualdamagesorawardconsequentialorpunitivedamagesoraward,painandsuffering,oranyotherdamagesthatareexcludedundertheprovisionsoftheseStandardTermsofSale.

g. Eachpartyshallbearitsownfeesandexpenses(includingattorneyfees)regardingthearbitrationandanyrelatedproceeding,andthepartiesshallshareequallythefeesandexpensesofthearbitrators.

h. ThearbitratorsshallhavepowerandauthoritytoawardanyremedyorjudgmentthatcouldbeawardedbyacourtoflawinthestateofMichiganconsistentwiththeseStandardTermsofSale.Theawardrenderedbyarbitrationshallbefinalandbindingontheparties,andjudgmentontheawardmaybeenteredinanycourtofcompetentjurisdictionintheUnitedStates.
