MEMORANDUM OF SUPPORT

The Facts

This Honorable Supreme Court of Ohio does not have subject matter jurisdiction in this case.

Therefore, this court must dismiss the case.

The States alleged victims in this case, John Rohal and his now deceased wife Patricia Grove

Rohal, created a charitable Panamanian foundation named the David Quincy Grove Family Foundation

(hereinafter the Foundation). The Foundation was formed by a duly registered Panamanian

corporation, Alba Management Inteinational, S.A. (hereinafter Alba). A States witness, Sergio

Alvarez, a Cuban national, friend and confidant of the Rohals, owns 100% of the stock of Alba.

See Appx. 1, Appx. 2, Appx. 3

John Rohal and heiress Patricia Grove Rohal (hereinafter the Rohals) knowingly, intentionally

and purposely donated (a gift) shares of Davey Tree Expert Company (hereinafter Davey Tree)

common stock or the value thereof ($1,410,864.00) to the cited duly established and registered

Panamanian charitable Foundation. See Appx 4, Appx 2

The said Davey Tree stock or the value thereof that was voluntarily donated (a gift) to the

Panamanian charitable Foundation is the subject matter of this action.

The Rohals knowingly, intentionally and purposely removed the said stock or the value thereof

from the jurisdiction of all United States courts. They moved the subject matter jurisdiction to the

country of the Republic of Panama (hereinafter Panama).

The purpose of said removal of jurisdiction from United States courts to Panamanian

jurisdiction and Panamanian courts was to legally avoid the payment by them of $280,000.00 capital

gains tax plus the payment of any State of Ohio tax, municipal tax and estate tax that would be due to

be paid by them if a United States court had jurisdiction over the stock. Panamanian charitable

foundations pay no taxes in the United States or Panama.

This case was and is a tax case not a criminal case.

The chain of custody of the subject stock and the value thereof is clear; 1.) The stock

certificates held in the name of each Rohal (John and Patricia) as owner were sent by the Rohal's to

Davey Tree. See Appx. 4 2.) Per the Rohal's written instruction to Davey Tree, Davey Tree reissued

the cited stock certificates to the Foundation; See Appx. 4 3.) Davey Tree, by contract, right of first

refusal, purchased the subject stock from the Foundation for about $1,410,864.00 See Appx: 5 4.)

The Davey Tree check made payable to the Foundation was deposited "in full" into an existing

Foundation account located in Banco Disa, S.A. in the Republic of Panama. See Appx. 5 The

transfer of jurisdiction of the subject matter of this case, the Davey Tree stock or value thereof, was

complete on or about 20 June 1997.

The Key Word index for three (3) books of transcripts shows that the key words "Panama,"

Panamanian and Panamena appear 153 times in the subject proceeding. The key words domicile

and domicillo appear 11 times in the same proceeding. See Appx. 6,7,8

The Law and Argument

The Supreme Court of Ohio does not have subject matter jurisdiction over this action because

the Portage County Court of Common Pleas never had jurisdiction of the action in the first instance.

Jurisdiction of the subject matter defines the competence of a court to render a valid judgment

in a particular action. Pratts v Hurley, 201 Ohio St. 3rd 81, 2004 - Ohio - 1980 par. 21 Thus, the

requirement of subject matter jurisdiction cannot be waived, ( Pratts v Hurley, supra), nor can the

parties to an action confer requsite jurisdiction on the court by their conduct, (Thorley v Thorley, 77

Ohio App. 3", 275, 602 N.E. 2d 268 (6th Dist. Huron County 1998), or by consent. (State ex rel

Easterday v Ziaba, 58 Ohio St. 3"' 251, 569 N.E. 2d 1028 - 1991) Since issues conceining subject

matter jurisdiction cannot be waived, objections based upon a lack of jurisdiction over subject matter

may be raised at any stage of the proceeding, ( Pagan v Crawmer, 76 Ohio St. 3' 97, 666 N.E. 2d

1091 (1966), whether before or after judgment, (In re Ohio Turnpike Commission, 98 Ohio App.

151, 57 Ohio Op. 215, 128 N.E. 2d 527 (6th Dist. Williams County 1953), and even on appeal.

(International Buttery Inc. v Kerouak, 102 Ohio App. 3d 660, 657 N.E. 820 (ls` Dist. Hamilton

County 1985),

Since it cannot be waived, a lack of subject matter jurisdiction is grounds for a mandatory sua

sponte dismissal of an action (Nord Community Mental health Ctr. V Lorain City., 93 Ohio App.

3D 363, 638 N.E. 2d 623 (9th Dist. Lorain County 1984).

"For in the absence of subject matter jurisdiction, a court lacks the authority to do anything but

announce its lack of jurisdiction and dismiss the action (Pratts v Hurley, supra.)

When any judge sits without authority his decisions are void as a matter of law. Proper

jurisdiction of a case is a condition precedent to the court's ability to hear a case. If a courtacts

without authority, then any proclamation by that court is void. (Patton v Diemer (1988), 35 Ohio St.

3'" 68, 518 N.E. 2d 941, par. 3).

There is no appeal from a void judgment. (State v Keith cited as 2002 WL 31875968 (Ohio

App. 8 Dist., par. 8.)

This motion challenges the authority of the Supreme Court to hear the action at all, except to

determine that the underlying courts do not have the prerequisite subject matter jurisdiction to hear the

merits of the issues and as a result all the proceedings must be dismissed and vacated as a matter of

law.

The appellant's motion follows the dictates of Civ. R. 12 (H)(3) that allows any of the parties to

bring the lack of subject matter jurisdiction to the attention of the court and request dismissal.

The subject matter of this action was and still is within the territorial boundaries and jurisdiction

of the Country and courts of the Republic of Panama. This situation occurred because the alleged

victims in this action placed the jurisdiction in that country through voluntary act and contractual

procedures with full advice of legal counsel in order to avoid paying federal, state, local, capital gains

and state taxes in the United States..

In addition, the alleged victims took twelve (12) years to make the decision. It was neither sudden nor

produced by anything the appellant said or could have said.

It was proceeded by the fact that Patricia Grove Rohal, a teacher's aid, inherited 1.4 million

dollars worth of Davey Tree stock, a privately held corporation, from her mother. In one day, heiress

Patricia Grove Rohal became a "paper millionaire", with more taxes than cash. She decided a foreign

jurisdiction of some variety was the only solution years before she ever met the appellant.

The issue of subject matter jurisdiction being in the Republic of Panama is dramatically put

forth by all of the witnesses at trial and the state itself. The following documents and statements under

oath conclusively prove that subject matter jurisdiction of the case remains in the courts of the Republic

of Panama.

Conclusion

The State opened its case against the defendant by admitting that the subject matter jurisdiction

of this case lay in the Republic of Panama. TT pg 22, L. 12 "The problem is their money is in

Panama, the control is in Panama.

The alleged victim of the case testified that he and his wife willingly and voluntarily decided to

create a foundation in the Republic of Panama. TT pg 354, L. 8-19 "... State's Exhibit 2 ... shall be

constituted by Alba Management and the domicile shall be Republic of Panama - I'm sorry, City of

Panama, Republic of Panama, is that correct?" A. "That is what it says here."

The Davey Tree Company oversaw the transfer and sale back of the 1.4 million dollar stock

transaction between the David Quincy Grove Family Foundation in the Republic of Panama. [Martha

Kordinak - stock transfer agent and Treasury Supervisor for Davey Tree Expert Company] TT pg 121,

L. 3-9,14-16, TT pg 123, 126,130 133, L. all. At the same time the Treasury supervisor for the

Davey Tree Expert Company advised the Rohals to seek legal advice. TT pg 121, L 3-9

The Rohals spent twelve (12) years seeking advise on their tax situation and the fact that an

inheritance in privately held stock make them "paper millionaires", without cash. Their answer was an

offshore foundation in Panama.

The United States and Ohio constitutions allow citizens to contract. The United States

government has the sole authority to enter into treaties with foreign entities conceming trade and

banking relations. No state government has the authority to intercede. The United States government

accepts foundations in the Republic of Panama and requires the same documentation to achieve a tax

benefit. The Davey Tree Expert Company cleared all the documentation before it issued a check to the

David Quincy Grove Family Foundation for 1.4 million dollars. TT pg 151, L. 18-23

John Rohal and heiress Patricia Rohal received money from the Foundation for a number of

years until the Banco Disa failed and went into liquidation. TT pg 318, L 1-6 Then John Rohal went to

the F.B.I. Claiming fraud. TMOH pg 45, L. 13-21 After an investigation the F.B.I. told them there

was no fraud and in fact there was no case against the defendant. TT pg 46,47, L. 24,25,12

The Portage County Prosecutoidecided to overrule the F.B.I., the Internal Revenue Service's

code and its regulation and the treaties that presently exist between the United States and the Republic

of Panama that apply to foundations and banking procedures and illegally indict the defendant for a

crime that never happened. The Banco Disa, S.A. of Panama, like many other banks in the world, had

invested im-many American banks that were unstable and it paid the price. TT pg 318, L. 1-6

The defendant did not create the subject Foundation. It was created by Alba Management

International; S.A. tn Panama by Sergio Alvarez, the Rohal's friend, confidant and Cuban national with

a phd. in Physics. The defendant's role was as an adviser who received $4,000.00 in traveling

expenses for his part in the entire situation.

The Supreme Court of Ohio has no authority to hear a case, without the prerequisite jurisdiction

to do so. All the court can do is dismiss the action and note that it does not have jurisdiction over the

action. The court should further order that all the lower court proceedings must be vacated as a matter

of law.

This is a situation where the Common Pleas court of Portage County overreached its statutory

legal parameters to hijack a case and a defendant without the legal authority to do so.

on Corporations, by these presents establish, agree and grant the following articles of

representation in general, mandates, commissions, importation and exportation and the

manufacture, elaboration an distribution of all classes of products; ---c) The purchase, sale,

barter, renting, handling, trading, tenancy of and investment in, all kinds of real and personal

property, merchandise, consumer good, supplies products and other goods of any kind, nature or

description;----d) The participation, in any manner, in other corporations or companies, whether

they be Panamanian or foreign.--- e) The purchase, sale and general trade of shares, bonds,

securities and other assets of any kind or description;----f) The representation as trustees for

persons and legal bodies outside the Republic of Panama.;----g) To establish, manage and carry

on the business of a manufacturing, trading and commercial corporation; to manufacture,

description;----h) To establish, manage and carry on the business of exporters, importers and

forwarders and principals, commissioners, agents, brokers, trustees, business agents or business

of any other kind within the Republic of Panama or any other country in the world;----i) To

apply for, purchase, register or in any other manner to acquire, hold, own, use, exploit and

introduce, sell, lease, assign, pledge in any other manner, trade in patents, patent rights, licenses,

copyrights, trademarks, trade names, formulas, inventions or similar rights granted by the

Republic of Panama or by any other country or countries in the world;---- j) To borrow and lend

money, with or without interest, under terms or on demand, or under any other conditions;---.k).

To invest in other corporations of whatever type or nature, or in established businesses, owned or

administered by other persons, societies, companies, corporations or enterprises; ---1) To issue,

draw up, deliver, endorse, negotiate, pay, settle, collect, protest, guarantee, refuse and deal in all

kinds of negotiable documents or securities, with all kinds of obligations whether they be of

mercantile, civil, or of any other type character or nature;----m) To carry on any type of

commercial or financial operation, the selling or rendering of services and the hiring of required

personnel for such purposes, as well as to manage bank and other kinds of accounts with any

bank or financial institution in any country or countries in the world;----n) The purchase,

construction, freightment, possession in domain, operation, handling and administration of ships,

airplanes and other ships of any class or their ownership, as well as the possession in domain,

operation, handling and administration of airlines, marine agencies.------------------------------------

THIRD: The authorized Capital of the corporation shall be TEN THOUSAND DOLLARS

(US$ 10,000.00), currency of United States of America, divided in TEN THOUSAND (10,000)--

shares which can be nominative or bearer, interchangeable one for another with nominal value of

ONE DOLLAR (1.00) each.-----------------------------------------------------------------------------------

FOURTH: The right to vote shall be vested exclusively in holders of such shares and at any

shareholders meetings the shareholder shall be entitled to one vote for each share so held, and at

such meetings share certificates evidencing ownership shall be presented or other evidence of

their title in the manner-.determined by the Board Directors.---------FIFTH: The meetings of the

Shareholders maybe held in the Republic of Panama or outside of the country .-----SIXTH: The

in the City of Panama but may establish branches or offices in other.locations in the Republic of

Panama or abroad:-----NINETH: The Resident Agent of the Corporation shall be the Attorney

EDIS ESQUIBEL GONZALEZ, who agrees to act as resident agent, with offices located in the

city of Panama, republic of Panama,----TENTH: The term of duration of the Corporation will be

perpetual, taking effect from day filed in the Public Registry ,-----ELEVENTH: The Board of

Directors of the corporation shall consist of no less than three (3) or more than nine (9) members

any of them from time to time can be removed or changed.---------------------------------------------

The Board of Directors could increase the number of directors, also providing the new

designation,-----is not necessary to be shareholder within to be Director.------------------------------

The undersigned, Alba Management Intemational, S.A., duly represented by its attomey, the law fian

CABINET MAPPRE BOUTIN, located in Balboa Avenue, Balboa Plaza Building, Third Floor, Office

422, Panama City, Republic of Panama., acting as Founder and pursuant to the provisions of Law 25 June

12, 1995 of the Republic of Panama, hereby constitutes a Private Interest Foundationas body corpomte

under the laws of the Republic of Panama, with the following characteristics:

FTRST: NAME. The name of the Foundation is: DAVID QUINCY GROVE FAMILY

FOUNDATION (hereinafter "the Foundation"). The Foundation constimted zs body corpomte shall be

organized on a non-stock basis and shall have no members. The authority for all affairs of the Foundation

shall be in the Council of the Foundation who shall have and may exercise all powers of the Foundation as

permitted by Panamanian Law, this Memorandum, and the Regulations of the Foundation as from time to

time is effecL

SECOND: INITIAL PATRIMONY. The initial patrimony of the Foundation is of TBN THOUSAND

DOLLARS WITH 00/100(US$10,000.00) legal tender of the United States of America (USS10,000.00) or

the equivalent thereof. The Founder(s), the Council of the Foundation or third parties may periodically

assign amounts of money or other assets to the Patrimony of the Foundation. The transfer of assets to the

patrimony of the Foundation may be carried out by means of public or private document. The patrimony

of the Foundation is exclusively reserved for the purposes mentioned in the present Memorandum of the

Foundation and, therefore, the Council of Foundation shall not be able to dispose of said patrimony in a

manner different or contrary to what is established in the present Memorandum of the Foundation or in

the Regulations thereof. The Foundation may receive andaccept property, whether real, personal or

mixed,by way of gift, bequest or devise, from any person, flrn5 trust or corporation, to be held,

administered and disposed of in accordance with and pursuant to the provisions of this Memorandum of

the Foundation or Regulations thereof; but no gift, bequest or devise of any such property shall be

received and accepted if it is condifloned or linuted in such manner as to require the disposition of the

income or its principal to any person or organization other than a "charitable organization" or for other

Ihan "chadmble purposes" within the meaning of such terms as defined in pamgraph Six (6)

Memorandum of the Foundation.

THIRD: THE COUNCIL OF THE FOUNDATION. The Council of the Foundation shall be constituted

by Alba Management Intemational, S.A., a corporation with domicile in the city of Panama, RepubGc of

Panama, Balboa Plaza Building, Third Floor, Office 301, and shall have tliefollowing characteristics:

a) The Council of the Foundation is the highest body of the Foundation.

b) The Council of tlre Foundation may be formed by natural persons and/or body corpornte.

c) The members for the Council of the Foundation areinitially appointed by the Founder(s). The

election of a replacement for a member of the Council of the Foundation, whether he/she is a title

holder or deputy, by means of resignation, disability or deatlt, shall require the simple rnajority of the

votes of the remaining membere of the Council. Should in the Council of the Foundation be a

vacancy, or be the remaining members disabled, the right to appoint the new members for the Council

of the Foundation shall be exercised by a founder. -

d) Theexercise of the position of the members of the Council of the Foundation is for an indefinite time.

e) The Council of the Foundation is in charge of the adnunistration and representation of the

Foundation, in an unlimited manner, before tldrd parties, specially before national, foreign, judicial

and administrative authorities.

f) The Council of the Foundation may delegate to one or many of its members, or to a tldrd party, ita

powers to issue the Regulation of the Foundation, as well as its Powers of administration and

representation of the Foundation for specific actions. In this case, the Council shall confer the right

to sign and to bind the Foundation. . .

. g) The Council of the Foundadon is empowered to exercise the right to sign on behalf of the Foundation

and shall not have to justify before third parties its capacity to order and to dispose; nevertheless, it

shall always act in accordance with a valid Agreement. Agreements shall be valid if all the members

have been duly called and if the majority of them are present. The agreements of the Council of the

Foundation shall be made by the simple majority of the present members. In the events of equality,

the President shall have the decisive vote.

h) Shall the Council of the Foundation be comprised by two members, their agreements shatl require an

unanimous decision. -

i) Shall the Council of the Foundation be comprised by one member, said member shall make decisions

and shall issue resolutions by himself/herself. Said resolutions shall be signed by the person

appointed by the Board of Directors of this sole member.

j) The agreements of the Council of the Foundation shall be recorded in minutes and these shall be

signed by the secretary of the meeting, who shall keep the minutes thereof

k) The Council of the Foundation shal] meet by invitation of the President at the domiNe of the

Foundation, or in any other place in the world which shall be appointed by the Council of the

Foundation.

1) The Council of the Foundation may also enter into Agreements by means of ciraular, but in suchcase

unanimity shall be required.

FOURTH: DOMICILE. The domicile of the Foundation is in the Republic of Panama. By means of

agreemenfof the Council of the Foundation, the donucile of the Foundation may be moved, at any

moment, abroad. All thejudicial relations conung from the incorpomtion and existence of the Foundation

shall be subject to the law in force in the place of its donucile. The Foundation shall have its judicial

forum in the Courts of its donticile. In the event of transferringthe domicile to another place, the

Foundation shall continue to be submitted to the provisions of the Law of Private Interest Foundations in

the Republic ofPanama, insofaras, in thepew domicile there are no strict compliance provisions which

require otherwise.

FIFTH: RESIDENT AGENT. The resident agent of the Foundation is the law 5rm CABINET MAITRE

BOUTIN,located in Balboa Avenue, Balboa Plaza Building, Third Floor, Office 422, Panama City,

Republic of Panama.

SIXTH: PURPOSES. The Foundation is created for charitable, religious, scientific, literary or

educational purposes. The primary purpose of the Foundation is to request donations, grants, pledge(s)

and sponsors in any country for the purpose of dedicating these donations to improve the quality of life

and lend help directly to needy persons worldwide, without consideration of mce, nationality, or religion

as well as catry out donations to other Foundations or entities of charity with similar objectives and paying

the expensesbf education, upbringing, preparation and assistance, as well as the general maintenance, or

any otlrer similar help, to one or more members or to one or more families appointed in the regulations.

In addition to the members of one or more families, the Foundation might benefit other natural persons or

body corporate or instimtions of any kind and t2ke the necessary provisions for the ordered succession of

its patrimony. To achieve its purposes, the Foundation shall preserve, manage and invest its patrimony

properly. The Foundation may not have profit purposes; notwithstanding, it may carry out mercantile

activities in a non-customary manner, or exercise the rights coming from the titles representing the capital

of inercantile corporation that form the patrimony of the Foundation, provided that the result of the

economic product of such activitiesbe exclusively dedicated to the purposes of the Foundation. It may

also dedicate itself to any other legal activity allowed to this type of entity, as determined by the

Founder(s) or the Council of the Foundation.

SEVENTH: BENEFICIABIES.

a) The Founder(s), upon constitu9ng the Foundation, or later, the Council of the Foundation may create

a private document called "REGULATION', where beneficiaries shall be appointed and all mztters

pertaining to them shall be determined. The Council of the Foundation shail assign the patrimony

and the product of the Foundation, totally or partially, to one beneficiary or other beneficiaries, or to

many of them, pursuant to what is provided for in theRegulations.

b) The distribution to the beneficiary or beneficiaries appointed, as well as the moment and the amount

of this distribution, shall be subject to what is provided forin the Regulations.

c) It is expressively provided that the beneficiaries are not owners, nor creditors of the Foundation, so

they shall not be able to enforce in regards to the same more rights than those conferred in the

Memorandum of the Foundation, the Regulations and/or the Agreements of the Council of the

Foundatioa

EiGHTH: AMENDMENTSTOTHEMEMORSNDUMOFTHEFOUNDATION.TheFounder(s)and

the Council of the Foundation, by means of unanimotis consenSmay amend the present Memorandum of

the Foundation. The Founder(s) and the Council of the Foundation may modify,remove or declare non

applicable one or more provisions of the present Memorandum of the Foundation, change or elinunate all

or any of the beneficiaries, appoint or add new beneficiaries, increase or reduce or in any other manner

modify the benefits of all or any of the beneficiaries, add new assets to the patrimony of the foundation

and amend in any other manner the Memorandum of the Foundatlon.

NINTH: DURATION. The Foundation shall have perpetual dumtion and may only be dissolved by

means of a unanimous agreement from the Council of the Foundation or by means of the decision of the

Founder(s).

TENTH: DISTRIBUTION OF THE BENEFITS. The Council of the FoundaGon may distnbute the

capita] or the interests of the Foundation pursuant to what is provided for in tbe Regulations, wluch may

be modified at any time by the Founder(s) or the Council of the Foundation.

ELEVENTH: ANNUAL ACCOUNT. The Council of the Foundation shail annually present accounts of

its management to:

a) The Founder(s) while he/she exists.

b) To the Beneficiary(ies), at the death of the Founder(s).

c) To the Guardian, if any.

If the account submitted is not objected in a ninety (90) days term, as from the day on which it was

received, it will be considered approved. Having elapsed said term or being the account approved, the

members of the Council of the Foundation shali be exempted from any liability for their management, but

such approval does not exempt them in re&ards to the Beneficiaries or third parties that may have an

interest in the Foundation, due to damages caused by negligence or dolus in the administration of the

Founda[ion.

TWELFTH: REMOVALOF THE COUNCIL OF THE FOUNDATION. The Council of the

Foundation may be removed by the Founder(s) or by the Guardian, if any, Likewise, the Founder(s) or the

Guardian may appoint or add new members to the Council of the Foundation.

THIRTEENTH: OELIGATIONS AND DUTIESOF THE COUNCIL OF THE FOUNDATION. The

Council of the Foundation shall have the following obligations and duties:

a) Manage the assets of the Foundation pursuant to the present Memorandum of the Foundation or its

Regulations.

b) Hold acts, enter into contracts or other judicial business that zre adequate or necessary to comply with

the objectives of the Foundation and include in said contracts, agreements and other instruments or

obligations, all the clauses and conditions that are necessary or convenient, that are adjusted to the

purposes of the Foundation and that are not contmiy to the law, morals, good customs and public

order. . . . .

c) Inform the Beneficiaries of the Foundation the patrimony simation of the same, as it is provided for in

the Memorandum of the Foundation or its Regulations.

d) Deliver to the Beneficiaries of the Foundation the assets or the resources that have been established in

their favor in the Memorandum of the Foundation or its Regulations.

e) The Council of the Foundation shall have, in addition to all powers granted by Law 25 of June 12,

1995 and other legal dispositions or nrles that are applicable, the following powers with respect to

this Foundation, exercised at the Council's discretion.

(a.) To invest and reinvest the principal and income of the Foundation in such property, real,

personal or mixed, and in such manner as they shall deem proper, and from time to time change

invesanents as they shall deem advisable; to invest in or retain any stocks, shzres, bonds, notes,

obligations, or personal or real property, including without limitation any interests in or

obligations of any cnrporation,partnership, zssociation, business trust, investment trust, common

trust fund or investment company, although some or all of the property so acquired or retained is

of a kind or size which, but for this express authority, would not be considered proper and

although atl of the foundation fnnds areinvested in the securities of one company. No principal

or income, however, shall be loaned, directly or indirectly, to anyone, corporete or otherwise,

who has at any time made a contribution to this Foundation, nor to anyone except on the basis of

an adequate interest charge and with added security.

(b.) To sell, lease or exchange any personal, mixed or real property, at public auctfon or by private

contract, for such consideration and on such terms as to credit or otherwise, and to make such

contracts and enter into such undertakings relating to the foundation property, as the Council

considers advisable, whether or not such leases or contracts may extend beyond the duration of

this Foundation.

(c.) To borrow money for such periods, at such rates of interest, and upon such terms aa the Council

considers advisable, and as security for such loans to mortgage or pledge any real or personal

property with or without power of sale; to acqutre or hold any real or personal property, subject to

any mortgage or pledge on or of property acquired or held by this Foundation.

(d.) To execute and deliver deeds,assignments, transfers, mortgages, pledges, leases, covenants,

contracts, promissory notes, releases and other imtruments; sealed or unsealed, incident to any

transaction in which the Council may engage.

(e.) To vote, to.give proxies, to participate in the reorganization, merger or consolidation of any

concem, or in the sale, lease, disposition or distribution of its assets; to join with other security

holders in actingthrough a committee, depositary, voflng trustees, or otherwise, and in this

connection to delegate authority to such committee, depositary, or trustees and to deposit

securities with them or transfer securities to them, to pay zssessments levied on securities or to

exercise subscription rights in respect of securities.

(f.) To employ a bank or trust company ascustodian of any funds or securities and to delegate to it

such powers as the Council deem appropriate; to hold trust property without indication of

fiduciary capacity but only in the name of a registered nominee, provided the trust property is at

all times identified as such on the books of tlds Foundation; to keep any orallof the trust

property or funds in any place or places in the world; to employ clerks, accountants,investment

counsel, agents, attomeys and any special services, and to pay the reasonable compensation and

expenses of all such services in addition to the compensation of the Officers, Directors, etc.

FOURTEENTH: GUARDIAN - PROFESSIONAL ADVISOR - AUDITORS, The Council of the

Foundation may appoint any supervision entity constituted by natural persons or body corporate, tlrat may

be called Guardian, Professional Advisor, Auditor or any other similar name and that may exercise any of

the following attributes:

a) Procure the compliance of the purposes of the Foundation on tbe behalf of the Council of the

Foundation, and insure that the rights and interests of the Beneficiaries are observed;

b) Demand the presentation of the accounts for the CouncIl of the Foundation;

c) Modify the purposes or the objectives of the Foundation, when the same are impossible or costly to

carry out;

d) Appoint new members to the Council of the Foundation due to the temporary, definite or accidental

absence, or due to the extinction of the term for which they were appointed;

e) Increase or reduce the number of the members of the Council of the Foundation;

f)Countersign the acts adopted by the Council of the Foundation, pursuant to the Memorandum of the

Foundation or itsRegulations;

g) Safeguzrd the zssets of the Foundation and procure that the same be applied to the objectives and

purposes mentioned in the Memorandum of the Foundation; and

h) Exclude Beneficiaries of the Foundation and add others, pursuant to what is provided for in the

Memorandum of the Foundation or its Regulations.

FIFTEENTH: LIQ UIDATION AND DISSOLUTION.

a) The Council of the Foundation is empowered to dissolve the Foundation and to appoint one or more

liquidatorsifitdeemsnecessary.

b) Isthe case of the dissotution of the Foundation, after having paid all the debts or the obligations

thereof, the liquidation shall proceed according to the dispositions established in the Regulation

regarding Beneficiaries. In the case that there are no Beneficiaries, the Council of the Foundation

shall resolve the final destination of the assets of the Foundation. The resolution issued by the Council

of the Foundation to dissolve the same, shall be duly registered in the Public Registry of the Republic

ofPanama. ' . .

The Foundation may also be dissolved due to the following eauses:

a) For the default in the purposes for wldch it was constituted or because its realization is impossible;

b) Forbeingin a state of insolvency, suspension of payments or there is a judicial statement fora

creditor's meeting;

c) For the loss or the total extension of the assets of the Foundation.

SIXTEENTH: THE REGULATIONS. The Founder(s) and the Council of theFoundation are

empowered to issue the Regulations of the Foundation, when the Foundation is created or later on. The

same shall include:

a) The manner in which the patrimony of the Foundation sha11 be managed

b) The Beneficiaries of the Foundation.

c) The manner in which the Beneficiaries may be excluded or added.

d) The benefits corresponding to the Beneficiaries.

e) The tnanner in which the Council of the Foundation shall inform the Beneficiaries of the patrimony

of the Foundation.

f) The manner in which the assets or the products that havebeen established in favor of the

Beneficiaries shall be delivered.

g) The capacities of the Council of the Foundation.

h) The appointment of the (luardian or any supervisory entities.

i) The liquidation manner of the patrimony of the Foundation in the case of dissolution of the

Foundation.

SEVENTEENTH: NOTICES. Notices required by law shall be done in any newspaper of ample

circnlaGon in the Republic of Panama.

ESGHTEENTH: LEGAL REPRESENTATIVE. If the Council of the Foundation is integrated by more

than one member, the Legal Representative shall be the President, being the Secretary able to exercise this

position, in the absence of the President or any otber natural person or body corporatc that the Council of

the Foundation zppoints for this purpose. If the Council of the Foundation is only integrated by one

member, theLegal Representative shall be that member.

The Legal Representative shall be appointed and removed by the Council of the Foundation.

NINETEENTH: OBLIGATIONS REGARDING THIRD PARTIES. The signature of the Legal

Representative of the Foundation when the Council of the Foundation is formed by one body corporate, or

flte joint signature of any two (2) of the members of the Council of the Foundation when it is formed by

more than one person, in regards to any act, transaction or business of the Foundation, shall bind the

szme, without damaging the formalities described in the Third Article thereunder of the Memorandum of

the Foundation.

TWENTIETH: ARBITRATION. Controversies of any. nature, coming from,or related to the

Foundation, this Memorandum of the Foundation, or its regulation, as well as the interpretation,

application, execution and tertnutation thereof, shall be resolved by means of arbitration, pursuant to the

rules of the Conciliation and Arbitration Center of the Chamber of Commerce, Industries and Agriculture

of Panama.

TWENTY-FIRST: CHANGE IN JURISDICTION. When the Council of the Foundation or the

Guardian, if any, deem necessary, at their entire and absolute discretion, they may transfer the jurisdiction

over the Foundation to another country.

TWENTY-SECOND: SEAL. The Fotmdation may, if it deems necessary, adopt its own seal for the

Foundation.
