Real Estate
Novela Law negotiates and closes numerous residential and commercial real estate properties on an annual basis. For these transactions, we routinely is-sue title insurance and prepare all closing documents, including contracts for sale and purchase, deeds, condo approvals, surveys, loan payoffs, permit searches, as well as any tax inquiries and all necessary inspections as need-ed. Our handling of frequent luxury real estate closings has allowed us to develop a working relationship with a select number of prominent realtors. Consequently, we know who has expertise in transactions of a particular size, type (residential, multifamily, and commercial) or location. We make this infor-mation available to our clients for targeted referrals to professionals we have worked with in the past and which have successfully represented buyers and sellers in numerous transactions.
Currently, an estimated 60% of real estate sales in South Florida involve a foreign buyer. This has presented new opportunities as well as challenges to the real estate closing process. We know that of paramount importance to foreign buyers are ways to limit exposure to U.S. taxes and liability for their new real estate purchase. We work closely with foreign clients to set up off-shore holding corporate structures together with domestic companies which facilitate these two interests. Many real estate transactions are “Cash” clos-ings with very short time to close. We offer our clients the ability to have these offshore corporate structures in place in one week’s time, avoiding any delay in the closing process.
Offshore Corporations
Novela Law provides counsel on the international structuring of our client’s businesses to limit their tax and personal liability by selecting the most suit-able corporate structure from a choice of international, tax-haven domiciles, including but not limited to the following: Aruba, Bermuda, British Virgin Is-lands, Cayman Islands, Channel Islands, Costa Rica, Isle of Man, Liechten-stein, Luxemburg, the Netherlands, New Zealand and Panama. Additionally, we set up an offshore corporate structure that is flexible and which most foreign clients can use as a base for their other global investments.
Offshore Trusts and Foundations
An offshore trust or foundation in an appropriate tax-haven domicile should be the cornerstone of succession family planning for foreign high-net-worth individuals and families. An offshore trust or foundation allows for an orderly transition of assets from family to heirs, typically while avoid-ing court proceedings and probate. This also allows the utmost anonymity for families, with a process which avoids public scrutiny of succession fami-ly matters or how assets are distributed to heirs. Novela Law has the capa-bility through our network of law firms to customize our services to include any jurisdiction that might serve our client’s particular needs, worldwide.
Domestic Incorporation and Trusts
Novela Law regularly counsels its clients as to the benefits of various United States based corporate structures including LLCs (limited liability companies), C and S-corporate options in all of the U.S. including Delaware and Florida and their effect on potential business or family transactions. Typically this is done
together with a family or corporate plan which includes other novela+ services such as offshore corporations and trusts. Novela Law also works with U.S. based trust and estate attorneys for U.S. based clients or for foreign clients who are interested in establishing permanent residence in the U.S.
Aircraft
Novela Law has a team of experienced industry professionals to assist with all aspects of aircraft purchase, sale and ongoing aircraft manage-ment. We have assisted numerous domestic and overseas clients in reg-istering their aircraft. Our services include aircraft registration in the U.S. (FAA Registry) and offshore, negotiation of aircraft purchase agreements (including Section 1031 like-kind exchanges), aircraft trust agreements (including the use of owner-trusts to comply with FAA citizenship require-ments for non-U.S. residents), transfer and clearance of title, counsel on the appropriate corporate entity to own the aircraft, selection of unique tail numbers and aircraft financing. For clients who prefer to register their aircraft offshore, we work with many foreign jurisdictions including Aruba, Bermuda, the Cayman Islands, Isle of Man, Malta and San Marino. We also make introductions for our clients to brokers who can assist with the pur-chase or sale of aircraft.
Yachts
Novela Law has a team of experienced industry professionals to assist with yacht purchase and sale consulting, appropriate corporate entity to own the vessel, appropriate jurisdiction to register the vessel, taxes, title documenta-tion, vessel financing negotiations, liens and mortgages, crew employment issues, brokerage consulting and representation, and domestic and offshore closings. We work with many jurisdictions including the British Virgin Islands, the Cayman Islands, Isle of Man, the Marshall Islands, Malta, St. Vincent and the Grenadines and the United States.
Private Banking and Financing
Novela Law has an extensive network of U.S. based lenders and overseas lenders which we have worked with for many years. We represent both lenders (including two international banks with offices in Miami) and bor-rowers in the preparation and negotiation of all lender documents. The lenders we work with are comfortable with high-net-worth clients residing overseas. We also make introductions for our clients to private bankers that can handle all of their individual or family banking needs. The private banking services we can refer to our clients include personalized services where a banker, upon client request, can visit the client wherever the client may be located, worldwide, with the utmost confidentiality. Our network of private bankers and lenders allows us to tailor loan services specifically and individually to our clients’ requirements, including those needed for the acquisition of businesses, real estate, aircraft, yachts or automobiles.
Accounting
Novela Law works with a select few accounting firms which we believe to be the industry’s best in service and cost with expertise in working with high-net-worth individuals and families, foreign clients, and complex in-ternational corporate structures. Based on a client’s specific needs, we can refer accountants which have knowledge specific to that issue and with the confidence that we have successfully worked with them in the past. Since many of the firm’s clients are based overseas, the accountants we work with are all well versed in international tax structures.
Immigration
Novela Law works with an immigration law firm which can counsel our clients to determine the type of immigration representation most appro-priate for their needs. Immigration representation includes all legal doc-umentation required for the various types of immigrant and non-immi-grant visas, permanent residency, and naturalization/citizenship petitions
and applications. Many times this is coordinated with our other novela+
services (such as our representation of a client’s acquisition of real estate and a business for purposes of obtaining an EB-5 immigrant investor visa). Our goal is to simplify the complex and lengthy processes involved in U.S. immigration and nationality law.
Closings on Your Schedule
Whether we are closing on the purchase or sale of a business, real estate, aircraft, yacht or any other transaction, we schedule each closing at our client’s convenience. We have negotiated and closed numerous transac-tions for out-of-town and overseas clients without their need of traveling to our office in Miami. Signing and notarization of documents is also co-ordinated by us so you may remain in the comfort of the city or country in which you reside.
