GENERAL CONDITIONS Village of Sko!de

1. Submission of Proposal: All bids must be delivered to the office of the Purchasing Agent at the Village by the specified opening time of the bid. Bids arriving after the specified time will not be accepted. Mailed bids , which are delivered after the specified hour will not be accepted regardless of post marked time on the envelope. All bids shall be submitted in sealed envelopes carrying the following mformation: bidder's name, address, subject matter of proposal and designated date and time of bid opening. Bids transmitted by facsimile shall not be accepted unless such transmission is specifically provided within the bid document. Sealed bids will be opened in public at the time and place shown herein. After the public bid opening, however, bid results will not be available until after award of the contract.

2. Bid Deposit: When required on the cover sheet, a bid deposit in the amount specified shall accompany all bids. Bid deposits shall be in the form of cash, bond, a certified check or cashier's check drawn on a responsible bank doing business in the United States and shall be made payable to the Village of Skokie. All bids not accompanied by a bid deposit, when required, will be rejected. Bid deposits of the two lowest bidders will be returned after the contract is awarded. Bid deposits of all others will be returned immediately. The bid deposit of the accepted bidder will be returned upon receipt by the Village of satisfactory performance bond where such bond is required or completion of contract.

3. Performance Bond: When required by the specifications herein, the successful bidder shall furnish a performance bond, acceptable to the VIllage, within fourteen (14) calendilr days alter notification of contract award. Failt<re to furnish the required bond within the time specified may be cause for rejection of the bid and any bid deposit may be retained by the Village as liquidated damages and not as a penalty. IT BEING NOW AGREED that said sum is a fair estimate of the amount of damages the Village will sustain due to the bidder's failure to furnish said bond.

5. Preparation of Proposal: T1.1e bidder shall prepare proposal on the attached proposal forms. Unless otherwise stated, all b!l!!l.k spaces on t.i}e. proposal page or pages, applicable to the subject specification, must be correctly filled iiL Either a unit price or a lump sum price, as the case may be, must be stated for each and every item, either typed in or written in ink If bidder is a corporation, the President and Secretary shall execute the bid and the corporate seal shall be affixed. !n the event that this bid is executed by other than the President, attach hereto a certified copy of that section of corporate by-laws or ot.'ler authorization by the Corporation, which permits t.~e person to execute the offer for t.~e Cv"rppration. If bidder is a partnership, all partners shall execute the bid, unless one partner has been authorized to sign for the partnership, in which case, evidence of such authority satisfactory to the Purchasing Agent shall be submitted.

6. Compliance with Lttws: The biddei shall at all times obser-ve and con1ply Vl-'ith all 1a-vv·s, ordh!CL.'1ces and regulations of t~e federal, state, local ru1d Village governments, which may in any manner affect the contract. Any contract resultant from this solicitation shall be governed under the laws of the State oflllinois.

7. !nterpretatim1 of Contract Documents: A .. !J.Y bidder in doubt as to tire !rue meat1ing of any part of the specificatior>.s or other contract documents, may submit to the Purchasing Agent a written request for an interpretation thereof. The person submitting the request will be responsible for its prompt delivery. Such interpretation will be made only by an addendum duly issued by the Purchasing Agent. A copy of such addendwn will be mailed to all prospective bidders. Failure on the part of the prospective bidder to receive a written interpretation prior to the time of the opening of bids will not be gron_nds for withdrawal of the proposal. Bidder will acknowledge receipt of each addendum issued. Oral explanations will not be binding. Any reference in these specifications to manufacturer's name, trade name, or catalog number (unless otherwise specified) is intended only to indicate artic;_les that will be satisfactory, and shall is not intended to restrict competition. Bids on other makes and catalog numbers will be considered, provided each bidder clearly states exactly what is proposed to be furnished. Unless so stated on proposal, it shall be understood that bidder intends to furnish item identified and does not propose to furnish an "equal". Th.e Purchasing Agent hereby reserves the right to approve as an "equal", or to reject as not being an "equal", any article the bidder proposes to furnish which contains major or minor variations from specification requirements by which may comply substantially therewith.

8. Conditions: Bidders are advised to become familiar with all terms, conditions, instructions and specifications governing this bid. Once the award has been made, failure to have read all the conditions, instructions and specifications of this contract shall not be cause to alter the original contract or to request additional compensation.

9. Catalogs: Each bidder shall submit, where necessary, or when requested by the Purchasing Agent, catalogs, descriptive literature, and detailed drawings, fully detailing features, designs, construction, appointment~, finishes and the like not covered in the specifications, necessary to fully describe tl1e material or work proposed to be furnished. Failure to provide such information as required may result in bid disqualification.

10 Consideration of Pronosals: The Purchasing Agent shall represent and act for the Village in all matters pertaining to this proposal and contract in conjunction therewith. The Village resenies the right to reject any or all proposals and to disregard any informality on the bids and bidding, when in its opinion the best interest of the Village will be served by such action. No proposal will be accepted from or contract awarded to any person, firm or corporation that is in arrears or is in default to the Village of Skokie upon any debt or contract, or tl1at is a defaulter, as surety or otherwise, upon any obligation to said Village, or had failed to perform faithfully any previous contract with the Village. The bidder, if requested, must present within 48 hours, evidence satisfactory to the Purchasing Agent of performance ability and possession of necessary facilities, pecuniary resources and adequate insurance to comply with the terms of these specifications and contract documents.

I L Discounts: Bidders shall provide prompt payment discounts in the area shown herein. When cash discounts are offered, the discount date shall begin with the invoice date or delivery date to the Village, whichever is later. Prompt payment discounts shall not be a consideration in the award of a contract.

12. Guarantees and Warranties: All guarantees and warranties required shall be furnished by the Contractor and shall be delivered to the Purchasing Agent before final voucher on the contract is issued. The warranty period shall commence upon final acceptance of product

13. Delivery: All materials shipped to the Village of Skokie must be shipped F. 0 .B. delivered, designated location, Skokie, lllinois. If delivery is made by truck, arrangements must be made in advance by the Contractor in order that the Village may arrange for receipt of the materials. The materials must then be delivered where directed. Truck deliveries will be accepted before 4:30 P.M. on weekdays only. No deliveries will be accepted on Saturdays, Sundays or Holidays.

14. Inspections: The Village shall have the right to inspect any materials, components, equipment, supplies, services, or completed work specified herein. Any of said items not complying with these specifications are subject to rejection at the option of the Village. Any items rejected shall be removed from the premises of the Village and/or replaced at the entire expense of the successful bidder.

15. Taxes: Federal Excise Tax does not apply to mat.erials purchased by the Village of Skokie, lllinois Retailer's Occupation Tax, Use Tax, a11d Municipal Retailer's Occupation Tax do not apply to materials or services purchased by the Village of Skokie by virtue of Statute.

16. Patents: Bidders agree to indemnify, defend and save harmless the Village of Skokie from and against all demands, claims, suits, cost, expenses, da.'Ilages a.'ld adjustments based on any in:fiingement of any patent relating to goods specified i11 this contract.

17. Hold Hannless and Indemnification: To the fullest extent permitted by law, Contractor agrees to indenmify, save harmless and defend the Village of Skokie, its agents, servants, and employees, and each of them against and hold it and them harmless from any and all lawsuits, claims, demands, liabilities, losses or expenses, including court costs and at"..omeys' fees, for or on accou11t of a."ly injwy to a."ly person, or a.,y death at any time resulting from such injury, or any damage to any property, which may arise or which may be alleged to have arisen, in whole or in part, out of or in connection with the work covered by this contract The foregoing indemnity shall apply except if such injury, death or damage is caused directly and solely by the negligence or other fault of the Village of Skokie, its agents, servants, or employees or any other person indemnified hereunder. This indemnification obligation is not linlited by, but is in addition to t.lre insunmce obligations, which may be contained in this contract. The provisions of this paragraph shall not be waived.

18. Termination of Contract: The Village reserves the right to terminate the whole or any part of this contract, upon written notice to the Contractor, in the event that sufficient fimds to complete the contract a.re- not appropriated by the Skokie Board of Trustees. The Village further reserves the right to terminate the whole or any part of this contract, upon written notice to the Contractor, in the event of default by the Contractor. Default is defined as failure of the Contractor to perform any of the provisions of this contract or failure to make sufficient progress so as to endanger performance of this contract in accordance with its temlS. In the event of default and termination, the Village may procure, upon such terms and in such ma.'lller, as the Purchasing Agent may deem appropriate, supplies or services similar to t.!Jose so terminated. The Contractor shall. be liable for any excess costs for such similar supplies or service unless acceptable evidence is submitted to the Purchasing Agent that failure to perform the contract was due to causes beyond the control and without the fault or negligence of the Contractor.

19. Regulatory Compliance: Seller represents and warrants that the goods and services furnished hereunder (including all labels, packages and container for said goods) comply with all applicable standards, rules and regulations as applicable including the Occupational Safety and Health Act as amended with respect to design, construction, manufacture or use for their intended purpose of said goods or services. Seller shall furnish. "Material Safety Data Sheets" in compliance with the illinois Toxic Substances Disclosure Act, and shall otherwise comply with the requirements of said act for materials and supplies covered by the act

20. Special Handling: Prior to delivery of any material which is caustic, corrosive, flammable or dangerous to handle, the supplier will provide written directions as to methods of handling such products, as well as the antidote or neutralizing material required for its first aid before delivery.

21. Prevailing Wage: When specified herein, not less than the Prevailing Rate of Wages as found by the Village of Skokie or the Department of Labor or determined by the court on review shall be paid to a laborers, workman and mechanics performing work under this contract. (Note: Prevailing Wage not required for Landscaping contracts when work involves only the maintenance of existing landscaping.)

INSTRUCTIONS TO BIDDERS

1.0 Bid Submission: Bids will be accepted until the time and date shown on the cover page herein, at the Village of Skokie Purchasing Office, 5127 Oakton Street, Skokie, JL 60077. Bids must be submitted in a sealed envelope or container. Bids received later than the time and date shown herein, or facsimile or e-mail bid responses will not be considered by the Village.

2.0 Completion of Forms: The bidder must complete, sign and submit all forms contained herein

3.0 Site Inspection: 3.1 Bidder shall be responsible for inspection of all areas prior to submitting pricing for this

solicitation. It is understood that the bidder, prior to submitting a bid, has visited the sites, and has measured, examined and correlated their personal observations with the Contract Documents as to the nature, location, character, quality and quantity of work to be encountered and to the local conditions affecting the Work. Additionally, it is understood that t.\e bidder is providing a price to complete all required work to be done. No allowance will be made for not having visited the site or for not being familiar with existing conditions to be encountered in the work.

3.2 Bidder shall be responsible for noting any deficient conditions and/or site conditions that conflict with bid specifications.

4.0 Bid Security: Bidder shall provide a 5% bid security along with the bid submittal. Bidders may submit a bid bond in lieu of a cash or certified check. If utilizing a bid bond, such bond shall be provided by a surety company authorized to do business within the State ofllli.llois.

SPECIAL TERMS AND CONDITIONS

1.0 Scope: The intent of this bid is to contract with a qualified Landscaping Contractor to provide landscaping maintenance services as specified herein.

2.0 Bid Pricing: Pricing for all services and commodities shall remain fixed for the initial one ( 1) year term of the contract. Prices bid shall encompass all services specified herein; no extra charges for labor, services, equipment and etc. will be accepted by the Village.

3.0 Unbalanced Bidding: A bid is considered unbalanced if it is structured on the basis of nominal prices for some work/products and inflated prices for other work/products; lump sum and U...'1it price bids must reflect reasonable costs in relation to the work and products being bid. The Village will be the sole and final determiner if a bid is unbalanced. Any and all bids found to be unbalanced may be rejected by the Village.

4,0 Award: Award will be made to the lowest responsive and responsible bidder who is best qualified to perform in accordance with the terms, conditions and specifications of the contract. The Village of Skokie reserves the right to award this contract in whole or split the award by location( s ), whichever is deemed to be in the best interest of the Village.

5.0 Term & Termination: This contract shall be in affect for a one (1) year period from the date of award, with an option to renew for four ( 4) additional one ( 1) year periods upon mutual written agreement between the Contractor and the Village. The Village reserves the right to cancel the awarded Contract with t1.irty (30) days written notice. All Village of Skokie contracts are contingent on available funding.

6.0 General Damages: Contractor shall be responsible and financially liable for any damage caused by Contractor's employees and/or equipment to any and all Village property.

Crews shall follow the Illinois Department of Transportation (IDOT) Standard 701801 when working behind the curb line. Failure to utilize these requirements may result in liquidated da.•nages in the amount of $500 per occurrence.

The Village reserves the right to withhold payment, in whole or in part, for services provided until Contractor addresses all outstanding property damage issues.

7.0 Increased Scope: The Village reserves the right to increase and/or decrease the scope of work as the Village may acquire or remove properties, medians and miscellaneous fixtures in the future. Pricing for any such additions or deletions will be negotiated with the Contractor based on the unit pricing provided in this bid.

8.0 References: In order to allow the Village an opportunity to evaluate the experience of your flrm as it relates to this project, please complete the enclosed "References" form. Provide references of organizations, which have utilized similar services. A minimum of three (3) references is requested; however a bidder may list more than three (3). Failure to include references may result in bid disqualification.

9.0 Invoicing & Payments: Contractor shall f..trnish the Village with itemized i.."lvoices on a monthly basis which reflect the unit pricing bid for each task and commodity. Additional instructions regarding invoicing will be provided to the awarded Contractor. Payments shall be governed by the Illinois "Local Government Prompt Payment Act."

10.0 Additional Information: Should bidders require additional information, please email questions to [email protected] no later than seven (7) days prior to the bid due date. Questions rriay also be faxed to Village of Skokie Purchasing (84 7)568-8839. Any and all changes to these specifications are valid only if they are included by written addendum to all bidders. No interpretation of the meaning of the plans, specifications or other contract documents will be made orally. Failure of any bidder to receive any such addendum or interpretation shall not reiieve the bidder from obligation under this bid as submitted. All addenda so issued shall become part ofthe bid documents. Failure to request an interpretation constitutes a waiver to later claim that ambiguities or misunderstandings caused a bidder to improperly submit a bid.

SCOPE OF SERVICES

Objective: The primary objective of this scope of services is to provide scheduled litter removal, mowing, and line trimming for areas throughout the Village of Skokie.

Locations for mowing: • McCormick Boulevard Berm: (1.82 acres) The earthen berm separating McCormick

Boulevard from Bennett Avenue between GolfRoad and Dempster Street. It starts again at Main St and continues south to Madison.

• Stormwater Detention Site at Golf Road and Karlov Avenue: (1.14 acres) The southeast corner of Golf Road and Karlov A venue.

" Storm water Detention Site at Niles Center Road and Madison Street: ( 1.25 acres) On the south side of Madison Street just west ofNiles Center Road.

• Surface Detention Site at Meyer School(l.58 acres): The area south of Cleveland Street, north of Meyer School, west of Tripp Avenue and east ofKildare Avenue.

• Channel Park: (55.4 acres) East of McCormick Boulevard along the North Shore Canal, between Golf Road and Touhy Avenue.

Maintenance Tasks: The primary goal of this contract is to provide mowing services, but a variety of activities are also included in the scope of the project: (to be included in weekly maintenance cost)

A maintenance form shall be filled out and returned to the Village Forester for each visit to the site. (See form included with this specification.) The Contractor shall provide a schedule of areas to be mowed and maintained to the Village at beginning of the mowing season. Any deviations from this schedule shall be noted on the maintenance record.

1. GENERAL INSPECTION

All locations within the scope ofthis project shall be inspected weekly. Notify the Village Forester immediately of any unsafe conditions, graffiti, vandalism, or other issues. Inspectors shall monitor the need to perform work on the following maintenance tasks:

2. LITTER REMOVAL

• Remove litter and other debris prior to mowing, including cigarette butts, plastic bags, and paper from all locations including landscaped beds, parking lots, tree beds, turf areas, and trails.

• Sweep or blow any grass clippings or other minor debris from trails and other hardscape areas after each mowing.

• Place any downed branches in one location and notify the Village Forester for pick up.

3. MOWING

Public safety is priority. Never mow over debris or rocks. Keep a safe distance from pedestrians and bicyclists. All mower safety equipment such as shields, guards, and deflectors must be left intact.

Lawn areas shall be mowed from approximately April 7 to November 15. There will be 25 scheduled mowings. In spring, mowing shall occur weekly. In July- November, mowing shall occur every 10 days. The scheduled may be adjusted depending on weather conditions.

• Grass must be maintained at a height 4". The fmal mowing of the season shall be at a height of 2.5" ..

• At no time shall mowing remove more than 1/3 of the total leaf blade. Mowing equipment shall be in good condition with blades sharpened.

• The direction of mowing should be altered every one to two mowings. Mow at right angles {90 degrees) to the previous direction when possible.

• Grass shall not be mowed when it is wet or when frost is on the ground.

• Grass clippings shall be mulched and left on site. Rake over, or bag any large grass clumps.

• Work shall be performed during normal working hours on Monday through Saturday. No work shall be performed after 4:30 p.m. or on Sundays or Holidays. Mowers shall not be used before 8 am and leaf blowers shall not be used prior to 9 am (Ordinance Sect. 42-78).

LINE TRIMMING AND EDGING

Line trimming is to be performed wherever the grass cannot be cut with a lawn mower. All obstacles and turf grass edges shall be trimmed after each mowing. This shall include all grass next to hard surfaces, foundations, turf grass edges, light poles, sign poles, fire hydrants, sidewalks, curbs, planting beds, sculptures, fences, site amenities and other immobile objects. These areas shall be cut with a line to the same height as the other mown lawn areas. Grass or weeds growing in sidewalk cracks/joints shall be removed with a line trimmer or manually.

This includes fences surrounding the detention pond and the fence on the east side of Channel Park.

The turf shall be edged three (3) times per summer. This includes turf adjacent to landscape beds, sidewalks, any hardscape such as sculptures or signs, and any other paved areas.

Do not damage trees, sculptures or other objects during the work.

Village o(Skokie Standard Insurance Requirements

INSURANCE REQUJREMENTS: Contractor shall maintain for the duration of this contract and any extensions thereof insurance issued by a company or companies qualified to do business in the State of illinois. The insurance companies providing coverage shall be rated in the Best's Key Rating Guide. The Village will accept companies \vith a rating of A- or better and shall have a financial size category of VII or better.

The Village of Skokie is an additional insured on General Liability policy. The Village may accept a separate owner's protective liability policy provided all coverage, limits and endorsements are in conformity \Vith this section. The Village of Skokie is a Named Insured on OCP policy.

3.0 Commercial Automobile Liability - The policy shall cover all owned, non-owned and hired vehicles. The Village of Skokie is an additional insured on Commercial Auto Liability policy.

4.0 Contractor agrees that with respect to above insurance, the Village of Skokie shall:

4.01 Be provided with thirty (30) days written notice of cancellation or material change.

4.02 Be provided with Certificates of Insurance evidencing the above required insurance, prior to commencement of this contract and thereafter with certificates evidencing renewals or replacements of said policies of insurance at least fifteen (15) days prior to the expiration or cancellation of any such policies. Said Notices and Certificates of Insurance shall be provided to the Office of the Purchasing Agent, Village of Skokie, 5127 Oakton Street, Skokie, Illinois 60077.

EXISTING CONDITIONS: It is the bidder's responsibility to become fully acquainted with the conditions of the work areas. Submissions of a bid will assume that the bidder has included all labor and materials necessary in the bid price to fully complete the work. Construction operations and safety are the exclusive responsibility of the Contractor.

BID FORM

The contractor will undertake the following work at the bid price shown herein.

Mow and line trim all designated lawn areas on a weekly cycle beginning on or about April 7 to November 15 (approximately 25 cuttings). Prior to mowing, all litter that is in the cutting area shall be removed. All areas adjacent to sidewalks, sculpture foundations, and curbing shall be edged three (3) times per growing season or at the direction of the Public Works Department.

3.25 DISQUALIFICATION OF CERTAIN BIDDERS.

3.251 Persons and Entities Subject to Disqualification. No person or business entity shall be awarded a contract or subcontract, for a period of five ( 5) years from the date of subcontract, for a period of five ( 5) years from the date of conviction or entry of a plea or admission of guilt, if that person or business entity,

(a) has been convicted of an act committed, within the State of lllinois,any state in the United States, or the United States of America, of bribery or attempting to bribe an officer or employee in the State of illinois, any state in the United States, or the United States of America in that officer's or employee's official capacity;

(b) has been convicted of an act committed, within the State of illinois, any state in the United States, or the United States of America, of bid-rigging or attempting to rig bids as defined in the Sherman Anti-Trust Act and Clayton Act. 15 U.S.C. Sec. 1 et seq.;

(c) has been convicted of bid-rigging or attempting to rig bids under the laws of the State of illinois, any state in the United States, or the United States of America;

(d) has been convicted of an act committed, within the State of illinois, any state in the United States, or the United States of America, of price-fixing or attempting to fix prices as defmed by the Sherman Anti-Trust Act and Clayton Act. 15 U.S.C. Sec. 1 et seq.~

(e) has been convicted of price-fixing or attempting to fix prices under the laws of the State of lllinois, any state in the United States, or the United States of America;

(f) has been convicted of defrauding or attempting to defraud any unit of state or local government or school district within the State oflllinois, any state in the United States, or the United States of America;

(g) has made an admission of guilt of such conduct as set forth in subsections (a) through (f) above which admission is a matter of record, whether or not such person or business entity was subject to prosecution for the offense or offenses admitted to;

(h) has entered a plea of nolo contendere to charges of bribery, price-fixing, bid-rigging, or fraud, as set forth in subparagraphs a) through (f) above.

3.252 "Business entity" as used herein means a corporation, partnership, trust, association, unincorporated business or individually owned business. Such business entities shall be disqualified as set forth within this Ordinance if any owner, partner, or shareholder controls, directly or indirectly, 20% or more of the business, or subparagraphs of Section 3 .251.

Any contract or sub-contract found to have been awarded in violation of this ordinance shall be voidable at discretion of the Mayor and Board of Trustees. Payment for work completed at the time of any such voiding shall be at a quantum merit rate less a 25% penalty.
