website www.bhel.com for Selection of Partner for joint bidding & execution of the

tenders for design, construction , operation & maintenance of Waste Water Treatment

Facilities with O&M for 15 years.

The due date for receiving the proposal against the EoI has now been extended up to

30.04.2018.

Interested prospective partners shall ensure that their response along with forms as

mentioned in the EoI are received by BHEL on or before 30.04.2018.

2. The purpose of this EoI document is to provide the Prospective Partner(s) with information to assist the formulation of their Proposals. This EoI document does not purport to contain all the information each Prospective Partner may require. This EoI document may not be appropriate for all persons, and it is not possible for BHEL, its employees or advisors to consider the business/investment objectives, financial situation and particular needs of each Prospective Partner(s) who reads or uses this EoI document. Each Prospective Partner should conduct his own investigations and analysis and should check the accuracy, reliability and completeness of the information in this EoI document and where necessary obtain independent advice from appropriate sources.

3. BHEL, its employees and advisors make no representation or warranty and shall incur no liability under any law, statute, rules or regulations as to the accuracy, reliability or completeness of the EoI document.

6. The Prospective Partner(s) shall bear all costs associated with the preparation, technical discussion/presentation and submission of EoI. BHEL shall in no case be responsible or liable for these costs regardless of the conduct or outcome of the EoI process.

7. Canvassing in any form by the Prospective Partner(s) or by any other agency on their behalf shall lead to disqualification of their EoI.

DETAILS OF EXPRESSION OF INTEREST (EoI)

3.1 ABOUT BHEL

Bharat Heavy Electricals Limited (BHEL) is a Central Public Sector Enterprise, wherein Government of India is holding 63.06% of its equity. It is an integrated power plant equipment manufacturer and one of the largest engineering and manufacturing companies of its kind in India having a turnover of around US $ 4.5 billion. The company is engaged in the design, engineering, manufacture, construction, testing, commissioning and servicing of a wide range of products and services for the core sectors of the economy, viz. Power, Transmission, Industry, Transportation, Renewable Energy, Water Management, Oil & Gas and Defence with over 180 product offerings to meet the needs of these sectors. 3.2 ABOUT INDUSTRY SECTOR

Desalination Plants, Demineralization (DM) Plants, Membrane Based Treatment Systems, Effluent

Treatment Plants (ETP), Tertiary Treatment plants (TTP), Sewage Treatment Plants (STP), Zero Liquid

Discharge (ZLD) Systems etc.

BHEL also has dedicated Pollution Control Research Institute (PCRI), which supports in performance

evaluation of the different treatment plants, assessment of water/effluent/sewage characteristics and

Water Audits etc. BHEL has executed number of water treatment plants in various power stations and

industries.

3.3 OBJECTIVE OF EoI:

The objective of this EoI is to select Partner(s) for exclusive tie-up for jointly participating in the bidding process of any or all Tender(s) and in the event, the “Tenderer” (BHEL along with the Partner(s)) is declared successful and awarded the “Project”(s) {as described in Appendix A- ‘Tender Data Sheet’}, the Tenderer shall incorporate Special Purpose Vehicle(s) ("SPV (s)") under the Indian Companies Act, 2013 (or under such other legislation as the “Employer” (Municipal Corporation of Greater Mumbai) may, in its sole discretion, approve in writing at the Tenderer’s request). . Detailed scope of work and services and responsibilities of BHEL & the Partner(s) shall be finalised for the respective tenders separately with the selected partner(s) before submission of bid to the Employer.

3.4 INSTRUCTIONS

3.4.1 Selected Partner(s) shall participate along with BHEL in one or more tenders as per mutually agreeable terms. The Selected Partner(s) will sign Joint bidding /JV Agreement(s) during tendering stage and will be part of SPV with equity participation as per Tender(s) requirements.

3.4.2 Cost of Bidding: - The Tenderer (BHEL and the partner(s)) shall individually bear all costs associated with the preparation and submission of its bid to the Employer for their respective scope of work regardless of the conduct or outcome of the bidding process.

3.4.3 Language of Bid: All correspondences and documents related to the bidding shall be in English

language, provided that any printed literature furnished by the Prospective Partner(s) may be written in another language, as long as such literature is accompanied by a translation of its pertinent passages in English language in which case, for purposes of interpretation of the bid, the English translation shall govern.

3.4.4 Sole proprietary Organizations are not eligible to participate in the EOI process. 3.4.5 The Prospective Partner(s) shall abide by the terms & conditions, as applicable, of the referred

Tenders attached at Appendix A.

3.4.6 All pages of the EoI shall be duly signed by the authorised signatory.


3.4.7 Multiple proposals from the same Prospective Partner should not be submitted.

3.4.8 BHEL at their discretion shall inspect the Prospective Partner works/office/reference site premises for the purpose of evaluation, as deemed necessary before selection of partner. BHEL decision in this regard shall be final.

3.4.9 The Selected Partner(s) will sign Joint bidding /JV agreement during tendering stage and will be part of SPV with equity participation. Format of Joint bidding/JV agreement is provided in the Appendix A as part of the tender documents.

3.5 ELIGIBLE PROSPECTIVE PARTNER(S)

3.5.1 Prospective Partner(s) may have the nationality of any country. The Prospective Partner(s) shall be deemed to have the nationality of a country if the Prospective Partner(s) is constituted, incorporated or registered and operates in conformity with the provisions of the laws of that country, as evidenced by its articles of incorporation or documents of constitution, and its registration documents.

3.5.2 The Prospective Partner(s) shall be Private, Public or Government owned legal entity. Government entity shall be eligible only if they can establish that:

I. They are legally and financially autonomous, and II. They operate under commercial law, and

III. They are not a dependent agency of the Employer (MCGM).

3.5.3 Only those Prospective Partner(s) can participate in this EoI, who wish to exclusively tie-up with BHEL for one or more than one project. Prospective Partner(s) or any of its associates/affiliates (inclusive of parent firms) cannot directly or indirectly participate in the tender process of the referred tenders either individually or as member of other Joint Bidding /JV.

3.5.4 Any Prospective Partner(s) which has been barred/blacklisted by the Central/State Governments

or by any entity controlled by Central/State Governments from participating in any project, as on date of submission of EoI, shall not be eligible to submit the EoI.

3.5.5 Any Prospective Partner(s), which has been barred/blacklisted by the World Bank, Japan

International Cooperation Agency (JICA) or any other International Financing Institution, from participating in any project, as on date of submission of EoI, shall not be eligible to submit the EoI.

3.5.6 Prospective Partner(s) that has been expelled from any project or contract by any public entity in

the last X years prior to submission of EoI, shall not be eligible to submit the EoI. X- 3 years for Ghatkopar, Bhandup, Worli, Dharavi Tenders

X- 5 Years for Versova Tender 3.5.7 Prospective Partner(s) that has been under execution of a Bid Securing Declaration or have

forfeited their Bid Security in the Republic of India in the past X years prior to submission of EoI, shall not be eligible to submit the EoI. X- 3 years for Ghatkopar, Bhandup, Worli, Dharavi Tenders X- 5 Years for Versova Tender

3.5.8 Prospective Partner(s) shall not have been debarred/blacklisted as 3.5.4, 3.5.5, 3.5.6 & 3.5.7


above, till the award of the contract by the Employer (MCGM).

3.5.9 In last X years till the award of contract by the Employer (MCGM), Prospective Partner(s) shall have neither failed to perform on any contract, as evidenced by imposition of a penalty by an arbitral or judicial Employer or a judicial pronouncement or arbitration award against the Prospective Partner(s) as the case may be. Non-performance / failure to perform shall be based on all information on fully settled dispute or any litigation that has been resolved in accordance with the dispute resolution mechanism under the respective contract and where all appeal instances available to the Prospective Partner(s) have been exhausted. X- 3 years for Ghatkopar, Bhandup, Worli, Dharavi Tenders X- 5 Years for Versova Tender

3.5.10 Prospective Partner(s) shall demonstrate the current soundness and profitability of the financial position based on submission of audited financial statements acceptable to the Employer, for the last 10 (TEN) financial years.

3.5.11 Prospective Partner(s) shall have to support the technology provided/selected by BHEL through its technology provider.

3.5.12 In case of international Prospective Partner(s), Prospective Partner(s) shall obtain security

clearances from Govt. of India i.e. Ministry of Home Affairs or from any of its department and provide the same with EoI.

3.6 CONFLICT OF INTEREST

Prospective Partner(s) shall not have a conflict of interest. Any/All Prospective Partner(s) found to have a conflict of interest shall be disqualified. A Prospective Partner may be considered to have a conflict of interest, if:

(a) Prospective Partner(s) has been engaged by the Employer (MCGM) to provide consultancy services for the tender preparation related to procurement or implementation of the Project or similar projects;

(b) Prospective Partner(s) is an associate/affiliate (inclusive of parent firms) of a firm or an organization mentioned in subparagraph (a) above; or

(c) Prospective Partner(s) lends, or temporarily seconds its personnel to or utilizes services of

personnel of firms or organizations which are engaged by the Employer in consultancy services for preparation of tender document or implementation of the project or any other similar project

3.7 PROCESS TO BE CONFIDENTIAL:

Information relating to the examination, clarification, evaluation and comparison of EoIs and recommendations shall not be disclosed to Prospective Partner(s) . Any effort by Prospective


Partner(s) to influence BHEL processing of EoIs or selection decisions may result in the rejection of the EoI.

3.8 LEAD BIDDER, SPV AGREEMENT

BHEL shall be the lead bidder in the bidding process and shall hold majority stake in the respective SPV(s). A separate agreement for formation of SPV as per the tender requirements shall be executed with the selected Partner(s) after award of contract to the Tenderer.

3.9 MISCELLANEOUS:

3.9.1 Right to accept or reject any or all Applications:

i. Notwithstanding anything contained in this EoI, BHEL reserves the right to accept or reject any Application and to annul the EoI Process and reject all Applications, at any time without any liability or any obligation for such acceptance, rejection or annulment and without assigning any reasons, thereof. In the event that BHEL rejects or annuls all the Applications, it may at its discretion, invite all eligible prospective partners to submit fresh Applications.

ii. BHEL reserves the right to disqualify any Applicant during or after completion of EoI process, if it is found there was a material misrepresentation by any such Applicant or the Applicant fails to provide within the specified time, supplemental information sought by BHEL.

iii. BHEL reserves the right to verify all statements, information and documents submitted by the Applicant in response to the EoI. Any such verification or lack of such verification by BHEL shall not relieve the Applicant of his obligations or liabilities hereunder nor will it affect any rights of BHEL.

3.9.2 Governing Laws & Jurisdiction:

The EoI process shall be governed by, and construed in accordance with, the laws of India and the

Courts at New Delhi (India) shall have exclusive jurisdiction over all disputes arising under,

pursuant to and / or in connection with the EoI process.


SECTION– 4

PRE-QUALIFICATION CRITERIA

The determination of eligibility will take into account the technical and experience capabilities and past performance of the Prospective Partner(s); it will be based upon an examination of documentary evidence of the Prospective Partner(s) qualifications submitted by the Prospective Partner(s) as well as such other information, as the BHEL deems necessary and appropriate. The Prospective Partner(s) willing for exclusively participating in tendering process and in the event, the Tenderer is declared successful and awarded the Project, that the Tenderer incorporate a Special Purpose Vehicle (the "SPV (s)") under the Indian Companies Act, 2013 should meet the following Pre-Qualification Criteria:

ii) For each Reference Project submitted as Eligible Experience the Prospective Partner(s) shall submit the following as per the formats provided in Forms.

Certificate from the concerned client on client’s letter head in the format provided. Duly notarized copy of work order / extract of contract confirming the scope of work. In case a particular project has been jointly executed by the Prospective Partner(s) as part of a JV,

the Prospective Partner(s) shall further support its claim as a lead partner by producing a certificate from its Statutory Auditor or the client.

iii) Design Standards shall be specifically mentioned in the contract document or agreed in writing with

the client before commencement of the project. The experience certificate should mention effluent standards achieved during commissioning and during maintenance period.
