    Public Notice-Commerce Act 1975

    I. Notice is hereby given that the Commerce Commission has received, on 8 October 1979, a report from the Examiner of Commercial Practices relating to the proposed takeover by L. D. Nathan & Co. Ltd. of McKenzies (N.Z.) Ltd. In his report the Examiner concludes with the following summary:

    It is my view that the proposed takeover will have many effects contrary to the public interest. Examples of these effects have been illustrated in this report. All of them, however, stem from the basic fact that the proposal involves the elimination of competition between two companies which fulfil an important and unique role in retailing in New Zealand. The proposal contravenes one of the main purposes of the Commerce Act which is to promote the interests of consumers and the effective and efficient development of industry and commerce through the encouragement of competition. It is accordingly a proposal which, in my opinion is so obviously contrary to the public interest that the Commission must withhold its consent. Moreover, in my view the proposal is such that it is not possible to permit it to proceed subject to terms or conditions which would remedy effects which are likely to be contrary to the public interest. The essence of the proposal is to eliminate competition. Such an absolute effect cannot be modified by conditions.

    I recommend that the Commission make an order, in terms of section 78 (4) {a) (i), prohibiting the proposed take-over of McKenzies (N.Z.) Ltd. by L. D. Nathan and Co. Ltd.

    The Commission will conduct an inquiry into this matter as required by section 76.

    2. Persons, who wish to take part in this inquiry and who may be granted leave to do so, pursuant to section 14, are asked to apply to the Executive Officer of the Commission in writing, giving their reasons, by 12 noon, Thursday, 18 October 1979.

    3. Any application received in terms of paragraph 2 above will be considered by the Commission at a preliminary hearing, at 10.30 a.m., on Tuesday, 23 October 1979, at the Commis-sion's offices, Sixth Floor, Chase NBA House, 163 The Terrace, Wellington.

    Amendments to the Rules of the Stock Exchange Association of New Zealand

    PURSUANT to section 11 of the Sharebrokers Act 1908, the Governor-General in Council, has approved the following amendments to the rules of the above-mentioned Association.

    I. Rules 51-68 inclusive be hereby deleted and substituted by the following Rules :

    51. (1) Establishment-A committee, to be known as the Disciplinary Committee of the Association, shall be appointed by the council of the Association, and shall consist of a barrister of not less than seven years' practice

    who shall be chairman, and not less than two or more than seven members none of whom shall be a sitting chairman of an exchange, or a member of a local committee. The council may from time to time remove from office any member of the Disciplinary Committee or fill any vacancy in . its membership or appoint any additional member within the limits set by this rule. No member who has attained the age of 70 years shall be eligible for appoint-ment and a member of the Disciplinary Committee attaining that age shall retire from the Disciplinary Committee at the conclusion of the next annual meeting of the Associa-tion and shall not be eligible for reappointment.

    (2) Quorum-Subject to the proviso to rule 52 (4) hereof, a quorum shall consist of the chairman and not less than two other members of the Disciplinary Com-mittee.

    (3) If the chairman, through absence or any other cause is unable to act, the executive may appoint a qualified person in his place for a period not exceeding six months. Such appointment may be renewed only by council.

    (4) The chairman of the Disciplinary Committee shall appoint one member of the public (who shall not be a barrister or solicitor) residing in Wellington, to be the lay member of the Disciplinary Committee. Each such appoint-ment shall be for a period of one year, but may be renewed.

    The appointment shall be advised to the Securities Com-mission to whom the lay member shall report at least once in each year.

    The lay member shall be entitled to receive all notices and reports sent to the Disciplinary Committee and to attend all its meetings. He may speak and take part in proceedings and deliberations on hearings and appeals, but shall not have a vote. His remuneration and expenses shall be as agreed with the chairman of the Disciplinary Com-mittee and shall be paid by the Association.

    The lay member shall have no obligation to attend hearings of the Disciplinary Committee which he considers do not involve the public interest.

    52. (1) Functions-Without limiting or derogating from any other provisions of these rules the Disciplinary Com-mittee shall have power to hear any charge made against any · exchange or a member and referred to it by the council, the executive, or a local committee or the chairman thereof. The Disciplinary Committee may cause or require an investigating committee to conduct such further investi-gations as it deems appropriate on any matter before it.

    (2) Appeals-Every appeal by a member from the decision of a local committee shall be heard and determined by the Disciplinary Committee and shall be by way of a complete rehearing of the charge unless the Disciplinary Committee shall otherwise decide.

    (3) Members Concerned or Implicated-(a) At the hearing of a charge against a member, no

    member of a Disciplinary Committee who is con-cerned or implicated in or whose firm is concerned or implicated in that charge shall be eligible to attend any meeting of the Disciplinary Committee called to enquire into the same;

    (b) At the hearing of a charge against an exchange a member of the Disciplinary Committee who is a member of that exchange, or where the charge has been referred to the Disciplinary Committee by the council or the executive, is also a member of the council or the executive as the case may be, shall not be eligible to attend any meeting of the Disciplinary Committee called to enquire into the same;

    (c) The lay member shall declare any interest he may have in the parties to or the matter of a hearing. In such case he shall not be eligible to attend that hearing and the chairman of the Disciplinary Committee shall appoint another lay member for that hearing only.

    (4) Penalties-If after enquiry into any charge, the Disciplinary Committee is of the opinion that the exchange or the member has been guilty of misconduct or of any breach of these rules or the rules of an exchange, or of any act matter or thing detrimental to the well-being or proper conduct of the Association or exchanges generally it may, if it thinks fit, do one or more of the following things:

    (a) In the case of an exchange: (i) cancel its membership of the Association; (ii) suspend its membership for a stated period; (iii) order it to pay to the Association a sum by way

    of penalty not exceeding $2,000; (iv) censure it.

    (b) In the case of a member: (i) expel him from membership; (ii) suspend his membership for a stated period; (iii) order him to pay to the Association a sum by

    way of penalty not exceeding $5,000; (iv) censure him.

    Provided that except with the consent of the member or exchange charged, no order shall be made expelling or suspending a member or an exchange unless at least four members of the Disciplinary Committee including the chairman are present and a majority vote in favour of the order.

    (5) In any case where a member is fined the Disciplinary Committee shall set the time within which the fine shall be received by the Association.

    (6) Publication of Name-The Disciplinary Committee shall state in every finding under clause ( 4) whether the statement to be circulated under Rule 68 shall identify the penalised exchange or member by name and whether the circulation of the statement shall be to members only or generally.

    53. Serious Offences-Where a member is charged with having been convicted of a crime involving dishonesty as defined by section 2 of the Crimes Act 1961 or any statutory modification or re-enactment thereof-the charge shall not be heard by his local committee but shall be submitted by such local committee to the Disciplinary Committee for enquiry and action and for the purpose of this rule, proof of conviction may be given by a certificate containing the substance of the conviction purporting to be signed by the Registrar or other proper officer of any Court by which the offender was convicted.

    54. (l) Procedure-The Disciplinary Committee shall give at least 10 days' notice in writing ( or such lesser time than 10 days' as may be agreed upon by the parties concerned) to the exchange or member against whom a charge has been made, specifying the nature of such charge and the date, place and time of the meeting of the Disciplinary Committee called to consider that matter.

    (2) At such meeting, the exchange or member concerned shall be given a reasonable opportunity of being heard in defence and shall be entitled to be represented by counsel if such exchange or member so desires.

    (3) Except as otherwise provided in these rules, the Disciplinary Committee shall regulate its own procedures.

    55. (1) Evidence-The Disciplinary Committee by notice in writing signed by its chairman or secretary may require any person to attend and give evidence before it at the hearing of a charge and to produce for inspection all books, documents and papers that are in his custody or under his control relating to the subject matter of any such hearing.

    The Disciplinary Committee by notice in writing may require any investigating committee or member thereof to appear before it and to produce all evidence arising from and the reports of the results of any investigation.

    (2) The Disciplinary Committee may require evidence to be given either orally or in writing and may require any evidence to be verified by statutory declaration.

    (3) Every member commits a breach of these rules who without lawful justification refuses or fails to attend and give evidence when required to do so by the Disciplinary Committee as aforesaid or to answer truly and fully any question put to him by a member of the Disciplinary Committee or to produce to the Disciplinary Committee any book, document or paper required of him.

    56. (l) Interim Suspension-At any time after a charge has been made against any member, the Disciplinary Com-mittee may of its own motion and without the necessity of giving any prior notice to the member, make an order suspending his membership until the charge has been heard and disposed of. The Disciplinary Committee may in its discretion decide to give public notice of the fact of interim suspension.

    (2) The member in respect of whom any interim suspen-sion order is made under this Rule may at any time apply to the Disciplinary Committee for the revocation of the order and the Disciplinary Committee may, subject to Rule 54 (2) grant, on such terms as it thinks fit, or refuse any such application.

    57. (1) Revocation of Suspension-A member who has been suspended may apply to the Disciplinary Committee for revocation of his suspension and the Disciplinary Com-mittee may grant on such terms as it thinks fit, or refuse such application.

    (2) The Disciplinary Committee may require as a con-dition of granting such application that the member pay, as well as his current year's subscription to his exchange,

    an additional amount not exceeding a year's subscription to the same exchange, together with the amount payable by a member to the fidelity &uarantee fu1:1 during the period of the applicant's suspens10n. The additional amount payable, except that part due to the fidelity guarantee_ f~nd, shall be applied for the general purposes of the Association.

    58. After the hearing of any charge or application, the Disciplinary Committee may make an order as. to_ costs taking into account the costs and expenses of and mcidt:ntal to any investigation or hearing before a local committee and the legal costs of the Association and of exchanges as it thinks fit.

    59. Enforcement-If any member fails within any time stated in an order of the Disciplinary Committee to pay any sum ordered to be paid by way of penalty or costs or expenses, the Disciplinary Committee may suspend that member until the sum is paid.

    60. The Disciplinary Committee shall forward to the Association a report of every hearing and of every penalty imposed by it.

    61. Witnesses' Expenses-Every person (other than a member) giving evidence or attending to give evidence at a hearing by the Disciplinary_ Committee shall be entit/ed to tender of his proper travellmg expenses before attendmg and every person (whether a member or not) giving evidence or so attending shall at the discretion of the Disciplinary Committee be paid such sum for his travelling and other expenses and loss of time as the Disciplinary Committee may determine. All witnesses' expenses shall be paid by the Association and shall be recoverable in terms of any order that the Disciplinary Committee may make in relation thereto.

    62. ( 1) Partners and Employees of Members-The Dis-ciplinary Committee shall have power to enquire into any charge made by the council, the executive or a local committee or the chairman thereof that a member is in partnership with a non-member who has been guilty of or employs a person who has been guilty of conduct which if committed by a member would justify the Disciplinary Committee imposing on him any of the penalties referred to in rule 52 ( 4) (b) hereof.

    If the Disciplinary Committee shall find such charge proved it may order:

    (a) in the case of a non-member partner, that the partnership be dissolved;

    (b) in the case of an employee, that such employee be dismissed; in each case within such time as the Disciplinary Committee shall specify.

    (2) If any member fails to carry out an order of the Disciplinary Committee made under this rule, the Dis-ciplinary Committee may suspend him until the order is complied with.

    Local Committees 63. (1) Disciplinary Functions-Except as provided in

    Rule 53 hereof, the local committee may hear any charge made against its members and referred to it in writing by the Disciplinary Committee, the council, the executive, the chairman of an exchange, or the investigating committee established under Rule 63A or by any other person.

    (2) A local committee may decline to hear a charge and instead refer the same to the Disciplinary Committee.

    (3) Before hearing any charge referred to it by the Disciplinary Committee, the council or the executive, a local committee may obtain, and in all other cases referred to it, shall obtain, a report from the investigating committee.

    ( 4) If after hearing any charge the local committee is of the opinion that the member has been guilty of misconduct or of any breach of these rules or the rules of his exchange, or, of any act, matter of thing detrimental to the well-being or proper conduct of the Association or of exchanges generally, it may, if it thinks fit, do one or more of the following things :

    (a) Expel such member from membership of his exchange provided however, that if the local committee has by the rules of its exchange no final or absolute power of expulsion then the local committee may exer'?ise in relation_ to that member all such powers relatmg to expulsion or recommendations as to expulsion as are conferred on it by its rules; or

    (b) Suspend such member from membership of his exchange for a stated period; or

    (c) Order him to pay to his exchange a sum by way of penalty not exceeding $5,000; or

    ( d) Censure him; provided that nothing herein shall prevent any exchange prescribing different penalties for breach by its members of its rules.

    63A ( 1) Each exchange shall appoint two members not being members of the local committee or the Disciplinary Committee to investigate any alleged offence referred to it by the local committee of that exchange.

    (2) Every allegation of an offence referred to an investi-gating committee shall be in writing and as received by the local committee. The local committee of its own volition may refer matters to the Investigating Committee.

    (3) The local committee may delegate its powers under Rule 97 to its Investigating Committee. Such delegation shall be in writing.

    ( 4) The Investigating Committee shall report to the local committee within the time set by that committee whether or not there is prima facie charge to be made.

    (5) If the Investigating Committee reports that a charge should be made against a member, it shall include in its report a formulation of the charge under the appropriate Association or its exchange rule. For this purpose the local committee may authorise the Investigating Committee to employ legal assistance.

    (6) If the Investigating Committee reports there is no case to answer, the local committee shall so inform the complainant and the lay member of the Disciplinary Com-mittee shall be given a copy of the report.

    (7) A local committee shall make the services of its Investigating Committee available to the Disciplinary Com-mittee on its request in writing.

    64. (1) Appeals-In any case where a charge is heard by a local committee the member charged shall be entitled to appeal to the Disciplinary Committee against the decision of his local committee.

    (2) In any case where a local committee refuses an application for revocation of an interim suspension order the member concerned shall similarly be entitled to appeal to the Disciplinary Committee.

    (3) Every appeal shall be in writing and shall be lodged with the Secretary of the Association not later than 10 days after the member charged has been given written notice of the decision of the Committee.

    65. Applications of Disciplinary Committee Rules-The following rules relating to the Disciplinary Committee shall, mutatis mutandis and with the exceptions herein stated, apply to charges dealt with by local committees as if references therein to the Disciplinary Committee were references to local committees:

    Rule 52 (3) as to members concerned or implicated; Rule 52 (6) as to publication of name; Rule 54 as to procedure provided representation by

    counsel at local committee level shall be allowed only with the consent of all the parties including the exchange;

    Rule 55 as to evidence; Rule 56 and 57 as to interim suspension and revocation

    of suspension except that where the order for interim suspension or suspension was made by the Disciplinary Committee only the Disciplinary Committee shall have power to revoke such order and except that reference to the Association in Rule 57 (2) shall be construed as reference to the exchange concerned;

    Rule 58 as to costs; Rule 59 as to enforcement; Rule 60 as to report; Rule 61 as to witnesses' expenses; Rule 62 as to partners and employees of members.

    General 66. Consent to Partners and Employees-Without the prior

    consent in writing of his Local Committee, no member shall knowingly practise in partnership with or employ any person who-

    ( a) has been expelled from or is currently suspended from an exchange; or

    (b) has been convicted of any crime or offence referred to in Rule 53 hereof; or

    (c) as a partner or an employee has been the subject of a proved charge under Rule 62 hereof.

    67. Charges by Non-members-The local committee shall refer each complaint made by a non-member in writing to the Investigating Committee which shall take into account whether the complaint arose out of the employment of the member concerned by the complainant.

    68.     (2) On the recommendation of a local committee the executive may cause to be circulated as widely as it con-siders appropriate a statement of the circumstance pre-liminary to the disposal of a complaint under terms of Rule 63A (6) by an Investigating Committee but such statement shall not contain any reference which would tend to identify any exchange or any member. 2. Rule 111 ( c) is hereby amended by adding after subclause

    (b) the following subclause: (c) Bearer Securities-units of $1000.

    3. Rule 127 is hereby deleted and substituted by the following Rule:

    127. Bearer Securities-Delivery of bearer securities shall be in $1000 units. 4. Rule 135 is hereby amended by adding the following

    provisions to the proviso: (4) Any public company or a subsidiary thereof. (5) Provident or superannuation or staff or employees'

    benefit or welfare funds or the like authorised by or associated or connected with any of the above mentioned.

    Members are not permitted to approach directors or officers of the above bodies including companies, or of any other bodies, for the purpose of obtaining an introduction to shareholders or holders of other classes of quoted securities; or for the purpose of enquiring from such a director or officer the names of possible buyers or sellers of quoted securities issued by the body; or for the purpose of utilising in any way the services of such a director or officer to initiate business other than in quoted securities owned by that company or body; provided that the pro-visions of this regulation shall not restrict an approach by a member to a company or other body to submit a proposal relating to the capital or loan securities of that body.     Exchange Rares

    IN terms of section 25 (2) of the Reserve Bank of New Zealand Act 1964, the Reserve Bank today released outer limits for rates of exchange to be used in transactions involving the conversion of New Zealand currency into foreign curren• cies and foreign currencies into New Zealand currency when delivery of the foreign currency dealt in will be effected by telegraphic transfer. The following range of rates, for the main currencies used by New Zealand traders in settling foreign exchange transactions, will remain in force until replaced by a new schedule issued by the Reserve Bank. These rates do not apply to transactions for settlement after the expiration of two business days (forward transactions) or to transactions in which instruments are purchased which do not entitle the buyer to foreign currency balances in the foreign centre until the instruments have been delivered at the foreign centre. In the latter case interest at foreign centre rates may be deducted from the telegraphic transfer rate to compensate the purchaser for his loss during the transit period.
