THIRD AMENDMENT
TO
CONDOMINIUM OFFERING PLAN
INTRODUCTION
This First Amendment modifies and supplements the terms of the Condominium Offering Plan for the premises known as 385 First Avenue Condominium ("Condominium") located at 385 First Avenue, New York, New York 10010 ("Building"), dated September 5, 2015 ("Plan"), and should be read in conjunction with the Plan.
The terms of this Amendment are as follows:
1. COMBINATION OF RESIDENTIAL UNITS
As set forth in the Plan, Sponsor has elected to combine certain Residential Units pursuant to alteration plans filed with the Department of Buildings.
Annexed hereto as Exhibit "A" is an updated Schedule A - "Purchase Prices of Units and Related fuformation" which reflects, among other things, the combined Residential Units.
Annexed hereto as Exhibit "B" are updated floor plans for the combined Residential Units.
Annexed hereto as Exhibit "C" is an updated Schedule B-1- Projected Individual Energy Costs Budget.
Annexed hereto as Exhibit "D" is an Addendum to the Description of Property and Building Condition.
Annexed hereto as Exhibit "E" is an updated Certification of Architect.
As a result of the combinations, the Building will now contain 118 Residential Units. Purchasers should refer to the Addendum to the Description of Property and Building Condition as the updated Floor Plans. Prior to recording the Declaration, Sponsor will amend the form of Declaration set forth in Part II of the Plan to reflect that the Building will contain 118 Residential Units.
2. ADDITIONAL LENDER DISCLOSURES
Sponsor has procured a mortgage loan ("Mortgage Loan") from Bank of the Ozarks with an
address at 8201 Preston Road, Suite 700, Dallas, Texas 75225 ("Sponsor's Lender") for financing the
acquisition and/or renovation or improvement of the Building or portions thereof in the amount of
$215,500,000. Pursuant to the terms of Mortgage Loan, Sponsor is (i) not required to enter into
Purchase Agreements with more than the required 15% of Residential Units prior to declaring the Plan effective, but (ii) meet certain minimum release prices prior to Lender's release of the lien of the Mortgage Loan from the Residential Unit. Sponsor has also procured additional financing in the amount

of $88,000,000 from BREF IV SERIES A LLC with an address at 250 Vesey Street, 14th Floor New
York, New York 10281 ("Additional Lender") for financing the Sponsor Work set forth in the Plan. The financing provided by Additional Lender is not secured by a mortgage on the Building. Proceeds
from the sale of the Units will first be applied to satisfy the loan held by Sponsor's Lender until such time as the outstanding principal balance is $150,000,000. From and after such time as the outstanding
principal balance of the mortgage loan is less than $150,000,000 then 31.82% of the required release price for each Unit will be paid to the Additional Lender. Following repayment in full of the mortgage
loan, 100% of the required release price for each Unit will be applied to satisfy the loan held by Additional Lender.
3. DISCOUNTS TO TENANTS
Each tenant in occupancy on the date this Amendment is accepted for filing (a "Tenant") shall
have the right to purchase the Unit in which the Tenant resides ("Tenant's Apartment Unit") by executing a Purchase Agreement and returning it together with the required ten percent (10%) Deposit to the Selling Agent. The purchase price for the Tenant's Apartment Unit shall be equal to $800 per square
foot (the "Reduced Price") irrespective of any pricing set forth on the updated Schedule A attached hereto as Exhibit "A". The Reduced Price shall remain in effect until the Plan is declared effective. As of the date of this Amendment there are no Tenant-Purchasers in contract.
4. INCORPORATION OF PLAN
The Plan, as modified and supplemented by this and prior Amendments, is incorporated herein by reference with the same effect as if set forth at length.
5. DEFINITIONS
Any term used in this Amendment not othetwise defined herein shall have the same meaning ascribed to it in the Plan.
6. NO MATERIAL CHANGES
Except as set forth in this Amendment, there have been no material changes of facts or circumstances affecting the Property or the offering.

In accordance with your request, we list below the estimate of annual energy costs for lighting, seasonal heating (Fan operation), Air Conditioning and for operating the typical electrical appliances located in a number of typical apartments units.
The estimated KWHR per year per square foot and annual cost of electricity per square foot utilized by individual apartments are $13.05 KWHR/Square foot/Year and $3.78 per square foot, based on Con Ed rate of $0.23 per KWHR and delivery rate of $0.06 per KWHR. The sponsor of the offering plan to convert the captioned Property to condominium ownership retained our firm to prepare a report disclosing the condition of the property (the "Report"). We visually inspected the Property on September 24, 2014 and prepared the Report dated September 2, 2015, a copy of which is incorporated into the offering plan. We are supplementing the Report in an Addendum dated July 7, 2016 ("Addendum"), a copy of which is intended to be incorporated into an amendment to the offering plan so that prospective purchasers may rely on the Report and this Addendum.
We understand that we are responsible for complying with Article 23-A of the General Business Law and the regulations promulgated by the Department of Law in Part 23 insofar as they are applicable to this Report and Addendum.
We have read the entire Report and Addendum and investigated the facts set forth in the Report and Addendum and the facts underlying it and conducted the visual inspection referred to above with due diligence in order to form a basis for this certification. We certify that the Report and Addendum and all documents prepared by us disclose all the material facts which were then discernable from a visual inspection of the Property. This certification is made for the benefit of all persons to whom this offer is made.
We certify that the Report and Addendum:
(i) sets forth in narrative form the physical condition of the entire property and is current and accurate as of the date of inspection;
(ii) in my/our professional opinion affords potential investors, purchasers and participants an adequate basis upon which to found their judgment concerning the physical condition of the Property;
(iii) does not omit any material fact;
(iv) does not contain any untrue statement of a material fact;
(v) does not contain any fraud, deception, concealment or suppression;
