This Agreement dated 03rd Sep, 2012 for making of the Center ready for Inbound Banking Process UK, Pounds & Dollar Inc. represented by Mr. Rishabh Ajmera, having address at 1-3-8/1, Anjani Nilayan, High School Road, Cantonment, Vizayanagaram, Andhra Pradesh.(535002) (hereafter referred as Service Provider)and ____________________ _________. represented by Mr.________________________having address at _____________________ ________________________________________________________ (here after referred as Company)in regards to making the Center ready for UK Inbound Banking Process .

Hereby we confirm the address of the registered office of both the parties and their representatives will be the undersigned at the time of signing the contract:-

G ENE R AL C L AU S E

1. It is hereby mutually agreed that Pounds & Dollar Inc. will make Center ready for Inbound Banking Process UK Campaign for _______________________ ltd referred as Center.

2. ____________________________will bear the expenses for the center to be made ready on the ground that The UK Banking Campaign is given to ___________________________________

3. Both parties hereby agree that they will not review or market each other’s secrets including customer identity, contents offices or any other information provided to each other in course of business.

C L AU S E & PRICING

1. UK Inbound Banking Campaign will be given to _________________________ Voice campaign with the condition that the Center will be made ready by Pound & Dollar Inc.

2. If in any given Circumstances the UK Inbound Banking Campaign is not given to _________________________________ then Pound & Dollar Inc. will return the cost incurred while setting up the Center and 20% interest as penalty, as per the details below.

Payment Terms

Both the parties have agreed that:

1. Pounds & Dollar Inc. will take full responsibilities to setup an End to End Call Center Solution in the premises of ___________________________

2. S.G Global tel-link solution pvt ltd will pay 60 % as Advance amount to Pounds & Dollar Inc. and remaining 40 % when Center go’s live and receive advance payment from the Client.

3. Payment mode will be direct Bank to Bank Transfer of Pound & Dollar Inc bank account or Cheque in the name of Pound & Dollar Inc . Account No: 144105000211. Name of the Bank: ICICI Bank Current Account. Name on Account: Pound & Dollar Inc.IFSC Code: ICIC0001441.


L E G AL A G REE M ENT

Autho r i t y : Means an administrative, judicial legislative, regulatory or other competent authority.

Payment: The party has to pay 60% of the total payment as advance payment of this work and rest 40 % once the Center goes Live and testing is successful.

Perm i tt e d P u r po s e : Means any purpose directly related to a proposed or current business relationship between the parties

Protec t ed I nf o r m a t i o n : means any information of Discloser which is disclosed or becomes known to Recipient under this agreement, and includes any copies or reproduction of that information.

D I SCLA I MER

Recipient acknowledges and agrees that this agreement does not oblige Discloser to disclose or make available any Protected Information and that any such information is disclosed or made available 'S IS" and without any representation or warranty-To the extent permitted under applicable law, Discloser excludes and disclaims all direct and indirect liability to Recipient arising under contract, negligence or any other theory of liability from the use of any Protected Information or otherwise connected with this agreement.

LAWEN F O R C EM E N T

This agreement is made under and will be governed by and construed according to the laws of India, excluding choice of law rules, and each party Irrevocably submits to the jurisdiction of the courts in that State.

If a provision of this agreement is held by acourttobe illegal, void run enforceable, the off ending provision will be severed from the agreement to the extent and in the manner that best gives effect to the remaining provisions.


Any notice to be given under or in connection with this agreement must be given in writing, in English, and posted or hand delivered to the intended recipient at the address specified below (or any new address or number properly notified to the parties)Notices given in writing will be deemed received 5 business day after posting(if posted)or on delivery (if hand delivered during Business Hour’s).
