١- INTRODUCTION

١-١ OBJECTIVE

Normally sulfide copper concentrate in smelter plants produce SO2 Gas and

this gas will go to Sulphuric Acid in order to reduce the environmental impacts.

In this regard, in order to control SO٢ pollution caused by copper smelter plants

in Sarcheshmeh and Khatoon-Abad complexes in Kerman, National Iranian

Copper Industries company (NICICO) which is one of the largest copper

producers in Iran, has scheduled two major projects of acid plants establishment

for converting SO٢ to Sulphuric Acid, also has been expanding the old plant of

Sarcheshmeh complex. Estimation shows that the production capacity of

sulfuric acid could be increased from 100,000 tons to 1,500,000 tons using

output gases from smelting plants in Sarcheshmeh and Khatoon-Abad Copper

complexes. Approximately 900,000 t/y of sulfuric acid will be produced from

Sarcheshmeh and around 600,000 from the Khatoon Abad Copper Smelting

Complex located 40 km far from Khatoon-Abad City.

Studies indicate that only industries producing Phosphoric Acid and Chemical

Fertilizers (such as phosphate, nitrate, potash and metallic sulphate fertilizers)

are able to economically produce this production among downstream industries

of Sulfuric Acid. National Iranian Copper Industries Company (NICICO)

intends to build a plant with the goal of consumption of excessive produced

Sulphuric Acid in order to converting 900,000 tones Sulphuric Acid into

valuable fertilizers.

1-2 DEFINITIONS

The following words and expressions shall in this document have the meanings

assigned to them herein unless otherwise is required by the text:

"CLIENT", means National Iranian Copper Industries Company (NICICO);

"Applicant", means a company, a joint venture or a consortium which declares

in writing its willingness to participate in performance of the Project and

applies to receive this prequalification document;

"Joint Venture / Consortium", means a group composed of two or more

companies, Iranian or non-Iranian, which will jointly participate in the project

without incorporation of a new legal entity. In case that a joint venture or

consortium is qualified by company, or in case that a Joint Venture or

Consortium is finally selected as the winning bidder, the members of such joint

venture or consortium shall hold joint and several responsibilities against the

company in any and all respect;

"Bidder", means a company, a joint venture or a consortium whose qualified

to participate in tender is ascertained by the company.

"Project", means the project of NICICO Chemical Fertilizer Complex;

"Reference to Similar Industrial Projects", means performance of projects,

inside or outside of Iran, which are similar to the Project in terms of type, nature

and process and the Applicant and/or his foreign partner has, wholly or

partially, contributed in the execution of such projects;

"Reference to Other Industrial Projects", means performance of industrial

projects, in Global, which are similar to the Project in terms of the value of cost

and the Applicant has wholly contributed in the performance of such projects.

٢- PROJECT PARTICULARS

2-1 SUMMARY OF SCOPE OF WORK

The scope of work consists of project Finance, Engineering, supply of

equipment and material, Soil works, civil /structure/ Architectural

construction, complete erection of Plant commissioning, plants performance

tests, training and providing license and technical Know How, and then

Management of Operating of Complex in one year as well as Providing

Phosphate Rock for Complex as main Raw-Material.

Further information will be handed over to qualified Tenderer on Tender

document in the next stage.

2-2 PROJECT DESCRIPTION

The off gas from copper smelters in Sarcheshmeh which contains high amount

of S02 gas, metallic and non-metallic components will be used as the feed gas

for Sulphuric Acid Plant instead of disposing it to the atmosphere; this process

treats the pollutant components and separates solids particles from the gas and

produces concentrated Sulphuric Acid with the capacity of 900,000 TPY. The

production of Sulphuric Acid is needed to be used in a specific industry and it is

not possible to be stored. Producing chemical fertilizers are considered as the

most vital and human industry with a lot of consumption of Sulphuric Acid.The

Client of project wants to produce some types of Chemical Fertilizers (Fig1).

The effluent from all units of plant are collected and sent to effluent treatment

unit to remove or recycle of various components according to global

environmental health and safety standards. On the other hand, in this factory

there is a main waste that is called Phosphgypsum. Phosphogypsum (PG) is a

by-product (or waste) generated from the phosphorus fertilizer industry

(phosphoric acid production). PG is similar to natural gypsum, but there are

some differences, of which it contains some impurities such as water-soluble

phosphate (P2O5), water-soluble fluoride (F−) and P2O5 substituted in the

gypsum crystal lattice. PG and gypsum are both calcium sulfate dihydrate. The

name of PG is used to label the by-product of wet-process phosphoric acid

production, whilst gypsum denotes to the natural mineral.

PG management is one of the most serious problems currently faced by the

phosphate industry. The storage of PG without any prior treatment requires

large land areas and can cause serious environmental contamination of soils,

water and the atmosphere. Because of this problem, in this project, the water

will be sprinkled on a Phosphogypsum dump to control dust.

IMPORTANT NOTE: According to this explanation one of the main

conditions for Applicant to participate in this TENDER is “ Solution for PG "

, if Applicant don’t have any solution to produce any valuable products or any

safe disposal methods, then applicant is not qualified for further assessment and

will be reject, because the main Goal of NICICO (Client) is protection of

environment.

٣- ESTIMATION OF THE PROJECT'S DURATION

The Project's duration is estimated to be 36 months. The definite duration will be

subsequently included in tender documents.

٤- PROJECT LOCATION

This place has an area of 200 hectares (1250×1600) located in 8.5 kilometers

northwest of Sarcheshmeh Copper Complex, 55 km of Rafsanjan – Shahr e babak

٥- PROJECT FINANCING

Financing is part of the project's scope. So applicants must have the capability and

permission of Financing of this project based on current international roles and

regulation. The related guarantees would be presented by NICICO.

If any applicant don’t have capability for this service, in the Pre-Qualification

procedure of this tender will be deleted.

٦- JOINT VENTURES / CONSORTIUMS

Those Applicants who apply for the pre-qualification documents in the form of a

Joint Venture or a Consortium must comply with the following requirements:

6-1 Such Applicants should duly submit the pertinent agreement, together with all

other relevant documents, between the members of the Joint Venture or

Consortium which is concluded on common industrial and international terms and

conditions applicable for this type of agreements and which covers all terms

dealing with the parties' cooperation and collaboration to realize the Project

(including but not limited to the parties' obligations, the responsibility split scheme

between the parties, appointment of the leader, etc.) and which should be valid and

in full force and effect at least until one year after the completion of the Project

(See item 3 above).

6-2 The provisions of the Joint Venture / Consortium agreement with respect to

responsibility split shall be only valid and applicable between the members of the

Joint Venture / Consortium and, notwithstanding any stipulation included in such

agreements, the members of a Joint Venture / Consortium shall be deemed and

treated to hold joint and several liabilities against the client in any and all respect

(in terms of participating in the tender and execution of the Project).

6-3 Any and all forms enclosed to this prequalification document and required

information must be completed and presented by each member of a Joint Venture /

Consortium individually.

6-4 The Applicants which will be prequalified in the form of a Joint Venture /

Consortium may only participate in Project (for pre-qualification or tender) only

through one Joint Venture / Consortium and will not be entitled to apply for pre-

qualification or participate in the tender through other Joint Venture (s) /

Consortium (s).

6-5 The Applicants which will be pre-qualified in the form of a Joint Venture /

Consortium may, in case of being qualified by the company, participate in the

tender only in the form of the qualified Joint Venture / Consortium and will not be

entitled to participate in the tender individually.

6-6-The applicants shall submit a preliminary export license approval for relevant

foreign equipment in EPCF (EPC+F) tender stage, otherwise even with acceptance

in pre-qualification stage, the submitted documents (for participating in main

EPCF (EPC+F) tender) will not be accepted and rejected to the applicant.

6-7 Applicants shall submit consortium agreement and split of work for full of

project.

٧- EVALUATION CRITERIA

All general conditions are announced in invitation letter and all condition must be

passed in order to progress to the Stage 2 evaluation. Final assessment and score

evaluation will be done based on following items:

f). Procedure and Technical Standards (Form No.6, Section III)

g). Litigation History (Form No.7, Section III)

h). Utilization of Iranian Content (Submission of Summary Report and Analysis)

i). QA/QC and HSE Systems (submission of evidence is necessary)

j). Project Management, Planning and Control System (submission of evidence is

necessary)

k). Certificates, Permissions, Approvals and Ranking Certificates issued by

competent authorities (submission of evidence is necessary)

NOTE 1: In addition to the above list, Applicant may submit any other useful

information, at its option, which illustrates and proves the Applicant's capability

and ability.

NOTE 2: Applicants shall submit the forms that mentioned for each consortium

separately.

7-2 EVALUATION:

Applications received will be evaluated accordance with the Table of Evaluation

Criteria (Section IV).

٨- QUESTIONS & REQUESTS FOR CLARIFICATION

8-1 Any question or clarification request must be raised in writing to the Contracts

Affairs of the Client.

8-2 Such requests must reach the client not later than 10 days before the Closing

Date (as defined under item 9-8 below). Any question or request for clarifications

received after this date may be declined at client's option.

8-3 The requests should be delivered at the address mentioned in item 9-7 hereof.

8-4 If required, the questions/ clarification requests will be notified to all

Applicants through a Circular Letter.

٩- PREPARATION AND SUBMISSION OF DOCUMENTS

9-1 Applicants must completely fill in all the attached forms without any changes

in the content of the forms. The information required must be typed in, and the

forms, along with supporting documents, must be submitted in a clean manner

without any addition or omission.

9-2 The following requisites are necessary in preparation and submission of the

documents:

A) Applicant will not have the right to assign or pass the prequalification

documents to third parties and any such documents submitted by third parties

(other than the Applicant) will be rejected by the client;

B). If Applicant acts as a branch, a representative, a representative office or under

any other similar title, the Applicant must state the name and particulars of the

principal company which the Applicant acts on its behalf and must further

determine which section or branch of the principal company will participate in the

tender. Representatives should determine the territory in which they act and if they

act on exclusive or non-exclusive basis.

9- 3 Information and documents requested under this prequalification document

must be prepared and submitted in Farsi or English language.

9-4 The Applicant's documents must include:

� Request Letter;

� The present prequalification document (including four sections) uncompleted;

� Forms under Section (III) of this pre-qualification document as completed

together with all required documents and evidence;

� Evidence under sub-items (h), (I), G) and (k) of item 7-1 hereof;

� Consortium agreement and split of work;

� Other Information which may affect the Applicant's evaluation.

9-5 Applicants must state in writing, concurrently with submission of the above

mentioned documents, their last legal status for participating in prequalification

and contemplated tender (if they will participate individually or through a Joint

Venture / Consortium with the name of their partners in case of nomination of a

Joint Venture / Consortium).

9-6 Any deficiency in documents and/or information necessary for evaluation, not

receiving by the client of Applicant's question or request for clarification within the

time limit set under item 8-2 above, non-submission by the applicant of the needed

evidence, or non-submission by the Applicant of such additional information or

evidence required by the client to ascertain the correctness of the documents

presented by the Applicant may result in rejecting the pre-qualification request.

9-7 Applicant's documents (completed forms and associated documents/evidences)

must be signed by authorized signatory (ies) of the company or Joint Venture or

Consortium, must be stamped and must be prepared and submitted in one original

and two duplicated copies. The documents together with an electronic file

(Compact Disk) must be delivered, in wax sealed envelopes, to the following

address against a receipt:

9-8 Applicants should deliver their documents until 16:30 O'clock on Tuesday

dated 1st May 2018 (herein known as the "Closing Date").

9-9 The client is authorized, at its sole discretion, to reject applications received

after the Closing Date. No action will be taken in this case about such documents/

applications.

9-10 Name and address of the Applicant, subject of the Project must be shown on

the envelopes. Envelopes must also be marked as "Original" or "Copy".

9-11 All costs and expenses incurred for preparation and submission of the

prequalification documents will be borne by the Applicant. The client will not

accept any responsibility in this regard.

١٠- ANNOUNCMENT OF EVALUATION RESULTS AND INVITATION TO TENDER

10-1 The final decision of client with respect to the application of each Applicant

will be announced by client through fax (facsimile), email or official letter without

giving any reason as about the decision taken. The evaluation of the applications

received will be conducted solely by the client and any result thereof announced

will be final and the Applicant will not have the right to make any claim in this

respect.

10-2 Only those Applicants which are qualified by client will be, at the discretion

and decision of the client, invited to the tender.

١١- CONFIDENTIALITY OF DOCUMENTS

All requests, information and documents received from Applicants will be

considered and treated as being confidential and the client will use the same only

for the purpose of evaluation and qualification of the company. None of the

documents or evidence received will be returned back to the Applicants.
