NATIONAL INSTITUTE OF OCENOGRAPHY INVITATION TO BID

The National Institute of Oceanography invites reputed firms/companies/contractors having specialized experience in refurbishing interiors of laboratory/R&D/professional facility including REFURBISHMENT, CIVIL, INTERIORS, ELECTRICAL, PLUMBING & AIR-CONDITIONING WORKS for the project PSDP PROJECT: IPOL LAB PHYSICAL SECTION 1ST FLOOR Bidding documents will be available from 05, April 2021 from the Administration Section of NIO on payment of Rs. -----/= (Rupees ------- Hundred only). The last date for submission of the bids will be 22, April 2021, 11:00 AM and the bids will be opened on the same day in the Conference Room of NIO, at 11:30 AM as per PPRA Rule 36 (b) of single stage two envelope procedure.

NIO reserves the rights to accept or reject all or any of the Tenders as per PPRA Rules-33, Sub-rule - 1.

INSTRUCTIONS TO BIDDERS

TENDER FOR ESTABLISHMENT OF IPOL LAB. IN PHYSICAL SECTION 1ST FLOOR Open Competitive Bidding (Single Stage – two envelope procedure)

1. Sealed Bidding Documents comprising items below :- a. Duly signed and stamped each and every page of tender documentsb. Bank draft / Pay order in favour of NIO against bid security.c. Authenticated copies of all required supporting documents.

To be dropped in the NIO office in the Project Department at st,47 Block-1 Clifton Karachi, before 22, April , 2021 at 11:00 am. Tender will be opened on the same date at 11:30 am, in the presence of Tenderers or their representatives who may wish to attend.

2. Eligibility Criteria: Following documents duly authenticated be provided with Tender Documents to prove the eligibility of the bidder, copy of check list attached at Attachment-02 duly filled signed and stamped must be attached separately on the top of bidding documents.

i. National Taxation Number.

ii. The contractor shall be registered with Sindh Revenue Board (S.R.B)

iii. In-list from Active Taxpayer List (A.T.L) issued by Federal Board of Revenue (F.B.R). Copy of registration certificate must be enclosed.

iv. Valid Professional Tax Certificates are to be provided.

v. Valid Registration with Pakistan Engineering Council in Category C-6 (minimum).

vi. Attachment of Bank Draft / Pay Order of 2% quoted value as Bid Security / Tender Bond in favor of NIO.

vii. Experience of working in the field for minimum of 03 years. Copies of Works Completion Certificates/ Work orders and Establishment of the Organization/ Firm/ Company etc. are to be attached.

3. Bidders must complete all the entries in the enclosed Bid form. The grand total amount should also be shown at the end of the schedule.

4. Bidders must visit NIO Building and its premises to assure and confirm the quantities set forth in the bid form, (No TA/DA will be admissible under any circumstances).

5. The rates quoted shall be valid for at least 90 days from the date of opening of Financial Bids.

6. Bidders are advised to examine carefully the bidding documents / scope of work and should familiarize themselves completely with the nature and scope of work. Bidder can visit the Site, and its premises to obtain all necessary information required for the purpose of submitting the bid.

7. Providing temporary arrangements for functioning of office, throughout the course of completion of work to facilitate the commencement of works without affecting the daily operation.

8. Construction work will proceed in office timings, all work will be start after 9 am till 5 pm or as agreed, The contractor shall not be paid anything extra subsequently and the rates shall include for all temporary arrangements sought by the office till the completion of the works including all cleaning works which shall result during the progress of the work.

9. Any increase in taxes, levies, duties, labour charges etc. due to the polices of Government or its agencies, shall be the sole responsibilities of the contractor and the NIO will not be liable to make any compensation whatsoever, nor the contractors will ever demand any increase in rates due to this or any other reasons during the period of contract.

10. It will be the responsibility of the contractor to remove the garbage and rubbish from the Building premises to a place located far away from the NIO Building and authorized for dumping by the concerned authorities. The rubbish will be removed from the Building at least once every day or more if required.

11. The Contractor shall ensure his Personnel against any physical hazards involved in the execution of this Contract and will take special measures to protect his personnel employed, both in terms of proper physical safety measure as well as monitory protection through insurance policy etc., copy of insurance policy to be provided to Project Director. NIO will not be responsible for any damage or injury to the personnel of the Contractor.

12. The Bid Security submitted by the unsuccessful bidders shall be returned without any interest to unsuccessful bidders within 15 days of award of the work.

13. If the successful bidder fails to start the work within stipulated time mentioned in work order then the Bid Security will be forfeited at the sole responsibility of the Bidder.

14. An undertaking that firm(s) or its affiliates / concerns are not blacklisted by any Government/ Public Sector Departments will be mandatory.

15. List of existing clients is to be enclosed with the quotation. There shall be no litigation case with any client.16. An entity having been black listed by PPRA / Government Ministries/ Departments, Autonomous Body, Public Sector or any other organization, would be ineligible to participate in the bid.

17. Open Competitive Bidding Method is used as per PPRA Rule-21.

18. Single Stage-Two Envelope Procedure, the bid shall comprise a single package containing two separate envelopes. Each envelope shall contain separately the financial proposal and the technical proposal. The envelopes shall be marked as “FINANCIAL PROPOSAL” and “TECHNICAL PROPOSAL” in bold and legible letters to avoid confusion. Initially, only the envelope marked “TECHNICAL PROPOSAL” shall be opened and the envelope marked as “FINANCIAL PROPOSAL” shall be retained in the custody of NIO, without being opened. Bids that do not conform to the specified requirement or having marks less than 70 shall not be considered for Financial Evaluation and the financial proposals of non-qualified bidders shall be returned in sealed condition.

19. NIO reserves the rights to accept or reject all or any of the Tenders as per PPRA Rules-33, Sub-rule - 1.

INSURANCE OF WORK Contractor shall obtain contractor’s all risk insurance policy in the joint names of the contractor and the corporation (NIO) to their full replacement value with deduction limits, not exceeding Rs/0- (Zero) The additional risk to be insured are i) Body injury

ii) Death

iii) Property Damage

Above values are for each occurrence, with unlimited number of occurrences.

PERFORMANCE BOND The contractor shall provide a performance security /Bond in the prescribed form annexed to these documents. The said security shall be furnished by the contractor within 14 days from the issuance of work order for the purpose of execution of contract. The performance security shall be of an amount equal to 10 % (ten percent) of the contract amount from any scheduled bank in Pakistan/or AAA rated Insurance company in Pakistan.

PROLONGED DELAY

PAYMENT TERMS

Maximum amount recoverable from the contractor by NIO 10 %(ten percent) of the contract amount.

The term of payment for this variable contract shall be as follows.

Mobilization advance up to 20% (Twenty Percent) of the contract amount and shall be adjusted /deducted from the running bill @ 20 %.

Payment shall be made to the contractor within 15 days after verification of the bill by PD/DPD.

The normal working hours are 9 am to 5 pm or as per agreed by the contractor.

The Program/work schedule must be submitted in the form of a bar chart made in primavera or MS project showing complete detail of commencement, procurement, erection, installation, commissioning, completion, handing over etc for all components of work.

As built drawings (if required) shall be provided to the architect within 30 days from the date of issuance of substantial completion certificate.

The Employer hereby covenants to pay the Contractor, in consideration of the execution and completion of the Works as per provisions of the Contract, the Contract Price or such other sum as may become payable under the provisions of the Contract at the times and in the manner prescribed by the Contract.

NOW THEREFORE, if the Principal (Contractor) shall well and truly perform and fulfill all the undertakings, covenants, terms and conditions of the said Documents during the original terms of the said Documents and any extensions thereof that may be granted by the Employer, with or without notice to the Guarantor, which notice is, hereby, waived and shall also well and truly perform and fulfill all the undertakings, covenants terms and conditions of the Contract and of any and all modifications of said Documents that may hereafter be made, notice of which modifications to the Guarantor being hereby waived, then, this obligation to be void; otherwise to remain in full force and virtue till all requirements of Clause, Defects Liability, of Conditions of Contract are fulfilled.

Our total liability under this Guarantee is limited to the sum stated above and it is a condition of any liability attaching to us under this Guarantee that the claim for payment in writing shall be received by us within the validity period of this Guarantee, failing which we shall be discharged of our liability, if any, under this Guarantee.

We, ___________________________________________________________ (the Guarantor), waiving all objections and defenses under the Contract, do hereby irrevocably and dependently guarantee to pay to the Employer without delay upon the Employer's first written demand without cavil or arguments and without requiring the Employer to prove or to show grounds or reasons for such demand any sum or sums up to the amount stated above, against the Employer's written declaration that the Principal has refused or failed to perform the obligations under the Contract which payment will be effected by the Guarantor to Employer’s designated Bank & Account Number.

PROVIDED ALSO THAT the Employer shall be the sole and final judge for deciding whether the Principal (Contractor) has duly performed his obligations under the Contract or has defaulted in fulfilling said obligations and the Guarantor shall pay without objection any sum or sums up to the amount stated above upon first written demand from the Employer forthwith and without any reference to the Principal or any other person.

GENERAL TERMS AND CONDITIONS OF CONTRACT

1. ASSIGNMENT

The Contractor shall not assign the Contract or any part thereof, any benefit or interest therein or thereunder (other than that by a charge in favor of Contractor’s Bankers of any moneys due or to become due under this Contract) without the prior written consent of the owner.

2. EXTENT OF CONTRACT

The contract comprises the construction, completion and maintenance of the works and except in so far as the Contract otherwise provides the Provision of all labor, materials, Temporary Works and everything whether of a temporary nature or permanent nature required in and for such construction, completion and maintenance so far as the necessity for providing the same is specified in or reasonably to be inferred from the Contract.

3. CONTRACT DOCUMENTS LANGUAGE/S

The language according to which the Contract is to be constructed and interpreted shall be English.

4. DRAWINGS

i. Custody of Drawings

The drawings shall remain in the sole custody of the Architect/PD but two copies thereof shall be furnished to the Contractor free of cost. The Contractor shall be provided or make at his own expense any further copies required by him. At the completion of the Contract the Contractor shall return to the Architect/Employer all Drawings provided under the Contract.

ii) One Copy of Drawings to be kept on Site

One Copy of the Drawings furnished to the Contractor shall be kept by the Contractor on the Site and the same shall at all times be available for inspection and use by the Architect/Team Lead and the Architect/Team Lead representative and by any other person authorized by the Architect/Employer in writing.

5. FURTHER DRAWINGS AND INSTRUCTIONS

The Architect shall have full power and authority to supply to the Contractor from time to time during the progress of the works such further drawings and instructions as shall be necessary for the purpose of the proper and adequate execution and maintenance of the works and the Contractor shall carry out and be bound by the

same.

6. CONTRACTOR TO PROVIDE EVERYTHING NECESSARY

The Contractor shall provide everything necessary for the proper execution of the works according to the intent and meaning of the Drawings, schedule of quantities and specifications taken together whether the same may or may not be particularly shown or described therein provided that the same can reasonably be inferred there from and if the Contractor finds any discrepancy in the Drawings or between the Drawings, Bill of Quantities and Specifications he shall immediately in writing refer the same to the Engineer who shall decide which is to be followed.

7. CONTRACT AGREEMENT

The Contractor shall, within fourteen (14) days after written notice of acceptance of the Tender has been posted to the Contractor, enter into and execute a Contract Agreement (to be prepared at the cost of the Contractor) in the form annexed with such modification as may be necessary.

8. PERFORMANCE BOND

The successful Contractor shall provide the Owner with a Performance Bond, equivalent to ten (10) percent of the Tender sum, before the signing of the Contract Agreement. The Performance Bond will be a guarantee issued by a First Class Schedule Bank to be jointly and severally bound with the Contractor to the Owner and shall be valid till the end of the maintenance period. A specimen form of the Performance Bond at (Annexure-F)Bond is attached herewith. The cost of the Bond to be so entered into shall be at the expense in all respect of the Contractor.

9. INSPECTION OF SITE

The Contractor shall inspect and examine the Site and its surroundings and shall satisfy himself before submitting his Tender as to the nature of the site, the quantities and nature of the ground and climatic conditions, the form and nature of the Site, the quantities and nature of the work and materials necessary for the completion of the Works and the means of access to the Site, the accommodation he may require and in general shall himself obtain all necessary as to risks, contingencies and other circumstances which may influence or effect the Tender.

10. SUFFICIENCY OF TENDER

The Contractor shall be deemed to have satisfied himself before tendering as to the correctness and sufficiency of his Tender for the Works and of the rates and prices stated in the priced Bill of Quantities and the Schedule of Rate and Prices (if any) which rates and prices shall except in so far as it is otherwise expressly provided in the Contract cover all his obligations under the Contract and all matters and things necessary for the proper completion and maintenance of the Works.

11. WORKS TO BE TO THE SATISFACTION OF ARCHITECT/EMPLOYER

The Contractor shall execute, complete and maintain the works in strict accordance with the Contract to the satisfaction of the Architect/Employer and shall comply with and adhere strictly to the Architect/Employer instructions and directions on any matter (whether mentioned in the Contract or not) touching or concerning the works. The Contractor shall take instructions and directions only from the Architect or from the Architect/Employer representatives.

12. PROGRAM TO BE FURNISHED

As soon as practicable after the acceptance of his Tender, the Contractor shall, if required, submit to the Engineer for his approval a program showing the order of procedure and method in which he proposes to carry out the Works and shall, whenever required by the Engineer or Engineer’s representative of such program or the furnishing of such particulars shall not relieve the Contractor of any of his duties or responsibilities under the Contract.

13. CORRESPONDENCE

Correspondence between the Contractor or the Agent and Engineer or the Engineer’s representative shall be in English.

14. DAMAGE TO PERSONS AND PROPERTY

The Contractor shall (except if and so far as the Contract provides otherwise) indemnify and keep indemnified the Owner against all losses and claims for injuries or damages to any person or any property whatsoever (other than surface or other damage to land being or crops being on the site, suffered by tenants or occupiers) which may arise out of or in consequence of the construction and maintenance of the Works and against all claims, demands, proceedings, damages, costs, charges and expenses whatsoever in respect of or in relation thereto.

15. ACCIDENT OR INJURY TO WORKMEN

i. The owner shall not be liable for or in respect of any damages or compensations payable at law in respect or in consequence of any accident or injury to any workman or other person in the employment of the Contractor or any sub-contractor and the contractor shall indemnify and keep indemnified the Owner against all such damages and compensation and against all claims, demands, proceedings, costs, charges and expenses whatsoever in respect thereof or in relation thereto.

The Contractor shall insure against such liability with approved Insurance Company and shall continue such insurance during the whole of the time that any persons are employed by him on the Works and shall when required produce to the Engineer or the Engineer’s representative such policy of insurance and the receipt for payment of the current premium. Provided always that in respect of any persons employed by any sub-contractor, the Contractor’s obligation to insure as aforesaid under this sub-clause shall be satisfied if the subcontractor shall have insured against the liability in respect of such persons in such manner that the owner is indemnified under the policy but the contractor shall require such sub-contractor to produce to the Engineer or the Engineer’s representative when required such policy of insurance and the receipt for payment of the current premium.

16. REMEDY ON CONTRACTOR’S FAILURE TO INSURE

If the contractor fails to effect and keep in force the insurance which he may be required to effect under the term of the contract then and in any such case the Owner may effect and keep in force any such insurance and pay such premium or premiums as may be necessary for that purpose and from time to time deduct the amount so paid by the owner as aforesaid from any moneys due or which may become due to the contractor or recover the same as a debit due from the Contractor.

17. GIVING OF NOTICES AND PAYMENT OF FEES

i. The Contractor shall give all notices and pay all fees required to be given or paid by any Federal or Provincial Statute Ordinance or other Law or any Regulation or By-law of any local or other duly constituted authority in relation to the execution of the works or of any Temporary Works and by the rules and regulations of all public bodies and companies whose property or rights are affected or may be affected in any way by the Works or any Temporary Works.

ii. Compliance with Statute Regulations etc.

The Contractor shall conform in all respects with the provisions of any such Statute Ordinance or Law as aforesaid and the Regulations or Bye-Law or any local or other duly constituted authority which may be applicable to the Works or to any Temporary Works and with such rules and regulations of public bodies and companies as aforesaid and shall keep the Owner indemnified against all penalties and liabilities of every kind for breach of any such Statute Ordinance of Law, Regulation or Bye-Law.

18. CLEARANCE OF SITE ON COMPLETION

On the completion of the works the Contractor shall clear away and remove from the Site all surplus materials, rubbish and Temporary Works of every kind and leave the whole

of the Site and Works clean and in a workmanlike condition to the satisfaction of the Engineer.

COMMENCEMENT TIME AND DELAYS19. COMMENCEMENT OF WORKS

The Contractor shall commence the Works on Site within the period, after the receipt by him of an order in writing to this effect from the Owner and shall proceed with the same with due expedition and without delay except as may be expressly sanctioned or ordered by the Owner.

20. EXTENSION OF TIME FOR COMPLETION

Should the amount of extra or additional work of any kind or other special circumstances of any kind whatsoever which may occur be such as fairly to entitle the Contractor to an extension of time for the completion of the work, the Engineer shall determine the amount of such extension. Provided that the Engineer is not bound to take into account any extra or additional work or other special circumstances unless the Contractor has within 28 days after such work has been commenced or such circumstances have arisen or within 15 days before the expiry of time of completion delivered to the Engineer full and detailed particulars of any claim to extension of time to which he may consider himself entitled in order that such claim may be investigated at the time.

21. LIGHTING WORKS AT NIGHT

In the event of work being carried out at night hours, the Contractor shall at his own cost provide and maintain such good and sufficient light as will enable the work to proceed satisfactorily and without dangers. Similarly the approaches to the Sites and works where the night-work is being carried out shall be sufficiently lighted. All arrangements adopted for such lighting shall be to the satisfaction of the Engineer.

22. LIQUIDATED DAMAGES FOR DELAY

i) If the Contractor shall fail to complete the Works within the time or extended time then the Contractor shall pay to owner the sum as liquidated damages for such default for every day or part of a day which shall elapse between the time prescribed in Preamble Conditions of Contract or extended time as the case may be and the date of completion of the Works. The Owner may without prejudice to any other method of recovery deduct the amount of such damages from any moneys in his hands due or which may become due to the Contractor. The payment or deduction of such damages shall not relieve the Contractor from his obligation to complete the Works or from any other of his obligations and liabilities under the Contract.

ii) Reduction of Liquidated Damages

If before the completion of the whole of the Works any part of the Works has been certified by the Engineer and occupied or used by the Owner the liquidated damages for delay shall for any period of delay after such certification be reduced in the proportion which the value of the part so certified bears to the value of the whole of the Works.

23. CERTIFICATE OF COMPLETION OF WORKS

As soon as in the opinion of the Engineer the Works shall have been substantially completed and shall have satisfactorily passed any final test that may be prescribed by the Contract the Engineer shall on receiving a written undertaking by the Contractor to finish any outstanding work during the Period of Maintenance issue a Certificate of Completion in respect of the Works and the Period of Maintenance of the Works shall commence from the date of such a certificate. Provided that the Engineer may give such a certificate with respect to any part of the Work before the completion of the whole of the Works and shall upon the written application of the Contractor give such certificate with respect to any substantial part of the Works which has been both completed to the satisfaction of the Engineer and occupied or used by the Owner and when any such certificate is given in respect of a part of the Works such part shall be considered as completed and the Period of Maintenance of such part shall commence from the date of such certificate. Provided also that a Certificate of Completion given in accordance with the foregoing provisions of any part of the Works occupied and used as aforesaid shall not be deemed to certify completion of any ground or surfaces requiring reinstatement unless such certificate shall expressly so state.

24. FINAL PAYMENT CERTIFICATE

Within 30 days after receipt of the Final Statement, and the written discharge, the Engineer shall issue to the Employer (with a copy to the Contractor) a Final Payment Certificate stating:

(a) The amount which, in the opinion of the Engineer, is finally due under the Contract or otherwise, and

(b) After giving credit to the Employer for all amounts previously paid by the Employer and for all sums to which the Employer is entitled other than, the balance, if any, due from the Employer to the Contractor or from the Contractor to the Employer as the case may be.

25. The Contractor shall have complete and undivided responsibility for the action of his personnel. Any damages / theft caused to building or the property by the Personnel of the Contractor will be fully made good by the contractor at his own cost, in the event of refusing or failing to do so within stipulated period, damage shall be repaired, replaced reinstated and /or reconstructed by NIO and cost and all expenses

incurred therein, shall deducted from any sum due, or which becomes due to the Contractor.

26. The Contractor shall ensure his Personnel against any physical hazards involved in the execution of this Contract and will take special measures to protect his personnel employed, both in terms of proper physical safety measure as well as monitory protection through insurance policy etc., copy of insurance policy to be provided to NIO and NIO will not be responsible for any damage or injury to the personnel of the Contractor.

27. GRATUITY, COMMISION, GIFTS ETC: Any bribe, commission gifts or advantage given promised or offered by or on behalf of the Contractor, his partner, agent or servant or any one on their behalf to any officers, staff, representative or agent of the Organization in relation to this contract with the Organization will subject the Contractor to the Cancellation of this and all or any of the other contract as aforesaid and also the payment of an amount to be decided by the Director General of the Organization as damages, and the decision of the Director General of the Organization in this respect will be final, conclusive and binding on the Contractor
