DEFINITIONS

In this document, the following terms have the meanings ascribed below:

"Candidate" or "Candidate's Organisation" means the proposed Contractor, joint venture or Consortium;

"Candidate Contact Point" means the single point of contact for correspondence with the Candidate named as such in this PQQ;

"Competition" means the process by which the Contracting Authority will select the Mutual Joint Venture Partner;

"Consortium" means more than one organisation (which could include a joint venture) joining together for the purposes of being awarded the proposed public sector contract for the supply of all services (other than under sub-contracting arrangements);

"Contracting Authority" means the Cabinet Office;

"Contractor" means a single organisation offering to contract for the supply of all the services and equity (whether supported by sub-contract arrangements or otherwise);

"Industry Event" is the event to be held to provide further information on the Competition of services for the Mutual Joint Venture Partner in MyCSP on 3 June 2011 at 9am in Admiralty House, Westminster;

"List" means the list of Candidates selected following the PQQ evaluation process to enter the next phase of the Competition;

"Mutual Joint Venture Partner" means the private sector partner selected to participate in the joint venture of MyCSP structured as a mutual;

"OJEU Notice" has the meaning given to that term in Section 1;

"PQQ" means this pre-qualification questionnaire;

"Public Contracts Regulations 2006" means the Public Contracts Regulations 2006 (SI 2006 No. 5), as amended;

"Related Organisation" has the meaning given to that term in Section 1.5.4;

"Role" means the key areas of work which must be undertaken either by a Candidate, Related Organisation or sub-contractor, or procured by the Candidate, Related Organisation or sub-contractor in order to deliver the proposed services; and

"Sub Contractor" means a single organisation offering to contract for the supply of certain services for and on behalf of the Contractor.

1. PURPOSE OF THIS DOCUMENT

This Pre Qualification Questionnaire ("PQQ") relates to the Competition to select a Mutual Joint Venture Partner for MyCSP advertised in the OJEU, notice number 2011/S 101-166128 issued on 25 May 2011 and published on 26 May 2011 (the "OJEU Notice").

In order to evaluate Candidates, the Contracting Authority requires the information sought in this PQQ from each Candidate who wishes to proceed in the Competition.

This is an Accelerated Negotiated Procedure conducted in accordance with Directive 2004/18/EC, as implemented by the Public Contracts Regulations 2006. No more than four (4) Candidates will be invited to participate in the next stage of the Competition. This selection shall be based solely on responses to questions outlined in this PQQ.

1.1 Organisation of this document1

1.1.1 This document contains three further sections:

a) instructions for completion;

b) evaluation approach; and

c) the PQQ, including sub-sections for:

Candidate identity and confirmation of Related Organisations;

Sub-Contractor and/or Related Organisation Information;

acceptability (regulatory);

financial and economic standing; and

technical and professional ability.

1.2 Industry Event

1.2.1 The Contracting Authority will host an Industry Event on 3 June 2011 at 0900hrs at Admiralty House, Westminster, London. The event will consist of presentations on the business and the background to the requirements and further information on the Competition to select a Mutual Joint Venture Partner.

1.3 Instructions for completion

1.3.1 Responses to this PQQ must be clearly marked: "MyCSP Mutual Joint Venture Partner Competition – PQQ Response to OJEU ". Please provide six (6) paper copies of the completed PQQ together with one (1) electronic copy (PQQ in MS Word / attachments in PDF or MS Word format) on a USB memory stick to the address given in 1.8 in time to be received no later than the due date specified in that section 1.8.

1.3.2 The questions set out in the PQQ should be extracted and used to form the structure of your responses. Please include the text of each question in your response.

1.3.3 Candidates should answer all questions accurately and concisely. Where a question is not relevant to the Candidate's organisation, this should be indicated, with an explanation.

1.3.4 Information (other than pre-prepared material such as company reports and accounts) should be presented in the same formatting as the PQQ response, in the same order as the PQQ questions and should be clearly marked with the relevant question number as well as the name of the Candidate it refers to. Candidates should not provide general marketing brochures.

1.3.5 Questions should be answered in English.

1.3.6 Where financial information is quoted in figures other than pounds sterling, the sum should also be stated in pounds sterling. Exchange rates quoted in the Financial Times on 25 May 2011 should be used for all currency conversions and the exchange rates should be stated in your response.

1.3.7 If a Candidate fails to furnish the required information, does not make a satisfactory response to any question, or fails to supply documentation referred to in their responses, within the specified timescale, the Contracting Authority reserves the right to disqualify the Candidate from participating in the Competition.

1.3.8 The Contracting Authority expressly reserves the right to require a Candidate to provide additional information supplementing or clarifying any of the information provided in response to the requests set out in this PQQ.

1.4 Independent financial reports and references

1.4.1 The Contracting Authority reserves the right to seek independent financial and market advice to validate information declared or to assist in the evaluation of such information. As part of this validation the Contracting Authority reserves the right to review publicly available information about Candidates and, where applicable, Related Organisations and may take it into account as part of the financial evaluation, along with the information Candidates submit. The Contracting Authority also reserves the right to take into account reports from agencies such as Dunn and Bradstreet as part of the financial evaluation.

1.5 Contractors, Consortia, and Sub-Contractors

1.5.1 A Candidate may either be made up of a Contractor or a Consortium.

1.5.2 Where the Candidate will be a Contractor, this must be clearly stated within the PQQ response and the Candidate must confirm in its response to section 3.2 that, as the Contractor, it will accept full contractual responsibility for the provision of all services required from itself, and if relevant, any of its sub-contractors.

1.5.3 Entities that intend to bid together as a Consortium will be collectively referred to as a "Candidate". Where a Consortium is currently made up of more than one legal vehicle, the Consortium should provide to the Contracting Authority one name by which it wishes to be identified as during this Competition (as set out within section 3.2). One response to this PQQ is required per Candidate. Responses in respect of the Consortium must enable the Contracting Authority to assess the position of the Candidate and, therefore, questions which refer to the Candidate refer to each entity within the Consortium.

1.5.4 Where a Candidate seeks to rely on the capacities of other entities (e.g. other group members or proposed sub-contractors) ("Related Organisation") for the purpose of demonstrating aspects of economic and financial standing or technical or professional ability, the Candidate must:

a) make this clear in its response to this PQQ;

b) provide confirmation that an undertaking(s) from the entity or entities concerned that the relevant resources necessary to perform the contract will be made available; and

c) provide full details in response to the relevant parts of this PQQ confirming the relevant aspects of the Related Organisation's economic and financial standing and technical or professional ability.

1.5.5 Within this PQQ the Contracting Authority requires confirmation as to the relationship between the Candidate and each Related Organisation, as well as detailed information concerning the Related Organisations.

1.5.6 The Contracting Authority recognises that arrangements in relation to consortia and sub-contracting may be subject to future change. Candidates, should therefore respond in the light of such arrangements as they are currently envisaged.

1.5.7 Where organisations wish to collaborate to form a Consortium the Contracting Authority may require the Consortium to form a single legal entity either before entering into or as a term of the proposed contract advertised in the OJEU Notice.

1.5.8 Where there is material change in this Competition to the information provided within the Candidate's response to this PQQ, (including any change of Roles/responsibilities of Consortium members) the Candidate must inform the Contracting Authority in writing immediately. In these circumstances, the Contracting Authority reserves the right to take action including requiring the responses to this PQQ to be updated to reflect the revised arrangements or, where appropriate, to disqualify the proposed Candidate.

1.6 Queries about the Competition and clarification process

1.6.1 Any questions about this Competition should be submitted by e-mail to the contact stated in section 1.8 below using the template in Appendix C.

1.6.2 All queries must be received by the Contracting Authority before 17h00hrs on 17 June 2011. The Contracting Authority will not respond to queries submitted after the date and time specified.

1.6.3 Where the Contracting Authority considers any question or request for clarification to be of material significance, it may communicate both the query and the response, in a suitably anonymous form, to all interested parties who have responded. If a Candidate does not wish for a query or response to be disclosed to other Candidates it must communicate this and the reason why to the Contracting Authority with the query. The Contracting Authority will consider the request but reserves the right to disclose the query and/or the response to other Candidates.

1.6.4 All queries should be addressed to Margaret Vartanian and sent by email to: [email protected].

1.6.5 The Contracting Authority will not enter into detailed discussion of the requirements at this stage.

1.6.6 Following receipt and initial review of each Candidate's submitted PQQ the Contracting Authority may seek clarifications and supporting documentation from Candidates, if necessary. Where the Contracting Authority makes a request to a specific Candidate for additional information or points of clarification a Candidate will have two (2) working days to return the required information to the Contracting Authority. Where this information is incomplete, inaccurate or clarifications have not been forthcoming and the resulting gaps are material and make it impossible to carry out the evaluation according to the stated methodology the Contracting Authority may determine that this provides reasonable grounds on which to reject the Candidate from the Competition process. Where a Candidate asks for a longer period than two (2) working days this will be considered by the evaluation team in the light of the reasons given; and the team may, but is not required to, grant a longer period if it considers that this is reasonable and will not slow down the overall pre-qualification process.

1.7 Candidate Contact Point

1.7.1 Candidates have been asked (in question 3.1.5) to include a single point of contact in their organisation for all communication with the Contracting Authority for the duration of the PQQ process.

1.7.2 The Contracting Authority will only contact the Candidate via the nominated contact. The Candidate is responsible for ensuring that the Contracting Authority has accurate contact details for its nominated contact and must therefore undertake to notify the Contracting Authority of any changes relating to the contact promptly.

2. EVALUATION APPROACH

2.1 In accordance with Regulation 23(1) of the Public Contracts Regulations 2006, Candidates who do not meet the minimum requirements as set out within this PQQ will be disqualified. Candidates' eligibility will be assessed through their responses to the PQQ. The Contracting Authority will consider the circumstances around any issue brought to its attention in respect of Regulation 23(4) and retains its discretion to disqualify any Candidate in respect of this.

2.2 Candidates that meet these minimum regulatory requirements will be evaluated against the minimum thresholds in respect of financial and economic standing. For those Candidates that pass the financial and economic standing evaluation, the technical or professional ability evaluation is based on weighted scores and each specific attribute category will contribute to a maximum total weighting of 100%. This will produce a ranking of all remaining Candidates. A List of the highest ranked Candidates will be subsequently invited to participate in the negotiated dialogue.

2.3 Evaluation Scoring - The table below sets out for each of the two stages of PQQ evaluation the preferred attributes being sought from a successful partner with the correspondingly 'pass/fail' judgement or weighting, as applicable. The sub-criteria and weighting for each question that makes up each attribute shown in the table for the Technical and Professional Ability are provided alongside each relevant question in the Pre-qualification Questionnaire below.

3.8.3 – Transformation

Explain your experience of transformation in your business of both IT systems and business processes over the past 5 years. If relevant you should focus on improved in-house operations that you managed as a contract and where relevant, contributed to a transformation in a joint venture or partnership.

Score Criteria:Maximum points will be awarded to Candidates that can demonstrate successful transformation; ability to integrate numerous potentially disparate systems and the management of transition of capabilities across IT platforms and the challenges of business process change and effective people management; demonstrate quantifiable and qualitative improvements in mandatory service requirements; experience in location rationalisation; effective use of IT; and effective business process re-engineering.

3.8.4 – Culture

Explain how during periods of growth or during a joint venture or partnership you have worked with the management teams and supported them on the transformation process including how you have developed, managed and maintained staff values and a positive culture in the whole organisation. Please include any experience in any joint venture, partnership or staff mutual within the last 5 years and any examples of where staff have transferred from the public to private sector in your organisations.

APPENDIX A – DISCLAIMER

This Pre-Qualification Questionnaire ("PQQ") is being made available by the Cabinet Office ("Contracting Authority") on behalf of MyCSP to parties expressing an interest in competing to become the Mutual Joint Venture Partner in MyCSP.

The Cabinet Office reserves the right to amend any information or any requirements contained in this or any subsequent documentation issued in connection with the Competition. Candidates should form their own conclusions about the methods and resources needed to meet these requirements. In particular, neither the Contracting Authority nor any of its advisers accept liability for statements, representations, writings, dialogue or understandings in connection with this Competition made by the Contracting Authority (whether directly or by its agents or representatives), except in respect of any fraudulent misrepresentation made by it.

Freedom of Information Act

The Contracting Authority is subject to the Freedom of Information Act 2000. Accordingly, if a Candidate considers that any of the information included in its response to the PQQ is commercially sensitive, the Candidate should identify it and detail: (i) (in broad terms) what harm may result from disclosure if a request is received; and (ii) the time period applicable to that commercial sensitivity.

However, it should be noted that even where a Candidate has indicated that information is commercially sensitive, the Contracting Authority may be required to disclose it under the Act. The Contracting Authority shall not be deemed to have accepted any duty of confidence by virtue of receipt of any material marked 'confidential' or equivalent.

APPENDIX B – SUMMARY OF INELIGIBILITY CONDITIONS PROVIDED BY REGULATION 23 OF THE PUBLIC CONTRACTS REGULATIONS 2006

Criteria for the rejection of economic operators

23. (1) Subject to paragraph (2), a contracting authority shall treat as ineligible and shall not select an economic operator in accordance with these Regulations if the contracting authority has actual knowledge that the economic operator or its directors or any other person who has powers of representation, decision or control of the economic operator has been convicted of any of the following offences:

(a) conspiracy within the meaning of section 1 of the Criminal Law Act 1977 where that conspiracy relates to participation in a criminal organisation as defined in Article 2(1) of Council Joint Action 98/733/JHA;

(b) corruption within the meaning of section 1 of the Public Bodies Corrupt Practices Act 1889 or section 1 of the Prevention of Corruption Act 1906;

(c) the offence of bribery;

(d) fraud, where the offence relates to fraud affecting the financial interests of the European Communities as defined by Article 1 of the Convention relating to the protection of the financial interests of the European Union, within the meaning of-

(i) the offence of cheating the Revenue;

(ii) the offence of conspiracy to defraud;

(iii) fraud or theft within the meaning of the Theft Act 1968 and the Theft Act 1978;

(iv) fraudulent trading within the meaning of section 458 of the Companies Act 1985;

(v) defrauding the Customs within the meaning of the Customs and Excise Management Act 1979 and the Value Added Tax Act 1994;

(vi) an offence in connection with taxation in the European Community within the meaning of section 71 of the Criminal Justice Act 1993; or

(vii) destroying, defacing or concealing of documents or procuring the extension of a valuable security within the meaning of section 20 of the Theft Act 1968;

(e) money laundering within the meaning of the Money Laundering Regulations 2003; or

(f) any other offence within the meaning of Article 45(1) of the Public Sector Directive as defined by the national law of any relevant State.

(2) In any case where an economic operator or its directors or any other person who has powers of representation, decision or control has been convicted of an offence described in paragraph (1), a contracting authority may disregard the prohibition described there if it is satisfied that there are overriding requirements in the general interest which justify doing so in relation to that economic operator.

(3) A contracting authority may apply to the relevant competent authority to obtain further information regarding the economic operator and in particular details of convictions of the offences listed in paragraph (1) if it considers it needs such information to decide on any exclusion referred to in that paragraph.

(4) A contracting authority may treat an economic operator as ineligible or decide not to select an economic operator in accordance with these Regulations on one or more of the following grounds, namely that the economic operator-

(a) being an individual is bankrupt or has had a receiving order or administration order or bankruptcy restrictions order made against him or has made any composition or arrangement with or for the benefit of his creditors or has made any conveyance or assignment for the benefit of his creditors or appears unable to pay, or to have no reasonable prospect of being able to pay, a debt within the meaning of section 268 of the Insolvency Act 1986, or article 242 of the Insolvency (Northern Ireland) Order 1989, or in Scotland has granted a trust deed for creditors or become otherwise apparently insolvent, or is the subject of a petition presented for sequestration of his estate, or is the subject of any similar procedure under the law of any other state;

(b) being a partnership constituted under Scots law has granted a trust deed or become otherwise apparently insolvent, or is the subject of a petition presented for sequestration of its estate;

(c) being a company or any other entity within the meaning of section 255 of the Enterprise Act 2002 has passed a resolution or is the subject of an order by the court for the company's winding up otherwise than for the purpose of bona fide reconstruction or amalgamation, or has had a receiver, manager or administrator on behalf of a creditor appointed in respect of the company's business or any part thereof or is the subject of the above procedures or is the subject of similar procedures under the law of any other state;

(d) has been convicted of a criminal offence relating to the conduct of his business or profession;

(e) has committed an act of grave misconduct in the course of his business or profession;

(f) has not fulfilled obligations relating to the payment of social security contributions under the law of any part of the United Kingdom or of the relevant State in which the economic operator is established;

(g) has not fulfilled obligations relating to the payment of taxes under the law of any part of the United Kingdom or of the relevant State in which the economic operator is established;

(h) is guilty of serious misrepresentation in providing any information required of him under this regulation;

(i) in relation to procedures for the award of a public services contract, is not licensed in the relevant State in which he is established or is not a member of an organisation in that relevant State when the law of that relevant State prohibits the provision of the services to be provided under the contract by a person who is not so licensed or who is not such a member; or

(j) subject to paragraphs (7), (8) and (9), is not registered on the professional or trade register of the relevant State specified in Schedule 6 in which he is established under conditions laid down by that State.

(5) The contracting authority may require an economic operator to provide such information as it considers it needs to make the evaluation in accordance with paragraphs (1) and (4) except that it shall accept as conclusive evidence that an economic operator does not fall within the grounds specified in paragraphs (1) and (4)(a), (b), (c), (d), (f) or (g) if that economic operator provides to the contracting authority-

(a) in relation to the grounds specified in paragraphs (1) and (4)(a), (b), (c) or (d)-

(i) an extract from the judicial record; or

(ii) in a relevant State which does not maintain such a judicial record, a document issued by the relevant judicial or administrative authority;

(b) in relation to the grounds specified in paragraphs (4)(f) or (g), a certificate issued by the relevant competent authority; and

(c) in a relevant State where the documentary evidence specified in paragraphs (5)(a) and (b) is not issued in relation to one of the grounds specified in paragraphs (1),(4)(a), (b), (c), (d), (f) or (g), a declaration on oath made by the economic operator before the relevant judicial, administrative or competent authority or a relevant notary public or Commissioner for oaths.

(6) In this regulation, "relevant" in relation to a judicial, administrative or competent authority, notary public or Commissioner for oaths means an authority designated by, or a notary public or Commissioner for oaths in the relevant State in which the economic operator is established.

(7) An economic operator established in the United Kingdom or Ireland shall be treated as registered on the professional or trade register for the purposes of paragraph (4)(j) if the economic operator -

(a) is established in Ireland and is certified as registered with the Registrar of Friendly Societies; or

(b) is established in either State and is either -

(i) certified as incorporated by their respective Registrar of Companies;

or

(ii) is certified as having declared on oath that it is carrying on business in the trade in question in the State in which it is established at a specific place of business and under a specific trading name.

(8) In relation to procedures for the award of a public services contract, an economic operator established in Greece shall be treated as registered on the professional or trade register for the purposes of paragraph (4)(j)-

(a) when the services to be provided under the contract are specified in category 8 of Schedule 3 and when Greek legislation requires persons who provide those services to be registered on the professional register, if it is registered on that register; and

(b) in any other case, in accordance with paragraph (9).

(9) An economic operator established in a relevant State, other than the United Kingdom or Ireland, which either has an equivalent professional or trade register which is not listed in Schedule 6 or which does not have an equivalent professional or trade register shall be treated as registered on a professional or trade register for the purposes of paragraph (4)(j) on production of either a certificate that he is registered on the equivalent professional or trade register or where no such register exists, a declaration on oath, or in a relevant State which does not provide for a declaration on oath a solemn declaration, made by the economic operator before the relevant judicial, administrative or competent authority or a relevant notary public or Commissioner for oaths, that he exercises the particular profession or trade.
