Matthew Hudson is an entrepreneurial lawyer with over 25 years of Private Equity experience, both as a lawyer and as an
investor. Matthew is a well-known industry figure, regularly speaks on new developments concerning the Alternative Assets
industries, and has authored the leading text of “Funds: Private Equity, Hedge and All Core Structures”, published by Wiley
Finance. Matthew has helped build and manage four of the major Alternative Asset law firms:
• Founder of MJ Hudson

• Re-established the O’Melveny & Myers London office, and chaired the European Private Equity and M&A Practices

Eamon Devlin, Managing Partner of MJ Hudson, advises on equity investments and investment funds, with experience in
M&A, spin-outs, secondaries, co-investments, GP restructurings and formation of investment funds. His clients include
Aberdeen Asset Management, Access Capital Partners, Adams Street Capital, ADVEQ, aeris, BACKED VC, DN Capital,
Graphite Capital, LGT Capital Partners, Octopus Investments, TLG Capital and Velos Partners. Recent transactions include:

Peter joined the firm in January 2014 and is the firm’s Chief Financial Officer. He is responsible providing financial strategic
input to the firm, as well as financial management and compliance with relevant legislation and regulations. Peter is a Fellow
of the Institute of Chartered Accountants in England and Wales, an Associate of the Chartered Insurance Institute and
qualified Prince 2 Practitioner (Project Management). Peter has held numerous directorships including :
• Finance Director from 2009 to 2014 of Mayo Wynne Baxter LLP, a regional legal services firm based in East Sussex with
5 offices and 200 partners and staff
• Various senior management roles at Hastings Insurance Services Limited (Hastings Direct) from 1997 to 2009, including
Group Finance Director and Chief Executive. The company employed 1,500 staff in 3 contact centres in the UK with over
400,000 policyholders. Peter oversaw the sale of the company and group to Insurance Australia Group in 2006
• Founding chairman of Advantage Insurance Company (Gibraltar)

Benjamin Aller, the resident partner in MJ Hudson’s Paris office, has more than 20 years’ experience advising on private
investment funds and related transactions.
He has acted on the formation of a wide range of vehicles including venture capital funds, buyout funds, mezzanine funds,
hedge funds, private equity real estate funds, infrastructure funds and funds of funds. He has advised on several hundred
fund of fund investments and routinely acts for buyers or sellers in secondary transactions involving fund investments.
Benjamin also has extensive experience advising asset managers on financial regulatory matters and the structuring of
carried interest incentive schemes. Benjamin’s experience covers funds investing around the world, including Europe, North
America, the Middle East, India, East Asia, Africa and Latin America. He is equally at ease advising on limited partnerships,
corporate fund vehicles and specialised fund structures. Benjamin is recognised as a leading expert in private funds in the
latest editions of Chambers Global, Legal 500 and the International Who’s Who of Business Lawyers. He served on the
Private Funds Subcommittee of the International Bar Association (IBA), as well as the Legal and Regulatory Council of the
Emerging Markets Private Equity Association (EMPEA). He has represented France as member of the Tax and Legal

Ted Craig leads MJ Hudson’s Secondaries team and advises clients on all aspects of private equity secondary
transactions, including indirect portfolio acquisitions and disposals, secondary directs, leveraged secondaries and fund
restructurings and other liquidity solutions. Ted also has a broad private fund formation practice, acting for fund
managers on the establishment of private equity, venture capital, infrastructure and other closed ended funds and funds
of funds and for investors on their primary investments into such funds. Recent transactions include:
• Advising Gulf Investment Corporation on the disposal of a portfolio of 40 private equity fund interests to Deutsche
Bank’s secondaries fund (2016)
• Advising Aberdeen Asset Management on both private fund interest disposals and acquisitions (2015 / 2016)
• Advising Access Capital Partners, Altamar Capital and Idinvest on their investments into the restructuring of two
private equity funds managed by Danish buyout firm Odin Equity Partners, now BWB Partners (2015)

Saloni Joshi has more than 18 years’ experience advising on private investment funds and private equity related
transactions. Saloni advises on a broad range of private equity transactions, including primary investments, re-ups, co-
investments, secondary acquisitions and disposals, as well as advising on partnership and corporate law matters more
generally.
Saloni has acted for numerous international fund sponsors pursuing strategies in a variety of markets, including buyout,
venture capital, infrastructure, mezzanine, real estate and fund of funds. She has also acted for many of Europe’s leading
institutional investors in private equity funds, as well as representing investment managers, consultants, local government
bodies, pension plans, family offices and high-net worths. Saloni has experience building and developing the private equity

Karma heads up the venture capital practice at MJ Hudson, having joined the firm in September 2013. Karma has extensive
legal and commercial experience advising clients across the venture spectrum. This includes advising new managers on
launching venture capital funds, both onshore and offshore. Karma has also developed a strong reputation for advising PE
and venture capital managers, angel networks and HNWIs as well as corporates and high-growth start-up companies in the
technology and life sciences sectors on a wide variety of matters including loan and equity funding rounds,
divestments/exits, joint ventures and re-organisations. His recent transactions include:
• Advising Entrepreneur First on the launch of two UK funds to enable them to scale both in Europe and Asia as well as
providing general advice in relation to their management vehicles (2015-2016)
• Advising Isomer Capital on the establishment of a Luxembourg-based venture capital fund-of-funds (July 2015)
• Advising Spring Partners on the launch of two related Luxembourg Funds (November 2015)
Karma joined from CMS, having spent 12 years there. During his time at CMS, Karma completed secondments with AIG,
Chartis and Zurich Financial Services. Prior to that, Karma completed the GDL and LPC at the BPP Law School, having
obtained a degree in Economics and International Studies from the University of Warwick.

Martin is widely recognised as a leading fund management and financial services regulatory lawyer with over 25 years
experience. Martin leads the firm’s hedge fund and regulatory practice but his practice is much broader encompassing all
forms of alternative investment funds and acting, inter alia, for proprietary traders, brokers and dealers. His recent deals
and accomplishments include:
• Launch of ‘seed capital/accelerator’ Luxembourg hedge fund for US client including seed capital agreement with seed

Ben Watford

Ben’s practice focuses on a wide range of alternative investment fund law. He works with established market leading
managers and also guides emerging managers through establishment to launch, alongside experience in restructuring and
liquidating funds. Though his wide experience Ben is structurally and jurisdictionally agnostic and has experience across a
full spectrum of fund jurisdictions including Cayman, Luxembourg, Ireland, the US, Channel Islands, Malta, Gibraltar, the
UAE, Africa, Russia and the far East. Ben has worked with fund managers, family offices, sovereign investors, and
entrepreneurs across a full spectrum of asset classes including credit, event, special situations, global macro, emerging
markets, long/short, quant, multi strategy, fund of funds, commodities and real estate. Recent deals include:
• Originating and lead partner advising Westbrook on the rapid establishment of a fund to invest in oil
• Advising McLean Advisory on the launch of the McLean Systematic Master Fund, a new Cayman Islands hedge fund
focusing on short term trades on the DAX Index
Ben also has considerable experience in regulatory matters including the EU Alternative Investment Fund managers
Directive, the Financial Services and Markets Act and FCA authorisations and related regulatory matters; and banking and
capital markets issues including structured finance, securitisations, fixed income, refinancings and derivatives.

Shervin Shameli is an investment funds lawyer with particular experience advising fund managers on the establishment,
structuring and operation of UK and international investment funds and carried interest arrangements. Shervin also has
extensive experience advising institutional investors making investments into and co-investments alongside private
investment funds, with current clients including Adams Street Partners, LGT Capital Partners, Aberdeen Fund Managers
and ADVEQ. Shervin joined MJ Hudson in April 2015. A select list of Shervin’s projects including advising:
• Advising Octopus Investments on the raising of its first institutional investor fund, which closed in July 2015 with total
commitments of $140m
• Advising a private equity firm in respect of the establishment of a Guernsey based private equity fund, which held first
closing in November 2015 with commitments of €40.8m
• Advising a venture capital firm on the raising of its first early stage Luxembourg based venture capital fund, with current

Jonathan was one of the two founders of VerrasLaw, a specialist financial services law firm established in 2008, which
joined the MJH Group in September 2014. Jonathan has worked for over two decades in the investment funds and
corporate/commercial practice areas. He has extensive expertise structuring specialist alternative, venture capital and
real estate investment funds, and advising on their regulatory position and ongoing operations. He has a specialist
practice in financial services law matters, and advises hedge, private equity and other fund managers, banks and other
investment firms on a wide range of regulatory and related matters including buyouts and structuring of financial
services groups, structuring and marketing funds, derivatives and other investment products, authorisation and ongoing
compliance requirements, cross-border business, regulatory capital requirements, agreements with customers, clearers,
custodians and other service providers and outsourcing arrangements. Jonathan is also a director of Verras Professional
Services Limited. Stand-out matters on which Jonathan has advised most recently include:
• Structural and regulatory advice on the establishment of a number of Jersey private equity and hedge funds
• All matters relating to the sale of the whole business of an internet retailer

Per Troen
Partner
Per Troen is the resident Zurich Partner for MJ Hudson. He is a Danish and English qualified lawyer with particular expertise
in corporate finance and Family Office services. He advises a number of prominent families on corporate and real estate
transactions from his base in Switzerland. He has been with MJ Hudson since 1 February 2015. His recent deals include:
• Nordlux Algae International Ltd – The world’s largest and most sustainable bulk producer of microalgae ingredients. Per
has been involved with raising seed and growth capital. The matter is still ongoing
• Project Shield – The Clients have entered into discussions in relation to a joint venture with certain third party investors,
with the objective of managing, advising and establishing a number of private and regulated investment funds. The matter
is still ongoing
Having qualified as a Danish Advokat in 1984, he travelled to the UK to study at the LSE and, subsequently, to found
Plesner, the first Danish law firm in London. He qualified as an English solicitor in 1992 and from 1997-2000 was an Equity
Partner of Osborne Clarke. Per has also founded Abbott, King and Troen, the first multinational partnership registered in
England as well as Corren Troen, the Anglo-Nordic law firm.
Matthew Wrigley

Matthew Wrigley is a specialist in the creation and operation of global investment funds. As a manager, he has worked for
some of the fastest-growing, and largest, asset managers in the world. As an adviser, he has worked for the largest global
law firm, as well as the largest offshore legal firm, before establishing the Guernsey office of MJ Hudson in early 2015. His
clients include a diverse range of both limited partners and general partners. His recent experience includes:
• Advising a sovereign wealth fund on its investment program through Guernsey (2015)
• Advising TCA Fund Management Group on the establishment of its flagship private equity fund (2016)
• Advising a large LSE-listed Guernsey company on a range of deals, including a convertible bond issue and a series of
M&A transactions, totalling in excess of £200 million (2015)
• Advising Duke Royalty Limited on the creation of the first listed royalty business in the European market, and its listing on
AIM (2015)
Matthew holds a Bachelor of Laws from the University of Queensland, Australia, and is a Solicitor of the Supreme Court of
Queensland. His career has included senior roles in Australia, Singapore, Vietnam, the US and, now, the Channel Islands.
Matthew is also a director on the general partner boards of iCON Infrastructure, TCA Fund Management Group and Tower
Gate Capital.

Myles Flint
Counsel
Myles joined the firm in November 2013 from M W Cornish & Co with Martin Cornish to assist in the provision of the firm’s
hedge fund practice. Myles is an English qualified lawyer with in excess of 20 years substantial multi-jurisdictional private
practice and in house experience, the past 15 of which have been spent in the funds and regulatory spaces in various
jurisdictions. He provides advice across many areas including investment funds (UK and offshore), hedge funds/funds of
hedge funds, general regulatory and corporate governance. His recent achievements include:
• Advising on a Jersey expert fund whose focus was convertible loan notes
• Advising on several hedge funds, single and master feeder (Cayman) with varying strategies
• Advising on AIFMD related agreements, marketing advice, prospectus revisions, AIFMD Supplements and depositary
agreements
Myles was educated at St Dunstan’s College, London and Oxford Brookes University where he obtained a joint BA (Hons) in
Law and French. Myles has also been admitted as a Barrister & Commissioner for Oaths in Bermuda (2008) and as an
Attorney at Law in the British West Indies (1996). He has also acted as Sole General Counsel at a niche London investment
house responsible for in excess of £20bn of investments and all related matters.
Charlene was the first employee of the Firm, joining Matthew Hudson as an Associate to launch the Firm in 2010. She has
experience on various aspects of private equity transactions, including fund formation, secondaries and corporate/M&A

Mark Silveira is an investment funds lawyer. He has extensive experience acting for both managers and institutional
