PRESIDENT/CEO’S REPORT 1. The SEC Financial and Statistical report for August 2019 was reviewed and is

attached to and made a part of the Minutes. 2. The Board was provided information regarding cybersecurity events during the

month of August 2019. 3. The Institute of Electrical & Electronics Engineers (IEEE) outage data and safety

report for August 2019 were reviewed in detail:

IEEE Outage Data a. System Average Interruption Duration Index (SAIDI) and System Average

Interruption Frequency Index (SAIFI) were above historical values for the month.

b. Customer Average Interruption Duration Index (CAIDI) was below historical value for the month.

c. There were no power supply outages during the month. d. Dominion Power (DE) had two momentary supply outages during the

month at Gladys and Sycamore substations due to lightning. e. SEC had one momentary outage at Cherry Hill substation due to a bird. f. There were no Major Event days in August. g. Reliability performance in August was driven by thunderstorm events on

the 19th & 22nd. The remainder of the month was calm with minimal outage activity.

Safety Report a. There were no lost-time injuries in August. b. As of August 31st, employees have worked 488 days without a lost time

injury. c. The Director of Safety completed the VDOT Intermediate Traffic Safety

course which will allow him to provide training for our employees to be certified in Basic Work Zone safety.

4. Operations Update: a. New service activity was up 19% for the month. b. Outage activity (minutes) with major event days removed were in line with

historical data: Central – 163 Eastern – 53 Northern – 71 Western – 122

c. August outage causes were affected primarily by isolated thunderstorms producing damaging winds and lightning:

Weather 34% or 139 outages; YTD 585 outages Trees 33% or 134 outages; YTD 1,446 outages Fault/Failure 9% or 37 outages; YTD 277 outages Animals 8% or 34 outages; YTD 182 outages Unknown 6% or 24 outages; YTD 211 outages Decay/Age 4% or 18 outages; YTD 82 outages Maintenance/Planned 3% or 14 outages; YTD 82 outages

e. Outages by District: Central 30% (167 outages affecting 4,923 members) Eastern 20% (53 outages affecting 2,573 members) Northern 14% (71 outages affecting 1,401 members) Western 40% (122 outages affecting 7,173 members)

f. August SAIDI switching savings: Realized 20.0 minutes (62%) Saved by automation (SCADA) switching 10.8 minutes (33%) Saved by manual switching 1.7 minutes (5%)

g. SAIDI per District: Central 8.98 minutes in August; YTD 71.2 minutes Eastern 2.98 minutes in August; YTD 45.4 minutes Northern 2.47 minutes in August; YTD 20.4 minutes Western 5.59 minutes in August; YTD 88.0 minutes

5. Annual Meeting Preparation and Update: a. Received 1,719 proxies (3.68%) b. Crewe Volunteer Fire Department will be cooking the chicken

the Business meeting h. Sign language interpreter for business meeting and raffle drawings i. Engineering, Safety and Member & Public Relations will now be

combined into one larger tent j. Serving of the meals will begin once the business meeting is complete

6. Events on the horizon: a. Day in the Life of a Lineman Program b. Southside Opportunity Fund (SOF) Skeet & Trap Classic c. SEC Employee Christmas Banquet with SOF Silent Auction

7. Powhatan County has requested the Cooperative reconsider providing Broadband for SEC members. Management will draft a response to their request.

8. The Town of Blackstone has had an individual contact the Cooperative requesting installation of a three-phase line to his property in Blackstone. The Cooperative has provided a variety of solutions in accordance with our filed Terms & Conditions previously and continues to offer these same options.

NEW BUSINESS 1. 2019 NRECA Group Benefits Renewal:

a. Renewal of dental, basic life, long-term disability, Directors’ AD&D & business travel accident insurance. Dental – no increase Basic Life – increase 4.8% due to aging workforce. No change in long-term disability and directors’ accidental death &

dismemberment insurance Business Travel Accident Insurance – increase 24.1% Estimated total annual cost $437,000

b. NRECA Retirement Security Plan renewal: Plan A (legacy plan) – increase of 2.0% Plan B (new hires) – increase of 1.9% Overall annual increase 2019 projected at $47,000

c. Overall NRECA RS Plan costs increased 2%

d. SEC RS Plan A & B increased additional amount due to increase in Average Age of plan participant.

e. Total projected RS Plan annual cost for 2020 is $3.2 million f. Recommendation to continue other group benefits, including dental,

basic life, long-term disability, directors’ AD&D, business travel accident insurances and the retirement security plan.

On motion made and seconded: “NRECA group benefits will be renewed as presented.”

MOTION CARRIED 2. Power Requirements Study (PRS) update:

a. PRS is an annual projection of members, peak loads and energy sales; forecasts 15 years into the future and is required by Rural Utilities Service (RUS).

b. Old Dominion Electric Cooperative (ODEC) and Cooperative Staff prepare the study based on the Form 7 and other load data on industrial and commercial consumers. ODEC uses economic and weather models to forecast future loads based on historical data.

c. Used for load projections in the Long-Range Plan and Two-Year Work Plan. Also used for financial forecasts, loan applications and annual budgets. At the State level, it is used for input for future transmission and generation project justification.

d. Projected moderate residential growth. e. Total kWh projections have been increased indicating usage growth. f. System demand is forecasted to increase steadily at a lower rate;

projection is skewed by large “Polar Vortex” type events in 2014, 2015 & 2018.

g. Engineering will use the PRS to build the Long-Range Plan being developed now and for next year’s Construction Work Plan.

On motion made and seconded: “The 2019 – 2033 Power Requirements Study is approved as

presented, along with the Resolution for the same, which will be attached to and made a part of the minutes.”

MOTION CARRIED 3. Southside Virginia Community College (SVCC) & Nottoway County Resolutions

of Appreciation: a. The Cooperative would like to recognize SVCC and Nottoway County

for their contributions to and success of the Powerline Worker Training School.

b. To thank SVCC for their development and support of the first Powerline Worker Program (PWP) offered in Virginia

c. To thank Nottoway for their support of the PWP by providing affordable housing to all participants and matching funds which greatly contribute to the success of the program

On motion made and seconded: “The Resolutions of Appreciation to SVCC and Nottoway County are

approved as presented. The resolutions will be attached to and made a part of the minutes.”

MOTION CARRIED 4. Virginia, Maryland, Delaware Association of Electric Cooperatives (VMDAEC)

has requested nominations for the Unsung Virginian Award, Distinguished Friend of Electric Cooperatives Award and The Good Samaritan Award. ACTION: Contact Chris Marston for any nomination suggestions.

UNFINISHED BUSINESS A portion of the 2018 Key Ratio Trend Analysis (KRTA) Data was presented

to the Board. This report is published annually by the National Rural Utilities Cooperative Finance Corporation (CFC) and it tracks 145 financial and operational ratios for 813 participating electric distribution cooperatives nationwide and 15 cooperatives in the SEC state grouping over the previous 10 years. The Cooperative continues to show strength and improvement in all areas of the KRTA.

ACTION: The remainder of the presentation will be tabled until next month. LEGAL REPORT 1. The O’Connell appeal has been filed with the Supreme Court and oral arguments

will be heard once scheduled. If an appeal is not granted, the case will be dismissed.

2. Working with all clerk’s offices in the Cooperative’s service territories to standardize filing fees.

3. Meeting with expert the witness next week to prepare for the S&C Electric lawsuit.

4. C&E Committee members for the Annual Meeting have been confirmed. Francis Montague will be unable to attend due to a conflict in her schedule.

DIRECTOR COMMENTS/CONCERNS & ADJOURNMENT Kristie Martin-Wallace asked that the Cooperative consider applying for

matching grant funds through CoBank for The Benneche Family Center at Holiday

Lake.
