Missionupdates:Commissioners

Donna Robertson (Equipping Commission; RittmanMilton Presbyterian Church) announced that the Equipping

Commissionoffersnotonlythepresbytery-widetrainingsofferedthroughouttheyearandatstatedmeetings,but

alsocanprovidetrainingsforyourparticularchurch.SessionscanapproachtheEquippingCommissionwiththeir

needsandtheywillfindtherightpeopletohelpserveyourchurch. Differenttypesofretreatsarealsoavailable

fromtheRetreatMinistryMissionGroup. Nextsummerwillfeatureafollow-upseminartothissummer’s“Toxic

Charity” entitled “CharityDetox,”where teams can comewith theirprojects andexperience aworkshop setting

withtrainingthemorningandhands-onapplicationintheafternoon.Detailswillbeforthcominginthenewyear.

Tim Pollock (Chair of Council; Bloomfield Presbyterian Church; Big Fish) announced that the Big Fish Artists’

Worshipping Community continues to have an active presence within the presbytery. Their first year saw 12

artisticmissionengagements throughoutOhio. Theyarepublishing their firstwork, aplayentitled “Remember

How He Told You,” by Rachel Pollock, in February 2016. This play is a short drama (inspired by the New

TestamentGospelofLuke)where,amidstpoliticalupheaval,fiveJewishwomenjourneytoanointthebodyofthe

crucifiedYeshua(JesusofNazareth)forburialanduncoveramysterious,newworld.Thisplaywasperformedat

four churches this past year, including Barlow and Pioneer Presbyterian Churches. The play includes the full

script,aLentenBiblestudywrittenbyCandiceMcMath(MissionCoordinator,MuskingumValleyPresbytery)and

other resources for learningmore about Jewish customs as they relate to the story of the Resurrection. More

detailswillbeavailableinthenewyear.

MikeParker(Moderator;AshlandFirstPresbyterianChurch)announcedanewresource fromElderBobBeerat

AshlandFirst,abookentitled“EssentialPracticesoftheFaith.”Bookmarksareavailablewithlinkstopurchasing

thebook,whichcanhelpthosewhodesiretogodeeperwiththeLord,butdon’tknowhow,throughsixspiritual

disciplinesinanacceleratedlearningmodel.

ReportofCouncil TimPollock(Bloomfield,ChairofCouncil)

Council has been actively discerning “What is the role of an EP” during this time of transition. The day-to-day

business of the presbytery is being handled byMission Center staff aswell as the chair of Council, the chair of

ParishElders,andtheStatedClerk.Wearelookingforwardtowhatiscominginthenextfewmonths.InJanuary

2016,Councilwillbesendingoutasurveytothepresbyteryfortheirinputintothisprocess.

AlsoinJanuary2016,CouncilmemberswillmeetwithSynodoftheCovenantExecutiveRaafatZakiandourSynod

Commissioners,Rev.DriesCoetzee(WoosterWestminsterPresbyterianChurch)andElderJohnEstill(Millersburg

FirstPresbyterianChurch)forSynodinputintothetransitionprocess.

Councilcontinuestoanalyzethefinancestoseeifweareinapositiontoaffordafull-timeGeneralPresbyter.The

BylawsandStandingRulesarebeingreviewedsothattheir final formcanbepresentedinFebruary2016. The

goal for Council is transparency throughout the entire transition process, and they encourage members of

presbyterytocontactCouncilwithquestionsastheyarise.

CouncilreceivedarequestfromCalvaryPresbyterianChurchtoapprovethesaleoftheirbuildingtoHeartbeatsof

theCity,Inc.Currently,CalvaryisnestinginNorthminsterPresbyterianChurch,anarrangementwhichisworking

well forbothparties. Calvarycontinuestodotheirworkandmission. CalvaryElderRalphSchreiberpresented

that theproceeds from the salewouldbe invested innewcovenant funds,newchurchbuilding funds, andwith

Presbyterychurchfunctions.

MOTION:ToapprovethesaleofCalvaryPresbyterianChurchtoHeartbeatstotheCity,Inc.,for$149,900,underthetermsandconditionsspecifiedintheCommercialRealEstatePurchaseAgreement(appendix2).

BobMeyer,NominatingCommitteeChair,wasexcusedfromthemeetingduetoafamilyemergency.TimPollock

presentedtherecommendednominationsfromthecommitteeforvote(detailedontheactionitemsandreports

includedinthedocketinappendix1).Therewerenonominationsfromthefloor.

MOTION: To approve the following people to be elected to their respective positions as indicated inAppendix 1, as amended to include the addition of Bob Porter (elder, Massillon Central Presbyterian

Church) to serve on the Nominating Committee / Ministry Discernment Team and the addition of Rev.

Burnetta Armour (Millersburg First) as Moderator of Muskingum Valley Presbytery for 2016.– Motion

passesbyvoicevote.

The2016TrienniumGOTeamhasraised$2,000forabustoTriennium.TheyaskedCouncilfor$1,000towards

thebus.AsTrienniumhasadesignatedfundwithinourbudgetandwehavebeenreceivingpledgesforTriennium,

Councilapprovedtheirrequest.DavePuterbaugh(Elder,AllianceFirstUnitedPresbyterianChurch)hasagreedto

serve asRegistrar forTriennium. Davehas attended5Trienniums. The2016YouthTrienniumwill beheld at

PurdueUniversity,Indiana,fromJuly19-23.Youthmustbehigh-schoolagetoattend.Thecostis$505.Davewill

becallingthosewhohaveparticipatedinthepast(30youthand6adultsadvisors),andTrienniumwillhaveatable

attheFebruary2016statedmeetingforameet-and-greetandansweringofquestions.

CandiceMcMath (Mission Coordinator) asked Big Fish for support in attending the GlenWorkshop, a Christian

artists’retreatinSantaFe,NewMexico,July31-August6,2016.BigFishandothermembersofMuskingumValley

Presbyteryhave agreed to this request andare acceptingpledges towards the tuition and transportation to the

retreat.

ReportofAdministration JoanBrode(ChairofAdministration,Treasurer)

TheleasewithPleasantHillOutdoorCenterisnowtothefinaldocumentstage.Itwillbeexecutedandrecorded

withinthecomingmonths(hopefullyDecember2015).

The2CentsaMealgrantprogramhad5applicationsand3grantswereawardedthisyear.Therewaslessmoney

tofundthegrantsduetotheswitchtoafiscalyearrunningJuly1–June30.Therewillhopefullybemoremoney

availableforthenextcycleofgrants in2016,andthecontinuedfocusofgrantsthatwillbefundedwillbethose

whoaimfor“givingahandup,notahandout.”The2CentsaMealgrantswereawardedasfollows:

1. Beverly Presbyterian Church, $250 for Elementary School backpack food program; award accepted by

PastorTomO’ConnorandElderDianeTuten.

2. Massillon Central Presbyterian Church, $500 for Door Ministry that aims to help those with fuel/food

needs.PastorLarryLalamaacceptedthegrant.

3. McConnelsvilleFirst,$1,250 forMorganCountyUnitedMinistries. ElderClaireFarnsworthaccepted the

award.

The20152CentsaMealgrantedchurcheswillbefilmedforMissionalvideostobeshownontheMVPwebsite.

The December Financial Reports (Appendix 3) were presented for approval. Items of note were that for

anticipated per capita, we are $60,000 behind after fourmonths. Page 6 includes a short-term picture of our

investments.Wecurrentlyareutilizingaconservativeapproach,butotherinvestmentoptionsexist.Thosewillbe

researchinginthecomingmonthstoensuregoodstewardshipwithourinvestments.

TheAdministrationCommitteeisseekingmembers. Currentlyit isbeingservedbyJoanBrodeandDaveRogers

(Elder,BelprePioneerPresbyterianChurch).Thestandingrulesrequire5members,andithopedthatafullslate

willbeavailabletopresentforapprovalinFebruary2016.

WayneYostmadetheannouncementthatpresbyterymeetingshavebeenaudio-recordedinordertofacilitatethe

writingofminutes.AccordingtoRobert’sRulesofOrder,thisneedstobemadeawaretothepresbytery.Ifthereis

anyobjection,(or ifaparticularportionofameeting isrequested) itwillnotberecorded.Thefollowingmotion

containsthenoticethatwillappearonthecallforstatedmeetingsandatthetopofthedocketforeachmeeting:

MOTION:ToapprovethefollowingNotice:Presbyterymeetings(statedandcalled)maybeaudiorecordedtoensuretheaccuracyinwritingtheminutesofthemeeting.Therecordingswillbeeliminateduponthe

approvaloftheminutesbythepresbytery.Unlessobjectionisraisedbyanyteachingelderorrulingelder

memberof thatmeeting, theaudiorecordingof themeetingshallbeconsideredapprovedbyunanimous

consent.

AsdirectedbytheBookofOrder,WayneYostreportedonthedecisionofthePermanentJudicialCommissionof

the General Assembly, in the matter regarding Robert Hauser, Remedial Case 222-06 (Appendix 4): We have

receivedareportfromtheGeneralAssemblyPermanentJudicialCommission(GAPJC)onthispresbytery’sappeal

oftheSynodPJCactions.Mr.Hauserwasputontemporaryexclusionfromofficeforatermof“Atleastfouryears,

withoneyearcredit.”TheSynodoftheCovenantPermanentJudicialCommissionthoughtthattheycouldchange

that censure and make it more specific, as per Book of Order requirements. The Book of Order is clear that

“’temporaryexclusion’isforaspecificperiodoftime,orforaperiodoftimewithsupervisedrehabilitation.”Our

original action of Muskingum Valley Presbytery’s PJC left it open-ended; there were no benchmarks for

rehabilitationandnodefinitedateforwhenthetemporaryexclusionwouldend.Weappealedthedecisionofthe

Synod of the Covenant, and that is Remedial Case 222-06 with the GA PJC. They issued an 8-page decision

COMMERCIAL REAL ESTATE PURCHASE AGREEMENT

1. Calvary Presbyterian Church

, Seller, agrees to sell to Gloria Dunnivan, Buyer, or its assigns or nominee, who agrees to buy, the following real estate situated in Stark County, Ohio, said premises being known as Parcel No.(s) See Attached Exhibit A and further known as street & no. 1515 Shorb Ave. N.W., Canton, Ohio 44709 with an approximate lot size of approximately 1.9 acres further described as: Premises, (hereinafter the "Premises"). This “Agreement” shall be deemed entered into on the last date set forth on the signature page (the “Effective Date”). 2. PAYMENT: The Buyer agrees to pay (the “Purchase Price”) $149,900.00 Deposit with this agreement (to be deposited upon acceptance of this agreement) (the “Deposit”) $ 10,000.00 Balance of down payment in good funds when executed deed is delivered to Buyer or escrow agent $139,900.00 Amount to be financed by 0% Loan to Value $ 0 3. DEPOSIT: The Deposit is to be held in listing broker’s trust account or by escrow agent as agreed by parties. Pursuant to the Ohio Revised Code, in the event of a dispute, a Mutual Release must be executed by all parties for the payment of the Deposit. In the event of a disagreement over the disposition of the Deposit, broker is required to retain the Deposit until: (1) Seller and Buyer have settled the disagreement; (2) Disposition has been ordered by a final court order; or (3) Broker deposits said monies with a court pursuant to applicable court procedures. Deposit shall be held by NAI Spring Realty [Broker or Escrow Agent (defined below)]. 4. BROKERAGE: This sale is procured by NAI Spring, (“NAI Spring”), and is co-brokered with NAI Spring , broker (collectively the “Brokers”). The real estate commission shall be paid by Seller at closing, and split equally between NAI Spring and the co-broker, if any. 5. INCLUDED IN THE SALE: The Real Estate shall include, without limitation, the following: all electrical, plumbing, heating, ventilating, air conditioning equipment, and attached fixtures, if any, except: To be mutually agreed upon by Seller & Buyer within 10 days of acceptance. Baby Grand Piano on second floor, Grand Piano on in sanctuary, Organ & Pipes in sanctuary will remain with the property at closing. . 6. PERSONAL PROPERTY: The following personal property shall be included in the sale: None. 7. ADDITIONAL TERMS AND CONDITIONS: Buyer has the right to have their contractor inspect the building with results to be acceptable to Buyer within 10 days of acceptance. Final approval of the sale is subject Congregational Approval within two weeks of receipt of Purchase Agreement. Within ten (10) days of the Effective Date, Seller shall provide Buyer with copies of all plans, surveys, inspection reports, environmental assessments and all other similar information in Seller’s possession or within Seller’s control. 8. CONTINGENCIES: Buyer's obligation hereunder to consummate the transactions contemplated by this Agreement, including, but not limited to the purchase of the Premises, is contingent upon Buyer's satisfaction, in Buyer’s sole discretion, that the environmental, property and building conditions; tenant leases/agreements, wetland and geotechnical assessment, zoning classification, financing, title evidence and other approvals and/or conditions regarding the Premises set forth in Section 7 above (collectively the “Buyer Conditions”) have been met, in Buyer’s sole discretion. If Buyer determines that any of the Buyer Conditions have not been met on or equal to

(45) days from the Effective Date, or pursuant to mutual agreement of the parties hereto (the "Due Diligence Period"), this Agreement, or any Agreement resulting from this Agreement, may be terminated by Buyer without further obligation of Buyer hereunder and with Buyer receiving a full refund of the Deposit. The following specific provisions in subsections (a.), (b.) and (c.) apply to Buyer’s Conditions:

(a.) ENVIRONMENTAL INSPECTION: Seller agrees to permit the Buyer, the Buyer's lender and the qualified professional environmental consultant of either of them to enter the Premises to conduct, at the expense of the Buyer, an environmental site assessment. This Assessment report must be completed within 45 days of the Effective Date. Buyer agrees if such assessment is obtained and the consultant recommends further inspection to determine the extent of suspected contamination or recommends remedial action, the Buyer, at Buyer's option, may notify the Seller in writing, within five (5) business days after receipt by Buyer of a copy of the environmental site assessment report, that the Agreement is null and void. Does Apply X Does Not Apply (b.) FINANCING CONTINGENCY: Buyer agrees to use his best efforts to obtain above loan, including complying with lender's requests. Buyer will make loan application within 5 days after date of receipt by Buyer of fully executed copy of this Agreement, and Buyer shall obtain a written loan commitment within 45 days after date of such receipt. If Buyer has failed either to make loan application or obtain a written loan commitment within the time periods set forth above, this agreement, at Seller's written election, shall be deemed null and void and all monies in trust shall be returned to Buyer without further liability by, between and among Seller, Buyer and broker. If financing cannot be arranged, all monies shall be returned to Buyer. Does Apply X Does Not Apply (c.) OTHER: Contingencies, addendum, exhibits or agreements: Agency Disclosure, Consumer Guide to Agency Relationship. During the Due Diligence Period, and through Closing if Buyer does not terminate this Agreement as provided herein, Seller shall give Buyer and its agents continuing reasonable access to the Premises to permit Buyer, its agents, authorized representatives, contractors, surveyors, engineers, and other professionals, to view, survey and examine the same and to conduct inspections, tests, including soil tests, and to make plans for alterations thereto and improvements thereon, provided that no material physical changes to the Premises shall be commenced prior to Closing without the prior written consent of Seller. Buyer agrees that its entry, survey, examination, inspection and testing pursuant to this Agreement shall be done in such a manner as to avoid any damage to the Premises other than minimal damage, and if any damage should occur to the Premises as a result of Buyer's entry onto the Premises, Buyer agrees to correct such damage at its expense. Buyer hereby indemnifies, defends and holds Seller harmless from any loss, damage or claim resulting from its entry onto the Premises pursuant to this Agreement. 9. "'AS IS" CLAUSE: By initialing this paragraph, Buyer understands that any and all non-written representations regarding the Premises are specifically disclaimed and Buyer agrees and acknowledges that the Premises are being conveyed "as is" and that Buyer is relying solely upon his own examination of the Premises and any herein required inspections for its physical condition and character, and the Real Estate's suitability for Buyer's intended use thereof, and that neither Seller, broker, nor agent have made any representations or warranties, either express or implied, regarding the Premises, including, but not limited to the condition of roof, structural, site drainage, HVAC, well, septic or sewer system, electrical, plumbing, appliances, zoning and other governmental regulations. closing agent. Deed shall be in the name of Heartbeats to the City, Inc. or assigns/nominee. 11. EVIDENCE OF TITLE: Seller shall provide to Buyer a title insurance commitment for an Owner’s Title Policy in the amount of the Purchase Price, within 0 days of the Effective Date, which shall be updated/certified to the date of filing of the deed. Should Buyer require a Mortgagee's Policy, Seller shall furnish a simultaneous issue of same. The title of Premises shall be good and marketable in fee simple and shall be in accordance with the standards of The Ohio State Bar Association and acceptable to Buyer and Buyer's lender. Seller and Buyer shall share equally the cost of the evidence of title, which Seller is required to provide hereunder, including without limitation, the cost of title search, policy commitment, and escrow fee. Any endorsements requested by Buyer or Buyer's lender shall be at Buyer's expense. The location survey, or other survey, to be paid for by Buyer and the cost of the deed preparation to be paid for by Seller. If necessary, Seller shall be liable for all costs to secure a transferable and recordable legal description. The recording fees for the deed and Buyer’s mortgage, if any, shall be paid by Buyer. If title to all or part of the Premises is unmarketable and/or is unacceptable to Buyer, then as also set forth in Section 8 above, Buyer may: (i) declare this Agreement terminated by providing written notice to Seller, and Buyer's remedy shall be return of the Deposit to Buyer, or (ii) elect to purchase the Premises without reduction of the Purchase Price. Prior to the Closing Date, Buyer may obtain, at Buyer's cost, such endorsements to the title policy as are reasonably required by Buyer. Seller shall convey all mineral rights to the Premises that Seller has title to and are able to transfer. No warranties are made concerning the surface or subsurface mineral rights to the Premises, and the mineral rights are specifically excluded from the warranties of title. Buyer is cautioned to obtain a legal opinion from a qualified attorney to confirm the status of the mineral rights to the Premises. The provisions of this Section 11, shall survive closing. 12. TAXES, UTILITIES AND DEPOSITS: Real estate taxes, installments of assessments, rents and operating expenses shall be prorated as of the Closing Date. Seller shall pay all taxes and assessments which are owing, including delinquencies and penalties, prorated to the Closing Date, and utilizing a 365 day year. Proration shall be based upon the last available current tax duplicate. Buyer shall pay all taxes, installments of assessments, and operating expenses which may become due and payable following the Closing Date. Any security and/or damage deposits held by Seller shall be transferred to Buyer at Closing. REAL ESTATE TAXES AND ASSESSMENTS ARE SUBJECT TO CHANGE BY GOVERNMENTAL AUTHORITY. Utilities shall be borne by Seller to the later of the date Seller vacates Premises or the Closing Date. If the amount of any pro-ratable expense is not available at time of Closing, Seller and Buyer agree to prorate the same outside of Closing when the exact amounts become available. 13. POSSESSION: Seller agrees, prior to Closing, to remove all trash or items not to be transferred/conveyed to Buyer and to deliver complete possession of the Premises, subject to tenants' rights, if any, on the Closing Date. 14. DAMAGE OR DESTRUCTION OF PROPERTY: Seller agrees that upon the Closing Date, all improvements constituting a part of the Premises shall be in the same condition as the same are on the Effective Date, reasonable wear and tear excepted. Risk of loss to the Premises shall be borne by Seller and all damage promptly repaired until the Closing Date, provided that if any improvement is substantially damaged or destroyed prior to the Closing Date, the Seller shall immediately provide written notice of the damage or destruction to Buyer; and Buyer may (1) proceed with transaction and be entitled to all insurance money payable to Seller, or (2) rescind the Agreement, and thereby release all parties from liability hereunder, by giving written notice to Seller and Broker within 10 days after Buyer has written notice from Seller of the damage or destruction. Failure by Buyer to so notify shall constitute an election to proceed with the transaction. 15. INDEMNITY: Seller and Buyer acknowledge that NAI Spring or the Brokers involved in the sale are relying on all information provided or supplied by Seller or Seller’s sources in connection with the Premises, and agree to indemnify and hold harmless NAI Spring or the Brokers, their agents and employees, from any claims, demands, damage suits, liabilities, costs and expenses (including reasonable attorney's fees and litigation expenses) arising out of any

misrepresentation or concealment of facts by Seller or Seller’s sources. 16. MISCELLANEOUS: This Agreement constitutes the entire agreement and no oral or implied agreement exists. Any amendments to this Agreement shall be in writing, signed by Buyer(s) and Seller(s) and copies provided to them. This Agreement shall be binding upon the parties, their heirs, administrators, executors, successors and assigns. All provisions of this Agreement shall survive the closing and shall not merge with the deed. In compliance with fair housing laws, no party shall in any manner discriminate against any Buyer or Buyers because of race, color, religion, sex, familial status, handicap or national origin. Paragraph captions are for identification only and are not a part of this Agreement. If either party defaults under the terms of this Agreement, the non-defaulting party shall have any and all rights and remedies available at law or equity. Ohio Law to apply. 17.
