The CEO advised members that life members receive one vote to vote on the board nominations and special resolution motion as stated in the current constitution. The CEO called for the Chair, Jacob Chacko. Les Sharpe proposed a motion; Motion: “That Jacob Chacko be elected the Chair for the 2018 CIAWA Annual General Meeting.” The motion was carried by all. The Chair welcomed all members to the 2018 CIAWA Annual General Meeting. The Chair verbalised the apologies sent in by members prior to the AGM. The Chair moved a motion; Motion: “That Agenda Item 6 and 7 be moved after Item 16 and to re-number the agenda items respectively.” Seconded: Gavin Farrell The motion was carried.

Meeting commenced at 5:08pm. Item 1. Welcome, including election of meeting Chair

Special Guests: Robert Hall from Butler Settineri as Scrutineer 1, Caroline Naguib from Elegant Bookkeeping as Scrutineer 2, Greg Mohen from Kott Gunning Lawyers and Stuart Lamont, CEO of the Caravan Industry Association of WA.

The Chief Executive Officer (CEO), Craig Kenyon welcomed and thanked members for attending the 2018 CIAWA Annual General Meeting (AGM) held at Aloft Perth. The CEO acknowledged the special guests present introducing Stuart Lamont (CEO of the Caravan Industry Association of Australia), Greg Mohen (Kott Gunning Lawyers), Robert Hall (Butler Settineri) and Caroline Naguib (Elegant Books). The CEO acknowledged the Caravan Industry Association of Western Australia’s (CIAWA) Board members past & present, and personally acknowledged the CIAWA Staff. The CEO acknowledged the CIAWA life members present at the AGM introducing Jacob Chacko, Donna Cocking, Chris Sialtsis and John Wood. The CEO advised members that life members receive one vote to vote on the board nominations and special resolution motion as stated in the current constitution. Item 3. Election of President, Vice President Parks, Vice President Trades and six (6) available Board Member positions - Returning Officer-CEO Mr Craig Kenyon

3.1. Nomination for the position of President • Jacob Chacko

The Chair advised that under the constitution Subclause 6K: “That Mr Jacob Chacko as the sole nominee for the position of President be duly elected” The Chair declared Jacob Chacko to be elected President. Jacob Chacko was elected President.

3.2. Nomination for the position of Vice President of Parks • Dale Wood

The Chair advised that under the constitution Subclause 6K: “That Mr Dale Wood as the sole nominee for the position of Vice President Parks be duly elected” The Chair declared that Dale Wood be duly elected of Vice President of Parks. Dale Wood was elected Vice President of Parks.

3.3. Nomination for the position of Vice President of Trades • Les Sharpe

The Chair advised that under the constitution Subclause 6K: “That Mr Les Sharpe as the sole nominee for the position of Vice President Trades be duly elected” The Chair declared that Les Sharpe be duly elected of Vice President of Trades. Les Sharpe was elected Vice President of Trades

3.4. Nominations for the position of Board Members

The Chair announced the 4 nominations received for 6 two-year terms available Board positions:

• Steve Day • Dean Massie • Chris Sialtsis • John Wood

The Chair advised that under the constitution Subclause 6K: “That the aforementioned nominations for the six available positions of general Board members for a two-year term be duly elected” The Chair declared Steve Day, Dean Massie, Chris Sialtsis and John Wood be duly elected for a two-year term on the board.

3.5. Nominations from the floor for vacant Board positions

There were 2 vacant two-year terms that were available to be filled by the Board. The Chair asked for nominations from the floor. Clause 6L on constitution; The following members raised their hands to fill a position on the board: • Ainslee Brady – Bunbury Glade Caravan Park, Nominated by Laura Cocking • James Corbitt – Summerstar, Nominated by John Layman • Bill Kendall – Four Seasons Holiday Park, Nominated by Chris Sialtsis • Jocelyn Leevers – New Age Caravans Perth, Nominated by Michael Cameron The CIAWA staff distributed the ballot papers to members. Ainslee Brady, James Corbitt, Bill Kendall and Jocelyn Leevers each introduced themselves and advised members why they would like to take position on the 2018-19 CIAWA Board. The CIAWA staff collected the ballot papers from members. The ballot papers where handed over to the scrutineers Robert Hall and Caroline Naguib. The scrutineers left the room at 5:30pm. The Chair moved onto the next item on the revised Agenda. Item 4. Minutes from the Previous Meeting: The Chair advised that the minutes of the previous meeting held Tuesday, 28th of November 2017 had been distributed to all Members via email and copies were available at the meeting. The Chair asked for a general member to move; Motion: “That the minutes of the previous annual general meeting on Tuesday, November 28th, 2017 be accepted as a true and accurate reflection of the meeting.” Moved: Gavin Farrell Seconded: Michael Repacholi Carried: All Item 5. Matters Arising from Previous Minutes: The Chair asked members if there were any matters arising from the Previous Minutes. There were no matters arising from the floor.

Item 6. Financial Report, presented by Treasurer - Mr Steve Day The Chair referred to the CIAWA 2017-18 Annual Report for any questions from members relating to the CIAWA financial report. The Chair introduced the Treasurer, Steve Day. The Treasurer took to the floor discussing the financial figures for the 2017-18 financial year detailed in the Annual Report. The Treasurer thanked the CEO, CIAWA staff and bookkeeper, Caroline Naguib, for their support as Treasurer. Gavin Farrell raised a question to the Treasurer regarding page 28 (Admin Fees) and page 33 (Employee Costs) in the Annual Report. The CEO responded on behalf of the Treasurer and informed Gavin Farrell that he will clarify his question and will respond following the meeting. Sarah Corbitt raised a question to the Treasurer regarding membership figures for 2017-18. The CEO responded on behalf of the Treasurer. The Chair asked for a general member to move; Motion: “That the financial report for the 12th months ended June 30th, 2018 be accepted.” Moved: Brett Workman Seconded: Bill Kendall Carried: All Item 7. Results of the 2018 Election by Returning Officer The Scrutineers re-entered the room at 5:45pm and the ballot results were passed onto the CEO. The CEO informed members of the two nominees elected onto the 2018-19 CIAWA Board. • James Corbitt (Summerstar) • Jocelyn Leevers (New Age Caravans Perth) The Chair welcomed James Corbitt and Jocelyn Leevers to the 2018-19 CIAWA Board.

Item 8. Appointment of Auditor As per the Associations Constitution the auditor providing the Association’s audit was required to be appointed at the AGM. Chair asked for a General Member to move; Motion: “That Butler Settineri be appointed as the auditors of Caravan Industry Association Western Australia (Inc) for the financial year ending June 30th, 2018, with the agenda amended ‘to the year of 2019’” Moved: John Wood Seconded: Steve May Carried: All Item 9. Presidents Address, presented by President - Mr Jacob Chacko The President thanked the CEO, CIAWA staff and the members for their ongoing support the past financial year. The President gave a brief description of the following events and achievements for the past 12 months;

• 2018 CIAWA State Conference and Gala Dinner, 28th – 30th November 2017, which the association appointed the life and honorary members.

• 2017 Perth Airport Tourism Western Australia Awards, 11th November 2017. CIAWA won Silver in the Festival & Events Category for the 2017 RAC Perth Caravan & Camping Show.

• 2018 Perth Airport Tourism Western Australia Awards, 10th November 2018. CIAWA won Silver in the Festival & Events Category for the 2018 Perth Caravan & Camping Show and Silver in the Excellence in Tourism Education & Training for the Caravan Industry Development Initiative. Program.

• 2018 CIAWA Board Strategic Planning Workshop, 7th – 9th February 2018. The Board signed off on a number of action plans for the Association to move forward in an optimistic direction for 2018.

• 45th Anniversary of the 2018 RAC Perth Caravan & Camping Show, 21st – 25th March 2018. With a record of over 300 exhibitor sites, the show attracted over 47,500 consumers through the gates.

• Motor Trade Association of Western Australia Australian Consumer Law Workshop, 15th August 2018. The first trade workshop of the year for the Association and it was important for members to become up to date with current regulations.

• Western Australia Local Government Association (WALGA) Conference, 1st – 3rd August 2018. The Association attended on behalf of members to discuss the issues of free camping and competitive neutrality.

• 2018 Goldfields Caravan & Camping Show, 1st – 2nd September 2018. Over 5,500 consumers entered the gate over the weekend. The President congratulated the CEO and CIAWA Staff for a superb show.

• CIAWA staff attended many regional events on behalf of members with marketing collateral and to promote the Caravan & Camping Western Australia consumer brand. These regional shows included the Geraldton Boat, Caravan & Camping Show 5th – 6th May 2018, Dowerin Field Days 29th – 30th November 2018 and the Bunbury 4WD, Boating & Camping Show 20th - 21st October 2018.

The President informed members that CIAWA have been working closely with Kott Gunning Lawyers & The Department of Mines, Industry Regulation & Safety regarding the Residential Parks Long-stay Tenants Act amendments. The President advised members that CIAWA is in a healthy financial position with $1,973,000 in equity. The President announced CIAWA’s acquisition of the Geraldton Boat, Caravan & Camping Show. To recover this acquisition CIAWA will need to diversify income sources The President announced to members that at the 2018 Board Strategic Planning Workshop, the CIAWA board signed off for the acquisition of a new CIAWA building premises. A building has been purchased and is located at 6/35 Tamara Drive in Cockburn Central. The President addressed the CIAWA Constitutional Amendments that will be discussed further at the AGM. The President informed members that the notice of Special Resolution was sent to all members on Monday, 29th October 2018 and that the amendments to the constitution commenced in 2015. The President informed members that the amendments were brought forward to Greg Mohen (Kott Gunning Lawyers) and a total of 6 drafts of the constitution resulted in the process. This gave a new look constitution with an easier index approach to find the clauses. CIAWA will adopt new technology for board meetings and committee meetings. The President advised members it will be a mandate for the new CIAWA premises to fit out the building with the correct technology for the meeting’s needs.

The President apologised on behalf of CIAWA for delay of the constitutional amendments distributed to members. Item 17. Presidents Acknowledgement of 2017-18 Board Members, CEO and Staff The President presented the trophies to the 2017-18 Board Members;

• Ainslee Brady – Vice President of Parks • Les Sharpe – Vice President of Trades • Steve Day – Treasurer • Michael Cameron – Director • Laura Cocking Director • Andrew Fardon – Director • Dean Massie – Director • Stephen May – Director • John Wood – Director • Brett Workman – Director

Andrew Fardon was absent and will receive his trophy at the December 2018 Board Meeting. David Reynolds resigned from the Board on Friday, 12th October 2018. The trophy will be mailed to him. The President presented a trophy to the CEO, Craig Kenyon. The President presented the awards to the CIAWA Operational Staff;

• Tracey Clarke – Events Manager • Melissa Souter-Robertson – Marketing Manager • Laura Barker – Events Coordinator • Clare Crabtree – Administration Assistant

The President thanked all 2017-18 Board Members, CEO and CIAWA Operational Staff for a wonderful year. Item 18. Special Resolution to amend Constitution as proposed in the notice of special resolution attached to the Notice of Annual General meeting (item) The Chair verbalised the Notice of Special Resolution that was distributed to all members on Monday, 29th October 2018. The Chair called for members to raise their views regarding the amendments to the current CIAWA constitution.

John Wood took to the floor and raised his views to members to amend and move the Notice of Special Resolution motion. Chris Sialtsis then took to the floor and verbalised his views against the motion. Greg Mohen (Kott Gunning Lawyers) addressed the floor to discuss the history of the amendments of the constitution. Donna Cocking requested clarification to Greg Mohen regarding the constitutional amendments. Minor grammatical changes on the current CIAWA Constitution was requested to be sent to the board to be amended. Donna Cocking requested for further clarification regarding the postal and proxy voting process and for the clauses to be clarified. Paul Montaut raised a question to Greg Mohen regarding the model rules for a proxy vote. Laura Cocking raised a question to Bill Kendall and Ainslee Brady if they would like to be selected to be voted upon the 2018-19 Board at the December 2018 Board Meeting. The AGM was adjourned at 7:17pm. The AGM resumed at 8:00pm. The Chair addressed the floor advising members during the meeting adjournment of one major amendment and three minor amendments that were implemented into the current CIAWA constitution by Greg Mohen. Greg Mohen informed members that clause 19.7 “Proxy Voting” has been included in the amended CIAWA constitution. Greg Mohen elaborated on each subclause regarding proxy voting. John wood raised a question to Greg Mohen regarding email signatures for proxy votes. Greg Mohen responded that an electronic confirmation from the member will be eligible as a signature for a proxy vote. Greg Mohen advised members of a minor change in clause 19.3 “Voting at meetings” subclause item (b) (iii) that states “By vote cast by a duly appointed proxy in accordance with rule 19.7”. The Chair addressed the following minor amendments;

• Page 15, 7.7 Cancelling Life Membership (a) “To make a request pursuant to Rule 5.2(d)(iii) the Board must hold a Board Meeting to consider such a request”.

• Page 20, 10.2 Board Members (f) “No person shall be entitled to hold more than one of the positions set out in Rule 10.2(a) at any time”.

• Page 25, Electing Board Members (g) “A list of nominated candidates’ names in alphabetical order, with the names of the Members who nominated each candidate must be sent out by

Members Against: 33 The AGM adjourned at 8:20pm. The AGM resumed 8:38pm. The Chair advised members that the special resolution to amend the constitution was not passed as less than 75% of members voted in favour of the motion. Item 19. General Business As no items were brought forward to the president 48 hours prior to the AGM, therefore Chair went to the floor for general business. No general business was declared by members. Item 20. Close of Business The Chair thanked the CEO and all the members for attending. The Chair declared that the 2018 CIAWA Annual General Meeting be closed. A Special General Meeting will be called if required by the 2018-19 CIAWA Board regarding the AGM revised amendments to the current CIAWA constitution. The Chair closed the meeting 8:40pm.
