responsibility for all aspects of the noticing and claims administration for securities class action

settlements . With the approval of the Court, Lead Plaintiff retained Gilardi to act as the Claims

Administrator herein to mail copies of the Notice and Proofs of Claim ("Claims") submitted in

this action, to cause the publication of a summary notice to the Class, to process all Claims

submitted by Class Members in this action, to allocate the Settlement proceeds among the Class

Members whose Claims are accepted (the "Authorized Claimants"), and to distribute the Net

Cash Settlement Fund to the Authorized Claimants . I make this affidavit in support of Lead

Plaintiffs application for an Order : (a) approving the administrative actions taken by Gilardi in

accepting and rejecting the Claims submitted herein ; (b) directing payment to Gilardi for its fees

and expenses in connection with the services performed and to be performed in mailing and

publishing notice to the Class, processing the Claims, allocating the Settlement proceeds among

the Authorized Claimants, and distributing the Net Cash Settlement Fund; (c) directing Tripath

to issue and deliver the Settlement Shares in connection with the instructions of Lead Counsel ,

612,500 to Lead Counsel and 1,837,500 to the Authorized Claimants ; (d) directing distribution

of the Net Cash Settlement Fund to Authorized Claimants ; and (e) authorizing destruction of

paper copies of Proof of Claim forms one year after distribution of the Net Settlement Fund, and

authorizing destruction of electronic copies of claim records three years after distribution of the

Net Settlement Fund.

1. PROCEDURES FOLLOWED IN ACCEPTING AND REJECTING CLAIM S

2. Under the terms of the Stipulation and Agreement of Settlement dated July 11 ,

2005 (the "Stipulation"), Class Members were required to submit a Proof of Claim form in order

to obtain their share of the Net Settlement Fund .

3. My firm used the following procedure to process the Claims and correspondenc e

submitted in this matter to Post Office Box 5100, Larkspur, California 94977-5 100 : (a)

envelopes received from the Post Office Box were opened and sorted into correspondence, such

as requests for Claim forms, and actual Proof of Claim forms ; (b) the correspondence received

was reviewed and responded to accordingly ; (c) the Claim forms were opened and al l

documentation submitted with a Claim form was stapled to that Claim form, and each Claim

form was assigned a Claim number ; (d) the information from each Claim form, including the

name, address, Employer I.D. or Social Security Number of the claimant, and the purchase and

sales transactions listed on the Claim were then entered into a computerized data base ; (e) the

documentation provided in support of each Claim was reviewed to ascertain whether the

claimant had in fact purchased the securities of Tripath Technology, Inc. ("Tripath") in the

open market during the period between January 29, 2004 and June 13, 2005, inclusive (the

"Class Period") ; and (f) Claims were then reviewed to be sure they were not submitted by or on

behalf of excluded persons, i .e ., the Defendants, the officers and/or directors of Tripath, at all

relevant times, members of their immediate families (parents, spouses, siblings, and children),

and their legal representatives, heirs, successors or assigns, and any entity in which the

Defendants have or had a controlling interest . The identities of claimants were also reviewed

against the list of persons that requested exclusion .

4. Where a submitted Claim lacked the required information or documentation t o

substantiate the Class Member's transactions during the Class Period, or was otherwise

ineligible, Gilardi sent a letter to the claimant advising him, her or it of the deficiency and

requesting the submission of the appropriate documentary evidence or correction of the defect .

Attached hereto as Exhibit A are copies of the forms of letters used to notify claimants of the

deficiency in their Claims.

5 . The deficiency letters advised claimants that unless the indicated deficiency was

corrected within twenty days, his, her or its Claim would be accepted only to the extent of the

documentation supplied . If appropriate, deficiency letters advised that the Claim would be

entirely rejected if the claimant had not supplied the required documentation or information for

any transactions .

6. Claimants who submitted documentation which demonstrated that the claiman t

was ineligible to participate in the Settlement (for example, where the documentation

demonstrated that the claimant had suffered no loss from their purchases of Tripath securities

during the Class Period) were sent a Rejection Letter . The Rejection Letter, samples of which

are attached hereto as Exhibit B, advised the claimant of his, her or its right to request this

Court's review of our administrative determination rejecting the Claim . The letter stated that

the claimant could request this Court's review of the rejection of his, her or its Claim by

submitting a statement in writing setting forth the reasons why the claimant believed that the

Claim was adequately submitted . No claimants have outstanding requests for this Court's

review of the rejection of their Claims .

H. LATE BUT OTHERWISE VALID CLAIM S

7. Approximately 57 otherwise eligible Claims were postmarked later than May 29 ,

2006, the submission deadline stated in the Notice . All such Claims were accepted subject to

such other deficiencies as were determined to exist . We believe that no delay in the processing

or distribution of the Settlement Fund resulted from the provisional acceptance of these Claims

due to the time required to process the large volume of timely submitted Claims . Accordingly,

we respectfully request the Court approve our determination and the determination of counsel to

accept these Claims . These Claims are included in the list of accepted claimants .

8 . However, there must be a final cut-off date after which no more Claims may b e

accepted so that there may be a proportional distribution of the Net Settlement Fund .

Acceptance of any Claim received after preparation of this application would necessarily require

a delay in the distribution. Accordingly, it is also respectfully requested that this Court order

that no Claim submitted after December 31, 2006, a date during the preparation of this

application, be accepted for any reason whatsoever .

III. ACCEPTED AND REJECTED CLAIM S

9. A total of 1,502 persons or entities have submitted Claims herein , of which a

total of 915 have been accepted .

12 . Submitted herewith as Exhibit C is a computer printout listing all the Claims

submitted herein. The first portion of the printout alphabetically lists all the accepted claimants

and shows their Recognized Claim amounts and the number of Settlement Shares allocated to

them under the Plan of Allocation . The next portion of the printout alphabetically lists all the

rejected claimants and shows the code letter corresponding to the reason why such Claims were

rejected.

13. Gilardi has spent the time necessary to thoroughly process the Claims and protect

the interests of each Class Member submitting a Claim . No Claims were rejected out-of-hand

and adequate time was spent communicating with Class Members and suggesting appropriate

ways they could document their Claims and participate in the settlement . Telephone calls and

letters from claimants to Gilardi were courteously handled . Class Members were assisted to the

fullest extent possible . The professional attitude and work product of Gilardi was of the highest

quality .

14. It is respectfully requested that the Court enter an Order approving the above

determinations accepting and rejecting the Claims submitted herein .

(ii) Sold during the period from October 25, 2004 through and including June 13,2004, an Authorized Claimant's "Recognized Claim" shall mean the lesser of. (a) thepurchase price (including commissions, etc .) less the sales price (net of commissions,etc .), (b) the purchase price (including commissions, etc .) less $0.64, or (c) $0 .75 ;

(iii) Held as of the close of trading on June 13, 2005, an Authorized Claimant's"Recognized Claim" shall mean the lesser of (a) the purchase price (includingcommissions, etc .) less $0.64, or (b) $0 .77 .

(c) For shares of Tripath common stock purchased during the period between

October 25, 2005 and June 13, 2005, an d

(i) Sold on or before June 13, 2004, an Authorized Claimant shall have no($0.00) "Recognized Claim" ;

(ii) Held as of the close of trading on June 13, 2005, an Authorized Claimant"s"Recognized Claim" shall mean the lesser of. (a) the purchase price (includingcommissions, etc .) less $0 .64, or (b) $0.02 .

Purchases during the Class Period were matched against sales during the Class Period o n

a First-In, First-Out basis . Transactions resulting in a gain were not included .

V. ALLOCATION OF NET SETLEMENT SHARES

16. The Stipulation provided that Tripath would issue and deliver a total o f

2,450,000 Settlement Shares . The Court has awarded 25% of these shares to Plaintiffs' Counsel

as and for their attorneys' fees . Accordingly, there are 1,837,500 Net Settlement Shares to be

allocated to the Authorized Claimants . Pursuant to the Stipulation and the Plan of Allocation,

Gilardi has allocated the 1,837,500 Net Settlement Shares to the Authorized Claimants .

Submitted herewith as Exhibit C is a schedule of the accepted claimants showing their : (i)

Claim number, (ii) name, (iii) Recognized Claim, and (iv) the number of Settlement Shares

allocated to them under the Plan of Allocation (a more detailed schedule prepared by Gilardi

will identify to Tripath the name, address, and social security or tax identification number of

each Authorized Claimant, and the number of Net Settlement Shares to be distributed to each

Authorized Claimant) . In accordance with the Plan of Allocation, the schedule attached hereto

provides for an allocation of a minimum of 15 Net Settlement Shares to each Authorized

Claimant so that if an Authorized Claimant's calculated pro rata distribution would be less than

15 Net Settlement Shares, that claimant is allocated a total of 15 Settlement Shares . The

schedule provides for the distribution of whole Settlement Shares only .

VI. DISTRIBUTION OF NET CASH SETTLEMENT FUN D

17. If the Court grants this motion, the Gilardi staff will undertake the followin g

tasks: (i) calculate a pro rata allocation of the Net Cash Settlement Fund by comparing the

Authorized Claimants' Total Recognized Claims with the total dollar value of the Net Cash

Settlement Fund at the time of distribution ; (ii) prepare checks and check registers for the

Authorized Claimant ; (iii) mail the cash payments by prepaid first class mail ; (iv) issue

replacement drafts upon request by payee ; and (v) answer inquiries about claim calculations an d

cash payments .

VII. FEES AND DISBURSEMENTS OF CLAIMS ADMINISTRATOR

18 . Gilardi originally agreed with Lead Counsel to process the Claims herein i n

consideration of payment of our standard hourly fees . Our actual hourly fees incurred to date

$46,293 and to be incurred $1,435 through the redistribution amount to $47,728, as shown on

the invoices annexed hereto as Exhibit D . In our engagement it was also agreed that our out-of-

pocket expenses would be reimbursed. Our actual out-of-pocket expenses incurred to date

$41,411 and expected to be incurred $9,288 will total $50,699, as also shown on the invoices

annexed as Exhibit D . Gilardi respectfully requests the Court to authorize the payment of the

full amount of such fees and out-of-pocket expenses, which total $98,427 .

19. Gilardi has received payment of $32,149 on account from the Settlement Fund .

Accordingly, there is a balance due of $66,278 and Gilardi respectfully requests the Court to

authorize the payment of this balance .

VIII. RECORDS RETENTION AND DESTRUCTIO N

20. We request that the Court enter an Order providing that one year after

distribution of the Net Settlement Fund we are authorized to destroy the paper copies of the

Proof of Claim forms, and three years after distribution of the Net Settlement Fund we are

authorized to destroy electronic copies of claim records .

IX. CONCLUSION

21 . For the foregoing reasons, it is respectfully requested that this Court enter an

Order: (a) approving the administrative actions taken by Gilardi in accepting and rejecting the

Claims submitted herein ; (b) directing payment to Gilardi for its fees and expenses i n

I connection with the services performed and to be performed in mailing and publishing notice to

the Class, processing the Claims, allocating the Settlement proceeds among the Authorized

Claimants, and distributing the Net Cash Settlement Fund ; (c) directing Tripath to issue and
