I. Introduction & Purpose The City of Cincinnati (the “City”), through the Department of Community and Economic Development (“DCED”), is issuing this Request for Proposal (“RFP”) pursuant to the provisions of the Cincinnati Municipal Code (CMC), Chapter 321 and City Manager Administrative Regulation 23 for the development of the subject property (“the Site”) located at 254 Mohawk Street, Cincinnati Ohio 45214.The purpose of this RFP is to solicit development concepts from qualified developers or development teams (“Offerors”) for the subject property and select a proposal from a qualified offeror. Selection of a preferred Offeror and subsequent award of the contract will result after the completion of this RFP process. The City may award a contract to the successful Offeror considering the total requirements for this procurement and what is “Most Advantageous to the City” in accordance with CMC Chapter 321.

The City reserves the right to ask for additional information and clarification from or about any of the Offerors. The City reserves the right to perform investigations as may be deemed necessary by the City to assure that competent persons will be and are utilized in the performance of the Agreement and to verify the accuracy of the contents of the RFP.

II. Goals for the Site DCED seeks proposals to activate and rehabilitate two existing buildings at a City-owned parcel at 254 Mohawk Street. The Site is located at the northwest corner of Mohawk and Hamburg (formerly known as Stonewall) Streets in Over-the-Rhine and totals approximately .05 acres. The property is located within the incorporated limits of City of Cincinnati and the Mohawk sub-district of the Over-the-Rhine neighborhood.

The proposed development plans should encompass the goals set out in this RFP and further reflect the important value of this Site to the surrounding community and embody the following characteristics:

1.Facilitate the restoration and rehabilitation of two historic, multi-family buildings.2.Create a development that aligns with both the City’s policies and

goals and the community’s goals; including those established by Plan Cincinnati (https://www.cincinnati-oh.gov/planning/plan-cincinnati) and current updates in the Mohawk Area Plan (https://www.cincinnati-oh.gov/planning/planning-projects- studies/mohawk-area-plan/ ).

3.Apply a design approach that preserves the buildings’ historic architectural elements and complies with the conservation guidelines of the Sohn-Mohawk Historic District.

4.Demonstrate responsiveness to community and stakeholder preferences.5.Create sustainable and energy efficient buildings when possible.

6.Leverage the investments being made in the Sohn-Mohawk Area by identifying an Offeror that embraces the City’s vision for this near-downtown environment.

III. Site Information Location: As shown in Exhibit 1, the Site’s street address is 254 Mohawk Street, located at the northwest corner of Mohawk Street and Hamburg Street.

Frontage, Size, and Shape: The parcel has frontage along Mohawk Street, Hamburg Street, and the unnamed alley to the north. The largest frontage is along the Hamburg street side. The parcel has an irregular rectangular shape with an area of approximately 2,220 square feet.

Existing Land Uses: The parcel currently contains two vacant multi-family buildings. The building on the south side of the parcel contains an existing storefront space that was remodeled into a dwelling unit.

Visibility/Access: The Site has good visibility/access from Mohawk Street, with the possibility of access to the unnamed alley to the north. The area is well-connected with sidewalks running along the Mohawk and Hamburg frontages, which allow for easy access to Over-the-Rhine and surrounding neighborhoods. Hillside views to Over-the-Rhine and West End are present, but somewhat limited.

Soil and Environmental: The Site is offered “as-is”. DCED makes no representations or warranties as to any soil or environmental conditions.

Buildings: The Site contains two buildings constructed between 1850 and 1890. Each building has masonry outer walls and platform joist style structural framing. The building on the south side of the parcel totals 2,820 finished square feet and contains three stories and a basement. The building on the north side totals 2,166 finished square feet and contains three stories with a basement and attic. The buildings are separated by a breezeway. In 2017 the City funded $119,000 in structural repairs to stabilize the buildings. The buildings are offered “as-is”. DCED makes no representations or warranties as to building conditions.

Property Advantages: The Site is located within the incorporated limits of the City of Cincinnati. Public transit in the form of multiple bus stops and the Streetcar within walking distance makes this property a prime real estate location. The Site is situated in the Sohn- Mohawk Area, which is part of the emerging Brewery District of the Over-the-Rhine neighborhood. The property is well within walking distance of shops, restaurants, and entertainment options at Findlay Market. From there the Streetcar provides convenient access to other areas in Over-the-Rhine, the Banks, and the downtown Central Business District of Cincinnati.

Cincinnati is a thriving city at the heart of Ohio’s tristate area including Kentucky and Indiana. Located along the banks of the Ohio River, Cincinnati is a global business center offering superior accessibility to customers and suppliers across the world. It is the transportation, industrial, commercial, and cultural center for a region that is home to more than 2.1 million people. Home to nine Fortune 500 companies and more than 300 foreign- owned firms, Cincinnati is a world-class city.

The Brewery District is loosely defined as the northern half of Over-the-Rhine. Over-the- Rhine is the neighborhood immediately north of Cincinnati’s Central Business District. It is one of the most historic neighborhoods in the United States, boasting the largest collection of Italianate buildings in the country. At its peak, in the early 1900s, approximately 40,000 people lived in Over-the-Rhine.

The Mohawk Area sub-district is a narrow, horn-shaped neighborhood which runs the full length of Central Parkway as its western boundary with eastern boundaries running along Clifton Avenue, Zier Place, and Klotter Avenue. The northern boundary is at Brighton Bridge Approach, and the

southern boundary extends well into Over-the-Rhine along Findlay Street. The Mohawk Area is accessible not only to downtown, but also to uptown

neighborhoods like CUF and Clifton and amenities like the University of Cincinnati and many local hospitals. Nearby parks include Hanna Playground, Mohawk Park, Bellevue Park, and Fairview Park.

IV. Development Program DCED encourages Offerors to submit proposals which include the following:

1.High quality architectural design, with special attention to the conservation of historic architecture. Proposed residences must preserve the historic character of surrounding Sohn-Mohawk Area.

2.Creativity is encouraged, but compliance with zoning and historic conservation regulations is required.

V. Planning and Zoning Framework DCED encourages Offerors to understand the City’s goals for the Site by referencing the following relevant plans and zoning:

Mohawk Area PlanThe Sohn-Mohawk Area of Over-the-Rhine is currently in the process of creating an area plan. The Sohn-Mohawk Area is contained within the much larger Over-the-Rhine Neighborhood. As such, the goals and strategies of the Mohawk Area Plan will be consistent with the Over-the-Rhine Comprehensive Plan. Sohn-Mohawk Historic District The Site is located within the locally-designated Sohn-Mohawk Historic District as well as a National Register Historic District. Special consideration must be given to the conservation of the property’s preexisting historic architecture. All exterior renovations must adhere to Cincinnati’s historic conservation requirements and a Certificate of

VI. Public Engagement As part of the RFP process, DCED would like to maximize transparency, build inclusion, and most importantly, give the public a chance to explore and participate in the shaping (or reshaping) of their community. In addition, DCED believes the success of any development project hinges on the inclusion and support of the local community. Respondents are strongly encouraged to work with the neighborhood Community Council (CC), the Community Development Council (CDC) and the local community residents to understand how the community’s goals can be met in the Offerors’ Proposals. Proposals should consider and incorporate stakeholder and community preferences, to the full extent feasible and practical.

VIII. Submission Requirements and Evaluation Criteria Qualified Offeror(s) are invited to submit qualifications and concept plans for the subject property based on their analysis of the existing Site and market. A detailed list of the requirements of submission and evaluation criteria is included below. The Selection Committee will review and evaluate RFPs that are complete and received on or before the deadline.

Submission Requirements: To achieve a uniform review process and a degree of comparability, proposals should be organized in the following order and contain all the following information:

Title Page: Showing the proposal title, the name of firm, address, telephone number(s), name of contact person, the date, and other relevant company information.

Offeror Credentials: Provide a narrative describing the Offeror’s background, history, and construction experience, including comparable projects successfully completed by the Offeror.

Team Members: State the names and titles of key members of your development team, including proposed subcontractors. Provide a resume for each member.

Offeror’s Legal Structure: Provide evidence of corporate status including, where applicable, Articles of Incorporation or a partnership certificate and/or agreement. In addition, identify by name and title entities holding and ownership interest of 20% or more.

Project Description: One-page narrative describing what is proposed for construction including as applicable: project map, Site specifications, Site features, etc. Include an explanation of the exterior design concept and the expected timetable for construction.

Concept Plan: Submit a conceptual site plan showing initial ideas for building placement, parking layout, access drives, and landscaping. Preliminary building elevations should be included as well.

Financing Plan: Submit a concise description of the anticipated general financing for the project. Include the following details:

a. Required investment and expected level of City participation in the project (if any).

b. Statement of Offeror’s financial ability and resources at the Offeror’s disposal.

c. Business concept including target market for the planned project and how the completed project would be marketed.

d. Offer price for the propertye. Soft Financial Commitment Letters

Site Goals: Explain how you would address the project goals and guiding principles identified in the sections above.

Pre-Submission Meeting: All applicants are strongly encouraged to contact [email protected] to schedule a pre-submission meeting. During this period, applicants may schedule a viewing of the Site and buildings, provided that they sign a liability waiver. These meetings are beneficial to both the Offeror and City Staff.

Evaluation Criteria: Each submission will be evaluated based on the criteria below and will be reviewed based on the merit of the proposal

itself and not compared to other proposals.

1.(20 points) Capacity & Experience of Offeror or Development TeamOfferors should provide the following information to demonstrate their ability to execute a high quality urban redevelopment project:

a. Offerors should identify each of the development team members: owner/Offeror, general contractor, design team, investors and other team members required for completion of the project.

b. Offerors should provide a brief history of the development company(s).c. Offerors should provide information on a minimum of three

previous projects with similar scope and complexity as envisioned in this development.

d. Offerors should provide a list of all projects which are currently under construction or managed by the entity and an executive summary of their development experience.

2.(20 points) Vision for the Subject PropertyOfferors should submit a development concept plan for the subject Site, including a vision statement, Site plan, building uses, and information regarding proposed designs, density and building types, speculative or build-to-suit, and other relevant information the Offeror determines is appropriate.

3.(40 points) Financial Capacity and Financing PlanOfferors should provide one (1) soft commitment letter from a lending institution that conveys the lender’s confidence in the Offeror as a borrower. The letter should be addressed to the City of Cincinnati, Department of Community and Economic Development, and should include the name, title, company, address and phone number of the individual providing the letter. Consideration will be given to the Offeror’s financing plan, including Offeror investment, business concept, and offer price.

4.(10 points) Economic Inclusion GoalsOfferors should describe their previous success in achieving economic inclusion goals on projects of similar or greater scope to the Site identified here in this RFP and submit a preliminary economic inclusion plan that includes opportunities to the maximum extent practicable, for SBEs, WBEs, and/or MBEs through the Small Business Enterprise (SBE) Program (CMC Chapter 323) and Minority and Women Business Enterprise Programs (CMC 324) respectively. 5. (10 points) ThoroughnessOfferors shall develop a written response to this proposal that is complete, thorough, and ready to be transferred to a development

IX. About the Department of Community and Economic Development

The City of Cincinnati’s Department of Community and Economic Development (DCED) strengthens neighborhoods and grows the City’s revenue base through investment in people and places. DCED is committed to executing a high-quality project at this Site which will be catalytic to the immediate neighborhood and may provide a variety of resources to ensure its success. These resources may include financial, informational, and technical assistance, and/or helping Offerors to navigate the legislative processes. Additionally, the City offers a variety of incentives and financial tools that can provide support to projects. Below is a brief overview of three of the available incentives. The City is able and willing to consider other types of assistance that may not be listed as a program below. Notice of Funding Availability (NOFA): The Department of Community and Economic Development annually announces a NOFA to provide development assistance for any type of housing project. NOFA provides gap financing under the Federal Community Development Block Grant (CDBG) program, the Federal HOME Investment Partnerships (HOME) program, and limited City Capital contributions. The City seeks NOFA development projects that will make sustainable housing improvements to Cincinnati neighborhoods.Community Reinvestment Area: The City of Cincinnati offers a Community Reinvestment Area (CRA) abatement program to companies and developers building or renovating a residential, commercial, industrial, or mixed-use facility in cases where the new or renovated facilities will result in job creation. Commercial and Multifamily CRA Tax Exemptions are property tax exemptions authorized by Ohio Statute 3735.65 and issued by municipalities that have established special CRA districts. The entire City of Cincinnati is one such district; therefore the subject property would be eligible for this program.The American Dream Downpayment Initiative (ADDI) Program: ADDI is designed to assist first-time homebuyers who want to purchase a home within the City of Cincinnati. Applicants may be awarded up to $5,000 in the form of a five- year forgivable loan that can only be used for a down payment and/or closing costs. The City is currently accepting ADDI applications. X. Procurement Requirements While each RFP submission will be considered objectively, the city assumes no obligation to accept or act on any RFP. Should the City receive not receive a qualified submission(s) or

decide not to select an Offeror, the City Administration reserves the right to select an appropriate developer based on the development goals outlined in this RFP and may elect not to rebid this project through another RFP.

Statements of Qualifications can be withdrawn at any time, if requested in writing, until the deadline date, at which time Statements of Qualifications will be considered firm and become the property of the City and will not be returned. By responding to this RFP, Offerors waive any challenge to the City’s decisions.By submitting this Statement of Qualifications, the Offeror acknowledges that the City is governed by the Ohio Public Records Laws. Notwithstanding any statement to the contrary, the City’s handling of any confidentiality obligations are subject to the limitations of this paragraph. Offeror’s Statement of Qualifications may be subject to disclosure under the Ohio Public Records Laws. The City shall have no duty to defend the rights of Offeror or any of its agents or affiliates in any records requested to be disclosed. Upon receipt of a public records request, the City will notify Offeror of its intent to release records to the requestor. Contractor

shall have a maximum of five (5) business days beginning with the date it receives notification to respond to the City by either accommodating the requestor

or pursuing legal remedies to stop the City’s release of requested information. Said notification shall relieve the City of any further obligation under any claim of Offeror or any of its agents or affiliates in any jurisdiction in connection with the disclosure of such records. Offeror and its agents and affiliates may pursue legal and/or equitable remedies to stop or limit disclosure at their sole expense.The Offeror recognizes and agrees that the City will not be responsible or liable in any way for any losses that the Offeror may suffer from the disclosure of information or materials to third parties.Offerors submitting Statements of Qualifications in response to and consistent with this RFP shall submit the required or miscellaneous forms in accordance with Section XIX of the RFP.

a. All communications regarding this RFP must be made to the City’s contact person, or any other City representatives designated by the Chief Procurement Officer in writing.

b. Preventing Unfair Competitive Advantages

Fairness and transparency in the procurement process require that Offerors competing for a specific project do not derive a competitive advantage from having provided services related to the project/contract/work assignment in question. To that end, pursuant to Administrative Regulation No. 62 and the City’s RFP Manual, a firm, and each of its affiliates, hired to provide services for the preparation or implementation of a project shall be disqualified from any subsequent procurement solicitation to provide goods, works, or services resulting from or directly related to the firm’s services for such preparation or implementation, unless an exception is made by the City Manager in writing.

d. Changes and Addenda to the RFP DocumentIt shall be the Offeror’s responsibility to make the inquiry as to changes and addenda issued. All such changes or addenda shall become part of the contract and all Offerors shall be bound by such changes or addenda.

Offerors may download all addenda and other RFP documents from Open Data Cincinnati and should frequently return to the Site to monitor for project-specific updates and addenda.

e. Equal Employment Opportunity ProgramA summary of the City’s Equal Employment Opportunity Program is included in the RFP Section XIX. Equal Employment Opportunity (EEO) Form (DEI147) is provided only for information purposes in the RFP Section XIX. It does not have to be signed or returned with Statements of Qualifications. The successful Offeror will be required to complete the DEI 147 at contract execution.

f. Offeror’s Covenant of Non-DiscriminationPursuant to the City of Cincinnati’s policy of non-discrimination, specifically in its purchasing and contracting practices, by signing this Statement of Qualifications and as a condition of contract award, the Offeror covenants, represents and warrants that:

• The Offeror will not discriminate against small business enterprises on the basis of race, ethnicity, gender or disability in the process of contracting, subcontracting and purchasing;

• The Offeror will use good faith efforts to promote opportunities for SBEs and M/WBEs to participate in and compete for opportunities to the extent of their availability and capacity;

• If awarded the contract, the Offeror will submit to ongoing monitoring by and submittal of reports to the City’s Department of Economic Inclusion;

• The Offeror will submit to investigations and/or audits by the Department of Economic Inclusion in connection with routine monitoring or as a result of specific allegations of discrimination.

g. Competition Intended
