INDEPENDENT AUDITORS' REPORT TO THE MEMBERS OFPERSATUAN PENJUAL ALATULIS DAN BUKU SELANGOR DAN KUALA LUMPUR

Responsibilities of The Committee Members for the Financial Statements (continued)

Auditors’ Responsibilities for the Audit of the Financial Statements

Page 3

Conclude on the appropriateness of the Committee Members’ use of the going concern basis ofaccounting and, based on the audit evidence obtained, whether a material uncertainty exists relatedto events or conditions that may cast significant doubt on the Association’s ability to continue as agoing concern. If we conclude that a material uncertainty exists, we are required to draw attention inour auditors’ report to the related disclosures in the financial statements of the Association or, ifsuch disclosures are inadequate, to modify our opinion. Our conclusions are based on the auditevidence obtained up to the date of our auditors’ report. However, future events or conditions maycause the Association to cease to continue as a going concern.

Evaluate the appropriateness of accounting policies used and the reasonableness of accountingestimates and related disclosures made by the Committee Members.

Obtain an understanding of internal control relevant to the audit in order to design audit proceduresthat are appropriate in the circumstances, but not for the purpose of expressing an opinion on theeffectiveness of the Association’s internal control.

Identify and assess the risks of material misstatement of the financial statements of theAssociation, whether due to fraud or error, design and perform audit procedures responsive tothose risks, and obtain audit evidence that is sufficient and appropriate to provide a basis for ouropinion. The risk of not detecting a material misstatement resulting from fraud is higher than for one resulting from error, as fraud may involve collusion, forgery, intentional omissions, misrepresentations, or the override of internal control.

Our objectives are to obtain reasonable assurance about whether the financial statements of theAssociation as a whole are free from material misstatement, whether due to fraud or error, and to issuean auditors’ report that includes our opinion. Reasonable assurance is a high level of assurance, but isnot a guarantee that an audit conducted in accordance with approved standards on auditing in Malaysiaand International Standards on Auditing will always detect a material misstatement when it exists.Misstatements can arise from fraud or error and are considered material if, individually or in theaggregate, they could reasonably be expected to influence the economic decisions of users taken on thebasis of these financial statements.

We communicate with the Committee Members regarding, among other matters, the planned scope andtiming of the audit and significant audit findings, including any significant deficiencies in internal controlthat we identify during our audit.

In preparing the financial statements of the Association, the committee members are responsible forassessing the Association’s ability to continue as a going concern, disclosing, as applicable, mattersrelated to going concern and using the going concern basis of accounting unless the committeemembers either intend to liquidate the Association or to cease operations, or have no realistic alternativebut to do so.

As part of an audit in accordance with approved standards on auditing in Malaysia and InternationalStandards on Auditing, we exercise professional judgement and maintain professional scepticismthroughout the audit. We also:

Evaluate the overall presentation, structure and content of the financial statements of theAssociation, including the disclosures, and whether the financial statements represent theunderlying transactions and events in a manner that achieves fair presentation.

Subsequent costs are included in the asset's carrying amount or recognised as a separateasset, as appropriate, only when it is probable that future economic benefits associated withthe item will flow to the Association and the cost of the item can be measured reliably. Thecarrying amount of the replaced part is derecognised. All other repairs and maintenance arerecognised as expenses in profit or loss during the financial period in which they are incurred.

When significant parts of an item of property, plant and equipment have different useful lives, they are accounted for as separate items (major components) of property, plant andequipment.

Gains and losses on disposals are determined by comparing the proceeds from disposal withthe carrying amount of property, plant and equipment and are recognised in net in the profit orloss.

Property, plant and equipment under construction are not depreciated until the assets areready for their intended use. Other property, plant and equipment are depreciated on thestraight line method to allocate the cost to their residual values over their estimated useful livesas follows:

At the end of the reporting period, the Association assesses whether there is any indication ofimpairment. If such indications exist, an analysis is performed to assess whether the carryingamount of the asset is fully recoverable. A write down is made if the carrying amount exceedsthe recoverable amount.

Depreciation methods, useful lives and residual values are reviewed at end of each reportingperiod, and adjusted as appropriate.

(i) Classification

The Association classifies its financial assets in the following measurement categories:● Amortised cost;● Fair value through other comprehensive income ("FVOCI"); and ● Fair value through profit or loss ("FVTPI"); and

Page 13

Impairment losses are recognised in profit or loss unless it reverses a previous revaluation in whichit is charged to the revaluation surplus. Impairment losses recognised in prior periods are assessedat the end of each reporting period for any indications that the loss has decreased or no longerexists. An impairment loss is reversed if there has been a change in the estimates used todetermine the recoverable amount since the last impairment loss was recognised. An impairmentloss is reversed only to the extent that the asset's carrying amount that would have beendetermined, net of depreciation or amortisation, if no impairment loss had been recognised.Reversals of impairment losses are credited to profit or loss in the financial year in which thereversals are recognised.

Financial assets with embedded derivatives are considered in their entirety when determiningwhether their cash flows are solely payment of principal and interest.

The Association reclassifies debt instruments when and only when its model for managingthose assets changes.

The classification depends on the Association's model for managing the financial assets aswell as the contractual terms of the cash flows of the financial asset.

Assets that have an indefinite useful life, such as goodwill or intangible assets not ready to use, arenot subject to amortisation and are tested annually for impairment. Assets that are subject toamortisation and depreciation are reviewed for impairment whenever events or changes incircumstances indicate that the carrying amount may not be recoverable.

For the purpose of impairment testing, assets are grouped together into the smallest group ofassets that generates cash inflows from continuing use that are largely independent of the cashinflows of other assets or cash-generating units.

The recoverable amount of an asset or cash-generating unit is the greater of its value in use and itsfair value less costs to sell. In assessing value in use, the estimated future cash flows arediscounted to their present value using a pre-tax discount rate that reflects current marketassessments of the time value of money and the risks specific to the asset or cash-generating unit.

An impairment loss is recognised if the carrying amount of an asset or its related cash-generatingunit exceeds its estimated recoverable amount.

Debt instruments

● Amortised cost

● FVOCI

● FVTPL

Page 14

Debt instruments that are held for collection of contractual cash flows where those cash flowsrepresent solely payments of principal and interest are measured at amortised cost. A gain orloss on a debt instrument that is subsequently measured at amortised cost and is not part of ahedging relationship is recognised in profit or loss when the asset is derecognised or impaired.Interest income from these financial assets is included in interest income using the effectiveinterest rate method.

Debt instruments that are held for collection of contractual cash flows and for sale, and wherethe assets' cash flows represent solely payments of principal and interest, are classified asFVOCI. Movements in fair values are recognised in Other Comprehensive Income ("OCI") andaccumulated in fair value reserve, except for the recognition of impairment gains or losses, interest income and foreign exchange gains and losses, which are recognised in profit andloss. When the financial asset is derecognised, the cumulative gain or loss previouslyrecognised in OCI is reclassified from equity to profit or loss. Interest income from thesefinancial assets is recognised using the effective interest rate method in profit or loss.

Debt instruments that are held for trading as well as those that do not meet the criteria forclassification as amortised cost or FVOCI are classified as FVTPL. Movement in fairvalues and interest income is recognised in profit or loss in the period in which it arises.

Regular purchases and sales of financial assets are recognised on the trade-date, the date onwhich the Association commits to purchase or sell the asset.

At initial recognition, the Association measures a financial asset at its fair value plus, in thecase of a financial asset not at fair value through profit or loss, transaction costs that aredirectly attributable to the acquisition of the financial asset. Transaction costs of financialassets carried at fair value through profit or loss are expensed in profit or loss.

Debt instruments mainly comprise of cash and cash equivalents and receivables.

There are three subsequent measurement categories, depending on the Association's modelfor managing the asset and the cash flow characteristics of the asset:

(iv) Impairment

● The debtor is in breach of financial covenants● Concessions have been made by the Association related to the debtor's financial difficulty● It is becoming probable that the debtor will enter bankruptcy or other financial reorganisation● The debtor is insolvent.

Page 15

In measuring expected credit losses, trade receivables and contract assets are grouped basedon shared credit risk characteristics and days past due. The contract assets relate to unbilledwork in progress, which have substantially the same risk characteristics as the tradereceivables for the same type of contracts. The Association has therefore concluded that theexpected loss rates for trade receivables are a reasonable approximation of the loss rates forthe contract assets.

In calculating the expected credit loss rates, the Association considers historical loss rates foreach category of customers and adjusts to reflect current and forward-looking factors affectingthe ability of the customers to settle the receivables.

The Association define a financial instrument as default, which is aligned with the definition ofcredit-impaired, when the debtor meets unlikeliness to pay criteria, which indicates the debtoris in significant financial difficulty. The Association consider the following instances:

Financial assets that are credit-impaired are assessed for impairment on an individual basis.

The Association write off financial assets, in whole or in part, when it has exhausted allpractical recovery efforts and has concluded there is no reasonable expectation of recovery. The assessment of no reasonable expectation of recovery is based on unavailability ofdebtor's sources of income or assets to generate sufficient future cash flows to repay theamount. The Association may write-off financial assets that are still subject to enforcementactivity.

The Association assess expected credit losses associated with its debt instruments carried atamortised cost and at FVOCI on a forward-looking basis. The impairment methodology applieddepends on whether there has been a significant increase in credit risk. Expected credit lossesrepresent a probability-weighted estimate of the difference between present value of cashflows according to contract and present value of cash flows the Association expect to receive, over the remaining life of the financial instrument.

For trade receivables and contract assets, the Association applies the simplified approach, which requires expected lifetime losses to be recognised from initial recognition of thereceivables.

While cash and cash equivalents are also subject to the impairment requirements of MFRS 9,the identified impairment loss was immaterial.

Interest income is recognised using the effective interest method, and accrued on a time basis.

ii) Property rental income

Page 16

Fair value though profit or loss category comprises financial liabilities that are derivatives (exceptfor a derivative that is a financial guarantee or a designated and effective hedging instrument) orfinancial liabilities that are specifically designated into this category upon initial recognition.

All financial liabilities are subsequently measured at amortised cost using the effective interestmethod other than those categorised as fair value through profit or loss.

Other financial liabilities categorised as fair value through profit or loss are subsequently measuredat their fair values with the gain or loss recognised in profit or loss.

Financial assets and liabilities are offset and the net amount presented in the statements offinancial position when there is a legally enforceable right to offset the recognised amounts andthere is an intention to settle on a net basis, or realise the asset and settle the liability

Cash and cash equivalents consist of cash and bank balances and deposits with banks and highlyliquid investments which have an insignificant risk of changes in fair value with original maturities ofthree month or less, and are used by the Association in the management of their short termcommitments. For the purpose of the statements of cash flows, cash and cash equivalents arepresented net of bank overdrafts and pledged deposits.

Financial liabilities are initially recognised at fair value net of transaction costs for all financialliabilities not carried at fair value through profit or loss. Financial liabilities carried at fair valuethrough profit or loss are initially recognised at fair value, and transaction costs are expensed inprofit or loss.

Property rental income is recognised on an accrual basis in accordance with the substance ofthe relevant agreement.

Revenue is recognised to the extent that it is probable that the economic benefits associated withthe transaction would flow to the Association, and the amount of revenue and the cost incurred orto be incurred in respect of the transaction can be reliably measured and specific recognitioncriteria have been met for each of the activities of the Association as follows:

Current tax is the expected tax payable or receivable on the taxable income or loss for the financialyear, using tax rates enacted or substantively enacted by the end of the reporting period, and anyadjustment to tax payable in respect of previous financial years.

Deferred tax is recognised, using the liability method, on temporary differences arising between theamounts attributed to assets and liabilities for tax purposes and their carrying amounts in thefinancial statements. However, deferred tax is not accounted for if it arises from initial recognition ofan asset or liability in a transaction other than a business combination that at the time of thetransaction affects neither accounting nor taxable profit or loss. Deferred tax is determined usingtax rates that have been enacted or substantively enacted by the end of the reporting period andare expected to apply when the related deferred tax asset is realised or the deferred tax liability issettled.

The tax expense for the period comprises current and deferred tax. Tax is recognised in profit orloss, except to the extent that it relates to items recognised in other comprehensive income ordirectly in equity. In this case the tax is also recognised in other comprehensive income or directlyin equity, respectively.

A liability is recognised for the amount expected to be paid under short-term cash bonus orprofit sharing plans if the Association has a present legal or constructive obligation to pay thisamount as a result of past service provided by the employee and the obligation can beestimated reliably.

As required by law, companies in Malaysia make contributions to the state pension scheme, the Employees Provident Fund ("EPF"). Such contributions are recognised as an expense inprofit or loss in the period to which they relate.

Short-term employee benefit obligations in respect of salaries, annual bonuses, paid annualleave and sick leave are measured on an undiscounted basis and are expensed as the relatedservice is provided.

Revenue from subscription fees and events are recognised in the statement of income andexpenditure on a received basis.

Deferred and current tax assets and liabilities are offset when there is a legally enforceable right tooffset current tax assets against current tax liabilities and when the deferred income tax assets andliabilities relate to taxes levied by the same taxation authority on either the taxable entity or differenttaxable entities where there is an intention to settle the balances on a net basis.

The Company makes impairment of receivables based on an assessment of the recoverabilityof receivables. Impairment is applied to receivables where events or changes in circumstancesindicate that the carrying amounts may not be recoverable. Management specifically analyseshistorical bad debts, customer concentration, customer creditworthiness, current economictrends and changes in customer payment terms when making a judgement to evaluate theadequacy of impairment of receivables. Where expectations differ from the original estimates, the differences would impact the carrying amount of receivables.

Deferred tax assets are recognised to the extent that it is probable that taxable profit will beavailable against which the deductible temporary differences, unused tax losses or unused taxcredits can be utilised.

There were no significant judgements made in applying the accounting policies of the Associationwhich may have significant effects on the amounts recognised in the financial statements.

Management makes key assumptions concerning the future and other key sources of estimationuncertainty at the reporting date that have a significant risk of causing a material adjustment to thecarrying amounts of assets and liabilities within the next financial year.

The estimates of the residual values, useful lives and related depreciation charges for itsproperty, plant and equipment is based on commercial and production factors which couldchange significantly as a result of technical innovations and competitors' actions in response tothe market conditions.

The Association anticipates that the residual values of its property, plant and equipment will beinsignificant. As a result, residual values have not been taken into consideration for thecomputation of depreciable amount.

Changes in the expected level of usage and technological development could impact theeconomic useful lives and the residual values of these assets, therefore future depreciationcharges could be revised.

Judgement is required in determining the capital allowances and deductibility of certainexpenses when estimating the provision for income taxes. There were transactions during theordinary course of business for which the ultimate tax determiantion of whteher additionaltaxes will be due, Where the final tax outcome of these matters is different from the amountsthat were initially recorded, such differences will impact the taxation and deferred taxation inthe period in which the outcome is known.

The Association's financial risk management policy is to ensure that adequate financial resourcesare available for the development of the Association's operations whilst managing its financial risks, including credit risk, liquidity risk and market risk.

Credit risk is the risk of a financial loss to the Association if a counterparty of a financial asset failsto meet its contractual obligations. The Association's exposure to credit risk arises mainly fromreceivables from customers.

Management has a credit policy in place and the exposure to credit risk is monitored on an ongoingbasis through the review of trade receivables ageing. At reporting date, there were no significantconcentration of credit risk.

The maximum exposure to credit risk for the Association is the carrying amount of the financialassets shown in the statements of financial position.

The following table analyses the financial assets and financial liabilities of the Association by theclasses and categories of financial instruments to which they are assigned, and therefore by themeasurement basis:

The carrying amounts of financial assets and liabilities of the Association at the reporting dateapproximate their fair values due to their short-term nature and insignificant impact of discounting.
